Saturday is market day in San Ignacio. The market square in the Savannah Area of Town is normally bustling with commercial activities. Vendors usually begin setting up their stalls and their tents from as early as 3:00 am getting ready to capture early customers. Such was the case of Lilian Juarez and her family, owners of a candy wholesale outlet in the area. The store does business on Saturdays only, as candy retailers visit to get their week’s supply. In July 2009 Henry Canton instituted Claim 661 of 2009, Henry Canton v Citrus Products of Belize Limited (CPBL)seeking declarations to the effect that:

(1) By his employment contract, a binding and enforceable contract was concluded between himself and CPBL;(2) By virtue of his employment contract, he is entitled to remain a director of CPBL and its subsidiaries while his

contract subsists;(3) His removal as a director of CPBL or any of its subsidiaries while the contract subsists would constitute a breach

of his contract and unlawful.

Canton filed his claim in response to the decision of Belize Citrus Growers Association Investment Company Limited(BCGAICL), the majority shareholder of CPBL, to remove him as a director of CPBL. At the time the claim was filed Cantonalso sought an urgent injunction to restrain his removal as a director of CPBL. On or about August 2009 the BCGAICLappointed directors on the CPBL Board which included Frank Redmond, Michael Duncker and Henry Canton, along withBanks Holdings Ltd (BHL) appointed Directors Sir Allan Fields, Richard Cozier, Robert Ramchand and Dan Stoutedetermined not to defend Canton’s claim against CPBL. BCGAICL therefore applied to be joined as parties so that it couldparticipate in the claim and argue why the declarations sought should not be granted.

Following BCGAICL’s change of directors on CPBL’s Board in April 2010, both BCGAICL and BHL issued instructions toCPBL’s attorneys, Barrow and Williams, to defend the claim on behalf of CPBL on June 2nd 2010. The CFO of CPBL gavesimilar instructions to Barrow and Williams for CPBL to defend against the Canton claim on June 3rd 2010. Since the defenceshould have been from October/November 2009 an application for an extension of time had to be filed to enable CPBL todefend the claim. However, the application for extension of time was only filed on 28th October 2011 after the Court issuednotice of a hearing for a default judgment in the matter.

On Tuesday 8th November 2010 Madam Justice Hafiz heard both CPBL’s application for extension of time to file a defenceand an application for default judgment by Henry Canton.

Although Counsel for CPBL argued that justice would only be served in allowing CPBL to defend the claim, Madam JusticeHafiz determined that no good reason had been offered for the delay and denied CPBL’s application for an extension of timeto file a defence.

As a consequence of the absence of a defence, the Court was required to accept the contents of Canton’s claim as thoughproved. Only legal submissions could therefore be made by Counsel for CPBL and BCGAICL on issues of law. CPBL’sCounsel, Barrow and Williams, argued that no utility could be served by the granting of the declarations and so the Courtshould refuse to grant the declarations. Counsel for BCGAICL argued that the right of appointment of a director is a right ofthe shareholder and could not be contracted away by CPBL. Furthermore, by the Articles of Association of CPBL, only BHLand BCGAICL have a right of appointment of directors. Counsel for Henry Canton argued that at the time Canton wasemployed, a right of appointment of directors was not conferred only on BHL and CPBL and so it was a valid term of Canton’scontract that he should be a director of CPBL and all its subsidiaries.

Madam Justice Hafiz determined at the close of arguments that the declarations should be granted. Reasons for her decisionwill be provided at a later date.

It should be noted that in Claim No. 852 of 2009, Belize Citrus Growers Association Investment Company Limited vCitrus Products of Belize Limited etal, Madam Justice Hafiz determined that pursuant to the Articles of Association ofCPBL, BHL and BCGAICL had the absolute right to appoint and remove their nominated directors to CPBL Board and thatit was not necessary to convene a meeting of CPBL for this purpose - it may be effected by way of letter.

Furthermore, back in 2006 when growers became aware of the then secret Investment Agreement, they appointed aCommittee of Five to review the agreement and among other things recommended that Dr. Canton’s contract be renegotiatedto take out the provision that he must be appointed to the Board of CPBL and all its subsidiary companies. Therecommendations of the Committee of Five were accepted by all parties and the growers agreed for the Investment Agreementto proceed on the understanding that all the recommendations of the Committee of Five would be effected.

Dr. Canton raised the issue of his appointment to the CPBL Board at the first Board meeting of CPBL where Bank HoldingsLtd. appointed directors were present. The directors dismissed the agreed recommendation of the Committee of Five. WhenDr. Canton was removed from the Board of CPBL these same directors of CPBL appointed by BHL, namely Sir Allan Fields,Richard Cozier, Robert Ramchand and Dan Stoute along with Michael Duncker and Frank Redmond voted for CPBLnot to defend against Canton’s lawsuit. The outcome of yesterday’s proceeding clearly demonstrates that Henry Canton,Michael Duncker, Frank Redmond and the Banks Holdings appointed directors did not act in the best interest of thecompany and also against the recommendation of the Committee as was sanctioned by the growers as a condition to proceedwith the Investment Agreement.

Since the Republican nomina-tion for their party opened tofind a candidate to representthem in the 2012 presidentialelection, several candidates arein the race but so far none ofthem is acceptable to mostAmerican voters. Only four of the candidateshave executive managementexperience as Governor of aState and they are; TimPawlenty, the former Governorof Minnesota, who has sincedropped out of the race; MittRomney, the former Governorof Massachusetts; Jon Hunts-man, the former Governor of

Utah; and Rick Perry, thecurrent Governor of Texas. Mitt Romney is changing mostof his positions on key issuessuch as abortion, health care andother moderate issues so thathe can get the votes of theneoconservatives and conserva-tives in the Republican Party towin the nomination. This isviewed by many as flip-floppingor political prostituting justto get people’s vote and mostRepublicans are refusing him. Rick Perry, despite all theyears as governor, lacks vision,seems to be confused andcannot articulate his positionclearly on the issues that arecoming up in the debates so far.In a recent debate, he couldnot even name three Federalgovernment departments hewould eliminate to save moneythat he deems are not effective.When Ron Paul whispered tohim EPA, he repeated EPA notknowing that this is not adepartment but an agency.Whether Ron Paul knew that hewas doing more damage to RickPerry by giving him wrongadvice or he himself did not

know the departments of theFederal government is still leftto be seen. Jon Huntsman, the othercandidate, is not making anyprogress in this race and if hedoesn’t improve soon, he mightbe forced to withdraw hiscandidacy, like the formergovernor of Minnesota TimPawlenty. The Republicans have severalcandidates who have legislativeexperience, such as NewtGingrich, Rick Santorum,Michelle Bachmann and RonPaul. Of all these candidatesthe one with the most namerecognition, experience, cha-risma and who can articulate hisvision in my opinion is NewtGingrich. Yet, many membersof the Republican Party do notwant him because of his pastpolitical issues that they feel willcome up if he becomes theparty’s nominee. During the debates someRepublicans are beginning tosee that he makes a lot of senseand he is of substance, so hisnumbers in the polls aremoving upwards, while RickPerry with all his money isgoing downwards. The other candidate isHerman Cain, the only blackcandidate in the field, is tryingto defend himself against severalsexual harassment scandals. Hewas seen as a good candidatebecause of his core religiousbeliefs and his conservativeviews but, with these scandals,all these positive attributes arenow questionable and he willdecline in the polls and eventu-ally fall out of the race. Further-more, anybody who honestlybelieves that the Republicanswill vote for a black person torepresent them in the upcomingpresidential election is engagedin wishful thinking. This election is about whichone of these candidates candevelop a vision to deal with thisdevastating economy and havestrategies in place to implementso that this economy can getbetter. President Barak Obamainherited an economy in ruinsafter eight years George Bush ‘sadministration. It is impossiblefor this president to undo all thedamage in just four years.According to many of the pollstaken so far, most Americans

still blame George Bush for thecurrent terrible state of oureconomy. President Obama has recom-mended several proposals toCongress to deal with oureconomic problems but theRepublican-controlled Houseand their allies in the Senatehave voted against all of hisproposals. It is clear that the Republicanshave refused to work with thispresident because they believethat successful legislation willonly contribute to his re-elec-tion. The American people areaware of this and will beprepared to vote all theseRepublicans out of office andre-elect this president. For thosewho are angry, frustrated andblaming President Obama, theyneed to know that the presidentcannot do anything withoutcongressional approval. Around January of next year,the front runner will be clear andby August the Republican Partywill have a candidate. The way it is going right now,it seems as if that candidate willbe Mitt Romney. He has themoney, experience, organiza-tional support and all that it takesto be the nominee of the party.Notwithstanding whoeverbecomes the candidate for theRepublicans, the party will be sodamaged that it will take a lot ofwork to bring this fragmentedfield together to defeat PresidentObama. President Obama must force allthese financial institutions thatwere given our TARP money tostart investing into the economy.This will help the industriesto provide jobs to our citizens,increase purchasing in theconsumer market, reduceunemployment in most statesand experience growth in ourGDP. We are beginning to withdrawour forces from Iraq andAfghanistan and that will be rev-enue which we will be able tospend on our domestic economy. The state of the nationaleconomy is the most importantissue for most Americans but theRepublicans are also concernedabout other ideological issuessuch as abortion, healthcare,same sex marriage and otherissues, which will play a majorrole in their votes to determinewho will represent them in the2012 race for the White House.

The newest kid on thebanking block, Heritage Bank,is blazing new trails as it movefull speed ahead in opening itsninth branch in Belize. Apart from being a proudaccomplishment for the bank’sChairman, Mr. RichardSutton; Country Manager, Mr.Stephen Duncan and the staffof Heritage Bank, the openingof the Benque Heritage Branchis considered a milestoneachievement for Area Represen-tative, Hon. Erwin Contrerasas well as for Mayor NicholasRuiz and Councilors of theBenque Viejo Town Council allof whom have been lobbying forseveral years to have their ownbank. There has been a lot of talk overthe last year about “helicopterparents,” parents who hover overtheir children and swoop in beforeor at the slightest hint of discom-fort, challenge, or threat of failure. Powerful parents know that whilethey want their children to succeed,there is great value in makingmistakes and learning from them. It’s developmentally appropriatefor children to become more andmore independent, self reliant andresponsible as they age. It can be challenging for parentsto know when to step back and lettheir children try something ontheir own. After all, from the timetheir children were babies, parentshave spent years meeting many toall of their child’s needs. Striking a balance betweenallowing your children to do tasksfor themselves and helping themwhen they seem to need or want isa talent of very powerful parents.This balance allows their childrento thrive because they feel moreconfident in themselves while stillfeeling supported and properlymentored. How can we instill self relianceand responsibility into our chil-dren? (1) Allow your children to makesome decisions: Even youngchildren can make sound decisionsif you give them a few selectchoices. Do you want to wear thered shirt or the blue shirt? Wouldyou like a peanut butter sandwichor a cheese sandwich? As childrenget older, you can allow them tomake more important decisionswith little to no guidance. They candetermine which activities in whichthey would like to engage, if theyneed a tutor for math, and whichfriends they’d like to spend timewith each day without needingmuch, if any, input from parents.While it’s tempting to make thesekinds of decisions for your olderchildren, they need to learn fromtheir own mistakes and stand ontheir own two feet—after all, theirdecisions are often correct! (2) Encourage your children totry tasks on their own: While it’soften quicker and more skillfullydone when we do it for them,children need to engage in tasks ontheir own if they’re ever goingto learn how to do them well.Laundry, shoe-tying, packing theirown bags, making the bed, and aregreat places to start. Older childrencan handle more and should!Learning how to cook andbecoming solely responsible fortheir own homework are tasksolder children should master. Whenchildren express a desire to engage

in a task, if it’s safe, be sure to letthem participate. Again, while itmay not be done as well as if youhad done it yourself, praise theeffort and the initiative and allowyour children to try it again nexttime. They will surely get betterand better with each effort, mistake,and success. 3) Model responsibility and selfreliance: Parents have manyresponsibilities—let your child seethem and hear about them! Say outloud; “This screw seems a littleloose, I’ll go get the screwdriverand tighten it” or “I have to planour weekly menu for dinner; let’ssee…Monday night we’ll have…”When children see you makingdecisions, taking initiative, and dis-playing self reliant behaviors, theywill engage in similar behavior.

Note: Be careful, parents! Ifyou and your spouse are used todividing up the labor, especially ifthey’re divided down traditionalgender lines, your children mayassume that “girls can’t do this”or “boys shouldn’t do that.” Showyour boys that a girl can change alightbulb and fix the flusher on thetoilet and boys can clean thedishes and do laundry! (4) Be your child’s coach ratherthan his sage: When your childasks you questions about how to dosomething or what to do in acertain situation, sometimes askingquestions is more important thanproviding answers. “What do youthink you should do? How wouldyou feel if you chose X? Whatwould happen if you did Yinstead?” These questions can

unlock the answers in your ownchild’s brain so the next time he’sin a similar situation he’ll be ableto call on his own experience andjudgment to make a decision. (5) Be a good support system:Sometimes this means cheeringthem on from the sidelines andother times it means encouragingthem to try again. Of course, whenchildren truly need your help, theyshould know that they can count onyou. If you teach them to ask forhelp when they really need it (whensomething seems unsafe or toochallenging), they should knowthat you will be there to assist them.When children know they cancount on you when they’re reallyin need, they’ll feel more secureabout taking healthy risks andmaking mistakes. It is hard to find executivehousing in Belize City and soafter searching for months,Chuck found the perfect place itcame complete with familyneighborhood, garden/lawn, etc. The problem was, he has adog, and the landlord specified"No dogs." Rather than continue the searchfor another plae, he decided tohide his dog and not tell thelandlord about it. All went well for months.Except for one thing: the familythat lived downstairs had arabbit that they kept in a cage inthe garden area. One day, the father of thefamily walked into the garden tofind the dog scratching at thecage, trying to get at the rabbit.He immediately went to thelandlord and complained. The landlord threatened tokick Chuck out. But Chuck,

being quite persuasive- andpunctual with rent checks,convinced the landlord to keephim and his dog. On the condi-tion that that Chuck keep his dogout of the garden area. Months went by with noincidence. However, hisgirlfriend stayed home sick athis place one day. She, notknowing the garden rule, let thedog out. Chuck came home and, to hisdismay, he found that the dogwasn't in the house. He opened the back door, andthere at the steps was his dog.Dead rabbit in mouth. Needless to say, Chuckpanicked. Not wanting to facecertain eviction, he took mattersinto his own hands. He bathed the dead rabbit,blow-dried its hair and carefullyplaced the rabbit back in thecage.

Natural causes, right? Nothinghappened. After an excruciating week, hefinally approached his neighborone morning on the way towork. "How is everything?" askedChuck. "We're moving" replied theman. "This is a sick neighbor-hood." "Why? What happened?"

The Democratic RevolutionParty (PRD) said that bywearing the logo of theInstitutional RevolutionaryParty (PRI) he had violated aban on campaigning ahead ofelections. PRD lost the governorship ofMichoacan state to PRI inSunday’s polls. Marquez said he was simplygiven the shorts to wear by histeam. When he stepped into the ringwith the Philippines’ Pacquiaofor the world title fight in LasVegas, Marquez was wearingblack shorts emblazoned withthe PRI logo. The PRD filed a complaintwith the electoral authorities,arguing that the logo violated a

Seems theywere victims of a violentpistol whipping, small gangof criminals in a HOMEINVASION yesterday. They were tied up and pistolwhipped looking for money.They didn´t have much cashin a wallet and purse, but wereeventually directed to their autoparts store next door, which hadthe days takings of $300 to $500.Supposedly the police foundsome of the stuff in possessionof nearby Esperanza criminals.Ammunition for firearms wasalso found in the Orange Grove,behind La Loma Luz Hospital. The subject of the interview,turned out to be; that this hadbeen a series of HOMEINVASIONS by the same armedgang operating within the samearea of the lower Santa Elenatown. Something like five or six

home invasions, just a fewblocks within sight of each otherover the past three weeks. Yetnobody knew there were suchthings going on and the mediaapparently had not reportedit. Not even the STARNewspaper, a Western SantaElena Town newspaper thatalmost exclusively reports crimenews. The couple just invaded, tiedup and robbed were unpreparedfor the idea. Also enliven ourneighbors into meeting andwarning each other of bad guyslurking. This is a role commu-nity policing could take. Looks like we need the activeWAKE UP CALL here inHillview as well.

The troops have been placedunder a new command knownas the People’s Guard. They will operate inthe capital Caracas and twoneighboring states - Vargas andMiranda. Rising levels of murder,kidnap and robbery in recentyears have made Venezuela oneof the most dangerous countriesin Latin America. Crime is expected to be amajor issue in next year’s presi-dential election. President Chavez said thePeople’s Guard had been created“for the benefit of the securityof the streets of Venezuela, toreinforce the fight againstcrime and to give more life toour people”, Venezuelan

National Radio reported. The new body will eventuallycomprise 3,650 troops, officialssaid. As well as tackling violentcrime, the troops will supportpolice and community groupsto deter offences such asstreet drug-dealing and publicdrunkenness. Rising crime has becomea major source of publicdissatisfaction in Venezuela,and a key campaign issue foropposition leaders seeking tochallenge Chavez in presidentialelections in October 2012. The extent of insecuritywas underlined last week bythe kidnap last week ofthe Venezuelan US major leaguebaseball player WilsonRamos. through the front door whenhe noticed that a louver froma side window was missing.Upon entering the house heencountered a male Hispanicperson with lots of tattoos on hishands and on his face inside hishouse. Williams reported that astruggle ensued with the intruderescaping. He immediatelycontacted the police and a teamof officers were instantlydispatched to investigate thereport. Accompanied by thecomplainant, the police begansearching the area for theintruder. He was spotted underthe shed of a mechanic shop onStanton Street. He was detainedand positively identified by thecomplainant. David Burgos, 31, Belizeanlaborer of a Guatemala Streetaddress in Belmopan wasinstantly arrested and formallycharged for damage to propertyand burglary. By 11 o’clock thatsame morning he appearedbefore Magistrate LinsbertWillis where the damage toproperty charge was thrown outas, according to the magistrate,he should not have been socharged because it stems fromthe same burglary charge.Burgos pled guilty to burglaryand when the facts were read tohim, he told the court that the

only problem he had with it isthat there was no struggle. Hesaid, “The man found me in thehouse and I ran out when hepulled out his phone to call thepolice. There was no struggleSir”. Burgos also told themagistrate that he is tired ofbeing detained by the policepending burglary charges and sohe decided to go out to commitone. Prior to sentencing, it wasbrought to the court’s attentionthat he had already served afive year sentence for burglaryand so, with this not being hisfirst conviction, MagistrateWillis proceeded to sentencehim to serve the next five yearsin jail.

From Front PageSAN IGNACIO, Cayo,Thursday, 17 November 2011: Samuel “Bugsman” Simpsonis today recuperating at home inSan Ignacio after being releasedearlier today from the WesternRegional Hospital in Belmopanwhere he was treated for aninjury to the head. It was shortly after 10 o’clockon the morning of Wednesday,16 November when police werecalled to the Savannah areain San Ignacio where theyencountered Bugsman bleedingfrom an injury to the head. Hewas rushed to the communityhospital in San Ignacio where hewas prepped and transported tothe Western Regional Hospitalfor further medical attention. The investigation led tothe detention of Marlon Smithwho is yet to be charged asinvestigators await the results

of the medical examination. Information reaching usindicates that a few daysearlier Smith’s residence wasburglarized and that several ofhis personal property werestolen including clothing andfootwear. It is alleged that whilstwalking in the Savannah Areathat morning he came uponBugsman wearing a shirt, pantsand tennis shoes stolen from hishouse. The exchange reportedly gotviolent when Smith confrontedBugsman about his propertyresulting in Bugsman emergingwith a wound behind the left ear. A relative informed that it wasinitially suspected that he mighthave sustained a fracture to theskull but it was later medicallyconfirmed that this was not thecase.
