DISCUSSION: There are 12 middle schools in the district that were awarded the Carol M. White Physical Education Program (PEP) grant. Money from PEP grants may be used to purchase physical education equipment and provide support for students. The Office of Middle School Programs’ intention is to supply all students of the PEP grant schools with the IHT Spirit System, a fully integrated technology solution that includes heart rate monitors and web-based software. The product will be used for assessment of student fitness and physical activity achievement. Interactive Health Technologies, LLC is the sole manufacturer and seller of IHT Spirit System and does not authorize any agents or dealers to represent this complete product. CONTRACT TERM: This is a onetime purchase.
RECOMMENDATION: It is the recommendation of Cyndi Van Meter, Associate Superintendent of Curriculum and Instruction, and Barbara Rodrigues, Director of Middle School Programs, to approve the attached purchase with Interactive Health Technologies, LLC in the amount of $24,940.74.

and fully integrated technology solution (and the only such integrated solution of its kind in the education
market), is a sole source product. Our product includes the following that must be integrated together and
cannot operate on a standalone basis: heart rate monitors, web-based software that provides fully
customizable assessment measurement and unlimited correlation to academic performance, attendance,
behavior and nutrition, daily instant and automatic web-based reporting to parents and students that
includes the ability to journal and provide feedback, our copyrighted and exclusive “PE 3” Curriculum, our
copyrighted and exclusive PE 3 student journal, and training. The Spirit System is also the only software
that integrates heart rate and the assessments listed above with the FITstep™ Pro Uploadable
Pedometers. If a bid is required for our integrated product, it is essential that bid be based on our full
product listed above and not just one aspect of this incorporated solution. This product is manufactured,
sold and distributed exclusively by Interactive Health Technologies, LLC. No division of Interactive Health
Technologies or any other company makes a similar or competing product that includes this complete
system of hardware, software, curriculum, student journals, parent reporting, and training. This complete
package must be purchased directly by institutions from Interactive Health Technologies at the address
listed below. There are no agents or dealers authorized to represent this complete product.
Additionally, competition is precluded by the existence of an agreement with IHT to sell this fully
integrated product, giving IHT exclusive rights to market and sell this product.
There is no other like item or product available for purchase that would serve the same purpose or
function and there is only one price for the above named product because of exclusive distribution and
marketing rights.

6) If Customer is participating in an IHT buy back program, customer agrees to return old heart rate monitors within 30 days of receipt of the IHT Spirit monitors. If old heart rate monitors are not returned within 30 days of receiving
the new, the 30% discount shall not apply and customer will pay full price for new monitors.

8) If Customer is receiving on-site training, customer agrees to pay all travel related expenses. IHT will provide receipts for the charges upon request.

2) Customer agrees to pay any and all fees described herein.
1) Customer’s obligations may not be canceled prior to expiration of the Term.
3) An expedite fee of $250.00 will be assessed to all orders if customer requires product to be delivered within 48 hours of receiving the purchase order or if training must be delivered within 30 days of receiving the purchase order.
4) The provisions of the Agreement constitute the entire agreement between the parties with respect to the subject matter herein and supersede all prior agreements, oral or written, and all other communications relating to the
subject matter of the Agreement. No terms and conditions on any purchase order or other document by Customer shall be deemed to modify or amend the Agreement.
7) Customer shall receive a one year warranty on all Spirit System products. IHT agrees to replace any defective product within one year from date of delivery to the customer. IHT offers a 30 day refund policy, any order can be
returned for a full refund within 30 days of date of delivery to the customer.
BY AFFIXING THE SIGNATURE OF THE AUTHORIZED REPRESENTATIVE OF THE CUSTOMER TO THIS QUOTE, BY HAND OR ELECTRONICALLY, CUSTOMER IS AGREEING TO BE BOUND BY THE QUOTE TERMS.
