PROCEEDINGS AGAINST MICHAEL HUME The Commission announced the institution of administrative proceedings pursuant to Section l5(b)(6) of the Securities Exchange Act of 1934 against Michael Hume, the former branch manager of the Reno, Nevada office of Wedbush Morgan Securities. The proceedings arise out of Hume's failure reasonably to supervise a registered representative, who was subject to his supervision, with a view to preventing the registered representative's sales of unregistered securities of The Crown Companies Group, Ltd. ajkja The Crown Gold Companies Group, Ltd. in violation of Section 5 of the Securities Act of 1933. Simultaneous with the institution of these proceedings, the Commission accepted Hume' s Offer of Settlement in which he consents to the entry of an Order by the Commission, without admitting or denying any of the findings contained therein, suspending him from acting in a supervisory capacity for any broker or dealer for a period of 120 days. ACT RELEASES ARKANSAS POWER & LIGHT COMPANY An order has been issued authorizing a proposal by Arkansas Power & Light Company (AP&L), a public-utility subsidiary company of Entergy Corporation, a registered holding company, to sell substantially all its retail distribution and related transmission assets in Missouri to Union Electric Company for approximately $63 million. The order also authorizes AP&L to sell certain transmission and distribution assets to Sho-Me Power Corporation for approximately $4.035 million, certain transmission assets located in Missouri to Associated Electric Cooperative, Inc. for approximately $1.013 million and seven substations located in Missouri to a group of mining customers of AP&L for an aggregate of $887 thousand.     The National Association of Securities Dealers filed a proposed rule change (SR-NASD-9l-68) pursuant to Rule 19b-4 to amend an Interpretation of the Board of Governors -- Forwarding of Proxy and Other Materials, Article III, Section 1 of the NASD Rules of Fair Practice. The proposal amends the Interpretation to clarify that NASD members are required to forward proxy material upon the request of either the issuer of the securities or a stockholder of such issuer.
