IZJAVA O SVRSI
MEOC d.o.o. J. Kriania 33, Varadin, trai zajam ukupne vrijednosti 1,150.000,00 kn za kupovinu
opreme, zaliha i najam poslovnog objekta na lokaciji Kuanska 25, Varadin, nuna preureenjaposlovnog prostora, odravanje dovoljnih rezervi novca kako bi se osigurao obrtni kapital za uspjeno
irenje na tritu. Ovaj iznos, zajedno sa dodatnih 500.000,00 kn koje su vlasnici uloili u glavnicu, bit
e dovoljan za financiranje pokretanja poslova.
Zajam e biti vraen u roku od 5 godina s poekom od 12 mjeseci. Kao osiguranje je ulog vlasnika,
nekretnina u vlasnitvu vlasnika, te kupljena oprema.

1. PODUZEE
1.1OPIS PODUZEA
MEOC podrka u strojogradnji d.o.o., J.Kriania 33, Varadin, osnovano je 19.4.2013.
od strane Marka Pogorca, Maria Pajtmana, MirkaVrbanca i Vladimira Kralia, koji su ujedno i
vlasnici sa 25% udjelima. Predmet poslovanja drutva je davanje usluga i posredovanje u strojogradnji,
a napose usluge posredovanja u proizvodnji strojarskih dijelova, kontroli strojarskih dijelova, te
odravanja i popravka strojeva iz glave 28 NKD 2007.
Uvidjevi tendenciju smanjenja veliina strojarskih poduzea, a poglavito u podruju
proizvodnje dijelova, te naputanje starog oblika poslovanja u kojem u sastavu strojarskih poduzea
postoje i odjeli odravanja, osnivai su pronali trinu niu na podruju strojogradnje, te svojim
buduim klijentima ele pruati usluge posredovanja u izradi dijelova strojeva, na nain da e
dobavljene poslove preputati irokoj lepezi svojih kooperanata, pribavljajui im materijal, alate,
dajui tehniku podrku, vriti kontrolu kvalitete izraenih proizvoda, te otpremu proizvoda na adresu
klijenata u zadanim rokovima.
Takoer, poduzee e koritenjem i umreavanjem veeg broja vanjskih suradnika s
podruja odravanja strojeva osiguravati popravak strojeva svojih kooperanata.
I naposljetku, poduzee e davati usluge izmjere (kontrole kvalitete) vanjskim suradnicima,
mjernim sredstvima u vlasnitvu drutva.
Na taj nain omoguiti e se potpun angaman ljudskih i materijalnih potencijala, te
uinkovito poslovanje poduzea.
1.2USLUGA KOJU PODUZEE NUDI
Naim klijentima, strojarskim poduzeima iz Hrvatske, Slovenije, Maarske, Austrije,
Italije i Njemake, osigurati emo izradu strojnih dijelova prema njihovim nacrtima na naina da
emo: - izvriti razradu tehnolokog procesa
- nabaviti materijal
- pronai potencijalne kooperante
- izvriti kontrolu izraenih strojnih dijelova
- izvriti isporuku strojnih dijelova na adresu prema nalogu klijenta

Nadalje, mreom vanjskih suradnika (mehaniara, elektriara, elektroniara...), osiguravati
emo podrku pri:
- otklanjanju kvarova na strojnom parku strojarskih i slinih poduzea
- nabavi rezervnih dijelova za strojeve- vriti uslugu odravanja strojeva, kontrole postojeeg stanja, evidencija o
odravanju....
Alatima i napravama za mjerenje kao to su: Faro Titanium Arm 3D 10ft, Tesa Megahit, 3D RAPID
754, pruiti uslugu izmjere i kontrole proizvoda, te s vremenom postati ovlatena pravna osoba
Dravnog zavoda za mjeriteljstvo za podruje kontrolnih ureaja koji se upotrebljavaju kao etaloni za
ispitivanje i ovjeravanje mjerila.
1.3 TRITE (PLAN MARKETINGA)
Poduzee MEOC d.o.o. prvo je takvo poduzee na podruju RH. Postoje poduzea koja se bave
izradom strojnih djelova, ali one svoje poslove ugovaraju direktno sa kupcima. Na plan je postati veza
izmeu mnogih malih proizvoaa i velikih koorporacija omoguavajui jednima i drugima
jednostavan nain poslovanja u kojem se naruioci ne trebaju brinuti za kvalitetu proizvoda i rokove
isporuke, a isporuioci za nabavu repromaterijala i traenje posla. Taj posao preuzima MEOC.
Strunim kadrovima, irokom lepezom dobavljaa, svojim transportom, pouzdanim softwareskim
rjeenjima, MEOC (Mechanical engenering outsourcing Croatia) omoguava naruiteljima
rastereivanje vlastite proizvodnja, a isporuiteljima popunjavanje kapaciteta. Potencijalni klijenti
naeg poduzea su iz Hrvatske: MIV Varadin, Kostwein proizvodnja strojeva Varadin, Itas Ivanec,
Konar Alatni strojevi Zagreb, uro akovi Slavonski Brod, Harburg-Freudenberger Belie,
Koopack Zagreb, Slovenije: Viro Logatec, Intermetali Semi, Valmar Nova Gorica, Technos alec,
Austrije: Maschinenbau Koller GmbH Aflenz Land, Montex St.Stefan/Lav., PTS Austria GmbH
Klagenfurt, a potencijalni isporuioci su Bezak d.o.o. Lobor, Novosel Karlovac, Obad Varadinske
Toplice, Oprema Ludbreg, i mnoge druge male tvrtke. Uloga naeg poduzea bila bi okupljanje snaga
strojarske proizvodnje i zajedniki nastup prema velikim poduzeima na podruju srednje Europe.
Poduzee bi u direktnim kontaktima sa potencijalnim kupcima, informiranjem elektronskim putem,
izradom broure, te internetskom stranicom omoguavalo potencijalnim klijentima laku dostupnost
naih usluga. Takoer, nastupima na lokalnim sajmovima (Zagreb, Varadin, Klagenfurt, Graz,
Milano), elimo privui potencijalne klijente iz susjednih zemalja, te ukazati na nau prisutnost.

Osiguranjem i ugovaranjem odravanja, nae bi poduzee ponudilo potencijalnim klijentima
struni servis opreme, te nabave rezervnih dijelova, te im omoguilo plaanje kompenziranjem kroz
primarni posao poduzea.
Potreba za valoriziranim mjernim instrumentima, te certifkatima traenim od velikih kupaca,dovodi nas do tree grane razvoja poduzea MEAC. elja je poduzea da postane ovlateni certifikator
jednog od Europskih partnera (WILD Austrija), te nabavom dodatnih mjernih instrumenata postane
ovlatena javna osoba za certificiranje mjernih instrumenata.
1.4 LOKACIJA PODUZEA
Poduzee MEOC d.o.o. je u zavrnoj fazi pregovora oko najma poslovnog prostora na lokaciji
u Varadinu, Kuanska ulica, koji se sastoji od uredskog prostora veliine 60 m2i skladinog prostora
od 540 m2. Skladini prostor bio bi naknadnim preureenjem podjeljen na 140 m2za potrebe kontrole
kvalitete i smjetaj mjernih ureaja , te 400 m2skladinog prostora. Cijena najma prostora je 15000
kn/mjeseno. Cijena rekonstrukcije skladinog prostora prema ponudi iznosi 44500,00 kn. Poslovni
prostor nalazi se u blizini glavnih prometnica (Podravska magistrala, Autoput Zagreb-Gorian), te
zrane luke Varadin, koja bi prema planovima grada Varadina trebala postati meunarodna teretna i
putnika zrana luka, to bi u doglednoj budunosti otvorilo mnoge nove mogunosti za razvoj
poduzea. Najmodavac se obavezao da e poduzee MEOC d.o.o, imati pravo otkupa prostora, ali teknakon dvije godine od poetka najma, zbog obaveza najmodavca prema Zagrebakoj banci. Na ovaj
nain Zagrebaka banka d.d. osigurava i povrat zajma datog najmodavcu. Najmodavac trai uplatu
najma za 6 mjeseci unaprijed.
1.5KONKURENCIJA
Poduzee MEOC d.o.o nema u ovom trenutku ni jednog direktnog konkurenta. Postoji
mogunost da se tokom vremena razvije, ali nae je prednost upravo u injenici da emo na trite stati
prvi i na taj nain osigurati lidersku poziciju.
1.6POSLOVODSTVO
Gosp. Marko Mirkov roen je u akovcu, gdje i ivi. Nakon zavrene osnovne kole, te
Metalskog i elektrotehnikog centra u Varadinu, zavrio je struni studij Proizvodnog strojarstva na
Varadinskom veleuilitu sa zvanjem bacc. str.. Nakon zavrenog studija zapoljava se u poduzeu

Coning Eco, gdje stjee iskustvo u proizvodnji strojarskih konstrukcija. Nije oenjen, te mu ovaj posao
predstavlja ivotni izazov.
Gosp. Mario Pajtman roen je u akovcu, a ivi u Dekanovcu kraj akovca. Nakon zavrene
osnovne kole, zavrava Tehniku kolu u Varadinu u zvanju strojarski tehni
ar,a poslije toga zavrio
je VI stupanj FSB Zagreb, na procesno-energetskom smjeru, sa zvanjem ininjera strojarstva. Radno
iskustvo stejao je u poduzeu Sipko d.o.o. na projektiranju procesnih instalacija . Oenjen je, ima
dvoje djece i stanuje u vlastitoj kuu u Dekanovcu s obitelji.
Gosp. VlatkoSreliroen je u Varadinu, gdje i ivi. Nakon zavrene osnovne kole, zavrava
Srednjokolski centar za obrazovanje NGRM kadrova Varadin u zvanju strojarski tehniar,a poslije
toga zavrio je VI stupanj FSB Zagreb, na konstrukcijskom smjeru, sa zvanjem ininjera strojarstva.
Radno iskustvo stekao je u poduzeu Kostwein proizvodnja strojeva d.o.o. na organizaciji toka roba.
Oenjen je, ima dvoje djece i stanuje u vlastitoj kuu u Varadinu s obitelji.
Gosp. Vladimi Marei roen je u Zagrebu, gdje i ivi. Nakon zavrene osnovne kole,
zavrava Srednjokolski centar Prvomajska Zagreb u zvanju strojarski tehniar, zavrio je struni
studij Proizvodnog strojarstva na Varadinskom veleuilitu sa zvanjem bacc. str... Radno iskustvo
stekao je u poduzeu Konar alatni strojevi d.o.o. na kontroli kvalitete. Oenjen je, ima dvoje djece i
stanuje u vlastitoj kuu u Varadinu s obitelji.
Sva etri vlasnika stekla su znanja na razliitim podrujima strojarstva, te e se tako
kvalitativno dopunjavati pred izazovima jo nerazvijenog posla. Dogovor vlasnika da se sve odluke
donose veinom tj. sa minimalno tri glasa, a za predsjednika uprave postavlja se Marko Gorski.
Dogovoreno je i da se u sluaju izlaska iz poduzea, otkup vlasnitva mora prvo ponuditi preostalim
lanovima uprave drutva.
Pravna pitanja rijeavati e se putem odvjetnikog drutva Odvjetniko drutvo Porobija i poljari
d.o.o., dok e se raunovodstvene usluge te problematika, vezana uz financijsko poslovanje voditi
putem knjigovodstvenog servisa FIS d.o.o. Varadin. Bankarske usluge i informacije biti e
servisirane od strane Zagrebake banke d.d.
1.7PLAN ZAPOLJAVANJA
Poduzee MEOC d.o.o. od odnivanja e imati etri stalno zaposlena, a to su ujedno i vlasnici
poduzea. Njihove plae e biti 7.000,00 kn u brutto isnosu, te dodatak za predsjednika uprave u

iznosu od 500,00 kn brutto. Poslovodstvo si nee isplaivati naknadu za putne trokove. Ovaj brutto
dohodak optereuje poduzee sa 33.600,00 kn mjeseno Ova brutto plaa isplaivati e se sve do
trenutka kada poduzee tri mjeseca uzastopno ne ostvari netto dobit veu od 10.000,00 kn.

Prema projekcijama nakon est mjeseci znaajno bi trebao porasti obim poslova, pa bi zaposlili jednog
strojarskog tehniara kao administratora/kontrolora, te jednog strojarskog tehniara kao terenskog
komercijalistu. Oba sa brutto plaom od 4.800,00 kn, to e ukupno sa putnim trokovima opteretiti
poduzee u iznosu od 11.600,00 kn.
Godinji iznos za plae svih zaposlenika u prvoj godini iznose 472.800,00 kn (1.godina), te 542.400,00
kn u slijedee dvije godine.

Zajam odobren od Zagrebake banke bio bi upotrijebljen na najam i obnovu poslovnog
prostora, te njegovo opremanje u ukupnom iznosu od 239.647,00 kn. Kancelarija e biti opremljena sa4 radna stola, stolicama, tri arhivna ormara, te prijenosnim raunalima i fotokopirnim strojem Konica-

Minolta, dok e Kontrolna soba biti opremljena sa dva prijenosna raunala i dva radna stola. Oprema
e sluiti za obavljanje poslova, planiranje tehnolokih procesa, voenje knjigovodstva,
dokumentacije, izradu kalkulacija i komunikaciju sa klijentima.
477.113,00 kn bitie utroeno na nabavu mjerne opreme koja nam je neophodna za u
inkovitu
kontrolu kvalitete. Radi se o mjernom stolu Rapid 754 sa radnim stolom veliine 700x400x500 mm, te
tonou od 0,0005 mm, zatim o rabljenoj mjernoj ruci Faro Arm Titanium sa mjernim stalkom i
softwareom koja omoguava precizno mjerenje strojnih dijelova maksimalne duljine 3,0 m, te setu
runog mjernog alata (mikrometri, dubinomjeri, pomine mjerke,....).
83.240,00 kn posluiti e za kupovinu dostavnog vozila Peugeot Tapee Access, kojim e se
poslovodstvo tvrtke koristiti u slubene svrhe, te za prijevoz robe u hitnim sluajevima.
200.000,00 kn sluiti e kao obrtna sredstva, dok e iznos od 150,000,00 kn ostati kao rezrva
zajma u sluaju da se pojavi iznenadna mogunost za kupnju mjerne opreme.
Ponude za svu opremu nalaze se u prilozima prijedloga.
1.9SAETAK
Poduzee je registrirano pod punim imenom MEOC-podrka u strojogradnji d.o.o., a poetna
slova dobivena su od engleske inaice: Mechanical Engineering Outsourcing Croatia. Poduzee je
osnovano od strane Marka Zborskog, Maria Pajtmana, Gorana Mikeci Vladimira Goraiai u 100%
je privatnom vlasnitvu, pri emu osnivai imaju jednake udjele.Osnivai i lanovi poslovodstva vei
broj godina rade u poduzeima iz ove brane i uvidjeli su da mnogi nai mali privrednici imaju
problema sa pronalaenjem poslova, a i nakon to ih pronau, sa osiguranjem kvalitete. Prosjena
cijena CNC obrade u Hrvatskoj kree se kod tokarenja od 15 do 30 EURa po satu, a kod glodanja od
18 do 45 EURa po satu, dok se cijena istih obrada u Italiji, Austriji te Njemakoj kree od 25 do 60
EURa po satu za tokarenje i 30 do 100 EURa za glodanje. Upravo u toj razlici, te potencijalu od oko
1000 do 5000 sati naih malih proizvoaa pronaena je nia za na poslovni poduhvat. Poduzee
MEOC e od svojih kupaca dobivati narudbe elektronskim putem (nacrti), te e ih na tehnolog
razraivati u korake radnih naloga. Ti koraci e biti izraivani kod naih koopernata, i to od jednog pa
do potrebnog broja, zavisno od tehnikih mogunosti kooperanta. MEOC e vriti zavrnu kontrolu
naruenih strojnih dijelova i isporuku naruiocu i u potpunosti odgovarati za kvalitetu proizvoda.
Poduzee e poslovati u iznajmljenom prostoru u Varadinu, na adresi Kuanska 25. U naravi radi se o
kombinaciji poslovno skladinog prostora, koji je idealan za nae poslovanje. Manjom
rekonstrukcijom, dio skladinog prostora e se izolirati i pretvoriti u kontrolnu sobu u kojoj e stalno
biti 20C potrebnih za tono mjerenje izradaka. Ostali dio kreditnih sredstava utroiti e se za nabavu

Flexibility of measuring range in all axesOur coordinate measuring machines RAPID / RAPID Plus
are characterised by the highest precision, compactness
and low maintenance demands. The machines come
equipped with precise optimized granite guides. Ceramic
guides of the highest quality may be supplied on request.
In this way the measuring machine acquires dynamics and
rigidity. Thermal stability and high guiding precision provide
for the most precise measuring results even without
substitution of software compensation. Double passive
vibration absorbers are standardly integrated in machines.
Machines can be delivered with pneumatic springinsulators upon customers request. This allows dampening
of especially low frequency oscillations.
Air bearings are enclosed as standard. Thus the guides are
protected against damage, dirt and direct temperature
impact. High-dynamic servo-motors and highly rigid belt
drives guarantee optimal positioning behaviour. These
factors make our machines ideal for scanning. Our

d. To the given name of all of the THOME Przision GmbH after any judgement inevitably to appearing repairs and spare deliveries the customer
has to give the necessary time and opportunity after notification with the THOME Przision GmbH, otherwise the THOME Przision GmbH is
released from the liability for defects. Only in urgent cases of the danger of the operational safety and to the defence of unreasonably big damagesand the THOME Przision GmbH is to be informed immediately, or if the THOME Przision GmbH is with the removal of the lack in delay the
customer has to let remove the right the lack or by third and to require substitute of the necessary costs from the supplier.
e. From by the repair or spare delivery originate to the immediate costs carries the THOME Przision GmbH - in so far as as itself the objectionputs outside as entitled - which costs of the spare part including the dispatch as well as the adequate costs of the removal and installation, further, if
this can be required for situation of the isolated case rightly, the costs of the possibly necessary Gestellung of his assemblers and assistants., For the
rest, the customer bears the costs.following for the spare part and the repair amounts to the Gewhrlei stungsfrist 3 months. She runs at least up to the expiry of the original
guarantee term for the object of delivery.
The term for the liability for defects in the object of delivery is extended by the duration of the business interruption caused by the repair works.g. By possibly on the part of the customer or third improperly without previous approval of the THOME Przision GmbH made changes or repair
works the liability for the results originating from it is lifted.
h. Other claims of the customer, in particular a claim to substitute of the damages which have not originated in the object of delivery themselves areexcluded.
This disclaimer of liability is not valid with intention or coarse carelessness of the owner or leading employees. He is not valid also with the
absence of qualities them are expressly assured if the assurance has just aimed to secure the customer against the damages which have not
originated in the object of delivery themselves.
7. Liability for accessory obligations
If the delivered object of the customer as a result of omitted or faulty implementation from before or after completion of the contract to recumbent
proposals and consultations as well as other contractual Nebenverpflichtungen - in particular instructions for service and servicing of the object of
delivery - vertragsgem cannot be used by fault of the THOME Przision GmbH, the regulations of the segment 6. and 9. are valid to theexclusion of other claims of the customer accordingly.
8. Surely of the customer on resignation and other liability of the THOME Przision GmbHa. The customer can withdraw from the contract if the whole achievement becomes finally impossible for the supplier before danger crossing. The
same is valid with incapacity of the supplier. The customer can also withdraw from the contract if with an order of objects of the same kind the
implementation of a part of the delivery becomes impossible after the number and he has a legitimate interest in the refusal of a part delivery; if thisis not the case, the customer can diminish the consideration accordingly.
b. If achievement delay is given for the purposes of the segment 3., and the customer grants an adequate extension with the explicit explanation to
the supplier located in delay that he rejects the acceptance of the achievement at the end of this term, and the extension is not kept, the customer isentitled to the resignation.
C. If the impossibility enters during the acceptance delay or by fault of the customer, this remains to the consideration obliged.
d. The customer has further a right to rescind if the supplier allows to spread an adequate extension put to him for the repair or spare delivery withregard to a lack to be represented by him for the purposes of the terms of delivery by his fault futilely. The right to rescind of the customer exists
from in other cases of the Fehlschlagens of the repair or Ersatzlie ferung by the supplier.
e. All the other further claims of the customer, in particular on change, notice or decrease as well as on substitute are excluded from damages ofsome kind namely also from such damages which have not originated in the object of delivery themselves.

9. Surely of the THOME Przision GmbH on resignationFor the case of unforeseen events for the purposes of the segment 3.d. of these general terms of business, provided that they change the commercial
relevance or the contents of the achievement considerably or have an effect on the company of the THOME Przision GmbH considerably, and for
the case afterwards of turning out impossibility of the implementation the contract is adapted appropriately. As far as this is not defensibleeconomically, stands to the THOME Przision GmbH the right to withdraw too all or part from the contract.
Compensation claims of the customer because of such a resignation do not exist. If wants to make the THOME Przision GmbH of the right torescind use, she has to inform of this after knowledge of the range of the event immediately the customer, namely also if first with the customer a
lengthening of the term of delivery was agreed.
10. E-mail
E-mails serve with the THOME Przision GmbH of the quick communication. They carry no signatures and can be changed by third. Obliging
arrangements are dispatched with the THOME Przision GmbH as a letter, scanned letter or fax and carry signatures according to the signatureregulation applying with the THOME Przision GmbH.
11. Place of fulfilment, legal venuea. Place of fulfilment for all deliveries and payments is of the companies sit.
b. With all disputes arising from the contractual relationship Darmstadt/Germany is agreed if the customer is an independent commercial agent, a
legal entity of the public right or a public law special property as a legal venue.
12. Other
a. Divergent terms of business of the customer are non-binding for the THOME Przision GmbH even if these is not expressly contradicted.b. The language of communication is German. It is worth the right of the Federal Republic of Germany.
c. Should one of the preceding conditions be ineffective, the remaining regulations are not touched from this. The contracting partners have to
substitute for an ineffective regulation with an allowed regulation which comes to the sense and the meaning most near the ineffective regulation.
