Afognak Native Corporation (Afognak) is an Alaska Native Corporation formed under the 1971 Alaska Native Claims Settlement Act (ANCSA) and through the 1977 merger of two Alaska Native village corporations: Natives of Afognak, Inc. and Port Lions Native Corporation. Alaska Native corporation shareholders are those Alaska Natives alive on December 18, 1971, who have proven their lineage to a respective region and village. Congress termed ANCSA enrollees “shareholders,” although being an ANCSA Shareholder is truly more comparable to a tribal membership—it is a lifetime enrollment that cannot be bought or sold.

Afognak represents and serves over 1,000 Shareholders who are descended from the Village of Afognak. As an Alaska Native corporation, Afognak is committed to meeting its economic, social, and cultural obligations to its Shareholders. It does so through revenue from Afognak Native Corporation, Alutiiq, LLC, and subsidiaries. By providing benefits to Shareholders and strengthening Ag’wanermiut, “Afognak people,” the companies empower every Shareholder and preserve the culture and heritage of the Alutiiq people.

As an Alaska Native Corporation, it is Afognak’s responsibility to empower its Shareholder through access to tools, resources, and support, to be the very best in whatever they choose to be. Whether the Shareholders choose to work for Afognak or pursue careers in other areas, it is a success. To this end, Afognak offers several comprehensive Shareholder development programs that target youth, college students, adults in career transitions, current and future employees, and Elders.

Afognak Native Corporation formed Alutiiq, LLC in December 1999 as a wholly-owned subsidiary of Afognak under ANCSA. The name “Alutiiq” honors the Shareholders of Afognak — the Indigenous people of Afognak Island, located in the Kodiak Archipelago in the Gulf of Alaska, and their descendants. Today, Afognak Native Corporation / Alutiiq, LLC and their subsidiaries have over 4,000 employees in nearly all 50 states, several territories and countries worldwide, providing a variety of contract services to the federal government and private business.

DividendsShareholder

The Board will decide twice a year (in the first and third quarter) the amount of dividends to distribute to Shareholders. In 2015, the Board adopted a new dividend policy that recognizes three separate sources for dividend payout: 1) Adjusted Comprehensive Income (ACI) from corporate operations, 2) Shareholder Permanent Investment Fund, 3) Shareholder Settlement Trust.

In the Board’s review process, they will assess performance and set the dividend amount, taking into account factors unique to each source.

Settlement Trust (SST)Shareholder

In 2006, the Shareholder Settlement Trust was created to help reach the goal of $100M for Shareholder future financial security. The SST is an irrevocable trust, meaning that the monies cannot be reverted back to the Corporation’s operating budget, and can only benefit the Shareholders directly. As an added benefit, the SST has a distinct tax advantage.

Investment Fund (SPIF)Shareholder Permanent

In 1989, the Board created the Shareholder Permanent Investment Fund (SPIF), modeled after the State of Alaska Permanent Fund, where a portion of revenues are deposited for long-term “permanent” investment. In 1996, the Board set a goal to reach $100M so that Shareholder dividends could be paid from earnings in perpetuity, independent of corporate operations.

Why was $100M the goal? Since 1993 the Corporation has been able to distribute dividends of approximately $50 per share or more, while still contributing to the SPIF and since 2006 the Trust, whichever the Board determines is most financially prudent. Financial analysis determined that a balance of $100M would sustain a consistent dividend from earnings.

Monthly BenefitElder

Caring for Elders is a core Alutiiq cultural value. Through the Elder Benefit program, Afognak honors Elders for their invaluable contributions to the Alutiiq people, Afognak, and the community.

In 2011, Afognak’s Board of Directors approved an Elder Benefit for all original Afognak Shareholders age 65 and older. This action was in response to a Shareholder survey in which 91% of respondents indicated that funding an Elder Benefit program was important. All eligible Elder Shareholders receive a monthly benefit (currently $500 per month). Each year the Board determines the Elder Benefit distribution amount.

ProgramBurial Donation

The Burial Donation Program provides assistance to families of original Shareholders during the most difficult time of their lives – while they are grieving. Families of an original Shareholder, who passes away, can receive up to $2,500.00 for assistance with funeral expenses. Once Shareholder Services has received the required documentation, funds can either be released directly to the funeral home or if proper documentation is provided released to the family member for reimbursement of the funeral expenses.

It is important to keep Afognak up to date on your current address. Shareholders can update their contact information in the following ways:

Whether in person or in writing; Shareholders must identify themselves with either their Shareholder ID number or the last four digits of their social security number.

SettlementsWills & Estate

Shareholder Services maintains all Shareholder records for the Corporation. It is highly recommended you contact the department to complete a stock will, Testamentary Disposition Form (TDF) to determine who inherits your shares. Shareholders may designate shares to anyone; however, shares willed to a non-Native become non-voting. Non-voting shares only regain their voting status if they revert to an Alaska Native in the future. Upon notification of a Shareholder’s death, and receipt of the death certificate staff will begin to process the estate In order to finalize the estate, all required paperwork must be submitted to Shareholder Services.

Afognak SharesGift of

Afognak Native Corporation’s programs are available only to Shareholders. By giving just one share to descendants, Voting Shareholders ensure their descendants become Shareholders who are able to participate in the many programs Afognak offers, including scholarships, trainings, and land programs. Voting Shareholders may gift their shares to their Alaska Native descendant defined as a child, grandchild, great-grandchild, niece, nephew, brother, or sister. Half-siblings are considered brother or sister, however this does not include step-siblings. In the case of an adoption, the adopted descendant can receive a gift of stock if the adoption occurred before the adoptee reached the age of 18 and is recognized at law or in equity. Gifts of stock must be made in whole shares only. Gifting of shares cannot be revoked once completed, and all transfers are final.

Every year three seats are open for election on the Board. Any qualified voting Shareholder over the age of 18 who would like to be considered as a candidate must fill out the appropriate paperwork by the requested deadline in order to be included in the proxy statement.

To be considered for a seat on the Board of Directors, a candidate must be a voting Shareholder of Afognak Native Corporation and at least 18 years of age. Additionally, candidates should, in accordance with Afognak Governance Policies, be persons qualified and capable to represent the Shareholders in the governance of Afognak.

Such qualifications include:

1. Knowledge about Native .organizations and issues, .interest in serving the Native .Community, and a willingness .to commit the time and study .necessary for all Board duties.

2. Willingness to put Shareholder .interests first in all Board . .duties and to put the .Corporation’s interests above . .their own interests.

3. Willingness to abide by the .group decisions of the Board .including bylaws, policies, and .other official decisions.

VotingShareholder

Voting Shareholders are defined as: an Alaska Native owner of Afognak Stock. Voting Shareholders hold the responsibility for ensuring the growth and strength of our Corporation by electing the Board of Directors. Each share of Afognak stock entitles a Voting Shareholder to three votes. Many elections have been won by a few votes. Every vote matters. Voting Shareholders may vote in one of two ways: in person at the Annual Meeting or by submitting a valid proxy. Proxies can be submitted via mail or the Internet. For more detailed information about the voting process please review your Proxy Statement.

Information MeetingsShareholder

Information meetings are held in Port Lions, Kodiak, Anchorage and Seattle with the Annual Meeting rotating between locations. Information Meetings include the majority of the presentations that will occur at the Annual Meeting. This is a great opportunity to have your questions answered and to connect with other Shareholders.

SurveyShareholder

The Afognak Board of Directors surveys all Shareholders, regardless of age or shares held, every five years to determine how supportive Shareholders are of various programs and to gather feedback on issues of importance. Survey results are mailed to all Shareholder head of households. Surveys were conducted in 2005, 2010 and 2015. The next scheduled survey will occur in 2020.

MeetingAnnual

Afognak is required by Alaska Statute, as written in the bylaws and articles of incorporation, to hold an Annual Meeting of its Shareholders. The Annual Meeting typically occurs in May. During the annual meeting Shareholders elect the Board of Directors, discuss other pertinent business, and receive notice of new HEP recipients.

Each March, Afognak produces its Annual Report to describe the previous year’s operations and financials. The first half of the report features management reports, photos and highlights of the year’s activities. Included is the Board’s Letter to the Shareholders, President/CEO’s Letter, Natural Resource Management update, Shareholder benefits, SPIF and SST information, an Afognak family of companies report, and a Financial Summary. The latter half contains the detailed audited consolidated financial statement and contact information. You can find a PDF copy of prior Annual Reports on My.Afognak.com. As Afognak is not a publicly traded corporation, the Annual Report is only available to Shareholders, staff, customers, and key consultants.

StatementsProxy

A proxy statement is sent to every Shareholder to coincide with the Annual Report mailing. This is a statement required to solicit Shareholder votes. The proxy statement includes voting procedures, Board Candidate background information, Board compensation, and executive compensation. Detailed instructions on how to vote for the candidate(s) of your choice are included in the proxy statement packet. Votes are tabulated by Afognak’s external elections inspector.

Each quarter, Shareholders receive a newsletter featuring letters from the Board Chair and the President/CEO, Shareholder Services, Finance, and Operations each contribute articles. Shareholders can also find a current calendar, notice of dividends, scholarships and other opportunities.

Clerical ServicesOffice

In both Kodiak and Anchorage, Shareholders may use the office copier and fax for 25 copies of non-commercial purposes free of charge. Assistance with filling out wills, stock gifting, or any other Afognak forms is also available. A computer with Internet access is available for Shareholder use at both locations.

ServiceNotary Public

Free notary services are available in the Anchorage and Kodiak offices. Services are only available during normal business hours. Shareholders must present a photo ID in order to have documents notarized.

Travel DiscountsRental Car & Hotel

At the start of the year Afognak negotiates reduced rates with various hotels and rental car agencies for Shareholders. The information is mailed to Shareholders once a year and is on My.Afognak.com for year round access.

Commuter CouponsRavn Airlines

Afognak Native Corporation Shareholders receive free admission to the Alutiiq Museum in Kodiak in appreciation for Afognak’s founding and annual donations. Afognak holds a seat on the Alutiiq Heritage Foundation Board, the governing body for the Alutiiq Museum. Because combined Native corporation sponsorships only fund 20% of the Alutiiq Museum’s operating costs, Afognak encourages its Shareholders, employees, and partners to renew their own annual membership (ranging from $30 to $250+). Program (HEP)Higher Education

Afognak provides financial scholarship and mentorship support to Shareholders with demonstrated scholastic ability who are seeking higher education in a traditional university, or at a vocational school. Applications are due in the spring of each year. Applications are available January 1 at My.Afognak.com, or through Koniag Education Foundation at www.koniageducation.org/sa. Funding is awarded annually and scholarship recipients are announced at the Annual Meeting.

HEP has three categories under which students may apply:

Full-Time Students: This category is for students attending school full-time during the academic year. Full-time traditional college or university status is defined as follows:

Undergraduate – 12 or more credit hours, orGraduate – 9 or more credit hours

Part-Time Students: This category is for students attending school part-time during the academic year. Part-time traditional college or university status is defined as follows:

Undergraduate – less than 12 credit hours, orGraduate – less than 9 credit hours

Vocational Education: This category is for students who are preparing for professions that are non-degree seeking.

Opportunity (CEO) ProgramCareer Enhancement

Afognak’s CEO Program provides funding for Afognak Shareholders who are Alaska Native to participate in events, trainings, educational classes and other opportunities that enhance their career opportunities. The CEO Program does not fund full-time traditional college or university attendance, which is defined as:

Undergraduate – 12 or more credits, orGraduate – 9 or more credits.

The two categories of eligible applicants:

(i) an adoptee of a Native or a descendant of a Native whose adoption occurred prior to majority and is recognized at law or in equity, and (ii) an adoptee whose adoption

occurred after the age of majority, but only if that adoptee is both a Native and a voting Shareholder.

Applicants must be accepted to, enrolled in, or be registered in a class or course that will improve career opportunities or current employment.

Applicants must be in good standing with Afognak’s other scholarship programs. Applicants not in good standing with Afognak scholarship programs will be considered on a case-by-case basis.

Program (YEP)Youth Enhancement

High school, middle, and elementary school-age Afognak Shareholders who are Native can receive up to $500 in a calendar year to attend athletic, scholastic, cultural, and leadership trainings, camps or events that will help the student reach his or her goals for success. Youth Enhancement Program (YEP) applications are available year-round until the budget is expended. Funding is limited and is on a first-come first-serve basis.

Examples of the types of trainings, camps or events that qualify for funding are: culture camps, sports camps, leadership events such as the Alaska Federation of Natives Elders and Youth Conference, music lessons or other trainings including funding for school programs. Funds are available until the budget is expended. YEP funding is evaluated on an annual basis by the Board of Directors. An applicant may apply as many times as desired as long as he or she does not receive more than $500 total per calendar year.

The two categories of eligible applicants:

(i) an adoptee of a Native or a descendant of a Native whose adoption occurred prior to majority and is recognized at law or in equity, and

(ii) an adoptee whose adoption occurred after the age of majority, but only if that adoptee is both a Native and a voting Shareholder. Applicants must be attending an elementary, middle or high school at the time of their application.

Intern ProgramHigh School

The High School Intern Program provides up to two Voting Shareholders, who are attending high school or have just graduated from high school, with work experience and an opportunity to explore career options. Through their internship experience, Interns learn about workplace ethics, employment opportunities available through Afognak, the global nature of Afognak, Alutiiq, LLC and their subsidiaries, and tips on how to excel in a team environment. High School Interns are required to work 40 hours per week over a two month period and are based in either the Kodiak or Anchorage office.

Intern ProgramCollege

Afognak’s College Intern Program is designed to build the next generation of Native leaders. Voting Shareholders who are full-time students attending college with a minimum of 12 credits are eligible for the program. Interns receive a full competitive wage; work 40 hours per week for two months during the summer where they will receive extensive training within a designated Department at Afognak or Alutiiq.

Applicants are scored on the following: application packet, cover letter, grade point average, and interview. The College Intern Program is only available in either the Kodiak or Anchorage office.

ProgramApprentice

The goal of the Apprentice program is to provide intensive on-the-job training to one or more highly motivated voting Shareholder who is interested in working in a mid-level position in Afognak Native Corporation, Alutiiq, LLC, or their subsidiaries. It is anticipated that through concentrated training and mentoring, the Apprentice will be qualified to enter his or her chosen field after one year of on-the-job training.

Apprentices are expected to work full-time (i.e., 40 hours a week). The length of employment is determined on a case-by-case basis to accommodate the training needs but will not exceed a one-year period. The work location varies depending on available work.

Manager ProgramAtaku (a-DA-ku)

The Ataku (Later On) Manager Program is a two-year, full-time program designed to provide voting Afognak Shareholders with the skills and knowledge base necessary to secure a managerial level position within an Alaska Native Corporation or other business. It is anticipated that through the program’s concentrated training and mentoring, the Ataku Manager will be prepared to assume a managerial level position upon successfully completing the program.

The Ataku Manager will work with an experienced department manager to learn the policies, procedures, and managerial philosophy of Afognak. The Ataku Manager will be responsible for supporting regular functions in their chosen department such as producing reports, monitoring contracts, and completing projects in accordance with contract and departmental requirements.

Leaders SummitFuture

Afognak Native Corporation co-sponsors a three-day Future Leaders Summit in Anchorage, Alaska. The goal of the Future Leaders Summit is to prepare voting Afognak Shareholders who are high school students with information to prepare them to enter the workforce and or attend a post secondary educational institution.

Afognak seeks to provide travel expenses (including airfare, lodging and meals) for up to six high school students to participate in the Summit.

Although Afognak has limited funds to pay transportation costs, the Summit is open to any high school student Shareholder.

Afognak Native Corporation co-initiated the first Native Executive Leadership Program. Qualifying Shareholders attend a year-long, two-days-per-month program aimed at preparing managers in Native organizations to assume higher levels of responsibility in their careers. ANELP units are part of Alaska Pacific University’s Master of Business Administration program, and they are transferable to other institutions.

Current Shareholder employees are eligible to receive up to $500/year in training funds to assist in accomplishing their career goals. Employees receive assistance researching trainings and are registered for training through Shareholder Development. Applications can be requested from Shareholder Services or Shareholder Development.

Hire PreferenceQualified Shareholder

In accordance with applicable law, it is the policy of Afognak Native Corporation/Alutiiq, LLC to give preference to qualified Afognak Native Corporation Shareholders in all phases of employment and training, including, but not limited to, hiring, promotions, transfers, and training opportunities.

Permit ProgramLand Use

Afognak implemented a Land Use Permit System to regulate the use of its most valuable resource. This System was expanded in 2004 to include the lands of Natives of Kodiak, Inc. (NOK), and Ouzinkie Native Corporation (ONC), forming the Joint Land Use Permit System. The lands administered under the Joint Land Use Permit System include land on Afognak Island, Kodiak Island, Raspberry Island, Spruce Island, and Whale Island.

Protecting its lands from illegal trespass and abuse is the primary goal of Afognak’s Land Use Permit System. Afognak Island is a focal point of security operations due to the high level of public interest generated by the island’s natural attractions for hunting, fishing and recreation. Afognak’s security officers are responsible for enforcing land use policies of Afognak, NOK, and ONC, while working in cooperation with government authorities.

Since the inception of Afognak Native Corporation (Afognak), it has sought various ways to protect its lands and provide Shareholders with access to traditional subsistence resources.

The Shareholder 5-Acre Lease Program began in 1982 to provide Afognak Shareholders with the opportunity to enter into long-term (99 years) land lease agreements for 5-acre parcels on Afognak’s land. In 2002, the land lease program was again opened to all Afognak Shareholders. Shareholder 5-acre lease parcels are concentrated in Afognak Bay, Raspberry Straits, Port Bailey and Kizhuyak Bay areas. Parcel selection has been closed since October 15, 2002, though the existing parcels are transferable among Shareholders. Shareholders now enjoy land use privileges on over 175 5-acre leases and utilize their parcels to continue their subsistence way of life and pursue recreational or economic opportunities.

Hunting & Subsistence ProgramAfognak Island

As an Alaska Native Corporation, Afognak’s first priority is to its Shareholders. As Alutiiq people, Shareholders value their traditional subsistence way of life and have lived for generations off the bounty of the land and sea. To support their traditional way of life, the Afognak Board of Directors has initiated the Shareholder Hunting and Subsistence Program. This program is designed to ensure the Shareholders have the first right to access Afognak Island lands for subsistence purposes.

Through the Shareholder Hunting and Subsistence Program, Afognak provides Shareholders free housing and transportation along the road system on Afognak Island. For more information on what is provided, what to bring, and scheduling, please contact the Kodiak Lands Office.

Flowers“We Care”

Flowers or a gift basket may be sent to Shareholders who are in the hospital. When receiving notice of a Shareholder who has passed away Shareholder Services arranges for flowers to be delivered to the funeral, or if requested by the Shareholder’s family, a charitable donation of $100.00 be made to charity of choice in lieu of flowers. Shareholder families are encouraged to contact Shareholder Services when a shareholder is either in the hospital or has passed away.

Through cooperation with the Native Village of Afognak, your Corporation provides a week of cultural activities at Dig Afognak. This Shareholder camp is designed to provide an opportunity for Shareholders to reconnect, share and learn Alutiiq cultural traditions, make new friends and visit the Old Village. There is limited space available.

Afognak Native Corporation has sponsored Alutiiq language and culture programs at the Native Village of Port Lions (NVOPL), Native Village of Afognak (NVA), Alutiiq Museum, Sun’aq Tribe of Kodiak, and Kodiak College.
