CAPITULO I

DENOMINACIÓN, FINES DOMICILIO Y ÁMBITO

Artículo 1. Conforme al artículo 22 de la Constitución y de acuerdo con el régimen jurídico

de la Ley Orgánica 1/2002, de 22 de Marzo, reguladora del Derecho de Asociaciones y

Normas complementarias, con la capacidad jurídica y plena capacidad de obrar y carente de

ánimo de lucro, se constituye La Sociedad de Prevención Deportiva Integral.

Artículo 2. Esta Sociedad se constituye por tiempo indefinido.

Artículo 3. La existencia de esta Sociedad tiene como fines:

1. Aplicar el software de integración X-cupware sobre administración deportiva.

2. Capacitar a los profesionales deportivos de la sociedad sobre el manejo de los equipos

biométricos de última generación.

3. Capacitar a los miembros profesionales o no sobre las medidas básicas de prevención

de lesiones.

4. Ofrecer y coordinar cursos de actualización para entrenadores y profesionales de la

salud pertenecientes a la sociedad.

5. Organizar eventos científicos de amparados sobre las acreditaciones internacionales de

la sociedad.

6. Organizar eventos para pequeños miembros en donde se le inculquen los valores del

fairplay (juego limpio).

Artículo 4. Para el cumplimiento de estos fines se realizarán las siguientes actividades:

1. Definir el rol y las competencias profesionales de la sociedad de prevención deportiva

integral.

2. Unificar periódicamente los criterios de procedimiento de la sociedad de prevención

deportiva integral y establecer protocolos de actuación consensuados y actualizados

basados en la evidencia científica.

3. Posibilitar la cooperación mutua y recíproca entre sus miembros, fomentando la

apertura de debate y dialogo entre los mismos.

4. Patrocinar y organizar eventos preventivos autonómicos, nacionales e internacionales.

5. Potenciar y posibilitar actuaciones de formación continuada y perfeccionamiento de la

sociedad de prevención deportiva integral.

6. Colaborar con otras entidades y asociaciones de naturaleza análoga, la administración

y demás entidades y organismos de carácter privado.

7. Asesorar a los organismos públicos o privados sobre temas relativos a la sociedad de

prevención deportiva integral.

8. Editar, por cualquier medio de difusión, todo tipo de publicaciones relacionadas con

los fines de la sociedad.

9. Prestar asistencia y soporte a sus asociados para temas de investigación en esta

disciplina.

10. Elaborar recomendaciones Preventivas de actuación.

11. Proyectar socialmente la sociedad de prevención deportiva integral.

12. Potenciar la imagen y la labor de los profesionales de la sociedad de prevención

deportiva integral.

13. Representar legalmente a sus asociados en sus relaciones con los organismos oficiales.

14. Cualquier otra actividad necesaria para la consecución de los fines de la sociedad.


Artículo 5. La Sociedad de Prevención Deportiva Integral establece su domicilio social en

Vicente Berdusán #16 6ª código postal 50010, Ciudad de Zaragoza. Sus actividades se

extenderán a todo el territorio del Estado español, pudiéndose constituir delegaciones o

representaciones de ámbito diverso y de representación internacional.

CAPITULO II

ÓRGANO DE REPRESENTACIÓN

Artículo 6. La sociedad Preventiva será gestionada y representada por una junta directiva

formada por: Un presidente, un vicepresidente, un secretario y un tesorero y cuantos vocales

sean necesarios para el buen funcionamiento de la sociedad, pudiéndose designar uno por

comunidad autónoma en representación de la misma.

Todos los cargos que componen la junta directiva serán no remunerados. Éstos serán

designados y revocados por la asamblea general extraordinaria y su mandato tendrá una

duración de 4 años. En el momento de constitución se nombra una junta directiva provisional

que será sustituida por la junta directiva definitiva en la primera asamblea general.

Artículo 7. Estos podrán causar baja por renuncia voluntaria comunicada por escrito a la

Junta Directiva, por incumplimiento de las obligaciones que tuvieran encomendadas y por

expiración del mandato.

Artículo 8. Los miembros de la Junta Directiva que hubieran agotado el plazo para el cual

fueron elegidos, continuarán ostentando sus cargos hasta el momento en que se produzca la

aceptación de los que les sustituyan.

Artículo 9. La Junta Directiva se reunirá cuantas veces lo determine su Presidente y a

iniciativa o petición de mayoría de sus miembros. Quedará constituida cuando asista la mitad

más uno de sus miembros y para que sus acuerdos sean válidos deberán ser tomados por

mayoría de votos. En caso de empate, el voto del Presidente será de calidad.

Artículo 10. Facultades de la Junta Directiva:

Las facultades de la Junta Directiva se extenderán, con carácter general a todos los actos

propios de las finalidades de la asociación, siempre que no requieran, según estos estatutos,

autorización expresa de la Asamblea General.

Son facultades particulares de la Junta Directiva:

a) Dirigir las actividades sociales y llevar la gestión económica y administrativa de la

asociación, acordando realizar los oportunos contratos y actos.

b) Ejecutar los acuerdos de la Asamblea General.


c) Formular y someter a la aprobación de la Asamblea General los Balances y las

Cuentas anuales.

d) Resolver sobre la admisión de nuevos asociados.

e) Nombrar delegados para alguna determinada actividad de la asociación.

f) Cualquier otra facultad que no sea de la exclusiva competencia de la Asamblea

General de socios.

Artículo 11. El Presidente tendrá las siguientes atribuciones: Representar legalmente a la

asociación ante toda clase de organismos públicos o privados; convocar, presidir y levantar

las sesiones que celebre la Asamblea General y la Junta Directiva, así como dirigir las

deliberaciones de una y otra; ordenar pagos y autorizar con su firma los documentos, actas y

correspondencia; adoptar cualquier medida urgente que la buena marcha de la asociación

aconseje o en el desarrollo de sus actividades resulte necesaria o conveniente, sin perjuicio de

dar cuenta posteriormente a la Junta Directiva.

Artículo 12. El Vicepresidente sustituirá al Presidente en ausencia de éste, motivada por

enfermedad o cualquier otra causa, y tendrá las mismas atribuciones que él.

Artículo 13. El Secretario tendrá a cargo la dirección de los trabajos puramente

administrativos de la asociación, expedirá certificaciones, llevará los libros de la asociación

legalmente establecidos y el fichero de asociados, y custodiará la documentación de la

entidad, haciendo que se cursen a las comunicaciones sobre designación de Junta Directivas y

demás acuerdos sociales inscribibles a los Registros correspondientes, así como la

presentación de las cuentas anuales y el cumplimiento de las obligaciones documentales en

los términos que legalmente correspondan.

Artículo 14. El Tesorero recaudará y custodiará los fondos pertenecientes a la asociación y

dará cumplimiento a las órdenes de pago que expida el Presidente.

Artículo 15. Los Vocales tendrán las obligaciones propias de su cargo como miembros de la

Junta Directiva, y así como las que nazcan de las delegaciones o comisiones de trabajo que la

propia Junta las encomiende.

Artículo 16. Las vacantes que se pudieran producir durante el mandato de cualquiera de los

miembros de la Junta Directiva serán cubiertas provisionalmente entre dichos miembros hasta

la elección definitiva por la Asamblea General Extraordinaria.

CAPITULO III

ASAMBLEA GENERAL


Artículo 17. La Asamblea General es el órgano supremo de gobierno la asociación y estará

integrada por todos los asociados.

Artículo 18. Las reuniones de la Asamblea General serán ordinarias y extraordinarias.

Artículo 19. Las convocatorias de las Asambleas Generales se realizarán por escrito

expresando el lugar, día y hora de la reunión así como el orden del día con expresión concreta

de los asuntos a tratar. Entre la convocatoria y el día señalando para la celebración de la

Asamblea en primera convocatoria habrán de mediar al menos quince días, pudiendo así

mismo hacerse constar si procediera la fecha y hora en que se reunirá la Asamblea en segunda

convocatoria, sin que entre una y otra pueda mediar un plazo inferior a una hora.

Artículo 20. Las Asambleas Generales, tanto ordinarias como extraordinarias, quedarán

válidamente constituidas en primera convocatoria cuando concurran a ella un tercio de los

asociados con derecho a voto, y en segunda convocatoria cualquiera que sea el número de

asociados con derecho a voto.

Los acuerdos se tomarán por mayoría simple de las personas presentes o representadas cuando

los votos afirmativos superen a los negativos, no siendo computables a estos efectos los votos

en blanco ni las abstenciones.

Será necesario mayoría cualificada de las personas presentes o representantes, que resultará

cuando los votos afirmativos superen la mitad de éstas, para:

a) Disolución de la entidad.

b) Modificación de estatutos.

c) Disposición o enajenación de bienes integrantes del inmovilizado.

Artículo 21. Son facultades de la Asamblea General Ordinaria:

a) Aprobar la gestión de la Junta Directiva.

b) Examinar y aprobar las Cuentas anuales.

c) Elegir a los miembros de la Junta Directiva.

d) Fijar las cuotas ordinaria o extraordinaria.

e) Disposición o enajenación de los bienes.

f) Cualquiera otra que no sea competencia atribuida a otro órgano social.

Artículo 22. Requieren acuerdo de la Asamblea General Extraordinaria convocada al efecto:

a) Modificación de los estatutos.

b) Disolución de la asociación.

CAPITULO IV

SOCIOS


Artículo 23. Podrán pertenecer a la asociación aquellas personas con capacidad de obrar que

tengan interés en el desarrollo de los fines de la asociación.

Artículo 24. Dentro de la asociación existirán las siguientes clases de socios:

a) Socios promotores, que serán aquellos que participen en el acto de constitución de la

asociación.

b) Socios de número, que serán los que ingresen después de la constitución de la

asociación.

c) Socios de honor, los que por su prestigio o por haber contribuido de modo

relevante a la dignificación y desarrollo de la asociación, se hagan acreedores a tal

distinción. El nombramiento de los socios de honor corresponderá a la Asamblea

General Ordinaria.

Artículo 25. Los socios causarán baja por alguna de las causas siguientes:

a) Por renuncia voluntaria, comunicada por escrito a la Junta Directiva.

b) Por incumplimiento de las obligaciones económicas, si dejara de satisfacer sus Cuotas

periódicas.

Artículo 26. Los socios de número y promotores tendrán los siguientes derechos:

a) Tomar parte en cuantas actividades organice la asociación en cumplimiento de sus

fines.

b) Disfrutar de todas las ventajas y beneficios que la asociación pueda obtener.

c) Participar en las Asambleas con voz y voto.

d) Ser electores y elegibles para los cargos directivos.

e) Recibir información sobre los acuerdos adoptados por los órganos de la asociación.

f) Hacer sugerencias a los miembros de la Junta Directiva en orden al mejor

cumplimiento de los fines de la asociación.

Artículo 27. Los socios promotores y de número tendrán las siguientes obligaciones:

a) Cumplir los presentes estatutos y los acuerdos válidos de las Asambleas y la Junta

Directiva.

b) Abonar las cuotas que se fijen.

c) Asistir a las Asambleas y demás actos que se organicen.

d) Desempeñar, en su caso, las obligaciones inherentes al cargo que ocupen.

Artículo 28. Los socios de honor tendrán las mismas obligaciones que los promotores y de

número a excepción de las previstas en los apartados b) y d), del artículo anterior.

Asimismo, tendrán los mismos derechos a excepción de los que figuran en los apartados c) y

d) del artículo 26, pudiendo asistir a las asambleas sin derecho de voto.


Artículo 29. Los recursos económicos previstos para el desarrollo de los fines y actividades

de la asociación serán los siguientes:

a) Las cuotas de socios, periódicas o extraordinarias.

b) Las subvenciones, patrocinios o herencias que pudiera recibir de forma legal por parte

de los asociados o de terceras personas.

c) Cualquier otro recurso lícito.

Artículo 30. En cuanto al Patrimonio inicial: La Sociedad carece de Fondo Social en el

momento de su constitución.

Artículo 31. El presupuesto anual de ingresos y gastos se formulará de acuerdo con los

principios establecidos por el Plan General Contable y demás disposiciones vigentes. Será

presentado en la Asamblea General, para su aprobación. El año económico comenzará el 1 de

enero y se cerrará el 31 de diciembre siguiente.

Integrarán el régimen documental y contable de la Sociedad:

a) El libro registro de socios.

b) El libro de actas.

c) Los libros de contabilidad.

d) El balance de situación y las cuentas de ingresos y gastos.

CAPITULO VI

DISOLUCIÓN

Artículo 32. Se disolverá voluntariamente cuando así lo acuerde la Asamblea General

Extraordinaria, convocada al efecto, por una mayoría de 2/3 de los asociados.

Artículo 33. En caso de disolución, se nombrará una comisión liquidadora la cual, una vez

extinguidas las deudas, el patrimonio resultante lo destinará para fines que no desvirtúen su

naturaleza no lucrativa.

DISPOSICIÓN ADICIONAL

En todo cuanto no esté previsto en los presentes estatutos se aplicará la vigente Ley Orgánica

1/2002, de 22 de marzo, reguladora del Derecho de Asociación, y las disposiciones

complementarias.

1. Defining the role and skills of comprehensive sports society prevention.

prevention protocols agreed and updated based on scientific evidence .

Three . Enabling mutual and reciprocal cooperation among its members , encouraging open

debate and dialogue between them.

April . Sponsor and organize regional, national and international preventive events.

May . Empower and enable continuous performance improvement and training of

comprehensive sports society of prevention.

6. Collaborate with other organizations and associations of a similar nature , administration

and other agencies and private organizations .

7. Advise public and private organizations on matters relating to the prevention

comprehensive sports society .

8. Editing , by any media , all kinds of publications related to the purposes of the society.

9. Provide assistance and support to its partners to research topics in the discipline.

10. Preventive Develop recommendations for action .

11. Designing socially integrated society sports prevention.

12. Promote the image and work of professionals comprehensive sports society prevention.

13. Legally represent its members in their dealings with government agencies .

14. Any other activities necessary to achieve the purposes of the society.

Article 5 . Society Sports Integral Prevention establishes its head office in Vicente Berdusán #

16 6 ª zip code 50010 , Ciudad de Zaragoza . Its activities cover the whole Spanish territory ,

being able to establish branches or representative of diverse scope and international

representation.


CHAPTER II

BODY OF REPRESENTATION

Article 6 The Preventive company will be managed and represented by a board of directors

made up . A president, vice president , secretary and treasurer, and few vowels are necessary

for the proper functioning of society , being able to designate one autonomous region

representing thereof.

All charges that make up the board are unpaid . They shall be appointed and removed by the

extraordinary general meeting and shall serve a term of 4 years . At the time of an interim

constitution that board will be replaced by the final board in the first general assembly

appointing .

Article 7. These may cease by voluntary resignation communicated in writing to the Board,

for breach of the obligations that were assigned and expiry of the mandate.

Article 8 . Members of the Board who have exhausted the time for which they were elected,

continue to hold office until the time of acceptance to replace them occurs.

Article 9 . The Board shall meet as often as determined by the President and or request

majority of its members . Be constituted when half plus one of its members and that their

agreements are valid shall be taken by majority vote . In case of equality of votes, the

Chairman shall have a casting .

Article 10 Powers of the Board. :

The powers of the Board shall extend generally to all acts proper purposes of the association,

if not require , as these statutes expressly authorized by the General Assembly.

They are particular powers of the Board :

a) Direct social activities and bring economic and administrative management of the

partnership, agreeing to carry out the necessary contracts and actions.

b ) to implement the resolutions of the General Assembly.

c ) Develop and submit for approval to the General Assembly and Annual Accounts Balances

.

d ) decide on the admission of new partners .

e) Appoint delegates for specific activity of the association .

f ) Any other power than the exclusive competence of the General Assembly members.

. Article 11 The President shall have the following powers: legally represent the association

before any kind of public or private agencies; convene , preside and meetings held by the

General Assembly and the Board, as well as the proceedings of both ; order payments and

authorize by signing the documents , records and correspondence; adopt any urgent as the


smooth running of the association or advise in the development of their activities is necessary

or desirable , subject to duly informing the Board.

Article 12 . The Vice President in his absence, due to illness or any other cause , and shall

have the same powers as him.

Article 13. The Secretary shall be responsible for the conduct of purely administrative work of

the association, issue certifications , take books legally established association and the

associated file , and safeguard the documentation of the organization, so that will be sent to

the communications designation of Board directives and other registrable social arrangements

to the corresponding records , as well as the presentation of the financial statements and

compliance with the terms documentary obligations legally apply.

Article 14 . The Treasurer shall collect and safeguard funds belonging to the association and

shall comply with the orders issued by the President .

Article 15 . The Members shall have the duties of his office as members of the Board

obligations, as well as those born of delegations or working committees of the Board to

require.

Article 16 . Vacancies that may occur during the term of any member of the Board shall be

provisionally filled between said members until the election by the Extraordinary General

Assembly.

CHAPTER III

GENERAL ASSEMBLY

Article 17 . The General Assembly is the supreme governing body of the association and shall

consist of all members.

Article 18 . Meetings of the General Assembly shall be ordinary or extraordinary.

Article 19 . Notices of General Meetings shall be in writing stating the place , day and hour of

the meeting and the agenda with concrete expression of the issues under discussion . Between

the announcement and the day pointing to the conclusion of the Assembly at the first call I

have to mediate at least fifteen days, so it can be recorded if appropriate date and time that the

Assembly will meet on the second call , no one to another to mediate within less than an hour.


Article 20 . , Both ordinary and extraordinary General Assemblies shall be validly constituted

on first call when her third of the members entitled to vote , and on second call regardless of

the number of members voting .

The decisions by a simple majority of those present or represented will be taken when the

yeas outweigh the negatives, not being eligible for this purpose blank votes and abstentions .

Qualified majority of those present or representatives , that will result when the votes exceed

b ) Amendment of bylaws.

c ) Provision or sale of immobilized assets.

Article 21 The powers of the General Assembly. :

a) Approve the management of the Board.

b ) Review and approve the annual accounts.

c ) elect the members of the Board.

d) Set the regular or special fees.

e) Arrangement or disposition of assets .

f ) Any other than social competence attributed to another organ.

Article 22 agreement require the Extraordinary General Meeting convened for that purpose . :

a) Amendment of the statutes.

b ) Dissolution of the association.

CHAPTER IV

PARTNERS

Article 23 . Those with capacity to act with an interest in the development of the aims of the

association may be belong to the association .

Article 24 Within the partnership will be the following classes of members . :

a) Partners promoters, which are those involved in the act of incorporation of the association.

b ) Partner number, which will be entering after the constitution of the association.

c ) Honorary members , who by their prestige or have contributed significantly to the dignity

and development of the association thus become worthy of such distinction. The appointment

of honorary members shall be for the General Assembly.

. Article 25 The members will drop by any of the following causes :

a) Voluntary resignation , communicated in writing to the Board.

b ) Failure to comply with the financial obligations if it failed to meet their periodic fees .


. Article number 26 partners and promoters have the following rights :

a) To take part in all activities organized by the association in accordance with its purposes.

b ) Enjoy all the advantages and benefits that the association can get.

c ) Participate in the Assembly and vote .

d ) Be voters and candidates for public office .

e) Be informed of the decisions taken by the organs of the association.

f ) Make recommendations to the members of the Board in order to best achieve the

objectives of the association .

. Article 27 development partners and number have the following obligations :

a) Comply with these bylaws and applicable Assemblies and Board arrangements.

b ) pay the fees that are set.

c ) Assist the Assemblies and other events organized .

d ) Perform , if the obligations inherent in the position they occupy.

Article 28. Honorary members shall have the same obligations as the promoters and number

except those provided for in paragraphs b ) and d) of the preceding article .

They will also have the same rights except those listed in paragraphs c ) and d) of article 26,

may attend meetings without voting rights .

. Article 29 The financial resources for the development of the aims and activities of the

association are:

a) Membership fees , regular or extraordinary .

b ) Grants , sponsorships or inheritances that could legally receive from partners or third

parties .

c ) Any other lawful action .

Article 30 As regards the initial capital . Lacks Society Social Fund at the time of its

formation .

Article 31 . Annual budget of income and expenditure shall be made in accordance with the

principles established by the General Accounting Plan and other regulations. It will be

presented at the General Assembly for approval . The fiscal year begins on 1 January and

ending 31 December following.

They integrate documentary and accounting treatment of the Company :

a) The register of members.

b ) The minute book .


c ) The accounting books .

d ) The balance sheet and income and expenditure accounts .

CHAPTER VI

SOLUTION

Article 32 . Was voluntarily dissolved when decided by the Extraordinary General Meeting

convened for that purpose , by a majority of two thirds of the members.

Article 33. Upon termination of a liquidation commission which , once extinguished debt, it

allocated the resulting equity for purposes that do not alter its non-profit nature will be named.

ADDITIONAL PROVISION

In all matters not provided for in these statutes Organic Law 1/2002 of 22 March regulating

the right of association , and additional provisions may apply .
