The Soma BreeZe Hotel Residences consist of upwards of 140 fully furnished apartment units benefiting from common central facilities usually associated with up-market resort hotels (swimming pools, gymnasium, concierged reception, engineering maintenance, central air-conditioning, children's club, and housekeep-ing).

The Soma BreeZe Hotel Residences are located within a large new tourism destination on the Red Sea, known as “Soma Bay”, aiming to become the premium resort destination in the area.

Soma Bay features some of the most beautiful sandy beaches of the Red Sea, year round sunshine, temperate climate both summer and winter, a selection of top-of-the-line hotels and resorts, an 18 hole championship golf course designed by Gary Player, a shorter 9 hole Par 3 course attached to the Cascades Golf Academy, superior scuba diving, world-class wind surfing, kite surfing, sailing, tennis, squash, a holistic Spa & Thalasso Center, a commercial and shopping center overlooking Soma Bay's Marina and much more.

Only fory five kilometers from Hurghada International Airport, and four hours flight from Central Europe, the ten million square meters self-contained peninsula of Soma Bay is surrounded on all sides by the sea. Over the past twelve years, substantial resources have been committed to transforming the peninsula of

Soma Bay into an exclusive up-market tourism destination, including the construction of infrastructure to world class standards financed by the World Bank.

The Peninsula of Soma Bay is some distance removed from the nearest public highway or air traffic lanes, and is accessed via a 7 km private road through a single controlled entry gate. Once inside the gateway, visitors enter a private and secure realm designed to offer a complete antidote to the congestion, hustle and pollution of modern urban life.

The purchase of a Soma BreeZe apartment entitles the owner to a number of privileges, including the use of the Hotel Residences's common central facilities, as well as access to Soma Bay's other facilities at preferential conditions.

The apartments can be either owner-occupied, or may be placed in a rental pool for all or part of each year, to be managed by Soma Bay's specialized hotel management company.

For the first two calendar years following the start-up of the Soma BreeZe Hotel Residences, the Developer has committed to make-up any shortfall in rental revenues in order to guarantee owners a minimum return of 5% per annum over the period during which an apartment unit is offered for rent under the Soma BreeZe's Apartment Rental Program.

The Soma BreeZe Hotel Residences are located on a choice 42,000 m2 site within Soma Bay. They are surrounded by The Cascades Champi-onship Golf Course and the Red Sea shoreline immediately beyond. All Soma BreeZe apartments have direct and immediate views on the Cascades Golf Course and the sea.

The Hotel Residences feature a central cascading swimming pool, a pool bar and restaurant (offering drinks and snacks), a children's club, a fully-equipped gymnasium overlooking the pool facilities, a reception lounge, a clinic and other public facilities.

Golf cart and bicycle pathways and parking areas have been designed along the main spines of the apartment wings to allow easy and convenient access to each apartment.

Architectural and landscaping design of The Soma BreeZe Hotel Residences has been entrusted to the same professional firms which have been responsible for Soma Bay's other flagship hotels.

Soma BreeZe apartments are available in a variety of configurations ranging in size from 111 m2 of internal space with 18 m2 of terraces, to up to 288 m2 of internal space with 74 m2 of terraces.

The units are delivered totally finished and outfitted with furniture, linen, dinnerware, flatware… ready to use on a turnkey basis. The Hotel Residences' residential wings generally consist of three floors (ground, second and third) with a limited number of prestigious penthouse units extending onto a top floor, thus adding variety to the skyline.

Apartment units include a number of indepen-dent studios which are being offered for sale in association with Two Bedroom, and Three Bedroom, Apartment Units. These studios have been designed with an independent access to allow for their separate rental.

Preliminary interior plans for each type of apartment are given in Appendix A. Each apartment will include the following features and facilities:

Complete interior furnishings and finishings consistent with Soma Bay’s currently operating flagship hotels, namely, the Sheraton Soma Bay Resort, Kempinski Hotel Soma Bay, and La Résidence des Cascades (a member of The Leading Hotels of the World®).

Central chilled water air conditioning with independent room controls.

Hot and cold running water.

A fully equipped kitchenette with electric appliances (fridge, combined microwave/oven, and electric cooking element together with cabinets and cooking, china and glass ware).

An electric clothes washer/dryer.

Telephone, satellite TV, and broadband internet service available through the Hotel Residences' central station.

Fire and smoke detectors connected to a central alarm system.

Aluminum windows with mosquito nets as appropriate.

The services which will be available to Soma BreeZe residents include:

Internet Broadband Access

All Soma BreeZe apartments will be enabled to access Soma Bay's high speed broadband internet network. This service will be accessible upon request against payment of a nominal monthly charge.

Satellite TV

Each Soma BreeZe apartment will be connected free of charge to Soma Bay's head-end satellite receiving station supplying "The Soma Bay Bouquet" consisting of all TV channels available at Soma Bay hotels. Additional channels may be accessible upon purchase of a special receiver and of subscription cards where relevant.

The Soma BreeZe Hotel Residences include a large sweet-water central swimming pool with cascading water features which will be available for use by all of its residents. A section of the pools will be heated during winter months.

Access to the Hotel Residences will be through a landscaped “porte-cochere” leading to a concierged reception lounge and adjoining lobby lounges, furnished to the standards of a first class hotel.

These facilities will be available to all residents providing a venue for communal social gather-ings. The lounges will also include a card or board game playing area.

A fully-equipped gymnasium overlooking the Hotel Residences' water features, a children's club with its own pool, and a snack bar adjoin-

ing the Hotel Residences’ swimming pools, complete the facilities available to residents.

Independent Studios

One of many interesting new concepts introduced by Soma BreeZe is the option to configure some of its apartments to allow for independent access to one of the apartment’s bedrooms, thus creating independent “studios.”

These studios are totally self-contained with their own bathroom and kitchenette.

They also have their own independent entrance so that, in the event an owner does not wish to use the studio for a period of time, the studios can be placed in the Rental Pool and generate income whilst the owner retains use of his/her basic apartment.

Owners of Soma BreeZe apartments units are entitled to attractive benefits offered by participating hotels and outlets throughout Soma Bay. Although subject to change from time to time the following are the principal elements of the currently applicable program. Owners of Soma Bay resort housing units (including Soma BreeZe apartments) are entitled to the following Privileges:

Access to Soma Bay's resident beach named “Bay Point” at preferential rates.

Preferential rates at Participating Hotels on their applicable tariffs for use of their swimming pools, fitness centers, tennis, squash or beach facilities (excluding during high season).

25% discount at Participating Hotels and other Outlets on applicable tariffs for food and beverages.

20% discount on treatments offered by Les Thermes Marins des Cascades (TMC), Soma Bay’s Holistic Spa & Thalasso Center.

20% discount on applicable green fees at The Cascades Championship and Challenge Golf Courses.

20% discount at the Soma Bay Dive Center.

Privileged berthing tariffs at Soma Bay's Marina.

Owner benefits will be on an individual basis and cannot be transferred from the beneficiary to others such as guests, visitors, lessees, etc.

Golf Memberships

In addition to the above privileges, the golf membership program entitles members to a steeper 50% discount on the green fee tariffs applicable at The Cascades Championship Course and at the Par 3 Challenge Course, as well as a 50% discount at The Cascades driving range including use of driving range balls and a 50% discount on rental of equipment and/or golf trolley and electric carts against payment of an annual fee.

Golf Cart Rental

The Developer plans to have a fleet of golf carts available for rental as a means of transportation throughout Soma Bay. In addition, a free shuttle bus service currently connects the hotels at Soma Bay with The Cascades Golf Course and Les Thermes Marins des Cascades. This service will be expanded to cover the Soma BreeZe Hotel Residences and Soma Bay’s commercial and entertainment center over-looking Soma Bay's Marina.

The following services will be provided to the apartments of Soma BreeZe:

Utilities

Utilities will be charged on a usage basis; electricity and water will be metered and charged at the rates prevailing throughout Soma Bay for these utilities.

General Services

Other

Air conditioning costs will be allocated pro-rata to each occupied apartment.

Telephone and ADSL (broadband) internet access will be available on a metered basis and will be billed separately consistent with the charges applicable at Soma Bay's other hotels and real estate units.

Housekeeping and laundry services will be available upon request at preferential rates.

The initial amount set for the general services charges will apply during the first 12 month period following the official opening date of the Soma BreeZe Hotel Residences. Subsequently, these charges will be subject to change in line with changes in the cost of supply of utilities and services; The Manager will be required to give three month's written notice to the apartment owners prior to the implementation of any such change.

Replacement Fund

A fund will be established to cover the cost of always maintaining the Hotel Residences in “as good as new” condition for the first four years of operation. This charge is calculated as 0.20% of the price of the apartment annually. The Replacement and Maintenance charge will increase to 0.4% of the purchase price effective from year five.

Accountability and Transparency

The manager shall annually present to apartment owner a statement showing the aggregate amount collected as maintenance charges and the disposition of these funds to cover both actual expenditures for the operation of the Soma BreeZe, and also the accruals to the Reserve for Replacements and Maintenance.

The levels of these charges shall be adjusted periodically by the Manager to keep them in line with the actual cost of operation and maintenance of the Soma BreeZe’s facilities. Any temporary surpluses or shortages resulting from the operation of the Hotel Residences shall accrue to, or be funded by, the Developer, and be carried forward to subsequent accounting periods.

Other Purchase Conditions

a The purchase of a Soma BreeZe Apartment Unit entitles the owner to a free-hold interest in the unit and access to Soma BreeZe’s common areas (pools, reception, etc).

b Owners will be bound to adhere to common rules established by the Manager designed to ensure the proper operation of the Hotel Residences.

c Each owner shall irrevocably agree to the appointment of the Manager of The Hotel Residences, as designated from time to time by the Developer, and shall irrevocably entrust the Manager with full rights to operate the Hotel Residences as the Manager sees fit, consistent with the common welfare of the Hotel Residences and of Soma Bay.

d The land allocated to the Project and the common facilities shall remain the property of the Developer with all apartment owners being entitled to use such common facilities, either free of charge or at preferential rates.

e Any eventual secondary sale of an apartment unit by its original owner shall necessarily require that the secondary purchaser adheres to the principles of common management of the Soma BreeZe Hotel Residences as outlined above.

f All secondary sales of Soma BreeZe apartment units shall require that the secondary purchaser explicitly acknowledges the restrictions and conditions applicable to each unit as outlined above, including this one.Hotel Residences as outlined above.

g The Developer shall at all times have a right of first refusal in connection with any proposed secondary sale of a Soma BreeZe apartment unit.

Among the many benefits of owning of a Soma BreeZe Apartment is the option available to each owner to place his/her apartment into a managed rental pool, during the period(s) when the apartment is not owner-occupied.

In order to place an apartment in the rental pool, or to withdraw it therefrom, three months written notice will need to be given to The Manager. The Manager shall have sole discretion to accept or reject any application to place an apartment within the pool, but no such discretion will apply in connection with the withdrawal of apartment units from the pool.

The Manager

The Developer has established a separate specialist hotel management company (Soma Bay Hotel Management Company). This entity is currently managing La Residence des Cascades (a member of The Leading Hotels of the World), The Breakers – Diving and Surfing Lodge, the Cascades Hotel Residences, and the Soma BreeZe Hotel Residences. The Manager shall have sole responsibility to arrange for the rental or letting of the apartments placed within the pool, and for otherwise managing all aspects of the operations of the Soma BreeZe Hotel Residences.

Accounting

The Manager shall account on a quarterly basis to each owner of the apartments placed in the pool for revenues generated globally from the rental of the apartments within the pool.

Expense deductions from rental revenues shall consist of:

a The actual expenses incurred by the Hotel Residences (such as utilities, salaries, laundry, taxes, service charges, etc.)

b A Basic Fee accruing to the Manager amounting to 1.5% of gross rental revenues net of sales taxes.

c The net difference between revenues and expenses for each calendar quarter shall be deemed the Gross Quarterly Operating Profit of the Pool. In the event of a Gross Operating Loss, this loss shall be carried forward and recovered from subsequent accounting periods.

The Gross Quarterly Operating Profit shall then be apportioned as follows:20% payable to The Manager, to be deemed the Manager's Incentive Fee.80% payable to the owners of the apartments within the pool, to be deemed the Net Quarterly

Operating Profit (NOP). The NOP shall be apportioned among the apartments participating in the pool on a weighted basis. The weighting of each apartment shall consist of the number of days during which the apartment was included in the Pool during the relevant quarter, multiplied by a "rental index" reflecting the type and size of the apartment unit.

During the first calendar year following the official opening of the Soma BreeZe Hotel Residences the rental index for each type of unit shall be as shown further below. Subsequently, they shall be subject to change at the Manager's discretion upon giving three months written notice to all apartment owners; any such change to reflect the actual rental revenue yielded per type of rental unit in the preceding period.

Based on the current average occupancy rates and average unit revenues achieved by Sheraton Soma Bay Resort on its premium suites (whose configuration is similar to the Basic Soma BreeZe apartment unit), and making appropriate adjustments therefrom, it has been conservatively estimated that a Soma BreeZe apartment unit placed in the proposed Rental Program should yield the owner a return of the order of 7% per annum. Occupancy rates during the first period of operation may initially be lower than anticipated as the property is first introduced to the market, but occupancy levels should improve with time to reach an anticipated average level of 65% per calendar year. Average unit rental revenues are also expected to increase as Soma Bay matures and becomes more widely known to the market at large. As this happens rental yields to apartment owners should increase in consequence, to reach and surpass the estimated level referred to above.

The operating track-record of hotels at Soma Bay suggests that it takes 2 to 3 years following start-up for a property to become known to the market and to reach occupancy rates approaching longer-term trends. As a result, the Developer has agreed to make-up any shortfall in rental revenues during the first two years of operation of the Soma BreeZe Hotel Residences such as to ensure a minimum annualized pre-tax return of 5% (or 4% after currently applicable taxes) to apartment owners during the period in which each apartment is placed in the Soma BreeZe Rental Program. The commitment of the Developer to make-up any such shortfall shall be determined at the end of each of the first two calendar years following the date of project start-up, and shall be calculated on the basis of the following formula:

In the event that the actual pre-tax NOP distributed on an apartment unit during the calendar year is equal or greater than 5% of its purchase price, the Developer's corresponding commitment will be zero. Any payment by the Developer on account of the minimum return commitment will be carried forward as a payable due to the Developer, to be repaid without interest from future Net Operating Profit, generated from the same apartment unit, subject that any such re-payment does not reduce the NOP distributed to the apartment Owner below a minimum annualized pre-tax return of 5% compared to the apartment unit's purchase price.

Estimated Rental Yields

The rental income which an owner can expect to receive from an apartment which is placed in the Soma BreeZe Rental Program will depend upon three fundamental factors: (a) the average rental occupancy ratio achieved on the apartments placed in the rental pool, (b) the average daily revenue achieved from the rental of such units (referred to by hotel operators as the "Average Room Revenue", or A.R.R.), and, (c) the ratio of operating profits after deduction of operating expenses (or GOP) to rental revenues.

The following matrix shows the rental yield (rental income as a percentage of the apartment purchase price) under various assumptions. This has been calculated for the case of a typical one bedroom apartment (Type A) priced at 280,000 Euros.

Type A Soma BreeZe apartments consist of 123 m2 of internal space with 36 m2 of terraces.

By comparison the largest one bedroom suite at the Sheraton Soma Bay Resort consists of 75 m2 of internal space with 60 m2 of terraces.

During 2010 the Sheraton suites achieved an average room rate of close to 167 Euros/day and an average occupancy ratio of 50%. The average GOP/Rev ratio for the Sheraton Soma Bay Resort for the year 2011 was 46%.

Deliveries of Soma BreeZe Hotel Residences are expected to start by end 2012.

Payment of 25% of the purchase price is due on signature of the sale contract. The balance of the purchase price for each apartment unit is then to be made in five construction-related installments dependent on the completion of milestone events, as shown in the table shown below. The request for payment of each installment shall be accompanied by a certificate from the engineering consultant to the project certifying completion of the relevant milestone. The final payment of 15% of the purchase price of the unit shall be made at delivery.

Any eventual secondary sale of an apartment unit by its original owner shall necessarily require that the secondary purchaser adheres to the principles of common management of the Soma BreeZe Hotel Residences as outlined above. Accordingly, all secondary sales of Soma BreeZe apartment units shall require that the secondary (or subsequent) purchaser explicitly acknowledges the restrictions and conditions applicable to each unit as outlined above.

The Developer shall at all times have a right of first refusal in connection with any proposed secondary sale of a Soma BreeZe apartment unit.

Over the past few years the Egyptian regulatory environment governing property ownership, foreign currency and taxes has changed fundamentally with the aim of encouraging foreign investment.

Property Ownership There are no legal restrictions on foreign ownership on a freehold basis of resort housing units at Soma Bay. The purchase and sale of these units is unrestricted. Legal title to the property is evidenced through the execution of a preliminary sale/purchase contract, which may be registered in due course with the Real Estate Registry once the property is built.

Foreign Currency Regulations

There are no restrictions in Egypt to the entry and/or re-export of capital. Rental income generated from the ownership of resort housing units is also not subject to any currency controls or restrictions. Official foreign currency reserves held by the Central Bank of Egypt have increased from 16.5 billion USD at the start of 2005 to reach over 35 billion USD by mid 2010.

Fiscal Environment

Soma BreeZe apartment owners will be subject to the following fiscal environment:

Sales Taxes: Rental revenues generated from apartment units placed under the Soma BreeZe Apartment Rental Program will be subject to a 10% sales tax. This level of sales tax applies to all hotel operations in Egypt.Income Tax: The Net Operating Profit distributed to apartment owners resulting from the rental pool, after deduction of depreciation on the unit shall be subject to a graduated income tax which will be deducted at source, based on the following currently applicable schedule:

Capital Gain/Transaction Tax: Egyptian tax legislation provides for a 2,5% on the proceeds of all real estate property transactions, conditional on the property being located within city limits. Soma Bay is located outside of the city limits of the nearest town under currently applicable regulations. The real estate transaction tax is consequently not expected to apply to Soma BreeZe apartment units.Real Estate Tax: A new real estate tax law has been submitted to Parliament, incorporating a new annual tax on all real estate property. The basis for calculation of this new property tax is based on a theoretical rental value for the property. If and when passed the impact of this new real estate tax on Soma BreeZe units is expected to be relatively modest, not exceeding 2000 Euros per annum per apartment unit.

Soma Bay is a Master Planned tourism destina-tion on the Egypt’s Red Sea. Covering over 10 million square meters (or 10 square kilometers), the peninsula of Soma Bay is surrounded on all sides by the sea.

Only 45 kilometers from Hurghada Interna-tional Airport, Soma Bay is the premium resort destination on the Red Sea.

The Peninsula of Soma Bay is some distance removed from the nearest public highway or air traffic lanes. It is accessed via a 7 km private road through a single controlled entry gate.

Once inside the gateway, the visitor enters a private and secure realm designed to offer a

variety of leisure and wellness activities far removed from the congestion of modern urban life.

In 1991, Soma Bay Development Company acquired the site from Egypt's Ministry of Tourism and concurrently secured financing from the World Bank for the purpose of constructing infrastructure facilities necessary to support the development of a new world-class tourism community on the Peninsula of Soma Bay.

Since then, substantial resources have been committed to transforming the Peninsula into an exclusive up-market tourism destination. Soma Bay’s infrastructure network includes:

The Cascades is Soma Bay's Golf & Country Club which provides a sporting and social focal point for the Peninsula's community, centering on one of Egypt's most stunning desert links-style golf courses. The designed course is the first in many ways in Egypt. Not only is it the first golf course open for play on the Western Red Sea coast, it is the first Championship Course in the Middle East designed by one of the “Big Three” (Gary Player, Jack Nicklaus, Arnold Palmer). Les Thermes Marins des Cascades (TMC), Holistic Spa and Thalasso Center offers a full range of treatments from its extensive facilities at Soma Bay. Soma Bay Dive Center

The purpose-built diving center at Soma Bay is one of the largest and most well-equipped in the Red Sea, situated on a 1 km stretch of house reef that is packed with diverse marine life. Managing the Soma Bay Dive Center is Orca Dive Clubs operating in the Red Sea since 1990. Orca has a reputation for excellence of service and an exceptionally high repeat guest rate of around 90%. A 420-meter Jetty extends directly from the Dive Center to the reef with electric cars that are available for carrying equip-ment (and divers!) for effortless access to the reef. A large turquoise blue lagoon lies at the front of the reef and provides sheltered waters ideal for training. The diving center also offers spacious changing facilities and showers, classrooms with AV equipment, bar, shop and personal lockers. A fleet of dive boats access the many beautiful dive sites in the Safaga region from the Soma Bay marina.

Located on a unique and remote origin beach the 70 ft Kite Center offers world-class conditions for the beginner and more proficient kite surfer.

Apartment Options

Soma BreeZe apartments come in a variety of configurations.

The Basic 1 Bedroom Unit (Types A and B) consist of Living Room, Kitchenette, Bedroom and Bathroom with a slight variation in design depending on the unit’s location.

Add-on options to the Basic Unit consist of either:

a) A second bedroom (Types C, D, E, F and H)

b) The conversion of the second bedroom into an Independent Studio that can be accessed either

internally or externally to allow for its independent rental.

c) A third bedroom, with the additional option of having either one or both bedrooms additional

to the Basic Unit as Independent Studios so that they also can be rented independently.

A limited number of larger “Deluxe” one bedroom units and “Penthouse” two bedroom units are also on offer (Types C and H respectively).

Finally, the Soma BreeZe also incorporates at various choice locations a very few prestigious duplexes with an internal private staircase consisting of living areas and an independent studio on the entrance floor (Floor 2) and two additional bedrooms on the Penthouse Floor (Type K).
