NOTICE INVITING TENDER

Sealed Tenders under TWO Bid System ( Technical and Financial Bids ) are invited by Divisional Engineer

Transmission Maintenance (CXL) , STR BSNL, Tirunelveli on behalf of Southern Telecom Region ( STR),

BSNL from the reputed contractors/ agencies for “Providing House Keeping &

Driver Services in BSNL, STR-Tirunelveli”for a Period of One Year.

1 Nature of Work House Keeping and Driver Services in Transmission centres

of TIRUNELVELI Division in STR for a period of One Year.

SECTION – II

1. SCOPE OF THE WORK :

BSNL, STR, Tirunelveli Requires Different Services ( House Keeping & Driver Services )

for Different Service Regions ( A, B & C Locations )

with Different Service Type ( Full Month , One Day & Half Day ) as furnished below.

DIFFERENT SERVICE REQUIREMENT:-

Housekeeping Services-Sweeping , mopping of entire office premises, Cleaning of toilets,

urinals , wash basins and OFC route patrolling and protection of cable route.

Driver services: Driver Services with valid license for driving the BSNL Vehicles

DIFFERENT SERVICE REGIONS :-

The Different Locations where Services are Required are classified as Declared by Labour

Commission into A-Region( Full Urban ) ,B-Regions ( Semi-Urban) and C-Regions ( Rural Areas )

DIFFERENT SERVICE TYPES :-

On Full Month Basis for Regular Working( Daily 8 Hours Duty for Full Month )

On Day basis for Contingency Requirements( 8 hours Duty for Only One day )

On Part Time Basis Contingency Requirement (4 Hours Duty for Half day)

MATERIAL SUPPLY:

In Connection with House Keeping Services, The Contract Agency is expected to supply Cleaning

Materials Required at all Locations.

Note: The contractor has to provide unskilled& skilled services of temporary nature for normally 26

days in a month . The no. of hours/Services of unskilled & skilled work required per location/station

may vary from one month to another month depending up on the work load. New stations may be

added or existing ones may be cancelled based on maintenance requirements. The work load will be

reviewed each month and work order will be issued accordingly.

The Details of Location wise Requirement of Housekeeping and Driver Services alongwith

associated Regions as per Labour Commission is furnished in Schedule of Requirement

(Section – II clause 2 )

3. DESCRIPTION OF WORK –House Keeping Services :

3.1.Sweeping , dusting, cleaning , mopping and removal of spider web/ cobweb, etc of all the floors,

tables, chairs, side racks, almirahs and other furniture items available in the entire office premises ,

equipment Rooms, AC/Battery/ Power Plant Rooms, Passages, Corridors, etc .

32.2. Cleaning and dusting of equipment installations, testing instruments, air conditioning plants and

all other installations available in the station, without disturbing the continuous working of the

equipment and systems in the station and Dusting and mopping of the doors, windows, ventilators and

other parts of the room including cleaning of carpets , Coir Mats, and Foot Mats, Cleaning of

Partitions, Windows, doors etc as frequently as possible or whenever ordered by the supervisory staff

on duty.

3.3.The garbage collected must be taken away to the nearest Dust Bin provided by Corporation in the

public road. All the garbage collected in the dust bin of the office as well as in the toilets, wash basins

are to be cleared along with the garbage swept.

3.4. Cleaning of Wash Rooms, Washbasins, etc. :Cleaning of the floors & tiled walls with Phenol and

cleaning with acid and providing urinal cake and naphthalene balls. Hanging of room freshener cake

in the Wash Rooms.

3.5. Cleaning of Water drums, Water filters and filling water :Cleaning of containers with appropriate

cleaning materials and filling drinking water and boiling the drinking water wherever water heaters are

available.

3.6. Cleaning of Office machines: FAX, Xerox machines, Computers and Printers to be carefully

cleaned with soft brushes without affecting the functioning of the machines. These works shall be done

in the presence of officials operating the machines. The dust from the electrical items such as Fans,

Lights, Tube lights and other fittings shall be removed gently and carefully with the soft wet or dry

clothes.

3.7.Cleaning of furniture, telephone instruments, perfuming the telephone receivers. Cleaning the

visitors’ chairs, Carefully washing the water jugs, flasks, cups etc. provided in the Officers' chambers,

spraying perfumes.

3.8. In STR staff quarters colony : Pumping of water, Operation of water treatment plant, Street lights,

compound wall lights, park lights etc. watering of Horticulture area, maintenance of all items in the

rest rooms and cleaning / bush cutting of entire compound etc . 24 Hrs watch and ward work and

movement of vehicle should be entered in a separate register, cleaning of garage, supply of

refreshment to the persons staying in the rest rooms as and when required and any other work assigned

by the officer concerned.

3.9. Photo copying, making sets of reports and other general documents, Despatch and delivery of

official letters by messenger , ordinary post and registered post ,Distribution of office dak & files of

general nature among officers and any other work assigned by the Officer-in-charge has to be carried

out properly.

3.10. OFC route patrolling and protection of cable route: Bush cutting and cleaning around the

OFC indicators, digging of test bits, opening of manhole, trenching, opening of joint pits and pipe

laying and cable pulling during the cable protection and fault restoration work in OFC routes and

any other work assigned in out door by the JTO/SDE.

3.11. Assisting JTOs /SDEs on duty in the office /indoor equipment room/ staff Quarters.

3.12. Any petty works for corrective maintenance to be carried out.

3.13. Any other work assigned by the Officer-in-charge has to be carried out.

3.14. Supply of cleaning material for the station for the above cleaning works wherever applicable .

3.15. Necessary materials such as scented phenyl / soap oil, acid, urinal cakes, bleaching powder,

cleaning powder, naphthalene balls, mopsticks, brooms, cobweb sticks, brushes, duster cloths etc.

for cleaning and sweeping shall be arranged by the tenderer. The cleaning materials should

necessarily be handed over to the SDE / JTO in-charge of the respective building and thecertified

delivery Chelan for the same should be enclosed along with the monthly bill.

4. DESCRIPTION OF WORK -- Driver Services:

4.1. Driving of BSNL Departmental Light/Medium/Heavy Vehicles and Driver must have

appropriate driving license.

4.2 Daily Maintenance of vehicles including cleaning and dusting (inside and outside of vehicles),

mopping with soaked and wet clothes to entire body and flooring, window glasses of vehicles daily.

4.3 Checking of Engine, Oil level, Air Pressure of the tyre & tubes, general greasing and nut-bolt

tightening. Maintain the vehicle and timely servicing of the vehicles. Keeping tool box updated.

4.4 Checking and keeping first-aid box and essential spare parts of the vehicles during the run.

4.5. Maintaining of register (Log Book) for consumption of diesel, oil and other consumable.

4.6 Taking water in water-Jug 4-5 liters and serving Drinking water to the Traveling Officers.

Always keep in ready conditions Torch, Wheel-Jack, Duster Cloth & Hand Washing Soap, Towels,

etc.,

4.7 Driver will be responsible for keeping vehicles R.T.O. Documents, Insurance Papers, and

Driving License in the vehicle and to be shown to the Inspecting Officer during the inspections.

4.8 Any other works assigned by the Officer-in-charge have to be carried out.

4.9 For Detailed Responsibility and Special Condition for Providing Driver Services kindly refer -

Section-IV clause 25

5. PERIOD OF CONRACT The Period of Contract is initially for One Year and is extendable for further Six Months

6. PENALTY :

1. If the service hired is stopped for whatsoever may be the reason on any day, a penalty of Rs.350/-

( Rupees Three hundred and fifty only) per service / per day shall be imposed by BSNL.

2. If the quality of work is not satisfactory, a penalty of Rs.350/- per day of service for the affected

services shall be imposed by BSNL.

3. The decision of the designated officer of BSNL for this purpose shall be final and binding on the

contractor.

SECTION – III

GUIDELINES AND INSTRUCTIONS TO THE TENDERERS:

1. Tender documents can be had from the Divisional Engineer Office shown above ( Sec II- Clause 2 ) or

can be downloaded from web site www.tender.bsnl.co.in/str and the filled Tenders are to be dropped in the

tender box kept in the concerned Divisional Engineer’s office.

All communications will be only through SMS & Email and hence all bidders are requested to

furnish their authorized and valid mobile number & E mail ID in the Tenderers Profile.

The Tenderer must carefully read all the terms & conditions and specifications before filling up the Tender

schedule and his quotation. The Tenderers are requested to get well acquainted with the Tender conditions

and the Guidelines supplied hereunder. Such of those Tenderers who cannot read English may get the Tender

documents translated in the language known to them, at their own risk and understand the conditions.

Clarifications, if any, can be had as mentioned in Para – 2 (B)(iv) below.

The Divisional Engineer in charge of the works is the Authorized Representative of the Bharat Sanchar

Nigam Limited, herein after called the Officer-in-Charge, may authorize the Sub Divisional Engineer/Junior

Telecom Officer wherever necessary to supervise and oversee the services provided on his behalf.

2 ELIGIBILITY CRITERIA : The Registered Societies of Ex. Servicemen Company/Firm/agency

with experience in providing the services of House keeping / Driver Services of Temporary Nature as

job Contract for BSNL /PSU etc.

The following conditions must be fulfilled by the bidder to be eligible for this tender

a) The bidder must have minimum of three years experience of providing housekeeping services / Driving & Up keep of vehicles to BSNL or State/Central Govt./PSU

organizations during the last five years from the date of publication of NIT. As a proof of

experience, the work orders along with performance certificate for having successfully

performed the services of Providing housekeeping & Upkeep vehicle services, signed

not below the rank of AGM /DE in BSNL or from Competent Authority in case of other

organization(s) to be enclosed.

b) The bidder should be Indian firm/company registered for providing Housekeeping/Up-

Keep services.

c) The contractor/bidder must have an average Annual Financial turnover of not less than

30 lakhs during last 3 financial years between 2012-13 to 2014-15 (2012-13, 2013-14 and

2014-15). This should be supported by Profit & Loss Statement duly certified by

Auditors/CA.

d) Income tax returns for any three Assessment years between 2011-12, 2012-13, 2013-14

and 2014-15 to be submitted.

e) The bidder should have PAN No. (In case of Partnership / Pvt. Ltd. firm PAN No of firm

is required & in case of Proprietorship firm PAN No. of proprietor is to be enclosed).

f) The bidder must have a valid ESI and EPF registration.

g) The Bidder must have registered with Service Tax Authorities.

h) Bidder must submit duly filled Bidder’s profile with Questionnaire as per Section V.

i) The bidder should have registered with the Department of labour in the jurisdiction of

Tamil Nadu. If not registered, an undertaking to be submitted for producing the license

before the start of the work.

2(B). OTHER IMPORTANT INSTRUCTIONS :

i. Providing House keeping & Driver services of temporary nature for the Transmission Centres of

Indoor / Outdoor offices under the control of Transmission Maintenance Division as per Section II clause

2 coming under the jurisdiction of the GMM, STR, Chennai for a period of one Year , which can

be extended for further six months.

ii. BSNL may issue any amendment in the Tender document till last date of the Tender. The same

will be published only in the Website. All the bidders are expected to check for any amendment

issued in the Website.

iii. The prospective bidders are advised to make a detailed survey of the stations /offices, so that the

rates may be quoted taking all factors into consideration.

iv. TheTenderer shall quote the percentage of Profit Margin for providing House keeping & driver

services in Section VII (FINANCIAL BID FORM) above the BASIC STANDARD RATE

Released by Administration ( Refer Labour Commission minimum wages). The same is given in

Section-VII /Annexure –I for Different Services/ Regions-A, B & C/ Types ( Full Month, One Day-

8hrs, Half Day-4 hrs) .

v. Any clarification on the details of the work can be obtained from the Concerned Divisional

Engineer on all working days, between 1100 hours and 1600 hours up to 10 days prior to the

opening of the tender.

vi. The successful Tenderer should produce the General Insurance Policy made for a minimum of

Rs. 1,00,000/- (Rupees one lakh only) per Division (separately for House Keeping Service ( Un-

skilled ) and Driver Services (Skilled ) for which he is submitting his Quotes/Bids so that the

Tenderer can pay to the BSNL in case the Tenderer or his attendants cause any damage/loss to the

BSNL property/activities during the execution of the Service.

vii. The Bharat Sanchar Nigam Limited will not be responsible for any injury or loss of life occurring

to the attendants while carrying out their duties. The Tenderer should make insurance to the life of

their attendants and they should be solely responsible for damages/injuries/deaths caused to the

attendants due to any reason during the execution of their service.

viii. The Tenderer has to strictly ensure best services of maintenance of BSNL Stations / Vehicle.

ix. The Tenderer shall at all times, hold the BSNL harmless and indemnify against all claims, cost,

charges and expenses for which the BSNL/Government may be held liable or may incur or pay on

account of the negligence or misconduct of the Tenderer or his attendants.

x. ix. BSNL employees are not eligible to participate in the Tender. The Tenderer should give a

certificate to the effect that none of BSNL Employee’s near relative is engaged in the units for

which the tender is called for.

The near relatives for this purpose are defined as:- (a) Members of a Hindu undivided family.

(b) They are husband and wife.

(c) The one is related to the other in the manner as father, mother, son(s) & Son's wife (daughter in

law), Daughter(s) and daughter's husband (son in law), brother(s) and brother's wife, sister(s)

and sister's husband (brother in law).

3. SALE OF TENDER DOCUMENTS:

I. Tender Documents can be had from the Divisional Engineer Office shown in Section- II

clause 2 or can be downloaded from web site www.tender.bsnl.co.in/str

II. Tender Document purchased is not transferable to other Tenderers. The Tender documents

will be issued to the Tenderers, on request in writing, submitted along with the cost of the

Tender document.

III. The cost of one set of the tender document is fixed at Rs.525/-(Rupees five hundred and

twenty five only) including VAT @ 5% if obtained in person. If any Tenderer wants to

obtain the tender document by post, he has to submit Rs Rs.625/- (Rupees six hundred and

twenty five only) to send by Registered post per set of tender document. The tender document

will be sent to the Tenderer by Registered Post with acknowledgement due. However the

“BSNL” shall not take any responsibility for the delay or loss in postal transit, if any.

IV. The tender documents shall be issued free of cost to MSE / NSIC bidders on production of

requisite proof in respect of valid certification from MSME / NSIC for the tendered item.

V. If the Bidder downloads the tender document from our web site, viz,

www.tender.bsnl.co.in/str , the bidder has to submit a DD for Rs.525/- towards the Cost of

Tender Document along with the bid.

VI. The cost of Tender Document including Sales Tax along with packing and postal charges, if

any, shall be submitted in the form and manner as specified in Section I of the tender

document. Cost of the Tender document in cash or in any other form, other than as mentioned

above will not be accepted. The date of issue of the Banker’s Pay Order/Demand Draft so

submitted shall be a date on or after the date of issue of this tender notification.

4. SUBMISSION OF TENDERS:

i. Tenders shall be submitted in the prescribed forms placed in sealed covers superscribed as

“ Tender for House Keeping and Driver Services for BSNL-STR-Tirunelveli ”

ii. The full name and address of the Tenderer shall be written on the bottom left hand side corner of

the sealed cover. The address given merely as a post box number shall not be entertained.

iii. The Tender should be submitted in Three Envelope System consisting of BID

security,Technical-BID and Financial BID.. The said three envelopes must be wax sealed and

placed in another Main Sealed cover .

Envl-1- This Bid Security Envelope must contain Bidders Declaration Form as in Section- V

clause A

EMD + Cost of Bid Document(if down loaded from website.In addition , any Document showing

Eligibility for Exemption of EMD such as Certification from MSME etc

Envl-2-The Technical Bid envelope super scribed as ‘Technical Bid’ should contain the Check

List & Documents as called for in the Tender in Section V clause D

Envl-3 – Superscribed as ‘Financial Bid’ should contain Rate Quoted in percentage.as per

Financial Bid Form of Section- VII)

iv. On all these envelopes the name of the firm and whether “Bid Security” OR “Technical-BID ” OR

“Financial-BID” etc must be clearly mentioned and should be properly sealed (with sealing

wax/packing PVC tape).

These envelopes are to be placed inside an Overall Outer envelope and properly sealed (with

sealing wax/Packing PVC tape) and super scribed as

“Tender for House Keeping and Driver Services for BSNL-STR- Tirunelveli ”

The Bids that are not submitted in above mentioned manner shall be summarily rejected.

v. The Bidder, after completing / filling up all the pages of documents, may drop/ put his bid

document Cover in to the Tender BOX provided for the purpose at the Divisional Engineer

Maintenance Office mentioned in the Section-II clause 2 of this tender document.

vi. Tenders received without seal will neither be opened nor be considered. Closing the cover by

gum will not be treated as “sealed cover”. The outer cover should bear the seal of the Tenderer or

sealing wax properly fixed on the cover. Tender documents received in unsealed covers if any,

shall become the property of the BSNL and shall be opened only on the succeeding working days

of the date of opening of Tenders, and that too after getting a written request from the Tenderer

for getting back the Earnest Money Deposit submitted along with the tender.

vii. Tender if sent by post, must be in double covering. The inner cover also must be sealed and

superscribed as stipulated in the above Clauses, contained in this Section of the Tender

Document.

viii. BSNL is not bound to accept the lowest tender and reserves the right to reject any or all tenders

without assigning any reason what so ever.

ix. BSNL reserves the right to postpone the date of opening of tender or to cancel the tender notice in

writing. Any request from Tenderers to postpone or to change the date of opening of the tender

due to any reason whatsoever shall not be considered.

x. The Tenderer shall certify and affix his signature on each and every page of the tender document,

and return it along with his tender offer, as a token of his acceptance of each condition specified

on each page of the tender document. If the tender document is not duly signed, or is deficient or

is incomplete in any of the requisite matters or particulars or formalities, it will be rejected

summarily.

xi. Any attempt for negotiation direct or indirect on the part of the Tenderer with the authority to

whom he has submitted the tender or Deputy General Manager/General Manager finally to accept

it after he has submitted his tender or endeavors to secure interest for actual or prospective tender

or to influence by any means the acceptance of the particular tender will render the tender liable

to be excluded from considerations. The General Manager or nominated Officers may take

necessary actions to BLACK-LIST SUCH TENDERER(S).

xii. The Tenderers will be bound by all terms, conditions and specifications detailed in this tender

document. No communication from the Tenderer in the form of any clarification or information

or document lost sight of in the original tender etc. will be given any consideration unless any

such clarification has been sought for by Divisional Engineer. The Tenderer shall not have any

right to modify the conditions or specifications contained in the Tender document at any

occasions. Any tender submitted with conditions other than those specified in the tender

document will be summarily rejected.

xiii. Tenderer should not submit the tender document to the Divisional Engineer or to any other staff

working in the office. Any Tenderer, who likes to deliver the tender in person shall deposit the

tender in the prescribed tender box kept in the Office of the Divisional Engineer concerned. If a

Tenderer is not allowed to deliver his tender document by any agency, the Tenderer shall lodge a

Police complaint immediately, under intimation to the Divisional Engineer concerned.

xiv. The Slit of tender box will be sealed immediately after the specified time as per the timings of the

office clock for receipt of tender. Any tender presented in person by any Tenderer or his

representative after the tender box is sealed will not be received either by Divisional Engineer or

by any of the staff working under him. Any attempt to forcibly deposit the tender after the sealing

of the tender box will attract action as per the law.

xv. No tender without the prescribed Earnest Money deposit accompanying it will be considered for

acceptance.

5. LATE TENDERS:

i.Tenders received either by Post or by Courier Service or in person, after the specified time will be

rejected.

ii.Tenders sent by post, if delivered by the Postman after expiry of the specified time would only be

recorded and will not be opened or considered. Such tenders will be opened only when the Tenderer

makes a request that any Demand Draft is enclosed as EMD may be returned. In such cases, the DD

will be returned in original. BSNL will retain the rest of the document.

6. DOCUMENTS TO BE SUBMITTED ALONG WITH THE TENDER :

It is mandatory that the following documents are submitted along with the tender schedule:

6.1 First Envelope: Super scribed as “Bid Security (EMD + Cost of Bid Document)”

This envelope should contain the following;

1. Bidder Declaration Form as in Section –V clause A

2. Bid Security (EMD) in accordance with the tender document.

3. In case document was downloaded from website, cost of bid document (crossed demand draft

of Rs.525/-)

4.In addition , Any Document Proof showing Eligibility for Exemption of EMD such as

Certification from MSME / NSIC etc

6.2. Second Envelope: Super scribed as “Technical Bid” (Qualifying Bid)

This Envelope should contain the following;

The Tenderer’s Profile duly Filled in as given in Section- V clause B

The Tenderer’s Account Information – Section –V clause C

Check List of Enclosed Document with the Bid as given in Section- V clause D

1. Current Valid Registration Certificate of the firms and at the time of awarding of the bid.

2. Valid license issued by Labour ministry/ department is to be produced while entering in to

agreement.

3. Service Tax Registration for the Agency / Firm issued by Service Tax Department.

4. EPFRegistration Certificate.

5. ESI Registration certificate.

6. Yearly EPF returns for the previous years.(Minimum three years) along with the remittance

challans duly sealed/stamped by the bank.

7. Half yearly ESI return for the previous year.(Minimum one year) along with the remittance

challans. All these returns should be duly acknowledged by the authorities concerned. Returns

without due acknowledgement will not be considered. Similarly all remittance challans should

contain bank stamps

8. Half yearly Service TAX return for the previous year (Minimum one year) along with the

remittance challans.

9. Copy of Income Tax returns filed ( in the name of the firm ) for last 3 consecutive years , duly

attested by self or by a Gazetted Officer

10. Original “Power of Attorney” in case any person other than the tenderer himself, has signed the

tender.

11. Authenticated copy of the partnership Deed in case of Partnership Firm and Power of Attorney the

Representative of the Firm to operate the Tender

12. In case of Partnership Firm, copy of the recent Registration certificate issued by the competent

authority. The registration validity should cover the current year also.

13. Experience Certificate from State/Central Govt or any other PSU Organisations.

One copy of the complete set of tender document (Except Financial Bid of Tender Schedule, which

is to be submitted in a sealed and separate envelope , along with Technical Bid Envelope) duly

filled in and signed on each page and also at every correction/over-writing made by the Tenderer or

otherwise as prescribed in the different clauses of the Tender documents in respect of any matter or

document.

6.3. Third Envelope: Superscribed as “Financial Bid”

This envelope should contain the following

1. Financial bid Form- Quotation should be duly filled in, as per Section VII

2. Declaration for financial bid

Note: 1. The bidder is expected to examine all instructions, forms, terms and specifications in the bid

documents. Failure to furnish all information required as per the bid documents or submission

of bids not substantially responsive to the bid documents in every respect will be at the

bidder’s risk and shall result in rejection of the bid.

2. On all these envelopes the name of the firm and whether “Bid Security” OR “Technical”

OR “Financial” a bid must be clearly mentioned and should be properly sealed (with sealing

wax/packing PVC tape). These envelopes are to be placed inside an outer envelope and

properly sealed (with sealing wax/Packing PVC tape). The Bids that are not submitted in

above mentioned manner shall be summarily rejected.

7. DOCUMENTS TO BE SUBMITTED BEFORE ENTERING INTO AGREEMENT:

I. The successful Tenderer within a week’s time should deposit the Security deposit as detailed

in the clause 10 of this Section and clause 13 of Section- IV for the fulfillment of the contract

and sign an agreement on non judicial stamp paper of Rs.100/- on submission of which

necessary work order will be issued by the Divisional Engineer of the concerned group. If the

successful tenderer fails to submit the security deposit within a week of finalisation of the

tender, then his EMD amount will be forfeited.

II. Undertaking from the Tenderer that no kith and kin of any BSNL employee will be engaged

during the entire period of tender

III. Any other supporting document as required by the Divisional Engineer, which is necessary

to reinforce any of the claims/documents should be submitted by the Tenderer.

8. DOCUMENTS TO BE SUBMITTED BEFORE COMMENCEMENT OF WORK:

I. List of qualified and experienced personnel on the regular pay rolls including supervisory

staff who will be deployed on the job.

II. Copy of Labour License issued by Labour Commissioner for employing the work force,

duly attested by a Gazetted Officer

9. EARNEST MONEY DEPOSIT:

I. Earnest Money Deposit , for the requisite amount as detailed in the Section II Clause 2 of

this Document is to be deposited by the Bidder, in the Form of Crossed DD drawn in favour

of Accounts Officer (C&C), O/o GMM STR, BSNL, Chennai .

II. Earnest Money Deposit in cash or in any other form, other than as mentioned above will not

be accepted. The date of issue of the Banker’s Pay Order/Demand Draft so deposited shall

be a date on or after the date of issue of this tender notification.

III. Tender without prescribed EMD will be summarily rejected. The EMD will not bear any

interest for any period whatsoever.

IV. The EMD of all the unsuccessful Tenderers, will be returned only after finalization of

tenders. In the case of the successful tenderer, the EMD amount shall be converted as part of

the Security Deposit to be paid by them.

V. If the Tenderer fails to execute agreement within the period specified on his being called

upon to do so, the EMD will be forfeited as mentioned in the relevant Clause, contained in

this Section of the Tender Document.

VI. The MSME / NSIC units shall be exempted from submission of Bid Security deposit on

production of requisite proof in respect of valid certification from MSME / NSIC for the

tendered item

The MSE / NSIC bidders are exempted from payment of bid security:

a) A proof regarding valid registration with body specified by Ministry of Micro, Small

Medium Enterprise for the tendered items will have to be attached along with the bid.

b) The enlistment certificate issued by MSME/ NSIC should be valid on the date of opening

of tender.

c) MSE unit is required to submit its monthly delivery schedule.

d) If a vender registered with body specified by Ministry of Micro, Small & Medium

Enterprise claiming concessional benefits is awarded work by BSNL and subsequently fails

to obey any of the contractual obligations, he will be debarred from any further work/

contract by BSNL for one year from the date of issue of such order.

10. SECURITY DEPOSIT:

The successful Tenderer within a week’s time should deposit the Security deposit @ 10 % of the

annual Tendered cost of each of the Division (by the way of DD/Bank guarantee) for which he had

bid or the work is awarded to him for the fulfillment of the contract and sign an agreement on non

judicial stamp paper of Rs. 100/- on submission of which necessary work order will be issued by the

Divisional Engineer of the concerned Division. If the successful tenderer fails to submit the security

deposit within a week of finalization of the tender then his EMD amount will be forfeited.

11. PARTNERS OF THE REGISTERED AGENCY:

No one presently in the employment of the Bharat Sanchar Nigam Limited or having interest in this

Tender work should ever be employed or admitted as partner by the Registered Agency.

12.RIGHTS OF BSNL:

I. Tenders awarded to the Tenderers will remain valid for acceptance for a period of One Year

from the date of awarding of the Tender. The BSNL reserves the right to extend the period of

service agreement for a further period of six months after the expiry of the present period or

till such time of finalizing the next tender whichever is earlier.

II. In the event of the Registered Agency failing to observe or to perform any of the conditions of

the work as set out therein, the security deposit furnished by him shall be forfeited to the

BSNL without prejudice to any other rights of the BSNL.

13. TENDER SCHEDULE:

I. The tender schedule is to be read in conjunction with the instructions and guidelines to

Tenderers, conditions of service agreement and other tender documents and the Tenderer /

Registered Agency shall be deemed to have carefully examined all these documents. The

Scope and Specifications for the entire work are to be read together and not in isolation.

II. It is further understood and agreed that the Registered Agency, by careful examination,

satisfied himself/itself as to the nature and location of the work, the character of the

equipment and facilities needed preliminary to the work, the general and local conditions,

the Labour conditions prevailing thereof, detailed description of the work to be done and

the way in which they are to be carried out within the time schedule and all other matters

which can in any way affect the works under the contract before giving his tender rates.

III. The quantities/figures indicated by the “BSNL” in the Tender schedule are approximate and

are subject to change. Any change effected shall be binding on the Tenderer as though

included in the original tender schedule and any such change will not make the agreement

void. It is therefore essential that the Tenderer examines all the documents carefully and not

commits any mistake in analyzing the rates quoted and remains binding not withstanding

any changes as aforesaid. No revision of tendered rates shall be considered on any ground

whatsoever.

14. QUOTATION:

i) The Basic Standard Rate (Released by Administration ( Refer Labour Commission Minimum

Wages) Per Month Per Service for providing the House keeping & Driver services (Exclusive of

Service Tax) for all Category Area as per the Ministry of Labour and Employment, New Delhi,

Notification S.O.1285 (E) Dated 20.05.2009 (as modified from time to time), alongwith break-up

details [Basic standard rate = (Basic+ VDA)*26 + EPF +ESI.] are furnished in SECTION –

VII/Annexure I &II. for Different Services/ Regions A, B & C/ and Types ( 8hrs, 4 hrs) .

ii. The Tenderer shall quote the Percentage of Profit Margin (%)for providing House keeping

&driver services in Section VII (FINANCIAL BID FORM) above the BASIC STANDARD

RATE Released by Administration ( Refer Labour Commission minimum wages)

however given in Section-VII /Annexure –I ) for the Full-Time Monthly Basis Service .

iii. The Profit Margin Rate must be Quoted Only in the Financial Bid Form given in Section -VII

The Rate must be Quoted both in figures as well as in words( in English),.

The rates quoted in words will have precedence over the rates quoted in figures. If the rates are not

quoted in words, the tender is liable to be rejected.

The percentage quoted will be taken for the finalization of L1 bidder. This percentage will be

applied over the existing standard basic rate and the margin amount of the contractor will be

arrived and this will be freezed and payable throughout the tender period even if there is any

variation in the basic labour rate during the contract period.

The tenderer quoting the rate in any head other than specified in the financial Bid-Form of the Tenderer will summarily rejected and abnormal quoting also liable for Rejection.

iii. In the case of illiterate agencies, witnesses should attest the rates tendered by agencies. The

rates quoted in words will be the correct basis and not the rates shown in figures in case

these two rates do not tally.

iv. Tenderer should sign with date, all corrections, additions and alterations in the entries in the

Tender Papers in full. No errors, over-writing shall be permissible unless attested under the

signature of the Tenderer with date.

v. The Tender document shall contain the name, residential address and places of business of

person/ persons making the tender and shall be signed by the Tenderer with the usual

signature. A Post Box Number given merely as an address shall not be entertained.

vi. Partnership firms shall furnish the full names and addresses of all the partners signed by a

duly authorized representative followed by the name and designation of the person signing.

In case authorized representative signs it, a duly certified copy of the “Power of Attorney “

on that behalf shall accompany the tender. In case of the partnership firm, attested true copy

of the “Partnership deed” and NOC from partners must be submitted along with the Tender.

vii. All pages of all sections of the tender documents shall be signed wherever required in the

Tender papers by the Tenderer or a person holding “Power of Attorney” authorizing him to

sign on behalf of the Tenderer, before submission of the Tender. All signatures in the Tender

documents should be dated.

15.A.OPENING OF TENDERS:

The Completed bid documents may be submitted in the Offices of Divisional Engineers Maintenance,

as shown in the Section-II clause 3 of this tender document.

I. The Tender will be opened by the Tender Opening Committee ,in the presence of Authorised

Agents of the Bidders attended.as per the schedule mentioned in the NIT. If the date of opening

of the tender specified in the Tender Document happens to be a holiday due to any reason the

tender will be opened on the immediate succeeding working day at the same time as specified in

the Tender Document without any more Notices. However the BSNL reserves the right to

change the venue and/or date and/or time of Tender opening, within or outside the jurisdiction

of the Divisional Engineer who invited the tender, if found necessary.

II. Tender without prescribed EMD will be summarily rejected.

III. The MSE / NSIC units shall be exempted from submission of EMD on production of requisite

proof in respect of valid certification from MSME for the tendered item.

IV. On verification of BID SECURITY, the valid tenders will be opened by the TOC and Content

will be recorded.

15.B EVALUATION

i) Tender Evaluation Committee duly constituted shall Evaluate the Technical Bids.

BSNL shall evaluate the bids to determine whether they are complete, whether

anycomputational errors have been made and whether documents have been properly signed

and whether bids are generally in order. BSNL shall evaluate in detail and compare the

substantially responsive bids. The performance / experience certificate issued by the

competent authority are also taken into account in the evaluation.

ii) Prior to detailed evaluation, BSNL will determine the substantial responsiveness of each

bid to the bid document. A substantially responsive bid is one, which confirms to all the terms

and conditions of bid documents without material deviation. A bid determined as substantially

non-responsive will be rejected by BSNL.

BSNL shall evaluate in detail and compare the substantially responsive bids

On Evaluation of Technical bids by the Tender Evaluation Committee, the Technically

qualified bidders alone will be considered for Financial Evaluation.

The Qualified Bidders will be informed about the Venue, time and the date on which the

Financial Bid will be opened.

requested to furnish their authorised and valid mobile number & E mail ID in

the Tenderers Profile )

iii.) Financial Evaluation Criteria: The comparison of bids shall be on the price of service offered

inclusive of all levies and charges as indicated as Percentage in the price schedule in Financial

Bid Form in section VII of the bid document.

Bidder who Quoted the Lowest Percentage will be declared as L-1.

The percentage quoted will be taken for the finalization of L1 bidder. This percentage

will be applied over the existing standard basic rate and the margin amount of the

contractor will be arrived and this will be freezed and payable throught the tender

period even if there is any variation in the basic labour rate during the contract period.

16.REJECTION OF TENDERS:

The General Manager Maintenance STR Chennai inviting Tenders shall reserve the right to

reject any or all the Tenders, under the following conditions:

i. Any tender not supported by the requisite EMD in the manner provided therein.

ii. Any tender, deficient or incomplete in any of the requisite matters, particulars or formalities

or documents or for any other reason which shall not be disclosed to the Tenderer.

iii. Any or all the tenders received may be rejected without assigning any reason thereof and

BSNL will not be bound to accept the lowest tender.

iv. Any tender/offer with changes/alternations in the terms or conditions or instructions or

specifications or time schedule other than contained in the tender document.

v. If the rate quoted is abnormally low or high, such tenders will be rejected.

17. VALIDITY PERIOD FOR ACCEPTANCE OF TENDER:

Tender submitted by the Tenderer will remain valid for acceptance for a period of 150 days from

the date of opening of the Tender. The Tenderers shall not be entitled during this period to revoke

or cancel his tender or to vary the tender submitted or in terms thereof. The Divisional Engineer

shall communicate the acceptance of tender to the Successful Tenderer.

18.SIGNING OF THE SERVICE AGREEMENT:

I. The successful Tenderer after depositing the required security deposit as per Clause 13 of Section

IV and clause 10 of Section –III, shall be required to execute an agreement on a non-judicial stamp

paper of value Rs.100/- (Rs. One Hundred only) at his own cost to the effect that the Tenderer and

Divisional Engineer of the concerned Division(s) are bound by terms and conditions in the

Agreement, which in turn will be the same terms, and conditions as specified in the tender

document.

II. In the event of failure of the Tenderer to sign the agreement within 7 days of being called upon to

do so after the acceptance of the Tender or in the event of his failure to initiate/carry out the work

as stipulated, the amount of EMD and initial Security Deposit shall stand forfeited to the BSNL and

the acceptance of the Tender shall be treated as cancelled. The Tenderer may be debarred from

participating in similar tenders called for by the Divisional Engineer for a period of 3 (Three)

years from the date of issue of the order of cancellation.

19. PERIOD OF VALIDITY OF TENDER:

Tenders awarded to the Tenderers will remain valid for acceptance for a period of One Year from the

date of awarding of the Tender and may be extended for a further period of six months on mutual

consent.

20. ACCEPTANCE OF TENDER:

I. The BSNL authority inviting Tenders shall reserve the right at its/his absolute discretion to

accept the tenders or any or more than one tender, whether wholly or in parts without

assigning any reason what-so-ever and it shall be binding on the Tenderer to execute the

work so awarded. The whole work in any section may be split up and accepted in parts and

not entirely, if considered expedient by the BSNL authority at its/his absolute discretion.

Further in considering the criteria for accepting the Tender, the BSNL may take into account

the components of Minimum Wages, Bonus etc as per law ( the relevant statues ) and arrive

at an evaluation criterion in respect of acceptable wage at its own discretion and it is binding

on the Tenderers.

II. Tender will be accepted and agreement will be finalized only with those of the Tenderers

who, in the opinion of the General Manager Maintenance are having the capacity and

resources to provide the services/execute the work assigned in the prescribed time.

III. While previous experience of doing similar works will be given due considerations in

finalizing the tender, it will be the discretion of the General Manager Maintenance to award

the work to any Tenderer / Registered Agency who has only marginal experience during the

previous years, if the General Manager Maintenance is satisfied with the capacity and

resources of such Tenderer / Registered Agency to execute such works. The decision of the

General Manager Maintenance in this regard will be final and the same will not be

questionable.

IV. The General Manager Maintenance reserves the right to award the work in any section, fully

or partly, to any Registered Agency. He will also have the discretion to get the work done in

any part of a section, departmentally or through another Registered agency, if it is

considered to be in the interest of the Corporation.

V. The BSNL reserves the right to reject any or all tenders without assigning any reason what

so ever and he is not bound to accept the lowest tender.

21. AWARD OF TENDER –CONDITIONS :

i. Particulars of General Insurance Policy for a minimum sum of Rs.1,00,000 per each Division

( If the bidder is bidding more than one Division, then the bidder is to give the policies

accordingly )

ii. BSNL will not be responsible for any injuries or loss of life occurring to the contract labourers

while carrying out the services.

iii. Agreement in non judiciary stamp paper of value of Rs.100/- only. Cost to be borne by

contractor.

iv. Security deposit as per Clause 13 of Section IV and clause 10 of Section –III to be deposited in

advance.

v. Workmen Compensation Insurance has to be submitted.

vi. Has to produce paid copy of the EPF, ESI details of the previous month with current month bill.

22. SERVING OF NOTICE:

Any Notice, order or other communication sought to be served on the Tenderer with reference to the

service shall be deemed to have been served if delivered by hand or sent by registered post to the

office or Head-Office of the Tenderer, while any notice or order or communication by the Tenderer to

be served on Divisional Engineer with reference to the agreements shall be valid, if delivered the same

by hand under acknowledgement or through registered post to the office of Divisional Engineer at his

head quarters.

SECTION - IV

CONDITIONS OF AWARD OF SERVICE AGREEMENT

1. DEFINITIONS:

i. The Service Agreement / contract means the documents forming the Tender and acceptance thereof

and the formal agreement executed between the OFFICER-IN-CHARGE for and on behalf of the

BHARAT SANCHAR NIGAM LIMITED and the AWARDEE AGENCY together with the

documents referred to therein, including the conditions of contract, the specifications, designs,

drawings and instructions issued from time to time by the Officer-in-charge and all those documents

taken together shall be deemed to form one Service Agreement and shall be complimentary to one

another.

ii. In the Service Agreement, the following expressions shall unless where the context otherwise required

have the meaning hereby respectively assigned to them.

a) The expression “WORKS” OR WORK shall unless there be something either in the subject or

context repugnant to such construction, be construed and taken to mean the other works by or by virtue

of the Service Agreement to be executed whether temporary or permanent and whether original,

altered, substituted or additional.

b) The Registered Agency/Tenderer/ service agent shall mean the individual or firm or company

whether incorporated or not, undertaking the works and shall include the legal personnel,

representative or such individual or the persons comprising such firm or company or the successors of

such firm or company and the permitted assignees or such individual or firm or firms or Company.

iii.The BSNL means BHARAT SANCHAR NIGAM LIMITED, A Public sector company under the

Ministry of Communications, Government of India and all its officers.

iv.The OFFICER-IN-CHARGE means the Divisional Engineer who shall supervise and shall be in-

charge of the work at any time or who shall sign the Agreement on behalf of BSNL.

v.The corporation means Bharat Sanchar Nigam Limited

vi. Signing of Contract a) Signing of Agreement shall constitute the award of hiring contract on the bidder.

b) Upon the successful bidder furnishing the performance Security, BSNL shall discharge its bid

security in pursuant to clause vi (a).

c) Signing of the Agreement will be done individually by the respective Divisional Engineer

Transmission Maintenance, (the end users who actually executes the works and this Contract ) as

mentioned in Section-II clause 2 of this tender document, with the successful bidder in non-judicial

paper of Rs 100/- ( Rupees one hundred only).

However Final orders will be placed depending of the necessity of the field units ( Division )

concerned. It is not binding to the BSNL for hiring all the units and also the requirement of the

units may vary as and when necessity arises.

The cost of the stamp paper is to be borne by the contractor in the prescribed form to the effect that

the contractor and the Divisional Engineer are bound by the terms and conditions in the agreement

which in turn will be the same as that in the tender document.

2. PERIOD OF VALIDITY OF QUOTATION:

i) The rates quoted should be firm and valid for any work order that may be issued within a period of

one year from the date of entering into the agreement until the completion of works assigned under

each work order. The work order will be issued by the concerned Divisional Engineer, for 26 days in a

month generally and the same will be issued in the last week of the preceding month. The work may

vary from month to month and the same will be mentioned in the work order issued for each month.

Any additional services under the jurisdiction of the concerned Divisional Engineer should be carried

out by the approved agency at the same rate and terms and conditions.

ii) The registered agency shall be responsible for the transportation, storage and safe custody of all

materials supplied to them by the Company and all the equipments stored, installed at the site. The

registered agency shall satisfy himself regularly the quality and the quantity of the materials supplied

to him and he will be responsible for any subsequent deterioration and discrepancy (inclusive of theft)

in the quality/quantity of the materials.

3.A. PRICE VARIATION:

The BSNL shall not be responsible for any escalation in cost of labour or materials, machinery,

equipment etc. whatsoever or any increase in any duties, levies or taxes in respect thereof whatsoever

and the service agency rates during the period of validity and service agent’s obligation shall remain

unaffected by such escalation. BSNL only reimburses the change in VDA Component in the Minimum

Wages as announced by the Ministry of Labour and proportionate change in the Employers’

contribution of EPF and ESI.

3.B. Variation in the Quantity / Number of Services to be provided:-

BSNL can revise these by + (plus) / - (minus) 25% as mentioned in the Tender.

The tentative requirement is given in Section II clause 2 and the final order will be placed depending

of the necessity of the field units ( Division ) concerned. It is not binding to the BSNL for hiring all

the units and also the requirement of the units may vary as and when necessity arises.

4. GUARANTEES:

In addition to any and all other guarantees and warranty mentioned in the contract document, the

registered agency should guarantee that the entire work will be done in a satisfactory manner and free

from any defect in the workmanship and finish and in conformity in all respects with specifications

and directions. The registered agency also should undertake to repair or replace as the case may be at

his own cost and risk any part of work which may be damaged or that may develop any defects due to

bad workmanship or otherwise due to fault of the registered agency within a period of one month after

the written final acceptance of the works by the Corporation.

5.METHOD AND MANNER OF PERFORMANCE:

i) The registered agency shall be independent one and shall be in complete charge of the men and

material engaged in performance of the works to be performed hereunder and shall perform the works

in accordance with his own methods and at his own risk, subject to compliance with the Tender

Documents.

ii) The registered agency should have a supervisor to monitor the attendance and work of the work

men employed and BSNL will not pay any charges for such supervisors.

iii) The registered agency shall throughout the stipulated period of the agreement execute the works in

the best and most substantial workman like manner and strictly in accordance with the contract

documents or such other additional particulars and instructions as may be found requisite to be given

during carrying out the works, enforce order amongst his employees, shall not employ on the works

any unfit person or any person not capable or not properly qualified to perform the works assigned to

him. The registered agency shall also not employ in respect of the works or discontinue to employ in

respect of the works any employee that the Divisional Engineer / Officer-in-charge may for any reason

object to.

6. NOTIFICATION BY THE SERVICE AGENT:

The service agent shall give in writing to the proper person or authority with a copy to the officer-in-

charge such notification as may be mandatory or necessary in connection with the commencement,

suspension, resumption, performance and/or completion of the service agent’s work. All notices shall

be given sufficiently in advance of the proposed operation to permit proper co-relation of activities and

the service agent shall keep all proper persons or authorities involved regularly advised of the progress

of operations throughout the performance of the work together with such other information and/or

supporting figures and data as may from time to time as directed or required.

7. INSURANCE:

Without limiting any of his other obligations or liabilities, the registered agency shall, at his

own expense take and keep comprehensive insurance including third party risk for the plant,

machinery materials etc., brought to the site and for all the works during the execution and also for

attendant. The registered agency shall arrange for IndividualWorkmen’s Compensation Insurance for

all the workmen engaged as required by Law and undertake to indemnify and keep indemnified the

BSNL from against all manner of claims and demands and losses and damages and cost (including

between Attorney and Client) and charges and expenses that may be in regard to the same or that the

BSNL may suffer or incur with respect to and / or incidental to the same. The registered agency shall

have to furnish the Divisional Engineer the originals/attested copies of the policies of the Insurance

taken within 15 days of being called upon to do so together with all premium receipts and other papers

related thereto which the Divisional Engineer / officer-in-charge may require.

8. 1.LABOUR WELFARE: In every case in which by virtue of the provision or the contract Labour (Regulation and abolition) Act

1970 and of the Contract Labour (Regulation and abolition) Central rules 1971 Govt. is obliged to pay

any amount of the wages to a workman employed by the Agency in execution of the works or to incur

any expenditure in providing welfare and health amenities required to be provided under the above

said act and rules under clause 19 to 19J and PWD –8, or under the CPWD contractor’s Labour

regulations or the rules framed by the Govt. from time to time for the protection of health and sanitary

arrangements for the workers employed by the CPWD agencies. BSNL will recover from the agencies

the amount of wages so paid or the amount of expenditure so incurred and without prejudice to the

rights of the Govt. under section 20, sub-section (ii) and section 21, sub-section (4) of the said Act

except on the written request of the Agency and upon his giving to the BSNL. Full security for all cost

for which BSNL might become liable in contesting such claim.

The agency shall obtain a valid license under the Contract Labour (R&A) Act 1970 and the

Contract Labour (R&A) Central Rules 1971 before the commencement of the work and continue to

have a valid license until the completion of work. Any failure to fulfil this requirement shall attract the

penal provisions of the service agreement arising out of the resultant non execution of the work.

No labour below the age of eighteen years shall be employed on the work and an explicit

certificate to that effect shall be provided.

8.2. FAIR WAGES

The agency shall pay to the labourer if employed by him either directly or through sub-agency, wages

not less than the fair wages in CPWD Contractor’s labour regulations or as per the provisions of the

Contract labour (R&A) Act 1970 and Contract Labour (R&A) Central Rules 1971, wherever

applicable

The Agency shall not withstanding the provisions of any service agreement to the contrary, cause to be

paid fair wage to labour indirectly engaged on the work, including any labour engaged by his sub-

agency in connection with the said work.

In respect of all labour directly or indirectly employed in the works for performance of the Agency’s

part of this agreement, the agency shall comply with or cause to be complied with the CPWD

Contractors Labour Regulations made by Govt. from time to time in regard to payment of wages, wage

period deduction from wages, recovery of wages not paid and deductions unauthorised made,

maintenance of wages books, or wage slips, publication of scale of wages and other terms of

employment, inspection and submission of periodical returns and such full other matters of the like

nature or as per the provisions of the Contract Labour (R & A) Central Rules 1971 wherever

applicable.

A. The Divisional Engineer or his sub-ordinate officers concerned shall have the right to deduct from

the money due to the agency any sum required or estimated to be required for making good the loss

suffered by a worker or workers by reasons of fulfillment of the conditions of the service agreement

for the benefit of the workers, non- payment of wages or deductions made from his or their wages

which are justified by their terms of the service agreement or non-observance of the Regulations.

B. The agency shall comply with the provisions of Payment of Wages Act 1936, Minimum Wages

Act 1948, Employees Liability Act 1938, Workmen’s Compensation Act 1923, Industrial Disputes Act

1947, Maternity Benefits Act 1961 and Contractor’s Labour (Regulation & Abolition) Act 1970 or the

modification there of or any other laws relating there to and the rules made there under from time to

time.

C. The Agency shall indemnify BSNL against payments to be made under and for the observance the

laws aforesaid and the CPWD Contractor’s Labour Regulations without prejudice to the right to claim

to indemnify from his sub-agency.

D. The Regulations aforesaid shall be deemed to be part of the service agreement and any breach

there of shall be deemed to be a breach of the service agreement.

E. PAYMENT OF MINIMUM RATES OF WAGES:

1. Wherein respect of any scheduled employment a notification under section-5 is in force, the

employer shall pay every employee engaged in a scheduled employment under him wages at a

rate not less than minimum rates of wages fixed by such notification for that class of

employees in that employment without any deductions except as may be authorized within

such time and subject to such conditions as may be prescribed.

2. The rates of wages payable to the workmen by the contractors shall not be less than the rates

prescribed under the minimum wages Act 1948 (11 of 1948) for such employment where

applicable and where the rates have been fixed by agreement settlement or award, not less than

the rates so fixed.

3. Wages shall be paid without any deduction of any kind except those specified by the Central

Government, by general or special order in this behalf permissible under the payment of

wages Act 1936 (4 of 1936) at the rates prescribed for the place of service provided.

4. The rates of wages payable and classification of cities into areas should be fixed in accordance

with the Government of India/Ministry of Labour or the modifications thereof or any other

laws relating there to and the rules made there under from time to time.

5. The contractor shall fix wage periods in respect of which wages shall be payable.

6. The Contractor shall pay the Bonus to the Labour as per the Bonus Act at the rate of 8.33%

of basic wage up to the ceiling of Rs.3500/= per year as notional pay for wage and the

Contractor shall pay the bonus on quarterly basis by dividing of eligible amount of Rs. 3500/-

per year by four (i.e. for every three months)

8.3. OTHER LABOUR WELFARE MEASURES:

(1) The Awardee Agency shall implement the labour welfare enunciated in clause 19C, 19D, 19E,

19H, 19L of the conditions contract in the PWD-8.

(2) The Agency shall also follow the safety method stated in the CPWD Safety Code.

(3) The Agency shall comply with all the provisions of Minimum Wages Act1948, Contract Labour

(R &A) Act and rules framed and other labour Laws affecting the labour that may be brought

into force from time to time.

(4) The awarded work shall not be assigned or sub-let without written approval of the Engineer-in-

charge and if the agency shall assign or sub-let his awarded work, or so to do, or become

insolvent or commence any proceedings or make any composition with his credits attempt so to

do, or if any bribe, gratuity, gift, prerequisite reward or advantage pecuniary or otherwise shall

either directly or indirectly be given, promised or offered by the agency or any of his servants or

agent to any public officer or person in the employ of BSNL in any way relating to his officer or

employment, or if any such officer or person shall become in any way directly or indirectly

interested in the agreement, the Engineer-in-charge on behalf of the BSNL shall have power to

adopt any of the courses as he may deem best suited in the interest of the Department.

(5) All sums payable by way of compensation under any of these conditions shall be considered as

reasonable compensation to be applied to the use of BSNL without reference to the actual loss or

damage sustained and whether or not any damages have been sustained.

(6). CONTRIBUTION TOWARDS EPF :

Employers share of EPF should not be deducted from the employees minimum wages. The

agency shall produce every month the receipt/challan to the BSNL evidencing the

employees’/employer’s contribution towards EPF and the contribution deducted from the salary

of the employee is duly credited to EPF account .

(7). ESI Act 1948

a) The contribution payable as per this act in respect of an Employee shall comprise contribution

payable by the employer (herein after referred to as the employer’s contribution) and

contribution payable by the employee(which will be referred to as employee’s

contribution)shall be paid to the corporation (ESI)

b) The Employer’s share of ESI should be included in the rate quoted and it should not be

deducted from the employee’s minimum wages

c) The wage period in relation to an employee shall be the unit in respect of which all

contributions shall be payable under this act.

d) Wherever ESI facility is not available, Mediclaim Insuracnce Policy should be taken.

(8) PROHIBITION OF CHILD LABOUR: It is the responsibility of the tenderer to ensure

compliance to all legal and statutory provisions regarding prohibition of child labour.

9.SUB-LETTING :

i. The Registered Agency shall not assign, sub-let or subject the whole or any part of the works

covered by the Service Agreement or any benefit thereof.

ii. The Registered Agency shall indemnify and save harmless the corporation from/and against all

actions, suits, proceedings, losses, costs, damages, charges, claims and demands whatsoever, either

in law or in equity and all costs [inclusive between Attorney and client] and charges and expenses

that the BSNL may sustain, suffer or incur arising from/or out of the incidental [in connection with

any act(s) or commissions] to the Registered Agency, his agents, employees, assignees.

10. REPRESENTATIVE OF THE CORPORATION:

The Divisional Engineer concerned who will be in-charge of the works shall represent the

Corporation. The BSNL representative in work-site shall be the Officer-in-charge or such other

representative as the Divisional Engineer may from time to time designate in writing. The Officer-in-

charge and/or his assistant or nominee shall inspect the work and materials of the agency. Notice

given in writing by the awardees / awardees’ representative to the Officer-in-charge or the Divisional

Engineer shall be deemed to be notice given to the BSNL. Notice given in writing by the Officer-in-

charge or the Divisional Engineer shall be deemed to be the notice given by the BSNL to the

awardees/his agency. The Officer-in-charge and such other representatives as the Divisional

Engineer may designate in writing shall be deemed to be authorized to represent the BSNL in respect

of the work or any designated section of the work and any decision, agreement or instructions in

writing by the corporation’s representatives, as aforesaid, which is within his powers, shall be binding

on the agency.

11. REPRESENTATIVE OF THE EXECUTING AGENCY/ AWARDEE:

The Awardee/Executing agency shall furnish to the BSNL the scheme of his intended organization for

the contracted work, naming his Superintendent. The Agency shall have on such site a superintendent

being authorised to represent the agency on his designated section work, to which the representative

can make known decisions, authorisations and interpretations. The Awardee shall, within 10 days

after the execution of the agreement, notify the BSNL, the name(s) and address(es) of the

Superintendent along with the specimen signatures in terms of the work allocations. Any change in

the name and address of any superintendent notified as aforesaid shall be promptly intimated in writing

to the BSNL. The notices given in writing to the Superintendents shall be deemed to be notices given

to the Awardee / agency. The Officer-in-charge may require the Awardee/agency to dismiss or

remove from the site of the work any person or persons in the Awardee/agency’s employment in

connection with the work, who may be incompetent or misconduct himself and the Awardee/agency,

shall forthwith comply with such requirements.

12. INTERPRETATION OF THE SERVICE AGREEMENT DOCUMENTS:

The Divisional Engineer and the agencies shall, as far as possible, in mutual consultation, try and

decide upon the meaning and intent of the service agreement before submitting the tender document.

In case of disagreement, the dispute will be referred to the sole arbitrator as provided in the service

agreement. It shall be the agency’s responsibility to thoroughly familiarise all of his supervisory

personnel with the contents of all the service agreement documents.

13. SECURITY DEPOSIT:

i.The successful Tenderer within a weeks time should deposit the Security deposit as detailed in the

clause 10 of Section III of this document for the fulfillment of the contract and sign an agreement on

non judicial stamp paper of Rs 100/--on submission of which necessary work order will be issued by

the Divisional Engineer of the concerned group .

If the successful tenderer fails to submit the security deposit within a week of finalization of the

tender, then his EMD amount will be forfeited.

ii.Security deposit shall be liable for appropriation/adjustment against any compensation for delay in

execution of work, cost of stores lost, damaged or not returned to the BSNL on completion of work,

for cost of defective components of work within the warranty period, or cost of defective components

spares or tools towards damage of other utility services while carrying out the work, or any claim

against the service agent for the payment of money arises out of or under this service agreement,

which the service agent does not meet directly or through the running/final bills payable to him.

iii.If the service agent fails or neglect to perform any of his obligation under the service agreement, it

shall be lawful for the BSNL to forfeit either whole or any part of the security deposit furnished by the

service agent, after issuing a SHOW CAUSE NOTICE which will be duly examined for final decision

by the competent authority and the decision conveyed to the service agent in writing.

All the compensation for other sum of money payable by the service agent under the terms of this

service agreement may be deducted from the security deposit or any sum which may be due or may

become due to the service agent by the BSNL on any account whatsoever. In the event of the security

deposit being insufficient or if no security deposit has been taken from the service agent, then the

balance or the total sum recoverable as the case may be, shall be deducted from any sum then due or

which at any time thereafter may become due to the service agent under this any other service

agreement with BSNL. If this sum is not sufficient to cover the full amount recoverable, the service

agent shall pay to BSNL on demand the balance remaining due.

14.REFUNDS OF EMD/SECURITY DEPOSITS:

i. No interest will be payable on the EMD or the Security Deposit or amounts payable to the

Awardee Agency under the Agreement.

ii. Refund of Security Deposit is subject to full and final settlement of the final bill for the works

awarded and executed under the service agreement after successful completion of the

agreement period or completion of extended period.

iii. EMD will be refunded to the tenderers after finalization of the tender.

15. UNCLAIMED SECURITY DEPOSITS: SECURITY deposit that is due for refund to the contractor and remain unclaimed for TWO YEARS

after its refund becomes admissible (for instance, after the Awardee/agency fulfills his service) shall

be dealt with in accordance with the provisions contained in the rules of BSNL.

16.INSPECTION AND TESTING:

The Divisional Engineer or his representative or any of his superior officers shall have free access, at

all times, for inspection. The Awardee Agency shall render all possible assistance to the representative

of the Department and provide facilities for the purpose.

17.EASEMENT, PERMITS, LICENCES AND OTHER FACILITIES:

The Awardee Agency shall obtain/provide at his own cost all easement, permits and licenses

necessary to do its work.

18.PROTECTION OF LIFE AND PROPERTY AND EXISTING FACILITIES:

i.The agency is fully responsible for taking all possible safety precautions during preparation for and

actual performance of works. The agency should protect all life and property from damage or loss

resulting from his operations and shall minimise the disturbance and inconvenience to the public.

ii.The agency shall be solely responsible for locating through approved non destructive means and

ensuring the safety for all existing underground pipe lines, electrical cables and or other structures in

the field of operations.

iii.The agency shall be solely liable for all expenses for and in respect of repairs and / or damages

occasioned by injury of /or damage to such underground and above structures or other properties and

undertake to indemnify and keep indemnified the BSNL from and against all actions , cause of

actions, damages claims and demands what-so-ever, either in Law or in equity and all losses and

damages and costs (inclusive between attorney and client) charges and expenses in connection there

with and /or incidental thereto .The agency shall take all responsibility and risks in crossing other pipe

lines and cables and shall be responsible for protecting all such existing pipelines, poles, electric lines,

sewers, cables or other facilities from damage by the Agency’s operations in connection with the work.

Any damage incurred shall be promptly repaired by the agency without cost to the Corporation.

19.INDEMNITIES:

i. The Agency shall at all times hold the BSNL harmless and indemnify from against all actions suits,

proceedings, works, cost, damages, charges, claims and demands of every nature and description

brought or procured against the BSNL, its officers and employees forthwith upon demand and without

protest or demur to pass to the BSNL any and all losses and damages and costs (inclusive between

Attorney and Client) and all cost incurred in endorsing this or any other indemnity or security which

the BSNL may now or at any time have relative to the work or the agency’s obligations or in

protecting or endorsing its right in any suit or other legal proceedings, charges and expenses and

liabilities resulting from or incidental or in connection with the injury or disablement to or death of any

person(s), including employees of the Agency or damage to properties resulting from or arising out of

or incidental to the operations caused by the agreed works.

ii.In addition the agency shall reimburse to the BSNL or pay to the BSNL forthwith, on demand, without

protest or demur all costs, charges and expenses and losses and demands and actions which may be

brought against the BSNL arising out of or incidental to or in connection with the operation covered by

the Service agreement.

iii.The Agency, shall, at his own cost, at the BSNL’s request, defend any suit or other proceedings

asserting claim covered by this indemnity but shall not settle, compound or compromise such suit or

other findings without consulting the BSNL.

20.COMPLIANCE WITH LAWS AND REGULATIONS:

i. During the performance of the works the Agency shall at his own cost and initiative fully comply with

all applicable laws of the land and with any and all applicable By-laws, Rules, Regulations and orders

and any other provisions having the force of law made or promulgated or deemed to be made or

promulgated by any Government, Government-agency or Department Municipal Board Government

or other regulatory or Authorised body of persons and shall provide all certificates of compliance

therewith as may be required by such applicable Law, By-Laws, Rules, Regulations orders and/or

provisions.

The agency shall assume full responsibility for the payment of all contributions and pay roll taxes as to

its employees, servants or agents engaged in the performance of the work specified in the service

agreement.

If the agency shall require any assignee or sub-agent to whom any portion of the work to be performed

hereunder may be assigned, sub-leased or sub-let to comply with the provisions of the clause and in

this connection the Agency agrees as to undertake to save and hold the BSNL harmless and

indemnified from and against any/ all penalties, actions, suits, and losses and damages, claims and

demands and costs (inclusive between Attorney and client) charges and expenses whatsoever arising

out or occasioned , indirectly or directly, by failure of the agency or any assignee or sub-agency to

make full and proper compliance with the said by-laws, rules requisitions, laws and order and

provisions and aforesaid.

ii. Subject to the provisions of the Contract Labour (Regulation and Abolition) Act, 1970 and Contract

Labour (Regulation and Abolition) Central rules 1971, as amended from time to time, the

Awardee/service agency shall register themselves with Assistant Labour commissioner (central). The

Awardee/service agency may be allowed to commence the actual work on production of the receipt

from the concerned licensing authority that he has applied for license from the prescribed licensing

authority. However, the Awardee/service agency shall produce the necessary Labour License, which

shall be valid until the completion of the work. Any failure to fulfill this requirement shall attract the

penal provisions of this contract arising out of resultant non-execution of the work and liable for the

termination of this agreement and forfeiture of the Security Deposit.

iii. The Awardee/ Service Agency shall maintain the Muster Roll cum Wages Register and other

registers/ records as per the Contract Labour (Regulation and Abolition) Act, 1970 and Contract

Labour (Regulation and Abolition) Central rules 1971 and the registers/ records shall be made

available for inspection by the Officer-in-charge. Non-compliance of the legal provisions of the

Contract Labour (Regulation and Abolition) Act and the Rules made there under will lead to the

termination of the Contract.

iv. The contractor is liable to make regular and timely payment to the contract labour in presence of an

authorized representative of the principle employer. If however, the contractor fails to make the

payment in time or makes short payment, the principle employer should make payment of wages in

full or the unpaid balance due to the contract labour, and recover the same from the contractor [ Sec

21 of Contract labour Act ].

v.

21. TAXES AND DUTIES:

The Awardee Agency shall pay all rates, levies, fees, royalties, taxes and duties payable or arising

from out of by virtue of or in connection with and / or incidental to the service agreement or any of the

obligations of the parties in terms of the agreement and / or in respect of the works or operations.

22.WORKMEN’ S COMPENSATION:

In every case in which by virtue of the provision of section 12, sub -section (I) of the workmen’s

compensation Act, 1923. BSNL will recover the amount of the compensation from the registered

agency which is due, to a workman employed by the Registered Agency in execution of the works and

pay the compensation without prejudice to the right of the BSNL under section 12, sub-section (ii) of

the said Act.

BSNL shall be at liberty to recover such amount or any part thereof by deducting it from the Security

Deposit or from any sum due by the BSNL to the Agency whether under this contract or otherwise.

BSNL shall not be bound to contest any claim made against it under section 12 sub- section (I) of the

said Act except on the written request of the Agency and upon his giving to BSNL full security for all

costs for which BSNL might become liable in consequence of contesting such claim.

The Labourers in the event of any claim with regard to any mishap, accident, death or damage, shall

make the same against the contractor only and for any reason under no circumstances the BSNL shall

be responsible to settle such claim and the same shall be between the Labourers and contractor only.

If any worker employed by the agency on this contract is terminated ,it is the responsibility of the

Awardee Agency to pay the Compensation, if any due to the worker as per the Labour laws.

23. PARTNERSHIP FIRMS:

i. Where the Awardee agency is a partnership firm, the prior approval in writing of the Officer-in-charge

shall be obtained before any change is made in the constitution of the firm. Where the Agency is an

individual or a Hindu Undivided Family business concern, such approval as aforesaid shall likewise be

obtained before the agency enters into any partnership agreement where under the partnership firm

would have the right to carry out the work hereby undertaken by the agency. If the prior approval as

aforesaid is not obtained, the agreement shall deemed to have been assigned in contravention of clause

6 hereof and the same action may be taken and same consequences shall ensue as provided in the said

clause 6.

ii.All works to be executed under the agreement shall be executed under the direction and subject to the

approval in all respects of the Officer-in-charge who shall be entitled to direct at what point or points

and in what manner they are to be commenced and from time to time carried on.

iii.Whenever any claim, against the agency for the payment of sum or money arising out of or under the

agreement, BSNL shall be entitled to recover such sum by appropriation in part or in whole, the

security deposit of the agency and to sell to the Govt. promissory notes etc., forming the whole or part

of such security. In the event of security being insufficient or if no security has been taken from the

agency, then the balance or the total sum recoverable as the case may be, shall be deducted from any

sum then due or which at any time thereafter may become due to the agency under this or any other

agreement with BSNL Should this sum be not sufficient to cover the full amount recoverable, the

registered agency shall pay to the BSNL on demand the balance remaining due.

24. RESPONSIBILITY OF THE SERVICE PROVIDER:

a. The service provider shall be responsible for the discipline of the persons employed by him. If

at any time, it is found that the persons are indulging in act of misbehavior or misconduct etc.

the unit officer shall have the right to have him / her replaced by the service provider.

b. The service provider shall maintain complete personal data of persons employed by him such

as, name, father’s name, permanent address, village / taluk / district, police station concerned,

signature and finger prints etc. The incumbent should have undergone character and

antecedents verification through the police etc.

m

c. The service provider should be responsible for the welfare of his persons as per the various

State / Central Government Acts and Regulations.

d. The contractor should arrange to do health check up for the labourers from ESI dispensary

whenever necessary at regular intervals.

e. The service provider will be solely responsible for the employment of persons and payment of

salaries, allowances and other benefits to his labourers and BSNL shall in no way responsible

for the same. He should not wait for the BSNL’s payment to pay to his labourers. He should

make payment to the labourers in the presence of BSNL authorized officers on or before 7th of

the following month without fail. The payment also may be made through Bank / cheque and

salary slip should be issued to the labourers.

f. In case of any addition / reduction in requirements the service provider should be in a position

to carry out the work at the approved rate without delay.

g. In case any workman of the service provider suffers injury / damage or meets with an accident

during the discharge of duties, the entire cost of compensation should be borne by the tenderer

and BSNL shall stand indemnified against any such claim for compensation.

h. Cooking / halt after duty hours by the labours of the service providers inside the BSNL

campus is not permitted.

i. The tenderer should provide first aid facilities for the contract labourer.

j. Identity card should be supplied by the agency to their employees. No person will be allowed

to work in BSNL without identity card.

k. The successful tenders should ensure that the persons employed by them should not participate

in any Dharna or Agitation or strike organized by them or by the trade union / Association of

BSNL. Tender will be terminated for violation of the above condition with the forfeiture of

Security Deposit. This tender is purely a work contract. The award of contract do not confer

any right by any of the persons engaged by the contractor for an appointment/absorption in

BSNL.

l. Tenderer should provide number of labourers required and full time supervisor for each DE

areas to get in touch with concerned officer in charge for receiving instructions from time to

time and for the smooth functioning of the work.

m. Any communication to the last known address of the contractor / tenderer will be sufficient for

the purpose of written communications. Any plea of absence from head quarters or change of

address will not be accepted to establish the non-receipt of communication on the part of the

tenderer.

n. Necessary materials such as scented phenyl / soap oil, acid, urinal cakes, bleaching powder, cleaning powder, naphthalene balls, mopsticks, brooms, cobweb sticks, brushes, duster cloths etc. for cleaning and sweeping shall be arranged by the tenderer. The cleaning materials should necessarily be handed over to the SDE / JTO in-charge of the respective building and thecertified delivery Chelan for the same should be enclosed along with the monthly bill.

o. Proper substitute arrangement is required to be made against absent of driving service

25. RESPONSIBILITY &SPECIAL CONDITIONS FOR DRIVER SERVICES:

a. The Drivers provided by the tenderer should be able to read and write local languages, should

be able to understand English numbers/letters and to make simple arithmetical calculations.

(Middle Standard Pass).

b. The age limit of the persons provided by the tenderer shall be between 21 to 58 years for the

drivers. They should be physically fit in all respects and should have good eye sight and also

ready to work at any time including night.

c. Drivers should have the experience of at least four years including one year on heavy vehicles.

d. Drivers shall perform duty as per requirements. Drivers should be provided round the clock for

the services if required during the restoration of OF Cable fault.

e. The Drivers should not have a past criminal record.

f. The Drivers should wear a uniform to be provided by the successful tenderer.

g. In case the Drivers provided by the successful tenderer are found at fault in any road accident

case, the successful tenderer should visit the spot of accident immediately to take the stock of

incident & pay the cost of repairs of the BSNL vehicle or to the other vehicle/persons

involved. In respect of each other vehicles/persons involved, the successful tenderer should

settle the case/ matter themselves with intimation to this office. The cost of damage charges to

the BSNL vehicle if any shall be adjusted from the bill payable to the successful tenderer.

h. In case of accidents registered by the police authorities against outsourced drivers, the

successful tenderer should deal with the concerned criminal court cases by themselves. The

result of such cases should be intimated to the Divisional Engineer along with a copy of the

court order immediately.

i. In case the BSNL has to pay any damages, claims/ penalties/fines etc., on account of accident,

non-observance of traffic rules or any other fault of the driver/other staff provided by the

successful tenderer, the successful tenderer would indemnify the BSNL for such payments.

j. The Department shall not be responsible fully or partly to any labour or other dispute that may

arise between successful tenderer and their staff.

k. The Drivers should have clean habits, should be punctual in their attendance and should not

engage with union activities, which are prejudicial to the Government of India. They should be

obedient, honest and sincere.

l. The Drivers have to attend duty with uniform, identity card and name badge supplied by the

successful tenderer.

m. As and when complaints are made by the Divisional Engineer against any Drivers deployed,

appropriate action shall be taken by the successful tenderer to change the defaulted Driver

immediately.

n. The Driver shall be given weekly off after six (6) days of continuous work without break.

o. Notice period:

1. For regular requirements one day in advance

2. In emergency condition within 15 minutes on telephonic notice.

3. Telephonic intimation shall be considered as notice

q. Penalties:

In case of non-availability of Driver service during normal duty / extra hours /

night hours, a penalty of Rs.350/- per day shall be imposed in addition to

deduction at pro-rata basis for that day

Special requirements:

Intending bidder must have telephone/mobile connection requirements Where

requisition of Motor drivers can be conveyed all the 24 hrs.

Telephone & Mobile No. must be conveyed to user of vehicles.

Intending bidder should arrange to issue proper Identity Cards after verifying the

antecedents of his/their drivers.

26. PAYMENT:

I. The Agency shall submit bills to the concerned Divisional Engineer, on or before the fifth of

every month for the work executed during preceding month. Payments will be made to the

agency against the bills normally within 60 days of receipt of the bills duly verified and certified

subject to deduction if any, as per the Service Agreement clauses.

II. Service Tax as per the applicable rate shall be claimed by the Agency in the bill. The proof of

payment of Service Tax of the previous month/ quarter has to be submitted along with the bill of

the current month.

Every claim bill submitted by the contractor must accompany the following documents:

1. List showing the details of labourers/employees engaged

2. Duration of their engagement

3. The amount of wages paid to such labourers/employees for the duration in question.

4. Amount of ESI & EPF contributions (both employer’s & employees’ contribution) for the

duration of engagement in question, paid to the ESI & EPF Authorities ( These payments are

to be made only on-line Basis only to the respective authorities, and the receipt is to be

enclosed along with the Bills claim).

5. Copies of authenticated documents of payments of such contribution to EPF& ESI authorities.

6. A declaration from the contractors regarding compliance of the conditions of EPF Act, 1952

and ESI Act 1948

7. The Proof of payment of Service Tax of the previous month/ quarter. The bill will be passed

by the bill passing authority only if the contractor complies with the terms & conditions of

EPF Act, 1952 and ESI Act 1948 .

8. The Bidder is to submit the acquaintance roll, showing the acknowledging the receipt of

payment by the workers employed by him.

III. Income Tax at the rate as applicable for which the bills have been passed will be deducted as tax at

source, under relevant Government rules. However, if any new legislation comes into effect for

deduction of tax at source at any other rate, deduction will be made at that rate. Necessary Income

tax deduction certificate will be issued by the Accounts Officer after the closure of financial year.

All taxes, duties and levies like sales tax, excise duty, surcharges etc. payable under the provisions

of statute rules or regulations of the central/state governments or local bodies arising out of the

service agent by virtue of the service agreement or incidental to service agreement in respect of the

works or operations or any part thereof to be performed by the service agent as applicable of the

amount for which the bill has been passed will be deducted as tax at source under relevant

government rules from time to time.

IV. The bills are to be submitted in duplicate by the Agency and in the manner and the form that may

be prescribed by the Divisional Engineer concerned. Payments will be made by The Accounts

Officer, O/o CGMM, STR, BSNL, Chennai through RTGS/NEFT to the contractor after deduction of

income tax & statutory taxes (as applicable from time to time) on each bill.

V. Any liquidated damages due shall also be recoverable from the bills submitted for payment by the

aforesaid Officers.

VI. The Divisional Engineer concerned will have the right to recover the liquidated damages for delay

or slow progress of the work from the bills submitted for payment.

VII. The security deposit with the Divisional Engineer concerned will be considered for adjustment

against liquidated damages only at the time of final conclusions of the service agreement and final

settlement of account.

VIII. The service agent shall not be justified in abandoning the service agreement because the BSNL has

delayed making payments in respect of other work being done for the BSNL by the service agent.

IX. The tenderer has to remit the applicable amount of ESI / EPF to the concerned departments every

month promptly and a copy of the same should be submitted to this office with details and name

of the employer and amount remitted along with the bill for having remitted the amount.

X. PAYMENT FOR INCREASE/REDUCTION IN WORKING DAY IN A MONTH:

The Divisional Engineer or his authorised representatives shall measure the actual numbers of

days the service provided by the Tenderer at the station/ office/ location. The payment will be

made on pro-rata basis by using the formula.

XI. The service for additional Number of days may be engaged after getting the prior approval of

competent authority ( In all cases the normal approved rate should be applicable. )

XII. The service agent shall not be justified in abandoning the service agreement because the BSNL has

delayed making payments in respect of other work being done for the BSNL by the service agent.

27. GUARANTEES:

In addition to any and all other guarantee and warranty mentioned in the service agreement, the service

agent guarantees that the entire work will be done in a satisfactory manner and free from any defects in

workmanship and finish and in conformity in all respects with the construction, specification and

directions. The service agent also undertakes to repair or replace as the case may be at his own cost

and risk any part of the work which may be damaged or that may develop any defect due to bad

workmanship or otherwise due to the fault of the service agent within a period of 7 (seven) days after

the written final acceptance of the work by the BSNL.

28. FORCE MAJEURE:

i. In the event of either party being rendered unable by FORCE MAJEURE to perform this service, then

the obligations of the party affected by such FORCE MAJEURE shall be suspended for the whole

period during which such cause lasts and until normal operations are resumed and when such cause ends, the execution of this service must be resumed with all reasonable dispatch. Should the execution of this service be suspended by FORCE MAJEURE, and then a corresponding extension of the completion date shall be automatically granted. The occurrence of a cause of force majeure, however, shall not relieve the BSNL and it’s obligations to make payments to the Service Agent for the work satisfactorily executed prior thereto.

ii.The term Force Majeure has employed herein shall be Act of God, war declared or undeclared,

hostilities, enemy actions, revolts, riots, legal lockouts and illegal strikes, tidal waves, forest fires,

major fires, explosions, earth quake, natural calamities, adverse weather, epidemics, sabotage, extra

ordinary Acts and regulations of general or state Government or Municipal bodies. Upon the

occurrence of such cause and its termination, the party rendered unable as aforesaid shall notify the

other party in writing within 72 hours of the beginning and ending dates, giving full particulars and

evidence. The Service Agent shall not be entitled to any compensation whatsoever by reason of

suspension of the whole or any part of the work made necessary by the BSNL or deemed advisable on

account of FORCE MAJEURE conditions.

29. TERMINATION, OTHER THAN DUE TO THE DEFAULT OF THE SERVICE AGENT:

i. The BSNL / Officer-in-charge may, at any time, at his option cancel and terminate this service

agreement by issuing one month notice stating reasons for such cancellation or termination to the

service agent, in which event the service agent shall be entitled to payment for the work done up to the

time of such cancellation. No compensation shall be payable to the service agent towards purchases

and hire of man-power in respect of the work.

ii.At any time, after the commencement of the work, if the BSNL shall not require the whole work or

part thereof to be carried out as specified in the service agreement, for any reasons whatsoever, the

officer-in-charge shall give notice in writing of the facts to the service agent, who shall have no claim

to any payment of compensation whatsoever on account of any profit or advantage which he might

have derived from the execution of the work in full, but which he did not derive in consequence of the

full amount of the work not having been carried out, neither shall he have any claim for compensation

by reasons of any alterations having been made in the original specifications, drawings, designs and

instructions which shall involve any curtailment of the work as originally contemplated.

iii.Provided that the contractor shall be paid charges on cartage only of materials actually and bonafide

brought to the site of the work by the contractor and rendered surplus as a result of the abandonment or

curtailment of the work or any portion thereof, and then taken back by the service agent, provided

however that the officer-in-charge shall have in all such cases the option of taking over all or any such

materials at their purchase price or at local current rates whichever may be less.

iv. In the event of the termination of the current service agreement, the service agent shall forthwith clear

the site of all the service agent’s materials, machinery and equipments and handover possession of the

work/operation concerned to the BSNL or as the BSNL may direct, including the materials supplied by

the BSNL vide relevant clause, contained in this section of the service agreement.

v. The officer-in-charge may, at his option, cancel or omit the execution of one, more or all items of work

under this service agreement, and any part of such item(s) without any compensation whatsoever to the

service agent by giving due notice in writing stating reasons therefore. The action of the officer-in-

charge as per the aforesaid clauses, contained in this section of the service agreement shall not be

construed as Breach of the service agreement.

30. DEMISE OF THE SERVICE AGENT BEFORE FULFILLING THE SERVICE AGREEMENT:

i.Without prejudice to any of the rights or remedies under this service agreement, if the service agent

dies, the officer-in-charge on behalf of the BSNL shall have the option of terminating the service

agreement without forfeiting the security deposit and without any compensation for the service agent,

which does not amount to Breach of service agreement. Any amount payable to the BSNL under this

service agreement shall be recoverable from any payment due to him or from the security deposit

submitted by him.

ii.Service Agent’s legal heirs/representatives shall not without the consent in writing of the Officer-in-

Charge, have the right to continue to perform the duties or engagements of the Service Agent or under

the service, in case of his death. In all cases proof of death and other relevant documents to this effect

shall be submitted to the Officer-in-Charge within 15 (fifteen) days of the occurrence of event.

31. BREACH OF SERVICE:

i.The breach of service is the failure or refusal to perform it. Any breach of service attracts an

immediate cause of action and a right to damages as compensation for loss follows from the breach of

service. A breach occurs where a party to the service repudiates or fails to perform one or more of the

obligations imposed upon by the service.

ii.The failure to perform may take place when the time for performance has arrived or even before that.

Thus the “Breach of Service” mentioned above covers the Anticipatory Breach and the Present Breach.

iii. The Officer-in-Charge may without prejudice to his right against the Service Agent in respect of any

delay or inferior workmanship or otherwise or to any claims /damages in respect of the service and

without prejudice to any rights or remedies under any of the provisions of this service or otherwise

and whether the date for completion has or has not elapsed by notice in writing absolutely determine

the service in any of the following cases:-

a. If the Service Agent fails to commence the work as specified in the Letter of Intent or Work

Order after entering into the Agreement for the work.

b. If the Service Agent having been given by the Officer-in-Charge a notice in writing to rectify,

reconstruct or replace any defective work or that the work is being performed in any

inefficient or otherwise improper or un-workman like manner shall omit to comply with the

requirements of such notice for a period of SEVEN DAYS thereafter.

c. If the Service Agent shall delay or suspend the execution of the work so that either in the

judgment of the Officer-in-Charge (which shall be final and binding) he will be unable to

secure completion of the work by the date for completion or he has already failed to complete

the work by that date.

d. If the Service Agent being adjudged insolvent, or going voluntarily into liquidation or having

received order under insolvency act made against him, or in the case of company, shall pass a

resolution, or the court shall make an order that the company shall be wound up, or if a

receiver or a manager on behalf of a creditor shall be appointed, or if circumstances shall arise

which entitle the court or creditor to appoint a receiver or a manager, or which entitle the court

to make a winding up order.

e. If the Service Agent is a Retired Officer of Gazetted rank or other Gazetted Officer employed

in an Engineering Department of Government of India and entering as Service Agent within a

period of TWO YEARSof his retirement from Government Service, such person should obtain

prior permission from the Government of India.

f. The Service Agent should not be a near relative of an Officer or Employee of the BSNL. By

the terms NEAR RELATIVES is meant (a) Members of a Hindu undivided family.

(b) They are husband and wife.

(c) The one is related to the other in the manner as father, mother, son(s) & Son's wife (daughter in

law), Daughter(s) and daughter's husband (son in law), brother(s) and brother's wife, sister(s) and

sister's husband (brother in law).

g. If the Service Agent commits breach of any of the terms and conditions of this service.

iv. If the Service Agent, or any of his supervisors or employees or agents promise or offer any bribe,

gratuity, gift, loan, perquisite, reward or advantage pecuniary or otherwise, directly or indirectly to any

of the officers or any employees of the BSNL or any person directly or indirectly relating to their

offices or employment or any person, in any way, interested in the service, such act will be considered

as breach of service and appropriate actions will be initiated by the Officer-in-Charge in accordance

with the relevant Clauses, contained in this Section of the Tender Document.

32. PENALTY FOR BREACH OF SERVICE:

i. When the Service Agent has made himself liable for action under any of the aforesaid reasons,

the Officer-in-Charge for and on behalf of the BSNL shall have powers:

a. To terminate or rescind the Service as aforesaid after proper notices (of which terminations or

rescission order in writing to the Service Agent under the hand of the Officer-in-Charge shall

be conclusive evidence). Upon such determination or rescission the Security Deposit remitted

by or recovered from the Service Agent in connection with the work under service will be

forfeited and shall be absolutely at the disposal of BSNL.

b. To employ Labour paid by the BSNL to carry out the works or any part of the work debiting

the Service Agent with the cost of the Labour and the price of the Materials of the amount of

which cost and price certified by the Officer-in-Charge shall be final and conclusive against

the service Agent and crediting him with the value of the work done in all respects in the same

manner and the same rates as it has been carried out by the Service Agent under the terms of

the Service.

The certificate of the Officer-in-charge as to the value of the work done shall be final

conclusion against the Service Agent, provided that action under the sub-clause shall only be

taken after giving notice in writing to the Service Agent. Provided also that if the expenses

incurred by the BSNL are less than the amount payable to the Service Agent at his agreement

rates, the difference shall not be paid to the Service Agent.

c. To measure up the portion of the work completed in all respects of the Service Agent after

giving notice to the service agent, to take such part thereof as shall be unexecuted out of his

hands and to give it to another Service Agent to complete, in which case the EMD and

Security Deposit submitted by the former Service Agent shall be forfeited and shall be

absolutely at the disposal of the BSNL.

d. To debar the Service Agent from participating in any of the tenders pertaining to that Division

in case the Breach of Service is being committed for First time, or that pertaining to all the

Divisions under the Jurisdiction of a Deputy General Manager, in case the Breach of Service is

being committed for second time or further, for a period of 3 (Three) years from the date of

issue of termination or rescission order by the Officer-in-charge.

ii.) In any case in which any of the powers conferred upon the Officer-in Charge by the above

Clauses, shall have become exercisable and the same shall not be exercised, the exercised thereof shall

not constitute a waiver of any of the conditions here of and such powers shall not withstanding be

exercisable in the event of any future case of default by the Service Agent and the liability of the

Service Agent for compensation shall remain unaffected.

iii.) The Service agent whose work has been terminated or rescinded due to Breach of Service and

carried out through another Service Agent shall not have any right to initiate any legal proceedings to

stall the work.

Upon receiving the termination or rescission order in writing under the hand of the Officer-in-charge

the Service Agent shall return the unused materials supplied by the BSNL within the date specified in

the termination or rescission order, otherwise the cost of the materials supplied by the BSNL shall be

recovered from the Service Agent as per the relevant clause contained in this section of the Tender

Document.

iv). In the event of anyone or more of the courses of action that may be adopted by the Officer-in-

Charge in accordance with the aforesaid clauses contained in this section of the Tender Document,

the Service Agent shall have no claim for compensation towards any loss sustained by him by reason

of having purchased or procured any materials or entered into any engagement or made any advances

on account of the execution of the work or performance of service.

And in case action is taken under any of the provisions aforesaid, the Service Agent shall not be entitled

to recover or be paid any sum for any work thereto or actually performed under this service unless

and until the Officer-in-Charge has certified in writing the performance of such work and the value

payable in respect thereof and he shall only be entitled to be paid the value so certified.

v.) In the event of the Officer-in-Charge putting in force all or any of the powers vested in him under

the provisions of aforesaid, contained in this section of the Tender Document, he may take possession

(at the sole discretion of the Officer-in-Charge which shall be final), or use as on hire (the amount of

hire money being also in the final determination of the Officer-in-Charge), after giving a notice in

writing to the Service Agent, all or any tools, plant, materials and stores, in or upon the works,

belonging to the Service Agent or procured by the Service Agent and intended to be used for execution

of the work or any part thereof, by paying or allowing for the same an amount at service rate, or in

case of these not being applicable, at current market rates to be certified by the Officer-in-Charge

whose certificate thereof shall be final.

vi. Officer-in-Charge, after giving a notice in writing to the Service Agent, may order the Service

Agent, or his supervisor or other authorised agent to remove all or any tools, plant, materials, or stores

from the premises (within and the time to be specified in such notice) and in the event of the Service

Agents failing to comply with any such requisition, the Officer-in-Charge may remove them all at

Service Agents expense or sell them by auction or private sale on account of the Service Agent and at

his risk in all respects and the certificate of the Officer-in-Charge as to the expense of any such

removal and the amount of the proceeds and expense of such sale shall be final and conclusive against

the Service Agent.

iv. If the service hired is stopped by the contractor without prior intimation on any day, a penalty of Rs.350/-

(Rupees Three hundred and fifty) only per day shall be imposed by BSNL. If the quality of work is not

satisfactory, a penalty of Rs.250/- (Rupees Two hundred and fifty) only per day of service for the affected

services shall be imposed by BSNL. The decision of the designated officer of BSNL for this purpose shall be

final and binding on the contractor.

33. SET OFF

Any sum of money due and payable to the Company/ Firm/Agency (including security deposit

refundable to him) under this contract may be appropriated by BSNL or any other person or persons

for payment contracting through the BSNL and set off the same against any claim of BSNL or such

other person or persons for payment of a sum of money arising out of this contract made by the

Company/ Firm /Agency with BSNL or such other persons contracting through BSNL.

32.DISPUTES AND ARBITRATION:

a.).In the event of any question, dispute or difference arising under this agreement or in connection

therewith except as to matter the decision of which is specifically provided under this agreement, the

same shall be referred to sole arbitration of the Chief General Manager,

Maintenance, STR, Chennai or in case his designation is changed or his office is abolished then in

such case to the sole arbitration of the said officer for time being entrusted whether in addition to the

functions of STR BSNL Chennai or by whatever designation such officers may be called (hereinafter

referred to as the “said officer”) and if the Chief General Manager, Maintenance, STR, Chennai or the

said officer is unable or unwilling to act as such the sole arbitration or some other person appointed by

the Chief General Manager, Maintenance, STR, Chennai or the said officer.

The agreement to appoint an arbitrator will be in accordance with the Arbitration & Conciliation Act,

1996. There will be no objection to any such appointment that the arbitrator is an employee of BSNL

or Government Servant.

The award of the arbitrator shall be final and binding on the parties. In the event of such arbitrator to

whom the matter is originally referred, being transferred or vacating his office or being unable to act

for any reasons whatsoever such Chief General Manager, Maintenance, STR, Chennai or the said

officer shall appoint another person to act as arbitrator in accordance with the terms of the agreement

and the person so appointed shall be entitled to proceed from the stage at which it was left out by his

predecessor.

b). The arbitrator may from time to time with the consent of parties enlarge the time for making and

publishing the award. Subject to aforesaid Arbitration & Conciliation Act, 1996 and the Rules made

there-under, any modification thereof for the time being in force shall be deemed to apply to the

arbitration proceeding under this Clause.

c.) The venue of the arbitration proceedings shall be at Chennai or such other places as the Arbitrator

may decide.

increase in minimum wages due to the revision of VDA, and proportional increase in EPF/ESI
