History: a brand born at sea

As Paul Sperry watched his cocker spaniel, Prince, run across the ice on a

winter’s day in Connecticut, he noticed his dog’s amazing ability to main-

tain traction on the slippery surface. Turning over Prince’s paw, he observed

hundreds of tiny cracks and cuts going in all directions. These wave-like

grooves became the inspiration for Mr. Sperry’s latest patent, called razor-

Siping™, and were instrumental in maximizing the traction and performance

of the Sperry Top-Sider Authentic Original first introduced in 1935. Since

inventing the first boat shoe, Sperry continues to share our “Passion for the

Sea” with those who enjoy the good life in, on and around the ocean.

TERMS OF SALESAll orders are subject to acceptance by Sperry Top-Sider, Inc. (“Seller”). Acceptance by Seller is limited to the terms herein stated. Seller objects to any different or additional terms contained in any purchase order, compliance manual, confirmation or other verbal or written communication forwarded by Buyer. Seller’s acceptance of any order for any product is based upon the express condition that Buyer accepts and agrees to be bound by all of the terms and conditions set forth herein. Buyer’s acceptance of delivery of, or payment for, any of Seller’s products shall constitute Buyer’s assent to such terms and conditions. The terms and conditions set forth herein, together with any additions thereto or revisions there of agreed to in writing by Seller, shall constitute the entire agreement and understanding of Seller and Buyer with respect to the transactions contemplated hereby. Such terms and conditions shall control irrespective of any inconsistent or additional terms and conditions, whether printed or otherwise, set forth in any communication from Buyer to Seller, or which otherwise would be deemed established by any course of dealing, course of performance or usage of trade, unless otherwise provided herein or specifically agreed to in writing by Seller.

TERMSUnless otherwise stated on the invoice, terms shall be net 30 days EXW. Shipping Point from date of invoice.

TAXESPrices do not include any tax or other government charge or assessment upon the sale, shipment, production or use of the products ordered or sold hereunder. Buyer shall be solely responsible for and shall pay to Seller, upon demand, any such tax, charge, or assessment (other than any such tax on or measured by Seller’s income).

LATE CHARGES

If payment of the total amount invoiced is not received by the due date, then Seller shall have the right to collect from the Buyer a late charge at the rate of 1.5% of such amount per month, until such amount is paid; provided that if the laws of a state other than Massachusetts are found to be applicable, then the late charge shall be at the highest rate permitted by law. Nothing herein shall be deemed to extend or otherwise modify Buyer’s obligation to make payment when due. In the event of default, buyer agrees to pay Seller all costs and expenses (including reasonable attorneys’ fees) incurred in collection from Buyer.

CREDIT

All credit orders are subject to final approval for shipment by the Credit Department. Seller’s dealers are expected to pay according to invoiced terms and instructions.

GOVERNING LAW

Terms of all purchases shall be governed by & construed according to the laws of Massachusetts. Buyer consents to the non-exclusive jurisdiction of and venue in any state or federal court located in the Commonwealth of Massachusetts.

TRANSPORTATION

In the absence of specific routing instructions, Seller will ship according to its best method. All shipments EXW. Shipping Point. TRANSPORTATION COLLECT. UPS PREPAID AND CHARGED.

SMALL ORDER/SPECIAL ORDER CHARGE

Orders of $50 or less will incur a $2 small order charge. An order between $50 and $100 will incur a $4 small order charge. Orders of $100 or more will receive no charge. These charges will be applied at the time of invoicing.

PRICES

All prices are subject to change without notice. Orders will be invoiced at prices prevailing at the time of shipment. Partial shipments of an order shall not bind Seller to deliver the remainder of the order at the same price. No Seller employee, Sales Representative or other party is authorized to alter Seller’s prices or other terms and conditions of sale.

CANCELLATION POLICY

Orders are non-cancelable by the Buyer, unless previously authorized by Seller’s Sales Representative. Cancellation requests will only be considered if submitted in writing a minimum of 30 days prior to the earliest requested ship date. A cancellation of more than 25 pairs or 5% maximum (which ever is greater) of the original order may result in a loss of any discounts and/or terms given the order. No cancellations will be accepted on special make-up or POE product.

SHORTAGE CLAIMS

Buyer shall be responsible for checking shipment upon delivery for carton count and condition. All claims for lost or damaged shipments must be made directly to the delivering carrier. Shortages due to packing errors and/or concealed shortages must be reported in writing within 7 business days of receipt to the following Customer Service Center address:

Adjustments can only be made if reported to Seller in writing within that time. Buyer’s requests for proof of shipment by Seller must be made within 30 days of receipt of invoice. After 30 days, the merchandise will be considered as delivered.

HANDLING Service or Other Infraction Claims Buyer agrees not to impose upon Seller any handling, service or any other charges of any nature whatsoever.

RETURNED GOODS POLICY Seller will only accept returns for products shipped in error or those determined to be defective. Whether product is defective will be determined in Seller’s sole discretion.

All returns must be authorized in advance by Seller’s Customer Service Center. Return authorization labels and numbers are required for all returns - defective, non-defective, new and worn. Returned merchandise must be returned in the same saleable condition as received. All return freight charges must be paid by the Buyer for stock swap returns. Sperry will assess a $2.00 per pair charge for stock swap returns, or pairs requiring re-boxing and/or removal of Buyer tags. Unjustified returns on new product will be returned with handling charges of $2.00 per pair and appropriate freight charges billed to the Buyer. Quantity and styles returned must match return authorization labels. Shipments refused by the dealer will be credited at full value if shipment error is by Seller. Shipments refused for reasons not attributable to Seller will be credited at full value less 10% restocking charge and less return freight.

Any violation to Seller’s return policy will result in a charge back. Collect shipments will be refused. Shipments to any address other than the specified addresses will be refused and return freight charges billed to Buyer. Seller shipping errors must be identified and communicated to Customer Service within 7 business days from the date of receipt of shipment. Contact Seller’s Customer Service Representative for further details on the Return Goods Policy. Requests for return goods authorization labels should be made by calling (800) 666.5689.

DIVERSION OF PRODUCTSeller only sells direct to select retail outlets for resale by them only to consumers at locations approved in advance by Seller. Sale or offer to sell from any other location/outlet, through any other medium (including, without limitation, mail order, catalog, Internet, Intranet or otherwise) is expressly prohibited unless previously authorized by Seller in writing in each instance. Sale, resale, or transshipment from, or through any unauthorized location, business, medium or to others than consumers is expressly prohibited, and violates these terms and conditions. Buyer understands and agrees that these provisions are for the purpose of managing and maintaining Seller’s image and value of its trademarks and trade name throughout the world. Buyer understands that Seller will use all remedies available to protect its global image from unauthorized activities.

LIABILITY-SHIPPING PerformanceSeller reserves the right to discontinue product lines and to make changes in products offered at any time and without notice. Seller shall not be liable for any lost profit, interruption of business or any other special, consequential or incidental damages suffered or sustained by the buyer in connection with any products or any sale.

EXCLUSION OF WARRANTIESSeller makes no warranties, express or implied, which extend beyond the description of the products on the face of the order acknowledgement. Seller does not give, nor shall any sale under any order and/or seller’s and/or buyer’s conduct in relation thereto or to each other give rise to, nor shall seller be liable for, any implied warranty of merchantability or fitness for a particular purpose, or implied warranty arising by usage of trade, course of dealing or course of performance, with respect to any product.

FULFILLMENT OF ORDERSSeller will attempt to meet the delivery schedule requested by Buyer. However, all delivery indications are estimates only and, in no event, will Seller be responsible or liable for any delays or failure in such delivery. Seller expressly reserves the right to effect delivery of products ordered in the manner in which Seller deems to be most efficient. During any period of shortage of any product, Seller shall have the right to allocate its supply of such product among its buyers, including Buyer, pursuant to their respective orders and contracts in any manner Seller deems appropriate.

DISTRIBUTION CHANNELSSeller reserves the right to limit the distribution of some product lines to certain selected distribution channels.

VIOLATION OF POLICYAny violation of the policies of Seller, its parent company, subsidiaries, or affiliates may result in non-shipment or termination of the business relationship with Seller. Such termination may result in cancellation by Seller of current and/or previously acknowledged orders. Anticipation Discount is not allowed.

AUDIT CLAIMS Seller invoices will not be subject to any audit and/or order requirement claim by Buyer unless Buyer notifies Seller within 30 days after the date such invoice is due.

ELECTRONIC COMMERCE Buyer is prohibited from selling, without prior written approval, any of Seller’s products, through telephone solicitations, mail and direct order solicitations on or in connection with catalogs, or through electronic commerce or any other electronic means (including but not limited to the Internet or any on-line services). Buyer is also prohibited from advertising or promoting any of Seller’s products or in any manner using Seller’s name or any mark or logo of Seller, by electronic commerce or any other electronic means (including but not limited to the Internet or any on-line service), without the prior written approval of Seller for any such advertisements. Violation of this policy may result in action against retailers by Seller, including the possibility of termination. Seller will be monitoring the Internet to assure adherence to our policies.

SELLER’S TRADEMARKSBuyer may not use any of Seller’s trademarks or trade names except solely and directly in connection with the sale and advertising of Seller’s products; provided however, that Buyer shall comply with Seller’s formal requirements for the proper usage and display of such trademarks. Buyer shall have no right of any kind in or to any of Seller’s trademarks or trade names, and Seller expressly reserves the right to prohibit or further restrict or condition Buyer’s use thereof as Seller may deem necessary or appropriate.

WAIVERAny waiver by Seller of the performance or breach of any provision hereof shall be in writing and executed by an authorized officer of Seller, and no such waiver shall constitute a waiver of the subsequent performance of or breach of the same or any other provision.

SEPARABILITY The invalidity or unenforceability, in whole or in part, of any provision hereof shall not affect in any way the validity and enforceability of the remainder of such or any other provision. © 2010 Sperry Top-Sider, Inc.
