1. BACKGROUND

i. BadmintonAssociationof India(BAI) istheGoverningBodyforBadminton in India.Based inNewDelhi,BAIisanassociationregisteredunderthesocietiesact.Itwasformedin1934andhasbeenholdingNationalandInternational-leveltournamentsinIndiasince1936.

ii. BAIhas32StateAssociationsand04otherorganizationsas itsmembersthatconductBadmintontournaments.

2. BAIMission

i. Toregulate,promote,manageanddevelopthesportof'Badminton'intheCountrytransparently.ii. To create comprehensively established progressive pathway for Badminton Players, Coaches and

otherTechnicalpersonsoftheCountry.iii. To seek support of Govt. of India, Sport Authorities, Executive Council Members, all Member

Associations, Indian and International Media and Sponsors for the continuous promotion andgrowthofBadmintonIndia.

iv. ToeffectivelyCo-ordinatewithBadmintonAsiaConfederation(BAC),BadmintonWorldFederation(BWF), IndianOlympicAssociationandallotherNational& InternationalSportsOrganizations fortheprogressoftheSportofBadminton.

3. MARKETING&SPONSORSHIPPROGRAM

i. ToeffectivelyCo-ordinatewithBadmintonAsiaConfederation(BAC),BadmintonWorldFederation(BWF), IndianOlympicAssociationandallotherNational& InternationalSportsOrganizations forthe progress of the Sport of Badminton, BAI aims to attract fair degree of Sponsorships for thePromotionofGameofBadminton.

ii. BAI envisions using the Games as a Platform for inculcating a Sports Culture among the youthbrigade.Additionally,ahighdegreeofawarenessandexcitementwillbecreatedinthebuild-uptotheGames,translatingintomaximumspectatorpresenceintheGamesVenue.

iii. TheSponsorscanbeofferedanumberofavenuesforgivingthemhighvisibilityduringtheGames.iv. Thelistofdeliverables/obligationsthatmaybeofferedtotheSponsorsbyBAIisdetailedbelow.

a) Endorse exclusively all the items of the sponsor like Racquets, Clothing, Accessories,BadmintonCourtMats,StringsandallotherSponsorsproductsrelatedtothegameofBadminton as the exclusive "Official Equipment of BAI and the Indian NationalBadmintonTeam".

b) EndorseexclusivelytheSponsorasthe"exclusiveOfficialShuttlecockofBAIandtheIndianNationalBadmintonTeam".

c) Endorse exclusively the Sponsor as the "exclusive Official Attire of BAI and theIndianNationalBadmintonTeam".

d) EndorseexclusivelytheSponsorasthe"exclusiveOfficialCourtmatsSupplierofBAIandtheIndianNationalBadmintonTeam"

e) Endorse exclusively the Sponsor as the "exclusive Official Net Pole Supplier of BAIandtheIndianNationalBadmintonTeam"

f) Endorseexclusively theSponsoras the"exclusiveOfficialBadmintonNetSupplierofBAIandtheIndianNationalBadmintonTeam"

g) Endorse exclusively the Sponsor as the "exclusiveOfficial StringingMachineof BAIandtheIndianNationalBadmintonTeam"

h) EndorseexclusivelytheSponsorsastheexclusive"PrincipalSponsorofBAI” i) BAIshallusetheSponsor’slogoandmentiontheSponsorsalongwiththeirlogosas

the "Official Equipment Supplier" on all stationery items, official communicationsandbrandingmaterials,whileorganizingtournaments.

j) EndorseexclusivelytheSponsorsasthe"exclusiveofficialEquipmentSupplierto

BAI" for all activities organized or affiliated by BAI in India or its territory. TheSponsorwillmakebesteffortsforparticipationoftheirSponsoredindividualplayersinsuchtournaments.

k) Endorse exclusively the Sponsors as "exclusiveOfficial Equipment Supplier" on BAIwebsiteandonall its socialmedia channels.Nocompetitorbrand isallowed tobeendorsedonBAIwebsiteandonanyofitssocialmediachannels.

l) Endorse exclusively the Sponsors as "exclusive official equipment supplier" on allapplications/registration forms, posters, newsletters, websites, advertisement ontelevision, electronic media, event banners, press releases and all other printedmaterialsduringanyactivityforenhancementofsports.

m) Endorse exclusively the Sponsors as "exclusive official equipment supplier" onmagazineswhereBAIisdirectlyinvolved.

This shall be made known and the Sponsors logos and this designation will beprinted on BAI letter head while organizing tournaments such as BWFWorld Tour500, BWF World Tour 300, newsletters, websites, press releases etc. as far aspossible.

n) BAI grants theSponsors theexclusive rights and licenses touseBAI's logoandanyotherlogosassociatedwiththetournaments,theabovedesignationsandanyotherdesignations granted to Sponsors in the Agreement in any of its advertisements,promotions, and on the Sponsors products and packaging. It is hereby agreedbetween the Parties that the Sponsors logowill be printed on all communicationsandstationery,whileorganizingtournaments.

o) Inthenational/domesticevents,ifanyoftheTournamentsassetoutinAnnexure

-3 is held, namely National Championships, Ranking Tournaments Inter Zonal andanyothertournament/activityconductedbyBAIinlndia,presentlyorinfuture;theSponsors will automatically become the title sponsors for all such tournaments.However,BAI is freetosourceforasecondtitlesponsorfornationalchampionshipi.e. Sub Junior nationals championship, Junior Nationals championship. Seniornational championship and veteran national’s championship, provided that suchsecond title sponsor is a non-competing brand and has been appointed withapproval in writing from the Sponsors. The Sponsors shall be granted by BAI, thefollowingpromotionalbenefitsasTitleSponsor.

• The Sponsors shall be acknowledged as "Tournament Title Sponsor" ;"Principal Sponsor of BAI" and as the sole andexclusive "Official EquipmentSupplier for the Tournament", "Official Equipment Supplier", "OfficialEquipment of the Tournament" and "Official Approved Equipment",

"Exclusive Official Shuttlecock of the Tournament"," "Exclusive OfficialShuttlecockSupplier"of theTournament.This shallbemadeknownand theSponsors will be entitled for 20% branding rights on allapplications/registration forms, posters, newsletters, websites,advertisementon television,electronicmedia,eventbanners,press releasesand all other printedmaterials that are applicable. The Sponsors shall havethe exclusive right to use any of these designations on its Products,packaging, advertisingandpromotionalmaterials and for its advertisingandpromotionalactivities.

• BAIwillensuretheexclusiveuseofTheSponsorcourtmatsfromBAl'sstock,without the name THE SPONSOR being covered, blocked from view orremoved in anyway. No other logos, trade names or advertising materialsincludingBAI'sshallbeallowedphysicallyorvisuallyonthem.

• An announcement shall be made by the official commentator at regularintervals during theTournament that the Sponsors are the "Title SponsorofTournament”;"Principal Sponsor of B A I " and sole andexclusive "OfficialEquipment Supplier for the Tournament", "Official Equipment Supplier","Official Equipmentof the Tournament" and "OfficialApprovedEquipment","Exclusive Official Shuttlecock of the Tournament", "Exclusive OfficialShuttlecockSupplier"oftheTournament.

• (15)Fifteen13ABoard/electronicat1stTierand2ABoard/electronicat2ndTier or 60% of the total no.s of a signage/electronic boards per court,whichever is higher. The SponsorA signsper courtwith 2 a signageson thebaseline(facingTV)and2signageonthesecondarybaseline(2ndtier)withinmaincameraview(RefertoSchedule5).Ifthereisno2ndtier,Sponsorswillbehaving the rights to choose the most prominent location on the base line.ThesizeshallbeinaccordancewiththeBWFGrade3-Level4specifications.

• Fifty (50%) of the total number of skirting panels to be placed around thecourts.

• 30%Sponsor’sbannersof totalbanners tobeplaced in, aroundandoutsidethe Tournament venue at the cost of Sponsors, where the Sponsor shall begiventhefirstprioritytoselectthemostprominentplacements.

• 30%Sponsors’ bannersof total banners tobeplaced in, aroundandoutsidethe Tournament venue at the cost of Sponsors, where the Sponsor shall begiventhefirstprioritytoselectthemostprominentplacements.

• One(I)shuttlecockboxpercourt.

• One(1)2-minuteintervalsignpercourt.

• ExclusiveSponsorslogoontheUmpireChair.

• ExclusiveSponsorslogoonallServiceJudges'boxes.

• One (1) exclusive sales booth of Sponsors inside the playing arena or theentry foyer to the playing arena and no other booth for the sales and/orpromotional activity for any competitors of Sponsors shall be allowed.Sponsor's sales booth shall be the sole and exclusive sales booth for

Accessories,Clothing, Equipments,Racquetsandother SponsorsProductsatthe tournament venue and located within 500meters of the stadiumpremises.

• One(1)corporatemessageinthesouvenirprogram.

• Colouradvertisementof theSponsor,one in the front insidecoverandbackoutsidecoverofthesouvenirmagazine/programme.ArtworktobesuppliedbySponsors.Thereshallnotbeanyothersportsbrandadvertisement in thesouvenirmagazine.

• Sponsorsshallhavetherighttoreceive30%brandingopportunitiesbybeingacknowledged "Official Equipment Sponsor" of BAI in the most prominentposition at the top left corner and having the Sponsors logo andacknowledged as the sole and exclusive "Title Sponsor" and "OfficialEquipment Supplier" for the Tournament to appear on all printed materialnamely but not limited to Tournament passes, tickets, promotional,advertising and publicity materials, backdrops (including but not limited tothe backdrop for all medals ceremony, prize presentation backdrop,backdrop for opening or closing ceremony, backdrop for press conference,and backdrop for media mixed zone area), arena advertising, sharedadvertising, media advertising and new media marketing materials andactivities for the Tournament (FOC); including without limitation in allprinted matter, publicity materials, correspondences, press releases,souvenir programme trophies,messages, badges, circulars, souvenirs, films,videos, advertisements, television broadcast, television wipes, televisionscreens inside and around the Venue, mock winner's cheques, printadvertising, official website, outdoor advertisement, signages, flyers andposters and through any medium at any Tournament, Event or functionwhatsoever.Fortheavoidanceofdoubt,theguidelineforsuchopportunitiesisthat15%oftheavailablespaceforSponsors.

• The Sponsors shall have the right to receive 30% branding opportunities bybeing acknowledged "Exclusive Equipment Sponsor" of BAI in the mostprominent position at the top left corner alongwith the Sponsors logo andacknowledgedasthesoleandexclusive"TitleSponsorandOfficialEquipmentSupplier for the Tournament "on the front cover of the souvenir, magazineand/orprogramme.

• Aminimumofthree(3)Sponsor'srepresentativestopresentmainprizeoramockprizechequeatthepresentationceremonyateachTournament,atthediscretionoftheorganizerbutwithBAIrecommendation.

• 20VVIP Passes, 35 VIP Passes, 50 Regular Tickets, 25 Regular Passes and 25"All Access" Passes for Sponsors' "Activation" Staff or Staff on duty at theEventVenueorsuchquantityasmayberequestedbySponsors,whicheverissmaller, for each day of each Tournament for use by Sponsors at its solediscretionorthemaximumBAIcanprovidedependingonthecapacityofthestadium.

• AminimumofTen(10)carparksoneachdayofeachTournamentnearesttotheEventvenuemainentrance

• One (1) stringing stand within the playing arena at the most prominentlocation.

• One(1)hospitalityroomand1Storageroomattournamentvenue

• A minimum of 2 and a maximum of 4 Players' boxes on each side of theUmpireChairpercourt.

• TheSponsorswillhavetherighttouseall theTournamentandmascot logosonitsProductsandforitsmarketingandpromotionalactivities.

• If the Tournament is telecasted, to make best efforts to provide a detailedbreakdown of the TV distribution including,markets, types of broadcasters,and their household penetration, the TV and news highlight distributioncoverage report including but not limited to date, time and duration, as farasreasonablystatisticallyavailabletoBAIor itsTVLicensee,totheSponsorsfreeofchargewithin30daysaftertheconclusionoftheTournament.

• TheSponsorshallbegrantedthefirstrightofrefusalofsponsorshipofanyadditionalitemsrequiredduring/tobeusedinconjunctionwiththeTournament.

• NocompetingbrandsofanyoftheSponsorsareallowedtodisplayorconductanymarketingand/oradvertisingmaterialswithin500metersinside,outside,perimeterorinthevicinityofthecompetitionarenaandvenue.

• Anyotheradditionalmileage,whichmaybemutuallyagreed.

v. Anytaxes,duties, leviesorpaymentsrequiredincludingIncomelax.ServiceTax,GST,VATor any other similar or other tax being in force from time to time in India and all feesassessed or charges, and expenses incurred by BAI in connection with this project orpaymentsmadebytheSponsortoBAIshallbesolelytotheaccountofandattheexpenseofBAIandshallnotbetheresponsibilityorliabilityoftheSponsoratanytime.

vi. IntheeventanyInternationaltournament/FutureBadmintonleagueisheldatanylevelofBWF/BAI tournamentcalendar,asanorganizerof thetournament/undertheaegisofBAI,BAI will grant the Sponsor who shall be providing shuttlecocks as per the level oftournaments the following promotional benefits in accordance with BWF specificationsandwithintherightsoftheHostOrganization:

• The Sponsors shall be acknowledged as the sole and exclusive "Official EquipmentSupplierfortheTournament","OfficialEquipmentSupplier","OfficialEquipmentoftheTournament"and"OfficialApprovedEquipment","ExclusiveOfficialShuttlecockof the Tournament" /'"Exclusive Official Shuttlecock Supplier" of theTournament and shall have the exclusive right touse anyof thesedesignationsonits Products, packaging, advertising and promotional materials and for itsadvertisingandpromotionalactivities.

• BAI will ensure the exclusive use of the Sponsor equipments from BAI’s stockwithout the name THE SPONSOR being covered, blocked from view or removed inanyway. No other logos, trade names or advertisingmaterials including BAI's shallbeallowedphysicallyorvisuallyonthem.

• An announcement shall be made by the official commentator at regular intervalsduring the Tournament that the Sponsors are the sole and exclusive "PrincipalSponsor of BAI”, "Official Equipment Supplier for the Tournament", "OfficialEquipment Supplier", "Official Equipment of the Tournament" and "OfficialApproved Equipment", "Exclusive Official Shuttlecock of the Tournament","ExclusiveOfficialShuttlecockSupplier"oftheTournament.

• Fourteen (14)or50% theSponsorA-signs;whichever ishigher;per courtwith2A-signage on the base line (facing TV) and 2 A-signage on the secondary baselinewithinmain camera view. The size shall be in accordancewith the BWFGrade 3 -Level4specifications.

• Thirty percent (30%) (Inclusive of panels with BWF Grade 3 - Level 4 logo) of thetotalnumberofskirtingpanelstobeplacedaroundthecourt.

• 30 % Sponsors' banners of total banners to be placed in, around and outside theTournament venue at the cost of Sponsors, where the Sponsor shall be given thefirstprioritytoselectthemostprominentplacements.

• Fifty(50%)onallelectronicboards.• (1)Oneshuttlecockboxpercourt.• (1)One2-minuteintervalsignpercourt.• ExclusiveSponsorslogoontheUmpireChair.• ExclusiveSponsorslogoonallServiceJudges'boxes.

• One (I) exclusive sales booth for Sponsors inside the playing arena or the entryfoyer to the playing arena and no other booth for the sales and/or promotionalactivity for any competitors of Sponsors shall be allowed. Sponsor's sales boothshall be the sole and exclusive sales booth for Accessories, Clothing, Equipments,RacquetsandotherSponsorsProductsatthetournamentvenueand locatedwithin500metersofthestadiumpremises.

• One(1)corporatemessageinthesouvenirprogramme.

• One(1)theSponsorcolouradvertisementinthefrontinsidecoverandbackoutsidecover of the Souvenir magazine / programme. Artwork to be supplied by theSponsor. There shall not be any other sports brand advertisement in the souvenirmagazine.

• TheSponsors shallhave the right to receive sharedbrandingopportunities (sharedwith tournament sponsors) by having the Sponsors logo and acknowledged as thesole and exclusive "Official Equipment Supplier for the Tournament" in the mostprominent position to appear on all Tournament passes, tickets, promotional,advertising and publicity materials, backdrops (including but not limited to thebackdrop for all medals ceremony, prize presentation backdrop, backdrop foropening or closing ceremony, backdrop for press conference, backdrop for pressconference room and backdrop for media mixed zone area), arena advertising,

shared advertising, media advertising and new media marketing materials andactivities for the Tournament (FOC); including without limitation in all printedmatter, publicitymaterials, correspondences, press releases, souvenir programme,trophies, messages, badges, circulars, souvenirs, films, videos, advertisements,television broadcast, television wipes, television screens inside and around thevenue, mock winner's cheques print advertising, official web-site, outdooradvertisement, signages, flyers and posters and through any medium at anyTournament, Event or function whatsoever. For the avoidance of doubt, theguideline for such opportunities is that 15% of the available space is for thesponsors.

• TheSponsors logoandacknowledgedas the soleandexclusive "OfficialEquipmentSupplier for the Tournament" on the front cover of the souvenir magazine orprogramme.

• A minimum of three (3) Sponsors’ representative to present prizes at thepresentationceremonyateachTournament

• TheSponsors logoandacknowledgedas the soleandexclusive "OfficialEquipmentSupplier for the Tournament" on the front cover of the souvenir magazine orprogramme.

• Aminimumofthree(3)Sponsors’representativetopresentprizesatthepresentationceremonyateachTournament

• 20VVIP Passes, 35 VIP Passes, 50 Regular Tickets, 25 Regular Passes and 25 "AllAccess"Passes forSponsors1 "Activation"StafforStaffondutyat theEventVenueor such quantity as maybe requested by the Sponsors, whichever is smaller, foreach day of each Tournament for use by the Sponsor at its sole discretion or themaximumBAIcanprovidedependingonthecapacityofthestadium.

• Aminimum of Ten (10) car parks on each day of each Tournament nearest to theEventvenuemainentrance.

• One(1)stringingstandwithintheplayingarenainTVcameraview.• 1storageroomattheTournamentvenue.

• One(1)hospitalityroomand1VIPlounge(onlyfortheSponsor)• A minimum of 2 and a maximum of 4 Players’ boxes on each side of the Umpire

Chairpercourt.• TheSponsorswillhavetherighttouseall theTournamentnames;mascot logoson

its Products; POP material depicting the tournament name and mascot for itsmarketingandpromotionalactivities.

• If the Tournament is telecasted, to make best efforts to provide a detailedbreakdownoftheTVdistributionincluding,markets,typesofbroadcasters,andtheirhousehold penetration, the TV and news/highlight distribution coverage reportincluding but not limited to date, time and duration, as far as reasonablystatistically available to BAI or its TV Licensee, to the Sponsor’s free of chargewithin30daysaftertheconclusionoftheTournament.

• TheSponsorsshallbegrantedthefirstrightofrefusalofsponsorshipofanyadditionalitemsrequiredduring/tobeusedinconjunctionwiththeTournament.

• No competing brands of the Sponsors are allowed to display or conduct anymarketing and/or advertisingmaterials inside, outside, perimeter or in the vicinityofthecompletionarenaandvenue.

• Anyotheradditionalmileageasmaybemutuallyagreed.

vii. For all other tournaments organized, jointly organized or sanctioned by BAI: namely butnot limited to Grade 2 - Level 5/ Grade 2 - Level 6/ Grade 3, International Testmatchesand BWF Prize Money Tournament, BAI shall grant the Sponsors the rights as exclusiveOfficial Equipment Sponsor including advertisement rights around the courts, BAI willgrant the Sponsors the promotional benefits. BAI is free to source for Title sponsor/ Co-Sponsor(s)whoarenon-competingbrands.

viii. BAIwillgivedueconsiderationtotheSponsors' interestsatalltimes,andwillensurethatin all of BAI's contractual undertakings with third parties, the Sponsor’s rights andprivilegesarenotinfringedupon.

ix. BAI will ensure and assist the Sponsors, if necessary, to eliminate any promotionalactivitiesofanycompetitorsoftheSponsorswithin500metersofplayingareaandvicinityofanytournamentsorganized,jointlyorganizedorsanctionedbyBAI.

x. For placement of a Non-Competing Sponsor's logo, the Sponsors will be consulted forfindingamicablesolution,asperBWFregulation.

xi. One back page (outside cover) colour advertisement and one inside colour pageadvertisement space should be given as free of cost basis in any official newsletter ormagazine endorsed or published by BAI. The Sponsors logo shall be printed on the frontcoverpageandacknowledgeasPrincipalSponsorofBAI.BAIwillensurenoarticles,writesups and/ or pictures exposing and/or promoting any competitors of Sponsors. BAI willensure no other sports brands advertisement at the inside front page, and inside backpage:oftheanyofficialnewsletterormagazineendorsedorpublishedbyBAI.

xii. BAI hereby warrants and accepts that it is eligible under applicable law(s) to receive allrelevant payments under this tender from the Sponsor and all the relevant sportsequipment from the Sponsor and BAI shall comply with all relevant laws, rules andregulations, permissions etc. applicable for receipt of sponsorship payments andequipmentsfromtheSponsorsunderthistender.

xiii. BAI will ensure that in all National/International level tournaments, sponsored by theSponsor, there shall not be any competing brands or promotional activity present orconducted in any form or whatsoever in the radius of 500meters from the tournamentvenue (inside and outside stadium). BAI shall inform in writing to all State AssociationswellinadvanceforthesamewithcopytotheSponsors.BAIshallfurtherensurethatthereshould not be any usage of sports equipments, accessories, official attires, caps,

mementos,or anyother typeofproduct carrying competitor logoorbranding,whichwillbe giving promotional mileage to other competing brands during all National andInternationalleveltournaments.

xiv. Sponsor will provide kitting on Free of Cost basis for the technical officials (umpires,linesmen&referees),fordomesticandNationalleveltournamentsaffiliatedandorganizedbyBAI.Anyadditionalquantityrequiredbytheorganizersoverandabovethekitting,mustbepurchasedbyorganizersorBAIfromtheSponsorsonly.SponsorwillnotprovideanyT-shirtstovolunteers. IfBAIrequiresthesponsorship,BAIshallapproachSponsorsandgivethe first rightof refusal toSponsors. If Sponsors reject,BAI is free to findotherSponsorsbutonlyfromwithinnon-competingbrandsandafterdueconsultationandapproval.

xv. BAI will ensure and inform all State Associations that there should not be any ambushmarketingand to takeallnecessarysteps topreventsuchambushmarketingbyany thirdparties during any National and International level tournaments during the term of theAgreement.BAIshallinformallstateassociations/organizersoftournaments/eventsaboutSponsorsrightsinwriting.

xvi. BAI shall ensure usage of the Sponsors logo in a prominent position on all the pressreleases/communication, publicity materials, advertisements, arena advertisements orbackdropswhereothersponsorslogoisalsodisplayed.

xvii. BAIshallnotdisplayorallowthedisplayofanycompetitor'snameorlogoinitspremises,CentersandVenues.

xviii. BAIshallnotuseanyothersportsbrandsanddirectand/orindirectcompetitorsduringthetermoftheAgreement.

xix. BAIaretouseSponsorsproductsexclusivelyduringthecontractperiod.Incaseanyqueryto BAI, BAI will only recommend and praise Sponsors Products. BAI shall not promoteother Sports brands.BAI shall support Sponsors in promotion, advertising and sale of theSponsorbrandthroughallchannelsi.e.website/tournaments/socialmediaetc.

xx. AllBadmintonactivities,trainingcampsanddevelopmentprogrammes,organizedandrunby BAI where BAI supply or provide rackets, clothing, court mats, shuttlecocks andaccessories,freeofchargefortheseevents,itshouldbeonlySponsorsproducts.

xxi. BAI shall only recommend and purchase Sponsors products including without limitationthe Sponsor’s branded rackets, clothing, courtmats, shuttlecocks and accessories and allotherbadminton relatedproducts. I f anyDistrict/ StateAssociation(s) purchase throughBAI,BAIshallexclusivelydealinSponsorsproducts.

xxii. Whenever Multi-Event games are held namely: South Asian Games, CommonwealthGames,etc.,organizedbySportsAuthorityof India,BAIshall recommendtheSponsorsasthe"OfficialEquipmentSupplier"forthesaidbadmintonevents,butdecisionwillbeinthehands of Indian Olympic Association / National Olympic Committee. However if BAI isdirectlyorganizinganymulti sportsevents, thentheSponsorswillgetall thepromotionalbenefits.

xxiii. For all Government subsidized sports events and programmes, BAI shall utilize thegovernmentfundstopurchaseonlySponsorsproducts,wheneverBAIutilizesthefundstopurchasesportsproducts,unlessotherwisedirectedbyGovernment.

xxiv. Whenever tournaments or activities organized by BAI held in halls sponsored by othersports brands, BAI will ensure the other sports brand logo are covered. BAI will notsanctionthetournamentatthosevenuesiftheothersportsbrandslogosarenotcovered.

xxv. If BAI is organizes any further/ Future Badminton League directly or indirectly, then theSponsor shall automatically become the exclusive "OfficialEquipment Sponsor". All Teams, Officials, Line Judges and volunteers will wear THESPONSORbrandattireat all timesat all venues.No competitorbrand shall beallowed tobe part of league at any given point of time. The Sponsor will provide all equipments,accessories, clothing, rackets including without limitation Court mats, net poles, nets,shuttlecocks and kitting for officials and teams. The Sponsor will get the promotionalbenefitsasperclausesaboveatall venuesasmentionedandbrandingwillbedoneatallvenues.

xxvi. BAI will exclusively use equipments, accessories, clothing provided by the Sponsors,includingwithout limitationtheSponsorcourtmats;netpoles;nets;shuttlecocks;attiresforofficials,linejudges,volunteers,teamsandotherpersonssoassociated.

xxvii. The Sponsors shall be the exclusive sports company associated with the event and nocompetingbrandshallbeallowed

xxviii. All equipments and goods provided by the Sponsors must display their logos and marksand BAI shall ensure that they are clearly displayed and not tampered, hidden ordestroyedbyanyone.

xxix. The Sponsor shall be the exclusive official attire and equipment Sponsorfortheevent.

xxx. The Sponsor, beingmain sponsorsof BAI, BAIwill ensure that during anyevent includingtraininganddevelopmentinitiativesofBAI;celebrityeventculturalevent,socialeventetc.

3. EMPANELMENTOFSPONSORSHIPSELLINGAGENCIES

a. TheactualsponsorshipsellingwillbecarriedoutbyasetofSponsorshipSellingAgencywhowillbeselectedbyBAIthroughthisTenderprocess.BAIreservestherighttoshortlistapplicantsaspertechnicalevaluation.

b. Interested Agencies, who meet the eligibility criteria specified in Annexure-2, may submit their

applicationsasperthetermsofthisBiddocument.

c. Thebenefitstosponsorsarebeingpackagedfordifferentscalesofprivilegeslikein-stadiabranding,logoexposuresduringGames,out-stadiabranding, credits inTVpromos, FCTonNationalMedia,outdoor advertisement banners, city bus branding, etc. A few sponsorship packages &correspondingdeliverablestosponsorshavebeenidentifiedbyBAIatthisstage,andaredetailedinClause2above.

d. There are more avenues for providing visibility to sponsors through Logo on Outfit, Rights Sale(HospitalityRights,TicketingRights),MerchandiseLicensing,etc.whichcanbefurtherdiscussed&designed after empanelment of agencywith BAI. The actual selling of sponsorship and servicingsponsorsetc.willbecarriedoutbytheagenciestobeempanelledbythisprocess.

4. PRE-QUALIFICATIONCRITERIAFORPARTICIPATION

a. TheApplicantshouldhavebeeninthebusinessofprovidingSportssponsorshipsandalliedservicesforthelastfiveyears.

b. TheApplicantshouldhaveachievedaverageannualturnoverofatleastRs.300CroresgloballyfromoverallSportsbusinessduringthepast3financialyears2014-15,2015-16and2016-17

c. IncaseofajointBidtheIndianApplicantshouldhaveachievedaverageannualturnoverofatleastRs.200 Crore from business in India and their International partner should individually haveaverageturn-overofRs.300Croresgloballyduringthepast3financialyears2014-15,2015-16and2016-17

WhilesubmittingthejointBidtheIntenationalpartnershouldprovidetheletterofauthoritytohisIndianPartnerandthefinancialdocumentsinsupportofcredentialofboththepartnersforthefinancialyears2014-15,2015-16&2016-17dulycertifiedbytheChartedAccountantshouldbesubmitted.

d. (TheBiddershouldhavecompletedsponsorshipdeal in IndiaduringthepastthreeFinancialYear2014-15, 2015-16 and 2016-17 and the total value of Sponsorship should not be less thanRs.20Croreinanyoneoftheabovefinancialyear).

e. TheApplicantshouldhaveaRegisteredOfficeinIndia.

f. The Applicant should not have been black-listed by any Government Departments, / SportsAuthorityofIndiaandauthorizedAgenciesinIndia.

g. EarnestMoneyDeposit(EMD)

EarnestMoneyDepositamountingtoRs.50.00Lakhs(RupeesFiftyLakhs)onlyintheformofDemandDraft/BGfavoringBadmintonAssociationofIndia.EarnestMoneyDepositofthesuccessfulbidderwillbeadjustedfromtheinstallmentpayment.EMDoftheunsuccessfulbidderwillberefunded,onapplication within 30days, on completion of the Selection process and allotment of work on thesuccessfulbidder.

5. SCOPEOFWORKOFSPONSORSHIPSELLINGAGENCIESAssistancetoBAI.

DetailedScopeofWork isenclosedatAnnexure3and mustbesubmittedby theBidderwiththetenderdocument.

6. PERIODOFCONTRACT

This Contract Agreement will come into force and effect on the date of signing of the ContractAgreementandshallremainvalidforaperiodofthreeyearsfromthatdate.
