This agreement (“Agreement”) is between the company designated on the signature line of this Agreement (“Sponsor”) and Freescale Semiconductor, Inc., and it establishes the terms and conditions applicable to Sponsor’s attendance and/or exhibits at the Freescale Technology Forum (“Forum”). Sponsor may attend and exhibit at the Forum in accordance with the following terms and conditions:1. Sponsor Exhibits.At Freescale’s sole discretion, and without Sponsor recourse, Freescale may (I) remove, at the expense of Sponsor, any item that Sponsor displays, should such item be considered by Freescale to be unsuitable in any way and (II) restrict any activity that proves to be disturbing to other Forum attendees. In Freescale’s sole determination, Sponsor’s goods and/or services must be compatible with the Forum. Freescale may withdraw sponsorship approval at any time prior to the Forum by refunding 50 percent the fee paid, or during the Forum with no refund of fees paid, if Freescale determines in its sole discretion that Sponsor or its product, presentation, exhibit or demonstration violates the intent of the Forum and is therefore ineligible. Additionally, if any Sponsor fails to perform any of the terms or conditions of this Agreement, or fails to observe and abide by any rules for the Forum established by Freescale in its reasonable discretion, Freescale reserves the right to terminate this Agreement immediately. Following termination, exhibit space and sponsorship options will be made available to another member of the Freescale’s Alliance Program.2. Payment Terms and Schedule.For all sponsors, 100 percent of the sponsorship fee is due with Sponsor’s application for space. All checks shall be made payable to Results Plus in U.S. dollars and sent to Freescale Technology Forum, P.O. Box 161002, Austin, Texas, 78716. All monies are payable in U.S. dollars.3. Availability and Assignment of Space.Freescale will assign exhibit space. At Freescale’s sole discretion, it may (I) accept or refuse any application for space or (II) reassign space or rearrange the floor plan and/or relocate any exhibit at any time before or during the Forum. More than one exhibit containing the same products is prohibited. Freescale does not guarantee that space will be available to any applicant. If space is not available, Freescale will maintain a waiting list in the order of the date of receipt by Freescale of each completed Application, Agreement and payment. Freescale will return or refund all payments received with the Application to any applicant for whom space is not available.4. Floor Plan Changes.Freescale reserves the right to make changes to the exhibit hall floor plan in order to accommodate unplanned activities. If changes are made, notification and an updated floor plan will be forwarded to Sponsor in a timely manner.5. Prohibited Uses of Exhibit Spaces.Sponsors are prohibited from assigning any of their rights as Sponsors, or subletting a booth or any part of their exhibit space, without Freescale’s prior written consent. Sponsors may not exhibit or permit to be exhibited in their space any products or services that are not a part of their own product line and/or products that are considered by Freescale to be in competition with Freescale products. Sponsors may not permit persons other than its own representatives to use its booth for any purpose, or to participate in any other sponsor-related function. Sponsors must conduct exhibit activity within the confines of their allotted booth space at all times, unless their sponsorship specifically outlines functions that take place elsewhere. Sponsors not abiding by the above conditions are subject to termination of sponsorship, with no refunds or compensation.6. Sponsor Product.Selling of merchandise for delivery at the Forum is strictly prohibited unless agreed to by Freescale in advance of the Forum, in writing. Freescale provides exhibit space to Sponsors to exhibit and demonstrate products and services on the basis of their potential informational and commercial value, and not for the purpose of cash sales and merchandise delivery at the Forum. However, orders may be taken, with the shipment of product occurring at a later date.7. Exhibit Hall Hours.Please note that the hall hours are tentative and subject to change. Any changes made to hall hours will be communicated to Sponsors as soon as possible.

8. Setting Up and Dismantling of Exhibits.Such space must be fully set up and ready for use by date specified in the Sponsorship Guide. Sponsors must keep their exhibit space fully intact during exhibit hours and staffed until the official close of the Technology Lab. No part of Sponsor’s exhibit or its displays shall be removed during Forum exhibit hall hours. Sponsor’s booth must be fully dismantled and removed from the exhibit hall according to times stated in the Sponsorship Guide. Any exhibit not completely dismantled by the times noted in the Sponsorship Guide will be removed by Freescale’s contracted convention services at the expense of the Sponsor. Set-up and dismantle hours are subject to change at the discretion of Freescale.9. Distribution of Promotional Material.All promotions, giveaways, games and additional signage or banners—except as specifically outlined in your Sponsorship package—must be approved by the Freescale Technology Forum management team. Distribution of promotional material in any non-designated area is strictly prohibited. Distribution of promotional material by hotel staff to Freescale Technology Forum attendee sleeping rooms or at technical sessions is prohibited, unless specifically outlined in your Sponsorship package. Sponsors not abiding by the above conditions are subject to termination of Sponsorship, with no refunds or compensation.10. Cancellation.If Sponsor wishes to cancel its sponsorship of the Forum, it must submit notice of such cancellation in writing to Results Plus Inc., P.O. Box 161002, Austin, Texas, 78716. Notification may be faxed to 1 (800) 580-0616, or 1 (512) 306-0016 from outside the U.S. Freescale assumes no responsibility for including the name of the cancelled Sponsor or description of its products in the Sponsor Directory or any other Forum-related materials, or excluding such information from Forum-related materials following cancellation. All payments are deemed fully earned and non-refundable when due, regardless of cancellation.11. Staff Recruitment.Recruitment of staff (such as posting/distributing recruitment notices, making general announcements, etc.) is specifically prohibited during the Forum. Sponsors not abiding by the above conditions are subject to termination of Sponsorship, with no refunds or compensation.12. Reproduction.Sponsor acknowledges that Freescale reserves the exclusive right to record or reproduce the Forum in any form, and hereby authorizes Freescale and its designees to freely record, transcribe, modify and transmit in any form and for any purpose any such recordings of the Forum without fee to Sponsor. Sponsor hereby releases Freescale and its designees from and waives all claims it or its employees or agents may possess, now or in the future, in connection with such activities, and specifically waives any statutory restriction on waivers of future claims or moral rights.13. Badges.Forum badges must be worn at all times. Altering and sharing badges is strictly prohibited.14. Alcohol.Alcohol may not be served or made available by Sponsors or other parties in any part of the exhibit area.15. Smoking.Smoking is not permitted in the exhibit hall or in any official Forum area.16. Other.For a period beginning 30 days before the Forum and ending 60 days after the Forum, Sponsor will not conduct, promote, endorse or sponsor any functions, classes, seminars, exhibits or marketing activities similar in content or nature to subject matter presented at the Forum, except as approved in writing by Freescale. During the Forum, Sponsor may not promote its products or organization within 500 yards of any Forum locations, except in advertising contained in periodicals or similar regularly published media, or as permitted by this Agreement or by Freescale in writing. Any issues not specifically outlined in this Agreement are at the sole discretion of Freescale. Any Sponsor not abiding by this Agreement and/or additional rules set forth by Freescale will lose the privilege of exhibiting. The rules and regulations of this Agreement will be strictly enforced.

17. Termination.Freescale may immediately terminate this Agreement upon notice at any time should Sponsor fail to abide by any term or condition of this Agreement, or any other rule or regulation established by Freescale for the Forum that has been reasonably conveyed to Sponsor. Upon termination, all Sponsor rights and privileges are revoked, and any fees paid hereunder are not refundable.18. Indemnification/Limitations of Liability.Sponsor shall indemnify, release, defend and hold Freescale and its parent, subsidiary or affiliated companies (and their respective present and former officers, shareholders, directors, employees, partners and agents) harmless from and against any and all losses, liabilities, claims, costs, damages and expenses (including, without limitation, attorneys’ fees, disbursements and court or administrative costs) arising out of this Agreement, or otherwise related to Sponsor’s participation in, or activities at, the Forum. IN NO EVENT SHALL FREESCALE OR ITS EMPLOYEES OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING AS A RESULT OF THIS AGREEMENT WHETHER IN CONTRACT, TORT OR STRICT LIABILITY. IN NO EVENT SHALL FREESCALE’S LIABILITY FOR DIRECT DAMAGES EXCEED THE AMOUNTS PAID BY SPONSOR TO FREESCALE PURSUANT TO THIS AGREEMENT.This paragraph shall survive any termination or expiration of this Agreement.19. Standards of Conduct.The Sponsor will be responsible for maintaining satisfactory standards of employee conduct, competence, appearance and integrity while exhibiting in the hall or elsewhere at the Forum. Freescale reserves the right to request that if there is a situation that is deemed inappropriate by Freescale, then a person(s) may be asked to leave the Forum. Sponsors not abiding by the above conditions are subject to termination of sponsorship, with no refunds or compensation. Sponsor, its agents, contractors, invitees and employees shall comply with all applicable laws, ordinances, rules and regulations applicable to (a) the facilities at which the Forum is held, (b) the Sponsor and (c) any relevant labor union and construction of the exhibit in compliance with the Americans with Disabilities Act or its local equivalent.20. Third-Party Proprietary Rights.Sponsor will not violate any proprietary rights of third parties in connection with its participation in the Forum, including but not limited to the performance, distribution or posting of copyrighted material without a license, assignment or other legally effective permission.21. Insurance.Sponsor shall obtain and keep in force during the term of this Agreement insurance in types and amounts typically carried by businesses such as Sponsor’s, but in no event less than the amounts necessary to cover Sponsor’s property, employees, invitees and agents, and to protect Sponsor and Freescale from the risks involved with the Forum. Sponsor’s insurance shall be primary to any insurance maintained by Freescale relative to the Forum.22. Taxes and Licenses.Sponsor is solely responsible for obtaining any licenses and permits and for payment of all taxes (including sales and use taxes), license fees or other charges applicable to its participation in the Forum, including taxes collected by Freescale.23. Governing Law.This Agreement shall be governed, construed and enforced in accordance with the laws of the State of Texas. Any action arising out of this Agreement or the Forum must be brought in a civil district court in Travis County, Texas, and governed by the law of that locale, exclusive to the choice of law rules of any jurisdiction, and Sponsor consents to the jurisdiction of such courts.24. Succession and Assignment.This Agreement binds and inures to the benefit of the parties and their permitted successors and assigns. Neither party may assign this Agreement in whole or in part, or any of its rights, interests, duties or obligations under this Agreement, without the prior written approval of the other party, which approval will not be unreasonably withheld or delayed.
