Corporate Counsel is any other attorney, other than a General Counsel defined above, who is not the highest ranking attorney in the company. This will include any Assistant, Associate, Deputy, Senior, or other type of Counsel within the legal department.

Mentoring makes a difference.

That’s what 82 percent of wom-en professionals who participat-ed in a LinkedIn study say, calling mentorship a “critical component” of career success.

In fact, mentoring has been around since the word first appeared in Homer’s epic poem “The Odyssey” when Odysseus asked Mentor to watch over his son during the siege of Troy.

Clearly, mentoring has moved beyond the classics into our schools, neighborhoods and workplaces.

Study after study demonstrates the importance of mento-

ring in the lives of children, particularly those from under-privileged backgrounds. Higher graduation rates and lower rates of incarceration are touted as major benefits of men-toring youth.

Mentoring has migrated to the workplace as hundreds of companies, including consulting firm Deloitte and retailer Target Corp., develop mentoring programs to attract and retain talent, especially where women are concerned.

The most powerful women acknowledge their mentors. For example, technology executive and “Lean In” author Sheryl Sandberg pays homage to former Treasury Secre-tary Larry Summers for whom she worked in pre-Face-book days.

Many more eyes are watching the work of boards as directors do their work in an environment of corporate distrust, dis-ruptive technologies and threats from cyberspace and activist shareholders.

“Today, it’s easy for the world to see what you are doing and how you are doing it,” says Steve Reinemund, execu-tive in residence at Wake Forest Universi-ty’s Babcock School of Business. He was moderator of a panel of executives who serve on the boards of public companies that was hosted by the Charlotte Busi-ness Journal and sponsored by Pricewa-terhouseCoopers, Wake Forest University and the Carolinas chapter of the National Association of Corporate Directors.

“We’ve seen the phenomena of activ-ists looking to take over, and we expect activists to be even more prominent this proxy season,” Reinemund says.

He has seen those threats and chal-lenges firsthand as a board member at American Express, ExxonMobil, Marriott and Wal-Mart Stores Inc. Joining Reine-mund on the panel, held at Quail Hollow Club, to discuss the challenges of serving on a public-company board were Sharon

Decker, former N.C. Secretary of Com-merce and a longtime Duke Energy exec-utive who now serves on the boards of Coca-Cola Bottling Co. Consolidated and SCANA Corp. She served on the board of Family Dollar Stores Inc. during its recent takeover battle and buyout by Dollar Tree Inc.

Also on the panel was Tom Reddin, managing partner of Red Dog Ventures and former chief executive of Lending Tree, and a director of Asbury Automo-tive Group and Tanger Outlets Inc. Peter Browning, former dean of the McColl School of Business at Queens Universi-ty of Charlotte, rounded out the panel.

Browning has served on the boards of 13 publicly traded companies.

Social media and other channels pro-vide shareholders with more informa-tion to assert their power and attempt to change a company’s direction. While under close scrutiny from activists, reg-ulators and the buying public, the panel made it clear that directors must under-stand their role in guiding companies through an unsettled environment. On activist investorsShareholder activism was on display

in Charlotte recently with homegrown Family Dollar ending up in the cross-hairs of infamous corporate raider Carl Icahn, who amassed a large share of the retailer’s stock and insisted the company go on the block.

Decker says the relationship between Family Dollar’s board and Icahn improved after the board began to hear more about to his position.

“When a challenge comes, it’s easy to act out of a place of ego when humility can be a better place to act from,” Decker says. “The director has a role to help the CEO see where ego is perceived to be at

In this report 783 public company directors were surveyed, 74% of which served on boards of companies with more than $1 billion in annual revenue. The survey polled directors on current key issues and trends impacting board practices, including new technologies, activist investors, increased competition for talent, investor calls for direct dialogue, and changing risks related to strategic goals. Some key findings from this year’s report include:

Directors are taking action in anticipation of shareholder activism. Nearly seven-in-ten say their board regularly communicated with the company’s largest investors over the past year. Fifty-five percent of directors say their boards are reviewing strategic vulnerabilities that can be targeted by activists.

Director engagement with IT issues has increased. Eighty-three percent of directors say they are at least moderately engaged in understanding the status of major IT implementations and 83% of directors describe themselves to be at least moderately engaged with overseeing the risk of cyberattacks. Two other areas that saw more director engagement than last year are the company’s annual IT budget and the level of spend on cybersecurity.

The vast majority of directors believe board diversity positively impacts both the board and the company. More than eight in-ten believe diversity at least “somewhat” enhances board effectiveness and company performance, and more than one-third believe it does so “very much.” Further, newer directors who were surveyed tended to place a much higher value on board diversity than respondents who were long serving directors.
