In accordance with Board Policy No. 308, Accounting Policy, Crowe Horwath LLP, an independentfirm, willperform the annual financialauditforthe year endingJune 30, 2018. Upon completionof their fieldwork, Crowe Horwath will issue an opinion, which will be incorporated into theComprehensive AnnuaIFinanciaIReport(CAFR) of the District.

Crowe Horwath and District staff held the entrance conference meeting on June 18, 2018 anddiscussed new audit issues relevant to the current fiscalyear, the potentialimpact of upcomingGASB pronouncements, and the following audit plan elements:

As part of the audit planning process, the independent accounting firm reviews the scope of theaudit with the Board of Directors. This discussion includes a review of the adequacy andeffectiveness of the systems of internal controls over financial reporting and any significantchanges in those controls; accounting practices, disclosure controls and procedures of the entityand current accounting trends and developments.

Attached to this report is the required communications letter and Audit Plan from CroweHorwath LLP for the District's FY 20].7-18 audit engagement. As required by professional auditstandards, this letter contains communications that are mandatory between the independentauditor and the auditee on an annualbasis. Crowe Horwath LLPs willbegin the interim portionof the audit engagement on June1.1, 20].8 and will conclude their fieldwork by June 30, 2017.The audit team willreturn for approximately four weeks to complete their finalfieldwork relative

to the audit engagement on August 20, 2018. As part of the audit procedures, Crowe Horwathwill be conducting Statement on Auditing Standard (SAS) 99 & 114 interviews with the Chief

FinancialOfficer, the Chair of the Finance and Audit Committee and other District employees asdeemed necessary to assess the risk for potentialfraud, and other areas considered as high riskby interviewees.

The FY 20].7-18 year-end report, including the final audited set of financial statements, isscheduled for presentation to the Board of Directors no later than the November meeting. Theyear-end report will contain the District's consolidated financial statements including the ACTransit Financing Corporation. Separate reports will also be presented for the AC Transitfinancing Corporation, the Single Audit, Measures B, BB, J, and VV, LCTOP, compliance with theAppropriations Limit requirements of Section 1.5 of Article 4 XllIB of the California Constitutionand the agreed upon procedures review of SpeciaITransit Service Districts land 2. PropositionIB and FTA-NTD are scheduled for distribution no later than October 28, 2018 and theComprehensive AnnuaIFinanciaIReport by December 31, 2018.

The Board of Directors' serves as the Audit Committee. The Committee is engaged primarily in

an oversight function and is ultimately responsible for the District's financial reporting processesand the effectiveness over internalcontrols. The Audit Committee, consistent with the SarbanesOxley Act, shallhave Board member representation only. However, senior management has theopportunity for significant interaction with the Audit Committee

ADVANTAGES/DISADVANTAGES

The receipt of the financial audit plan and audit engagement letter fulfills the initial steps ofconducting the District's Annualfiscalaudit.

The objective of the audit is the expression of an opinion on the financial statements. We will plan andperform the audit in accordance with auditing standards generally accepted in the United States ofAmerica, the standards for financial audits contained in Government .4udffhg Standards. issued by theComptroller General of the United States, and the audit requirements of Title 2 U.S. Code of FederalRego\at\ans Part 20D, Uniform Administrative Requirements. Cost Principles, and Audit Requirements forFedora/ ,Awards (Uniform Guidance). Those standards require that we obtain reasonable. rather thanabsolute. assurance about whether the financial statements are free of material misstatement whethercaused by error or fraud, and that we report on the Schedule of Expenditures of Federal Awards (asnoted above). and on your compliance with Federal statutes, regulations, and the terms and conditions ofFederal awards and on its internal controls as required for a Single Audit. Because of inherent limitationsof an audit, together with the inherent limitations of internal control. an unavoidable risk that somematerial misstatements may not be detected exists. even though the audit is properly planned andperformed in accordance with applicable standards. An audit is not designed to detect error or fraud thatis immaterial to the financial statements.

An audit involves performing procedures to obtain audit evidence about,the amounts and disclosures inthe financial statements. The procedures selected depend on the auditor's judgment including theassessment of the risks that the financial statements could be misstated by an amount we believe wouldinfluence the financial statement users. An audit also includes evaluating the appropriateness ofaccounting policies used and the reasonableness of significant accounting estimates made bymanagement, as well as evaluating the overall presentation of the financial statements.

In making our risk assessments, we consider internal control relevant to the preparation and fairpresentation of the financial statements in order to design audit procedures that are appropriate in thecircumstances but not for the purpose of expressing an opinion on the effectiveness of the District'sinternal control. However. we will communicate in writing to those charged with governance andmanagement concerning any significant deficiencies or material weaknesses in internal control relevant tothe audit of the financial statements that we have identified during the audit. We will communicate tomanagement other deficiencies in internal control identified during the audit that have not beencommunicated to management by other parties and that. in our professional judgment. are of sufficientimportance to merit management's attention. We will also communicate certain matters related to theconduct of the audit to those charged with governance. including (1) fraud involving senior management.and fraud (whether caused by senior management or other employees) that causes a materialmisstatement of the financial statements, (2) illegal acts that come to our attention (unless they are clearlyinconsequential) (3) disagreements with management and other significant difficulties encountered inperforming the audit and (4) various matters related to the District's accounting policies and financialstatements. Our engagement is not designed to address legal or regulatory matters, which matters shouldbe discussed by you with your legal counsel.

We expect to issue a written report upon completion of our audit of the financial statements. Our reportwill be addressed to the Board of Directors of the District. Circumstances may arise in which it isnecessary for us to modify our opinion. add an emphasis of matter or other matter paragraph, or withdrawfrom the engagement.

The working papers for this engagement are the property of Crowe and constitute confidential informationpursuant to AICPA professional standards. However. we may be requested to make certain workingpapers available to your oversight agency or grantors pursuant to authority given to them by law.regulation, or contract. If requested, access to such working papers will be provided under the supervisionof our personnel. Furthermore. upon request, we may provide photocopies of selected working papers toyour oversight agency or grantors. The working papers for this engagement will be retained for aminimum of three years after the date our report is issued or for any additional period requested by theoversight agency or pass-through entity. If we are aware that a federal awarding agency. pass-throughentity. or auditee is contesting an audit finding, we will contact the party contesting the audit finding forguidance prior to destroying the working papers. The District's Responsibilities

The District's management is responsible for the preparation and fair presentation of the financialstatements in accordance with accounting principles generally accepted in the United States of America.Management is also responsible for the design. implementation and maintenance of internal controlrelevant to the preparation and fair presentation of financial statements that are free from materialmisstatement, whether due to error or fraud. The District's management is also responsible for complyingwith applicable laws. regulations. contracts and grants and such responsibility extends to identifying therequirements and designing internal control policies and procedures to provide reasonable assurance thatcompliance is achieved. Additionally, as required by the Uniform Guidance. it is management'sresponsibility to follow up and take corrective action on reported audit findings and to prepare a summaryschedule of prior audit findings. which should be available for our review, and a corrective action plan.

Management has the responsibility to adopt sound accounting policies, maintain an adequate andefficient accounting system. safeguard assets. and design and implement programs and controls toprevent and detect fraud. Management's judgments are typically based on its knowledge and experienceabout past and current events and its expected courses of action. Management's responsibility forfinancial reporting includes establishing a process to prepare the accounting estimates included in thefinancial statements.

Management is responsible for providing to us, on a timely basis. all information of which management isaware that is relevant to the preparation and fair presentation of the financial statements. such asrecords, documentation. and other matters. Management is also responsible for providing such otheradditional information we may request for the purpose of the audit, and unrestricted access to personswithin the District from whom we determine it necessary to obtain audit evidence. Additionally, thosecharged with governance are responsible for informing us of their views about the risks of fraud within theDistrict, and their knowledge of any fraud or suspected fraud affecting the District.

Management is responsible for adjusting the financial statements to correct material misstatementsrelated to accounts or disclosures. As part of our audit process. we will request from management writtenconfirmation concerning representations made to us in connection with the audit, including that the effectsof any uncorrected misstatements aggregated by us during the audit are immaterial, both individually andin the aggregate, to the financial statements and to compliance with the requirements of its Federalprograms. Management acknowledges the importance of management's representations and responsesto our inquiries, and that they will be utilized as part of the evidential matter we will rely on in forming ouropinion. Because of the importance of management's representations to an effective audit, you agree torelease Crowe and its personnel from any liability and costs relating to our services under this letterattributable to any misrepresentations by management.

Management is responsible for the preparation of the supplementary information identified above inaccordance with the applicable criteria. As part of our audit process, we will request from managementcertain written representations regarding management's responsibilities in relation to the supplementaryinformation presented. including but not limited to its fair presentation in accordance with the applicablecriteria, the method of measurement and presentation and any significant assumptions or interpretationsunderlying the supplementary information. In addition, it is management's responsibility to include theauditor's report on supplementary information in any document that contains the supplementaryinformation and that indicates that we have reported on such supplementary information. It is alsomanagement's responsibility to present the supplementary information with the audited financialstatements or, if the supplementary information will not be presented with the audited financialstatements. to make the audited financial statements readily available to the intended users of thesupplementary information no later than the date of issuance by the District of the supplementaryinformation and the auditor's report thereon.

Management is responsible for the preparation of the required supplementary information identified abovein accordance with the applicable guidelines. We will request from management certain writtenrepresentations regarding management's responsibilities in relation to the required supplementaryinformation presented. including but not limited to whether it has been measured and presented inaccordance with prescribed guidelines. the method of measurement and presentation and any significantassumptions or interpretations underlying the supplementary information.

At the conclusion of the engagement. it is management's responsibility to submit the reporting package(including financial statements, schedule of expenditures of federal awards, summary schedule of prioraudit findings. auditor's reports. and corrective action plan) along with the Data Collection Form to thedesignated federal clearinghouse and, if appropriate, to pass-through entities. The Data Collection Formand the reporting package must be submitted within the earlier of thirty days after receipt of the auditor'sreports or nine months after the end of the audit period

OTHER SERVICES

Financial Statement Preparation

The District will provide us with the necessary information to assist in the preparation of the draft financialstatements including the notes thereto. We are relying on the District to provide us with the detailed trialbalance, note disclosure information and any other relevant report information in a timely fashion andensure the data is complete and accurate. Management is solely responsible for the presentation of thefinancial statements.

PrQparatjQr! of the Schedule of Expenditure of Federal Awards

The District will provide us with the necessary information to prepare the draft schedule of expenditure offederal awards including the notes thereto. We are relying on the District to provide us with all informationrequired by the Uniform Guidance for the schedule. notes and other relevant reporting information in atimely fashion and ensure the data is complete and accurate. Management is solely responsible for thepresentation of the schedule of expenditures of federal awards.

Data Collection Form input services

We will provide assistance in completing sections of the Data Collection Form (DCF) relative to its federalaward programs pursuant to the requirements of Section $200.512 of the Uniform Guidance that arepromulgated to be completed by the District. While we may provide this data entry service and assist youin satisfying your electronic data communication requirements to the Federal Audit Clearinghouse, thecompleteness and accuracy of this information remains the responsibility of your management.

Our fees. including of out-of-pocket expenses, are outlined within the contract. unless otherwise agreedby both parties. Our invoices are due and payable upon receipt. Invoices that are not paid within 30 daysof receipt are subject to a monthly interest charge of one percent per month or the highest interest rateallowed by law, whichever is less. which we may elect to waive at our sole discretion. plus costs ofcollection including reasonable attorneys' fees.

Circumstances may arise under which we must perform additional work and. thus, require additionalbillings for our services. Examples of such circumstances include, but are not limited to

Additionally. to accommodate requests to reschedule audit fieldwork without reasonable notice. additionalbillings for our services could be required, and our assigned staffing and ability to meet agreed-upondeadlines could be impacted.

Our fee assumes that we will be provided with auditable trial balances for all funds at year end. that allbank accounts and investment accounts will be reconciled through the end of the year being audited tothe trial balances. that interfund and transfer accounts will balance. that subsidiary ledgers will reconcileto the general ledger and that beginning fund equity amounts will be reconcilable to prior year auditedending fund equity. We assume that the District will cooperate with our requests for information such asexplanations ofaccount activity

We assume that requested records such as invoices, contracts, grant agreements and supportingdocumentation will be located and provided to us. We also assume the District will prepare confirmationletters. the Introductory Section, the MD&A section and the Statistical section of the report.

Our fee does not include implementation of any other future accounting or auditing pronouncementsand/or government requirements that may change. with the exception of pronouncements that have aknown implementation date as of the date of the contract execution. thus, the scope or amount of auditingnecessary to complete our engagements may increase beyond what is currently anticipated. Should suchevents occur. we would present you with our estimate of any possible increase prior to beginning ouraudit for the given year. An equitable adjustment in the proposed fee will be negotiated if the cost of time

required for performance of the audit service is increased or decreased pursuant to a change in scope ofthe audit requested by the District or required by State or Federal regulations.To facilitate Crowe's presence at Client's premises, Client will provide Crowe with internet access whileon Client's premises. Crowe will access the internet using a secure virtual private network. Crowe will beresponsible for all internet activity performed by its personnel while on Client's premises.

OTHERCOMMUNICATIONS

PROFESSIONAL STANDARDS - As a regulated professional services firm, Crowe must follow certainprofessional standards where applicable. including the Code of Professional Conduct promulgated by theAmerican Institute of Certified Public Accountants ("AICPA '). Therefore, if circumstances arise that, inCrowe's professional judgment. prevent it from completing this engagement, Crowe retains the right totake any course of action permitted by professional standards. including declining to express an opinionor issue other work product. or terminating the engagement.

REPORTS -- Any information, advice, recommendations or other content of any memoranda, reports,presentations, or other communications Crowe provides under this Agreement ('Reports"). other thanClient's original information. are for Client's internal use only, consistent with the purpose of the ServicesClient will not rely on any draft Report. Unless required by an audit or attestation professional standard.Crowe will not be required to update any final Report for circumstances of which we become aware orevents occurring after delivery.

LEGAL AND REGULATORY CHANGE -- Crowe may periodically communicate changes in laws, rules orregulations to Client. However, Client has not engaged Crowe. and Crowe does not undertake anobligation, to advise Client of changes in laws, rules, regulations, industry or market conditions. Client'sown business practices or other circumstances, except to the extent required by professional standards.In addition, the scope of Services and the fees for Services are based on current laws and regulations. Ifchanges in laws or regulations change Client's requirements or the scope of Crowe's work. the partiesagree that Crowe's fees will be modified to a mutually agreed upon amount to reflect the changed level ofCrowe's effo rt.

PUBLICATION -- Other than subject to the requirements of the AICPA Professional Standards. Clientagrees to obtain Crowe's specific permission before using any Report or Crowe work product or Crowe'sfirm's name in a published document. and Client agrees to submit to Crowe copies of such documents toobtain Crowe's permission before they are filed or published.

Crowe will provide the services to Client under this Agreement as an independent contractor and not asClient's partner. agent. employee, or joint venturer under this Agreement. Neither Crowe nor Client willhave any right. power or authority to bind the other party.

This engagement letter agreement complements the professional services contract between the two partiesby acknowledging the scope of work, deliverables and auditor/auditee responsibilities and requiredcommunications. The provisions of the contract supersede the contents on the engagement letter.
