PERTH ENERGY STANDARD FORM ELECTRICITY CONTRACT

Information about these terms and conditions, the Code of Conduct, Laws and regulations

TheStateGovernmentregulatesthecontractualarrangementsbetweenelectricitysuppliersandcustomers.Thesetermsandconditions,alongwiththeCustomerSchedule,setoutmutualobligationsforthesupplyofelectricityfromUstoYou.TheyformthebasisofalegallybindingContractforthissupply.

Thesetermsandconditionsapplytothesupplyofelectricitytocustomersconsuminglessthan160MWhofelectricityperyear.BysigningtheCustomerSchedulethatformsthefrontpagetothisContract,Youagreetothesetermsandconditions.

TheCodeofConductfortheSupplyofElectricitytoSmallUseCustomers(the"Code")regulatestheconductofelectricityretailers,meteringagentsanddistributors.TheCodeprotectstheinterestsofconsumersandcoversmostaspectsinvolvedinthesupplyofelectricity.

AnumberofLawsandregulations,bothCommonwealthandState,governtheactivitiesinvolvedinthesupplyofelectricity.ThetwomostdirectlyapplicabletothesetermsandconditionsaretheElectricityIndustryAct2004(WA)andtheElectricityIndustry(CustomerContracts)Regulations2005(WA).

What we mean

WeandUsmeansPerthEnergyPtyLtd(ABN39087386445)andOurhasacorrespondingmeaning.Youmeanstheperson/stakingasupplyofelectricityfromUsatthepremisesandYourhasacorrespondingmeaning.

1. SupplyofElectricity

WeagreetosellelectricitytoYouatYourPremisesandYouagreetopurchaseelectricityfromUsonthetermsandconditionsassetoutinthisContract.ThequantityofelectricitysuppliedbyUstoYouwillbetheamountmeasuredbythemeteratYourPremises.WewillalsoprovideanaccountmanagementserviceinaccordancewiththeCodeandwithOurCustomerServiceCharter.

2. CommencementandTerm

2.1 ThisContractcommences,subjecttoanycoolingoffperiodapplicabletothisContract,onthedatethatYoucommencetotakesupplyofelectricityatthePremisesfromUs(otherthanbyfraudulentorillegalmeans)(CommencementDate):


(a)havingenteredintoasupplyandsaleContractwithUs;or

(b)withouthavingenteredintoasupplyandsalecontractwithUs;or

(c)havingcancelledasupplyandsaleContractwithUswithinthecooling-offperiodrelatingtotheContract,havecontinuedtotakesupplyofelectricitywithoutenteringintoafurthersupplyandsaleContractwithUs.

2.2 WemustsellandYoumustpayUsforelectricityconsumedatthePremisesfromtheCommencementDate.

2.3 (a)UnlessYouorWeendtheContractearlierunderthisclause2.3,thisContractcontinuesforaperiodof1yearfromthedayitcameintoeffect.However,if1yearpasseswithouteitherYouorUsendingtheContractunderthisclause2.3,theContractisautomaticallyrenewedforanother1yearperiod.ThisautomaticrenewaloccurseachyearuntilYouorWeendtheContractunderthisclause2.3.

(b)IfYouendthisContractbecauseYouenterintoanewContractforthesupplyofelectricitywithUs,thisContractendsontheexpiryofthecoolingoffperiod(ifapplicable)specifiedinthenewContract.

(c)IfYouendthisContractbecauseYouenterintoaContractforthesupplyofelectricitywithanotherretailer,thisContractendswhenWearedeemedtoreceivenotificationfromtheNetworkOperatorthatYourPremiseshavebeentransferredtotheotherelectricityretailerinaccordancewiththeCustomerTransferCode.

(d)IfYouaredisconnected,andWeterminatethisContract,theContractendswhenYounolongerhaveanyrighttoreconnection.

2.4 YoucanendtheContractatanytimebyadvisingUsatleast5BusinessDaysbeforethedayYouwanttheContracttoend.

2.5 WecanendtheContractbygivingYoupriornoticeifYou:

(a)becomeinsolvent(asdefinedintheCorporationsAct2001(Cth));or

(b)havealiquidatorappointed;or

(c)becomebankrupt(asdefinedintheBankruptcyAct1966(Cth));or

(d)commitabreachanyofYoursubstantialobligationsunderthisContract.

2.6 IftheContractends:

(a)WemayarrangeforafinalMeterreadingandfordisconnectiononthedaytheContractends;and

(b)WemayissueafinalbilltoYou;and

(c)WecanchargeYouafeeforthefinalMeterreading,disconnectionandfinalbill;and

(d)WecanremovetheElectricitySupplyEquipmentatanytimeandYoumustletUshavesafeandunrestrictedaccesstothePremisestoallowUstodoso;and

(e)YouwillremainliabletopayanyoutstandingpaymentstoUsandWewillhavenofurtherobligationtosupplyelectricitytoYou;and

(f)YoumustenterintoanewContractwithUsifYouwantUstosupplyYouelectricity.

3. ChargesandFees

YouarerequiredtopayUstheContractPriceandthepriceofothergoodsandservicesYouchoosetobuyfromUs.TheContractPriceissetoutintheCustomerSchedule.


Youmustalsopayallcosts,feesandchargesWecanlawfullyrecoverfromYouundertheRelevantRegulations,aswellasanytaxes,levies,regulatedcharges,costs,feesandchargesthatWehavetopaywhenWesellandsupplyelectricityandothergoodsandservicestoYou.IfYoubreachthisContractoraprovisionoftheRelevantRegulationsYouwillberequiredtopayanycostsWeincurasaresultofthatbreach,aswellasanyFeesWechargeinrelationtothatbreach.

3.1 TheCustomerScheduleWeprovidetoYouasthefrontpagetothesetermsandconditionswillincludethefollowinginformation:

(a)Yourname;

(b)Yourcontactdetails;

(c)thesupplyaddress;

(d)someoftheElectricitySupplyEquipmentdetails;

(e)theContractPrice;

(f)thesupplydate;and

(g)theContractterm.

Ifmutuallyagreed,theCustomerSchedulemayalsobeusedtoamendthesetermsandconditions.This,however,willresultintheContractbecominganon-standardcontractforthepurposeoftheCode.

3.2 AContractPricecanincludeafixedcomponentandausagecomponentbasedontheamountofelectricityYouuse.TheusagecomponentcanbechargedatdifferentratesdependingupontheamountofelectricityYouuse.

3.3 WecanchargeYouFeesthatareinadditiontotheContractPrice.YoumustpayUsthefeesthatapplytoYou.

3.4 IfWehaveagreedafixedContractTermwithYouandaContractPriceisspecifiedintheCustomerSchedule,WecannotchangetheContractPricewithoutYourprioragreementduringtheContract,exceptasprovidedinclauses3.5,3.6,and3.7.

3.5 WemayincreasetheContractPriceorFeesbyCPIoneach1January,1April,1Julyor1OctoberduringtheContract(“AdjustmentDate”)inaccordancewiththeCPIEscalationformula.

3.6 IfatanytimeaftertheexecutionofthisContractthereoccurs:

(a)achangeinexistingLaw(otherthanaLawrelatingtoincometaxorcapitalgainstax);or

(b)anewLaw(otherthanaLawrelatingtoincometaxorcapitalgainstax);

(includingaLawintroducingacarbontaxoremissiontradingschemeorotherwiseinrespectofcarbon)whichdirectlyresultsinanincreaseordecreaseinOurcostofsupplyingelectricityunderthisContract(“ChangeinLaw”),thenWemaychangetheContractPriceorFeesbasedonthenetfinancialeffectonUsasaconsequenceoftheChangeinLaw,inallcasesbeingsufficienttoputUsintothepositionWewouldhavebeeninhaditnotbeenfortheChangeinLaw.

3.7 IfachangeintheNetworkAccessTariffsoccurs,oranewNetworkAccessTariffisimposed,WemayadjusttheContractPricetotheextentnecessarytoreflectthatproportionoftheeffectofthenewNetworkAccessTariffsorchangeinNetworkAccessTariffswhichWeestimateingoodfaithisfairlyattributabletoorpayablebyYou,takingintoaccounttheamountofelectricityWesupplytoYou.

IfYouchangetherateatwhichYouuseelectricity,WemayadjusttheContractPricetotheextentnecessarytoreflectthatproportionofanyincreaseinNetworkAccessTariffswhichWeestimateingood


faithisfairlyattributabletoorpayabletoYou,takingintoaccounttheamountofelectricityWesupplytoYou.

3.8 WecanchargeyoufeesthatareinadditiontoContractPrice.YoumustpayUsthefeesthatapplytoYou.WecanchargeYouFeesfor:

(a)Youraccountapplication;and

(b)readingYourMeterwhenaccesswasnotpossible(seeclause11);and

(c)testingYourMeter(seeclause5.3);and

(d)sendingYouoverduenotices(seeclause6.2);and

(e)readingYourMeterwhenYoumoveoutofthePremises(seeclause12.4);and

(f)turningoffYourelectricityinsomesituations(seeclause14.3);and

(g)turningonYourelectricityinsomesituations(seeclause15);and

(h)removingorphysicallydisconnectingtheMeter(seeclause14);and

(i)replacingorphysicallyreconnectingtheMeter(seeclause12);and

(j)othernon-standardconnectioncosts;and

(k)otherFees.

Allchargesidentifiedinclauses3.2and3.3willbeitemisedoncustomers’bill.ForanexplanationofOurfeespleasevisitOurwebsiteorcallUs.

4. Notices

4.1. AnynoticeorothercommunicationgivenundertheContract:

(a)doesnothavetobeinwriting,unlesstheContractexpresslyrequiresthatthenoticeorcommunicationmustbeinwriting;

(b)subjecttoclause4.1(c),istakentobereceived:

(1)inthecaseofaverbalcommunication,atthetimeofthecommunication;and

(2)inthecaseofhanddelivery,onthedateofdelivery;and

(3)inthecaseofpost,onthesecondbusinessdayafterposting;and

(4)inthecaseoffacsimile,onthedateonwhichthesender’sfacsimilemachinerecordsthatthefacsimilewassuccessfullytransmitted;and

(5)inthecaseofe-mail,onthedateonwhichthesender’scomputerorotherdevicefromwhichthee-mailwassentrecordsthatthee-mailwassuccessfullytransmitted;and

(c)ifreceivedafter5.00pmoronadayotherthanaBusinessDay,istakentobereceivedonthenextBusinessDay.

4.2. InthisContract,whenWesayWewillpublishinformationWewill:

(a)postinformationonOurwebsite;or

(b)communicatetoYouinformationatthePremisesaccordingtoclause4.1.


4.3. (a)Wecanuseelectroniccommunication(suchase-mailorSMS)togiveinformationtoYouwithYourconsent.

(b)Wecandecideproceduresastohowelectroniccommunicationwilloperateandwhatthingscanbecommunicatedelectronically.Formoreinformationaboutelectroniccommunication,visitOurwebsiteorcallUs.

5. Billing

5.1. WeusemeterreadingstoprepareYourbill.WebillYouontheamountofelectricityYouuse.

5.2. WewilluseOurbestendeavourstoensurethattheNetworkOperatorreadstheMeteronceeveryBillingCycleandtheNetworkOperatorreadstheMeteratYourPremisesatleastonceevery12months.

IfWebaseYourbillonanestimateofelectricityconsumption,uponYourrequest:

(a)WewilladviseYouofthebasisandthereasonsfortheestimation;and

(b)arrangeaMeterreading.

IfWehaveprovidedYouwithabillbasedonanestimateofelectricityconsumption,andsubsequentlyMeterdatabecomesavailable,WewilladjusttheamountpayabletotakeintoaccountthatMeterdatainYournextbill.

5.3. YoucanaskUstotesttheMetertoensurethatitismeasuringaccuratelyandWewillarrangefortheNetworkOperatortotesttheMeterifYoufirstpaytoUsaMetertestingfee.IfWefindthattheMeterisnotmeasuringaccurately,thenWewillrefundtheMetertestingfeetoYou.IftheMeterisnotmeasuringaccurately,WewillalsoarrangefortheNetworkOperatortoeitherrepairorreplacetheMeteratnochargetoYou.

By“accurate”,WemeantheMeterismeasuringasaccuratelyasthelawrequires.

5.4 WewillbillYouatleastonceeverythreemonthsandinaccordancewiththeBillingCyclethatWesetforOurcustomersfromtimetotime,unlessWeandYouhaveagreedotherwise.Asanindication,OurBillingCycleisnomorethanonceeveryonemonthandnolessthanonceeverythreemonths.

5.5 YourbillwillcontainthefollowinginformationrelevanttotheBillingCycle:

(a)theaccountnameandaccountnumber;and

(b)thePremisesaddressand(ifrequired)mailingaddress;and

(c)theContractPricethatWechargedYou;and

(d)theFeesWechargedYou;and

(e)theamountdueandtheduedate;and

(f)thetelephonenumberforbillingandotherpaymentenquiries;and

(g)thetelephonenumbertocontactifYouareexperiencingpaymentdifficulties(seeclause6.4forinformationaboutpaymentdifficulties);and

(h)the24-hourtelephonenumberforfaultsandemergencies;and

(i)thedatesandresultsofthepreviousandcurrentMeterreadingsorestimates;and

(j)Yourelectricityuseorestimateduse;and

(k)theMeterorpropertynumber;and


(l)thewaysYoucanpayYourbill,includinginformationaboutpaymentmethodsandpaymentoptionsavailabletoYou(seeclause6.1forsomeofthepaymentoptions);and

(m)theamountofarrearsorcreditandthedetailsofanyadjustments;and

(n)theamountofanyotherchargeandthedetailsofanyserviceprovided;and

(o)theavailabilityofaMetertestontheconditionsdescribedinclause5.3;and

(p)interpreterservices;and

(q)theinterestrateWeappliedtoanyoutstandingamounts;and

(r)thedetailsofsecurityYouprovided(inaccordancewithclause7.2).

TheContractPriceandotherFeeswillbeseparatelyitemisedonYourbill.IfWeprovideYouwithadditionalgoodsandservicesduringtheBillingCycle,Wewillalsoincludeadescriptionofthosegoodsorservices.

6. Payment

6.1 Youmustpaythetotalamountpayableforeachbillbytheduedatespecifiedinthatbill.Theduedatewillbeatleast12BusinessDaysfromthedateofthebill.

YoucanpayYourbillusingarangeofpaymentoptions,includingpaymentinpersonandbymail.

YoucanfindoutthefullrangeofpaymentoptionsthatYoucanchoosefrombyreferringtoYourbill,byvisitingOurwebsiteorbycallingUs.IfYouareunabletouseoneoftheseoptionsbecauseYouaregoingtobeabsentforalongperiod(forexampleduetoillnessorextendedholiday)YoucanarrangewithUstoredirectYourbillortomakepaymentsinadvance.

6.2 IfYoudonotpaythetotalamountpayableforanybillbytheduedate,thenWecan:

(a)sendaDisconnectionWarningtoYou;and

(b)chargeYouafeeforeachoverdueaccountnoticeWesendtoYou(butonlywhenwearelegallyentitledtochargeafee);and

(c)chargeYouinterestontheamountYouhavenotpaid;and

(d)disconnectYourelectricitysupply;and

(e)shortenYourBillingCycle.

Theinterestratechargedonoutstandingamountswillbe12.75percentperannum(calculateddaily).Wemaychangethisrate.IfWedochangethisrate,Wewillpublishthechanges(seeclause4.2forhowWepublishthings).

IfYoudonotpaythetotalamountpayableforanybillafterWesendaDisconnectionWarningtoYou,thenWecanreferYourdebttoadebtcollectionagencyforcollectionandifWedoso,YoumustpayanycoststhatWeincurinconnectionwiththerecoveryoftheunpaidbill(includingtheagencyFeesandlegalFees).

IfYoupayabillandthepaymentisdishonouredorreversedand,asaresult,WeincurcostsorhavetopayFeestoanyotherperson,YoumustreimburseUsforthosecostsandFees.

6.3 UnlessYoudirectUsotherwise:

(a)WewillapplyYourpaymenttotheamountdueforYourelectricityusebeforeapplyingittootheritems;and


(b)ifWealsosupplygastoYou,thenWewillapplyYourpaymenttotheamountdueforYourgasuseandelectricityuseinequalproportionsbeforeapplyingittootheritems.

6.4 IfYouarehavingtroublepayingYourbills,pleaseadviseUs.

Asanindication,WewillofferthefollowingoptionstoYou:

(a)instalmentplanoptions,suchasaPaymentPlan;or

(b)redirectionofabilltoathirdperson;or

(c)informationabout,andreferralto,governmentassistanceprograms;or

(d)informationaboutindependentfinancialcounsellingservices.

WewillassessYourrequestwithin3businessdaysofYourrequestandWewillofferYouassistanceinaccordancewithOurPaymentDifficultiesandFinancialHardshipPolicy.

Formoreinformationaboutgovernmentassistanceprogramsandindependentfinancialcounsellingservices,visitOurwebsiteorcallUs.

6.5 IfYouaskUs,andatthetimeoftherequestYouareOurcustomer,WewillgiveYouacopyofYourbillingdataheldbyUsforthePremises.WewilluseOurreasonableendeavourstoprovideitwithin10businessdaysofYourrequest.

UnlessWearerequiredbylawtoprovidethebillingdatafreeofcharge,WecanaskYoutopayareasonablefeebeforeWeprovidethedatatoYou.Forexample,WemustprovideYouwithhistoricalbillingdatafreeofcharge:

(a)fortheperiod2yearsbeforearequest;and

(b)iftherequestisinrelationtoacomplaintmadebyYoutotheElectricityIndustryOmbudsman.

IfYouwantbillingdataforaperiodbeforethedateWestartedtosupplyYouelectricity,YouwillneedtoaskYourformerelectricityretailerforthebillingdata.

7 CreditworthinessandRefundableAdvances

7.1 YouauthoriseUstoconductacreditcheckassessmentonYou.

7.2 WecanrequireYoutoprovideUswithasecurityfromtimetotime.Usually,securitywouldbeintheformofacashdepositorabankguarantee.

TheamountofYoursecuritywillbenomorethan1.5timesYouraveragebillifYoupayquarterlyor2timesYouraveragebillifYoupaymonthly.TodetermineYouraveragebill,WecanuseYourbillinghistorytakenoverthe3precedingbillingcyclesortheconsumptionhistoryofsimilarcustomersorbusinesstypes.

IfYouprovideasecurityunderthisclause,then:

(a)WewillkeepthesecurityinatrustaccountandidentifyitseparatelyinOuraccountingrecords;and

(b)interestwillaccruedailyatthebankbillrate(asdefinedintheRelevantRegulations)andiscapitalisedevery90daysunlesspaid.

7.3 WewillonlyuseYoursecurity,togetherwithanyaccruedinterest,tooffsetanyamountYouoweUsif:

(a)YourfailuretopayabillresultedinthedisconnectionofsupplyatthePremises;or

(b)Youdefaultonafinalbill;or


(c)YoudefaultonYourbillandYouandUsagreethatWecanusethesecuritytoavoiddisconnection;or

(d)YouhavesorequestedbecauseYouareleavingthePremisesoraskedUstodisconnectsupplyatthePremises;or

(e)Youtransfertoanotherretailer.

7.4 IfWeuseYoursecurityunderclause7.3above,thenwithin10BusinessDaysWewillprovideYouwithanaccountandpayYouanybalancetogetherwithanyinterest.

8. GST

8.1 Inthisclause:

(a)AnexpressionorwordusedinthisclausewhichhasaparticularmeaningintheGSTLaw,orinanyapplicablelegislativedeterminations,hasthesamemeaning,unlessthecontextotherwiserequires;and

(b)AreferencetoGSTpayablebyapartyincludesanycorrespondingGSTpayablebytherepresentativememberofanyGSTgroupofwhichthatpartyisamember,andareferencetoaninputtaxcreditentitlementofapartyincludesanycorrespondinginputtaxcreditentitlementoftherepresentativememberofanyGSTgroupofwhichthatpartyisamember.

8.2 UnlessGSTisexpresslyincluded,anyamountpayableunderthisContractforanysupplymadeunderorinconnectionwiththisContractdoesnotincludeGST.

8.3 TotheextentthatanysupplymadeunderorinconnectionwiththisContractisataxablesupply,theGSTexclusiveconsiderationotherwisepayableorprovidedforthattaxablesupplyisincreasedbyanamountequaltothatconsiderationmultipliedbytherateatwhichGSTisimposedinrespectofthetaxablesupply,andsubjecttoreceiptofaneffectivetaxinvoice,ispayableatthesametime.

8.4 Ifforanyreason(including,withoutlimitation,theoccurrenceofanadjustmentevent)theamountofGSTpaidonataxablesupply(takingintoaccountanydecreasingorincreasingadjustmentsinrelationtothetaxablesupply)variesfromtheGSTpaidbyYou:

(a)WemustprovidearefundorcredittoYou,orYoumustpayafurtheramounttoUs,asappropriate,atthesametimeastheGSTexclusivecomponentoftheadjustmentisrefundedorpaid;

(b)therefund,creditorfurtheramount(asthecasemaybe)willbecalculatedbyUsinaccordancewiththeGSTLaw;and

(c)WemustnotifyYouoftherefund,creditorfurtheramountwithin14daysafterbecomingawareofthevariationtotheamountofGSTpayable.Ifthereisanadjustmenteventinrelationtothesupply,OurrequirementtonotifyYouwillbesatisfiedbyUsissuingtoYouanadjustmentnotewithin14daysafterbecomingawareoftheoccurrenceoftheadjustmentevent.

8.5 Eachpartyagreestodoallthings,includingprovidingtaxinvoicesandotherdocumentation,thatmaybenecessaryordesirabletoenableorassisttheotherpartytoclaimanyinputtaxcredit,adjustmentorrefundinrelationtoanyamountofGSTpaidorpayableinrespectofanysupplymadeunderorinconnectionwiththisContract.

8.6 IfapaymenttoapartyunderthisContractisapaymentbywayofreimbursementorindemnityandiscalculatedbyreferencetotheGSTinclusiveamountofaloss,costorexpenseincurredbythatparty,thenthepaymentistobereducedbytheamountofanyinputtaxcredittowhichthatpartyisentitledinrespectofthatloss,costorexpensebeforeanyadjustmentismadeforGSTpursuanttoclause8.3.


9. ReviewofBill

9.1 WewillreviewabillatYourrequest,providedthatYouagreetopayanyfuturebillsand:

(a)theportionofthebillunderreviewthatYouandWeagreeisnotindispute;or

(b)anamountequaltotheaverageamountofYourbillsfortheprevious12months.

Ifthebillisfoundtobeincorrect,Wewilldealwiththeresultingoverchargeorunderchargeinaccordancewiththesetermsandconditions.Ifthebillisfoundtobecorrect,YoumayrequesttohaveYourMetertestedtoestablishwhetheritismeasuringaccurately.IftheMeterisfoundtocomplywiththeMeteringstandardssetintheMeteringCode,YoumustpayUsallcostsassociatedwiththetestandpaytheamountofthebill.

9.2 WemayrecoverfromYouanyamountYouhavebeenundercharged.WhereYouhavebeenunderchargedasaresultofOurerror,includingaMeteringerror,Wewillonlyrecovertheamountunderchargedinthelast12monthspriortotheMeterreadingdateonthelastbillsenttoYou(the“UnderchargedAmount”)andwillnotchargeYouinterestontheUnderchargedAmount.WewillshowtheUnderchargedAmountasaseparateitemonYourbill,togetherwithanexplanationoftheamountthatwasundercharged.

WemayofferYoutheopportunitytopaytheUnderchargedAmountininstalments.WhereWehaveunderchargedYouasaresultoffraudbyYou,WemaytakeactionagainstYou.Thismayinclude:

(a)disconnectingsupplytoYourPremisesincertaincircumstances;

(b)estimatingtheelectricityusageatthePremisesforwhichYouhavenotpaidUs;and

(c)takingdebtrecoveryactionagainstYoufortheunpaidamountaswellasanydisconnectioncostsandOurreasonablelegalcosts.

IfYouhavebeenoverchargedWewill:

(a)notifyYouofthisoverchargingwithin10BusinessDaysafterWebecomeawareoftheovercharging;

(b)provideYouwitharefundfortheoverchargedamount(“CorrectingRefund”);

(c)refundanychargetoYoufortestingthemeterwheretheMeterisfoundtobedefective;and

(d)notpayYouinterestontheCorrectingRefund.

WhereWearerequiredtopayYouaCorrectingRefundundertheContract,YoucanchoosewhetherWemaketheCorrectingRefundas:

(a)acredittoYouraccount;

(b)apaymentdirectlytoYou;or

(c)apaymenttoathirdparty(ifYouhavegivenUswritteninstructionstothiseffect).

IfYouinstructUstocredittheoverpaymenttoYouraccountorrepayittoYou,WewillcreditorrepaytheoverpaymentinaccordancewithYourinstructionswithin12BusinessDaysofreceivingtheinstructions.IfWedonotreceiveanyinstructionsfromYouwithin20BusinessDaysofUsadvisingYouoftheoverpayment,WewilluseOurreasonableendeavourstocredittheamountoverchargedtoYouraccount.

10. Metering

10.1 WeortheNetworkOperatorwillprovide,installandmaintainElectricitySupplyEquipment,includingthemeterandnecessaryancillaryequipmentatthePremises,afterdueconsiderationofYourwishes.


TheElectricitySupplyEquipmentremainsthepropertyoftheNetworkOperatoratalltimesandtheNetworkOperatorisresponsibleforinstallingandmaintainingtheElectricitySupplyEquipment.

YoumustnotdoanythingthatwilldamageorinterferewiththeElectricitySupplyEquipmentoruseelectricityinawaythatinterfereswiththatequipment.

“ElectricitySupplyEquipment”meanstheMeterandanyelectricalfacilitiesorotherequipmentusedtotransmitormeasureelectricityfortransfertoYou,beforethepointwhereelectricityistransferredfromtheMeter.

10.2 YouareresponsibleforkeepingYourEquipmentingoodworkingorderandconditionandtakingreasonableprecautionstoprotectYourEquipmentagainstsurgesorinterruptionintheelectricitysuppliedtoYou.Youmustnotletanyoneotherthantheholderofanelectricalworker'slicensegrantedundertheElectricity(Licensing)Regulations1991(WA)workonYourEquipment.“YourEquipment”isallequipmentlocatedafter(downstreamof)thepointthatelectricityleavestheMeteratthepremiseswhichisusedtotakesupplyoforconsumeelectricityexceptanyElectricitySupplyEquipment.

10.3 Youmustnot:

(a)tamperwith,bypass,circumventorotherwiseinterferewiththeElectricitySupplyEquipment;or

(b)doanythingthatwillpreventUsfromaccessingtheElectricitySupplyEquipment;or

(c)useelectricityinawaythatinterfereswiththesupplyofelectricitytoanyoneelseorcauseslosstoanyoneelse;or

(d)unlessYouhaveOurpermission,turntheMeteroniftheMeterhasbeenturnedoffbyUsorbytheNetworkOperator;or

(e)allowanyoneelsetodothethingsdescribedinthisclause10.3.

11. Access

(a)YoumustletUsorpersonsnominatedbyUs(includingtheNetworkOperator)havesafeandunrestrictedaccesstothePremiseswhenWeneedit:

(1)toreadtheMeter;or

(2)toinspectorworkontheElectricitySupplyEquipment;or

(3)toinspecttheelectricityinstallation;

(4)todisconnectorreconnectYourelectricitysupply;or

(5)toinspectorworkonYourEquipment;or

(6)foranyotherreasonrelatingtothesupplyofelectricitytothePremises.

(b)WewillgiveYou24hours’noticebeforeWeortheNetworkOperatorentersthePremisesforthepurposesallowedinthisContract,except:

(1)forroutineMeterreadingorMeterreplacement;or

(2)inanemergency;or

(3)ifWesuspectthatelectricityisbeingusedillegallyatthePremises.

(c)IfWeortheNetworkOperatorentersthePremisesforthepurposesofplannedworkthenWewillgiveYouatleast4BusinessDays’notice.


(d)AnyrepresentativeoftheNetworkOperatororUswhoentersthePremiseswillwear,inavisiblemannerinaccordancewithOurortheNetworkOperator’srequirements,officialidentificationorwillcarrysuchidentificationandshowittoYouifYouareatthePremises.

12. ElectricitySupplyatYourpremises

12.1 IfYoumoveintothePremises,thenbeforeWesupplyYouelectricityatthePremises,WecanrequireYouto:

(a)applytoUsforelectricitysupply(byphone,bye-mail,inpersonorinwriting)andprovideUswithidentificationWeconsideracceptable;and

(b)provideUswithassurancethatWewillbeabletoaccesstheMeter(andotherElectricitySupplyEquipment)accordingtoclause11;and

(c)provideUswithcontactdetailsforbillingpurposes;and

(d)provideUswithcontactdetailsofthepropertyowneroragentifthePremisesisarentalproperty;and

(e)inthecaseofanewelectricityconnection,provideUswithinformationaboutYourestimatedelectricityusage;and

(f)agreetopayUsallrelevantchargesandfeesaccordingtothisContract;and

(g)provideUswithasecurityinaccordancewithclause7.2;and

(h)payUsanyoutstandingdebtYouoweUsforthesupplyofelectricityatanotherPremises(butnotdebtsthataresubjecttoadisputeorrepaymentarrangements).

12.2 WewillsellYouelectricityfromthedaythatYourelectricitysupplyisturnedonatthePremises.WewilluseOurbestendeavourstomakesupplyavailabletoYouatthePremisesbythedateWeagreedtosellYouelectricityor,ifnodatewasagreed,within20BusinessDaysfromthedateofYourapplication.

IfYoumoveintothePremisesanditdoesnotalreadyhaveanexistingelectricityconnection,thenbeforeWesupplyYouelectricityatthePremiseseachofthefollowingconditionsmustbesatisfied:

(a)Youdothethingslistedinclause12.1;and

(b)theElectricitySupplyEquipment(anditsinstallation)complieswiththeregulatoryrequirements;and

(c)ifWeaskYou,YouhavegivenUsnoticesofinstallationfromaelectricityinstaller;and

(d)thereisanadequatesupplyavailableattheboundaryofthePremises.

12.3 IfatthetimeofenteringintotheContract,YouaresuppliedelectricityatthePremisesbyanelectricityretailerotherthanUs,WewillbegintosupplyYouwithelectricityundertheContractonthedateYouaretransferredfromtheotherelectricityretailertoUsbytheNetworkOperatorinaccordancewiththeCustomerTransferCode.

BeforeWesupplyelectricitytoYouatthePremises,eachofthefollowingconditionsmustbesatisfied:

(a)Youdothethingslistedinclause12.1;and

(b)theElectricitySupplyEquipment(anditsinstallation)complieswiththeregulatoryrequirements;and

(c)thereisanadequatesupplyavailableattheboundaryofthePremises;and

(d)theMeteratthePremisesisavailabletouse.


12.4 (a)IfYoumoveoutofthePremisesandnolongerwishtoobtainelectricitysupplyatthePremises,YoumustadviseUs:

(1)atleast3BusinessDaysbeforeYoumoveout;and

(2)ofanaddresswherethefinalbillcanbesent.

(b)IfYouadviseUsasdescribedinclause12.4(a),andYoumoveoutofthePremisesatthetimespecifiedinYournotice,thenWewillmakeafinalMeterreadingonthedaythatYoumoveoutofthePremisesandissueafinalbilltoYou.Inthatcase,YouareonlyrequiredtopayforelectricityuseduptothedayYoumoveoutofthePremises.

(c)IfYouadviseUsasdescribedinclause12.4(a),andYoumoveoutofthePremisesbeforethetimespecifiedinYournoticethenYoumustpayforelectricityuptothetimespecifiedinYournoticeunlessYouhavedemonstratedtoUsthatYouwereevictedfromthePremisesorwereotherwiserequiredtovacatethePremises.

(d)IfYoudonotadviseUsasdescribedinclause12.4(a),thensubjecttoanyapplicablelaws,WemayrequireYoutopayforelectricityusedatthePremisesforuptoamaximumof5daysafterWediscoverthatYouhavemovedoutofthePremises.However,WewillnotrequireYoutopayforelectricityusedatthePremisesfromthetimethatanewcustomerhasanobligationtopayforelectricitysupplyatthePremisesunderanewContract.

(e)IfYourfinalbillisincreditafterYouhavepaidUsallamountspayableunderclause12.4,thenYoucanchoosetohaveUscreditYournewaccountwiththisamountorrepaytheamounttoYou.

12.5 Youagreeto:

(a)co-operatewiththeNetworkOperatorinrelationtoconnectingYourPremisestotheElectricityNetwork;and

(b)allowUstogivetheNetworkOperatorYourdetails.

AlthoughWeareseparatecompanies,WemayasktheNetworkOperatortodothingsforUs(suchasturnonYourelectricitysupplyorreadYourMeter).WheretheContractsaysWewilldothingsthatrelatetothedisconnectionorreconnectionofsupplyandtheElectricitySupplyEquipment,WemayasktheNetworkOperatortodothosethingsforUs.

13. Disputes

13.1 IfYouwishtoraiseacomplaintconcerningOurperformanceorYourelectricitysupply,WeencourageYoutocontactUstodiscusstheissue.WewillmanageanycomplaintaccordingtotheAustralianStandardonComplaintsHandlingASOISO10002-2006andOurCustomerComplaintsPolicy.

13.2 IfYouareunhappywithOurresponse,YoumaymakeacomplainttoahigherlevelwithinOurmanagementstructure.IfYouarestillunhappywithOurresponse,thenYoumayreferthecomplainttotheElectricityIndustryOmbudsman(YoushouldgiveUstheopportunitytorespondtoYourcomplaintbeforeYoureferittotheElectricityIndustryOmbudsman).FormoreinformationaboutOurcomplaintshandlingprocessandtheElectricityIndustryOmbudsman,visitOurwebsiteorcallUs.

14. Disconnection

14.1 WecaninterruptordisconnectYourelectricitysupply,atanytimewithoutnoticetoYouinanEmergency,ifWearepermittedorrequiredbylaworiftheNetworkOperatorrequiresUstodoso.Inthiscase,You


cangetinformationonthenatureoftheEmergencyandanestimateofwhenelectricitysupplyislikelytoberestoredbycontactingtheNetworkOperator's24-houremergencyline.

WewilltrytoarrangefortheNetworkOperatortoturnYourelectricityonagainassoonaspossible.

NothingintheContractlimitsOur,ortheNetworkOperator's,statutorypowersinrelationtoemergenciesandsafety.

14.2 WecaninterruptordisconnectYourelectricitysupplyiftheNetworkOperatorneedstocarryoutplannedworkontheElectricityNetwork.Ifthisoccurs,WewillprovideYouwithnoticeofanyplannedworkasrequiredbyanyRelevantRegulations.

14.3 Inadditiontothereasonsinclauses14.1and14.2,WecanarrangetheNetworkOperatortodisconnectYourelectricitysupply,actinginaccordancewithclause14.4andapplicablelaws(seeclause16forinformationabouttheNetworkOperator),if:

(a)Youfailtopayabill(eitherforthePremisesorapreviousPremises)infullbytheduedateshownonthebill(seeclause5forinformationaboutbilling);or

(b)YoudonotagreetoaPaymentPlanorotherpaymentoption;or

(c)YoudonotperformYourobligationsunderaPaymentPlanorotherpaymentoption;or

(d)YoudonotgiveUsortheNetworkOperatorsafeandunrestrictedaccesstothePremisesortheMeter(seeclause10forinformationaccessingthepremises);or

(e)YoucommitafraudrelatingtoOursupplyofelectricitytoYouatthePremisesoranyotherPremises;or

(f)YougetelectricitysuppliedtothePremisesillegallyorinbreachofaRelevantRegulationorcode;or

(g)whereWerequireYoutoprovideUssecurity,YoufailtoprovideittoUs(seeclause7.2forinformationaboutsecurity);or

(h)YoufailtokeepYourEquipmentingoodworkingorderorcondition(seeclause10forinformationaboutYourEquipment);or

(i)YougetelectricitysuppliedtothePremisesinbreachofthisContract.

WecanchargeYouafeefordisconnectingYourelectricitysupplyinthesecircumstances.

14.4 IfWewishtodisconnectYourelectricitysupplybecauseYoufailtopayabill,thenWewill:

(a)giveYouaReminderNoticenotlessthan13BusinessDaysfromthedatethatWeissuedYouthebilladvisingYouthatpaymentisoverdueandrequiringpaymentbyaspecifieddate(whichwillbenotlessthan18BusinessDaysafterthedatethatWeissuedYouthebill);and

(b)ifYoustillhavenotpaidUsbythetimeindicatedintheReminderNotice,thengiveYouaDisconnectionWarningadvisingYouthatWewilldisconnectYouonadaythatisatleast5BusinessDaysafterWegiveYoutheDisconnectionWarning;and

(c)notdisconnectYouuntilatleast1BusinessDayafterthedatethatWesayWewilldisconnectYourelectricitysupplyintheDisconnectionWarning;

(d)adviseYouoftheexistenceandoperationofOurCustomerComplaintsPolicy,includingtheexistenceandoperationoftheElectricityIndustryOmbudsmanandspecifyingtheFreecalltelephonenumberoftheElectricityIndustryOmbudsman.

WewillnotdisconnectYouunless:

(a)YouhavenotacceptedOurofferofaPaymentPlan(ifany)withinthespecifiedperiod;or


(b)YouhaveacceptedOurofferofaPaymentPlan,butnothavetakenreasonableactiontowardssettlingthedebtwithinthespecifiedtime.

FormoreinformationaboutYouroptionsifYouhavepaymentdifficulties,refertoYourbill,visitOurwebsiteorcallUs.

14.5 IfWewishtodisconnectYourelectricitysupplybecauseYoufailtogiveUsortheNetworkOperatoraccesstothePremises,Wewill:

(a)onlydisconnectYouifYouhavedeniedaccessforthepurposesofreadingtheMeterforthepurposesofissuing3consecutivebills;and

(b)giveYouanoticerequestingaccesstotheMeteratthePremiseseachtimeaccesswasdenied;and

(c)useOurbestendeavourstocontactYou;and

(d)giveYouanopportunitytoofferreasonablealternativeaccessarrangements;and

(e)sendtoYouaDisconnectionWarningadvisingYouthatWewilldisconnectYourelectricitysupplyonadaythatisatleast5businessdaysafterYouaredeemedtoreceivetheDisconnectionWarning.

14.6 IfWewishtodisconnectYourelectricitysupplyunder14.3(g)becauseYoufailtoprovideanyrequiredsecuritytoUs,WewillonlydisconnectYourelectricitysupplyafterWesendtoYouaDisconnectionWarningadvisingYouthatWewilldisconnectYourelectricitysupplyonadaythatisatleast5businessdaysafterYouaredeemedtoreceivetheDisconnectionWarning.

14.7 WemustnotdisconnectYourelectricitysupplyif:

(a)YougiveUsastatementfromaMedicalPractitionerstatingthatYourelectricitysupplyisnecessarytoprotectthelifeorhealthofapersonwholivesatthePremisesandYouhaveenteredintoarrangementsacceptabletoUsinrelationtopayment;or

(b)Youhaveappliedforagovernmentconcessionorgrantandtheapplicationhasnotbeendetermined;or

(c)YouhavemadeacomplainttotheElectricityIndustryOmbudsmanaboutamatterdirectlyrelatingtothereasonfortheproposeddisconnectionandthecomplaintremainsunresolved;or

(d)YouhaveagreedtoaPaymentPlanorotherpaymentoption;or

(e)YoucannotpayYourbillbecauseofalackofincomeorothermeansandWehavenotdonethethingsWemustdoinclause14.4;or

(f)YouhavenotpaidYourbill,buttheoutstandingamountislessthananaveragebillovertheprevious12months,andYouhaveagreedtorepaytheoutstandingamount;or

(g)YouhaveanamountoutstandingonYourbillthatdoesnotrelatetothesupplyofelectricitybutrelatestosomeothergoodorservice;or

(h)disconnectionwouldoccurafter12:00noononaFriday,after3.00pmonanyotherWeekday,onaWeekendoronaPublicHolidayortheBusinessDaybeforeaPublicHoliday,exceptinthecaseofinterruptionsordisconnectionsforplannedwork(seeclause14.2forinformationaboutplannedwork);or

14.8 IftheNetworkOperatordisconnectsYourelectricitysupplyatOurrequestunderthisclause14,then:

(a)WecanorYoucanarrangefortheNetworkOperatortoremoveorphysicallydisconnectthemeteratthesametimethatthesupplyofelectricitytoYouisdisconnected,oratalatertime;and

(b)WecanchargeYouafeeforremovingorphysicallydisconnectingthemeterandreplacingorphysicallyreconnectingtheMeterexceptifouractionsweredueto:


(i)anEmergencynotcausedbyYou;or

(ii)plannedwork;and

(c)Youmustnotreconnecttheelectricitysupply.

14.9 IfWethinkYouhaveused,orareobtainingelectricityillegally,thenWecanadvisetheDirectorofEnergySafety,theNetworkOperatorandthePolice(asappropriate)andgivethemanyinformationthatWehaveinrelationtoYourelectricityuse.

14.10 WecanchargeYouafeefordisconnectingYourelectricitysupplyexceptifthedisconnectionwasdueto:

(a)anEmergencynotcausedbyYou;or

(b)plannedwork.

15. Reconnection

IfYourelectricitysupplyisdisconnectedunderclause14,thenWewillarrangefortheNetworkOperatortoreconnectYourelectricitysupplywhenYouaskUstoreconnectYourelectricitysupplyandWearereasonablysatisfiedthatthecircumstancesgivingrisetothedisconnectionnolongerexist.

WecanchargeYouafeeforreconnectingYourelectricitysupplyexceptifthedisconnectionwasdueto:

(a)anEmergency;or

(b)plannedwork.

16. OurresponsibilityforElectricitySupply

InordertosellelectricitytoYou,WeasktheNetworkOperatortodelivertheelectricitythroughtheElectricityNetwork.

TheElectricityNetworkisoperatedbytheNetworkOperatorandWecannotcontrolthewayinwhichtheNetworkOperatoroperatestheElectricityNetwork.Forexample,WecannotcontrolthequalityorcontinuityofelectricitybeingsuppliedtoYouthroughtheElectricityNetwork.

However,ifYouareaConsumer,thencertainconsumerguaranteestodowithOursupplyofelectricitytoYouwillariseundertheAustralianConsumerLawinSchedule2totheCompetitionandConsumerAct2010(Cth)andtheFairTradingAct2010(WA).Thesetermscannotbeexcludedormodifiedbyanyprovisionofthiscontract.

ExceptwhereYouareaConsumerandaconsumerguaranteerequiresUstodoso:

(a)WedonotguaranteethattheelectricitysuppliedtoYouwillbeofanyparticularqualityorthatYouwillobtainacontinuoussupplyofelectricitywithoutinterruptions;and

(b)WewillnotbeliabletoYoufor:

(1)anylossordamageassociatedwithanysurgeintheelectricitysupplyorUsfailingtosupplyelectricitymeetinganyparticularquality;or

(2)businessinterruptionloss;or

(3)lostprofits;or

(4)lossofanopportunity;or

(5)Yourliabilitytootherpeopleundercontractsorotherwise,


whetherarisingfromorinconnectionwithOurbreachofContract,Ourbreachofstatutoryduty,Ournegligenceorotherwise.

Asanelectricityretailer,WearenotresponsibleformattersrelatingtotheoperationoftheElectricityNetwork.However,toassistYouwhenYouraiseaconcernwithUsaboutYourelectricitysupply,Wecan:

(a)supplyYouwithacopyofthedistributionstandardsifYoupayUsafee;and

(b)respondtoarequestaboutchangesinthequalityofYourelectricitysupplythatexceedthedistributionstandards;and

(c)adviseYouaboutthingsYoucandotoavoidinterferingwithElectricityNetworkequipmentoranotherperson’selectricitysupply;and

(d)forwardYourconcernstotheNetworkOperator.

17. Liability

17.1 NotwithstandinganyotherprovisionofthisContract,nothinginthisContractistobereadasexcluding,restrictingormodifyingtheapplicationofanylegislationwhichbylawcannotbeexcluded,restrictedormodified.

17.2 ExceptasexpresslysetoutinthisContract,anyrepresentation,warranty,conditionorundertakingwhichwouldbeimpliedinthisContractbylaw,isexcludedtothemaximumextentpermittedbylaw.

17.3 Ourliability,ifany,underthisContractislimitedtothemaximumextentpermittedbysection64AoftheAustralianConsumerLawinSchedule2totheCompetitionandConsumerAct2010(Cth).Thatis,inrelationtothesupplyofgoodsorservicesnotofakindordinarilyacquiredforpersonal,domesticorhouseholduseorconsumption,OurliabilityforbreachofthisContractislimitedto(atOuroption):

(a)inthecaseofgoodsbeingelectricity:

(1)thereplacementoftheelectricityorthesupplyofequivalentelectricity;or

(2)thepaymentofthecostofreplacingtheelectricityorofacquiringequivalentelectricity;or

(b)inthecaseofservices:

(1)thesupplyoftheserviceagain;or

(2)thepaymentofthecostofhavingtheservicessuppliedagain.

17.4 BusinessCustomersmusttakereasonableprecautionstominimisetheriskoflossordamagetoanyequipment,PremisesorbusinessoftheBusinessCustomer,whichmayresultfrompoorquality,orreliabilityofelectricitysupply.

18. PrivacyandPersonalInformation

UnlessWearepermittedtodootherwiseunderthisContract,WewillkeepYourinformationconfidentialinaccordancewiththeproceduresandstepssetoutinOurPrivacyPolicy.InparticularWewillkeepYourinformationconfidentialunless(inaccordancewiththeCode):

(a)WehaveYourpriorwrittenconsent;or

(b)thelaw(includinganyregulatory,accounting,governmental,Ministerialorstockexchangerequirement)requiresorpermitsUstodoso;or


(c)WeneedtousetheinformationforOurregulatoryreportingorcompliance,orinanylegalorregulatoryproceedings;or

(d)theinformationisalreadyinthepublicdomain;or

(e)WebelieveYouhaveusedelectricityillegallyand,asaresult,WeproviderelevantinformationtotheEconomicRegulationAuthorityortheDirectorofEnergySafety;or

(f)Weusetheinformationforbusinesspurposes.

(g)YouhavenotpaidYourelectricitybill,andWediscloseinformationtoacreditreportingagency,butWewillnotprovideinformationaboutadefaulttoacreditreportingagencyif:

(i)Youhavemadeacomplaintingoodfaithaboutthedefaultandthecomplainthasnotbeenresolved;or

(ii)YouhaverequestedUstoreviewYourelectricitybillandthereviewisnotyetcompleted.

19. Information

19.1 WewillprovideormakethefollowingavailabletoYou:

(a)acopyofthetermsandconditionsofthisContract;and

(b)acopyoftheRelevantRegulationsandacopyofanycode;and

(c)acopyofthedistributionstandards;and

(d)informationaboutOurpolicies,OurcustomerservicecharterandOurcomplaintshandlingprocess;and

(e)informationabouttheContractPriceandotherFeesYoumustpay;and

(f)informationaboutenergyefficiency;and

(g)contactdetailsforobtaininginformationaboutgovernmentassistanceprogramsorfinancialcounsellingservicesreferredtoinclause6.4ofthisContract;and

(h)Yourbillingdataaccordingtoclause6.5;and

(i)anyotherinformationWesaidWewouldgiveYouinthisContract.

UnlessWearelegallyrequiredtoprovidetheinformationfreeofcharge,WewillchargeYouareasonablefee.

19.2 YoumustadviseUsassoonaspossibleif:

(a)thereisachangeinYourcontactdetailsortheaddresstowhichYourbillsaretobesent;or

(b)thepersonresponsibleforpayingYourbillschanges;or

(c)YouchangesomethingatthePremiseswhichmakesOuraccesstotheMetermoredifficult;or

(d)YoubecomeawareofaproblemwiththeElectricitySupplyEquipmentwhichisat,orreasonablycloseto,thePremises;or

(e)YouchangethewayYouuseelectricity(suchasifYounolongeruseYourelectricitysupplyforaresidentialpurpose);or

(f)YouareplanningachangetoYourEquipmentthatmayaffectthequalityorsafetyofelectricitysupplytoYouoranyoneelse.


20. Assignment

20.1 YoumaynotassignthisContractwithoutOurpriorwrittenconsent.

20.2 Wemayassign,orotherwisedisposeofthewholeoranypartofOurinterestinthisContracttoapersonwhoacquiresallorasubstantialportionoftheassetsofOurbusinessofretailingenergywithoutYourpriorconsent.

21. Variation

21.1 WecanchangethetermsandconditionsoftheContractfromtimetotimewithoutYourconsentsubjecttothosechangesbeingapprovedbytheEconomicRegulationAuthority,inwhichcaseYourContractwillbedeemedtobeamendedtoreflectthosechanges.AnychangestothetermsandconditionswillbepublishedasrequiredbytheEconomicRegulationAuthority.

21.2 IfYoudonotagreewithanamendmentapprovedbytheEconomicRegulationAuthority,thenYoucanendthisContractbydoingthethingsdescribedinclause2.

22. ForceMajeure

22.1 TheobligationsofthepartiesunderthisContractshallbesuspended(excepttheobligationtopayanymoneyowing),totheextenttowhichtheyareaffected,ifthatfailureordelayisduetoanycauseorconditionbeyondthereasonablecontrolofthatparty(ForceMajeureEvent)foraslongastheForceMajeureEventcontinues.

22.2 ThepartyaffectedbyaForceMajeureEventmustgivetheotherpromptnoticeofthatfactincludingfullparticularsoftheForceMajeureEvent,anestimateofitslikelyduration,theobligationsaffectedbyitandtheextentofitseffectonthoseobligationsandthestepstakentoremove,overcomeorminimiseitseffects.

22.3 IftheeffectsofaForceMajeureEventarewidespread,WewillbedeemedtohavegivenYoupromptnoticeinaccordancewithclause22.2ifWemakethenecessaryinformationavailablebywayofa24hourtelephoneservicewithin30minutesofbeingadvisedoftheForceMajeureEventorotherwiseassoonaspracticable.

22.4 ThepartyaffectedbyaForceMajeureEventmustuseitsbestendeavourstoremove,overcomeorminimisetheeffectsoftheForceMajeureEventasquicklyaspossibleexceptthatthisdoesnotrequirethepartytosettleanyindustrialdispute.

23. General

23.1 NothingintheContractlimitsorexcludestherights,powersandremediesthatWehaveatlaworinequity.

TheContractalsodoesnotinanywaylimitOurobligationtocomplywiththelawfuldirectionsoftheMinisterforEnergyortheCoordinatorofEnergyortheDirectorofEnergySafetyinrelationtoemergenciesandsafetyorotherwise.

23.2 TheContractandallapplicablewrittenlaws,representtheentireagreementbetweenYouandUsrelatingtothematterscoveredbythisContract.

23.3 Clauses3,4,6,7.3,7.4,9.2,11,12,18and23.6willsurviveterminationofthisContract.


23.4 IfanytermorclauseofthisContractisorbecomesinvalidorisunenforceable,thentheothertermswillremainvalidandwillbeunaffectedforthedurationofthisContract.

23.5 IfWedonotexerciseOurrightsunderthisContractitwillnotconstituteawaiverofthoserights.

23.6 IfYouhaveconsumedelectricityfraudulentlyornotinaccordancewithapplicableLaw,WemayrecoverfromYouanyamountwhichWereasonablyestimateconstitutestheamountbywhichWehavenotchargedorunderchargedYou.

23.7 TheContractisgovernedbythelawsoftheStateofWesternAustralia.

24. UnsolicitedConsumerAgreement

WherethisContractisanUnsolicitedConsumerAgreement:

(a)YouhavearighttoendtheContractwithintheCooling-offPeriod;

(b)WewillnotsupplyelectricitytoYouundertheContractduringtheCooling-offPeriodunlessYourequestsupply;and

(c)YoumustpayUsforelectricitysuppliedandforanyservicesprovidedinconnectionwiththatsupplyif:

(i)attherequest,electricityissuppliedtoYoubyUsduringtheCooling-offPeriod;and

(ii)YouexerciseYourrighttoendtheContractduringtheCooling-offPeriod.

25. Interpretation

IntheContract,unlessthecontextotherwiserequires:

(a)thesingularincludesthepluralandviceversa;and

(b)areferencetoanythingisareferencetothewholeoranypartofitandareferencetoagroupofthingsorpersonsisareferencetoanyoneormoreofthem;and

(c)areferencetoapersonincludesapublicbody,company,orassociationorbodyofpersons,incorporatedorunincorporated;and

(d)areferencetoapersonincludesareferencetotheperson’sexecutors,administrators,successors,substitutes(including,butnotlimitedto,personstakingbynovation)andpermittedassigns;and

(e)areferencetoaclauseisareferencetoaclauseoftheContract;and

(f)headingsareincludedforconvenienceanddonotaffecttheinterpretationoftheContract;and

(g)areferencetoastatute,ordinance,codeorotherlawincludesregulationsandotherinstrumentsunderitandconsolidations,amendments,re-enactmentsorreplacementsofanyofthem;and

(h)ifawordorphraseisdefined,othergrammaticalformsofthatwordorphrasehaveacorrespondingmeaning;and

(i)iftheword“including”or“includes”isused,thewords“withoutlimitation”aretakentoimmediatelyfollow;and

(j)areferencetowritingincludesanymeansofrepresentingorreproducingwordsinvisibleformincludingbyelectronicmeanssuchasfacsimiletransmission;and

(k)areferencetoaliabilityincludesanyobligationtopaymoneyandanyotherloss,costorexpenseofanykind;and


(l)areferencetoamonthistoacalendarmonthandareferencetoayearistoacalendaryear;and

(m)ifaperiodoftimeisspecifiedanddatesfromagivendayorthedayofanactorevent,itistobecalculatedinclusiveofthatday;and

(n)ifadatestipulatedforpaymentorfordoinganactisnotaBusinessDay,thepaymentmustbemadeortheactmustbedoneonthenextBusinessDay;and

(o)areferencetoamonetaryamountmeansthatamountinAustraliancurrency.

26. Definitions

Inthiscontract,unlessthecontextotherwiserequires:

AdjustmentDateisdefinedinclause3.5.

BillingCyclemeanstheregularrecurrentperiodinwhichYouaredeemedtoreceiveabillfromUs.

BusinessCustomermeansacustomerwhoisnotaresidentialcustomer.

BusinessDaymeansanydayexceptaSaturday,SundayorpublicholidayinWesternAustralia.

ChangeinLawisdefinedinclause3.6.

ConsumerhasthemeaninggivenintheAustralianConsumerLawinSchedule2totheCompetitionandConsumerAct2010(Cth)andtheFairTradingAct2010(WA).

ContractmeansthelegallybindingagreementbetweenYouandUs,ofwhichthesearethetermsandconditions.

ContractPricemeansthechargeorchargesforelectricityassetoutintheCustomerSchedule(whichmayincludeaPeakEnergyPriceandanOff-PeakEnergyPrice),asmaybeadjustedfromtimetotimeinaccordancewiththeContract.

CommencementDateisdefinedinclause2.1.

Cooling-offPeriod,asitappliestoanUnsolicitedConsumerAgreement,meanstheperiodduringwhichtheconsumermayterminatetheagreementandisthelongestofthefollowingperiods:

(a)iftheagreementwasnotnegotiatedbytelephone—theperiodof10businessdaysstartingatthestartofthefirstbusinessdayafterthedayonwhichtheagreementwasmade;

(b)iftheagreementwasnegotiatedbytelephone—theperiodof10businessdaysstartingatthestartofthefirstbusinessdayafterthedayonwhichtheconsumerwasgiventheagreementdocumentrelatingtotheagreement;

(c)ifoneormoreofthefollowingwerecontravenedinrelationtotheagreement:

(i)section73oftheAustralianConsumerLaw(permittedhoursfornegotiatinganunsolicitedconsumeragreement);

(ii)section74oftheAustralianConsumerLaw(disclosingpurposeandidentity);

(iii)section75oftheAustralianConsumerLaw(ceasingtonegotiateonrequest);

theperiodof3monthsstartingatthestartofthefirstdayafterthedayonwhichtheagreementwasmadeor,iftheagreementwasnegotiatedbytelephone,theagreementdocumentwasgiven;

(d)ifoneormoreofthefollowingwerecontravenedinrelationtotheagreement:


(i)section76oftheAustralianConsumerLaw(informingconsumerofterminationperiod);

(ii)aprovisionofSubdivisionCoftheAustralianConsumerLaw(requirementsforunsolicitedconsumeragreements);

(iii)section86oftheAustralianConsumerLaw(prohibitiononsuppliesfor10businessdays);

theperiodof6monthsstartingatthestartofthefirstdayafterthedayonwhichtheagreementwasmadeor,iftheagreementwasnegotiatedbytelephone,theagreementdocumentwasgiven;

(e)suchotherperiodastheagreementprovides.

CorrectingRefundisdefinedinclause9.2.

CPImeanstheConsumerPriceIndex(AllGroupsfortheCityofPerth)publishedquarterlybytheAustralianBureauofStatisticsorifthatindexisnolongerpublishedorthewayitiscalculatedmateriallychanges,suchsubstituteindexasdeterminedbyPerthEnergyactingasareasonableandprudentpersonwhichmostcloselyapproximatestheoriginaleffectofthatindex.

PrivacyPolicymeansthepolicyspecifyingthestepstakenbyUstomaintaincustomerconfidentialityandwhichcanbeobtainedonrequestfromOurcustomerservicecentreorfromOurwebsite.

ReferencePricemeansthechargeorchargestobepaidbyYoufororinconnectionwiththesupplyofelectricitythatWepublishfromtimetotime.

RelevantPoliciesmeansthepoliciespublishedbyUsonOurwebsitefromtimetotimethatarerelevanttotheContractandincludethePrivacyPolicy.

RelevantRegulationsmeanstheregulationsthatarerelevanttoOursupplyofelectricitytoYouunderthisContractandincludetheCustomerContractsRegulations.

ReminderNoticemeansanoticeinwritingthatWeissuetoYouadvisingYouthatYouhavenotpaidYourbillandexplaininghowWemayassistYouifYouareexperiencingpaymentdifficultiesorfinancialhardship.

UnderchargedAmountisdefinedinclause9.2.

UnsolicitedConsumerAgreementhasthemeaninggivenbysection69oftheAustralian

ConsumerLawandincludesanagreementthatis:

(a)forthesupply,ofelectricitytoaconsumer;and

(b)madeasaresultofnegotiationsbetweenUsandtheconsumer:

(i)ineachother’spresenceataplaceotherthanourbusinessortradepremises;or

(ii)bytelephone;

whetherornottheyaretheonlynegotiationsthatprecedethemakingoftheagreement;and

(c)theconsumerdidnotinviteUstocometothatplace,ortomakeatelephonecall,forthepurposesofenteringintonegotiationsrelatingtothesupplyofelectricity(whetherornottheconsumermadesuchaninvitationinrelationtoadifferentsupply);and

(d)thetotalpricepaidorpayablebytheconsumerundertheagreement:

(i)isnotascertainableatthetimetheagreementismade;or

(ii)ifitisascertainableatthattime—ismorethan$100orsuchotheramountprescribedbytheregulations.

Theconsumerisnottaken,forthepurposesofsubsection(c),tohaveinvitedUstocometothatplace,ortomakeatelephonecall,merelybecausetheconsumerhas:

(a)givenhisorhernameorcontactdetailsotherthanforthepredominantpurposeofenteringintonegotiationsrelatingtothesupplyoftheelectricityreferredtoinsubsection(c);or

(b)contactedUsinconnectionwithanunsuccessfulattemptbyUstocontacttheconsumer.


Aninvitationmerelytoquoteapriceforasupplyisnottaken,forthepurposesofsubsection(c),tobeaninvitationtoenterintonegotiationsforasupply.
