1. DESCRIPTION OF GOODS AND SERVICES:

The Contractor shall be responsible for advertising sales, design, production, editing, printing, packaging, and shipping of the 2021-2023 CT DEEP Boater’s Guide. Contractor shall develop a Client Agency approved publication design and provide “.pdf" or ".html" final versions of the guide for the Client Agency’s website.

The Contractor shall be required to provide a high quality, full color publication that represents CT DEEP Bureau of Outdoor Recreation favorably, provides information to the public, and attracts advertisers. The Contractor shall develop and maintain the online version of the Guide in HTML, and PDF formats.

The online version must include all content from the printed guide. HTML Pages shall be provided by the Contractor and linked through the CT DEEP website. The site must be mobile optimized. If content updates occur at any time during each publication year, it is required that all online locations are updated by the Contractor within 2 business days upon notification via email from Client Agency.

Quantity: Approximately 85,000 copies, subject to change on a yearly basis. Note: Client Agency will determine exact number of Boater’s Guides printed for each publication year.

Timeline: Contractor shall begin the work during the fall of 2020-2022 for each respective publication and have the First

Shipment, consisting of a minimum of 2,000 Guides, delivered to DEEP Marine Headquarters by January 15. Subsequent First Shipment dates are subject to change.

On a yearly basis, Client Agency shall provide contractor with approximately 400 mailing locations (manifest) in WORD and EXCEL formats for Contractor use.

Client Agency shall deliver the State of CT Manifest List in WORD or EXCEL format which includes Town Halls, designated agents, retail outlets and CT DEEP and other state offices and delivery timetable to the Contractor by February 1st of each year. Note some delivery locations are seasonally occupied so dates in delivery timetable must be followed to ensure successful delivery.

Contractor shall deliver the Guide to the addresses on the manifest according to the manifest dates and no later than April 30th of each publication year.

Contractor shall provide Client Agency with an electronic .pdf copy as “text-only” in English and Puerto Rican dialect of Spanish.

Specifications:

Size: Minimum Trim Size: 8” x 10½”.

Design Features: The Contractor shall provide Client Agency access to the appropriate multi-media and design staff to coordinate page layout, file formats, graphic design and printing settings. All copy, layout, design and images must meet the approval of Client Agency. Contractor shall coordinate all final layout and graphic design services for approval by Client Agency. All artwork (images) provided by Client Agency must be returned to the Client Agency. Bleeds used (up to 4 sides), many different fonts used and many high-resolution color images (.tiff or .eps) incorporated with Client Agency text (included in CD file and electronic .pdf files). Prints 4 colors throughout. Cover must be printed in 4-color process as a full bleed. Client Agency shall provide Contractor with content/image for the front cover.

Paper (State Text): 40lb. coated or heavier. Higher quality paper or other paper approved in writing by the Client Agency.

Including Front & 70lb. coated wrap or other higher quality paper approved in writing by the Client Agency. Back Cover

The paper grade must be exactly as specified above. There must be consistency in paper grade and brightness throughout guide and all guides printed.

Contractor shall provide a Certificate of Analysis, (“CofA”) for each publication contract year the guide is printed. The paper for the Guide’s must be tested each year prior to any printing. Contractor shall provide the Client Agency with paper samples or the Contractor can have the paper tested and provide the Client agency with a CofA to prove the paper grade.

Binding: Saddle stitch by use of staples or stitching through the spine.

File Format and Artwork

Copy for the CT Boater’s Guide will be provided to state agency as high-resolution .pdf files and InDesign (.indd) files from Windows Adobe InDesign Creative Suite (or compatible version of our software) .indd files and an Adobe Acrobat .pdf files and linked high-resolution (300dpi) graphic files and or .pdf files saved on CD-R compact discs or other appropriate media formats.

Client Agency shall electronically (email) deliver a set (each individual page) of high-resolution .pdf files (Adobe Acrobat) or Adobe InDesign files to Contractor. All artwork, illustrations or images must be in CMYK color mode. Artwork saved as .tiff or .eps file formats in high resolution (300dpi) within the Adobe InDesign file. All files may also be provided separately on a CD for Contractors use or electronically through e-mail. Contractor shall be able to accept and use the desktop publishing software Adobe InDesign Creative Suite 2017 or older (.indd) from a PC using Microsoft Windows 10. Additionally, files must also be accepted as an Adobe Acrobat PDF, WORD or Excel. Contractor shall have all available font types used in the Adobe InDesign files and provide Windows versions/translations of all fonts used in the product from a MAC operating system. Graphics provided by Client Agency are in Encapsulated PostScript (EPS) or Tagged Image File Format (TIFF) formats in high-resolution (300dpi at size). Copy for the Guide must be provided to the Client Agency as high-resolution .pdf files and InDesign (.indd) files from Windows Adobe InDesign Creative Suite (or compatible) .indd files and an Adobe Acrobat .pdf files. A color-matching book (color palette) must be provided to the Client Agency to match colors with standard inks used by the Contractor on a yearly basis or when Contractor changes printers or the printing process.

Proofs: Contractor shall provide the Client Agency with two sets of color proofs from all four proofs (1st, 2nd, 3rd

and printers proof). Contractor shall also provide the entire proof to the Client Agency regardless of the number of new pages inserted in the proof, including advertising. All proofs must be from paper grade weight and brightness specified in Contract, no exceptions.

Contractor shall provide Client Agency with four or more (if necessary) electronic color proofs, 1st, 2nd, , 3rd and 4th (printers proof) of an Adobe InDesign file on a flash drive and also as a pdf file. Flash drive shall include an Adobe Acrobat .pdf file, WORD and or EXCEL. Contractor shall also submit all file types by electronic transmission via e-mail to the Client Agency with edits required and comments.

Client Agency will be charged a per proof fee or per page fee as listed on Exhibit B Price Schedule for any additional proofs after Contractor receives a signed 3rd proof from the Client Agency. Contractor shall not charge any proof fees until after the 3rd proof, if applicable.

Client Agency may require an additional proof for changes that may have occurred after already receiving the 3rd proof. If so, the Client Agency will determine those pages of the guide that a proof will be required or whether they will require the entire proof of the guides. Contractor must receive this result from the Client Agency in writing or the Client Agency will not be responsible for charges incurred.

Rough layout, page proofs (all proofs), chromalins, bluelines, final color proof, copyrighted images, advertising and press checks approved by the Client Agency, are property of the State and must be returned to the Client Agency. Contractor shall adhere to all copyright infringement laws.

The Contractor shall provide a “printers’ proof” to the Client Agency. Client Agency shall view and approve the final printers’ proof, including advertising prior to going to press.

All color proofs to be completed and delivered per state schedule (timeline). Please see Client Agency work schedules for dates. Timeline is subject to change per Client Agency discretion.

Contractor shall provide a final prepress Matchprint or other laminate proof in its entirety prior to printing for Client Agency approval.

Print Type: Main body of text in various font (point) sizes, 8 pt. minimum.

Multiple font types are used in state text (included in electronic .pdf and .indd files).

Press Check: Contractor shall provide a 72 hour notice to the Client Agency and a printer’s proof prior to press check.

Production Schedule: 2021, 2022 and 2023 work schedules (timelines) shall be provided by Contractor and approved by Client

Agency. Work schedules are subject to change anytime during the length of the Contract. Contractor shall strictly adhere to all timeframes listed within the timeline. Any changes to the work schedule must be approved through Client Agency contact person.

Ad Space: The Contractor shall sell advertising to substantially reduce or to eliminate the cost of the publication.

Contractor shall provide a rate card for each guide for each publication, not to exceed 40% of total, unless the Client Agency agrees to additional advertising with added savings to the State for printing and delivery of the Guide. Contractor shall disclose additional advertising rates (rate card) and savings to the Client Agency.

Advertising space is available on the inside front cover, before the Table of Contents, the back cover inside and out. Advertisements will not be allowed on the outside front cover. A maximum of 18 pages of advertising will be available to the Contractor. If additional ads are sold, additional copy can be provided and space arrangements negotiated with an increase in the savings to the Client Agency.

Advertising space on text pages will be limited to ½ of the page. All ad content and placement must meet the approval of the Client Agency.

When using pictures of people in boats, all people onboard the boat must be wearing a properly fitting life jacket in a proper manner. All advertising must not depict any illegal activities taking place and any images showing preferred safe boating practices are recommended and encouraged. All advertising must be approved for their appropriateness by the Client Agency prior, with as much time as possible, to going to press (printers proof).

Contractor shall provide a minimum of one page of Connecticut local advertising for each publication contract year. The Connecticut Advertising Page must not have any single ads that exceed 1/4 of the

page size. Smaller ads with many Connecticut advertisers are preferred. Client Agency may provide a list of potential Connecticut advertisers to the Contractor upon request.

CT DEEP reserves the right to offer state agencies, departments, divisions or state partners the opportunity to include an advertisement in the Guides at no cost.

Advertiser(s) are also our customers and one of CT DEEP’s goals is to promote and provide safe and clean boating opportunities as well as product information needed to pursue and enjoy these recreational activities by way of the boater’s rules and resources guide. Rates for advertisers must not exceed fair market value.

Contractor shall submit all advertising, the specific placements, type of advertisements and appropriateness to Client Agency for approval prior to going to press (printers proof).

Client Agency reserves the sole right to approve the page count of the publication resulting from advertisement sales by Contractor.

Packing: All packaging costs are the Contractor’s responsibility.

No more than 100 guides per box. Total number of guides is subject to change per Client Agency on a yearly basis. Contractor may ship in boxes or weatherproof bundles of 25 or 50 if this will reduce shipping costs.

Boxes labeled on two adjoining sides with title and quantity.

Shipping: Contractor shall notify the Client Agency yearly on which overnight or ground carriers they will be using

and when delivery is expected. Contractor shall not use the United States Postal Service for shipping. Deliveries to United States Post Offices are not acceptable and will be returned to the Contractor at the Contractor’s expense. The Guides must be delivered by means of an overnight or ground carrier with tracking devices to the approximately 400 addresses throughout the State of Connecticut.

Inside delivery of guides to all manifest addresses is required. Contractor shall insure that all carriers provide inside delivery where required, at no additional charge to the Client Agency. Contractor shall not invoice the Client Agency or any manifest addresses for any delivery/shipping charges.

Deliveries must be completed according to the due dates listed in the yearly timetable (work schedule) which will be provided by Client Agency. Note some delivery locations are seasonally occupied so dates for delivery must be followed to ensure successful delivery.

All deliveries must be sent to those addresses listed on the Client Agency manifest that will be provided to the Contractor according to contract timetable (work schedule for each appropriate year).

Upon completion of delivery, Contractor shall provide confirmation of complete shipping list from the Carrier with total guides delivered from addresses (manifest) provided by the Client Agency contact person. Carrier must provide shipping documents to the Client Agency, which accounts for total guides shipped and accounts for all guides shipped.

Additional Services Required by Contractor

The Contractor shall provide a full, HTML based, and mobile optimized separate file website for each publication. This site must include the ability to download a PDF. Contractor shall make any changes required after printing to the site and PDF as requested by the Client Agency. Contractor shall coordinate a minimum of 2 planning or pre-press meetings with Client Agency prior to first draft and before going to press. Contractor shall provide a 72-hour notice to the Client Agency for a final press check prior to going to press. The Contractor shall return all electronic files, publications, graphics and editorial materials specified here within to the Client Agency within 7 days after press date for each publication.

Services provided by Client Agency

Client Agency shall provide and maintain editorial oversight. All editing and production of the publication will be done under the direction and approval of Client Agency.

Please Note: Contractor shall be responsible to pick-up and deliver all materials to Client Agency.

A qualified representative from the Contractor’s company shall meet with the Client Agency contact person at initial pick-up of the job with no charge to the Client Agency.

2. ADDITIONAL TERMS AND CONDITIONS:

(a) Contract Separately/Additional Savings Opportunities

DAS reserves the right to either seek additional discounts from the Contractor or to contract separately for a single purchase, if in the judgment of DAS, the quantity required is sufficiently large, to enable the State to realize a cost savings, over and above the prices set forth in Exhibit B, whether or not such a savings actually occurs.

(b) Subcontractors

Subcontracting is not allowed under this Contract without the written approval of DAS.

(c) Security and/or Property Entrance Policies and Procedures

Contractor shall adhere to established security and property entrance policies and procedures for each requesting Client Agency. It is the responsibility of each Contractor to understand and adhere to those policies and procedures prior to any attempt to enter any Client Agency premises for the purpose of carrying out the scope of work described in this Contract.

The following Terms and Conditions govern the Invitation To Bid issued by the Department of Administrative

Services (DAS). Incorporated by reference into these Terms and Conditions are applicable provisions of the Connecticut General Statutes, including but not limited to, those in Title 4a, Chapter 58 or Title 4d, Chapter 61

and applicable provisions of the Regulations of Connecticut State Agencies, including but not limited to, those that begin with and follow Section 4a-52-1 or 4d-3-1.

Bidders shall comply with the statutes and regulations as

they exist on the date of their bid and as they may be modified from time to time during the term of the contract, as it may be amended.

Pursuant to Connecticut General Statutes 4a-60b,, The Department of Administrative Services, at its sole discretion, may elect to solicit Bid pricing through a Reverse Auction.

Submission of Bids 1. All Bid documents must be submitted on-line through

the DAS Business Network (“BizNet”) and will s be accepted as your official submission by DAS. If DAS receives additional submissions of your Bid hand delivered or delivered to the mailing address listed on this bid, DAS will reject those

submittals. 2. Bids must be submitted on-line using the forms specified by DAS and must be submitted no later than the date and

time specified in the Invitation To Bid. Paper Bids, telephone or facsimile bids will not be accepted in response to an Invitation to Bid.

3. Bids received after the time and date of bid opening specified in each Invitation To Bid will not be accepted for

consideration.

4. A Bidder will not be allowed to post or resubmit a bid after the due date and time specified in the Invitation to Bid. Incomplete bid forms may result in the rejection of the bid. Amendments to bids received by DAS after the time specified

for opening of bids will not be considered. With the exception of pricing submission through Reverse Auction participation. Bids may be computer prepared, typewritten or handwritten in ink and then uploaded in BizNet. All bids shall be signed by

a person duly authorized to sign bids on behalf of the bidder. Unsigned bids may be rejected.

5. Conditional bids are subject to rejection in whole or in part. A "conditional bid" is defined as one limiting or modifying any of the terms and conditions and/or

specifications of the Invitation to Bid.

6. Alternate bids will not be considered unless the Invitation

to Bid specifically requests alternate bids. An alternate bid is one which is submitted in addition to and is not dependent upon the bidder’s primary response to the Invitation To Bid.

7. In the event of a discrepancy between the unit price and the extension, the unit price shall govern. Prices should be

extended in decimal form, not fractions, to be net, and shall

include transportation and delivery charges fully prepaid by the Contractor to the destination specified in the Invitation To Bid,

and subject only to cash discount.

8. Pursuant to Section 12-412 of the Connecticut General

Statutes, the State of Connecticut is exempt from the payment of excise, transportation and sales taxes imposed by the Federal Government and/or the State. Such taxes must not be included in bid prices.

9. All bids will be opened publicly on the date specified in the Invitation To Bid and, upon award, are subject to public inspection.

10. The Bidder fully acknowledges and agrees with all of the terms and conditions contained in this Bid Form SP-19, the accompanying Invitation to Bid, Form SP-26, and the Contract.

Further, if the bidder is awarded a contract for the goods and/or services called for in the Invitation To Bid, the bidder’s signature on Bid Form SP-26 shall mean that the bidder shall be bound by and perform fully in accordance with all of the

terms and conditions set forth in the Invitation To Bid, this Form SP-19 and the Contract as if the bidder had actually executed Form SP-19 and the Contract itself.

Guaranty or Surety 11. Bid and or performance bonds may be required. Bonds must meet the following requirements: Corporation - must be signed by an official of the corporation above their official title

and the corporate seal must be affixed over the signature; Firm or Partnership - must be signed by all the partners and indicate they are “doing business as”; Individual - must be signed by the owner and indicated as “Owner”. The surety company executing

the bond or countersigning must be licensed in Connecticut and the bond must be signed by an official of the surety company with the corporate seal affixed over their signature. Signatures of two witnesses for both the principal and the

surety must appear on the bond. Power of attorney for the official signing the bond for the surety company must be submitted with the bond.

Samples 12. The quality of accepted bid samples does not supersede specifications for quality in the Invitation to Bid unless the sample is superior in quality. All deliveries shall have at least

the same quality as the accepted bid sample. 13. Samples are furnished free of charge. Bidders must indicate if their return is desired, which DAS shall do provided

that they are returned at Bidder’s sole cost and expense, FOB Bidder’s destination, and that they have not been made useless by testing. If they are made useless by testing, the State may dispose of the samples as it deems to be appropriate. Samples

may be held for comparison with deliveries.

Award

14. Award of a contract will be made to the lowest responsible qualified bidder and shall be based on quality of the goods or services to be supplied, their conformance with specifications, delivery terms, price, administrative costs, past performance,

and financial responsibility.

Standard Bid Terms and Conditions - Page 2 of 3 15. DAS may reject any bidder in default of any prior contract or guilty of misrepresentation or any bidder with a

member of its firm in default or guilty of misrepresentation. 16. DAS may correct inaccurate awards resulting from

clerical or administrative errors. 17. Bidders have ten days after notice of award of the contract to refuse acceptance. After ten days the Contract will

be binding on the Contractor. If the Contractor rejects the award within the ten day period, DAS will award the contract to the next lowest responsible qualified bidder.

Other Requirements 18. Section 4a-81 (the “Act”) of the Connecticut General Statutes requires that the Invitation to Bid of which these

Terms and Conditions are a part include a notice of the consulting affidavit requirements described in the Act. Accordingly, pursuant to the Act, vendors are notified as follows:

(a) No state agency or quasi-public agency shall execute a contract for the purchase of goods or services, which contract has a total value to the state of fifty thousand dollars or more

in any calendar or fiscal year, unless the state agency obtains the written affidavit described in subsection (b) of this section. (b) (1) The chief official of the vendor awarded a contract described in subsection (a) of this section or the individual

awarded such contract who is authorized to execute such contract, shall attest in an affidavit as to whether any consulting agreement has been entered into in connection with such contract. Such affidavit shall be required if any

duties of the consultant included communications concerning business of such state agency, whether or not direct contact with a state agency, state or public official or state employee was expected or made. "Consulting agreement" means any

written or oral agreement to retain the services, for a fee, of a consultant for the purposes of (A) providing counsel to a contractor, vendor, consultant or other entity seeking to conduct, or conducting, business with the State, (B)

contacting, whether in writing or orally, any executive, judicial, or administrative office of the state, including any department, institution, bureau, board, commission, authority, official or employee for the purpose of solicitation,

dispute resolution, introduction or requests for information or (C) any other similar activity related to such contract. “Consulting agreement” does not include any agreements entered into with a consultant who is registered under the

provisions of Chapter 10 of the Connecticut General Statutes concerning the State’s Codes of Ethics, as of the date such affidavit is submitted. (2) Such affidavit shall be sworn as true to the best knowledge and belief of the person signing the

certification on the affidavit and shall be subject to the penalties of false statement. (3) Such affidavit shall include the name of the consultant, the consultant's firm, the basic terms of the consulting agreement, a brief description of the

services provided, and an indication as to whether the consultant is a former state employee or public official. If the consultant is a former state employee or public official, such affidavit shall indicate his or her former agency and the date

such employment terminated. (4) Such affidavit shall be updated no later than 30 days after the effective date of any such change contained in the most recently filed affidavit or

upon submittal of any new bid or proposal, whichever is earlier. (c) If a vendor refuses to submit the affidavit required under

subsection (b) of this section, then the state agency shall not award the Contract to such vendor and shall award the contract to the next highest ranked vendor or the next lowest responsible

qualified bidder or seek new bids or proposals. 19. Section 4-252 (the “Statute”) of the Connecticut General Statutes requires that the Invitation to Bid, of which these

Terms and Conditions are a part, include a notice of the vendor certification requirements described in the Statute. Accordingly, pursuant to the Statute, vendors are notified as follows:

(a) The terms “gift,” “quasi-public agency,” “state agency,” “large state contract,” “principals and key personnel” and “participated substantially” as used in this section shall have the meanings set forth in the Statute.

(b) No state agency or quasi-public agency shall execute a large state contract unless the state agency or quasi-public agency obtains the written certifications described in this section. Each such certification shall be sworn as true to the best knowledge

and belief of the person signing the certification, subject to the penalties of false statement. (c) Any principal or key personnel of the person, firm or corporation submitting a bid or proposal for a large State

contract shall certify on such forms as the State shall provide: (1) That no gifts were made by (A) such person, firm, corporation, (B) any principals and key personnel of the person, firm or corporation, who participates substantially in preparing

bids, proposals or negotiated State contracts, or (C) any agent of such person, firm, corporation or principals and key personnel, who participate substantially in preparing bids, proposals or negotiating state contracts, to (i) any public official or state

employee of the state agency or quasi-public agency soliciting bids or proposals for state contracts, who participates substantially in the preparation of bid solicitations or requests for proposals for state contracts or the negotiation or award of

state contracts, or (ii) any public official or state employee of any other state agency, who has supervisory or appointing authority over such state agency or quasi-public agency; (2) That no such principals and key personnel of the person,

firm or corporation, or agent of such person, firm or corporation or principals and key personnel, knows of any action by the person, firm or corporation to circumvent such prohibition on gifts by providing for any other principals and key personnel,

official, employee or agent of the person, firm or corporation to provide a gift to any such public official or state employee; and (3) That the person, firm or corporation is submitting bids or proposals without fraud or collusion with any person.

(d) Any bidder or proposer that does not make the certification required under this section shall be disqualified and the state agency or quasi-public agency shall award the contract to the next highest ranked proposer or the next lowest responsible

qualified bidder or seek new bids or proposals. (e) Each state agency and quasi-public agency shall include in the bid specifications or request for proposals for a large state

contract a notice of the certification requirement of this section. 20. The existence of the contract shall be determined in accordance with the requirements set forth above. However, the

award of the contract is not an order to ship. Contractors may not begin to perform under the awarded contract until the Contractor and the State have executed the contract and

21. With regard to a State contract as defined in Section 9-612 of the Connecticut General Statutes having a value in a

calendar year of $50,000 or more or a combination or series of such agreements or contracts having a value of $100,000 or more, the authorized signatory to this submission in response to the State's solicitation expressly acknowledges receipt of

the State Elections Enforcement Commission's notice advising prospective state contractors of state campaign contribution and solicitation prohibitions, and will inform its principals of the contents of the notice. See Contract Exhibit C.

22. Public Act 11-55 and Public Act 11-229 have amended the nondiscrimination provisions of the Connecticut General

Statutes to add gender identity or expression to the existing protected classes and to require State contractors to adopt policies in support of the new statutes by means of an affidavit

or resolution. Accordingly, attached as Form NDC is a form certification that the successful contractor must deliver executed at the time that it executes the Contract. The execution and submittal of this affidavit or resolution is a

condition precedent to the State’s executing the Contract, unless the contractor is exempt from this statutory requirement, in which case the contractor must obtain a written waiver from the State’s Commission on Human Rights and

Opportunities.
