PROCLAMATION FOR NATIONAL BREAST CANCER AWARENESS MONTH
WHEREAS, While considerableprogresshas beenmadein the fight againstbreast cancer, it remainsthemost frequently diagnosedtypeof non skin cancerand the secondleading causeofcancerdeathsamongwomenin ourcounty; and
WHEREAS, Unfortunately, many ofus know someoneor have family memberswho have or have hadcancer; and
WHEREAS, Thanks to earlier detectionandbetter treatments, mortality rates for breast cancerhavesteadily decreasedin the last decade;and
WHEREAS, Knowing what maycontribute to breastcancer, symptoms,diagnosisandtreatment areimportant parts of its prevention; and
WHEREAS, Having affordable accessto screeningsandearly detectionfor all womenis an essentialcomponentin the fight againstbreastcancer; and
WHEREAS, During National Breast CancerAwarenessMonth, we stand with ourmothers, daughters,sistersand friends andwe recognizeall who havejoined their loved onesin fighting their baffle as well astheadvocates,researchers,and health careproviders whosecareand hard work giveshopeto thoseliving withbreast cancer; and
WHEREAS, By educating ourselvesand supporting innovative research,wewill improve thequality oflife for all Americansaffectedby breast cancerand, one day, defeat this terrible disease.

RESOLUTIONS:
A. A resolution to budget the $2,115 in insurancereimbursement for the repair ofa Sheriff’s Department vehicle for the fiscal year ending June 2018. A motionwas made by Commissioner Tucker to sponsor Resolution A. CommissionerPeters second the motion. Motion passed.
B. A resolution to budget $2,309 in revenue received from confiscated propertyfor the Sheriffs Department for the fiscal year ending June 30, 2018. A motionwas made by Commissioner Peters to approve Resolution B. CommissionerMcAmis second the motion. Motion passed.

September 6th, 2017Greene County Annex Conference Room, Greeneville, Tennessee
C. A resolution to transfer $45,000 in restricted funds committed for Public SafetyCapital Outlay to the Sheriffs Department for purchase of equipment for FYEJune 30, 2018. A motion was made by Commissioner Tucker to sponsorResolution C. Commissioner Peters second the motion. Motion passed.
D. A resolution to of the Greene County Legislative Body authorizing the GreeneCounty Mayor to submit an application for the FY 2018 used oil grant. SolidWaste Director Jim Greene stated that this grant was to provide funding for anoil and antifreeze storage tank with a spill pan within a covered shed structure.The total cost would be $9500. A motion was made by Commissioner Peters tosponsor Resolution 13. Commissioner Tucker second the motion. Motionpassed.

CALL TO ORDER:Mayor Cairn called meeting to order at 8:30 A.M. in the conference room at the Greene County Annex.
MINUTES:Motion was made by Commissioner Waddle and was seconded by Roger Woolsey to approve the minutesfrom the August 22, 2017 meeting. Commissioner Tucker abstained, motion was then approved with noopposition.
REPORTS:Danny went over the Funds 121 and 264 financials for the month of August 2017. Motion to approve thereports was given by RogerWoolsey and was seconded by David Weems, motion was then approved with noOpposition.
DISCUSSION:Patti spoke to the committee about having a health fair to include a dietician and physical therapist in theconference room and possibly going to some Departments like Health, Highway and Sheriff. Flu vaccinesshould be in next week and Patti suggested they could bring in two nurses to go onsite to some departments toadminister the flu shot and do a flu clinic to set up morning and afternoon hours to get the majority ofemployees and spouses vaccinated. The flu vaccine will also be available at the clinic. Call and walk inappointments are available with the clinic. Heather Olson is signed up to receive her DOT certification, whileshe is in class and testing Ted Fox will be filling in as the NP at the clinic.Chris Poynter advised the clinic that they are keeping a close eye on the higher priced medications. Pharmacyis the real cost in insurance. For the higher priced medications: some plans have strict limits for those drugs,and to make sure it is the proper diagnosis, best cost, best site of care and the drug is what truly needs to beprescribed. Chris also advised the committee that out of all the plans he has only found 1 municipality coveringthe Bariatric surgery with restrictions and they have around two thousand employees in the state of TN.Medicare does cover the Bariatric surgery. There are significant complications on the back end of this surgeryand there are less evasive ways to get weight loss. The committee chose not to include Bariatric surgery in thecounty’s health benefit package.Calvin Hawkins asked if the clinic could to the random drug screens that are required by the state ofTennessee for EMS. Erin will be meeting with Patti, David Weems, Jim Greene, Sherriff Hankins and Calvin toget something worked up for DOT random and regular random drug screens, which panel to be used. Rogerwill then review. Calvin asked if the clinic could do the instant random screen and if it came back positive thenthe test be sent to an independent lab and a MRO will review results. DOT random drug screens will not be

accepted if they are done by an instant drug screen and are safety sensitive. Breath analyzer machine isaround $1,758.00 and training to be certified is around $1,147.00 for a total of $2905.00 to certify the clinicstaff. Solid Waste and Highway DOT are in a random pull at Industrial Care. To do the DOT random drugscreen the clinic will have to be certified. First screen will be absorbed by the clinic if it has to be sent off to theindependent lab the department will pay. Employee must be on the insurance to get random from the clinic.Breath alcohol is $20.00 per test, Random drug depending on panel ranges from $22.00 to $35.00

MINUTES: Lyle Parton made motion to accept with Eddie Jennings second. Motion approved toaccept minutes.
DISCUSSION: Mr. Robert Ball previously bid on Greenwood Drive. He is to be asked to pay forthe appraisal and to contact State of Tennessee to see if they will accept the amount he bid forproperty.
Tim Ragon bid $1200 on the Spencer Street property. Motion by Jason Cobble to accept, secondby Eddie Jennings. Bid approved.
Property on Old Mountain Road was also bid on by Tim Ragon. He bid $1000. Motion by EddieJennings to accept and second by Lyle Patton. Bid approved.
Tim Ragon made bid of $1500 on Upland Avenue property. Motion to accept bid by EddieJennings and second by Jason Cobble. Bid approved.
Nathan Gilliam made bid of $150 for the property at 1015 Chuckey Hwy. Motion made by EddieJennings to accept the bid and second by Lyle Patton. Bid approved.

• Reviews the objectivesand policies for eachtype of use (residential,commercial, etc.) found in the 2009 Greene County Land Use andTransportationPolicyPlan, asit relatesto arequest.

This information is providedto the PlanningCommissionin the form ofrationaleto eitherrecommendapprovalordenialofarezoningrequest.Themotion to recommendapproval or denial of a requestnow containsreasoningbasedon thesestandards.
4. The intent of the B-2 GeneralBusinessDistrict is to createclusteredcommercial areasthat are developedarounda plan that includescontrolledaccesspoints. By its nature,this would entail internaltransportationnetworksand sharedaccessto public streets,which cannotbeplannedonepropertyatatime. For this reason,a requestto zonepropertyto B-2 should be part of azoning study to determinethe appropriatenessof zoningboth the requestedpropertyaswell asthesurroundingarea.This is true unlessthereare obviousreasonsfor rezoningjust the requestedarea,suchasthe presenceof existingcommercial developmentand/or commercial zones,or obvious reasonstorecommenddenial,suchas an inadequatetransportationnetwork or locationofa property away from concentratedresidentialor commercial developmentwherecommercialdevelopmentwould be appropriate.

It is the intentofthis district to encouragecommercialdevelopmenttoconcentrateto themutualadvantageof consumersandatthesametimeprovide for adequatespaceand sufficient depth from the street fortransactionsof the district. This district is for personaland businessservicesandgeneralretail business,and is intendedto include areaswhere commercial development has displaced or is displacingresidentialdevelopment,or is moving in on vacantlands. • All commercial developmentshould be designedin compliancewithappropriate site developmentstandards as specified in the ZoningResolutionfor thecounty.
• Commercialdevelopmentshould be approvedonly in thoseareaswhereadequateinfrastructureis availableto supportsuchdevelopment.
• Commercialdevelopmentshould be designedso asto minimize potentialnegativeimpactsto theexisting transportationsystem.
• Clustering of commercial developmentsshould be encouraged,withcontrolledentranceandexit points.
• Commercial uses which are high intensity traffic generatorsshould belocatedon majorcollectororarterialroads.
• All new commercial shoppingcentersshould be locatedon frontageoraccessroadswith controlledingressor egresspoints.
• All commercialand private servicedevelopmentsshall be provided withadequateaccessaislesandan adequatenumberof off-streetparkingspaces,asper theZoningResolutionofthe county.
• Commercialdevelopmentsshould bedesignedso asto minimize negativeimpacts to residentialdevelopmentsvia plantedbuffers and/orbermsinorderto enhancetheaestheticsandpropertyvaluesof suchdevelopments.
Options: 1. Recommendapproval,basedon thefollowing rationale:
• Locatingmini-warehousesin this areawould servean areaofthe County that doesnot appearto have any other nearbystorageoptions.
• Thepropertyprovides“adequatespaceandsufficientdepthfrom thestreetfortransactionsofthedistrict”.

• The areaappearsstableand is not in transitionfrom low densitysinglefamily use.
• Thereareno known substantialrcasonswhy thepropertycannotbeusedin accordancewith theexistingzoning.
• The requestdoesnot meet the intent of the B-2 zoneto provideconcentrationsof generalcommercialactivities that areclustered,notstrip commercialor spotcommercialzones.
• Therequestwould createa commercialzonein anareawherethereis no reasonfor a commercialdistrict, i.e., it is not the intersectionofmajorroutes(aswasDollarGeneralon Kizigsport HighwaynearRheatownRoad),thereis no denselydevelopedpopulationcenterinthe area,and the areahasn’t beenprovided with sanitarysewerservicethat would warrantcommercialdevelopment.
• The property,oncezoned,canbeusedfor anyusepermittedin theB-2 zone,includingalcoholsales.

situationswherethey mustperformquick assessmentsandhavesavedmany lives.Shestatedthat shefelt that EMS employeesdeservea good wagefor their services.
Dr. Victoria McGraththenspoke. Sheexplainedherbackgroundin human
resources.McGrathHumanResourceGroupopenedin 2000. McGrath’sprimaryfocushasbeenin municipalities. Dr. Tim McGrathhasabackgroundin fire andEMS. Shestatedthat theyhaveperformedcompensationstudiesthroughoutthe
UnitedStates,including two in Teimessee.Shestatedthat this wasan opportunity
to getan ideaofwhereto pursuethe compensationstudyandwhatoutcometheCounty Commissionandthe EMS boardis expectingfrom the compensationstudy. Sheexplainedthecurrentmethodologyin theirapproach.SheexplainedthatMcGrathhasalreadymetwith DirectorHawkins,OperationsDirectorManis, andotherEMS employeesin trying to learnwhatkind of compensationsthattheoperationcurrentlyhasandwhatservicesthatthis EMS provides. The studywillcomparesimilartype of EMS services. Shesaidthat theyweregivenseverallocalcomparableorganizationsthatprovidesimilar typesof services,andtheywill try togettheir salaryscheduleto compareminimum andmid-point andmaximumsalariesaswell as whatincumbentsareactuallyreceiving. Shestatedthey hadsevencomparableorganizationsandthathadreceiveddatafrom fourdifferentorganizations.Basedupon thepreliminarydatathathasbeenreceived,GreeneCountyEMS compensationis comingin low. Shestatedthattheywill comparetheotherorganizationsdatafor outliners suchasarevery high or very lowcompensationin attemptsto not to skewtheaveragecompensation.Shestatedthatshewould bemeetingwith theDirectorto decideon atype of scheduleshouldbein placefor employeecompensation.ShestatedthatGreeneCountywasuniqueinthe fact that therearetypically no annualincreasesin employeecompensation.Shestatedthat studywill adviseaminimum startingpayanda maximumtop outpay. Shesaid typically thereis a stepprogramwith annualraisesuntil you reachthemaximumpay. Shesaid the studywill alsoconsiderhow muchthis will costthecountyto implementthe newcompensationrates;thosemighthaveto beperformedin increments.
Dr. Tim McGrathspokeaboutthe importanceof theEMS workers.Sometimestheworking environmentis hazardousto EMS employees.He statedthathe is determinedto separatethe needsfrom the wantsin theorganization. Hepointedout that theEMS revenueis returnedto the countygeneralhind. He statedthatEMS needsmoreresources.Theyneed8 trucks. Thestatisticsshowthatthereare only seventrucksworking69 percentof the time. He statedthat the employeesare veryprofessionalandaremoraledrivenyet frustratedwith their salaries. Henotedthat oneEMS employeestartedat $8.21 whenhe washired 17yearsago.He now only makes$10.23. He notedthatmanyareworkingovertimeto haveextracompensation,but thereis a highrisk for fatiguein thatsituation. He statedthatMcGrathis comparinghow manytrucksare on the road, whatdoesthe daytruckdo, whatdoesa paramedictruckdo, etc. He notedit appearstheEMSorganizationis well managed.He notedthat thereweresomeverygoodemployeesherethat could makemoremoneyat otherorganizationssuchashomeimprovementstoreswith no education.He saidthat theemployeeshe spokewitharemoredrivenby needsinsteadofwants.
Dr. Victoria McGraththenaskedif the countyis going to be receptiveofthewagestudy. Sheaskedif the countywasgoingto be opento asalaryschedulewith steps.AttorneyWoolseynotedthat the countyperformeda salarysurveyin2004. He statedthathebelievedthatEMS salarieswere increasedmorethanothercountydepartmentsbecauseEMS salariesweremuchlower eventhenthanthatofsurroundingareaEMS organizations.He notedthat therewasa stepsalaryschedulesetin placeat thattime butwas laterremoved. CommissionerPetersaskedif theCommissionhadtheauthorityto setin placea multiple stepsalaryschedulefor future commissionerto abideto. Woolseynotedthat thenewcommissionerswill nothaveto abideto it. CommissionerPattersonnotedthatonyearswhenEMS’s revenuesoutweighEMS’s expenditures,thereis no taxmoneyspenton EMS. CommissionerPattersonnotedthatthereneedsto be lookedat theyearsin blackandyearsin red; he saidthathow couldthecommissionsaythattheycan’tafford to give EMS raiseswhen their revenuesexceedtheirexpenditures.Mayor Crumnotedthathe is concernedaboutemergencyservicesingeneralbecausethe lackof peoplegoinginto theprofession.Mayor Crumstatedthathe was concernedaboutmaintainingour EMS servicefor thecitizens. HenotedthatWalter Statewasunableto startan EMT classheredueto lackofinterest. He notedthe lack ofmotivationin the emergencyservicesfield becauseofthe lack ofcompensationthusmakingindividuals unableto providefor theirfamilies. He is concernedover theability to staffemergencyservicesin the future.AldermanPaxtonsuggestedmaybeprovidinga bonuslater in theyear. He notedthat someof the EMSworkersleft to go work in the GreenevilleCity FireDepartmentfor a coupledollarsmoreon thehour. He wasconcernedtoo aboutwhat if thecountywasto chooseto go to aprivate ambulanceservicebecauseaprivateservicecanchargesignificatemorethana governmentambulanceservice.He notedthatsomeEMS employeeshadleft GreeneCountyEMS to makemoremoneyat otherEMS services.CommissionerPattersonnotedthat$400,000is a4-centincreaseto propertytaxpayers.
Dr. Tim McGrathnoteda compensationplan is betterthanabonusbecauseit increasedmotivationin theemployees.Henotedthatemployeesthathe hadspokenwith statedthat theycouldgo to otheragenciesfor oneto two dollars moreperhour. He statedthathe askedthem why didn’t theygo to theseotherEMSagenciesto which theyrepliedthatbecauseGreeneCountywastheirhome. Dr.Victoria McGrathnotedthatotherareaagenciesareoffering competitivewages,longevitybonusesafterthreeyears,hiring bonusesin effortsto attractpeople. ShesaidthattheEMS serviceneedsto look at wherecan theyrecruit employees,howareyou goingto attractandretainpeople,etc. ShenotedtheEMS field is everychanging. Shesaidthatshetriesto balancewhat is physically responsiblefor theagencybutwhat is fair for the employees.As Commissionersyou choseto serve
yourcommunityandproviderservicesto your community. This donebycompensationto employeesfor the servicesprovidedandthrutheir skills,knowledge,andabilitiesof the employees. If you wantto providethe servicethenyou haveto pay for it, but if you don’t wantto payfor it thendon’t providetheservice. CommissionerQuillen notedthat it wastimefor the commissionerstotakeaction. CommissionerTuckerinquiredif the comparablearefrom the localarea.Dr. McGrathnotedthatyesthe datacollectedwould be from regionalarea.CommissionerTuckernotedthat thecommissionseestheneedfor services,but thepublic only seestheneedsfor servicesthat areimportantto them. CommissionerTuckerinquiredaboutif EMS is unableto performatransport,who thenperformsthetransport. EMS secretaryBowersexplainedthattypically anotheragencywillstepin or the trip might becancelledorrescheduled. AdministratorAlbrightnotedthatwhen EMS is down in truckson the roadthis causesdelaysin patientsbeingtransportedto higherlevel of carefacilities or dischargesbackto nursinghomes.AdministratorWhitfield commendedEMS becauseLaughlinhadnotreally seenany delaysin transports.Whitfield alsoaskedthe commissionerstohelp theemployeeswith thesalarysituation. CommissionerJenningswould like toseeEMS havea reservefund established. CommissionerPetersnotedhe wouldhavelike to knownwhat otherlocal EMS agencieswerepayingtheir employees.OperationsDirectorManis statedthat otheragencieswill notbe truthful indisclosingtheir salarieswhenEMS agenciesinquire. Dr. McGrathnotedthattheyhavewaysobtainingthis information. CommissionerPetersaskedabouttheemployeeswork schedule.OperationsDirectorManis notedthattheemployeeswork2880 hoursayearwith no extrashifts. CommissionerPattersoncommentedon thephysically toil on the EMS workers. He notedthat if a county employeeworks for 30 yearsthat employeewill draw49 percentbasedupon their 5 highestsalaryyears,but for eachyearlessthan30 yearsthe employeeloses1.5 percent.Dr. McGrathnotedthatthereis no extracompensationfor a rankedpositionatEMS. OperationsDirectorManis statedthatLieutenantsreceiveno extrapayforthepositionandCaptainsreceivedjust a little extracompensationfor theposition.In addition,Captainsarenowresponsiblefor themedicalexaminer/ coronerworkandmustoverseetheiremployeesanddayto day operationsof thatshift. Dr. TimMcGrathstatedthat thecommissionneedsto take it from a statisticalapproach.How muchmoneyarewe losing whenwe don’t havethemanpowerto providethetransport?AdministratorAlbright statedthat responsetimesneedto be consideredaswell becausetime is significatewith strokes,heartattacks,etc. AldermanPaxtonsuggestedlookingat waysto enhanceinterestin the EMS field. CommissionerPetersinquiredif the studywould makerecommendationsof shift schedules.Dr.McGrathstatedthat the studywill alsomakerecommendationsof a work cycle andhealthbenefitsin additionto compensation.CommissionerNeasaskedwho sets
thechargesfor transports.SecretaryBowersnotedthattheEMS boardsetsthechargesrates. CommissionerNeasnotedthatthecommissionersneedto bewillingto providethemoneyto EMS for themto operate.CommissionerPattersonnotedthatno tax dollarsare beingputinto EMS services. CommissionerTuckerinquiredwho waspayingfor thewagestudyandthecostof the study. DirectorHawkinsinformedhim thatEMSpaid for this from lastfiscal yearfundsandthecostwas$12,500. He alsonotedthatmanypeoplelook at theannualsalarybutfail to considertheamountofhoursthattheemployeeworksperyear.AdministratorAlbright suggestedlookingat the safetyconcernedof anemployeethathashadno restin a 24 hourshift. Dr. McGrathnotedthat the resultsshouldbein within 2 to 3 months.

a. Manis ExcavatingLLC continueswork on theutility lateralconnectconstruction
for theMed TransFacility. During thework, theydiscovereda waterline that
wasn’t in current drawings. Manis is re-routingthewaterline to go aroundthe
Med-Transproject. Although this will requirea changeorder,it shouldbe
doablewith little or no increasein cost.Ms. Susongaskedthat there-routing
work be invoicedseparatelyfor accountingpurposes.b. TheGGCAA wasnotified recentlyof increasedwaterusagethat could meana
waterleaksomewhere.Severalpeoplehavesearchedthe area.The metersat theForwardAir Building andhangarsappearnormal. Theymayhavefoundtwosmall leakselsewhere.However,thereappearsto bemorewatermovingthroughthe groundfrom anasyetundiscoveredsource,possiblyfrom outsidethe Airport boundaries.Investigationcontinues. No word yet on themaintenancegrantrequestapprovedinJune.
c. Ms. Maloneencouragedeveryoneto communicatewith StateandFederalelected
officials to underscoretheheavynegativeimpacton GeneralAviation if the
Tennesseewereto approvetheproposedaviationfuel tax capfor majorairlines
(in this caseSouthwestAirlines.) All FederalandStategrantfundsfor
improvementsand repairscomefrom thesecollections.

Matching GrantThe Tourism Department has been awarded a $12,000 matching grant from the TNDepartment of Tourist Development. This reimbursable grant will assist Tourism inadvertising and promotion as well as brochure distribution and tradeshow and travelcosts. The Department of Tourist Development received 13 more applications this yearover any other year. TDTD also released tourism expenditure numbers for the year2016. Tourist spending in Greene County is at an all-time high of $87.09 Million withstate tax receipts at $5.46M and local tax receipts totaling $2.37M.

movesthis Court (1) to enter an order temporarily enjoining the Petitionerand her counsel
Matthew Grossmanfrom having any further direct contactwith the Defendantandlor directly
with the GreeneCounty Commission(“the Commission”) about the subjectmatter of this
litigation during thependencyof this litigation, and(2) for an order finding thePetitionerand
Attorney Grossmanliable for civil contemptand imposingmonetarysanctionsfor same.
1. On July 27, 2017, the Petitioner,Kay Armstrong, and her counsel,Attorney
Matthew Grossman,sent a letter (“the letter”) to the attorney for Greene County, Roger
Woolsey, demandingsettlementprior to filing thepetition at issuein thecaseat bar. Thereafter
on August 21, 2017, the undersignedwas retainedby the GreeneCounty Commissionto

representthe county’s interestsin this pendinglitigation as the GreeneCounty Attorney Pro
TemporebecauseMr. Woolseyhasa conflict of interestbarring him from representingthe
county/the Defendantin this matter) The undersigned’srepresentationof GreeneCounty
matterof public record,attachedheretoas Exhibit A. The only attorneyof recordrepresenting
theDefendantand the County,including theCommission,in thiscaseis theundersigned.
2. On or about September18, 2017, the Greene County Commissionheld its
monthly legislativemeeting. Prior to that meeting,Petitionerwhile in a conversationaboutan
unrelatedmatterwith aCommissioner,told thatCommissioner(apersonrepresentedby counsel
in this matter) that she wantedher attorneyto appearbefore the Commissionto speakto the
Commissionabout thependinglitigation. Thereafter,Attorney Grossmandid in fact appearat
the Commissionmeeting, with Petitioner in attendance, The Defendant, Mayor Crum, was
presentas well as the county’s various Commissioners. The undersignedcounselwas
presentfor themeeting,nor consentedto the same,nor did opposingcounselevernoti~’counsel
ofrecordof thesame.
Attorney Grossmantook the podium whereby he communicatedwith all present
including the Commissionand/orthe Defendantabout the subject matter of this litigation.
Immediately after Mr. Grossmantook the podium, the Defendanthimself statedon the record
that both he and the Commissionwere representedby the undersignedcounsel. Regardless,
after being informed of the Commission and the Defendant’srepresentation by counsel(of
which Attorney Grossmanwas actually or shouldhavealreadybeenawareat this point in the
‘The Mayor is thestatutorydefendanton behalfof GreeneCounty/theCommissioners.Tenn.CodeAnn. § 8-20-102. ThismatterarisesbecauseGreeneCounty,throughits Commissioners,approveda budgetwhich didnotincludethe increasedfundingandstaffingfor whichthe Petitionernowsues. Petitionerfiled suiton August10,2017. TheAnswertothe Petition wasfiled in this matteron oraboutAugust28,2017. Among otherdefenses,theAnswerassertsthat Petitioneris notdevotingherentireworking time to theoffice nor with dueattendanceto heroffice, andthe requestedstaffing/fundingis notnecessary.

litigation, given public record, appearanceof counseland actual conversationswith counsel),
AttorneyGrossmanproceededanywayandtenderedthealreadyrejectedJuly 27th letter (Exhibit
B) on behalfofthePetitionerdirectly to eachmemberthecommissionandtheDefendant. The
undersignedcounseldid notconsentto this communicationwith her clients. A copyofan article
from the GreenevilleSundetailing this eventis attachedas Exhibit C, anda recordingof this
meetingwill be late-filed asExhibit D. (Exhibit D clearly demonstratesMayor Crum stating
“...l want you to understandthat the Commission has retained counsel and it would be
inappropriate...and... we cannothavecommunicationswith you.”) Thus,despitepublic notice
of representationandMayor Crum warning Attorney Grossman,he proceededto communicate
with representedparty/person(s).
3. No LEGITIMATE PURPOSE was served by Petitioner facilitating Attorney
Grossman’sappearanceat the September18, 2017meeting,NOR WAS TRERE ANYLEGITIMATE
PIJRI’osE for Attorney Grossman’s improper appearanceat the meeting, let alone his
unconsentedcommunicationto/with a representedparty/person(s).In fact, theappearanceand
communicationis duplicitousanda publicity stunt. This matteris presentlyin litigation and
will follow therulesofprocedure,discovery,andevidencethat applyto litigatedmatters.
Not only did Attorney Grossmah inappropriately appear and communicate with
persons/partiesrepresentedby counsel,he also improperly communicatedan alreadydeclined
and inadmissible settlement offer, in the presence of the media. One could argue that this
improper appearanceand communicationwas an ill-advised phony pre-text to pressurethe
Defendant/theCommissionoutsidethe presenceof their counsel,andoutsidethe scopeof the
rulesapplying to litigatedmattersandoutsideofresolutionby a trial court.

PerhapsPetitionerandlorAttorney Grossmanalso soughtto increasehis attorneys’fees
becausearguablythe statutemaypermit recoveryfor same(at the ultimate expenseofthe tax
payers),or perhapsthey werebothunwisely attemptingto control thenewscycleby presenting
otherwise inadmissibleevidenceto the court of public opinion? Thereis certainly no other
conceivable reason for Attorney Grossman to be present and to communicate with
persons/partiesrepresentedby counsel,nor abouta matter in litigation. The very Rules of
ProfessionalConductbehindwhich Attorney Grossmanmay now appearto justify his conduct
by erroneousslick anderrantreasoningprohibit thevery conducthe exhibited.
4. Attorney Grossman’s dubious conduct also seriously calls into questionhis
compliancewith the rules of ethics andmay be an ethical violation and therebygrounds for
contempt.In particular,Rule4.2oftheTennesseeRulesofProfessionalConductstatesthat
In representinga client, a lawyer shall not communicateaboutthesubjectoftherepresentationwith a personthe lawyer knows to be representedby anotherlawyer in the matter, unlessthe lawyer hasthe consentof the other lawyer or isauthorizedto do so by law or a courtorder.
Sup.Ct.Rules,Rule 8, RPC4.2.
This rule is not limited to onlypartieswho are representedby counsel. Rather,“This
Ruleappliesto communicationswith anypersonwho is representedby counselconcerningthe
matter to which the communicationrelates.” Comment[2] to RPC 4.2 (emphasisadded).
GreeneCounty,including its Commissioners,is representedby counselin thismatter.
Additionally, it is believedthat Attomey Grossmanwill likely errantlyarguethat he “is
authorizedto do so by law” becausethe meetingwas a public meetingand is thus perhaps
subjectto theOpenMeetingAct ofTenn.CodeAnn. § 8-44-101,et. seq. However, this
argument is without merit becauseAttorney Grossmanhad no absoluteright by law to

communicatewith the representedgovermnentalauthority. “While the Act requires all
meetingsof entities subjectto the Act be open to the public, it doesnot guaranteeall
citizensther&ht to participatein themeetings.” Souderv. HealthPartners,Inc., 997 S.W.2d
140, 150 (Tenn. Ct. App. 1998);~ççWhjttemorev. BrentwoodPlanningComm’n, 835 S.W.2d
11 (Tenn. Ct. App. 1992)(“However, it doesnot give citizenstheright to participateactively in
all public meetingsnor doesit requirepublic officials to departfrom their agendaor to interrupt
their businessto accommodatethe public’s demandsto be heard.”). Furthermore,Attorney
Grossmancannotclaim thatby speakingto theCommissionandthe Mayor andhandingout the
alreadyrejectedandinadmissibleJuly 27th letterhe was not communicatingwith a represented
personor party. GreeneCounty through its Mayor and Commissionare representedby the
undersigned. As soonas the Defendantnotified Attorney Grossmanthat “~y~[the Commission
and the Mayor] are representedby counsel,” prudentethical practice would suggestthat no
furthercommunicationshouldtranspire.
A lawyer employedor retainedby an organizationrepresentsthe organizationactingthrough its duly authorizedconstituents.
Sup.Ct.Rules,Rule8, RPC 1.13(a).
This rule appliesequally to governmentorganizationsandassociations.Comment[8] to
RPC 1.13, AttorneyGrossmanalreadypresentedthe letter to theCommissionpre-litigation and
alreadypresentedthe termsofsettlementto theundersignedcounsel. Therewaszerolegitimate
nor authorizedreasonto presentthe sameletter to the Commissionfor a third time. Despite
Attorney Grossman’serrantefforts to cloakhis misconductin theveil of public meetinglaws, it
is abundantlyclearthat Attorney Grossman’spublicity stuntservedonly to generateharassment
andpressureon theCommissionandDefendantMayorwhopresidedoverthemeeting.

Moreover,Attorney Grossmanmadeextrajudicialcommunicationsarguablyin orderto
influencethenews. Rule3.6 states
A lawyer who is participatingor has participated in the investigationor litigation of amatter shall not makean extrajudicial statementthat the lawyer knows or reasonablyshouldknow will be disseminatedby meansof public communicationand will haveasubstantiallikelihoodof materiallyprejudicingan adjudicativeproceedingin the matter.
Suy.Ct.Rules,Rule8, RPC3.6(a).
Themediais presentat the Commissionmeetings.Petitionerhasalreadyherselfgiven an
interview to the mediathat waspublished. Petitioner,as a lawyer,andAttorney Grossmanhave
been making extrajudicial public communicationsin this matter, eachof which have been
disseminatedto andin thepresenceof the media.
5. Similarly, Petitioner’s conductshould also be called into questionbasedon the
fact that sheis a licensed (and active) attorneyin the Stateof Tennessee,as evidencedby her
pleadingswheresheexpresslypoints out the fact that sheis a licensedattorney,and shecalled
attentionto that fact by denoting“J.D.” afterher name. Becausesheis amemberofthebar, the
Rulesof ProfessionalConductapplyequallyto her. According to suchrules,
It is professionalmisconduct[i.e. unethical]to.. .violateor attemptto violate theRulesofProfessionalConduct,knowin2ly assistor induceanotherto do so...
Sup. Ct. Rules,Rule8, RPC8.4(a).
Petitioner aided Attorney Grossman in what may be unethical conduct by
facilitating communicationswith a Commissioner(persons/partieswho are represented
by counsel),and then having Attorney Grossmanappearbefore the Commission. It is
believedPetitioneris theone whosoughtto addAttorneyGrossmanto theagendafor the
September18, 2017 meeting. Also, if Attorney Grossman’sconductviolatedthe ethical
rules,thenPetitionerhasa duty to reporthisunethicalconduct.

A lawyer who knowsthat anotherlawyer hascommitteda violationof the Rulesof ProfessionalConductthat raises a substantialquestionas to that lawyershonesty,trustworthiness,or fitnessasa lawyer in otherrespects,shall inform theDisciplinaryCounselofthe Boardof ProfessionalResponsibility.

6. Basedon the law and argumentset forth above, the Defendantrespectfrlly
requeststhis Court ENJOINbothPetitionerandAttorneyGrossmanfrom communicatingwith the
Commissionand the Defendantabout the subjectmatter of this litigation until this litigation is
resolved. Tenn.R. Civ. P. 65.02 permitsthis Court to orderan injunction that is “binding upon
thepartiesto theaction,their officers,agentsandattorneys.” Tenn.R. Civ. P. 65.04permitsthe
entry of a temporaryinjunction by “other evidence,”which is supportedhereby Exhibits A — D.
If Petitionerand Attorney Grossman’sinterferencein the attorney client relationship
continues,the County/Commissioners/Defendantwill suffer irreparableand immediateinjury.
The attorneyclient-relationshipand the protectionsaffordedsame are “asbasicto our legal
systemas the right of the judiciary to regulate andoverseethe administrationof that legal
system.” Smith CountyEduc. Ass’n v. Anderson,676 S.W.2d 328, 334 (Tenn. 1994). “This
Rule [4.2] contributesto theproperfunctioningof the legal systemby protectingapersonwho
has chosento be representedby a lawyer in a matter againstpossibleoverreachingby other
lawyerswho areparticipatingin the matter,interferenceby thoselawyerswith the client-lawyer
relationship, and the uncounseleddisclosureof information relating to the representation.”
Comment[1] to RPC 4.2. Attorney Grossman’sappearanceand communicationsmacks
preciselyof overreachingandinterferencein this matter. It alsorings of ill-advisedprohibited

conductbasedin somepoorly executedattemptto pressuretheCounty/Commissioner/Mayorby
thehopeofgiving someperceivedadvantageto themselves,all ofwhichwill orhasbackfired.
7. This Court has “the inherent authority and discretion to punish for acts of
contempt.” OutdoorManagement,LLC v. Thomas,249 S.W.3d368, 376 (Tenn.Ct. App. 2007).
PetitionerandAttorney Grossman’sconductthatmaybe in violation of RCP3.6, 4.2, 8.3 and8.4
would constitutecivil contemptof court. In particular,Attorney Grossman’scommunication
with a person(s)/partyrepresentedby counsel and other possible violations of the rules
constitutes“[t]he willful misbehaviorof any of the officers of suchcourts, in their official
transactions.” Tenn.Code.Ann. § 29-9-102(2). Also, such behaviorby both Petitionerand
AttorneyGrossmanconstitutes“[t]he willful disobedienceor resistanceofany officerofthesuch
courts,party,juror, witness,or any otherperson,to any lawful writ, process,order, rule, decree,
or coim~andof suchcourts.” Tenn.Code.Ann. § 29-9-102(3);seeStatev. Beeler387 S.W.3d
511, 523 (Tenn. 2012) (“in the contempt context, we recently reaffirmed that ‘willful
disobedienceorresistance... to any lawful writ, processorder,rule decree,or commandof [the]
courts ... entails an intentional violation of a known duty for both civil and criminal
contempt.”)(involving an attomeyconvictedof criminal contemptfor violating RPC4.2).
Basedon such behavior,this Court should limit/exclude any claim for attorneys’ fees
arising out of Attorney Grossman’sappearanceat the Commissionmeetingand subsequent
contact with representedpersons. Additionally, this Court should award the Defendant
reasonableattorneys’ fees for having to pursuethis motion againstPetitionerand Attorney
Grossman.“Regardingattomeysfees,thegeneralrule is that acourtmayaward attorney’sfees

as asanctionfor aproperlymadefinding ofcontempt.” Battlesonv. Battleson,223 S.W.3d278,
287 (Term.Ct. App. 2006).
8. It shouldbenotedthat theDefendantis not atthis time seekingcriminal contempt
againstPetitioneror Attorney Grossman,although the samecould be warranted. However,
imposingsuch criminal penaltywould be well within this Court’s right if in fact the Rulesof
ProfessionalConducthavebeenviolated. SeeStatev. Beeler387 S.W.3d511, 523 (Tenn.2012)
(involving an attorney who was found guilty of criminal contempt in the trial court for
communicatingwith representedpartiesin violationof RPC4.2).

I haveprosecutedseveralactionsby countyfeeofficersfor the employmentof additionaldeputiesand assistants.It has beenmy experiencethatcountiesusuallyretainoutsidecounseltodefendsuchactions,inasmuchasacountyattorneyhassomanybuilt-in conflictsofinterestsinrepresentingonecountyconstitutionalofficer in an action byanother. Dependingonthe levelofexpert proof required,thecombinedattorney feesbetweenpetitioneranddefendant in theseactionsranges between$150,000and$200,000.’ Avoiding thecostoflitigationwill createsavingsthatwould fully fundthepositionsMs. Armstrongseeksfor severalyears.
In sum, in aneffort to avoidlitigation, Ms. Armstrongis willing to foregothepart-timedeputythatshehasrequestedin her2017-2018budgetproposalin exchangefor funding for theoneflmll-thne deputyasshesoughtin herbudgetrequest.As discussedabove,baseduponcurrentstaffing,theactualcostis presentlysubstantiallylessthanwould otherwisebethecase,inasmuchasit will notbenecessaryto filly fundall employeemedicalbenefits,andtherewillbeno litigation expense.

Grossman told The Greeneville Sun he never received any response from Greene County to the July27 letter, a copy of which he presented to the
newspaper and also to County Clark Lou Bryant to have entered into the official record of the meeting.Among the arguments made by Grossman in the letter Is that, by accepting Armstrong’s offer and avoiding litigation and estimated attorney fees of
$150,000 to $200,000. the county would save enough to fully fund the positions Armstrong now seeks,Grossman Is associated with the law firm of Franz, McConnell & Seymour LLP.
Also present in the meeting were several representatives of the Indivisible Greene County organization, who Continued to lobby for county attention toproblems they allege regarding the US Nitrogen plant in western Greene County.
Lena Kendrick Dean, secretary ofthe group, pleaded with commissioners to familiarize themselves in a more personal and direct way with the concernsof some citizens living near the plant, which they belays Is generating pollutants causing health problems.
Dean criticized commissioners for not having made door-to-door Inquiries with residents near the ptant, as Indivisible Greene County has done.
She asked commissioners who doubt the veracity of the complaints If they are wlllftilly Ignorant’ or simply ‘misinformed.’
Erin Hensley Schultz, president of Indivisible Greene County, also spoke to the commission and voiced similar crIticisms, but focused most of hercriticism on perceived insufficient prior publicity for a meeting ofthe county Health and Safety Standards Committee that focused on the US Nitrogenissue, but which was not attended by any of the Indivisible group.
The group’s members have said they did not attend because Its advance announcement was not published in the Sun due to a communicationbreakdown within the newspaper. Advance announcement of the meeting was made by a radio station.
Schultz told the commission that, had the membership known of the meeting, ‘You could not have kept us away.” She expressed doubt the meeting metthe standards of the state’s open meetings law.
Trudy Waliack, chairman ofthe organization, criticized US Nitrogen for recently Installing an alert system to be used in cases ofaccidental reieases ofnoxious substances but not making the system accessible for residents close to the plant—Just other Industries.
“Exactly who matters here?’ she asked the commissioners, telling them that they ‘appear absent’ on the US Nitrogen Issue.
‘If you lived in this community,would you consider this reasonable?’ she asked.
Wailaok referenced a siren being installed, but US Nitrogen and other industries have put in place an alert system that uses computer software to alert
nearby industries via cellphone alerts.Wallack said that Indivisible Greens County members who have questioned residents near the plant have found them uniformly eager to talk about theirconcerns.
She noted, though, that with four volunteers making recent rounds through the area for two and a half hours, they were unable to reach more than ‘afraction’ of the residents. This, she noted, argues against the idea that county deputies could give sufficient quick community warning in case of anindustrial emergency.
She Invited any willing commissioners to Join the group In making visits wIth residents near US Nitrogen to hear their stories firsthand.
She echoed Schultz’s concerns aboutthe open meetings law, and also noted, “Self-regulation” by industries ‘should scare everyone In this room.’
Ferris Ellis, who described hImself as a student of science and a newcomer to Greene County, also spoke on behalf of the group, He said he perceives‘a lack of a search for empirical evidence.’
‘I hope that the politics surrounding environmental concems do not overwhelm our concem about the well-being of our neighbors,’ he said,
Discussion also took place of a supplemental deferred compensation retirement investment plan for county employees.
On a split vote, the commission decided not to change carriers of the supplemental, optional coverage, sticking with Nationwide, which has handled thecoverage for years.
The Tennessee Consolidated Retirement System had sought to have Greene County Join their plan, which the county insurance Committeerecommended,
Representatives of both Nationwide and TCRS attended Monda/s meeting to answer questions from commissioners.

County Mayor David Crum, who had previously expressed frustration with the ongoing committee-level debate, said he would be happy to see the
county cease to offer any supplemental plan, leaving employees free to choose their own plans in the private sector.A key sticking point In the discussion revolved around TCRS’s requirement of being the exclusive provider, meaning that a change would have forced
employees under the existing Nationwide plan to roll their investments over.Commissioner Eddie JennIngs, supported by fellow commissioner L~4eParton, said he was averse to telling employees how and where they had toinvest their own money.
In the end, only commissioners Brad Peters and Sharron Collins voted to make the change to TCRS. All others voted to remain with Nationwide.
The commission also reappointed the same committee members for the year, and Crum and Commissioner Dale Tucker were reappointed ascommission chairman and chairman pro-tem, respectively.
• Other resolutions involved approvals of small-dollarbudget matters such as accounting for routine purchases and insurance settlement receipts, allexceptfor one of which were approved unanimously That resolution, to budget $2,300 In revenue received from confiscated property for the sheriff’sdepartment, received a no vote from Commissioner Josh Arrowood.
The final commission vote was affirmation of county compliance with federal Title VI regulations and approval of a Limited English Profldency Plan tohelp Greene Countlans who lack strong English-speaking skills to be able to communicate in their interactions with county government.
All commissioners voted yes except for Jason Cobble, but he saId immediately after the meeting that he apparently had pushed the wrong button on hisvoting device.

This letter is to inform you that our office received a complaint alleging a violation of theTennesseeOpen MeetingsAct (“TOMA”). Specifically, the information receivedby our officeindicatesthata specialcommittee, which is comprisedof several county commissioners, conducteda meeting to discuss U.S. Nitrogenwithout providing notice to the public.
When this office receives a complaint regarding a possible open meetings violation, ourroutine practice is to contact the chairman of the governing body to make him or her aware that acomplaint was filed and to advise as to the requirements of Tennessee’s open meetings laws. Assuch, lam contacting your office to inform you of the concerns presented to this office about thespecial committee and to review the requirements ofthe law.
As you may be aware, TOMA provides that the formation of public policy is publicbusiness and shall not be conducted in secret. Tenn. Code Ann. § 8-44-101. Accordingly, allmeetings of governing bodies, which includes special committees made up of Greene Countycommissioners, shall be open to the public except in very limited circumstances. Tenn. Code Ann.§ 8-44-102. Meetings of a governing body under TOMA include the discussion or deliberation ofany public business between two or more members of a governing body. TOMA also requiresgoverning bodies to provide adequatepublic notice ofboth regularly scheduled and specially calledmeetings, as well as to promptly and fully prepare minutes for each meeting. Tenn. Code Ann. §~
8-44-103 & 8-44-104.
Any action taken by a governing body not held in accordance with TOMA is void. Agoverning body may properly ratifS’ such action by subjecting the action to new and substantialconsideration during an open public meeting. However, courts have still found violations andimposed sanctions even where a governing body properly ratifies actions taken outside an openpublic meeting. I would recommend consulting with your county attorney regarding the foregoingallegations, as TOMA allows citizens to file a lawsuit whenthey believe an open meetings violationhas occurred. If a lawsuit is filed, a court will determine whether there was a violation based uponthe facts presented to the court. Should the court determine a violation occurred, it can issueinjunctions against the members of the governing body and the governing body would be subjectto the court’s supervision for a year from the date of the entry ofjudgment.

October2,2017concerninga meeting of our Greene County Health and Safety Standards Board.The Healthand Safety StandardsBoardis a standing committee of Greene County
Government(countylegislativebody) composed of duly elected County Commissioners whoalso serve on the Greene County Legislative Body. That committee is appointed as are mostothercommitteesby the County Mayor with the approval by the Greene County LegislativeBody. That committeeis charged with primarily reviewing issues that affects the health andsafety of Greene County citizens and in some instances in making recommendations to the fullcommissionon issues affecting health and safety of our citizens.
In responseto your letterof September27, 2017 that specialcommitteethat is referredtois in fact the Health and Safety Standards Board which has been previously stated is a standingcommitteeof Greene County Government. It is also a correct statement that part of theresponsibilityof that committee was to look at, review and discuss issues related to citizencomplaintsaboutUS Nitrogen.
However,it is incorrectthat that meeting was held without notice to the general public.
The true factsarethat GreeneCountydid in fact provide notice to the general public ofthis meeting. Notice of the meetings for all committees are provided to the media at the sametimethat individual commissionersand other members of the various committees receive noticeof the meeting. This meeting thatresultedin this compliant to your office was likewise open tothepublic and notice of the meetingwas provided to the media. Creene County is served byprincipallythrceradiostationsWGRV, WIKQ, andWSMG. A representativefor the radiostations, Reid Seals acknowledged that he received the notice of this meeting and that the radio

Thenewspapergenerallydoesagreatjob in providing thepublic with notice of countycommissionmeetingsaswell ascommitteemeetingsconductedfor thebenefitof countygovernment.CammeronJudd,a reporterfor thepaperalsoacknowledgedthat theGreenevilleSun receivedtimely notice of themeeting,but for someunexplainedreasondid notpublishinformationconcerningthemeetingashasbeenconsistentlytheGreenevilleSun’spracticein thepast.Needlessto say,by providing informationof themeetingto themediain a timely mannerdemonstratedGreeneCounty’scompliancewith theOpenMeetingsAct.
Additionally, theCountyCommissionat its August21,2017 meetinghadreferredquestionsand issuesconcerningUS Nitrogen andotherindustriestj this Healthand SafetyStandardsBoardcommitteefor investigationanddiscussionattheirSeptember6, 2017meeting.Thatfact was publicizedin thenewspaperandon theradio. TheMayor’s office alsokeepsacalendarof all committeemeetingsthat is availableto thecitizensby email or fax upon requestor by walk-in request.
Eachcommitteemaintainsminutesof its meetingwhich are preparedby the secretaryand/orthe presidentandwhich are presentedto thecommitteeat its nextscheduledmeetingforapproval. Thoseminutesare maintainedby the CountyMayor’s office andarein fact includedin the CountyCommissionpacketsentto eachcounty commissionerandto themedia10 daysbeforeeachcounty commissionmeeting.
