Black Water Consulting Engineers (Black Water) sincerely appreciates the opportunity to submit our Proposal and Statement of Qualifications to the Murphys Sanitary District (District) for District Engineer services. We have responded to each point identified in the RFP to demonstrate our interest and ability to work with District operations and administrative staff, and to represent the interests of the rate payers in planning and preserving the Districts critical wastewater infrastructure. It is our goal to establish and maintain a long term relationship with the District where the individual strengths of our team members make a valuable contribution. You will see that we have the experience and resources to provide the highest level of service to the District. We have reviewed the typical scope of services described in the RFP and are confident that our firm offers the following benefits that qualify us as a perfect fit for providing district engineering services.

1. Our professionals are experts in water and wastewater engineering, period. While the field of

civil engineering has many facets, we stick to what we know and enjoy, regardless of economic trends or opportunities in related markets.

2. A dedicated project team that understands that successful projects can be correlated directly with the experience and time availability of the Project Manager. We have committed Jeff Black as the District Engineer with Alison Furuya and Aja Verburg as technical leads for wastewater treatment and collections respectively. This team brings years of analysis, planning, design, operations, and construction experience to the District.

3. Black Water is a flexible and focused firm. Our company culture and structure lends itself to

teaming with our clients. By many of our clients we are considered an “extension of staff”. We consider it an “extension of trust” to work together in the best interest of our clients and the communities they serve.

Section 2 – Executive Summary

Black Water Consulting Engineers, Inc. is a California small business. We provide professional engineering, consulting, and construction management services for water, wastewater, and drainage utilities in California. The Company was formed in 2012 and is comprised of talented professionals who love what they do. We endeavor to maintain an outstanding reputation for delivering responsive service, technical expertise, and value to our clients.

Our staff consists of experts in the planning and design of wastewater collection, conveyance, and treatment works; water supply, treatment, and distribution systems; and hydraulic analysis. We continually participate in the design and review of relevant infrastructure projects in order to maintain a sound knowledge base of current design standards and construction methods. We have a solid track record in regulatory compliance, permitting, and reporting requirements for the water industry.

We understand that the role of a district engineer is more than just a consultant. It requires an approach that reflects the highest interest of the staff and rate payers; an understanding of the district’s history, near-term interests, and long-term goals; the availability of a consistent point of contact; and technical expertise in wastewater collections and treatment, regulatory requirements, and project planning and financing. You will see from your review of the following sections of our proposal that

Black Water Consulting meets these requirements and is enthusiastic about the opportunity to work with MSD as their District Engineer. Section 3 – Approach

As a rule, our approach is to develop lasting partnerships with our clients in a way that makes us an extension of their staff. This approach requires us to understand the underlying objectives and goals of our clients and then to act in their best interest. In doing so we earn the trust that allows us to become part of their team. Key elements of our approach include:

Providing a consistent point of contact. Black Water is committed to providing the MSD with a consistent point of contact in Jeff Black. This allows District staff to be assured that information, directives, and developments that are a normal part of the interaction process will not slip through the cracks. That being said, District staff is always welcome to directly contact any member of our team that is familiar with and actively working on a specific task. As a small firm, our internal process includes weekly project status meetings where we discuss, in depth, the status and needs of our clients so we can allocate resources and set schedules to meet those needs.

Regular communication of expectations, schedules, and budgets. Our approach is to consistently reach out to the District to communicate the status of our work. Most commonly this is done monthly with invoicing. However, we have found it to be most beneficial to have more frequent telephone calls to discuss specific tasks and assignments. As a general rule, we do not charge time or invoice for this type of administrative correspondence, only for correspondence that is directly related to the completion of a specific task.

Staying current with industry standards, trends, costs, and regulations. While many engineering firms offer a wide range of general civil services, Black Water is committed to focusing on only water and wastewater, period. This is the type of work that we are experienced in and love to do. Our engineers are active in professional organizations including attendance at training and industry conferences each year to stay current with trends and developments in the field of wastewater collections and treatment, funding, asset management, and planning. Not only does this provide us with valuable professional development opportunities, we actively apply our expertise and experience in the best interest of our clients.

Working closely with operations staff. Through our years of experience work with wastewater professionals we have come to understand that there is no substitute for hands-on experience. While our training and experience with a variety of systems provides a solid foundation to support evaluations and complex design problems, we rely heavily on the input and experience of the operators and maintenance staff who have specific knowledge and experience with their systems. When engineers and operations staff communicate and cooperate, the best solutions and recommendations are developed and implemented.

Section 4 – Availability

As emphasized in our approach, in order to efficiently function as your District Engineer it is crucial that we are positioned to be available and responsive. It is well documented in our industry that there is a direct relationship between the time it takes to complete a job and the cost to do so. As part of the staff, the istrict engineer is obligated to provide timely and responsive service to the district in order to keep costs down. We are committed to providing an experienced engineer and technical staff to recognize and respond to the needs of the District in a timely and efficient manner. In the ongoing capacity of District Engineer, Black Water will commit to providing our key staff to meet this obligation at the following availabilities.

In actuality, the need for our services will likely be much less than these percentages most of the time. However, when the needs of the District require it, we are committed to this level of service at a minimum. If need be, we can provide a much higher commitment in order to meet a deadline or respond to a critical need. In addition to the individuals shown in Figure 1, Black Water has additional technical support staff to assist as needed. Detailed resumes for team members are provided at the end of this proposal.

Section 5 – Understanding of Need

In our experience, a district engineer is more than just a consultant; he/she is a member of a team that works with operations, maintenance, and administrative staff and board directors to serve the interest of the rate payers within the district boundaries. As a member of the team, it is crucial that the district engineer be a team player as well as be technically competent and capable of providing the services required in a timely and efficient manner. If we are selected as the District Engineer for the MSD we will commit to providing the level of service expected by the District with professionalism and integrity that reflects the standards of the MSD.

As you will see from our proposal, our staff has many years of experience working in the capacity of district engineer, and in some cases for districts that are very similar in size, structure and location as MSD. Examples include Jamestown Sanitary District, Tuolumne City Sanitary District, and Santa Nella County Water District. As the district engineer for several small rural communities, we understand that the community consists of longtime residents and business owners, and we and are sensitive to considering community input and providing public outreach related to district activities and services. More information on our experience with these agencies is given in following sections of this proposal. Based on our experience, as well as our careful review of information provided in the project RFP, the MSD is looking for a district engineer to be engaged in a variety of tasks and responsibilities including design, planning, funding, agency coordination and compliance, reporting, outreach, and construction management. We have a solid background in all of these areas and in special circumstances where specialty work is necessary such as survey, electrical, or environmental consulting, we have trusted colleagues that we can call upon to assist the district as needed. We have carefully reviewed the sample scope of work provided in the RFP and state that we are experienced in all of those duties listed and more.

Black Water has been providing district engineering services since day one of our business, and Jeff Black has been providing district engineering services for sewer and community services districts since 1998. His experience working with districts includes a wide array of projects and responsibilities that allow him and his staff to deliver a high level of understanding and service to his clients. Section 8 – Invoice Submittals

Black Water utilizes Bill Quick time tracking and invoicing software which offers a lot of flexibility for tracking, reporting, and invoicing projects and individual tasks within projects. Typically an invoice identifies, the project name, project number, task, date of services, employee, descriptions of services, hours, rate, and total. If more or less information is desired the invoice template is easily customizable. A sample invoice is provided on the following page.

In the role of district engineer, our billing policy is to charge and invoice only for time and materials that are directly attributable to a task or approved project. Examples include plan checking, preparation of plans and specifications, development of standards, agency correspondence, reporting, calculations, inspections, etc. We do not charge for administrative correspondence such as telephone calls, faxes, emails, or other district correspondence unless it is directly attributable to a budgeted project. On occasions where we are requested to attend board meetings, regular time is charged and travel reimbursement is typically charged for one-way only.

Jamestown Sanitary District – Headworks Improvements, Jamestown, CA. Prepared the plans, specifications and contract documents for bidding and construction of new flow monitoring, screening, and solids washing and compacting equipment. City of Riverbank – Vactor Dump Station – Project manager and design engineer for the City of Riverbank Wastewater Treatment Plant Vactor Dump Station Project. The design of the new dump station included primary screening equipment, settling basin, and pumping equipment. Careful consideration was required to protect an existing treatment lagoon located adjacent to the new dump station. The project also include modification of the headworks influent channel providing 100% flow diversion capability to allow the existing headworks screenings equipment to be maintained. Pinecrest Permittees Association – Pinecrest, CA. Project manager and design engineer for the Pinecrest WWTP Headworks Upgrades Project. Conducted treatment capacity evaluation for the existing headworks and prepared plans, specifications, and contract documents for a new headworks facility. The design included modifications to the influent channel to improve flow metering capability, specifying new screening equipment consisting of a spiral screen and washer/compactor, a new headworks building to house the equipment, and electrical improvements. City of Modesto – Sutter Avenue Primary Treatment Facilities Layout Plan. Jeff assisted the Prime consultant on the Facilities Layout Plan. His team was responsible for the survey and mapping of the Sutter Plant, development of a detailed utilities map for the site, evaluating the existing traffic circulation and of

options to improve accessibility and circulation, and for preparing a comprehensive photographic record of existing facilities and improvements at the site. Each of these elements was included in the final report. During the project Jeff actively participated in progress meetings with the prime consultant and City staff to report on and discuss the findings and progress of the work.

Santa Lucia Wastewater Treatment Facility – Carmel, CA. Project manager and engineer for the retrofit and conversion of a conventional trickling filter plant to a tertiary treatment facility. The design included the removal and retrofit of existing basins and plant piping for the installation of a membrane bioreactor, new aeration equipment, and improvements to the existing headworks and chlorine contact facilities. The treatment capacity of the new plant is 100,000 gpd. Diablo Grande Wastewater Recycling Facility, Stanislaus County, CA. Design and specifications for a 0.4 mgd wastewater recycling facility, comprising a secondary extended aeration plant, disinfection, pumping equipment, emergency and effluent storage, and land application disposal area. Emerald Sewer Relief Trunk - City of Modesto, CA Project Manager to evaluate the recommendation of the City’s Wastewater Master Plan and analyzed alternative alignments for a new relief trunk sewer to divert 60 percent of the flow out of the Emerald Trunk Sewer. The analysis recommended an alignment for a new sewer relief line that saved the City approximately $10 million compared to master planned project. Prepared a preliminary design report, final design, and construction documents for bidding and construction of the new sewer trunk. The PDR included an alternatives analysis, condition assessment of the existing trunk line, capacity analysis in the system. Directed the permitting, public

outreach, and utility coordination for this showcase project for the City. Emerald Sewer Relief Trunk - City of Modesto, CA Project Manager to evaluate the recommendation of the City’s Wastewater Master Plan and analyzed alternative alignments for a new relief trunk sewer to divert 60 percent of the flow out of the Emerald Trunk Sewer. The analysis recommended an alignment for a new sewer relief line that saved the City approximately $10 million compared to master planned project. Prepared a preliminary design report, final design, and construction documents for bidding and construction of the new sewer trunk. The PDR included an alternatives analysis, condition assessment of the existing trunk line, capacity analysis in the system. Directed the permitting, public outreach, and utility coordination for this showcase project for the City. Vintage Plaza Sewer Line, Stockton, CA Project Manager for professional engineering and surveying services for the design and construction staking of approximately 1,600 feet pipe bursting to replace antiquated 6” VCP pipe. The pipeline is located in Stockton along California Street and American Street running between Lafayette Street and Church Street. This area was being redeveloped and triggered the need for sewer line replacement. A topographic field survey was performed to identify existing utilities and surface features to avoid utility conflicts. Provisions were included to connect existing service connections to new line. Forrest Meadows Effluent Pumping Station and Force Main - Calaveras County, CA Project Manager for the design of a 2-mgd pumping station and 2.5 miles of force main for the Forrest Meadows Wastewater Treatment Plant. Prepared a preliminary design report with an alternatives analysis to provide recommendations for pump type, location, arrangement, and force main alignment. Atwater Dual 6-Mile Force Mains - City of Atwater, CA Project Manager for parallel 24-inch sewer force mains to convey raw wastewater to the new Atwater Regional Wastewater Treatment Plant. Work included preparation of a preliminary design report to analyze and recommend force main alignment and materials, and the final design included coordination with property owners, surge analysis for the force mains, permitting, odor control, and preparation of plans and specifications for construction. 12th Avenue Sewer Lift Station – Hanford, CA Mr. Black was the Project Manager for preparation of plans, specifications, and cost estimates for a new 1.3 mgd sewer pump station to replace an old pump station and 1,500 feet of relocated sewer trunk line. Special design challenges included the requirement to maintain operation of the existing collection and pumping system during construction and decommissioning of the old facilities without sewer service interruption. The design included new below grade structures, pumping equipment, electrical system, controls, demolition of an existing pump station, and the abandonment and realignment of the existing collection system’s pipelines to reconnect to the new pumping facilities. Bainum Avenue Sewer Capacity Study – Corcoran, CA Prepared a live flow sewer study to determine if the capacity of the existing city sewer system was adequate for flows generated by additional development. Live flow data was compiled at 3-15 minute intervals for a two month period and organized into total daily flows, daily average flows, and peak daily flows. The overall system area of influence and areas not assessed by the measurement device were also determined to provide a pro-rated

estimate of the measured flows. Daily precipitation rates were also analyzed in relation to daily flows as to determine inflow and infiltration trends. Diablo Sewer Outfall – Patterson, CA Project Manager for the permitting, design, specifications, bidding, and construction administration of 11-miles of 18-inch gravity sewer pipeline connecting the Diablo Grande project to the City of Patterson wastewater collection system. The project involved over 3,500 lf of inverted siphon installed beneath Interstate-5, the California Aqueduct, and the Delta Mendota Canal. 27-Inch Outfall Rehabilitation – Sandy Suburban Improvement District, Sandy, UT Study condition of the deteriorating sewer outfall. Identify rehabilitation alternatives including slip-lining, cured-in-place, and conventional by-pass. Prepare engineering design drawings, technical specifications, and provided construction management services. Provo City Water Reclamation Plant Odor Control Study and Design – Conducted liquid and gas phase testing and analyses and identified sources and concentrations of odorous compounds in the waste stream. The major pump station reconstructed as part of the project consisted of replacing an existing wet pit-dry pit pump statio, constructed in the 1950’s, with a duplex submersible pump station. Parallel Force Main – Corte Madera, CA. Project Manager for the investigation, design, and construction services of approximately 4,500 linear feet of sanitary sewer force main. The force main was constructed using sliplining and horizontal directional drilling methods. The project included a crossing with a high pressure gas main, and tie-ins to three existing pump stations and an active force main. Central Marin Sanitation Agency Interceptor Network Hydraulic Model Update – Marin County, CA Updated the interceptor network hydraulic model for CMSA to model the major pump stations and force mains owned by the member agencies (Ross Valley Sanitary District, San Rafael Sanitation District, and Sanitary District No. 2 of Marin County). Project included coordination with the three member agencies and general manager of CMSA. Model consisted of 20 pump stations and over 14 miles of force main. Project goal was to determine the potential maximum flows to the wastewater treatment plant during wet weather events to minimize the potential for violating NPDES permit requirements. Lathrop Sanitary Sewer Management Plan – Lathrop, CA Evaluated the capacity of the sewer system in Historic Lathrop by developing a hydraulic model and executing the model for peak flow conditions. Tasks included calibration of the model with historical flow data, identification of capacity enhancement measures for inclusion in the capital improvement plan, and documenting the work in Element 8 of the City's Sanitary Sewer Management Plan (SSMP). Water Recycling Engineering Report – Windsor, CA Prepared an engineering report for the use of recycled water for front yard and backyard irrigation in a residential housing development within the Town of Windsor. Northside Secondary Clarifier Flow Equalization Project – Manteca, CA Project engineer for the design and construction of a concrete distribution structure to equalize flow to three secondary clarifiers. Project included connections to existing structures and piping, installation of weir gates, and coordination with plant operations. Water Balance Study – Modesto, CA Prepared a water balance study for an industrial facility to address local agency requirements and develop an appropriate capacity allocation level for the facility. Wastewater Discharge Evaluation – Modesto, CA Conducted an investigation for an industrial facility to determine source of large solids in the wastewater discharged from the facility. Project Management Claribel Road Widening, Stanislaus County, CA - Ms. Verburg was the project manager and engineer responsible for the County’s $15.2 million transportation project which includes design for the widening of an existing road, construction of a signalized intersection, and a replacement of an irrigation canal bridge. Ms. Verburg was responsible for securing funding for the County for the preliminary engineering phase, completed the preliminary design report to establish project alternatives, managed the environmental consultant to complete the NEPA and CEQA environmental approval in coordination with Caltrans Local Assistance, was the responsible engineer for the project design, held public outreach meetings, negotiated with property owners for the acquisition of right of way, coordinated with local public and private agencies for utility relocation, and prepared grant applications to secure construction funds. Over the course of the project, Ms. Verburg’s strong leadership and management abilities to identify critical path items, the flexibility to deal with changes to the design and schedule to accommodate the public and property owners, and professionalism to coordinate with various local agencies enabled her to successfully see the project through final design. Mr. Kram has over 23 years of field and office experience working on public utilities projects. His roles include construction inspection, utility planning, constructability review, database development for asset management, and utility right of way acquisition. The following project experience is representative of Mr. Kram’s career.

Inspection

2014 Ward and American Eagle / Hartley and Walnut Intersection Projects – City of Patterson, CA Project inspector for the replacement of two intersections comprising signalization, water, sewer and storm drain utilities, roadway construction, and pavement and concrete placement. Prepared daily inspection reports, weekly statements of working days, and other forms as required for the federally funded projects. Reviewed contractors work for conformance with the engineering plans and directed the coordination efforts between the contractors, engineers, and City for design revisions, materials tracking, pay requests, and project closeout documents, including record drawings. 2013 Jamestown Sanitary District Sewer Line Rehabilitation/Replacement Project CDBG# 12-CDBG-8421. Jamestown, CA Provided construction inspection and management for rehabilitation and replacement of approximately 7,200 lineal feet of sanitary sewer pipe. Coordinated the daily efforts of environmental, cultural resources, arborist, Cal-Trans, Tuolumne County, and agency staff with the pipeline contractor to ensure the requirement of the project funding and specifications were complied with. Acted as the JSD liaison with residents and customers affected by the project. Scheduled and directed weekly progress meetings, prepared daily reports, and maintained the project punch list.

2013 City of Patterson Roundabout Projects, Patterson, CA Construction inspection for two roundabout conversion projects in downtown Patterson. Prepared daily reports, tracked materials deliveries, construction change orders, and submittal of project closeout documents, including record drawings to City staff. 2011-2012 Amazon Fulfillment Center – City of Patterson, CA. Provided construction inspection of all on-site and off-site utility and roadway improvements for the construction of the 1-million square foot warehouse fulfillment center. Inspection tasks included confirming line and grade of water, sewer and storm drain pipelines, installation and maintenance of BMP’s for runoff control, roadway improvements, and paving and concrete work within the public right of way. 2004–2011 Jamestown Sanitary District Engineering Assistant. Mr. Kram assisted the JSD with planning, right of way acquisition, permitting, bidding, and construction inspection, for various capital improvement projects throughout this period. He also developed the asset management database for compliance with SSMP requirements and to assist JSD staff with a better way of tracking operations and maintenance work on the sewer collection system. 1990–2004 Tuolumne Utilities District Engineering Assistant. Mr. Kram assisted engineering staff on the development and right of way acquisition for various water and sewer pipeline projects. During project construction he provided periodic inspection of the contractors work for conformance the project plans and specifications, organized construction progress meetings with the contractor and District engineer, and reported on construction schedules and budgets for the District.
