Investment Summary Stan Johnson Company is pleased to exclusively offer for sale to qualified investors, the opportunity to purchase a 100% fee-simple interest in the movie theatre at 6100 N Freeway Service Road East in Fort Worth, Texas (the “Property”). The Property is leased to United Artists Theatre Circuit, Inc. (“UA Theatres”), guaranteed by Regal Cinemas, Inc. and is adjacent to Interstate 35W in northern Fort Worth within the Fossil Creek master-planned community. It was built in 1996, is a 50,766 square foot facility on approximately 8.9 acres and features 11 screens.
The Property is currently undergoing renovations that will transform it into a luxury theatre that will provide today’s theatre guests with the latest features and upscale amenities. These include dine-in theatres with reserved seating, reclining seats, restaurants and lounges on-site and cutting-edge technology that delivers today’s blockbusters with unparalleled visual performance. The over $2 million renovation will also include a roof replacement with a 15-year contractors and manufacturer’s warranty and new HVAC units with a 10-year manufacturer’s warranty and 15-year contractors warranty, in addition to a repaired, resurfaced, resealed and restriped parking lot.
UA Theatres has entered into a 15-year base lease term that will commence in December 2015. The Absolute NNN lease is guaranteed by Regal Cinemas, Inc. and features no landlord responsibility and two, five-year renewal options with 10% rental increases at the start of each renewal period.
Fossil Creek is a 1,150-acre, multi-use community that features residential, commercial, industrial, retail, recreational and open space. 425 acres are devoted to a business park that is home to operations for Bank of America, Coca-Cola Bottling Company, Haggar Clothing Company, Precision Rx, State Farm, Allstate and Summit National Bank, as well as two Marriott hotels. The remaining 725 acres include 263 acres of single- and multi-family residences, a golf club, the Subject Property theatre, a retail center and numerous national stores and dining establishments, in addition to a hiking and biking trail and Fossil Lake, complete with a fishing pier.
Regal Cinemas, Inc. is an operating subsidiary of Regal Cinemas Corporation, itself a subsidiary of the publicly traded Regal Entertainment Group (NYSE: RGC). RGC operates the largest and most geographically diverse theatre circuit in the United States and reported over 220 million attendees for the fiscal year ended January 1, 2015 (FY2014). RGC reported over $2.99 billion in revenues and nearly $106 million in net income for FY2014, and currently holds an S&P credit rating of B+/Stable.

The Property is leased to United Artists Theatre Circuit, Inc., operating as Regal Cinemas and guaranteed by Regal Cinemas, Inc. (“RCI”). RCI is a private wholly owned subsidiary of Regal Entertainment Group (NYSE: RGC; “RGC” or “Regal”), the publically traded entity. RCI’s assets and income represent in excess of 95% of the parent RCG’s assets and income, making the entities extremely similar in financial composition.
Regal Entertainment Group operates the largest and most geographically diverse theatre circuit in the United States. As of January 1, 2015, RGC operated 7,367 screens in 574 theatres in 42 states, along with Guam, Saipan, American Samoa and the District of Columbia. For the fiscal year ended January 1,2015 (FY2014), RGC reported over 220 million attendees.
Currently, RGC’s geographically diverse portfolio includes theatres in 46 of the top 50 U.S. designated market areas. Their theatres are primarily in midsized metropolitan markets and suburban growth areas of larger metropolitan markets through the United States. Regal theatres are multi-screen, and as of FY2014, RGC reported an average of 12.8 screens per location, well above the North American motion picture exhibition industry average.
Regal operates theatres under three primary brands – Regal Cinemas, Edwards Theatres and United Artists Theatres. These chains retain their exterior signage, but most indoor branding (popcorn bags, policy trailers, etc.) use the Regal Entertainment Group name and logo. According to the U.S. Bureau of Economic Analysis (BEA) and the National Endowment for the Arts (NEA), 3.7 percent ‐ or $596 billion ‐ of 2012 GDP was attributable to arts and culture. In comparison, BEA’s estimated value of the U.S. travel and tourism industry was 2.7 percent of GDP. Art and culture is thus a significant part of the U.S. economy. Not just its contributions of ideas and creativity to the innovation economy, but also as an important part of the labor force and our country’s GDP.
The domestic motion picture exhibition industry is a mature business that has historically maintained steady long-term growth in revenues and attendance. Since 1965, total box office revenues have grown at a compound annual growth rate of approximately 5% with annual attendance of approximately 1.3 billion attendees in 2013. Between 2011 and 2013, industry revenue expanded 1.9% per year. According to IBISWorld, the industry is expected to expand 2.0% to $14.9 billion in 2013-2014. Further, the industry is forecast to reach $16.0 billion in 2019.
Against this background of steady long-term growth in revenues and attendance, the exhibition industry has experienced periodic short-term increases and decreases in attendance and, consequently, box office revenues. This cyclical nature is expected to continue for the foreseeable future. However, long-term trends in motion picture attendance in the U.S. will continue to benefit the domestic motion picture exhibition industry, as proven most recently by way of stable attendance levels even during the global financial crisis in later years of last decade and the start of this decade.
Industry Positioning of Regal Entertainment Group
Regal Entertainment Group operates the largest and most geographically diverse theatre circuit in the United States, and is designed to increase profitability by optimizing revenues per square foot while reducing operational costs on a per attendee basis. Theatres are multi-screen complexes that typically contain 10 to 18 screens, each with auditoriums ranging from 100 to 500 seats. As a result, the theatres appeal to a diverse group of patrons because they offer a wide selection of films and convenient show times. In addition, many theatres feature state-of-the-art amenities such as immersive wall-to-wall and floor-to-ceiling screens, Sony Digital Cinema 4K projection systems, 3D digital projection systems, digital stereo surround-sound, closed-captioning, multi-station concession stands, computerized ticketing systems, plush stadium seating with cup holders and retractable armrests and enhanced interiors featuring video game and party room areas adjacent to the lobby. Moreover, many locations have begun a new initiative to install luxury reclining seating at select locations in key markets.
Regal Entertainment Group has acquired a number of smaller theater chains and now operates as the following primary brands: Regal Cinemas, Edwards Theatres, and United Artists Theatres. Regal is well positioned to withstand the fluctuations in the movie theater industry due to the company’s size, their geographic coverage and market positioning relative to competitors.

efore working with a real estate broker, you shouldBknow that the duties of a broker depend on whomthe broker represents. If you are a prospectiveseller or landlord (owner) or a prospective buyer or
tenant (buyer), you should know that the broker who liststhe property for sale or lease is the owner’s agent. Abroker who acts as a subagent represents the owner incooperation with the listing broker. A broker who acts asa buyer’s agent represents the buyer. A broker may act asan intermediary between the parties if the partiesconsent in writing. A broker can assist you in locating aproperty, preparing a contract or lease, or obtainingfinancing without representing you. A broker is obligatedby law to treat you honestly.
IF THE BROKER REPRESENTS THE OWNER:The broker becomes the owner’s agent by entering into anagreement with the owner, usually through a written -listing agreement, or by agreeing to act as a subagent byaccepting an offer of subagency from the listing broker. Asubagent may work in a different real estate office. Alisting broker or subagent can assist the buyer but doesnot represent the buyer and must place the interests ofthe owner first. The buyer should not tell the owner’sagent anything the buyer would not want the owner toknow because an owner’s agent must disclose to theowner any material information known to the agent.
IF THE BROKER REPRESENTS THE BUYER:The broker becomes the buyer’s agent by entering into anagreement to represent the buyer, usually through awritten buyer representation agreement. A buyer’s agentcan assist the owner but does not represent the ownerand must place the interests of the buyer first. The ownershould not tell a buyer’s agent anything the owner wouldnot want the buyer to know because a buyer’s agent mustdisclose to the buyer any material information known to theagent.
IF THE BROKER ACTS AS AN INTERMEDIARY:A broker may act as an intermediary between the partiesif the broker complies with The Texas Real Estate License
Act. The broker must obtain the written consent of eachparty to the transaction to act as an intermediary. Thewritten consent must state who will pay the broker and, inconspicuous bold or underlined print, set forth the broker’sobligations as an intermediary. The broker is required totreat each party honestly and fairly and to comply withThe Texas Real Estate License Act. A broker who actsas an intermediary in a transaction:
(1) shall treat all parties honestly; (2) may not disclose that the owner will accept aprice less than the asking price unless authorized inwriting to do so by the owner; (3) may not disclose that the buyer will pay a pricegreater than the price submitted in a written offerunless authorized in writing to do so by the buyer; and(4) may not disclose any confidential information orany information that a party specifically instructs thebroker in writing not to disclose unless authorized inwriting to disclose the information or required to do soby The Texas Real Estate License Act or a courtorder or if the information materially relates to thecondition of the property.
With the parties’ consent, a broker acting as anintermediary between the parties may appoint a person whois licensed under The Texas Real Estate License Actand associated with the broker to communicate with andcarry out instructions of one party and another person whois licensed under that Act and associated with the brokerto communicate with and carry out instructions of theother party.
If you choose to have a broker represent you, you should enter into a written agreement with the brokerthat clearly establishes the broker’s obligations and yourobligations. The agreement should state how and bywhom the broker will be paid. You have the right tochoose the type of representation, if any, you wish toreceive. Your payment of a fee to a broker does notnecessarily establish that the broker represents you. If youhave any questions regarding the duties andresponsibilities of the broker, you should resolve thosequestions before proceeding.
