ThecorporatesealofthisAssociationshallconsistofacirclewithinwhichisthenameofthecorporation. Suchseal,asimpressedonthemarginhereof,isherebyadoptedasthecorporatesealoftheAssociation.

ARTICLEIIIMembership

Section1.ThechartermembersofthisAssociation,andanyperson, irmorcorporationwhoshallhereafterbeelectedtomembershipashereinafterprovidedshallconstitutethemembershipofthisAssociation.Thereshallbesix(6)classesofmembershereinafterde ined.Section2.ACTIVEMEMBERS.Anyperson, irmorcorporationengagedinpestmanagementservicework,forhiretothepublicatlargeshallbeeligibleformembershipinthisAssociationprovidedsuchapplicantformembershipshall(A)Beinsympathywith the purposes of this Association; (B)Have a business record consistentwith the Code of Ethics of thisAssociation; (C)Has either two (2) years experienceas anowneroroperator in thepestmanagementindustry; or (D)Holdsadegreefromarecognizedcollegeoruniversitywhichoffersadvancedtraininginentomologyorchemistryorothersciences related to the pest control industry and at least one (1) year’s experience as an owner or operator of a pestmanagementservicebusiness.Section3.AFFILIATEDMEMBERS. Anyactivemember thatoperatesorcontrolsanother irm,and/orbusiness locationactively engaged in the pest management service business may have the irm listed in the membership roster as anAf iliatedmemberpayinganannualfeeforeachAf iliatedmember irm.NoAf iliatedmembershallhavevotingprivileges,norshallhis/heremployeesholdelectiveof ice.Section4.LIMITEDMEMBERS. Applications formembership in thisAssociationmaybesubmittedbypersons, irmsorcorporations not fully conforming with the quali ications for Active members. An applicant accepted for LimitedmembershipshallenjoyalltheprivilegesofmembershipexceptthatsuchLimitedmembershallnothavevotingprivileges,nor shall he/shehold elective of ice, and shall notbepermitted to refer to suchmembership in any advertisingnor todisplay thesealof theAssociation. ALimitedmembershallautomaticallybecomeanActivememberuponmeeting thequali icationssetforthforActivemembership.Section5.ALLIEDMEMBERS.Anyperson, irmorcorporationnotengagedinpestmanagementserviceworkbutwhichmanufacturers or supplies products, equipment,materials or provides services used by the pestmanagement industryshallbeeligible forAlliedmembership.Alliedmembersshallnothavevotingprivilegesandshallnotbeeligibletoholdelectiveof ice,withtheexceptionoftheAlliedMemberelectedtoserveontheMPMABoardofDirectorsSection6.HONORARYMEMBERS. Anypersonwhohasmadeacontributionofmaterialbene ittothepestmanagementindustry may become an honorary member by three‐fourths (3/4) vote of the members of the Association in annualmeeting assembled. Such honorary member shall have no voting privileges and shall be required to pay no dues orassessments.Section6A.LIFEMEMBERS.AnindividualwhohasbeentheauthorizedrepresentativeofanActivememberforaperiodoftwenty(20) years or who has served honorably as President of the Association may, upon retirement from the pestmanagementindustry,beeligibleforlifemembershipinthisAssociation,undersuchtermsasmaybedeterminedbytheBoardofDirectors. Lifemembersshallnotbeeligibletovoteortoholdelectiveof iceandshallnotberequiredtopayduesorassessments.Section7.APPLICATIONFORMEMBERSHIP.AllapplicationsforActive,Af iliated,Limited,andAlliedmembershipinthisAssociation shall be in writing on the forms provided by this Association and iled with the Secretary/Treasurer orExecutive Director. The Secretary/Treasurer or Executive Director shall refer such applications to the membershipcommitteeofthisAssociationwhichshallinvestigatetheacceptanceorrejectionofapplicants.Section8.ELECTIONTOMEMBERSHIP. After theMembership committee conducts its investigationof anapplicant for

membership and makes its recommendations of acceptance or rejection, the Board of Directors shall vote on suchapplicant.Thegrantingofmembershiptoanapplicantshallrequireatwothirds(2/3)voteinfavorofsaidapplicantbytheBoardofDirectors,forallmembershipclassi icationsexceptforhonorarymembershipwhichshallbevotedonbythemembership,pursuanttoArticleIII,Section6.Section9.RESIGNATIONS.AllresignationsofmembersshallbepresentedinwritingtotheBoardofDirectors.Ifanysuchmember shall present a resignationafterhis/herduesand/orassessments arepayable, he/she shall notbe relievedofliabilityforpaymentthereof.Section10.DELINQUENCY.Anymemberwhoshallfailtopayhis/herannualdueswithinaperiodofforty ive(45)daysaftertheyaredueandpayable,orwhoshallfailtopayanyassessmentwithinforty ive(45)daysafteritisdulyleviedandnoticethereofmailedtohim/her,shallbepostedbytheAssociationand inalnoticebyregular irstclassmailtohis/herlastknownaddressshallbegivenhim/herbytheSecretary/TreasurerorExecutiveDirector.Ifattheendoften(10)daysfromthedateofsaidnoticesuchmemberisstilldelinquenthe/shemaybesuspendedorexpelledbyactionoftheBoardofDirectors.Section 11. REINSTATEMENT. Formermembers must make application for membership in the samemanner as newmembers.Section12.SUSPENSIONANDEXPULSION. Anymembermaybeterminatedforcauseatanytimebyatwothirds(2/3)majorityoftheBoardofDirectors. Causeshall includeanyoffensewhichaffectstheinterestorgoodgovernmentoftheAssociation,includinganyviolationofthecharter,by‐laws,rules,regulationsorpracticedulyadoptedbytheAssociation.CauseshallalsoincludeanyconductdeemedprejudicialtotheAssociationanditspurposes,including,butnotlimitedto,failure to pay dues, engaging in dishonest advertising, recognized unfair trade practices, adjudicated of defaming theservicesprovidedbyotherMissouriPestManagementAssociationmembersorbeingconvictedofanycriminalfelony.Membersmay expose to theAssociation any alleged illegal orunethical conduct of anyothermember irmsby iling awritten,signedcomplaintwiththeSecretary/TreasurerorExecutiveDirectoroftheAssociation.Anysuchcomplaintshalldetail the speci ic cause for review. Uponreceiptof thecomplaint, theSecretary/TreasurerorExecutiveDirector shallthereuponmailageneralstatementofcomplainttotheChairpersonoftheEthicscommittee.TheEthicscommitteeshallthenbe responsible for conductingan investigationof the complaint and thegrounds thereof, andpromptly report thecommittee’s indingstotheBoardofDirectors.IfitappearsfromsuchreportoftheEthicscommitteethatthereismerittothecomplaint,thentheSecretary/TreasurerorExecutive Director shall send a general statement by certi ied mail, return receipt, to the last known address of thememberagainstwhomthecomplainthasbeenmadeatleastten(10)daysbeforethedateofthemeetingoftheBoardofDirectorsatwhich thecomplaint is tobeconsidered. Suchstatementshallbeaccompaniedbyanoticeof the timeandplaceof themeetingof theBoardofDirectorsatwhich thecomplaintagainstsaidmember is tobeconsidered. At thismeeting,thechallengedmembershallhavetheopportunitytoappearandpresentanydefensetosuchcomplaintbeforeanyactionistakenonthatcomplaintbytheBoardofDirectors.TheBoardofDirectorsmayallownotmorethantwo(2)alternatemeetingdatestodiscussthecharges,butsuchmeetingbetweenBoardofDirectorsandchallengedmembermustbeheldwithinonehundredtwenty(120)daysfromdateofreceiptofnoticebysuchmember.Afterreviewingthecomplaint,theinformationsubmittedbytheEthicscommittee,andtheinformationsubmittedbythechallenged member, the Board of Directors shall then vote to suspend, expel, retain or take no action against thechallengedmember. The Secretary/Treasurer shall report, at each regular meeting, monies on hand, receipts,disbursements, monies due, outstanding obligations and resources of the Association. The Secretary/Treasurer shallfurnishasimple,butcomplete inancialstatementtothemembershipattheendofeachyear. Section5.EXECUTIVEDIRECTOR. ThePresident,withtheapprovalof theBoardofDirectorsmayappointanExecutiveDirector of this Association, whose compensation shall be a sum stipulated by the Board of Directors. The ExecutiveDirectorshallbeallowedallreasonableoutofpocketexpensesfortravel,food,andlodgingintheperformanceofhis/herof icialdutiesassuchof icer.ThepersonappointedtothispositionmayormaynotbeamemberoftheAssociationandmaybeanelectedOf icerorDirectorofthisAssociation.Section6.REGIONALVICEPRESIDENTS.TheRegionalVicePresidentsshallpresideoverregionalmeetings,attendBoardofDirectorsmeetings,andkeepregionalmembers informedregardingMissouriPestManagementAssociationactivitiesandreporttotheBoardofDirectorsregardingregionalactivities.Theyshallhavetheirprimaryplaceofbusinesswithintheboundsof theirrespectiveregionsandmayholdregionalmeetings intheirrespectiveregionswheneverconvenientandappropriate.RegionalVicePresidentsshallbeelectedforatermoftwo(2)years.Section 7. ALLIED REPRESENTATIVE: An Allied representative on theMPMA Board of Directorswill be elected at theannualmeetingoftheAssociationbyamajorityvoteofthealliedmembersinattendanceandwillserveatwo‐yearterm.Alliedmembersmaynotserveconsecutiveterms;however,mayservenonconsecutiveterms.TheAlliedrepresentativewill have full voting privileges. In the event this position becomes vacant, the currentMPMABoard of DirectorsmayappointareplacementuntilwhichtimeanelectioncanbeheldatanannualmeetingoftheAssociation.Section8.Allof icersshallbeelectedattheAnnualmeetingofthemembership,andshallbeinstalledatthe irstdinnermeetingimmediatelyfollowingitsadjournment.Section 9. ArticleVIIPowersofDirectors

TheBoardofDirectorsshallhavethemanagementofthebusinessoftheAssociation,andinadditiontothepowersandauthority conferred by these by‐laws upon it,may exercise all such powers and do all such acts and things asmay beexercisedordoneby theAssociation, subject,nevertheless, to theprovisionsof the lawsof thestateofMissouri, to theCharteroftheAssociationandtotheregulationsmadefromtimetotimebythemembership,providedthatnoregulationshallinvalidateanyprioractoftheDirectorswhichwouldhavebeenvalidifsuchregulationshadnotbeenmade.

ArticleVIIINominations&Elections

Section1.Inthenoticeoftheannualmeetingofthemembership,theSecretary/TreasurerorExecutiveDirectorshalllistallcurrentOf icersandDirectors,togetherwiththedateoftheexpirationoftheirrespectivetermsofof ice,aswellastheireligibility,ifanyaretorunforof iceintheupcomingelection.Followingtheannualmeetingeachyear,themembershiprostershalllisteachOf icerandDirectortogetherwithhis/herdateofexpirationofof ice.Section2.AttheannualmeetingoftheAssociationofeachyear,atthetimeandplacedesignatedbytheBoardofDirectors,nominationsforOf icersandDirectorsshallbemadebytheActivemembersinattendance,fromthe loor.ThePresidentmayappointanominatingcommitteeconsistingoffour(4)membersormorepriortotheannualbusinessmeetingwhichshallmeetandreturnaslateofOf icersandDirectorsatatimedesignated;butthereportofsuchcommitteesosubmittedshallnotinterferewiththerightofmemberstomakenominationsfromthe loor.Section3. Section1.ThetimesandplacesoftheannualmeetingandallregularmeetingsoftheAssociationshallbedeterminedbytheBoardofDirectors.Thelastregularmeetingofthecalendaryearshallbetheannualmeeting.Section2.SpecialmeetingsshallbeheldwhencalledbythePresident,orbytheSecretary/TreasurerorExecutiveDirector,atthedirectionofthePresident,upontherequestoften(10)ormoremembersmadeinwritingandstatingthepurposeofthemeeting.Section3.Noticesofspecialmeetingsshallbesenttoeachmemberatleastten(10)daysinadvanceofthemeetingdateandshallstatethepurposeforwhichthemeetingiscalled.Onlysuchbusinessasissetforthinthenoticeshallbeacteduponataspecialmeeting.Incasesofemergency,asdeterminedbythePresidentand/orBoardofDirectorslessthanten(10)daysnoticemaybegiven.Section4.ThenumberofActivepaidupmemberspresent shall constituteaquorumatany regularly calledmeetingofmembership.Section5.TheproceedingsofallmeetingsoftheAssociationshallbegovernedbyandconductedinaccordancewiththelatesteditionofRobert’sRulesofOrder.
