SECTION – I EARNEST MONEY DEPOSIT

1) Tenderer should pay the specified amount towards Earnest Money Deposit, as follows. Earnest Money Deposit: Rs.1,90,000/- (Rupees One Lakh Ninty Thousand only) 2) The Earnest Money Deposit specified above should be in the form of

DEMAND DRAFT/ BANKER’S CHEQUE for the above amount drawn on any Nationalized/Scheduled/Foreign Banks with Branches in India in favour of the TNEB collection account, Chennai-2, payable at Chennai.

3) (i) The EMD will not carry any interest. (ii) Firms having Permanent EMD with Tamil Nadu Electricity Board at

Headquarters for an amount equal to Rs.5,00,000/- or Rs.10,00,000/ are exempted from payment of Earnest Money Deposit. Such tenderers should enclose the copy of the PEMD certificate issued by the Board.

The original PEMD certificate should be produced for verification on demand by the purchaser if warranted.

4) The Earnest Money Deposit will be refunded to the unsuccessful tenderers on application to the Superintending Engineer/Design/Protection & Communication after intimation of the rejection/non-acceptance of their tender is sent to them.

5) CHEQUE/BANK GUARANTEE will not be accepted towards E.M.D. and the tenders shall be rejected if EMD is not paid in the prescribed manner.

6) The following categories of industries are exempted from payment of Earnest Money Deposit.

(a) The Small Scale Industrial units located within the State and Registered with the Tamil Nadu Small Industries Development Corporation.

(b) The Small Scale Industrial units located within the State and Registered with National Small Industries Corporation.

(c) The SSI units holding Permanent Registration certificate from the District Industries centers of Directorate of Industries and Commerce in respect of those items for which the Registration Certificate has been obtained.

(d) Department of the Government of Tamil Nadu. (e) Undertakings and Corporations owned by Government of Tamil Nadu. (f) Labour Contract Co-operative Societies of Government of Tamil Nadu. (g) Tiny Industries classified under SSI registered with the State of Tamil Nadu and Registration Certificate issued by Department of Industries and Commerce/Government of Tamil Nadu. (h) Small Scale Industrial Units located outside the Tamil Nadu State but

registered with National small Industries Corporation in respect of the items manufactured by them.

(i) The Exemption from payment of EMD is also extended to the tenderers who have furnished Entrepreneur memorandum Part II and acknowledgement issued by the District Industries Centers concerned.

NOTE: SSI units having provisional registration certificate are not eligible for EMD Exemption.

7) Those Tenderers who are exempted from payment of EMD shall furnish, in lieu of EMD, an undertaking on a non-judicial Stamp paper of value not less than Rs.80/- (Rupees Eighty Only) to the effect to pay as penalty an amount equivalent to EMD or an amount equal to the actual loss incurred whichever is less in the event of non-fulfillment or non-observance of any of the conditions stipulated in the contract consequent to such breach of contract. The State Government, Public Sector undertakings who are exempted from payment of EMD should also pay as penalty an amount equivalent to the amount fixed as security deposit in the event of non-fulfillment or non-observance of any of the conditions stipulated in the contract. TENDERS RECEIVED WITHOUT THIS UNDERTAKING WILL NOT BE OPENED.

8) Small Scale Industries registered within the State of Tamil Nadu shall enclose Photostat copy of their Registration Certificate showing the subject materials specifying capacity which they are permitted to manufacture and the period of validity of the certificate as proof of eligibility for exemption from payment of EMD in a sealed outer sealed cover or in “A” cover as specified in Clause - 2.

9) Others viz. Central and Other State Government Departments, Undertakings and Corporations other than Tamil Nadu shall have to pay Earnest Money Deposit.

10) The Earnest Money Deposit, proof of Permanent Earnest Money Deposit or proof of exemption shall be placed in the outer sealed cover or in “A” cover but not in “B” cover. Envelope – “A”, Envelope – “B” shall be enclosed in an overall envelope and the Earnest Money Deposit/Permanent Earnest Money Deposit proof or proof of exemption from paying Earnest Money Deposit shall be enclosed either in “A” Cover or inside the outer cover and shall be sent to reach the prescribed officer. At the time of opening the tenders, any offer which does not satisfy the EMD conditions will not be read out.

11) The Earnest Money Deposit made by the Tenderer will be forfeited if:- a) He withdraws his tender or backs out after acceptance. b) He withdraws his tender before the expiry of validity period stipulated

in the specification or fails to remit the security deposit. c) The tenderer violates any of the provisions of these regulations

contained herein. d) The tenderer revises any of the terms quoted during the validity

period. e) In the event of the documents furnished with the offer being found to

be bogus or the documents contain false particulars, the EMD paid by the tenderers will be forfeited in addition to blacklisting them for future tenders/contracts in Tamil Nadu Electricity Board.

f) If the permanent EMD holder back out an amount equivalent to EMD for this tender will be forfeited.

SECTION – II

BID QUALIFICATION REQUIREMENTS (BQR)

The BIDDER shall become eligible to bid on satisfying the following “BID

QUALIFICATION REQUIREMENTS” and on production of the required

documentary evidences along with the Tender.

1. The bidder shall be a manufacturer or authorised dealers of a manufacturer in India/Abroad and should have a minimum of three years experience in Design, manufacture, testing, supply and commissioning of 230KV feeder control and relay panels and 230KV Auto Transformers to any SEB/Public undertaking/power utility. The dealers shall enclose the copy of the dealership agreement entered with their principals. Proof should be furnished.

Necessary authentication from Consulate General of respective countries

shall be made available in the tender documents if the bids are from Manufacturers/Authorised agents from Abroad.

2. The equipment to be supplied by the bidder should have been in service in SEB/Public undertaking/Power utility in India atleast for a period of three years. Necessary end user certificates shall be produced.

3. The Bidder shall furnish the details of various POs placed on them by

SEB/Public undertaking/power utility in India and executed during last 3 years on the date of tender opening for the tendered items. Necessary documentary evidence shall be produced for the same.

4. Annual turnover of the bidder shall be more than Rs. 50 Lakhs during

any one of the last three financial years. The tenderer shall furnish either the Annual Turnover Certificate by the Chartered Accountant or Audited Annual Statement of Accounts in support of the annual Turnover.

5. Type test results for all the protective relays offered shall be given. The

date of type test shall not be earlier than 5 years period from the date of tender opening.

THE OFFERS OF BIDDERS NOT SATISFYING THE ABOVE “BID

QUALIFICATION REQUIREMENTS” WILL BE SUMMARILY REJECTED.

SECTION – III

REJECTION OF TENDERS:

I. Tender will be SUMMARILY rejected if

(a) The EMD requirements are not complied with. (b) Not satisfying Bid Qualification Requirements.

II. Tender is LIABLE to be rejected, if it is:

(a) not covering the supply of equipments / materials with all Accessories.

(b) With validity period less than that stipulated in this specification

(c) not in conformity with Board’s Commercial terms and Technical Specifications (Section - V & VI).

(d) not properly signed by the tenderer.

(e) Received from a tenderer who is directly or indirectly connected with Government Service or Board Service or Service of local authority. (f) From those who have not purchased the copy of the Tender

document or not downloaded from the Website (TNEB & Govt.) (g) From any black listed Firm or Contractor.

(h) Received by Telex/Telegram / E-Mail

(i) From a tenderer whose past performance/Vendor rating is

not satisfactory

(j) Not containing all required particulars as per Schedule - A to G.

(k) Received after the expiry of the due date and time.

SECTION – IV

INSTRUCTIONS TO TENDERERS

1.0. Sealed tenders in Two Part System (a) Technical Bid with Commercial terms but without Price Bid and (b) Price Bid (both bids in duplicate) will be received for and on behalf of TAMILNADU ELECTRICITY BOARD, herein after referred as Board, so as to reach on or before the due date prescribed. All the tenders shall be prepared and submitted strictly in accordance with the Instructions set forth herein. THE TENDERERS WHO DO NOT FULFILL THE “BID QUALIFICATION REQUIREMENTS” AS PER SECTION – II NEED NOT PARTICIPATE IN THE TENDER. OFFERS NOT SATISFYING THIS "BID QUALIFICATION REQUIREMENTS” WILL NOT BE CONSIDERED AND WILL BE SUMMARILY REJECTED.

1.1. The Tamil Nadu Transparency in Tenders Act 1998 and Tamil Nadu Transparency in Tender Rules 2000 are applicable to this Tender.

2.0. SCOPE OF SUPPLY:

The scope of supply of the material (described in Schedule-A) includes design, manufacture, inspection, testing, packing, forwarding and delivery of the materials detailed, herein, at TNEB stores anywhere in Tamil Nadu.

3.0. SUBMISSION OF TENDER OFFER: 3.01. The Tenderer is expected to examine all instructions and Schedules

detailed in the Specification and submit the Schedule of prices and other required particulars in the schedules and drawings called for in this specification, only as per the formats prescribed, herein.

4.0. TWO PARTS TENDER: 4.01. The Tenders shall be in Two Parts as detailed below, each in a separate

sealed Envelope marked,

" ENVELOPE - A " AND " ENVELOPE - B "

1. The first envelope, called “Envelope - A” shall contain:

a) Un-priced bid as per Schedule B, C-I, C-II, D, E & G (i.e. Technical Bid with commercial terms except price.)

b) Any other information called for in the specification other than price. THIS ENVELOPE - “A” SHOULD NOT CONTAIN ANY PRICE BID.

4.02. The second envelope, called Envelope-B, shall contain the PRICE BID only as per Schedule – A.

4.03. The Tender in two parts shall be prepared in duplicate and put in a

separate, sealed, superscripted envelope (Envelope-A and Envelope-B) as instructed above.

4.04. Envelope- A and Envelope-B shall be enclosed in an overall envelope and the Earnest Money Deposit/Permanent Earnest Money Deposit proof or proof of exemption from paying EMD shall be enclosed either in “A” Cover or inside the outer cover and shall be sent to reach the prescribed officer.

The EMD in approved FORM (DD/BANKERS CHEQUE/COPY OF PEMD CERTIFICATE), Proof of Permanent EMD (OR) Proof of exemption from payment of E.M.D. along with UNDERTAKING In lieu of EMD as per FORMAT In SCHEDULE-F shall be placed in the outer sealed cover or in “A” cover but not in “B” cover.

At the time of opening the tenders, any offer which does not satisfy the EMD conditions will not be read out.

4.05 Envelope-A and Envelope-B and the overall envelope should be individually sealed, superscripted with the Specification number, materials offered and due date of submission and addressed to the Chief Engineer/Protection &

Communication, 5th Floor, NPKRR Maaligai, 144, Anna Salai, Chennai – 2. 4.06. The Tender offers in complete shape in one envelope containing

Envelope – A and Envelope-B, as required in Clause 4.03 shall be sent so as to reach the Chief Engineer/Protection & Communication on or before 2.00 P.M. on the due date for submission of offers.

4.07. The Tender documents shall be addressed to the Chief Engineer/ Protection

& Communication, 5th Floor, Eastern Wing, NPKRR Maaligai, 144, Anna Salai, Chennai – 600 002.

4.08. Envelope “A” of those bidders who satisfy the requirement of Earnest Money Deposit will only be opened on the due date and time already mentioned. If any of the Bidders indicate price in Envelope – A, the Bid will not be read out and will be rejected.

4.9. Envelope “B” will not be opened at the time of opening Envelope “A” but will be authenticated in the covers by officers authorized to open the bids. Envelope “B” so authenticated will be kept under the safe custody of the empowered officer to open the tender. Envelope “B” Price Bid will be opened later, the date of which will be intimated to the tenderer at a later date, after technical evaluation of the tender is completed.

4.10. If the tenderer finds any ambiguity in any of the terms and conditions stipulated in this specification, he shall get it clarified, at least 48 Hours before opening of the tender, from the Chief Engineer/ Protection &

Communication, 5th Floor, NPKRR Maaligai, Electricity Avenue, 144, Anna

Salai, Chennai – 600 002, If this is not done and subsequent to the

opening of the tenders, it is found that the doubt about the meaning or ambiguity in the interpretation of any of the terms and conditions stipulated in the specification are raised by the tenderer, either in this tender or by a separate letter, the interpretation or clarification issued by the Chief Engineer / Protection & Communication, Tamil Nadu Electricity Board, Chennai – 2 on such of those terms and conditions of the Tender Document as may be raised by the tenderer shall be final and binding on the tenderer.

4.11. All offers shall be prepared by typing or printing in the formats enclosed

with the specifications. One original and one duplicate of the original proposal, which are identical, shall be submitted by each tenderer.

4.12. All information in the offer shall be in ENGLISH only. It shall not contain interlineations, erasures or over writings except as necessary to correct errors made by the tenderer. Such erasures or other changes in the tender document shall be attested by the person signing the tender offer.

4.13. The offer shall contain full information asked for in the accompanying schedules and elsewhere in the specification.

4.14. The tenderer has the option of sending the offer by Registered Post or submitting the same in person so as to reach by the date and time indicated.

4.15. In case of postal delivery, tenderers are advised to send them well in advance so that they are delivered before the prescribed date and time.

4.16. The tenders delivered in person/courier shall be handed over to the Executive Assistant to The Superintending Engineer/Design/Protection & Communication, Chennai – 600 002 before 14.00 hrs. on the due date.

4.17. The Board will not be responsible for any postal or other transit loss or delay in receipt of the tender offer.

4.18. Telex/Fax/E-Mail or telegraphic offers will not be entertained and will be rejected.

4.19 Any offer received by the Purchaser after the due date and time specified for submission of tender will be declared late, rejected and returned unopened to the tenderer.

4.20. No tender offer shall be allowed to be modified subsequent to the deadline for submission of tender offers.

4.21. Tenderer shall bear all costs associated with the preparation and delivery of the offers, and the PURCHASER will in no case be responsible or liable for these costs.

4.22. No offer shall be withdrawn by the tenderer in the interval between the deadline for submission and the expiry of the period of validity specified/extended validity of the tender offer.

4.23. The Tenderers are requested to furnish the exact location of their factories with detailed postal address, Pin Code, Telephone and Fax Nos. etc., in their tender so as to arrange inspection by the Board if considered necessary.

4.24. Joint ventures/Consortiums are not eligible to participate in this tender.

4.25. Tenderers shall indicate in their tender whether the company is potentially sick industrial companies in terms of sec.23 or sec.15 of sick industrial companies special provisions Act.1985. Further failure to furnish the above information will make the tender liable for rejection.

5.0. TENDER OPENING:

5.01. The Tender offers except price Bid will be opened at 14.00 Hrs. on the date notified, at the Office of the Superintending Engineer/ Design/ Protection &

Communication, 2nd Floor, MLDC Block, Electricity Avenue, 144, Anna Salai, Chennai – 600 002 in the presence of tenderer’s authorized representative who may wish to be present on the date of opening.

5.02. If the last date set for submission of tender offers and opening date happens to be a holiday, the tenders will be received and opened on the succeeding working day, without any change in the timings indicated.

5.03. The duly authorized representatives of the tenderers who are present shall sign the tender opening register.

5.04. The Tenderer’s Name, prices, all discounts offered, and such other details as the Board, at its discretion, may consider appropriate will be announced and recorded at the time of tender opening.

6.0. INFORMATION REQUIRED AND CLARIFICATIONS:

6.01. To assist in the examination, evaluation and comparison of tender offers, the Board may, at its discretion, ask the tenderer for a clarification of his offers. All responses to requests for clarification shall be in writing and to the point only. No change in the price or substance of the offer shall be permitted.

6.02. The Board will examine the tender offers to determine whether they are complete, whether any computational errors have been made, whether required sureties have been furnished, whether the documents have been properly signed and whether the offers are generally in order.

6.3. The Tender offers shall be deemed to be under consideration immediately after they are opened and until such time official intimation of award/rejection is made by the Tender Accepting Authority to the tenderers. The Tenderers shall not make attempts to establish unsolicited and unauthorized contact with the Tender Inviting Authority, Tender Accepting Authority or Tender Scrutiny Committee after the opening the

tender and prior to the notification of the award and any attempt by any

tenderer to bring to bear extraneous pressures on the Tender Accepting Authority shall be sufficient reason to disqualify the tender.

6.04. Mere submission of any offer connected with these documents and Specification shall not constitute any agreement. The tenderer shall have no cause of action or claim against the Board for rejection of his offer. The Board shall always be at liberty to reject or accept any offer or offers at its sole discretion and any such action will not be called into question and the tenderer shall have no claim in that regard against the Board.

6.05. The Tamil Nadu Transparency in Tenders Act 1998 and Tamil Nadu Transparency in Tender Rules 2000 are applicable to this Tender.

7.0. EVALUATION AND COMPARISON OF TENDER OFFERS:

7.01. The tender offers received for consideration will be examined to determine whether they are in complete shape, all data required have been furnished, the tender offer is properly signed and are generally in order and whether the tender offer conforms to all the terms and conditions of the Tender document without any deviation.

7.02. For the purpose of evaluation of the tender offers, the following factors will be taken into account for arriving at the evaluated price. a) The quoted price will be corrected for Arithmetical errors. b) In case of discrepancy between the prices quoted in words and in figures,

Lower of the two will be considered. 7.03 The evaluation shall include all central duties such as Excise and Customs

duties and CST/TNVAT as detailed below: i) In evaluation of an imported item, the price has to be determined inclusive

of customs duty. ii) In evaluation of the price, articles which are subject to excise duty the price

has to be determined inclusive of such excise duty. iii) The offers will be evaluated FOR(D) all inclusive including CST quoted by

the firms from outside TamilNadu and FOR(D) all inclusive excluding of TNVAT quoted by the firms where the Tenderers are both from State of TamilNadu and outside TamilNadu.

iv) Where all the offers received are from outside state of TamilNadu, offers will be evaluated FOR (D) all inclusive including CST quoted by the firms.

v) Where all the offers received are within the state of TamilNadu, offers will be evaluated FOR (D) all inclusive excluding of TNVAT quoted by the firms.

vi) The bill selling exchange rate as on the date of Techno-Commercial bid opening shall be taken the basis for evaluation of the Price bids.

7.05 The lowest evaluated price (groupwise) will be accepted. 7.06 Tenderers shall quote for all the tendered items.

8.0. VALIDITY:

8.01. The Tender offer shall be kept valid for acceptance for a period of 180 days from the date of opening of offers. The offers with lower validity period are liable for rejection.

8.2. Further, the tenderer shall agree to extend the validity of the Bids without altering the substance and prices of the Bid for further periods, if any required by the Board.

9. 0. RIGHTS OF THE BOARD:

Not withstanding anything contained in this specification, the Board reserves the right to:

a) Accept the lowest tender. b) Revise the quantities at the time of placing orders. c) Reject any or all the tenders or cancel without assigning any reasons there

for. d) To split the Tender Quantity and place orders on one or more than one

Firm to meet the delivery requirements. e) Recover losses if any sustained by Board, from the supplier who pleads

inability to supply and backs out of his obligation after award of contract. The Security Deposit paid shall be forfeited.

f) To cancel the orders for not keeping up the delivery schedule.

10.0 DEVIATIONS:

10.01. The tenderer shall furnish, if there are any deviations in the commercial and technical terms in the Schedules C-I & C-II Annexed. Deviations mentioned elsewhere will not be considered. If no deviations are furnished, it will be construed that the tenderer is accepting all terms specified in the specification. Similarly, if any deviations are furnished in the said schedules, it will be construed that these are the only deviations and the tenderer is accepting all other terms of the specification and the offer will be taken for evaluation accordingly.

10.02 THE OFFERS OF THE TENDERERS WITH DEVIATIONS IN COMMERCIAL TERMS AND TECHNICAL TERMS OF THE TENDER DOCUMENT ARE LIABLE FOR REJECTION.

10.03 NO ALTERNATE OFFER WILL BE ACCEPTED 10.04 Any attempt by any tenderer to bring to bear extraneous pressure on

Tender Accepting Authority shall be sufficient reasons to disqualify the tenderer.

11.0. BAR OF JURISDICTION:

Save as otherwise provided in Tamil Nadu Transparency in Tender Act 1998 no order passed or proceeding taken by any officer or authority under this Act shall be called in question in any Court, and no injunction shall be granted by any court in respect of any action taken or to be taken by such officer or authority in pursuance of any power conferred by or under the above Act.

12.0. APPEAL:

Any tenderer aggrieved by the order passed by the Tender accepting Authority under Section-10 of the Tamil Nadu Transparency in Tenders Act 1998 may appeal to the Government within 10 (Ten) days from the date of receipt of order.

13.0 Permanent Account Number (PAN):

The tenderers are requested to furnish the Permanent Account Number in their offer.

SECTION: V

COMMERCIAL

1.0. (a) PRICE: 1.1. The Tenderers are requested to quote FIRM Price only. 1.2. The prices quoted should be Unit all inclusive price including Excise Duty,

CST/TNVAT, Customs duty and any other import tax, rate of customs duty and CIF value of the import material,Packing and Forwarding, Freight and Insurance for Delivery to Tamil Nadu Electricity Board Stores anywhere in Tamil Nadu. A format for price is given in Schedule `A’.

1.3. It is the responsibility of the tenderer to make sure about the correct rates

of duty/tax leviable on the materials at the time of tendering. If the rates assumed by the Tenderers are less than the current rates prevailing at the time of tendering, the Board will not be responsible for the mistake.

1.4. The tenderer should quote their rates taking into account the Excise Duty

relief available to them on account of duty paid for procurement of raw materials under CENVAT Scheme.

1.5. Also a certificate to the effect that the tenderers have taken into account

CENVAT Credit while quoting prices shall be given.

1.0 (b) Period of the contract:-

The period of the contract is one year from the date of receipt of P.O

2.0 SALES TAX/VAT: 2.1 The Central Sales Tax/TNVAT will be paid extra as applicable. The amount

of Central Sales Tax/TNVAT and percentage payable shall be indicated separately in the tender offer. Central Sales Tax/TNVAT is not applicable to Freight and Insurance charges.

2.2 The Board has been registered as a dealer, under Central Sales Tax Act

1956 under Registration No. 32929/81-82 dated 18.1.82. Appropriate Central Sales Tax in accordance with the provisions of the Act in force shall be included by the Tenderer in the price quoted. The Commissioner of Commercial Taxes in their Lr.No. VAT Cell/2952/2007(VCC No.995) dt.6.8.2007 has clarified that exemption already granted for registration of TNEB will continue as per Section 88(3) (i) of the VAT Act 2006. Hence TIN shall not be applicable to TNEB.

As per Sl.No. 305 of Annexure to TNVAT Act, 2006 Sale of any goods except Petrol, Diesel and Cement to TNEB for use in Generation, Transmission and Distribution of Electrical Energy will attract TNVAT @ 4% as per G.O. Ms.No.31, Commercial Taxes, B.2, dt.27.3.2002. The Commissioner of Commercial Taxes has confirmed in their Lr.No. VAT Cell/2952/2007(VCC No.995) dt.6.8.2007 that exemption is continued as per Sec.88(3) (i) of the TNVAT Act 2006. Hence the tenderers are requested to quote appropriately TN VAT @ 4% even if the items attract VAT @ 12.5% for the goods to be supplied to TNEB used in Generation, Transmission and Distribution of Electrical Energy except Petrol, Diesel and Cement. The necessary certificate as per G.O shall be furnished.

2.3 In case of delayed delivery, the Central Sales Tax/TNVAT prevailing on the

date of despatch or on the last day of the contractual delivery period whichever is LESS will be admitted. For both the cases the supplier shall furnish documentary evidence while submitting the bills for payment.

2.4 Provided always, it is hereby agreed and declared that in case, where the

Board has doubt and belief that Central Sales Tax/TNVAT is not at all payable for the transaction in question, the Board reserves the right to withhold the amount of tax until the party produces an order of court of competent jurisdiction, declaring the liability of the transaction to Central Sales Tax/TNVAT. Concessional rate of Central Sales Tax/TNVAT, if any, shall be taken into account and included in the price quoted giving proof thereof.

2.5. The following certificates have to be furnished for admittance of claim of

Central Sales Tax/TNVAT. (i) Certified that the transaction in which the Central Sales Tax/TNVAT has

been claimed and has been/will be included in the return submitted/to be submitted to the Central Sales Tax/TNVAT authorities for assessment of the Central Sales Tax/TNVAT and the amount of Central Sales Tax/TNVAT claimed from the purchaser has been/will be paid to sales tax authorities.

(ii) Certified that the goods on which the Central Sales Tax/TNVAT has been

charged have not been exempted under C.S.T. Act or TNVAT and the rules made there under and the charges on account of Central Sales Tax/TNVAT on these goods are correct, under provisions of relevant Act or Rules made there under.

(iii) Certified that we shall indemnify the Board, in case if it is found at a later

date that wrong / incorrect or excess payment has been recouped on account of Central Sales Tax/TNVAT paid by us.

(iv) Certified that we are registered as dealer under the Central Sales Tax Act

and our Registration No. is ………………………………………….and under TNVAT Act 2006 and our Registration No is…………………………………………..

(v) Certified that TNVAT credit availed by me has been taken into account in

the rates quoted. Consequent to introduction of VAT, the additional Taxes such as Turnover

Tax or Resale Tax, Surcharge and additional surcharge have been abolished.

In the VAT Act 2006, there is no provision for availing concessional rate of 3% against Form XVII. However the goods covered under above category can be procured at concessional rate of VAT @ 4% against issue of certificate.

In regard to Central Sales Tax involving Interstate sale appropriate rate of CST against “C” form shall be applicable.

3.0. (a)EXCISE DUTY : 3.1. It is the responsibility of the tenderer to make sure about the correct rates of

duty leviable on the material at the time of tendering. If the rates assumed by the Tenderer are less than the current rates prevailing at the time of tendering, the Board will not be responsible for the mistake.

3.2. Any increase in Excise Duty consequent to the suppliers coming into different

duty slab during the execution of the contract shall have to be taken into account and the all inclusive Firm Price shall be quoted accordingly by the tenderers. Any variation in Excise Duty due to statutory variation within the contract delivery date shall be considered.Authentic invoice containing the details of Central Excise Registration No. PLA No. Debit entry in PLA/RG 23 duly authenticated by items manufactured by the tenderer.

3.3. In case of delayed delivery, Excise Duty prevailing on the date of despatch or the Excise Duty applicable on the last date of contractual delivery period whichever is less will be admitted.

3.4. Excise Invoice containing PLA No. debit entry in RG 23, etc. shall be furnished as proof for having paid Excise Duty. 3.5 The tenderer who quotes ED as NIL and in the event of placement of order

Against this specification where the value of the order is above Rs.194 Lakhs, such tenderer shall furnish an Undertaking to the effect that the ED commitment on the account of crossing the turnover slab will be discharged to the ED authorities and that the Board shall not be responsible for any ED evasion by the tenderer in respect of the subject tender transaction.

3.6 In case of tenderer who has quoted ED as NIL and in the event of placement

of order against this specification where the value of the order is less than Rs.194 Lakhs, the tenderer shall furnish an Undertaking to the effect that he has not obtained any other order in the same financial year and that the Board shall not be responsible for any ED evasion by the tenderer in respect of the subject tender transaction.

(b) Customs Duty and Taxes:

3.7 The Purchaser will decide and declare the list of accessories, tools and spares which are not manufactured in India and which will have to be imported as complete units and supplied by Domestic Bidders Customs Duties and other import taxes on such items will be included in the bid price by Domestic Bidders and the same will be paid/ reimbursed at actuals by the Purchaser. The custom duties and other import levies for these items will also be taken into account for bid evaluation. When concessional customs duty is availed, the payment will be restricted to the actual on receipt of Bill of entry in original. The customs duty shall be paid by the supplier.

3.8 Indian Customs Act 1962 permits import of erection equipment required by a Foreign Vendor/Contractor to perform his works in India under the ‘Contract’. Such imports are exempted from payment of import duty subject to the Vendor/Contractor giving a declaration to the Indian Customs Authorities to the effect that such imported equipment shall be re-exported out of India as soon as ‘Works’ are completed. The Vendor/ Contractor shall have to declare the time for which machinery shall be in India. Further clarification on this matter can be had from the office of the Director General of Foreign Trade, Ministry of Commerce, Government of India, Udyog Bhavan, Maulana Azad Road, New Delhi – 110 001.

3.9 The benefit of the same concessional Customs Duty, if any, availed by the tenderer, shall be passed on to the Board.

4.0 INSURANCE:

Contracting firms shall arrange insurance for the equipment and all its accessories being supplied by them, through any of the Nationalised Insurance Companies. The equipment shall be insured to cover transport (from Warehouse) and 60 days storage risk at site. The damages, if any, during transit will be reported within 30 days of receipt of materials. It will be the responsibility of the supplier to replace the defective/damaged materials and make good the shortages and other losses in transit, free of cost, lodge and recover claim from Insurance, Under-writers/Carriers.

5.0. PACKING AND FORWARDING:

The equipment and all its accessories shall be securely packed and despatched, freight paid, duly insured, at supplier’s risk and cost. The packing may be in accordance with the manufacturer’s standard practice. The supplier is responsible for ascertaining the facilities that exist for Road Transport to site. Each package shall be clearly marked and contain detailed packing list, such as gross weight, net weight etc. The supplier is solely responsible for any loss or damage during transport. The despatch of materials shall be made only after the approval of test certificates by the Board. The equipment/Materials shall be unloaded at Destination Stores/Sites by the supplier free of cost.

6.0 PAYMENT: 6.1 Payments will not be made for equipments/materials damaged during

transit. All defective materials shall be replaced by the supplier free of charge.The Contract price shall be paid in Indian Rupees only. All the money transactions will be in Rupees only.

6.2 Payments for the supplies will be made by Cheque on any one of the Nationalized Banks/Scheduled Banks approved by Reserve Bank of India, in Tamil Nadu. The bank charges involved in making the payment will be to the account of the Tenderer.

6.3 Payment terms Option –1:

6.3.1 When the tenderers opts to furnish Performance Bank Guarantee.

I) For materials deliverd within the delivery period a) 95% of the all inclusive price(including Sales Tax) of the materials of each

consignment will be paid within a reasonable time after receipt of materials and submission of bills with required documents.

b) Balance 5% payment will be paid within a reasonable time after completion

entire supply. II )For materials deliverd beyond the delivery period

a) 95% of the all inclusive price(including Sales Tax) of the materials after deducting the appropriate amount of L.D of each consignment will be paid within a reasonable time after receipt of materials and submission of bills with required documents.

b) Balance 5% payment will be paid within a reasonable time after completion of the execution of the contract and after closure of the purchase order.

Option-2:

6.3.2 When the tenderer does not opt to furnish Performance Bank

Guarantee.

I) For materials deliverd within the delivery period

a) 90% of the all inclusive price(including Sales Tax) of the materials of each consignment will be paid within a reasonable time after receipt of materials and submission of bills with required documents.

b) Balance 5 % will be paid within reasonable time after completion of the execution of the contract.

c) 5 % payment will be paid on expiry of the guarantee period.

II )For materials deliverd beyond the delivery period

a) 90% of the all inclusive price(including Sales Tax) of the materials after deducting the appropriate amount of L.D of each consignment will be paid within a reasonable time after receipt of materials and submission of bills with required documents.

b) Balance 5 % will be paid within reasonable time after completion of the execution of the contract.

c) 5 % payment will be paid on expiry of the guarantee period.

6.3.3 For the delayed payments, if any, Board will not pay any interest on any account.

6.4 In case of delay in supply, the materials will be accepted subject to the

following conditions.

(a) There should be no declining trend in prices.

(b) Payment will be released as per the recent purchase order rate or lowest rate obtained during the recent tenders opened subject to levy of liquidated damage for belated supplies.

(c) Board reserves the right to accept or reject the delayed supplies without assigning any reason therefore and take action as per the other terms and conditions of this specification.

6.5 The bills for payment will be passed only after the approval/ acceptance of the following:

(a) Security Deposit.

(b) Sales Tax Clearance Certificate.

(c) Test Certificate.

(d) Supply of drawings, Instruction manuals, etc.,

(e) Performance Bank Guarantee for 5% value of the order, if incorporated in

the P.O.

(f) Undertaking towards Legal Proceedings.

(g) Income Tax PAN No. with evidence.

(h) Guarantee certificate.

6.6 The supplier should despatch only after getting despatch instruction. If the supplier despatches the materials without the prior approval of the purchaser, then the purchaser shall not be responsible for any demurrage or wharf age or both and only the supplier should bear any expenditure arising out of such unapproved despatches.

7.0. SECURITY DEPOSIT:

7.1 The successful tenderer will have to furnish 5% value of total contract value as Security Deposit in the form indicated below:

(i) For value of Purchase order upto Rs. 10/- Lakhs, Banker’s Cheque or D.D. only.

(ii) For value of Purchase order exceeding Rs.10 Lakhs, Banker’s Cheque /D.D./Irrevocable Bank Guarantee.

7.2 The Security Deposit will be refunded to the supplier only if the contract is completed to the satisfaction of the purchaser. If the purchaser incurs any loss or damage on account of breach of any of the clauses or any other amount arising out of the contract becomes payable by the supplier to the purchaser, then the purchaser will in addition to such other dues that he shall have under the law, appropriate the whole or part of the security deposit and such amount that is appropriated will not be refunded to the supplier.

7.3 The successful tenderer will have to furnish the Security Deposit as per clause 7.1 within 15 days from the date of receipt of P.O. The security deposit will not carry any interest. The Board also reserves the right to accept the belated payment of Security Deposit by levying penal interest at the rate of 22% from the date of expiry of 15 days time limit till the date of actual receipt of payment of Security Deposit. The same will be recovered from suppliers first bill.

7.4 Failure to comply with the terms regarding Security Deposit set out in the purchase order within the stipulated time by the successful tenderer will entail cancellation of the purchase order without any further reference to the supplier.

8.1. DELIVERY:

8.1 Delivery of materials to be ordered shall be completed within(i.e within two

months from the date of receipt of indent from TNEB) the period specified in the foreword of this specification. The tenderer should agree for the delivery of materials anywhere in Tamilnadu state to be stipulated by the Board based on the schedule furnished by TNEB at the time of Issue of Letter of Indent. The delivery so specified should be guaranteed by the tenderer under liquidated damages clause. Any other delivery period offered in the tender is liable for rejection. Detailed Schedule of Materials and Delivery Schedule required against this Tender is furnished in Schedule-B.

9.0 LOSS OR DAMAGE :

9.1 External damages and/or shortages that are prima facie, the results of rough handling in transit or due to defective packing will be intimated within one month from the date of receipt of the materials at site. Internal defects, damages or shortages of integral parts which cannot ordinarily be detected on a superficial visual examination, though due to bad handling in transit or defective packing, would be intimated within 2 months from the date of receipt of materials. In either case, the defective materials shall be replaced/rectified by the supplier, free of cost as per Clause 13-1.

9.2 If during the period of supply, it is found that goods already supplied are defective in material or workmanship or do not conform to specification or are unsuitable for the purpose for which they are purchased, then it will be open to the purchaser either to reject the goods or repudiate the entire contract and claim such loss that the purchaser may suffer on that account or require the supplier to replace the defective goods, free of cost.

9.3 Similarly, if during the guarantee period any of the goods found to be defective in materials or workmanship or do not conform to specification, it will be open to the purchaser either to repudiate the entire contract and claim damages or accept such parts of the goods that are satisfactory and require the supplier to replace the balance or to claim compensation for the entire loss sustained by the purchaser on that account.

9.4 In the event of supplies being received damaged or any shortages at the destination stations, the cost of such materials, Excise duty and Central Sales Tax/TNVAT (if payable) and other charges payable thereof will be paid only proportionate to the value of materials received in good condition, unless the damaged goods or short supplies are made good free of cost by the suppliers.

9.5 For all legal purposes, the materials shall be deemed to pass into the Board’s ownership at the destination Stores, where they are to be delivered and accepted.

10.0 LIQUIDATED DAMAGES AND PENALTY : 10.1 The delivery as specified should be guaranteed by the supplier under

the liquidated damages clause given below:

If the supplier fails to deliver the equipments/materials within the time specified in the contract or any extension thereof, the purchaser shall recover from the supplier as liquidated damages, a sum of HALF PERCENT (0.5%) of the contract price of the undelivered equipments/materials for each completed week of delay. The total liquidated damages shall not exceed TEN PERCENT (10%) of the contract price of the equipments/materials so delayed. Only the date of actual receipt of materials at stores will be reckoned as date of delivery for this purpose.

The amount of LD as per terms of contract will be recovered from the respective bill itself for the delayed supply or delayed execution of works.

It should be noted that if a contract is placed on the higher tenderer in preference to the lowest acceptable tender in consideration of the offer of earlier delivery, the said contractor will be liable to pay the Board the difference between the contract rate and that of the lowest acceptable tender in case of failure to complete the supplies in terms of such contract within the delivery period specified in the tender and incorporated in the contract. This is without prejudice to other rights under the terms of contract.

10.2 Equipment will be deemed to have been delivered only when all its component parts and its accessories are also delivered. If certain components and accessories are not delivered in time the whole equipment will be considered as delayed unless, the missing parts are delivered. The Liquidated damages will also be levied for the quantity not supplied as is done for the delayed supplies. If supplies effected in part which could not be beneficially used by the Board (due to such incomplete supply), liquidated damage will be worked out on the basis of entire contract price only and not on the value of delayed portion.

10.3 If supplies to be rendered are made by the supplier beyond the period of delivery and they are accepted by the Board, such acceptance is without prejudice to Board’s right to levy liquidated damages for the delay in supply.

10.4 If the ordered materials are not delivered, the purchaser shall recover from the supplier, as liquidated damages a sum equal to TEN PERCENT (10%) of the contract price of the equipments/materials undelivered besides forfeiture of security deposit

10.5 The suppliers are liable to pay the amount of loss sustained by the Board in the event of non-execution of orders, if any placed on them either in full or part, to the satisfaction of the Board under the terms and conditions of contract and in the event of placing orders for such quantities on some others at a higher price.

10.6 Tenderers not giving clear and specific acceptance to the above clauses are

liable for rejection. 10.7 If there is any downward trend in prices on account of belated supplies, the

tenderers have to accept the same with the levy of liquidated damages, for belated supplies.

11.0. FORCE MAJEURE:

11.1. If at any time, during the continuance of the contract, the performance in whole or in part, in any obligation under this contract, shall be prevented or delayed by reasons of any war, hostility, acts of public enemy, acts of civil commotion, strikes, lockouts, sabotages, fires, floods, explosions, epidemics, quarantine restrictions or other acts of God (herein after referred to as eventualities) then, provided notice of the happening of any such eventuality is given by the tenderer to the Board within 15 days from the date of occurrence thereof, neither party shall, by reasons of such eventuality, be entitled to terminate this contract nor shall have any claim for damages against the other in respect of such non-performance or delay in performance and deliveries under this contract, shall be resumed as soon as practicable after such eventuality has come to an end or ceased to exist.

11.2. Provided that if the performance in whole or part by the supplier on any obligation under this contract is prevented or delayed by reasons of any eventuality for a period exceeding 60 days, the Board may at its option terminate the contract by a notice in writing.

12.0. GUARANTEE:

12.1 The entire equipments should be guaranteed for satisfactory operation and good workmanship at least for a period of 24 (Twenty four) months from the date of receipt of last consignment of materials in good condition at stores. Successful tenderer shall furnish an undertaking for the above.

12.2 Any defects noticed during this period shall be rectified free of cost to the Board within 2 (Two) months from the intimation of defect/failure. Irrespective of number of failures and repairs, the suppliers are responsible for free replacement of the defective materials till the same serves a continuous period of 12 (Twelve) months from the date of commissioning after the last repairs or 24 months from the date of receipt of last consignment of materials, whichever is LATER. If they are not rectified or replaced within this period the contractor shall pay Liquidated Damages as per Liquidated Damages clause in the contract for the delay from the date of receipt of intimation for the defects or failures.

12.3 The incidental expenses, transport and freight charges for the replacement

of defective materials within the guarantee period may also be borne by the supplier till such time it serves a continuous period of 12 (Twelve) months as said above.

12.4 The tenderers shall guarantee among other things, the following. (i) Quality and strength of materials used. (ii) Safe electrical and mechanical stresses on all parts of the equipments

under all specified conditions. (iii) Performance figures given by the tenderers in the Schedule of Guaranteed

technical particulars.

12.5 PERFORMANCE GUARANTEE: Option –1:

The successful tenderer should furnish a performance guarantee in the form of irrevocable bank guarantee for 5 % of the total accepted value of the contract and shall be valid for a period of 24 months from the anticipated date of receipt of last consignment of goods/materials at site in good condition. In case of delay in supply, the Performance Bank guarantee should be extended suitably.

The Performance Bank Guarantee will be released on expiry of guarantee period after ensuring that defects/damages during the guarantee periods are rectified/replaced.

Option –2:

The successful tenderer need not furnish any Bank Guarantee towards Performance Guarantee. Instead they should give an undertaking to agree to retain 5 % value of the material supplied against each invoice till the completion of guarantee period.

13.0. REPLACEMENT OF DEFECTIVE/DAMAGED MATERIALS:

13.1. Notwithstanding anything contained in the above liquidated damages clause when the whole or part of the materials supplied by the supplier are found to be defective/damaged or are not in conformity with the specification or sample, such defects or damages in the materials supplied shall be rectified within two months from the date of intimation of

defect/damage either at the point of destination or at the supplier’s works, at the cost of supplier, against proper security and acknowledgement. In the alternative, the defective or damaged materials shall be replaced free of cost within two months from the date of receipt of the intimation from the purchaser of such defects or damages. If the defects or damages are not rectified or replaced within this period, the supplier shall pay a sum towards liquidated damages as per liquidated damages clause given above, for the delay in rectification/replacement of the defects or damages.

13.2. If even after such rectification or replacement of the damaged or defective part, if the equipment ordered is not giving the satisfactory performance as per the contract, then it will be open to the purchaser either to reject the goods and recover the entire cost of such goods and claim such loss sustained by the Board.

14.0. FAILURE TO EXECUTE THE CONTRACT:

Suppliers failing to execute the order placed on them to the satisfaction of the Board under terms and conditions set forth therein, will be liable to make good the loss sustained by the Board, consequent to the placing of fresh orders elsewhere at higher rate, i.e. the difference between the price accepted in the contract already entered into and the price at which fresh orders have been placed. This is without prejudice to the imposition of Liquidated Damages and forfeiture of security deposit.

15.0. NON-ASSIGNMENT:

The supplier shall not assign or transfer the contract or any part thereof without the prior approval of the purchaser.

16.0. EFFECTING RECOVERIES:

Any loss, arising due to non-fulfillment of this contract or any other contract, will be recovered from the Security Deposit held and or any other amount due to the supplier from the Board from this Contract as well as from other contracts.

17.0. SALES TAX CLEARANCE CERTIFICATE:

The tenderer should enclose with the tender, a copy of certificate of sales tax clearance for the previous year from the appropriate Sales Tax Authorities.

NOTE: The successful tenderer should submit latest STCC copy after receiving the order.

18.0 INCOME TAX PAN No.

The tenderer shall furnish their Income Tax (PAN) permanent assessment number with documentary evidence.

19.0. PATENT RIGHTS ETC:

The supplier shall indemnify the purchaser against all claims, actions, suits and proceedings for the infringement or alleged infringement of any patent, design or copy right protected either in the country of origin or in India by the use of any equipment supplied by the supplier other than for the purpose indicated by or reasonably to be inferred from the specification.

20.0. JURISDICTION FOR LEGAL PROCEEDINGS :

No suit or any proceedings in regard to any matter arising in any respect under this contract shall be instituted in any court, save in the appropriate civil court of Chennai or the Court of Small Causes at Chennai. It is agreed that no other court shall have jurisdiction to entertain any suit or proceedings, even though, part of the cause of action might arise within their jurisdiction. In case, any part of cause of action might arise within the jurisdiction of any of the courts in Tamil Nadu and rest within the jurisdiction of courts outside Tamil Nadu, then it is agreed to between parties that such suits or proceedings shall be instituted in court within Tamil Nadu and no other court outside Tamil Nadu shall have jurisdiction, even though any part of the cause of action might arise within the jurisdiction of such courts. An UNDERTAKING in this regard should be furnished on receipt of Purchase Order in a non judicial stamp paper value of Rs. 80/- agreeing to be above conditions.

21.0. ARBITRATION:

The Board will not accept any arbitration in case of disputes arising in any respect under this contract. Any dispute arising out of this contract shall not be subject to arbitration under the provisions of Arbitration and Conciliation Act 1996 in the event of any dispute between the parties.

22.0. DEVIATIONS FROM SPECIFICATION:

If the tenderer wish to deviate from any of the clause of this specification, he shall list out such deviations, in the format enclosed and submit full particulars and reasons therefor. Unless this is done, the equipment offered shall be considered to comply, in every respect with the terms and conditions of this specification.

23.0. TEST CERTIFICATES:

The test certificates in triplicate for the materials furnishing the results of the tests as per latest issue of IS shall be forwarded and got approved before the materials are dispatched. In addition to the tests called for in the specification, the purchaser reserves the right of having such tests as he desires carried out at his own expenses to satisfy himself that the materials conform to the requirement of this specification. The materials may be rejected if the test results are not satisfactory. The type test certificates (Photostat copies) as per latest IS / International Standard such as IEC, ANSI, etc., shall be furnished with the tender as indicated elsewhere in Section-VI Technical.

24.0. RESPONSIBILITY:

The tenderer is responsible for safe delivery of the materials at the destination stores. The tenderer should include and provide for packing and secured protection of the materials so as to avoid damages or loss in transit.

25.0 MAXIMUM WEIGHTS AND DIMENSIONS OF PACKINGS: The supplier is responsible to make sure about the facilities that exist for Road and Rail transport to site, the maximum packages which can be conveyed by the railways and crane lift available at the destination railway station. The supplier is also responsible for any loss or damage during transport and storage for 60 days. Each case or package should be clearly marked and should contain detailed packing list.

26.0 INSPECTION: 26.1 The authorized representatives of the purchaser shall have access to the

supplier’s or sub-vendor’s works at any time during working hours, for the purpose of inspecting the manufacture of the materials and for testing the selected samples from the materials covered by this specification. The supplier or the sub-vendor shall provide facilities for the above.

26.2 Tenderers are requested to furnish in their tenders the exact location of their factory with detailed address to enable inspection by Board if considered necessary.

26.3 Not less than 15 days advance intimation shall be given about the quantity of materials that will be ready for inspection by the Board’s Officers. The arrangement for inspection shall be made by supplier in such a way that the delivery schedule is kept up. The materials shall not be despatched without instruction from Board.

27.0 COMPLETENESS OF TENDER: The tender should be complete with all details of illustrative and descriptive literature and drawings. The tenderer shall furnish the complete technical details of the equipment. Information regarding the country of manufacture or origin of materials used in the manufacture of the articles should be furnished. The tender should include all minor accessories even though not specifically mentioned in this specification but which are essential for the completeness of the materials ordered. The tenderer shall not be eligible for any extra charges in respect of such minor accessories though not included in the tender.

28.0 INTERCHANGEABILITY:

All similar parts and removable parts of similar items shall be interchangeable with each other.

29.0. CLIMATIC CONDITIONS:

The materials are for use in Tamil Nadu and should be satisfactory for operation under tropical conditions in Tamil Nadu.

a) The ambient temperature will be within the range of + 10 Degree Centigrade to + 50 Degree Centigrade.

b) The altitude will be less than 2500 meters.

c) The maximum atmospheric humidity will be in the range of 95%.

d) Average Number of thunderstorm days per annum is 65.

e) Average Number of dust storm days per annum is 5.

f) Average Number of rainy days per annum is 65.

g) Average annual rainfall is 10 cm.

h) The climatic conditions are prone to wide variation in ambient condition and equipments offered under this specification shall be suitable for installation at any of the Sub-Stations in Tamil Nadu.

i) All electrical devices shall be given tropical and fungicidal treatment. Fog, smoke and mild acids are also present in the atmosphere.

30.0. ELECTRICITY RULES :

All works shall be carried out in accordance with the latest provisions of the Indian Electricity Act/Electricity Supply Act and the Indian Electricity Rules there-under unless modified by this specification.

31.0 MATERIALS AND WORKMANSHIP:

All materials, equipments and spare parts thereof shall be new, unused and originally coming from manufacturer’s plant to the destination stores. Those including used, rebuilt or overhauled materials/ equipments will not be accepted.

31.1. All the materials shall be of best class and capable of satisfactory operation

in the tropics with humid atmospheric condition. Unless otherwise specified, they shall conform to the requirements of appropriate Indian Standards. Where these are not available, IEC and American/British Standards shall be followed.

31.2. The equipments should be designed to facilitate inspection and repair and

to ensure satisfactory operation under atmospheric conditions prevailing at site and under sudden variations of load and voltages as may be met with under working conditions in the system including those due to faulty synchronizing and short circuits within the rating of the apparatus.

31.3. The design shall incorporate every reasonable precautions and provisions

for the safety of all those concerned in the operation and maintenance of equipment.

32.0. RECOVERIES OF DUES:

The Board is empowered:

a) To recover any dues against this contract in any bills/Security Deposit/Earnest Money Deposit due to the supplier either in this contract or any other contracts with Board.

b) To recover any dues against any other contract of the supplier with Board, with the available amount due to the suppliers against this contract.

33.0. PAST PERFORMANCE:

33.1. The intending tenderers shall furnish the documentary evidence with details of various Purchase Orders placed on them during the last two years as on the date of Tendering in the proforma enclosed to the Tender Specification and also proof for having manufactured the tendered item and for their satisfactory performance from State Electricity Board.

33.2. The Bidders shall furnish copies of Balance Sheet, Profit and Loss Account for the years 2006-2007, 2007-2008 and 2008-2009 certified by the Auditor. In case 2008-2009 Accounts are not finalized, the Bidders shall furnish Annual Turnover Statement for the year 2007-2008, certified by Auditor.

33.3. The Bidders shall furnish documentary evidence for the constitution of the firm such as Memorandum and Articles of Association, Attested copy of Registered Partnership Deed with details of Name, Address, Telephone, and Electricity Board Service Connection No. of the manufacturing plants.

33.4. The details furnished by the tenderers shall be in complete shape and if it

is found that any information is found omitted, suppressed, incomplete or incorrect, the same will be taken note of while dealing with the Tenderers in future.

34.0. TYPE TESTS :

Tenderers are requested to furnish copy of type test certificates for the materials/equipments of their make in full shape as conforming to relevant IS/IEC Standards of latest issue obtained from any Lab. The above type test should have been conducted not earlier than five years (5 years) as on the date of submission.

The original type test certificates shall be furnished for verification on request. The details of type test should also be furnished in the Schedule-G.

35.0. RAW MATERIALS:

It is the responsibility of the tenderer to make his own arrangement to procure the necessary raw materials required for the manufacture.

SECTION-VI TECHNICAL GENERAL

1.0 TEST CERTIFICATE : 1.1 Test Certificates in triplicate for the materials furnishing the results of the

tests as per latest issue of ISS shall be forwarded and got approved before the materials are despatched. In addition to the tests called for in the specification the purchaser reserves the right of having such tests as he desires carried out at his own expenses to satisfy himself that the materials conform to the requirements of this specification. The materials may be rejected if the test results are not satisfactory. The type test certificates (Photostat copies) as per latest ISS shall be furnished with the tender for reference and date of type test shall not be later than 5-years period. (Refer inspection clause 8 also for the details of inspection/ tests.)

2.0 ROYALTIES AND PATENTS : 2.1 All Royalties for patents or the charges for the use or infringements thereof

that may be involved in the contract shall be included in the tender prices. The tenderer shall protect the purchaser against any claim thereof.

3.0 GUARANTEED PARTICULARS: 3.1 The tenderer shall furnish all the particulars of the materials offered

against this specification. Unless full details are furnished, the tender may not be considered.

4.0 DEPARTURE FROM SPECIFICATION: 4.1 Should the tenderer wish to depart from the provisions of this specification,

he shall list such departures separately and submit full particulars and reasons for the departure in the form enclosed to part II of this specification. Unless this is done, the materials offered shall be considered to comply in every respect with the terms and conditions of this specification.

5.0 RESPONSIBILITY: 5.1 The tenderer is responsible for safe delivery of the materials at the

destination stores. The tenderer should also include and provide for security, protecting and packing the materials so as to avoid damages or loss in transit.

6.0 PACKING : 6.1 The packing may be in accordance with the manufacturer's standard

practice. The contractor should however ensure that the packing is such that the materials reach their destination without damages after transport by Rail or Road.

7.0 MAXIMUM WEIGHTS AND DIMENSIONS OF PACKINGS: 7.1 The contractor is responsible for informing himself of the facilities that

exist for road and rail transport to site, the maximum packages which can be conveyed by the Railway and crane lift available at the destination railway station. The contractor is also responsible for any loss or damage during transport.

7.2 Each case or package should be clearly marked and should contain

detailed packing list. 8.0 INSPECTION : 8.1 The accredited representatives of the purchaser shall have access to

the contractor's works at any time during working hours, for the purpose of inspecting the manufacture of the materials and for testing the selected samples from the materials covered by this specification. The contractor or the sub-contractor shall provide facilities for testing such samples as per standards agreed between the supplier and the purchaser.

8.2 The tenderer shall specify the international standards which are applicable for the equipments to be quoted under this specification. 8.3 The purchaser reserves the right to conduct any other reasonable tests at

manufacturer's premises or at site. The purchaser shall be supplied with 2 copies of test result. A separate copy of type and routine tests to be carried out on the equipments shall be enclosed with the Tender.

8.4 Tenderers are requested to furnish in their tenders the exact location of

their factory with address to enable inspection by Board if considered necessary.

8.5 It should be the supplier's responsibility to arrange for inspection, despatch

etc., in time to keep up the delivery schedule. A reasonable time of at least 15-days shall be given to the Board for arranging inspection.

9.0 QUALITY PLAN : 9.1 You will prepare, submit and discuss with the Board and based on such

discussions finalize within 30 days (thirty days) from the date of the letter of intent, detailed quality plans in the format as given in Schedules for all components of the equipments manufactured by you, setting out during the various stages of manufacture the quality practices and procedures to be followed by your quality control organization, the relevant reference documents/standards/ acceptance level, inspection documentation raised etc. In these quality plans, we will identify "Hold Points" beyond which work will not progress without our consent in writing. For the components/equipments procured by you for the purpose of this contract, your purchase specifications and enquiries shall call for such quality plan of the successful vendor which shall be discussed and finalized by you, in association with us, in the aforesaid manner and the same shall form part of your purchase order on your sub vendor. We also reserve our right to carryout quality audit and quality surveillance of the system and procedures of your/your vendor's quality management and control activities. However, such audit/surveillance by us shall not relieve you of any of your responsibilities under the terms of contract.

10.0 COMPLETENESS OF TENDER : 10.1 The tender should be complete with all details of illustrative &

descriptive literature and drawings. The tenderers shall furnish the complete technical details of the equipments. Information regarding the country of manufacture or origin of materials used in the manufacture of the articles should be furnished. The tenderer should include all minor accessories even though not specifically mentioned in this specification but which are essential for the completeness of the materials ordered and which are required for efficient operation of the equipment ordered. The tenderer shall not be eligible for any extra charges in respect of such minor accessories, though not included in the tender.

11.0 INTERCHANGEABILITY: 11.1 All similar parts and removable parts of similar items shall be

interchangeable with each other. 12.0 QUANTITIES:

12.1 The quantities mentioned in this specification are only approximate. The

purchaser reserves the right to revise the quantities at the time of placing the order to an extent of +/- 25%.

13.0 DESPATCH OF MATERIALS : 13.1 Manufacturing of equipments should be started only after approval of the

drawings. Despatch of items should be done only after approval of test certificates. The railway destination and the name of the officers to whom advance intimation regarding despatch to be sent will be intimated by the consignees in the despatch instructions.

14.0 ELECTRICITY RULES : All works shall be carried out in accordance with the latest provisions of

the Indian Electricity Act and the rules there under unless modified by this specification.

15.0 EQUIPMENTS/MATERIALS AND WORKMANSHIP : 15.1 All the equipments shall be of the best class and capable of satisfactory

operation in the tropics with humid atmospheric conditions without distortion or deterioration. Unless otherwise specified the equipment shall conform to the requirements of the appropriate Indian or I.E.C. or other international Standards. Where a specification covering the equipments in question has not been published, the tenderer should specify to what extent they would be in a position to accept the various provisions in the specification.

15.2 The workmanship shall be of the highest grade and the entire construction

in accordance with the best modern practice. The whole of the work shall be of the highest class throughout well finished and of approved make. The entire design and construction shall be capable of withstanding the severest stresses likely to occur in actual service and of resisting rough handling during transport.

15.3 The equipments should be designed to facilitate inspection and repairs

and to ensure satisfactory operation under atmospheric conditions prevailing at site and under sudden variations of load and voltage as may be met with under working conditions in the system including those due to faulty synchronizing and short circuits within the rating of the apparatus.

15.4 The design shall incorporate every reasonable precaution and provisions

for the safety of all those concerned in the operation and maintenance. 15.5 All the equipments should operate without undue vibration and with the

least practicable amount of noise.

16.0 DRAWINGS & MANUALS: 5 copies of the technical literatures, operating instruction/ maintenance

manual shall be supplied by you to the Superintending Engineer/Design/Protection and Communication/ II Floor/ MLDC Block/ 144, Anna Salai, Chennai-2. A copy of Operating Instruction/ Maintenance manual shall be supplied along with each instruments .

17.0 TRAINING:

The successful tenderer shall impart training to the Board Engineers at TNEB works free of cost for equipments to be supplied

18.0 INSTALLATION AND TESTING: Since this specification is for supply of equipments, no installation is

involved by the tenderer. However, at the time of commissioning, you

have to send your engineer and no amount will be paid for the same.

19.0 BACK UP ASSURANCE: The spares required towards maintenance of the equipments ordered shall

be made available for replacement for a minimum period of ten years from the date of last despatch at a reasonable price.

SECTION-VI

TECHNICAL SPECIFICATION

TECHNICAL SPECIFICATION FOR CONTROL & RELAY PANELS: The specification provides the design, fabrication, and manufacturing of panels

with relays and other associated equipments with provision for wiring of all

equipments. The equipment shall be capable of working satisfactorily in the

environmental conditions.

1.GENERAL The manufacturer, whose C&R panels and protective relays are offered, should

have a minimum of three years experience for having designed, manufactured,

tested, supplied and commissioned C&R panels and protective relays upto

230 KV Feeders and 230KV Auto Transformers. The panels are to be of simplex

type, shall be independent and totally closed having wiring access from front of

the relay panel. The relay panel shall be provided with swing door on front side

and transparent protective door covering the front of the swing door on which the

relays and associated equipments shall be mounted. The panels shall be

completely metal enclosed and shall be dust, moisture, vermin proof. The

enclosure shall provide a degree of protection not less than IP-31 in accordance

with IS-2147. Panels shall have base frame with smooth bearing surface, anti

vibration strips/ pad made of shock absorbing materials shall be placed between

panels and base frame. All doors, removable covers shall be gasketted all around

with neoprene gaskets. Ventilating louver shall have screens and filters. Cable

entries to the panel shall be from the bottom. Necessary cable gland should be

fitted. Cable gland plates fitted on the bottom shall be connected to the earthing

of panel/station through a flexible braided copper conductor rigidly. Each panel

shall be provided with space heater rated for 240V single phase A.C. supply with

controlling thermostat. All equipments in the panel shall be mounted and

completely wired to the terminal blocks ready for external connection. The spare

contacts shall also be wired upto the terminal block. Each panel shall be provided

with the interior lights (40 W, fluorescent) controlled by door limit switch. A 230V

single phase, 3 pin A.C. socket 15/5A with switch shall be provided in each panel

for connection of hand lamps. Accessories required for fixing the panel such as

foundation bolts and nuts shall be provided along with a panel.

3. NAME PLATE & MARKINGS: All equipment mounted on front and rear side as well as equipment mounted inside the panels shall be provided with individual nameplates with equipment designation engraved. Also on the top of each panel on front as well as rear side, large and bold name plates shall be provided for circuit/feeder designation. Name plate shall be made of non-rusting metal or 3 ply lamicoid. Nameplates shall be black with white engraving lettering. Each instrument and meter shall be prominently marked with quantity measured e.g. KVA, MW etc., All relays and other devices shall be clearly marked. Each switch shall bear clear inscription identifying its function. Coloured mimic diagram and symbols showing the exact representation of the system shall be provided in the front of control panel. Mimic diagram shall be made preferably of anodized aluminium or plastic material, which shall be screwed on to panel and can be easily cleaned. Painted overlaid mimic is also accepted. The mimic bus shall be 2 mm thick. The width of mimic bus shall be 10mm for busbars and 7 mm for other connections. The colour of the mimic may be as follows: 230 KV Signal red.110 KV Brilliant green. 4. PAINTING:

i) All sheet steel work shall be phosphated in accordance with IS:6005.

ii) Oil, grease, dirt, swart, rust and scale etc., shall be removed by adapting to proper cleansing procedure.

iii) After phosphating and thorough rinsing, the phosphate coating shall be sealed with application of two coats of ready mixed stoved type zinc chromate primer. The first coat may be `flash dried' while the second coat shall be stoved.

iv) After application of the primer, two coats of finishing synthetic enamel paint shall be applied, each coat followed by stoving.

v) The colour of the panel shall match the existing panel colour of the subject station and normally of the following choice for new stations.

Exterior : stoved enamel grey Interior : stoved enamel white Bus frame : stoved enamel black Finish : glossy surface treatment shall be done as per ISS. 5. INDICATING INSTRUMENTS AND METERS:

shall be of Size : 144 Sq.mm outer size with circular dials. Scale : 90 degrees. Accuracy : +/-1.0% uniform deflection.

Wattmeter / VAR meter shall be of three phase two element type suitable for measurement of unbalanced load in 3 phase 3 wire circuit and shall be flush mounting type. The instrument dial shall be parallax free with white scale and black knife-edge pointer and with black numerals and lettering. Import (+) and Export (-) in MW / MVAR meters shall be marked to indicate the direction of active and reactive power flow towards and away from the substation bus bar. Digital bus voltage and frequency meters shall be of class: 0.5 and shall have digital display of four (4) digits with display size, not less than 20 mm (height). All indicating instruments, meters, recorders etc., shall be enclosed in dust proof moisture restraint cases and shall be suitable for tropical use. Electronic Trivector Meters shall be with facility for separate registering of KWH, KVAH and KVARH consumption and also to record export/import and demands and their input quantities. The accuracy of meters shall be 0.5 clause. The meter shall have communication facility with open protocol. It shall record and indicate the measured parameters for frequency variations of ±5% and for AC auxiliary variation from -40% to +10% and shall have facility to communicate on line parameters as well as down load stored data. The connectivity to the computer shall be of RS 485 and necessary connectors shall be supplied. 6. INDICATING LAMPS:

i) Indicating lamps shall be panel mounting with rear terminal connections. Lamps shall be provided with series connected resistors preferably built in the lamp assembly.

ii) Lamps shall have translucent covers to diffuse lights. The lamp cover shall be preferably of screwed type, unbreakable and moulded from heat resisting material.

iii) Suitable LED lamps shall be produced. iv) Tools if required for replacing the bulbs and LEDs shall be included

in the scope of supply. v) The indicating lamps shall withstand 120% of rated voltage on a

continuous basis. vi) Colour of the indicating lamps may be as follows:

a) P.T. Supply : Red, yellow and Blue for the three phases.

b) Breaker position : ON-Red. OFF-Green. c) Air pressure : White. normal d) Gas pressure : White. normal e) Line P.T. Supply : Yellow / Amber f) Isolator Position : ON-Red. OFF-Green.

7. SWITCHES:

Control and instrument switches shall be rotary operated type with escutcheon plates clearly marked to show operating position and circuit designation plates and suitable to flush mounting with only switch front plate and operating handle projecting out.

a) Control switches for Breakers/Isolators shall be of two position

spring return to neutral type with pistol grip black handle. The control springs shall be strong and robust enough to prevent inadvertent operation due to light touch.

b) Instrument selection switches shall be of maintained contact (stay put) type. Ammeter selector switch shall have six position stayput type and shall have make-before-break type contacts so as to prevent open circuiting of CT secondaries when changing position of the switch. Voltmeter transfer switches for AC shall be suitable for reading all line-to-line voltages.

c) Synchronising switches shall be of stay put type having a common removable key for a group of switches. The key shall be removable only in OFF position.

d) Push Buttons shall be of momentary contact type with rear

terminal connections. They shall be provided with functional indication engraved in an inscription plate. The contacts of the push button switch shall be capable of carrying 5 Amps. at 250V DC and shall be cable of breaking lamp inductive load at 250V DC.

e) General: Lockable type of switches which can be locked in

particular position shall be provided when specified. The contacts of the switches shall be open and close with snap action to minimise arcing. Contacts of switches shall be spring assisted and

contact faces shall be with rivets of pure silver or sliver alloy. The springs shall not be used as current carrying parts. The contacts shall be of the rating of not less than 10 amps. for make and carry continuously and 30 amps for short time rated for 0.5 sec. And 3 amps for breaking resistive loads and 0.2 amps for breaking inductive load with L/R = 40 m sec.

8. PANEL WIRING:

i) All wiring shall be provided with minimum 650V Grade single

core multistrand copper conductor wires with PVC insulation and shall be flame, vermin and rodent proof. The minimum size of the stranded copper wire shall be:

a) for C.T. circuits 2.5 sq.mm per lead b) for all circuits other than C.T. circuits. 1.5 sq.mm. Per

lead. All wiring shall be in accordance with the wiring diagram for functioning of connected equipment.

ii) Flexible wires shall be used for wiring of devices on moving parts such as swinging panels or panel door.

iii) Panel wiring shall be securely supported, neatly arranged, readily accessible and connected to equipment terminals and terminal blocks. Wiring gutters and troughs shall be used for this purpose.

(iv) Cables/wires shall be uniformly bunched and tied by means of PVC belts and carried in PVC carrying troughs. The position of PVC carrying troughs and hanging bunch of wires shall not give any hindrance for fixing or removing relay casing, switches etc.,

v) Wire termination shall be made with solderless crimping type and tinned copper lugs, which firmly grip the conductor. Insulated sleeves shall be provided at all the wire terminations.

vi) Engraved core identification plastic ferrules marked to correspond with panel wiring diagram shall be fitted at both ends of each wire.

vii) The wire number shown on the wiring shall be in accordance with the I.S. 375.

viii) All wires directly connected to trip circuit breaker or device shall be distinguished by addition of red colour unlettered ferrule.

ix) Inter connections to adjacent panels shall be brought out to a separate set of terminal blocks located near the slots or holes to be provided at the top portion of the panel. Arrangements shall be made for easy connections to adjacent panels at site and wires for this purpose shall be provided and bunched inside the panel.

x) Bus wire shall run at the top of the panel. The terminal block for bus wire shall be with isolating links.

xi) The terminal block used shall be minimum 650V grade and have 10 amps continuous rating, moulded piece, complete with insulated barriers, stud type terminals, washers, nuts and locknuts suitable for operation with a tubular box spanner or screw driver.

xii) Terminal block shall be arranged in vertical formation at an inclined angle with sufficient space between terminal blocks with a minimum of150 mm for easy wiring.

xiii) Terminal block shall include a white fibre marking strip with clear plastic, slip on/clip on terminal covers. Markings on the terminal strips shall correspond to wire number and terminal number on the wiring diagrams.

xiv) There shall be a minimum clearance of 250 mm between the first row of terminal blocks and the associated cable and plate or panel sidewall.

xv) At least 20% of total terminals shall be provided as spare for further connections and these spare terminals shall be uniformly distributed on all terminal blocks.

xvi) Wiring is preferable with the following colour code. PT supply : Red, Yellow, Blue for phase and Black for neutral. CT circuits : Similar to the above. DC circuit : Gray for both Positive and Negative. 230V AC circuits: Black for both Phase and Neutral. Earthing : Green.

9. EARTHING:

i) All panels shall be equipped with an earth bus securely fixed

along the inside base of the panels. When several panels are mounted adjoining to each other, the earth bus shall be made continuous and necessary connectors and clamps for this purpose shall be included in the scope of supply.

ii) The size of the earth bus shall be made of 25mm x 6mm tinned copper flat.

iii) The earth of the substation will be 40mm diameter M.S. rods,

Provision shall be made on the earth bus bars of the end panels for connecting to the earth grid. Necessary terminal clamps and connectors shall be included in the scope of supply.

iv) All metallic cases of the relays, instruments and other panel mounted equipments shall be connected to the earth bus by independent copper wires of size not less than 2.5 sq.mm. The colour code of earthing wire shall be green. Earthing wires shall be connected on the terminals with suitable clamp connectors and soldering shall not be permitted.

10. CIRCUIT DISTRIBUTION AND ISOLATION:

i) Each control and relay panel shall be provided with necessary arrangements for receiving, isolating and fusing of AC and DC supplies for various control of signaling, lighting and space heaters.

ii) The incoming and sub-circuits shall be separately provided with switch fuse units, selection of the main and sub-circuit fuse rating shall be such as to ensure selective clearance of sub-circuit faults.

iii) Potential circuits for relaying and metering shall be protected by fuses.

iv) All fuses shall be of HRC cartridge type conforming to IS 2203 mounted on plug-in type fuse bases. All accessible live connection of fuse bases shall be adequately shrouded.

v) Fuses shall have operation indicators for indicating `blown-fuse' condition.

vi) Fuses carrier base shall have imprints of fuse rating and voltage. vii) Removable links should be provided at the output of each relay for

trip output and reclose output. Adequate space shall be left between fuse units when arranged adjacently.

11. LABELS:

All front mounted equipment as well as equipment mounted inside the panel shall be provided with individual labels with equipment designation engraved. Labels shall be made of non rusting metals or 3 ply lanced. Label shall have white letters on black or dark back-ground. The size of the label shall be ; width-1.5 cms; length-as per length of inscription; the letter size-0.75cm.

12. SYNCHRONISING EQUIPMENT:

i) The synchronizing bracket/trolly shall be with double voltmeter, double frequency meter, synchroscope and lamps fully wired.

ii) Suitable auxiliary voltage transformers wherever necessary shall be provided for synchronizing condition.

13. ANNUNCIATORS:

i) The annunciations fascia shall be provided with flasher, hooters and bell for separate indication of tripping alarm/non-tripping alarms. All the panels shall have the inter connection for accepting the alarm but the reset shall be from the individual panel.

ii) Each annunciations fascia/window shall be provided with LED. iii) Trip and non-trip discrimination shall be made in the fascia. For

example all trip fascia shall have red colour and non trip fascia white colour.

14. RELAYS:

i) All relays shall confirm to IS: 3231 and IS: 8686 and or other relevant standards in vogue.

ii) Descriptive details of the relays are furnished and specified in separate heads.

iii) Testing facility provided on the relay shall be detailed. iv) Necessary test plugs, test blocks and switches shall be provided. v) Unless otherwise specified all auxiliary relays and timers shall be

supplied in non-drawout cases / plug in type modular cases. vi) Relays shall have the rating for 110V VT secondaries and 1

amp CT s secondaries. D.C.Auxiliaries and timers shall be designed for the DC Voltage specified.

vii) Provision shall be made for isolation of trip circuits of each relay for the purpose of testing and maintenance.

viii) All relays / wiring shall withstand a test voltage of 2.5 KV, 50 Hz r.m.s. voltage for 1 minute.

ix) The relays shall be able to be tested with universally acceptable testing kit.

x) All the relays offered shall have to be type tested. Necessary bill of materials in each case has been enclosed in the appendix.

15. GENERAL:-

For each type of Numerical relay offered in the tender, necessary software capable of interacting with the realy for performing following complete functions: i) Input/Output relay assignment ii) LED configuration iii) Setting & Modification of relay parameters iv) Analysis of disturbance recording v) Tools to download details of relay shall be supplied . No Laptop/Desktop computer is required.

IV. MISCELLANEOUS PROTECTION

a) D.C. Supply Supervision Relay.

The relay shall monitor continuously D.C. Supply to Protection System. The

de-energization of this relay will indicate the DC Supply failure. Auxiliary

supply for the relay is110/220V DC. The relay shall have a time delay on

drop off of not less than 100 milli second. The relay shall be provided with

operation indicators (Reverse flag) self reset. Sufficient number of contacts

potential free may be provided. Separate relays for dual source are to be

provided.

b) Trip Circuit Supervision Relays.

The relays shall supervise the healthiness of trip circuit continuously (Both

pre-closing and post-closing conditions of the circuit breakers). The relay

shall be capable of monitoring the healthiness of each phase trip coil and

associated circuits of the circuit breaker during “ ON and OFF ” conditions.

The relay shall work on 110/220V dc with allowable margin as the case

may be. The relay shall have adequate contacts for providing connection

to alarm and event logger, self reset. The relay shall have a “ time delay

on drop off of not less than 200 milli seconds ” and provided with

Operation indicators. The short circuiting of any series resistance provided

in this relay or short circuiting the coil of the relay should not energize the

trip coil of the breaker.

c) Tripping (Master) Relay :

- For tripping of feeder / transformer breakers in a station on

operation of protective relays and for interlock purposes. The relay shall

be voltage rated for 110/220V dc with allowable margin of variation, be

instantaneous (Operating time not exceed 10 milli seconds).

- Reset within 20 milli seconds.

- Have adequate contacts to meet the requirement of scheme, other

functions like autoreclose relay, LBB relay as well as to cater to associated

equipments like SER, DR etc., to be provided with operation element/ coil.
