Condizioni generali di vendita

MARCHIO

Lago è un marchio registrato di Lago spa. L’utilizzo del marchio Lago per qualunque iniziativa pubblicitaria o per insegne al pubblico dovrà essere

preliminarmente richiesto all’azienda, che si riserva il diritto di concederne autorizzazione.

PREZZI

I Prezzi indicati nei listini sono quelli consigliati al pubblico. Le eventuali variazioni dei Prezzi, anche se non comunicate al Cliente, si applicano agli ordini

ancora non accettati.

ORDINI: Accettazione e Modifi che

Lago S.p.A. si riserva di accettare gli ordini del Cliente entro 7 (sette) giorni dal loro ricevimento. Il Cliente può modifi care gli ordini entro e non oltre 7 (sette)

giorni dal ricevimento dell’accettazione di Lago S.p.A.. Se la variazione perverrà oltre tale termine, Lago S.p.A. potrà accettarla addebitando i costi delle

modifi che e/o di eventuali beni già prodotti o in corso di lavorazione.

CONSEGNA E TRASPORTO

I termini di consegna a carico di Lago S.p.A. hanno un valore indicativo e non vincolante.

La merce è resa franco destino in Italia, salvo diverse indicazioni scritte da parte di Lago Spa. Gli ordini di valore inferiore a Euro 400 (quattrocento) netti

saranno soggetti ad un addebito di Euro 35 (trentacinque), quale parziale contributo per le spese di trasporto sostenute.

Fuori dal territorio Italiano la merce è in PORTO ASSEGNATO (EX WORKS) o PORTO FRANCO CON ADDEBITO (FRANCO DESTINO CON ADDEBITO). Per il PORTO

FRANCO CON ADDEBITO gli ordini di valore inferiore a Euro 800 euro (ottocento) netti saranno soggetti ad un addebito minimo di Euro 70 (settanta).

Ad eccezione delle consegne effettuate da Lago e salvo diverso accordo scritto, i costi ed i rischi del trasporto della merce sono interamente a carico del

cliente, compresi i costi di assicurazione.

I prodotti saranno protetti con imballo adeguato standard; eventuali imballi diversi saranno addebitati al Cliente. Il Cliente è tenuto a verifi care il numero dei

colli e lo stato dell’imballo prima della consegna e comunicare le dovute riserve al vettore annotandole nel documento di consegna.

I rischi di deterioramento o perdita della merce passano al Cliente con la consegna al primo vettore.

PAGAMENTI

Il pagamento dell’ordine non potrà essere sospeso o ritardato da pretese o eccezioni da parte del cliente qualunque ne sia il titolo, né il cliente potrà

compensare tra loro debiti e crediti verso Lago.

Il mancato o parziale pagamento di qualsiasi somma dovuta a Lago comporterà l’automatica costituzione in mora del cliente con conseguente sua decadenza

dal benefi cio del termine e contestuale diritto di Lago di sospendere le forniture, rifi utare o annullare ordini e agire per il pagamento dell’intero debito, oltre a

spese, interessi e maggior danno.

Il ritardo nei pagamenti darà luogo all’addebito degli interessi in conformità a D. Lgs. 9 ottobre 2002, n. 231 (in Gazz. Uff., 23 ottobre, n. 249) in attuazione

della direttiva 2000/35/CE. Lago spa si riserva la facoltà di interrompere i rapporti commerciali in caso di insolvenza del rivenditore.

I rapporti commerciali si intendono comunque non esclusivi e non vincolanti per le parti, con possibilità di interruzione mediante comunicazione di preavviso.

GARANZIA: Resi e Reclami

I prodotti Lago sono coperti da garanzia. Per gli elettrodomestici opera la garanzia del produttore come riportato nel listino elettrodomestici.

Eventuali reclami per non conformità o per difetti evidenti della merce, dovranno essere comunicati, a pena di decadenza, per iscritto a Lago entro 8 (otto)

giorni dal ricevimento. In caso di difetto non evidente, il reclamo dovrà essere presentato entro 8 (otto) giorni dalla scoperta, ma non oltre 12 (dodici) mesi

dalla consegna.

Tale garanzia non opera nel caso in cui i difetti siano conseguenza dell’uso improprio dei prodotti o della loro inidonea conservazione da parte del Cliente e

non copre l’uniformità di venatura e di colore nell’abbinamento dei diversi Prodotti, essendo i campionari di vendita meramente indicativi. Leggere variazioni

di tonalità possono essere dovute alle differenze di spessore del vetro ed alle caratteristiche dei materiali impiegati. IL CLIENTE, CON L’INVIO DELL’ORDINE,

ACCETTA TALI TOLLERANZE. Le modalità per proporre un reclamo a Lago sono specifi cate dettagliatamente nell’apposito paragrafo intitolato “MODULO POST

VENDITA”.

Con riferimento alla previsione degli artt.131 e 132 del D. lgs. 6 settembre 2005, m. 206, il cliente/rivenditore perde e decade da qualsiasi diritto di

regresso qualora entro 8 giorni dal ricevimento della contestazione del cliente fi nale non denunci a LAGO, con le modalità indicate, le non conformità

contestate o riscontrate dal cliente fi nale.

La responsabilità di LAGO è comunque limitata al valore della merce difettosa. LAGO pertanto non potrà esser ritenuta responsabile, tra l’altro, delle

spese sostenute dal cliente o di qualsiasi altro danno (diretto o indiretto) lamentato. inoltre LAGO non risponderà di danni (anche a terzi) derivanti da uso

improprio ed estraneo alla funzione e destinazione dei prodotti o per reclami effettuati con modalità e tempi diversi da quelli indicati.

CONTROVERSIE

Per qualsiasi controversia, relativa all’interpretazione ed esecuzione dei rapporti di vendita, sarà competente in via esclusiva il Foro di Padova, mentre la

legge applicabile è quella sostanziale italiana (escluso qualsiasi rinvio a norme straniere).

RECLAMO ALLA CONSEGNA DELLE MERCI

Qualora all’atto della consegna si dovesse verifi care una delle seguenti anomalie:

- Merce mancante rispetto a quanto riportato nella bolla di accompagnamento;

- Merce differente rispetto a quanto riportato nella bolla di accompagnamento;

- Imballo danneggiato;

è indispensabile:

- Apporre riserva scritta sulla bolla di accompagnamento (sia sulla copia del vettore sia su quella del destinatario). La riserva scritta dovrà essere

dettagliata indicando specifi catamente la motivazione indicata nel modulo; ai fi ni di una corretta evasione della pratica di reclamo non è suffi ciente la

sola riserva generica.

- Compilare il relativo MODULO POST VENDITA in ogni sua parte: il modulo (vedi facsimile di seguito riportato) potrà essere richiesto sia all’Agente

Lago competente per la zona, sia all’uffi cio POST VENDITE Lago, agli indirizzi riportati.

RECLAMO PER NON CONFORMITA’ DEL PRODOTTO

Per segnalare un reclamo riguardante un prodotto Lago, inviare a [email protected] i seguenti documenti:

- Immagini fotografi che relative al lamentato difetto (una per ciascun articolo difettoso); qualora il reclamo riguardi un prodotto nuovo (appena ricevuto

e/o consegnato), inviare anche le immagini del relativo imballo.

- MODULO POSTVENDITA debitamente compilato in ogni parte. Il modulo (vedi facsimile di seguito riportato) potrà essere richiesto sia all’Agente Lago

competente per la zona, sia all’uffi cio POST VENDITE Lago, agli indirizzi riportati.

I documenti indicati dovranno essere trasmessi a Lago entro 8 (otto) giorni dal ricevimento della merce a:

General conditions of sale

TRADEMARK

Lago is a registered trademark of Lago S.p.A. For any use of the Lago trademark for advertising initiatives or for signs displayed to the public, permission shall

be requested from the Company fi rst, and the latter reserves the right to grant or deny authorisation for this.

PRICES

The Prices indicated in the pricelists are the prices suggested to the public. Any price variation, even if it is not communicated to the Customer, is applied to

orders not yet accepted.

ORDERS: Acceptance and Amendments

Lago S.p.A. reserves the right to accept the Customer’s orders within 7 (seven) days from their receipt. The Customer may amend the orders within no more

than 7 (seven) days from the receipt of acceptance from Lago S.p.A. If the variation is received after this term, Lago S.p.A. may accept it, charging the costs of

the amendments and/or of any goods already produced or in the manufacturing process.

DELIVERY and CARRIAGE

The delivery terms to be met by Lago S.p.A. have an indicative value and are not binding.

Goods are delivered carriage free in Italy, except for different written indications of Lago S.p.A. All purchase orders whose amount is less than Euro 400 (four

hundred) net shall be subject to a Euro 35 (thirty-fi ve) charge as a partial contribution to the shipping costs met by Lago S.p.A.

For deliveries to be made abroad, the goods will be delivered either EX-WORKS or DDU (Delivery Duty Unpaid) WITH CHARGE. For DDU WITH CHARGE

deliveries, all purchase orders whose amount is less than Euro 800 (eight hundred) net shall be subject to a minimum Euro 70 (seventy) charge.

Except for deliveries made by Lago and for different written indications, the costs and risks related to the delivery of the goods, including insurance costs, are

to be charged entirely to the Customer.

The products will be protected with a suitable standard packaging; any different packaging will be charged to the Customer. The Customer is required to

verify the number of packages and the condition of the packaging before the handover and inform the carrier of any reservations, noting this on the delivery

document. The risks of deterioration or loss of the merchandise pass on to the Customer with delivery to the fi rst carrier.

PAYMENTS

Any reason of whatsoever nature shall not entitle the Customer to cease or postpone the payment of the order, nor to compensate debts and credits towards

LAGO.

The partial or total default in payment of any invoice entitles LAGO to initiate default proceedings against the Customer, who loses the benefi t of the term. At

the same time, Lago S.p.A. shall have the right to suspend any supply, refuse or cancel orders and demand the full payment of the debt, as well as expenses,

interests and greater damages.

Interests shall automatically accrue on the sums due in accordance with the 09/10/2002 n. 231 Legislative Decree (Offi cial Journal n. 249 dated 23/10/09) in

compliance with the 2000/35/CE guidelines.

LAGO reserves the right to interrupt commercial relations in the event of the insolvency of the retailer. The commercial relations are nevertheless understood

not to be exclusive and not binding for the parties, with the possibility of interruption subject to prior notice.

WARRANTY: Returns and Complaints

Lago products are covered by warranty. As regards electrical appliances, they are covered by the supplier’s warranty as stated in the Electrical Appliances

pricelist.

All claims for non conformity or for visible defects of the goods must be notifi ed in writing to LAGO within 8 (eight) days from the receipt of the goods, the

Customer’s rights being otherwise forfeited.

In the event of non evident defect, the claim shall be submitted within 8 (eight) days from the date in which the defect has been discovered, but not later than

12 (twelve) months after the delivery of the goods.

Such warranty is not operative in the event that the defects concerned are consequent to an improper use of the products or to an unsuitable storage by

the Customer, and it does not cover the uniformity of grain and colour in the combination of the various Products, being the sale samples purely indicative.

slight differences in shade may occur due to the thickness of the glass and to the features of the materials used. THE CUSTOMER, BY SENDING THE ORDER,

ACCEPTS SUCH TOLERANCES.

The paragraph entitled “AFTER SALES FORM” explains in detail the steps to forward a claim to LAGO.

With reference to the formalities set forth by art. 131 and 132 of the 06/09/2005 Legislative Decree n. 206, in the event that the customer/reseller didn’t notify

to LAGO, in the indicated modalities, the non conformities claimed or found by the fi nal customer AFTER 8 days from receiving the fi nal customer’s claim, he

will lose any right of recourse

In any case, LAGO’s responsibility is limited to the value of the faulty items. Therefore, LAGO shall not be held responsible for the Customer’s expenses or for

any other direct or indirect damage claimed. Furthermore, LAGO will nor respond for any damage (even to third parties) resulting from an improper or different

use from the function and destination of the products, or for claims submitted with different modalities and timings from those indicated.

DISPUTES

For any dispute regarding the interpretation and execution of sales relations, the exclusive Place of Jurisdiction will be the Law-Court of Padua, while the

applicable law is the Italian Law (excluding any recourse to foreign laws).

CLAIM AT THE GOODS’ DELIVERY

In case that at the moment of delivery one of these anomalies occurred:

- missing goods with respect to what is indicated in the packing list;

- different goods from those indicated in the packing list;

- damaged packaging

it is essential to:

- expressly formulate a written reserve on the packing list (both on the shippers’ copy and on the recipient’s). The reserve shall be written in detail with a

specifi c explanation of what is written in the form; in order to process the claim correctly the generic reserve is not suffi cient.

- Fill in the AFTER SALES FORM in all its parts: the form (see facsimile below) can be requested both to the Agent and to the after-sales offi ce, at the

addresses indicated below.

CLAIM FOR NON-CONFORMITY OF THE PRODUCT

In order to submit a claim for a LAGO product, please send to [email protected] the following documents:

- pictures of the defect claimed (one for each defect); in case the claim refers to a new product (just received and/or delivered), please also send the

pictures of its packaging.

- AFTER SALES FORM in all its parts: the form (see facsimile below) can be requested both to the Agent and to the after-sales offi ce, at the addresses

indicated below.

The above-mentioned documents shall be submitted within 8 (eight) days from the receipt of the goods to:
