1. Context ONHYM “Office National des Hydrocarbures et des Mines” - is the Moroccan State Company in charge of Hydrocarbons and Mines. ONHYM was created on August 17th, 2005 by merging ONAREP and BRPM. This merger is considered as the start of a new era with a dynamic strategy and improved synergy to adequately assess both Hydrocarbon and Mining Potentials of Morocco. ONHYM is an independent and financially autonomous public institution, but is subject to financial control by the state, as it is the case for all Moroccan public institutions. ONHYM activity is also supervised by the state to ensure compliance with the law that has created the office, especially with regard to its tasks and functions, and to ensure proper application of the law (Law 33-01) and regulations relating to public institutions in general. The strategy of ONHYM focuses on four main directions:

1. Intensify petroleum and mining exploration in Morocco;

2. Strengthen opening to the global market and development of partnerships with foreign

investors as integral part of ONHYM’s policy for promotion of petroleum and mineral

resources of the country;

3. Give ONHYM a substantial international level of credibility resulting from an efficient

promotion policy;

4. Establish a performance-oriented culture of management.

Since 2000, ONHYM has developed an information system for the exploration of hydrocarbons to satisfy the needs of studies conducted by ONHYM geoscientists and its partners, as well as ensuring the availability of information to carry out the promotion campaigns. The IT master plan 2008-2012 led to:

• Develop a geographic information system;

• Consolidate and secure geophysical data in electronic format on disks and modern

magnetic media;

• Establish a set of software for processing and interpretation of geoscientific data in the

Department of Petroleum Exploration ;

• Secure and enhance the value of the documentary patrimony by scanning (through several

scanning and transcription projects) and implementing a data catalog.

ONHYM is based in two different locations in Rabat and is equipped with the main IT resources listed below:

• Local network and connectivity to the internet network;

• Messaging system, an intranet and a project management system;

• Computers and workstations connected to the network;

• Servers with dedicated and shared space storages;

• Software and IT tools for mining and hydrocarbons geoscientists.

Any appendix is an integral part of this contract 2. Scope of work As part of the IT projects portfolio, ONHYM has planned to upgrade the Hydrocarbon Exploration Information System. The scope of this project consists of:

• Upgrading the seismic processing center (acquisition of a new processing solution with

the operating hardware platform) ;

• Upgrading the seismic interpretation center ;

• Upgrading the seismic transcription center and pursue the transcription and the

archiving job of the data that was not completed by the previous transcription projects;

• Upgrading the existing sets of geoscience softwares;

• Studying and reviewing the electronic data management. The study should cover data

workflow, data security and traceability of access. The Contractor should provide detailed

specifications and evaluation of solutions proposed to meet these recommendations with

regard to data workflow and security.

The present technical advisory service will assist ONHYM project teams to define the requirements and benefits, develop detailed specifications, determine detailed cost estimations, identify potential providers, evaluate tenders, select contractors, prepare contracts and assist in receiving the project deliverables

The purpose of this accompaniment is to assist ONHYM project teams to define the requirements and benefits, develop detailed specifications, determine detailed cost estimations, identify potential providers, evaluate tenders, select contractors, prepare contracts and assist in receiving equipment and software. The minimum requested services are: Mission 1

• Evaluation of the facilities (installations) and software status used in hydrocarbon

exploration particularly in the geophysical interpretation, transcription and seismic

processing;

• Assessment of magnetic media, archived data and all related supporting documents;

• Review and study of the workflow of digital data hosted at the file server : the needs in

terms of exchange, access and use by business software between different centers

(transcription, processing and interpretation) and the circulation to external partners;

• Evaluation of the mechanisms of security related to data protection;

• Development of immediate (2014) and medium-term (2015-2016) needs, based on a

global targeted information system architecture :

o Hardware, software, infrastructure, environment, supplies, training, services and

maintenance of the existing software park and upcoming acquisitions;

o Infrastructure network and computer hardware;

o External services.

Mission 2 The contractor should assist ONHYM to prepare tender documents to ensure the acquisition(s) be launched in 2014-2015. The Contractor shall assist ONHYM in preparing the tender documents. This responsibility shall focus on: the review and recommendations for the technical parameters and assistance in drawing up specifications based on the present study and in consultation with ONHYM. Preparation of the commercial parameters of the tender(s) shall be the responsibility of ONHYM, but the Contractor shall advise ONHYM on typical terms and conditions used in other international projects for IT hardware/software acquisition, installation and commissioning, other services, warranties, and training. During this task, the Contractor and ONHYM shall discuss the optimum strategy for tendering on goods and services, and to what extent the procurement of hardware/software, services, and training should be tendered together or separately. The Contractor shall assist ONHYM on:

• Drawing up specifications and answers to the questions of potential candidates;

• Defining conditions and rules for the selection of tenders;

• Estimating the costs and deadlines;

• Listing the potential bidders to consult ;

• Evaluating the tenders offers;

• Establishing the contract: The Contractor shall assist ONHYM during the contract

negotiations. This assistance shall be advisory and will relate to negotiations regarding

technical compliance with the tender specifications; completeness of the offer, and terms

and conditions of delivery, installation, commissioning, warranty and training.

• Assisting ONHYM to receive equipment and software.

It is expected that the consulting firm will have at least four (4) face -to-face meetings with ONHYM staff and/or committees during the course of this project.

“Kick off” meeting;

Working meeting to evaluate existing facilitations and installations;

Meeting to review the draft of global targeted information system architecture;

Meeting to review and receipt goods and installations; All meetings will be held at ONHYM, Rabat MOROCCO; Deliverables First visit to ONHYM

Minutes of the kick-off meeting;

The project management plan approved. Mission 1

• Assessment inventory and evaluation report;

• Targeted information system architecture (with enough details and necessary procedures

and flow diagrams);

• Need, specifications and budget;

• Monthly progress reports;

• All presentations made during visits to ONHYM

Mission 2 • Detailed needs, specifications and budget;

• Tenders and evaluation documents (including documents related to questions/answers to

bidders) ;

• Monthly progress reports;

• All presentations made during visits to ONHYM;

• End of mission report including report of validating the receipt of the acquisitions.

3. METHODS AND PLACES OF EXECUTION OF THE SERVICE The Assistance will be conducted in Morocco and in the country of the Contractor. The consultants will have to visit ONHYM two (2) to three times (3) for contact and visual assessment of the existing as well as for reception of equipment if necessary. The project will be carried out taking into account the need for optimizing efforts and trips to Morocco. The consultant(s) will be in close communication with the project manager appointed by ONHYM (single interface). Communication will be provided by e-mails, telephone, fax and other modern means. Workshops could be organized with the project team remotely through modern means of communications when necessary.

4. FORM AND CHARACTERISTICS OF PRICES The contract is global fixed price (fixed budget). Prices are firm and not subject to revision throughout the duration of the contract. The prices are in US dollars including all taxes. The prices include earnings and all taxes, duties, taxes, fees, incidentals and generally all expenses which are necessary and direct consequence of the work. They consider all the services to which they apply, not only as these are defined in this document, but as they should be actually executed. The Proposals that exceed the indicated budget are rejected. 5. IMPLEMENTATION PERIOD The implementation period is set at 15 mouths. This period runs from the date specified in the service order requiring the start of execution of the contract. The implementation period for mission 1 is 4 months.

6. REFERENCE TO GENERAL REGULATIONS

The successful tenderer remains submitted to the obligations provided for in the general applicable regulations including the following regulations:

1- ONHYM regulation relating to the conditions and forms of ONHYM procurement. 2- Decree n°2-01-2332 dated 22 rabii I 1423 (4 June 2002) approving the specifications of the

general administrative clauses applicable to service procurement relating to performance of study and management executed on behalf of the State, as modified.

3- Law 09-08 relating to the protection of individuals with regard to the processing of personal data, promulgated by Dahir n° 1-09-15 dated 22 safar 1430 (18 February 2009). Especially, article 5 of said law.

7. DELIVRABLES FORMAT The contractor should provide ONHYM with the deliverables in electronic format with respect to the commitment and planning fixed for the execution of the contract. At the end of the project all project, deliverables will be archived classified and provided to ONHYM in triplicate in paper and electronic format (magnetic media).

8. VERIFICATION MODALITIES OF DELIVERABLES

The deliverables shall be subject to some verification to check its compliance to terms specified in the contract. Those verifications are made by ONHYM.

From the date on which the deliverables are submitted, ONHYM will take the following provisions:

- Either accepts the deliverables without reservations, - Or ask the contractor to make corrections or changes to make it conform to market requirements within the contractual deadline.

The Time reserved to approve the deliverables is not included in the period of the execution of the contract. This deadline shall be 20 days after the submission of the deliverables. 9. FINAL ACCEPTANCE

Based on an assurance that the contract was completed in accordance with the contract terms and obligations, the final acceptance is declared by signing the final acceptance document. 10. THE CONTRACTOR REPESENTATIVE

During the period of the contract execution, the contractor should define a unique representative to supervise and monitor contract execution.

11. MONITORING THE CONTRACT EXECUTION The project board committee and the project monitoring committee are designed to supervise the project execution following the methodology of project management adopted by ONHYM since many years ago. 12. PAYMENT SCHEDULE The payment is scheduled as follows:

15 % after the validation of the first visit (Minutes of the kick-off meeting; The project management plan approved )

35% after the validation of the mission 1

50% after the validation of the mission 2 13. TERMS AND CONDITIONS FOR PAYMENT Payment will be made by bank transfer to and on behalf of the contractor, mentioned in the tender document, within 60 days after the invoice receipt (6 copies) approved by ONHYM and the statement of receipt signed by ONHYM and the contractor. 14. CONFIDENTIALITY (professional secrecy) The contractor is obliged to maintain professional secrecy for the entire period of the contract and after its completion. Therefore, except under the express permission from ONHYM, the contractor is not allowed to:

- Make use of information and documents provided by ONHYM for purposes other than those of the market.

- Publish or communicate to third party information related to the market. 15. CONFLICTING ACTIVITIES

Conflict between consulting activities and procurement of goods, works or non-consulting

services: a firm that has been engaged by the Client to provide goods, works or non-consulting

services for a project, or any of its Affiliates, shall be disqualified from providing consulting

services resulting from or directly related to those goods, works or non-consulting services.

Conversely, a firm hired to provide consulting services for the preparation or implementation of

a project, or any of its Affiliates, shall be disqualified from subsequently providing goods or works

or nonconsulting services resulting from or directly related to the consulting services for such

preparation or implementation.

16. JOINT VENTURE, CONSORTIUM OR ASSOCIATION If the proposer is a joint venture, consortium or association, all of the parties shall be jointly and severally liable to ONHYM for fulfillment of the contract provisions and shall designate one party to act as a leader with authority to legally bind the joint venture, consortium or association. 17. SUPPLY OF PERSONNEL The Technical Assistance shall be carried out by the personnel specified in the proposal for the respective periods of time covered by this Contract. Curriculum Vitaes should be attached to the proposal for each person listed and must be signed by the individual assuring their availability to the Contractor and their commitment to the Technical Assistance. The Contractor hereby agrees that the personnel listed in his proposal will be utilized to perform the Technical Assistance. 18. PROCEDURES FOR SUBSTITUTION OF PERSONNEL Except as the Client may otherwise agree, no changes shall be made in the personnel specified in contractor initial offer. If, for any reason beyond the reasonable control of the Contractor, it becomes necessary to replace any person specified in the initial offer, the Contractor shall provide a replacement of equivalent or superior qualifications. Any additional costs incurred by reason of such substitution shall be at the expense of the Contractor. In the event any person is found by ONHYM to be unsuitable or incompetent in discharging his assigned responsibilities, ONHYM may request the Contractor to provide a replacement within a reasonable period. Any additional costs incurred because of such replacement shall be at the expense of the Contractor. 19. SUSPENSION AND TERMINATION OF THE CONTRACT (a) Suspension of the Contract

If any of the following events shall have happened and be continuing, either party may, by written notice to the other party, suspend in whole or in part this contract:

- A default shall have occurred in the performance of any obligation of the other Party under this contract.

(b) Termination of the Contract If the following events shall have happened and be continuing, either party may, by written notice to the other party, terminate the Contract:

- Any of the conditions referred to in Paragraph (a) above shall continue for a period of thirty (30) days after the Party shall have given written notice to the other party of the suspension of the Contract;

In any event, either Party may terminate the Contract at any time by giving not less than sixty (60) days written notice to the other party. (c) Termination Procedures Upon termination of the Contract, the Contractor shall take immediate steps to terminate the performance of the Technical Assistance in a prompt and orderly manner and to reduce losses and to keep further expenditures to a minimum. 20. PENALTY FOR DELAY Except in cases of force majeure duly justified and accepted by ONHYM, any delay in execution will be treated with rigor. A detailed project implementation plan will be prepared in consultation with the switch at the beginning of the project taking into account the deadline for mission 1, the overall time of this contract and the technical proposal offer of the contractor. If a delay is observed in relation to the agreed schedule, formal notice will be sent to the contractor to rectify the situation. If after three formal notices the delay accumulates over 3 months compared to the planned schedule ONHYM reserves the right to terminate the contract. The application of these penalties shall not relieve the Contractor of all other obligations and responsibilities it has assumed under the contract. 21. BUSINESS PRACTICES Each party, including any other participants in the Project, agrees not to pay, promise to pay, or authorize the payment of any money or anything of value, directly or indirectly, to any person (whether a governmental official or private individual) for the purposes of illegally or improperly inducing anyone to take any action favorable to any party in connection with the Project. Each party agrees that it will require that any agent or representative of the party hired to represent such party in connection with the Project will comply with this paragraph and all laws which apply to activities and obligations of each party under the contract, including but not limited to those laws and obligations dealing with improper payments. 22. STANDARDS OF CONDUCT

The Contractor shall exercise all reasonable skill, care, and diligence in the performance of the Technical Assistance under this Contract and shall carry out its responsibilities in accordance with recognized professional standards. The Contractor and its employees, agents, and subcontractors, if any, shall respect and abide by all applicable laws and regulations of the host country. 23. LIABILITY The Contractor and any subcontractor shall be liable to ONHYM for performance of the Technical Assistance in accordance with the provisions of the Contract and for any loss suffered by ONHYM as a result of a default of the Contractor in such performance, subject to the following limitations:

(a) the Contractor shall not be liable for any damage or injury caused by or arising out of the act, neglect, default or omission of any persons other than the Contractor, its Subcontractors or the personnel of either of them; and (b) the Contractor shall not be liable for any loss or damage caused by or arising out of circumstances over which the Contractor had no control.

24. DISPUTE RESOLUTION (a) All disputes between the parties hereto arising in connection with this Contract shall be settled if possible through friendly negotiations between the parties hereto. In case no settlement can be reached within ninety (90) days after a dispute arises, either party may request that the dispute be submitted for arbitration. (b) The arbitration shall take place in Paris and be conducted by the ICC International Court of Arbitration in accordance with the procedural rules of UNCITRAL. The arbitration shall be conducted by three (3) arbitrators in the French language. The decision of the arbitrators shall be final and binding upon both parties.

This contract shall be governed by and construed in accordance with the laws of Morocco.

25. OWNERSHIP RIGHTS ONHYM shall have unrestricted authority to reproduce, distribute, and use any submitted report, data, or material, and any software or modifications and any associated documentation. 26. FORCE MAJEURE Neither party will incur any liability to the other if its performance of any obligation under this Contract is prevented or delayed by causes beyond its control and without the fault or negligence of either party. Causes beyond a party's control may include, but aren't limited to, acts of God or

war, changes in controlling law, regulations, orders or the requirements of any governmental entity, severe weather conditions, civil disorders, natural disasters, fire, epidemics and quarantines, general strikes throughout the trade, and freight embargoes. The Contractor shall notify ONHYM orally within five (5) days and in writing within ten (10) days of the date on which the Contractor becomes aware, or should have reasonably become aware, that such cause would prevent or delay its performance. Such notification shall (i) describe fully such cause(s) and its effect on performance, (ii) state whether performance under the contract is prevented or delayed and (iii) if performance is delayed, state a reasonable estimate of the duration of the delay. The Contractor shall have the burden of proving that such cause(s) delayed or prevented its performance despite its diligent efforts to perform and shall produce such supporting documentation as ONHYM may reasonably request. After receipt of such notification, ONHYM may elect either to cancel the Contract or to extend the time for performance as reasonably necessary to compensate for the Contractor's delay. In the event of a declared emergency by competent governmental authorities, ONHYM by notice to the Contractor, may suspend all or a portion of the Contract. 27. ADDRESSES OF RECORD Any notice, request, document, or other communication submitted by either party to the other under the Contract shall be in writing or through a wire or electronic medium which produces a tangible record of the transmission, such as a telegram, cable or facsimile, and will be deemed duly given or sent when delivered to such party at the following : Procurement point of contact or ONHYM project manager. All such communications between the parties shall be in the English or French language depending on the language of the contractor. 28. COST OF PREPARATION OF PROPOSAL The bidder shall bear all costs associated with the preparation and submission of its Proposal, and the ONHYM shall not be responsible or liable for those costs, regardless of the conduct or outcome of the selection process. ONHYM is not bound to accept any proposal, and reserves the right to annul the selection process at any time prior to Contract award, without thereby incurring any liability to the bidder. 29. COST OF PREPARATION OF CONTRACT The contractor shall bear all costs associated with the preparation and signature of the contract, and the ONHYM shall not be responsible or liable for those costs. 30. STAMP AND REGISTRATION DUTIES

Stamp and registration duties of the contract are borne by the contractor. 31. RIGHT TO ACCEPT, REJECT ANY OR ALL PROPOSALS

ONHYM reserves the right to accept or reject any proposal to render any or all proposals as non-responsive, and to annul the solicitation process and reject all proposals at any time prior

to award of contract, without thereby incurring any liability to the affected proposer, or any obligation to inform the affected proposer(s).

32. EVALUATION AND SELECTION A committee will evaluate proposals will be assessed and scored against the evaluation criteria. ONHYM’s decision on evaluation shall be final and binding on all the bidders. Proposals will be ranked. the best proposal will be in the rank 1. ONHYM shall award the contract to the qualified proposer with the highest evaluated score. If the selected proposer is no longer interested in the contract for any reason, he will be replaced by the candidate ranked second. This process can be repeated until getting a contractor. 33. CRITERIA FOR EVALUATING PROPOSALS The proposal is evaluated upon the criteria listed below:

• The expertise of the firm/organization :

o Brief description of the proposer as an entity

o Financial capacity

o The list of reference of similar projects (see format Annex 1)

• The methodology : Approach and implementation Plan;

o Approach to the service/work Required

o Technical Quality Assurance Review Mechanisms

o Reporting and monitoring

o Subcontracting

• Personnel

o Management structure: describe the overall management approach toward

planning and implementing the activity. Include an organization chart for the

management of the project describing roles and key positions

o Qualifications of Key Personnel: Provide CVs for the key personnel (Team leader,

experts…. CVs should fit the model proposed in annex I or similar model with the

same information )

• The resources to be used;

34. PROFILES OF REQUIRED CONSULTANTS (KEY PERSONAL) The Contractor team should be composed of one or two consultants (or more if necessary) with the following expertise:

• Expertise in geophysics and in geophysical data management and processing system , with 10 years’ experience at least in transcription, processing and interpretation of petroleum geophysical data and hydrocarbon information system architecture. • Expertise in modern information processing technology, parallel processing technologies (CUDA, GPU, ..) data archiving and security with at least 5 years of experience in these fields.

35. REQUIRED DOCUMENTS The required documents that are furnished to establish qualification of proposers are:

Full submission including company profile,

Certificate of Registration of the business or equivalent document,

Trade name registration papers, if applicable Quality Certificate and /or other similar certificates , accreditations, awards received by the proposer, if any

36. CLARIFICATIONS OF PROPOSAL Any request for clarification must be sent in writing, or by electronic means to [email protected]. ONHYM will respond in by writing o by electronic means and will send written copies of the response (including an explanation of the query but without identify the source of incuiry) to all the proposers who have provided conformation of their intention to submit a bids. 37. PROPOSAL SUBMISSION REQUIREMENTS The Cover Letter (envelope) in the proposal (1 original and 1 copy) must be addressed to:

An Original and one copy of your proposal must be received at the above address no later than 09H00 morning, on April 18, 2014. The following sections and content are required for each proposal:

a. Transmittal Letter with signature block (model annex 1), b. Cover/Title Page, c. Table of Contents, d. Introduction and Executive Summary, e. Company Information, f. Organizational Structure, Management Plan, and Key Personnel, g. Technical Approach and Work Plan, h. Experience and Qualifications, and i. Miscellaneous.

Proposals may be either sent by mail, overnight courier, or hand-delivered. Whether the proposal is sent by mail, courier or hand-delivered, the Offeror shall be responsible for actual delivery of the proposal to the above address before the deadline. Any proposal received after the deadline will be returned unopened.

38. PACKAGING Each proposal must be sealed to ensure confidentiality of the information. The proposals should be individually wrapped and sealed, and labeled for content including "original" or "copy” should be collectively wrapped and sealed, and clearly marked for content. 39. AUTHORIZED SIGNATURE The proposal must contain the signature of a duly authorized officer or agent of the Offeror empowered with the right to bind the Offeror. 40. FINANCIAL PROPOSAL The proposer is required to prepare the Financial Proposal in a separate envelope from the rest of the RFP response. 41. CRITERIA FOR EVALUATING PROPOSALS
