On 9 October 2018 The Liverpool Football Club and Athletic Grounds Limited (“LFC”) secured Planning Approval (Ref: 18F/1632) to host up to six major events at Anfield Stadium in any calendar year (excluding the month of July) for a period of two years from the date of the first major event (expiring 6 June 2021).
LFC wishes to apply the minimum sum of £10,000 (ten thousand pounds) for each major event held at Anfield Stadium pursuant to the Planning Approval or such other greater sum representing a donation from income (if any) generated by LFC from each such major event (“Donation”) to a Community Initiative (“Fund”).
LFC wish to make the Donation to the Liverpool FC Foundation, an independent Charity, registered in England & Wales with The Charity Commission Number: 1096572 (“Foundation”).
LFC will make the Donation(s) to the Foundation on or before 31 July each year following the occurrence of any major event(s), with the first donation being paid on or before 31 July 2019.
The Foundation will hold the Donation in a restricted fund to be applied by the Committee by way of grant funding to Community Initiatives in accordance with these Terms.
“Committee” means the Community Initiatives Committee established by the Foundation in accordance with paragraph 6 for the purposes of administering the Fund and other purposes as set out in these Terms.
“Community” means the Anfield and Everton Wards in the Liverpool 4, 5 and 6 areas.
“Community Initiative” shall mean any initiative for the benefit of the Community which meets the Committee’s Objectives.
“Committee’s Objectives” shall mean any initiative which:
(a) compliments the objects of the Foundation;
(b) enhances the quality of life and wellbeing of the people (or any person(s)) in the Community;
(c) helps to support or deliver activities or projects based within the Community;
(d) promotes Community participation in healthy recreation;
(e) provides and assists in providing facilities for sport, recreation or such other leisure time occupation for such persons who have need for such facilities by reason of their youth, age, infirmity, disablement, poverty or social and economic circumstances in or for the Community;
(f) is in the interests of social welfare with the object of improving conditions of life;
(g) advances the education of children or other persons through such means as the Committee thinks fit;
or
(h) is for the general purposes of a charitable body or such other charitable purpose as the Committee may from time to time determine.
1.10 “Funding”meanstheawardofgrantfundingfromtheFundbytheCommitteeonbehalfoftheTrustees.

ESTABLISHMENT OF THE COMMITTEE
2.1 TheCommitteeisestablishedbytheFoundationsubjectto,andinaccordancewitharticle23ofitsarticlesof association.
2.2 Subjecttoparagraph2.1above,theCommitteeshallbegovernedbythesetermsofreference(“Terms”). NothingintheseTermsshallbeinconsistentwith,orshallaffectorrepeal,theprovisionslistedinthe Foundation’sarticlesofassociation.InsuchcircumstancestherelevantprovisionoftheseTermsshallbevoid.
INTERPRETATION
3.1 IntheseTerms,unlessthecontextrequiresotherwise:
3.1.1 Chair hasthemeaninggiveninparagraph15.1;
3.1.2 LFCmeansTheLiverpoolFootballClubandAthleticGroundsLimited(CoNo:35668);
3.1.3 Fund meanstherestrictedfundofmoniesgiftedbyLFCtotheFoundationwhichisoperatedbytheCommittee pursuant to the Foundation articles of association and these Terms;
3.1.4 SecretarymeansthesecretaryoftheCommittee(ifany)appointedfromtimetotimeinaccordancewithparagraph15.3;
3.1.5 Trustees means the trustees of the Foundation.
3.2 IntheeventofanyambiguitytheTrusteesshallhavethepowertoruleontheinterpretationoftheseTerms.
PURPOSES OF THE COMMITTEE
4.1 InfurtheranceoftheFoundation’scharitablepurposes,assetoutinarticle4ofitsarticlesofassociation,the purposeoftheCommitteeistoidentifypossiblerecipientsofFundingforfurtheringtheCommittee’sObjectives.
4.2 TheCommitteeshallnotfurtheranypurposeswhichdonotfallwithinthepurposesoftheFoundation.
4.3 TheCommitteewillbeguidedbythefollowingprinciples:
4.3.1 informedbylocalinformationandrepresentationsfromCommunityresidentsandWardCouncillors;
4.3.2 targetedtomeetcommunityneeds,prioritiesandaspirations;
4.3.3 focusedtoachievemaximumefficiencyandeffectiveness;
4.3.4 enhancingcommunityandvoluntaryactivity;
4.3.5 encouragingbestpracticeamongcommunityandvoluntarygroups;and
4.3.6 implemented,monitoredandevaluatedtoensureoptimumachievementoftheCommitteeObjectives,best use of Funding and lessons for the future.
4.4 Incarryingoutitspurposes,theCommitteeshallarrangeregularCommunitymeetingstoobtaininformationfromthelocalCommunityastoprojectsand/orinitiativeswhichmaybeeligibletoreceivefunding.

POWERS AND RESPONSIBILITIES OF THE COMMITTEE
5.1 Subjecttoparagraph4aboveandtoanydecisionorresolutionoftheFoundation,theCommitteeshallnothavethepowertobindtheFoundationnortomakeanydecisionsonbehalfoftheFoundation.Rather,theCommittee shallconsultwithmembersofthelocalCommunityandmakerecommendationstoandreportbacktothe Trustees of the Foundation.
5.2 Atalltimes,theCommitteeshallensurethatitsactionsareconductedinaccordancewiththeobjectsofthe Foundation and the provisions outlined in these Terms.
5.3 ExceptasprovidedforintheseTerms,inadditiontoallpowersherebyexpresslyconferredupontheCommittee andwithoutdetractingfromthegeneralityofthepowersdelegated,theCommitteeshallhavethefollowing powers,namely:
5.3.1 toconsultwithmembersoftheCommunity,notforprofitcharities,communityorganisations(including nurseries,schools,collegesandotheryouthandadultserviceorganisations)andWardCouncillorsinrelationtotheidentificationofCommunityInitiativesandtheawardofanyFunding;
5.3.2 toconsidereligibleapplicationsfortheFunding(inwholeorinpart)ofCommunityInitiativesandmakerepresentationstotheTrusteesinrelationtothemakingofgrant(s)fromtheFund;
5.3.3 tofacilitatethegrantofFundsonbehalfoftheTrusteesandadminister,manageandmonitoranyCommunityInitiativewhichreceivesFunding;and
5.3.4 tocommunicate(assuchtimesandintervalsasitdeemsappropriate)anyawardofFundingwiththeCommunityresidentsandWardCouncillorsandtheprogressofanyCommunityInitiative.
5.4 TheCommitteeshallnothavethepowertocommitanyFundingwithouttheexpresspriorwrittenapprovalofthe Foundation.
5.5 TheCommitteeshallnothaveanypowerswhichtheFoundationisitselfunabletolawfullydelegatetoit.
5.6 TheCommitteeshallatalltimeshaveregardtotheTrustees’Grant-MakingPolicysetoutatAppendix1.
COMPOSITION OF THE COMMITTEE
6.1 The Trustees shall appoint the Committee members. The Committee shall comprise not less than 2 Foundation Trustees,1LFCrepresentativeand1Foundationrepresentativeand(unlessotherwisedeterminedbythe Trustees) shall not be subject to a maximum number.
6.2 Nopersonmaybeappointedasamemberifheorshewouldbedisqualifiedfrombeingamemberunderparagraph8below.
6.3 MembershipoftheCommitteeispersonalandisnottransferabletoanyotherperson.
6.4 The Trustees shall maintain a register of Committee members.

TERM OF OFFICE
7.1 ThetermofofficeofaCommitteemembershallbetwoyears.
7.2 NothingintheseTermspreventsamemberfrombeingreappointedattheexpiryofhisorhertermofoffice.
DISQUALIFICATION FROM OFFICE
8.1 ACommitteemembershallbedisqualifiedfromholding,orcontinuingtohold,officeasaCommitteemember andshallceasetoholdsuchofficeifheorshe:
8.1.1 becomesdisqualifiedbylawfromholdingofficeasacompanydirectororacharitytrustee;
8.1.2 becomesincapablebyreasonofillnessorinjuryofmanagingandadministeringhisorherownaffairs;
8.1.3 resignsfromhisorherofficebywrittennoticetotheChair;
8.1.4 isabsentwithoutgoodreasonfromallthemeetingsoftheCommitteeheldwithinaperiodof12monthsandtheCommitteeresolvesthathisorherofficebevacated;
8.1.5 isthesubjectofabankruptcyorderoranorderismadeagainsthimorherinindividualinsolvencyproceedingsinajurisdictionotherthanEnglandandWaleswhichhasaneffectsimilartothatof bankruptcy;
8.1.6 makesacompositionwithhisorhercreditorsgenerallyinsatisfactionofhisorherdebts;
8.1.7 inthecaseofanLFC,Foundation,CommunityresidentialorCommunityWardCouncillorappointment,ceasestobe,anemployeeorofficerofLFC,anemployeeorofficeroftheFoundation,aCommunity residentorCommunityWardCouncillor;or
8.1.8 isremovedasaCommitteememberbyadecisionorresolutionoftheTrustees.

PROCEEDINGS OF THE COMMITTEE
9.1 TheCommitteewillmeetatleasttwotimesayear.TheCommitteemaymeetatothertimesduringtheyearasagreedbetweentheCommitteemembersorasrequired.
9.2 TheSecretarymustconvenemeetingsoftheCommitteeand,whenexercisingthisfunction,heorshemustcomplywithanyrequestforameeting,oranydirectiongivenby:
9.2.1 the Committee;
9.2.2 theChair,sofarassuchdirectionisnotinconsistentwithanydirectiongivenunderparagraph9.1 above; or
9.2.3 the Trustees.
9.3 Subjecttoanydirectiongiveninaccordancewithparagraph9.1above,atleastsevendaysinadvancetheSecretarymustgivetoeachCommitteememberandtotheTrustees(whetherornottheyareCommittee
members):
9.3.1 writtennoticeofthemeeting;
9.3.2 acopyoftheagendaforthemeeting;and
9.3.3 anyreportsorotherpaperstobeconsideredatthemeeting;
9.3.4 providedthat,wherethechairoftheCommitteesodeterminesonthegroundthattherearematters demandingurgentconsideration,itwillbesufficientifthewrittennoticeofthemeetingstatesthatfact andthenotice,agendaandreportsorotherpaperstobeconsideredatthemeetingaregivenwithin such shorter period as he or she directs.
ATTENDANCE
10.1 Subjecttoparagraph14below,thefollowingpersonsareentitledtoattendanymeetingofaCommittee:
10.1.1 anyCommitteemember;
10.1.2 anyTrusteewhetherornotheorsheisaCommitteemember;and
10.1.3 suchotherpersonsastheCommitteemaydeterminefromtimetotime.
QUORUM
11.1 ThequorumforthetransactionofthebusinessoftheCommitteeshallbe50%ofthetotalnumberofCommittee membersfromtimetotimeandshallincludeatleastoneTrusteerepresentative,oneLFCrepresentative,oneFoundation representative and one Ward Councillor representative.
11.2 Ifitisnotpossibletoformaquorumortakeavoteonaparticularmatter,themattermaybereferredtothe Trustees for a decision.

VOTING
12.1 EveryquestiontobedecidedatameetingofaCommitteemustbedeterminedbyamajorityofthevotesofthe Committee members present and voting on the question.
12.2 Wherethereisanequaldivisionofvotes,thepersonwhoisactingasChairforthepurposesofthemeetinghasa second or casting vote.
12.3 Subjecttoparagraph12.1above,theproceedingsoftheCommitteearenotinvalidatedby:
12.3.1 anyvacancyamongitsnumber;or
12.3.2 anydefectintheappointmentofanyCommitteemember.
REPORTING
13.1 TheCommitteeshallprovidehalf-yearlywrittenreportstotheTrustees,insuchformatastheTrusteesrequest (actingreasonably)whichshall,ataminimum,provideasummaryoftheCommittee’sactivitiesinthepreceding 6monthperiodtogetherwithanyrecommendationsforCommunityInitiativestowhichFundingcouldbe
applied.
CONFLICTS OF INTEREST
14.1 Where:
14.1.1 inrelationtoanymattertheremaybeaconflictbetweenthedutiesorinterestsofaCommitteemember and the interests of the Foundation;
14.1.2 thereisanyreasonabledoubtaboutaCommitteemember’sabilitytoactimpartiallyinrelationtoany matter; or
14.1.3 aCommitteemember(orapersonconnectedwithhimorher)hasapecuniaryinterestinanymatter,
thatperson,ifpresentatameetingoftheCommitteeatwhichthematteristhesubjectofconsideration,mustdisclosethenatureandextentofhisorherdutyorinterest,withdrawfromthemeetingand(ifheorshehasavote) not vote on the matter in question.
14.2 Nothinginthisparagraph14shallbeconstruedasprecludingtheCommitteefrom:
14.2.1 allowingapersonwhoappearstothemtobeabletogiveevidencetoattendanyhearingconductedby themintoanymatterandtopresenthisorherevidence;or
14.2.2 hearingrepresentationsfromaCommitteememberactinginacapacityotherthanthatofaCommittee member.
14.3 WherethereisanydisputeastowhetheraCommitteememberisrequiredbythisparagraph14towithdrawfromameetingoftheCommitteeandnotvote,thatquestionmustbedeterminedbytheother Committeememberspresentatthemeetingactingreasonablyandingoodfaith.

MISCELLANEOUS PROVISIONS
15.1 TheCommitteemembersmay,subjecttothepriorapprovaloftheTrustees,appointoneoftheirnumbertobethechairoftheirmeetings(Chair)andmayatanytimeremovehimorherfromthatoffice.
15.2 Unlessheorsheisunwillingorunabletodoso,theChairshallpresideateverymeetingoftheCommitteeatwhichheorsheispresentbut,ifthereisnomemberholdingthatofficeoriftheChairisunwillingorunableto presideorisnotpresentwithintenminutesafterthetimeappointedforthemeeting,thememberspresentmay appoint one of their number to be chair of the meeting.
15.3 TheCommitteeshallappointaSecretaryandmayremovetheSecretaryfromofficeatanytime.
15.4 TheCommitteemay,iftheSecretaryfailstoattendoneofitsmeetings,appointanyoneofitsCommitteememberstoactastheSecretaryforthepurposesofthatmeetingonly.
15.5 TheSecretaryshall:
15.5.1 convenemeetingsoftheCommittee;
15.5.2 attendmeetingsoftheCommitteeandensurethatminutesoftheproceedingsaredrawnup;and
15.5.3 performanyotherfunctionsdeterminedbytheCommittee.
15.6 MinutesoftheproceedingsofameetingoftheCommitteemustbedrawnupbytheSecretary(orbytheperson actingastheSecretaryforthepurposesofthemeeting)andmustbesigned(subjecttotheapprovalofthe Committee)bytheChairofthenextmeetingoftheCommittee.
15.7 TheCommitteemustassoonasreasonablypracticable:
15.7.1 makeavailableforinspectionattherequestofanyCommitteemember,and
15.7.2 givetotheTrustees;
acopyoftheagendaandsignedminutesorthedraftminutes(iftheyhavebeenapprovedbytheChair)foreverymeetingandanyreportorotherpaperconsideredatthemeeting.
REVIEW
16.1 TheTrusteesshallannuallyormoreregularlyreviewanddeterminetheseTerms,includingtheconstitution,termsofreference,membershipoftheCommitteeandAppendices.

Appendix 1 – GRANT MAKING POLICY
The Foundation is governed by the Trustees who have a duty, acting at all times in the best interest of the Foundation, to apply the Foundation's assets (including the Fund), to advance the Foundation’s objects and have ultimate responsibility for all grant-making decisions.
The Foundation have agreed to receive Donation(s) from LFC for purposes aligned with its charitable objects and the Committee’s Objectives.
The purpose of this policy is to set out the principles and procedures that guide the Trustees when they are making grants from the Fund. It also provides information about the grant making process to anyone who is applying, or would like to apply, for a grant from the Fund in relation to a Community Initiative.
1. Definitions
1.1 Inthispolicyreferencestopersonswhoare“connected”withaTrusteemeans:(a) achild,stepchild,grandchild,parent,brothersorsisterofaTrustee;(b) thespouse,unmarriedpartnerorcivilpartnerofaTrusteeorofanypersonfallingwithinparagraph
(a) above;(c) anypersonwhoisinabusinesspartnershipwithaTrusteeoranypersonwhoisinabusiness
partnershipwithanypersonfallingwithinparagraph(a)or(b)above;and(d) anycompany,business,trustororganisationinwhichaTrustee(oranyotherpersonconnectedto
them)hasaninterestasabeneficiaryorthroughownership,controlorinfluence.
For the purposes of this paragraph 1 a Trustee shall be deemed to include members of the Committee.
2. Funding Priorities
2.1 TheCharityTrusteesarekeentosupportactivitiesthatadvanceitsobjectsinaneffectiveway.However,theyrecognisethatalimitedamountofFundsisavailabletodistributeeachyear.TheCharityTrustees’currentfundingprioritiesinrelationtotheFundaremoreparticularlysetoutintheCommittee’sObjectives.
2.2 TheFoundationwillsupportapplicationsfromcharitiesandothernotforprofitcommunitygroupsororganisationswhosebeneficiariesarefromtheCommunity.
2.3 TheFoundationwillgenerallynotfund:(a) individuals;(b) projects that duplicate existing services;(c) management costs;(d) thepurchaseofvehiclesandIT;(e) general fundraising appeals;(f) overseas trips;(g) applications from social landlords; or(h) fundingtosupplementexistingpublicservices(e.g.cleaning,security,etc.)
2.4 TheTrusteeswilloccasionallyawardgrantsthatfalloutsidetheprioritiesstatedinthispolicy,providedthattheyaresatisfiedthatthegrantwillfurthertheCommitteeObjectives,doesnotconflictwiththeFoundation objects and is an appropriate use of the Funds.
2.5 TheTrusteeswillnotusuallyawardgrantstoanapplicantthathas:(a) previouslysubmittedanunsuccessfulproposaloraproposalwheretheapplicantfailedtheTrustees’
duediligencechecksandtheissuesidentifiedatthattimehavenotbeenaddressed;(b) previouslyreceivedagrantfromtheFundorreceivedagrantfromtheFoundationatanytimeduring
theimmediatelyprecedingfinancialyearoftheFoundation;and(c) anyapplicantwhodoesnothaveagoverningdocumentandabankaccountinthenameofan
organisationwithanumberofunrelatedsignatories.

2.5 TheTrusteeswillnotusuallyawardgrantstoanapplicantthathas:(a) previouslysubmittedanunsuccessfulproposaloraproposalwheretheapplicantfailedtheTrustees’
duediligencechecksandtheissuesidentifiedatthattimehavenotbeenaddressed;(b) previouslyreceivedagrantfromtheFundorreceivedagrantfromtheFoundationatanytimeduringthe
immediatelyprecedingfinancialyearoftheFoundation;and(c) anyapplicantwhodoesnothaveagoverningdocumentandabankaccountinthenameofan
organisationwithanumberofunrelatedsignatories.
3. What may be funded
3.1 TheTrusteeswillmakegrantsfrombetween£5,000.00tothetotalvalueoftheFundfromtimetotime.TheTrusteesmayintheirabsolutediscretionconsiderawardinggrantsofsumslowerthan£5,000.00whereanyapplicationotherwisemeetstheCommittee’sObjectives.
3.2 AllgrantsawardedmustbeusedtocovercoststhataredirectlyconnectedtocarryingouttheCommunityInitiativethattheTrusteeshaveagreedtofund.GrantscanbeusedeithertocovercoststhataredirectlyconnectedtocarryingouttheCommunityInitiativeortofundexpenditureonthefollowing,bywayofexample:(a) salary costs directly associated with the Community Initiative;(b) capitalexpenditure,providedtheapplicantisabletodemonstratethattheexpenditureisessentialto
theCommunityInitiativeandthatanyassetsacquiredusingFundingwillbeusedforsimilarpurposesaftertheendoftheCommunityInitiative;
(c) contributionstothecostofoverheads,providedthattheapplicantisabletodemonstratethatsuchoverheadcostsareessentialfor,anddirectlylinkedto,theCommunityInitiative;and
(d) othercostsdirectlyassociatedwiththeCommunityInitiative,suchasmarketingcosts,setupcosts,facilitieshirecosts,etc.
3.3 TheTrusteeswillawardgrantstofundupto100%ofthecostofaCommunityInitiative.However,theTrustees:
(a) mayconsiderfundingpartofthecostofaproposalwherethetotalcostissharedwithoneormoreother funders; and
(b) encourageapplicantstoseekmatchedoradditionalsourcesoffundingfortheirproposal.

Ifagrantcoverspartofthecostofaproposal,theTrusteesmayrequiretheapplicanttoprovidedetailsofthe otherfunder(s)andthefundingthattheyhavesecuredorappliedfor(includinganyloansorothercommercial
funding).
AllgrantapplicationsmustbemadeinwritingontheformattachedasascheduletothisAppendixand/orprovidedduringtheapplicationprocessorbyusingtheonlineprocessat https://www.liverpoolfc.com/communityinitiativesfund
Iftheapplicationismadebyoronbehalfofanorganisation,thefollowingmustalsobeprovidedwiththe proposal:
(a) acomplete,up-to-datecopyoftheorganisation’sgoverningdocument;(b) iftheorganisationisaUKcharity:
• itsregisteredcharitynumber(s)asissuedbytheCharityCommissionforEnglandandWales,theOfficefortheScottishCharityRegulatorand/ortheCharityCommissionforNorthernIreland;and/or
• ifitisacharityunderthelawofEnglandandWalesthatisnotrequiredtoregisterwiththeCharityCommissionforEnglandandWales(becauseitiseitheranexemptorexceptedcharity,orhasincomebelowtheregistrationthreshold),evidenceofitscharitablestatus(suchasanHMRCreferencenumber);and
(c) theorganisation’smostrecentsetofaccounts.
3.7 Iftheapplicantisanon-charitableorganisationtheproposalmustalso:(a) provideevidencethattheorganisationhasabankaccountwithatleasttwounrelatedsignatories;and(b) demonstratethatalloftheactivitiesintheproposalwillqualifyasbeingcharitableandforthepublic
benefit.

4. How we make decisions about grants
4.1 TheTrusteeshaveultimateresponsibilityforallgrant-makingdecisionsandforensuringthatallFundsawardedare used to advance the Committee Objectives.
4.2 TheTrusteesandanyCommitteemembermustdeclarethenatureandextentofanyinterest,directorindirect,whichcould,orcouldbeseento,preventthemfrommakingagrantdecisiononlyinthebestinterestsoftheFoundation.AnysuchconflictofinterestmustbedeclaredandmanagedbytheTrusteesinaccordancewiththeFoundation’sconflictsofinterestpolicy.
4.3 TheTrusteesmaydelegatecertaindecision-makingresponsibilities.Inparticular,theTrusteeshaveappointedaCommitteetoreviewgrantproposalsandmakerecommendationstothem.
4.4 InallcaseswherearecommendationismadetotheTrusteestoawardagrant,theTrusteesmay(intheirabsolutediscretion)refusetoapprovethatrecommendation,particularlyiftheyconsiderthatagrantwouldnotbeaneffectivewaytofurthertheCommitteeObjectivesorwouldconflictwiththeFoundation’spoliciesorinterests.
4.5 TheCharityTrusteeswillendeavourtotakenolongerthansixweekstoconsidergrantproposalsanddecideiftheywillawardagrantornot.
4.6 TheTrusteeswillinformapplicantsoftheirdecisioninwritingviatheCommittee.
4.7 Ifanapplicantisawardedagrant,theCommitteewill:
(a) setoutthekeytermsofthegrantandanyconditionsthatareattachedtoitinagrantletter;and(b) asktheapplicanttosignthegrantlettertoindicatethattheyacceptthetermsandconditions.
4.8 IftheTrusteesdecidenottoawardagrantforaproposaltheTrusteesmay,ifrequestedbytheapplicant,givetheapplicantsuchwrittenfeedbackonthereasonsfortheirdecisionastheyconsiderappropriate.
4.9 TheTrustees’decisionwhethertoawardagrantisfinalandthereisnoappealorescalationprocessinrelation to the Fund.
5. Grants to charity trustees or connected persons
5.1 IfanapplicationforagrantismadetotheFoundationbyaTrustee,Committeememberorapersonconnectedtothem,thenon-conflictedTrusteesmusteither:
(a) reject the application; or(b) iftheyconsiderthatitisinthebestinterestsoftheFoundationtomakethegrant,seekauthorisation
fromtheCharityCommissionbeforemakingit.
5.2 IfaTrusteeorapersonconnectedtothem,appliesforagranttheconflictedTrusteemust:
(a) absentthemselvesfromanydiscussionofthegrantapplicationbythenon-conflictedTrustees;and(b) havenovoteandnotbecountedaspartofthequoruminanydecisionofthenon-conflictedTrustees
on the grant.

POWERS AND RESPONSIBILITIES OF THE COMMITTEE
5.1 Subjecttoparagraph4aboveandtoanydecisionorresolutionoftheFoundation,theCommitteeshallnothavethepowertobindtheFoundationnortomakeanydecisionsonbehalfoftheFoundation.Rather,theCommittee shallconsultwithmembersofthelocalCommunityandmakerecommendationstoandreportbacktothe Trustees of the Foundation.
5.2 Atalltimes,theCommitteeshallensurethatitsactionsareconductedinaccordancewiththeobjectsofthe Foundation and the provisions outlined in these Terms.
5.3 ExceptasprovidedforintheseTerms,inadditiontoallpowersherebyexpresslyconferredupontheCommitteeandwithoutdetractingfromthegeneralityofthepowersdelegated,theCommitteeshallhavethefollowing powers,namely:
5.3.1 toconsultwithmembersoftheCommunity,notforprofitcharities,communityorganisations(includingnurseries,schools,collegesandotheryouthandadultserviceorganisations)andWardCouncillorsin relationtotheidentificationofCommunityInitiativesandtheawardofanyFunding;
5.3.2 toconsidereligibleapplicationsfortheFunding(inwholeorinpart)ofCommunityInitiativesandmake representationstotheTrusteesinrelationtothemakingofgrant(s)fromtheFund;
5.3.3 tofacilitatethegrantofFundsonbehalfoftheTrusteesandadminister,manageandmonitoranyCommunityInitiativewhichreceivesFunding;and
5.3.4 tocommunicate(assuchtimesandintervalsasitdeemsappropriate)anyawardofFundingwiththeCommunityresidentsandWardCouncillorsandtheprogressofanyCommunityInitiative.
5.4 TheCommitteeshallnothavethepowertocommitanyFundingwithouttheexpresspriorwrittenapprovalofthe Foundation.
5.5 TheCommitteeshallnothaveanypowerswhichtheFoundationisitselfunabletolawfullydelegatetoit.
5.6 TheCommitteeshallatalltimeshaveregardtotheTrustees’Grant-MakingPolicysetoutatAppendix1.
COMPOSITION OF THE COMMITTEE
6.1 The Trustees shall appoint the Committee members. The Committee shall comprise not less than 2 Foundation Trustees,1LFCrepresentativeand1Foundationrepresentativeand(unlessotherwisedeterminedbytheTrustees) shall not be subject to a maximum number.
6.2 Nopersonmaybeappointedasamemberifheorshewouldbedisqualifiedfrombeingamemberunderparagraph8below.
6.3 MembershipoftheCommitteeispersonalandisnottransferabletoanyotherperson.
6.4 The Trustees shall maintain a register of Committee members.
TERM OF OFFICE
7.1 ThetermofofficeofaCommitteemembershallbetwoyears.
7.2 NothingintheseTermspreventsamemberfrombeingreappointedattheexpiryofhisorhertermofoffice.

DISQUALIFICATION FROM OFFICE
8.1 ACommitteemembershallbedisqualifiedfromholding,orcontinuingtohold,officeasaCommitteemember andshallceasetoholdsuchofficeifheorshe:
8.1.1 becomesdisqualifiedbylawfromholdingofficeasacompanydirectororacharitytrustee;
8.1.2 becomesincapablebyreasonofillnessorinjuryofmanagingandadministeringhisorherownaffairs;
8.1.3 resignsfromhisorherofficebywrittennoticetotheChair;
8.1.4 isabsentwithoutgoodreasonfromallthemeetingsoftheCommitteeheldwithinaperiodof12monthsandtheCommitteeresolvesthathisorherofficebevacated;
8.1.5 isthesubjectofabankruptcyorderoranorderismadeagainsthimorherinindividualinsolvencyproceedingsinajurisdictionotherthanEnglandandWaleswhichhasaneffectsimilartothatof bankruptcy;
8.1.6 makesacompositionwithhisorhercreditorsgenerallyinsatisfactionofhisorherdebts;
8.1.7 inthecaseofanLFC,Foundation,CommunityresidentialorCommunityWardCouncillorappointment, ceasestobe,anemployeeorofficerofLFC,anemployeeorofficeroftheFoundation,aCommunity residentorCommunityWardCouncillor;or
8.1.8 isremovedasaCommitteememberbyadecisionorresolutionoftheTrustees.
PROCEEDINGS OF THE COMMITTEE
9.1 TheCommitteewillmeetatleasttwotimesayear.TheCommitteemaymeetatothertimesduringtheyearasagreedbetweentheCommitteemembersorasrequired.
9.2 TheSecretarymustconvenemeetingsoftheCommitteeand,whenexercisingthisfunction,heorshemust complywithanyrequestforameeting,oranydirectiongivenby:
9.2.1 the Committee;
9.2.2 theChair,sofarassuchdirectionisnotinconsistentwithanydirectiongivenunderparagraph9.1above; or
9.2.3 the Trustees.
9.3 Subjecttoanydirectiongiveninaccordancewithparagraph9.1above,atleastsevendaysinadvancetheSecretarymustgivetoeachCommitteememberandtotheTrustees(whetherornottheyareCommittee
members):
9.3.1 writtennoticeofthemeeting;
9.3.2 acopyoftheagendaforthemeeting;and
9.3.3 anyreportsorotherpaperstobeconsideredatthemeeting;
9.3.4 providedthat,wherethechairoftheCommitteesodeterminesonthegroundthattherearematters demandingurgentconsideration,itwillbesufficientifthewrittennoticeofthemeetingstatesthatfactandthenotice,agendaandreportsorotherpaperstobeconsideredatthemeetingaregivenwithin such shorter period as he or she directs.

ATTENDANCE
10.1 Subjecttoparagraph14below,thefollowingpersonsareentitledtoattendanymeetingofaCommittee:
10.1.1 anyCommitteemember;
10.1.2 anyTrusteewhetherornotheorsheisaCommitteemember;and
10.1.3 suchotherpersonsastheCommitteemaydeterminefromtimetotime.
QUORUM
11.1 ThequorumforthetransactionofthebusinessoftheCommitteeshallbe50%ofthetotalnumberofCommittee membersfromtimetotimeandshallincludeatleastoneTrusteerepresentative,oneLFCrepresentative,one Foundation representative and one Ward Councillor representative.
11.2 Ifitisnotpossibletoformaquorumortakeavoteonaparticularmatter,themattermaybereferredtotheTrustees for a decision.
VOTING
12.1 EveryquestiontobedecidedatameetingofaCommitteemustbedeterminedbyamajorityofthevotesoftheCommittee members present and voting on the question.
12.2 Wherethereisanequaldivisionofvotes,thepersonwhoisactingasChairforthepurposesofthemeetinghas a second or casting vote.
12.3 Subjecttoparagraph12.1above,theproceedingsoftheCommitteearenotinvalidatedby:
12.3.1 anyvacancyamongitsnumber;or
12.3.2 anydefectintheappointmentofanyCommitteemember.
REPORTING
13.1 TheCommitteeshallprovidehalf-yearlywrittenreportstotheTrustees,insuchformatastheTrusteesrequest (actingreasonably)whichshall,ataminimum,provideasummaryoftheCommittee’sactivitiesinthepreceding 6monthperiodtogetherwithanyrecommendationsforCommunityInitiativestowhichFundingcouldbe
applied.
14
CONFLICTS OF INTEREST
14.1 Where:
14.1.1 inrelationtoanymattertheremaybeaconflictbetweenthedutiesorinterestsofaCommitteemember and the interests of the Foundation;
14.1.2 thereisanyreasonabledoubtaboutaCommitteemember’sabilitytoactimpartiallyinrelationtoanymatter; or
14.1.3 aCommitteemember(orapersonconnectedwithhimorher)hasapecuniaryinterestinanymatter,
thatperson,ifpresentatameetingoftheCommitteeatwhichthematteristhesubjectofconsideration,mustdisclosethenatureandextentofhisorherdutyorinterest,withdrawfromthemeetingand(ifheorshehasavote)notvoteonthe matter in question.
14.2 Nothinginthisparagraph14shallbeconstruedasprecludingtheCommitteefrom:
14.2.1 allowingapersonwhoappearstothemtobeabletogiveevidencetoattendanyhearingconductedbytheminto anymatterandtopresenthisorherevidence;or
14.2.2 hearingrepresentationsfromaCommitteememberactinginacapacityotherthanthatofaCommitteemember.
14.3 WherethereisanydisputeastowhetheraCommitteememberisrequiredbythisparagraph14towithdrawfromameetingoftheCommitteeandnotvote,thatquestionmustbedeterminedbytheotherCommitteememberspresentatthemeetingactingreasonablyandingoodfaith.
MISCELLANEOUS PROVISIONS
15.1 TheCommitteemembersmay,subjecttothepriorapprovaloftheTrustees,appointoneoftheirnumbertobe thechairoftheirmeetings(Chair)andmayatanytimeremovehimorherfromthatoffice.
15.2 Unlessheorsheisunwillingorunabletodoso,theChairshallpresideateverymeetingoftheCommitteeat whichheorsheispresentbut,ifthereisnomemberholdingthatofficeoriftheChairisunwillingorunableto presideorisnotpresentwithintenminutesafterthetimeappointedforthemeeting,thememberspresentmay appoint one of their number to be chair of the meeting.
15.3 TheCommitteeshallappointaSecretaryandmayremovetheSecretaryfromofficeatanytime.
15.4 TheCommitteemay,iftheSecretaryfailstoattendoneofitsmeetings,appointanyoneofitsCommitteememberstoactastheSecretaryforthepurposesofthatmeetingonly.
15.5 TheSecretaryshall:
15.5.1 convenemeetingsoftheCommittee;
15.5.2 attendmeetingsoftheCommitteeandensurethatminutesoftheproceedingsaredrawnup;and
15.5.3 performanyotherfunctionsdeterminedbytheCommittee.

15.6 MinutesoftheproceedingsofameetingoftheCommitteemustbedrawnupbytheSecretary(orbythepersonactingastheSecretaryforthepurposesofthemeeting)andmustbesigned(subjecttotheapprovaloftheCommittee)bytheChairofthenextmeetingoftheCommittee.
15.7 TheCommitteemustassoonasreasonablypracticable:
15.7.1 makeavailableforinspectionattherequestofanyCommitteemember,and
15.7.2 givetotheTrustees;
acopyoftheagendaandsignedminutesorthedraftminutes(iftheyhavebeenapprovedbytheChair)foreverymeetingandanyreportorotherpaperconsideredatthemeeting.
REVIEW
16.1 TheTrusteesshallannuallyormoreregularlyreviewanddeterminetheseTerms,includingtheconstitution,termsofreference,membershipoftheCommitteeandAppendices.
