PARTIES: The Texas Association of REALTORS®

(TAR) (hereafter referred to as “AGENT”) agrees to lease exhibit space in the form of an exhibit booth as described in this contract in the designated Exhibition Area of the Fort Worth Convention Center, 1201 Houston St. Fort Worth, TX 76102 by individual(s) or company named below (hereinafter referred to as “Exhibitor”). Network Media Partners, Inc. is working on behalf of the AGENT named above through Sept. 14, 2014. Included in and made a part of this contract are the terms and conditions appearing on page 2.

Cancellation Policy: Sponsorships are non-cancelable. Sponsors are liable for 100% of the Sponsorship free from the time the contract is entered into. Exhibitors canceling booth space on or before June 1, 2015 will still be liable for 50% of booth fee. Booth cancellations after June 1, 2015 will be liable for the entire booth fee, even if the booth space is resold.

Exhibitor Description: Exhibitors will be asked to submit a 25 word description. 25 word description to be posted on the conference web site and published in the conference program.

RATES AND TERM for Exhibit Space: Rental fees for booth space shall be: $995.00 for premium booth locations and $875.00 for all other booth locations. The lease term of this contract shall commence at 11:00 a.m. on Tuesday, September 1st (commencement date) and shall terminate at 9:00 p.m. on Wednesday, September 2nd, 2015 (termination date).

Through September 14, 2014, Exhibitor shall submit all contracts, payments and insurance requirements to Network Media Partners, Inc. 307 International Circle, Suite 190, Hunt Valley, MD 21030. Exhibitor shall make all checks payable to Network Media Partners, Inc. through September 14, 2014. AGENT will assign booth(s) in the order requests are received by AGENT. AGENT will not confirm booth assignment(s) until Exhibitor has satisfied all requirements under this contract.

BOOTHS: Attached hereto is a floor plan of the exhibition area of the Fort Worth Convention Center, Fort Worth, TX depicting booth locations and rental rates. The map is hereby made part of this agreement for all purposes. All booths shall be approximately 10’ X 10’ and furnished with an identification sign (7”x44”) including company name and booth number; one 6’ skirted table, two chairs and one wastebasket; one 8’ high booth backdrop, and 36” high side dividers. Exhibitor shall not occupy space or erect any display for the marketing of products and/or services beyond the approximately 10’ X 10’ designated booth location(s) or obstruct the view of or interfere with other exhibits or exhibitors during the lease term of this contract.

EXHIBIT DATE/SHOW HOURS: The Trade Expo at the Fort Worth Convention Center will be open to attendees Wednesday, September 2nd, 2015 from 10:30 a.m. until 6:00 p.m. (Hereafter referred to as “show hours”.)

INSTALLATION OF EXHIBITS: All booth units will be ready for Exhibitor occupancyon Tuesday, September 1st at 11:00 a.m. Exhibitor may move into assigned booth(s) from 11:00 a.m. - 5:00 p.m. Tuesday and continue on Wednesday, September 2 from 8:00 - 9:30 a.m. Exhibitors must be ready for show by 10:30 a.m. on Wednesday, September 2nd. Move-in is not permitted during show hours.

DISMANTLING/PACKING OF EXHIBITS: Exhibitor shall not pack equipment, literature, or other materials or dismantle exhibits until exhibit hall officially closes. Exhibitor shall remove all personal property from the exhibition area of the Fort Worth Convention Center by 9:00 p.m. on day of Trade Expo.

ON SITE CHECK-IN/PERSONNEL/BADGES: Exhibitor must “check in” at the Exhibitor registration booth in the Fort Worth Convention Center by an hour before the Trade Expo opens. Exhibitor will receive identification badges upon “check in.” Four complimentary exhibitor identification badges will be available per booth. Additional or replacement badges will be available for a $10 per badge service fee at the Exhibitor registration area in the Fort Worth Convention Center. If Exhibitor representatives wish to attend conference functions, tickets may be purchased in advance or on-site (if available). Each Exhibitor representative, while in the Fort Worth Convention Center, MUST wear an exhibitor identification badge. No one will be admitted or re-admitted to the exhibition area without an exhibitor identification or conference registrant badge.

CONTRACTOR: Freeman is the official service company for the Trade Expo. Beginning July 2015, Freeman will forward an official Exhibitor Service Kit to Exhibitor address as indicated on page 1 of this contract. Kits include fees and instructions for receiving/shipping, for securing additional furniture, individually designed signs, A/V equipment, special lighting, floral decorations, carpet, telephone, and electrical connections. Using Freeman and their suggested services will eliminate problems on-site.

Freeman will have skilled craftsmen to assist Exhibitors who wish to hire labor to perform services. Exhibitor shall make any and all arrangements for all labor (other than full time employees of Exhibitor) through Freeman. If Exhibitor hires exhibit service firm(s) (other than Freeman) to unpack, construct, assemble, dismantle, and pack displays/equipment, Exhibitor must: (1) notify Freeman by August 3, 2015, with the name of the exhibit service firm, address, telephone number, and attending supervisor; and (2) insure that the exhibit service firm notify Freeman by August 10, 2015, of the name of Exhibitors the exhibit service firm will service, the names of employees who will work, and insurance certificates evidencing workman’s compensation and liability insurance. Payment for services provided to Exhibitor by exhibit service firms is the responsibility of Exhibitor. All exhibit services not ordered in advance of the commencement of this contract shall be provided only by Freeman and ordered during show hours through the Freeman Desk in the exhibition area of the Fort Worth Convention Center.

BOOTH REFUND AND CANCELLATION POLICY: AGENT reserves the right, upon cancellation or forfeiture by Exhibitor, to reassign and lease booth(s) assigned to Exhibitor to any other applicant or exhibitor. In the event Exhibitor cancels or forfeits this contract on or before June 1, 2015, AGENT shall refund the rental rate, less fifty percent (50%), for each booth contracted. In the event Exhibitor cancels or forfeits this contract after June 1, 2015; AGENT shall not refund any portion of the rental rate for the booth(s). All deductions made to the rental rate are to compensate AGENT as liquidated damages. AGENT and Exhibitor agree that the actual amount of damages resulting from a cancellation or forfeiture by Exhibitor would be difficult to determine and that the amounts specified in this paragraph are reasonable estimates of damages associated with a cancellation or forfeiture. All notices of cancellation must be in writing. No refunds for payments to any third party including service contractors will be made or are the responsibility of AGENT. If Exhibitor fails to arrive at booth location(s), set up and occupy booth(s) an hour before the exhibit hall opens, Exhibitor shall forfeit any and all rights and interest in the booth(s). Sponsorships are non-cancelable and sponsor is liable for 100% of the sponsorship fee from the time the contract is entered into.

INSURANCE, HOLD HARMLESS: Exhibitor shall provide and maintain worker’s compensation, public liability and property damage insurance for its operations in the booth(s) during the term of this contract. On or before August 1, 2015, Exhibitor shall provide to AGENT evidence of insurance, in the form of a Certificate of Insurance for Public Liability and Property Damage in the minimum amount of $300,000 per occurrence. Failure by Exhibitor to provide evidence of insurance by the date specified in this paragraph or to maintain insurance coverage through the term of this contract or to provide a HOLD HARMLESS statement is in default of this contract. A HOLD HARMLESS STATEMENT, executed by the Exhibitor and acknowledged by AGENT, will be accepted in lieu of a Certificate of Insurance.

INDEMNIFICATION: Exhibitor shall protect, defend, hold harmless and indemnify AGENT for any loss, damage, expense, or penalty arising from any action, including an action based upon strict liability or negligence, on account of personal injury or property damage to Exhibitor, its employees, guests, licensees, conference attendees, or property. Exhibitor shall assume all risk of any loss, damage, or injury.

ATTORNEYS’ FEES: If Exhibitor or AGENT is a prevailing party in any legal proceeding brought as a result of a dispute under or related to this contract, such prevailing party shall be entitled to recover from the non-prevailing party all costs of such proceeding and reasonable attorneys’ fees.

SAVINGS CLAUSE, ACKNOWLEDGMENT, ENTIRE CONTRACT, AND ASSIGNABILITY: Should any clause of this contract be found invalid or unenforceable by a court of law, the remainder of this contract shall not be affected, and all other provisions of this contract shall remain valid and enforceable. Exhibitor acknowledges that Exhibitor has read this contract together with attachment and understands its contents. This contract together with attachment contains the entire contract between AGENT and Exhibitor and cannot be changed except by written agreement. AGENT and Exhibitor acknowledge that there are no other contracts or conditions other than as set forth in this contract. This contract may not be assigned by either party without the written approval of the other party.

SPACE AGREEMENT: AGENT adopts the International Association of Exposition Managers guidelines for Display Rules and Regulations. AGENT reserves the right to modify attachment, the exhibition area plan, and modify booth locations for any reason deemed necessary by AGENT at its sole discretion. No Exhibitor may assign the contract or permit any other person or entity to use any part of booth(s). Providing for the safeguarding of Exhibitor’s products is the responsibility of Exhibitor from the time such products are moved into the booth(s) until they are removed by Exhibitor. The exhibit hall in the Fort Worth Convention Center will be closed at night and perimeter guard services provided. However, AGENT shall not be responsible for, or guarantee to Exhibitor, the safety of any property against fire, accident, theft, or loss or against persons for injury.

AGENT reserves the right to require Exhibitor to terminate for the duration of show hours any and all activities conducted within the Fort Worth Convention Center and/or Exhibitor’s booth location(s) that AGENT, at its sole discretion, determines is inappropriate, disruptive or offensive.

CARE OF BUILDING: Exhibitor shall not permit any property, article, or item to be brought into, or permit any act to be done in the Fort Worth Convention Center that will increase or void policies of insurance held by AGENT. Exhibitor shall not permit any act by its employees or independent contractors that shall in any manner mar or deface the premises. Exhibitor is responsible for damage done to any part of the Fort Worth Convention Center by Exhibitor, its employees, or independent contractors.

Through August 28, 2015, Exhibitor shall submit all contracts, payments and insur-ance requirements to The YGS Group, Attn: Heather Troast, 3650 West Market Street, York, PA 17404. Exhibitor shall make all checks payable to The YGS Group. AGENT will assign booth(s) in the order requests are received by AGENT. AGENT will not conἀrm booth assignment(s) until Exhibitor has satisἀed all requirements under this contract.

Refund and cancellation policy: AGENT reserves the right, upon cancellation or forfeiture by Exhibitor, to reassign and lease booth(s) assigned to Exhibitor to any other applicant or exhibitor. In the event Exhibitor cancels or for-feits this contract on or before June 1, 2015, AGENT shall refund the rental rate, less fifty percent (50%), for each booth contracted. In the event Exhibitor cancels or forfeits this contract after June 1, 2015; AGENT shall not refund any portion of the rental rate for the booth(s). All deductions made to the rental rate are to compensate AGENT as liquidated damages. AGENT and Exhibitor agree that the actual amount of damages resulting from cancellation or forfeiture by Exhibitor would be difficult to determine and that the amounts specified in this paragraph are reasonable estimates of damages associated with a cancellation or forfeiture. All notices of cancellation must be in writing. No refunds for payments to any third party including service contractors will be made or are the responsibility of AGENT. Participation in the Treasure Hunt is considered a level of sponsorship. All sponsorships are non-cancelable and sponsor is liable for 100% of the sponsorship fee from the time the contract is entered into.
