Foreword

In a world of increasing information, it is always

a challenge for a publication to distinguish

itself and become a useful frame of reference .

Now in its third year, Korn Ferry’s “Class Of”

series has achieved the rare feat of doing both .

Whether you are a Chairman, a Director, an

investor, a regulator or someone who aspires

to become a Non-Executive Director (NED),

this short and punchy publication is a real gem:

a lens into the changing demography of the

Boardrooms of UK Plc .

It is both interesting and instructive to see the backgrounds and profiles

of those joining Boards – or the ‘first timers’ as the Class of 2014 would

describe them . It is also helpful to have 2007 as a comparator baseline

(a year of significant IPOs and the eve of the global financial crisis) . As

the years pass the trends and patterns of the demography of Board

leadership will become even more clear .

Even now The Class of 2014 shows that some interesting developments

and patterns are forming . This is especially so in the area of gender

diversity on Boards, and the low level of previous Board experience of

new NEDs . We can also see the downward trend of overseas Directors

on British Boards, as well as the continued emphasis on people with

a financial background . The Class of 2013 saw a sharp decline in the

proportion of first time NEDs who were women from an all-time high

of 47% in 2012, to a disappointing 29% in 2013 . I am very pleased to see

that in 2014 that number rose to 39% . Now, as we approach the goal of

25% of all FTSE100 NEDs, our attention can be turned to increasing the

proportion of women who are, or will become, Executive Directors .

Long the preserve of CEOs and other Executive Directors, The Class of

2014 continues to show an increasing number of new NEDs who take

on their first Board without prior Plc Executive Director experience .

No doubt this is a reflection of Boards widening the talent pools from

which they draw new Directors, and being open to different commercial

and leadership backgrounds . I believe this is clearly appropriate . It is,

however, even more important to ensure that Directors have education

with respect to the role of NEDs, a good induction and mentoring (once

on the Board) and ongoing professional development . Potential NEDs

should consider taking one of the respected programmes available (such

as the IoD’s Chartered Director course) to boost their skills and ‘board

readiness’ . It is interesting to read the case studies and testimonies

included in the publication which stress the importance of a good

induction .

Korn Ferry’s Class Of series provides a very helpful reference of talented

new Directors, and its importance is even more significant . The ‘first-

timers’ who have become Plc NEDs over the last few years will be

the Chairmen, SIDs and Board leaders of UK Plc in coming years . It is

therefore extremely useful to get a clear sense as to who they are and

what training they have received . In that endeavour, the Class of 2014

helps immensely .

Introduction and Methodology.

Each year, Korn Ferry analyses the profiles of those individuals who gained

their first FTSE 350 Non-Executive Board position during the year . This

research, now in its third year and with data sets from 2014, 2013, 2012, and

2007 (for historical comparison), helps uncover the shifting appointment

patterns for the UK’s largest Boards . It provides insights into those

characteristics in high demand over the previous 12 months and in the

short- and medium-term future .

Members of The Class of 2014 have been surveyed as to their reasons for

seeking a Non-Executive Director (NED) position, their experience of the

process, and any recommendations they would make to aspiring future

NEDs or to the Boards seeking to hire them .

Short biographies of each individual are included at the end of this

publication . This report is designed as a reference for the broad range of

stakeholders involved in NED recruitment .

Methodology

Korn Ferry used secondary data sources: including Boardex, a third-party

independent database of Board Directors, LinkedIn, and Korn Ferry’s

proprietary database of more than 8 million profiles of executive and Non-

Executive professionals to identify first-time FTSE 350 NED appointments

through 2014 and to ascertain the characteristics of each appointee .

We analysed characteristics including gender, age, professional background,

nationality, international experience, and digital capability of 233 individuals

and compared the findings to those of the Class of 2012 and 2013 Members .

Our primary research included surveying each first-time FTSE 350 NED

in 2014 . Our study is further complemented by in-depth interviews with a

number of first-time NEDs to provide their insights into their new Board

roles and gather their advice for professionals seeking an FTSE 350 Board

appointment .

The research was conducted between September 2014 and February 2015 .

Executive Summary

The Class of 2014 displays some predictable themes: the sustained focus

on Board gender diversity, the high proportion of new NEDs towards

those with General Management or finance backgrounds, and a broad

requirement for first-time NEDs to have gained past Board exposure as

an Executive Director .

However, beneath these headlines, there are some surprising data and,

when compared to their peer groups since 2007, the Class of 2014

highlights some telling shifts in the Boardrooms of the UK’s largest

companies .

More ‘inexperienced’ appointees.

In 2014, the proportion of FTSE 350 Non-Executive Directorships that

went to first-time appointees was 54% . This is a 20% increase over the

2007 Class and continues the trend of the last three years . Of this group

of first-time appointees, only 53% had prior executive directorship

experience . In 2007, 65% of the Class had already gained past Board

experience as an Executive Director . What’s more, of this limited 2014

group with prior Executive Board experience, over half of the Members

had gained it on private company Boards .

When one examines the data, this means that in 2007, 80% of all NED

appointments were of individuals who had some degree of previous

listed company governance experience, gained either in past Non-

Executive or Executive roles . By 2014, this proportion has reduced to

60% . This trend puts further pressure on Chairmen to ensure that the

40% that are ‘inexperienced’ are thoroughly inducted and carefully

mentored as they learn the craft of directorship . The members of the

Class of 2014 have provided valuable guidance on these topics .

Less diversity.

There is a continuation of the theme described in last year’s publication

of decreasing diversity . Whilst gender diversity continues to be in the

news and real progress was made in 2014, other elements of diversity

have continued to decline . The proportion of international NEDs was

down again in 2014, with 59% of The Class of 2014 carrying British

passports . Furthermore, the proportion of The Class of 2014 from the

traditional backgrounds of General Management and Finance increased

again, and this year 76% came from these two disciplines, back to the

proportion seen in 2007 .

One highlight within these trends, however, is that the proportion of

female appointees with General Management or Finance backgrounds

grew significantly . 26% of the Members of the Class of 2014 with these

career backgrounds were women, compared to only 15% in 2013 . This is

hopefully a result of a deepening pipeline of female General Managers .

Whilst we are yet to see a significant increase of female Executive

Directors, still approximately 9% for FTSE 100 and 5% for FTSE 250

companies, according to the latest Cranfield report, perhaps we can infer

a growing number of women at the executive level just below the Board .

Hopefully the experience gained as NEDs on outside Boards will serve

to improve their chances of becoming Executive Directors of their own

companies .

The Class of 2014.

Newcomers to FTSE 350 Boards. In total, there were 434 NED appointments to the FTSE 350 in 2014,

down from 494 the previous year . Since 2007, there has been a small

(0 .9%) reduction in average annual appointments; however, over the

same period, the proportion of first-time appointees has steadily grown,

and during 2014, 54% of all appointments were given to first timers, up

from 45% in 2007 .

The return of IPO activity over the last two years has contributed to this

trend . There were 15 FTSE 350 IPOs in 2014, contributing to 32 first-time

appointments, compared to the same number in 2013, contributing 55

Members to the Class of 2013 .

This upward trend of bringing ‘new blood’ into the Boardroom, driven

partly, we assume, by the push on gender diversity, reinforces the

observation we made last year as to the growing proportion of FTSE 350

NEDs with limited Board experience .

At the end of 2014, there was a total of 2,248 NEDs sitting on FTSE 350

Boards . As our analysis above shows, more than 30% of them have less

than three years’ experience as a NED; of those, approximately 75% had

no previous experience as an Executive Director of a listed company . As

the drive for greater Board diversity continues (i .e ., both the pressure

to increase female participation toward one-third and the long-overdue

requirement to build ethnic diversity on Boards), so this proportion of

inexperienced Board Members will continue to grow .

Primary career discipline.

It is perhaps understandable that the majority of NEDs have a General

Management or a Finance/Banking background . The combined

proportion of first-time appointees from these core disciplines increased

again in 2014, and the tendency toward decreased diversity, other than

gender, that we identified in last year’s survey continues . The proportion

from these disciplines is now back to the 2007 level . The split between

General Management and Finance/Banking has shifted markedly over the

period, from 37:39 in 2007 to 43:33 in 2014, perhaps as fewer bankers are

appointed to FTSE 350 Boards .

While these two disciplines have maintained their combined ‘share’ of

first-time appointees, there have been a few noticeable changes across

other disciplines, particularly in Strategy/Consulting (appointments

dropping from 11% in 2007 to 6% in 2014) and Marketing and

Communications (increasing from 1% to 5%) and HR (increasing from 1%

to 3%) . At a time when gender diversity is on every Board’s agenda, these

strong growth rates should not be entirely surprising, as the Marketing

and Human Resources functions have a relatively higher proportion of

senior female executives .

Gender balance.

The most significant shift in the ‘Class of’ population since the

inception of this research has been the change in gender balance . As

many observers have commented, the combined efforts of politicians,

Chairmen, pressure groups, and head hunters alike has had a substantial

impact on the appointment of first-time women onto FTSE 350 Boards,

and, should this trend continue, the UK will achieve the target set by

Lord Davies in 2011 of 25% representation on FTSE 100 Boards by the

end of 2015 .

In the Class of 2014, 39% were women, up from only 11% in 2007 . Over the

last three years, there has been significant variability in the number and

percentage of women appointed; however, the high percentage of female

Directors appointed in 2012 was likely due to an immediate, strong

reaction to the Davies’ report, and, whilst this dropped substantially in

2013, it is reassuring to see the increase in female appointments in the

Class of 2014 .

The percentage of female appointments has increased across most

disciplines over the last two years . Significantly, this increase is greatest

in the core disciplines of General Management and Banking/Finance,

where the total percentage of female Members of the ‘Class of’ has

increased from 15% to 26% over the period . The high proportion of

women from General Management and Banking/Finance indicates that

the pool of available talent in these core disciplines is good and perhaps

shows that the pipeline of senior female executives is strengthening .

As in the previous year, Human Resources, as well as Marketing and

Communications, although small in overall percentage and absolute

terms, remain female-dominated fields .

Nationality and international experience.

In last year’s survey, we highlighted an apparent trend toward decreasing

international diversity amongst the Class of 2013 . This trend has

continued, and the Class of 2014 are even less internationally diverse

than they were the year prior . The proportion of the Class that are British

has steadily increased since 2007 at the expense of almost every other

nationality other than a marginal increase of those from Latin America

and Asia . This lack of geographical diversity is somewhat offset by an

increase in British appointees with international experience—up from

43% in 2007 to 55% in 2014 . A possible reason for the decrease in

international appointments is the increasing time requirements facing

NEDs, particularly in the Financial Services sector, and the logistical

challenge for Boards that need to coordinate travel of those residing

outside the country .

Digital experience.

The Class of 2014 has an identical proportion of Members with digital

experience as in the Class of 2013 . However, an increase, albeit of

modest proportions, is noticeable when comparing the percentage of

digital appointments in 2007 and in 2012 and related Compound Annual

Growth Rate (CAGR) of 9% . This can be explained by considering three

factors: i) the pool of candidates with digital expertise is relatively small;

ii) Directors with digital expertise are in high demand; and iii) each

Board has a different “digital need” (i .e ., e-commerce, mobile, software,

analytics), hence reducing the pool of suitable candidates even further .

Executive Board and Plc experience.

One constant characteristic of the Class each year is that Boards are keen

to find new NEDs who have already learned their Board craft by virtue of

having been an Executive Director on another Board . Over the past three

years, the percentage of first-time FTSE 350 appointees with previous

executive Board experience has stabilised around the mid-50s (53% in

2014), although it has markedly decreased from the 65% of first-time

appointments in 2007 .

Within this headline number there are some surprising trends, as the

graph below shows . The most significant is the decrease, from 24% in

2007 to 15% in 2014, of Directors who have previously been Executive

Directors of FTSE 350 companies . Consistent with the decline in

international appointments, there has also been a significant drop in the

proportion of first timers who had Executive Director experience gained

from overseas Boards .

These declines have been offset by the substantial increase in the

appointment of first-time appointees with Executive Director experience

gained on the Boards of private companies (an increase of 12% to 27%

since 2007) .

This is a symptom of a trend of increasing numbers of senior executives

working in private equity-owned companies rather than in the listed

company sector . Provided these executives remain attracted by

opportunities to join Plc Boards, this talent pool will remain a key target

for FTSE 350 Board recruiting . However, should compliance or other

regulatory demands become more inhibiting, then this important pool of

NED talent may become less accessible .

FTSE 100 v. FTSE 250.

We have compared Class of Members within FTSE 100 and FTSE 250 Boards

to understand whether the trends we have observed affect large- and

medium-cap companies equally .

The analysis shows that, as in 2013, FTSE 100 companies have embraced

gender diversity and international expertise to a far greater extent than their

FTSE 250 counterparts . Specifically, large-cap organisations, propelled by

the Davies requirements, appointed 27 women out of 64 first-timers (42%)

compared to 37% in mid-cap companies .

Additionally, 58% of FTSE 100 Class of 2014 Members were non-British

nationals, and in total 78% of first-time appointments to FTSE 100 Boards

had some international experience . For the FTSE 250 Members, only 34%

were not British, and only 49% had some degree of international experience .

Finally, while the split of background experience and discipline of Class of

Members is broadly the same across FTSE 100 and FTSE 250 companies,

mid-cap companies appointed fewer CEOs and fewer Executive Directors

than did FTSE 100 companies . The average age of first-time appointments

varies: for FTSE 250 Members, the average age was 53 .5, compared to

55 .7 for FTSE 100 appointments . However, mid-cap companies appointed

Directors with prior Plc experience in higher proportion than did large-cap

companies (47% v . 38%) .

FTSE 350 NEDs Insights.

The Korn Ferry Institute surveyed the Members of the Class of 2014 to

understand their motivations for becoming NEDs and their experiences in

the hiring and onboarding process .

Motivations to seek a FTSE 350 NED role.

The reason most often identified by Class of 2014 Members for becoming

a NED was the ability to apply the lessons learned from an executive

career . Just over half the respondents were motivated by a desire for a

plural career or to broaden their knowledge to further their executive

career . Only 10% were attracted to a NED position to increase networking

opportunities .

We asked the Class of 2014 to describe their primary reasons for selecting

the Board they joined . For those who were finishing their executive

career, an important reason was the need to get their first directorship as

a stepping stone into portfolio life . Hence the specifics of the particular

Board, whilst important, were of less significance .

For those still in executive careers, for whom their first Board is likely to

be their only Board for some time, the need to select the ‘right’ Board was

more pronounced . For this group the top three reasons were: the ability

to contribute and add value, the experience they would gain from the

challenges facing the company, and the relevance to them of the particular

industry in which the company operates .

NED Induction.

Given the increasing professionalisation of the Board Director role, we

were keen to understand the value placed on NED training courses . About

half of the respondents had undertaken some form of NED training .

Induction.

Of the Class of 2014, 59% found their Board induction programme

extremely helpful, 36% satisfactory, and 5% had no induction . This is in line

with last year but an improvement in comparison to 2012 .

The survey highlighted some useful pointers for both new Directors

and Chairmen, as well as Company Secretaries designing induction

programmes:

• Meet as many stakeholders as possible . This should include Senior

Executives, all Board Members, and Managers below the Executive

Committee to give a balance of operational, technical, financial, and

strategic insight .

• Get to understand the business from the ‘bottom up’ as well as

from the ‘strategy down’ . It is helpful to gain an early insight into

some of the interpersonal dynamics and relationships at the Board

level and within the management ranks .

• Visit company offices . Listen to customer service calls . However,

take advice on how best to engage with management, neither over-

powering them or being over-powered .

• Be clear on the specific goals of the induction; ensure that there is

a robust plan and strong commitment and engagement from the

colleagues inside the business who will be responsible for managing

its execution .

• Create a schedule and a checklist that NEDs can take ownership of

completing .

Advice to those seeking their first FTSE 350 Board role.

The Class of 2014 offered their advice for aspirant NEDs . Their suggestions

can be summarised as follows:

1 . Executive search firms are an important channel . Don’t wait for the

phone to ring . Proactively build relationships with the headhunting

fraternity .

2 . Network broadly . One respondent said, ‘Be clear on what you

are looking for, realistic about the industries your skills can best

be applied to, be patient at the same time as doggedly focused .

Don’t rely on search firms solely; often networks can create

opportunities’ .

3 . Line up good referees and expect the referencing process to take

some time .

4 . In selecting the ‘right Board’, make sure that you have understood

the company and are clear as to where you will bring added value .

As one respondent commented, ‘if you need the company more

than they need you, then you are joining the wrong Board’ .

5 . Don’t be too picky about your first Board . One Board will lead to

another, ‘I am not sure that I subscribe to the view that you need to

be really selective about your first role .’

6 . Do careful due diligence . Particularly in relation to the other

personalities on the board . ‘Make sure that you are going to be able

to work with the rest of the Board, particularly the Chairman and

Chief Executive’ .

7 . Be clear as to your motivations for the role . The time commitment

may appear manageable; however, you may have to give

substantially more time than planned . As one respondent said, ‘My

experience of two NED positions demonstrates that there can be no

half measures if you are to make a full and valued contribution’ .

Interviews with

Class of Members.

Paula Hay-Plumb (Aberforth Smaller Companies Trust).

Paula Hay-Plumb’s career spans more than 30 years in senior Finance roles

across public and private sector organisations, with previous roles including

Corporate Finance and Group Reporting Director at Marks & Spencer and

CEO of English Partnerships . Unlike many of the Class of 2014 Members,

Paula is an experienced NED . She has sat on the Boards of public sector and

commercial organisations since 2006, and took on her first FTSE 350 role

with Aberforth Smaller Companies Trust in January 2014 .

Of her near decade-long career as an NED, Paula comments, ‘I have got a

huge amount out of it, I think in part because I have taken the development

of my NED career as seriously as I did my executive career . For me, the

transition from executive roles to a portfolio career was a conscious

decision, and one I worked hard at’ .

It is this deliberate approach that has stood Paula in excellent stead for the

building of her portfolio . She began by taking on positions at the National

Australia Group Common Investment Fund and Skipton Building Society .

These were followed by appointments at the Forensic Science Service

and National Audit Office—continuing a career-long tradition of bridging

the public and private sectors . Aberforth is Paula’s first appointment to

a FTSE 350 company . Of this evolution, Paula says, ‘My first suite of NED

roles reflected opportunities at the time that built on my expertise from my

executive career and both my public and private sector background . There

was a natural link to each of the roles’ .

Nine years as a NED has left Paula under no illusion as to the link between

effort put in and level of success received, especially when it comes to

finding that first Non-Executive role . ‘You have to work hard at it, the roles

don’t just come and find you . Talk to people around you to highlight what

you’re trying to do and be open with them . Networking is crucial’ . As

for securing that role, she cites her breadth of public and private sector

experience as a valuable asset: ‘I’ve always felt that my combination of

experience is my USP, and I find that organisations value the perspective it

brings . That is certainly the case in my current portfolio which, along with

Aberforth, includes the Crown Estate and Hyde Housing Association’ .

An experienced Board Director, Paula nevertheless approached her role with

Aberforth with the same diligence, focus, and pragmatism she has brought

to all her roles . ‘I have many things in my background that are relevant for

this appointment’, she says, ‘but I am not an Investment Trust Specialist . I

am learning fast and hope I bring a perspective that complements the other

skills around the Board table’ .

When it comes to advice for prospective first-time FTSE 350 NEDs, Paula

highlights the importance of taking the time to understand the organisation

you have joined . On the due diligence process: ‘I try to do all the classic

things and get as much material as I can find . I always ask for information if

I can’t find it online, and I don’t engage in an interview process unless I have

all the materials I need’ . As well as exploring the opportunities and risks of

the business, she asks all prospective Board colleagues the same question:

‘What keeps you awake at night?’

At the same time, Paula recognises the limits of due diligence when it comes

to really understanding a new Board: ‘Whatever you do in advance, you only

really get to appreciate the dynamics of the Board when you attend your

first meeting .’ When asked what experience was most helpful at Aberforth,

Paula thinks back to her time at Marks & Spencer . ‘My experience with M&S

meant I understood the dynamics of a listed environment’, she recalls, ‘which

was very helpful as I embarked on a thorough induction process’ .

Ultimately, Paula’s advice for prospective FTSE NEDs is grounded in

considering not just the dimensions of the company but also what you

can bring to the Board: ‘You have to think about what you have to offer .

I thought carefully about my specialisms and areas of knowledge, and

focussed my attentions on roles that matched . Then my first two NED roles

came together at the same time and the rest flowed from there’ .

Stephen Hubbard (Workspace Group Plc).

Stephen spent nearly 40 years with CBRE Group in various capacities,

culminating in his role as Chairman of the UK which he took on in 2013 .

Stephen has some previous Non-Executive experience, having been on the

Board of Redevco as an Advisor since 2009 . He joined his first FTSE 250

Board Workspace Group in 2014 .

On his first impressions, Stephen has thoroughly enjoyed his time on the

Board of Workspace and has found it rewarding and fulfilling . During his

executive career with CBRE, Stephen had been approached a number of

times; however, the conflicts of interests of his client-facing roles at CBRE

prohibited him from taking on any external appointments . Timing and

circumstances within CBRE were important factors in his ability to take on

a FTSE NED role . ‘I’ve been approached on numerous occasions and I felt it

was probably inappropriate for me to take anything on due to conflicts . Now

that I’m Chairman of the UK business and less involved in the day-to-day

advisory work, I was able to consider external approaches’ .

For Stephen, the right call came at the right moment, and he has decided to

use the Non-Executive platform to extend his property career after having

been encouraged by previous mentors and colleagues . ‘It’s not something I

would have contemplated when I was running a large business area, but I’m

at a point in my career when it’s appropriate and for me very satisfying and

fulfilling . It was always in the back of my mind, but the call came at the right

time and my decision was opportunity driven’ .

Workspace Group was a serendipitous opportunity, as it came at the right

timing in Stephen’s career and was an area of interest to him that played to

his strengths . ‘What attracted me was that I spent most of my commercial

life dealing with central London property and their portfolio almost

exclusively focused on central London . Their business model was of interest

to me, and I felt I could contribute . I felt I had something to give, and I’m also

quite passionate about marketing which is a key part of that business’ .

As most NED appointees, the publicly available information played a key

role in Stephen’s due diligence . In his particular case, the confidentiality of

the appointment meant that he felt it was inappropriate to talk about it to

the external world at the time outside of him clearing it through compliance

at CBRE . But for Stephen, the materials available on the company were

sufficient for him to get a good understanding of the Board .

Throughout his career, Stephen has been familiar with how Boards operate

from a client perspective, so coming into Workspace as a Non-Executive

was difficult . He has observed some interesting differentiators and

characteristics that an FTSE Board has enabled him to observe, ‘It gets very

different when you get into remuneration activities and issues, for example .

That has been an eye opener in relation to the power of the shareholders

and the individual shareholders . Understanding the significance of having

certain shareholders on your share register is important to have’ .

Advice to prospective FTSE NEDs:

• Ensure the timing is right for you in terms of time commitment

and having the right experience to make a contribution .

• Conduct a detailed analysis on each of these before embarking

on the role .

• Once you become more practiced in the environment, further

opportunities will arise, but only take on the roles to which you

can make a quality contribution .

Rakhi Parekh (Rightmove Plc).

Rakhi spent over 10 years in executive roles with Amazon, most recently

having had responsibility for the UK Media businesses . Since stepping down,

Rakhi has been focusing on a joint project with her husband, their vineyard

and winery, as well as being appointed to her first FTSE Board, Rightmove

Plc . Not only is this Rakhi’s first FTSE appointment, it is also her first Non-

Executive appointment making her perspective unique .

For Rakhi, taking on her first NED role was linked to decisions around

another more personal business opportunity . “I took the decision to step

down from Amazon and focus on the vineyard and winery as I wanted to be

involved at the early stage of strategic decision making, and it was hard to

be involved in a meaningful way whilst still in my executive role . But, I didn’t

want to lose that connection to the business world and to stop using my

expertise and experience from Amazon, so I started talking to people about

Non-Executive roles .”

Joining a Board has allowed Rakhi to maintain flexibility and work diversity,

and at the same time providing her with an intellectual challenge while she

focuses on developing her business venture . “It forces you to stay current

and to think about different business problems and what’s happening in

the market . You’re networked and talking to individuals who are sitting on

Boards of other companies, which can challenge you in a different way .”

When deciding on the type of company she would consider, Rakhi’s

expectations evolved as she went through the process and were much

broader than the listed versus private company consideration . “My ideal

when I set out was to have one Plc and one private NED role . And I still think

that is a nice mix, but having gone through the process, I realised that there

are so many factors that are important: Is it an interesting company/sector?

What’s the Chairman like? What’s the CEO like? What’s the impact you can

have on that business? Where do I bring something unique to the Board?

Those factors are much more important to me now than whether it’s private

or public .”

One of the main reasons Rakhi was attracted to Rightmove as a company,

was the customer element and the changing competitive environment . “I

know the company, I’m a customer, I like the product and they were at an

interesting point of increased competitor activity . I’m used to thinking about

competitors, and customers, and I liked the speed and pace Rightmove

operates at .” But at the heart of that came other considerations she

highlights as crucial to her decisions about Rightmove . “I liked the Chairman,

the CEO, the dynamics of the Board which were focused on what is best for

the business, and I felt that I brought a unique perspective to the table” .

The Rightmove appointment has also had another positive impact for Rakhi .

“Once you get your first NED role, that opens doors . It makes me feel more

confident about waiting for the right opportunities . Everyone says getting

your first Board role is the hardest, so I wasn’t sure how much compromising

I was going to have to do at the start of the process” .

Although Rakhi is not sure whether she will go back to an executive career,

the transition for her has been a good learning experience . “It’s not like

getting another job, it’s a totally different shift in the way you work, what’s

expected of you and how much you put it . But I’ve met a lot of people that

have four to five NED roles and that’s just like a full time job again” .

Rakhi believes she was lucky in terms of the timing of the Rightmove

opportunity as she brings something to the Board that is in demand . Her

advice to first time NEDs is to focus on what you bring to the Board that is

different . “I think to get your first FTSE, you need an angle to what you bring

to the Board that’s different to all the experienced NEDs out there . It might

just be a fresh perspective, it could be industry experience or a functional

expertise . Digital is important right now and helped me get initial interest .

While digital can mean a lot of different things, many companies are looking

for people that can think about the challenges that come with moving

online” .

Having completed her first few Board meetings, Rakhi comments on the

learning process of being a FTSE 250 Board Member . “It all starts clicking

in place after the initial induction, you can go back and have follow-up

meetings to understand specific areas in more detail . It is self-directed to

some extent, as you need to make yourself comfortable that you have a

good grasp of the business and issues, and do what it takes to achieve that” .

Cathryn Riley (International Personal Finance).

Cathryn Riley retired from Aviva Plc in October 2013 after 17 years with

the company . Latterly she served as Group Chief Operations Officer,

responsible for IT, Business Change and Operational Shared Services

across the organisation . In 2009, whilst at Aviva, she secured her first non-

executive directorship with Equitable Life and since retiring from executive

life, she has joined her first FTSE board with International Personal Finance

Plc as well as the board of ACE European Group .

Cathryn found the transition to a portfolio career relatively easy and made

the active choice to pursue a non-exec career with clear reasons behind the

shift . “I wanted to pursue the portfolio option as I wanted both more control

in my life and wanted to pursue a range of other things . A portfolio career

has enabled me to do that .”

Her first external appointment to the board of Equitable Life Assurance

came in 2009 whilst she was still in her executive role with Aviva . Having

been on the board of Equitable for over five years, Cathryn had gained an

insight into the nature of a non-executive role and what it entails which

helped facilitate her transition into the listed environment . On the differences

between the listed and non-listed, Cathryn describes the biggest differences

in the technicalities . “It’s more about the technicalities than the day-to-

day issues . The role and responsibilities are no different and the themes/

• Identify what you can bring to the Board that is different .

topics discussed are similar, but with listed entities there are more rules and

regulations . As a board director, you are much more conscious of external

shareholders, analysts and ratings agencies as well as the regulators . The

external scrutiny is much more at the forefront .”

Cathryn chose to join the IPF board in 2014 for a variety of reasons . “I hit it

off with the Chairman and the Chief Executive . I know they are not going

to be there forever but they are fundamental . It also made a difference

to meet fellow NEDs . In addition, IPF ticked the important boxes – it was

an international, listed company going through transformation . I felt I

could add value on the digital, operations and governance side . It was

non-insurance but still in financial services so close enough that I could

contribute . In short there were a number of things which fitted the bill and

the personalities on the board made a big difference . I have thoroughly

enjoyed working with the Chairman, Chief Executive, other NEDs and

management team – they’re a terrific group .”

Cathryn was keen to secure a FTSE directorship, as she already had a

mutual and wanted diversity in her portfolio . She wanted to have that ‘edge’

that comes from external pressures and was keen to utilise the experience

she had gained in a commercial plc environment .

As part of her due diligence, Cathryn met the Chairman, CEO and a couple

of key individuals which was important in her decision making process . “I

also talked to the auditors, spent time looking at previous accounts, investor

presentations and all publicly available information . And then of course the

headhunters and getting some insights in terms of the board .”

On offering advice to prospective first time as well as first time FTSE NEDs,

Cathryn highlights some of the practical things to consider . “Put a really

good CV together which highlights your non-executive experience and

draws out your relevant strengths .” In addition her advice would be to “use

your personal network to promote yourself with head-hunters, chairmen

and non-executive directors . Have clear references and think carefully about

who is going to be a supporter . Ensure you have the right people around

you as sounding boards to challenge and give advice .” She herself was

fortunate enough to have undergone a robust NED training programme

which provided her with mentors that were able to share their insight . “I

was lucky I went through a robust training programme and I had as part

of that some very senior chairmen as mentors . The value of that was that

they could talk to you about the behaviours, ethics, culture and give you

the benefit of their wisdom of what they would be looking for at different

stages . It’s about striking the right balance between contributing, listening

and learning . Having people around you who have been there and done it is

really valuable .”

Cathryn strongly believes that you should be as clear as possible about

what interests you . “The temptation is to jump at the first thing but you are

in it for the long term and need to be clear about what you want to do and

why . I would also encourage budding NEDs to read various publications;

one is never too old to learn and it is helpful to have different views and

perspectives .”

For chairmen who are keen to attract the best NED talent, Cathryn would

give the following advice: “I would encourage them to widen the net as

much as possible and to keep an open mind rather than considering the

obvious people they know in their current circles .” This is particularly true

for women “Notoriously women don’t promote themselves quite as well as

men have in the past . There is a lot of hidden talent under the radar and it

is easy to overlook that talent because we have a natural tendency to go to

those we trust .”

Advice to prospective FTSE NEDs:

• Work your network, let them know your ambitions of joining

a board and use them as a sounding board to constructively

challenge you .

• Put together a CV aimed at highlighting your non-executive

capabilities and strengths .

• Be clear about what your interests are and don’t jump at the

first thing that comes along . It’s a long term game and you

being clear about why is important .

Rebecca Worthington (Hansteen Holdings Plc).

Rebecca is a seasoned Finance Director, having spent more than 10 years

in various roles with the FTSE-listed Quintain Estates & Development . She

sat on the Executive Board from 2001 and left in 2012 to set up her own

business, Lodestone Capital . Her first Board role came in the form of Aga

Rangemaster, the FTSE small-cap manufacturer, in 2013, and she then

subsequently secured her first FTSE 250 appointment through Hansteen

Holdings in 2014 . As a former Finance Director of a listed entity, Rebecca

brings the perspective of financial experience on a Board as well as the view

of someone juggling a full-time role alongside her appointments .

On managing the time commitment of her current portfolio, Rebecca has

consciously evaluated the time she can dedicate to all her roles . ‘I decided

the maximum number of NED roles I can take on whilst I have a day job

is two . The worst thing you can do is take on too much and not do it well .

The reason I’m able to take on two is because I run my own business and

therefore can partly be the master of my own destiny . I think you have to

be very careful about extending beyond one if you are in an executive role .

The pressure on time with family is there, and I have been approached on

a couple of interesting Non-Executive roles and have had to say no as I just

can’t see any scope to do them properly’ .

Rebecca’s background has been helpful in her transition to a NED role with

a FTSE 250 company . She spent a number of years as an Executive Director

on the Board of Quintain Estates, observing the behaviours and approaches

of other Board Members, and has drawn on this experience . ‘Through my

time, I’ve seen three Chairmen and a number of NEDs coming and going . I

have had a view on what both good and bad looked like . And whilst I knew

that I’m far from perfect, I made the point to mould myself as far as I could

on the habits of the people I thought made good NEDs’ .

She didn’t find the transition to the Board of Hansteen Holdings as a

NED particularly challenging, partly because she has operated in a similar

structure at Quintain with a Founder/CEO . She has empathy toward the

ways of the working and the dynamics of the Boardroom; however, despite

all this experience, Rebecca consciously educates herself on issues that

come up and is prepared . ‘Being on top of your subject and having properly

read the Board papers are some of those “good” behaviours I tried to

replicate . If you haven’t understood something, try covering it ahead of

the Board meetings . That’s not always possible, but I think it’s important to

identify where you need support’ .

On her reasons for joining a FTSE 250 Board, Rebecca was keen to stay

connected to the listed environment and contribute with her experience

from this type of structure . ‘The reason I chose Hansteen was partly when

I stepped down from a public listed company, it was quite appealing to

be back in the real estate plc world, even if on a part-time basis’ . There

were other reasons this particular Board also appealed to her: ‘It was the

management team, dynamic and entrepreneurial, high-calibre NEDs . A good

team of Executives and Non-Executives . That was critical in deciding who

you want to spend time with’ .

At the same time, she recognises the different motivations for joining a

particular company . ‘It all depends on what you’re looking for . If you’re

looking for a crisp, clean CV—go and do a safe FTSE 100 . The thing that gets

me more excited is having genuine issues to solve—that’s what I enjoy’ .

Rebecca has also pointed out the continuous education process after joining

the Board, and her recommendation is to seek advice and training of the

Big Four and at the same time being mindful of the time commitment this

entails . “I have always used consultants to educate myself . A lot of the Big

Four offer training . It’s really important to ask for what you want, but it does

require time commitment’ .

Advice to others seeking a FTSE 350 appointment:

• Balance choosing a Board on the basis of your skills and abilities,

and with whom you want to work .

• Make sure you are clear about the time you have to dedicate to

the Board role . If you are in an executive role, be careful about

extending it beyond one .

• If you can’t get comfortable around the accounts, don’t go for it .

• Balance being proactive and patient . It took me the best part of

two years to get my NED roles .

• My advice to Chairmen would be to push headhunters wider .

Not every appointment has to be safe . Occasionally it would be

better to take a risk and have a wider diversity .

• Try and find a way to be front of people’s minds . That’s more

difficult when you have a day job, but relentless proactivity and

self-promotion pays off .
