30 JUNE 2016 The Directors present their report together with the consolidated financial statements for the consolidated entity consisting of The National Trust of Australia (New South Wales) (“the Trust”) and the entities it controlled at the end of or during the year ended 30 June 2016, and the auditor’s report thereon. As part of the long term funding strategy of the Trust, to preserve capital contributions received from third parties and proceeds from sale of Trust properties, a new structure was set up on 19 March 2013, consisting of a trustee company and two trusts. The Trustee Company is known as National Trust of Australia (NSW) Heritage Foundation Limited. Trusts are known as the National Trust of Australia (NSW) Heritage Foundation Trust (‘Heritage Foundation’) and National Trust of Australia (NSW) Heritage Foundation Ancillary Fund (‘Ancillary Trust’). These entities form part of the consolidated entity.

Kate Dezarnaulds, Meredith Hutton, Clive Lucas, Keith Parsons and Brian Powyer were re-elected and Garry Downes was newly elected by the members in November 2015. Dr. Clive Lucas OBE was elected as President, Brian Powyer was elected as Deputy President and Neil Wykes OAM was re-elected as Treasurer in December 2015 by the Directors. The Executive Director does not participate in these elections. The qualifications, experience and special responsibilities of Directors are set on pages 5 to 8. Corporate Governance The election of Directors held in November 2015 produced eight candidates for the six available positions on the Board. Therefore, an election of Board Directors was held. As a result, six sitting members sought re-election and five were returned. One new Director was elected. The Finance, Audit and Risk Management Committee as well as many technical, fundraising, conservation and other volunteer committees continued to support the management of the consolidated entity during the year. Those committees at 30 June 2016 are recognised within the published Annual Review and a list is available on the consolidated entity’s public website.

Short and long-term objectives and strategy The consolidated entity’s short and long-term objectives are:

• to be trusted as a leading independent guardian of Australia’s built, cultural and natural heritage, and defender of our sense of place and belonging in a changing world;

• to advocate for the conservation of our built, cultural and natural heritage by engaging with the community and government;

• to conserve and protect our built, cultural and natural heritage by example, advice and support; and

• To educate and engage the community by telling our stories in ways that awaken a sense of place and belonging.

The consolidated entity’s strategies for achieving these objectives include the following:

• to lobby, facilitate, promote and raise awareness to protect our built, cultural and natural heritage;

• to conserve, maintain, preserve or restore the Trust’s buildings, landscapes and collections for current and future generations and advise and facilitate others on conservation techniques;

• to use properties, collections and intellectual expertise to develop formal education and lifelong programs to encourage people of all ages to understand and relate to our heritage;

• to manage and enhance the Trust’s reputation and communication with its audience, and maximise its brand and marketing to support the consolidated entity’s goals;

• to recruit, retain, involve and galvanise the Trust’s members and supporters;

• to initiate, undertake and support fundraising activities and generate commercial income from business activities;

• to support the consolidated entity’s Board, staff and volunteers so they can work efficiently and effectively and optimise and maintain assets; and

• To comply with legal and regulatory requirements, management of risks, policies, constitution and values.

Principal Activities The Trust is a community based statutory body and a charity which works to protect Australia’s heritage through advocacy, conservation and education within New South Wales. As independent charitable organisations, the Trust and the entities the Trust controls are supported by memberships, donations, sponsorships, bequests and volunteers. The work of the Trust’s employees complements the estimated over 140,000 hours spent by volunteers to conserve and interpret heritage for the people of New South Wales.

The consolidated entity’s principal activities during the year included:

• Advocacy issues included the proposed closure of the Ultimo Powerhouse Museum, the Sirius Building in the Rocks, nomination of The Rocks for the State Heritage Register, the National Art School (old 1823 Darlinghurst Gaol), former Coptic Church, Sydenham, St Johns Anglican Church at Darlinghurst, Cliefden Caves State Heritage Register Listing proposal, continuing National Trust Register Audit and development of Trust Policies and Position Papers, continuing impacts of the WestConnex Motorway, Millers Point sale of properties, Thompson Square at Windsor, the North Parramatta Development, Sydney Opera House and Sydney Modern (Art Gallery of NSW) and the destruction of trees along Anzac Parade.

• Seeking and receiving $878,145 in specific and general purpose grants;

• Seeking and receiving from the NSW Office of Environment & Heritage - Heritage Branch a grant of $450,000 over three years ($65,248 received in 2016) to be used for conservation works on Trust properties that are State owned heritage assets;

• Fundraising through gifts, donations, legacies, annual appeals and regular giving programs;

• Providing direct assistance to clients in the management of native bushland through Bush Management Services bush regeneration contracts;

• Operating a trading enterprise that comprises a number of shops, function facilities, art galleries and heritage properties. Income and interest in heritage is raised by events, gallery and property visitation (155,386 visitors in 2016 and 144,570 visitors in 2015), and inspections and guided tours which are conducted by staff and volunteers. The consolidated entity also raised funds from the commercial rental of some properties;

• Helping the community to fund the conservation of significant heritage through Trust-endorsed conservation appeals;

• Conducting the 22nd annual National Trust Heritage Awards;

• The receipt of eight bequests totaling $1,519,713;

These activities have assisted the consolidated entity in achieving its objectives by enabling it to:

• Raise $27 million in revenue;

• Fund major advocacy programs; and

• Connect with communities.

INDEPENDENT AUDITOR’S REPORT

To the members of The National Trust of Australia (New South Wales): We have audited the accompanying financial report of The National Trust of Australia (New South Wales) (“the Trust”), which comprises the consolidated statement of financial position as at 30 June 2016, the consolidated statement of profit or loss and other comprehensive income, the consolidated statement of changes in accumulated funds and the consolidated statement of cash flows for the year then ended, notes comprising a summary of significant accounting policies and other explanatory information, and the directors’ declaration, for the consolidated entity. The consolidated entity comprises The National Trust of Australia (New South Wales) and the entities it controlled at the year’s end or from time to time during the year. Directors’ Responsibility for the Financial Report The directors of the Trust are responsible for the preparation of the financial report that gives a true and fair view in accordance with Australian Accounting Standards and the Australian Charities and Not-for-profits Commission Act 2012 (“the Act”) and for such internal control as the directors determine is necessary to enable the preparation of the financial report that gives a true and fair view and is free from material misstatement, whether due to fraud or error. Auditor’s Responsibility Our responsibility is to express an opinion on the financial report based on our audit. We conducted our audit in accordance with Australian Auditing Standards. Those standards require that we comply with relevant ethical requirements relating to audit engagements and plan and perform the audit to obtain reasonable assurance about whether the financial report is free from material misstatement. An audit involves performing procedures to obtain audit evidence about the amounts and disclosures in the financial report. The procedures selected depend on the auditor’s judgement, including the assessment of the risks of material misstatement of the financial report, whether due to fraud or error. In making those risk assessments, the auditor considers internal control relevant to the Trust’s preparation of the financial report that gives a true and fair view in order to design audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness of the Trust’s internal control. An audit also includes evaluating the appropriateness of accounting policies used and the reasonableness of accounting estimates made by the directors, as well as evaluating the overall presentation of the financial report. Our audit did not involve an analysis of the prudence of business decisions made by directors or management. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our audit opinion. Independence In conducting our audit, we have complied with the independence requirements of the Act.

Opinion In our opinion: (a) the financial report of The National Trust of Australia (New South Wales) is in accordance with Division

60 of the Australian Charities and Not-for-profits Commission Act 2012, including:

(i) giving a true and fair view of the Trust’s financial position as at 30 June 2016 and its performance for the year ended on that date;

(ii) complying with Australian Accounting Standards – Reduced Disclosure Requirements and the Australian Charities and Not-for-profits Commission Regulation 2013;

(b) we have been given all information, explanation and assistance necessary for the conduct of the audit;

(c) the Trust has kept financial records sufficient to enable a financial report to be prepared and audited; and

(d) the Trust has kept other records as required by Part 3.2 of the ACNC Act.

(e) The financial report of The National Trust of Australia (New South Wales) is in accordance with the provisions of the Charitable Fundraising Act 1991 and the regulations thereto. Any money received as a result of fundraising appeals conducted during the financial year has been properly accounted for and applied with the following provisions:

(i) the financial report and associated records have been properly kept during the financial year in accordance with the provisions of the Charitable Fundraising Act 1991 and the Regulations thereto; and

(ii) at the date of this statement there are reasonable grounds to believe that the Trust will be able to pay its debts as and when they fall due.

NOTE 1: STATEMENT OF SIGNIFICANT ACCOUNTING POLICIES

The following significant accounting policies have been adopted in the preparation of these consolidated financial statements. These policies have been consistently applied to all the years presented unless otherwise stated. These financial statements are for the group consisting of The National Trust of Australia (New South Wales) (the “Trust”) and its subsidiaries.

(a) Basis of Preparation The National Trust of Australia (New South Wales) is a statutory body and a statutory corporation constituted by the National Trust of Australia (New South Wales) Act 1990 (“the National Trust Act”). These general purpose financial statements have been prepared in accordance with Australian Accounting Standards (“AASBs”) and Interpretations issued by the Australian Accounting Standards Board, the Australian Charities and Non-for-profits Commission Act 2012 and the National Trust Act and Rules.

i. Historical Cost Convention They have been prepared on the basis of historical costs and do not take into account changing money values or, except where stated, current valuations of non-current assets.

ii. Compliance with Australian Accounting Standards – Reduced Disclosure Requirements

The financial statements comply with Australian Accounting Standards as issued by the Australian Accounting Standards Board (“AASB”).

(b) Principles of Consolidation The consolidated financial statements incorporate the assets and liabilities of the Trust and the entities it controls as at 30 June 2016 and the results of all such entities for the year then ended. The Trust and the entities it controls together are referred to in these financial statements as the group or the consolidated entity. The Trust controls entities when the Trust is exposed, or has rights, to variable returns from its investment with the entity and has the ability to effect those returns through its power to direct the activities of the entity. Subsidiaries are fully consolidated from the date on which control is transferred to the group. They are de-consolidated from the date that control ceases. Intercompany transactions, balances and unrealised gains on transactions between group entities are eliminated. On 19 March 2013 the group formed a company limited by guarantee (“the Trustee”) and two Trusts, for the purpose of raising contributions and investing and limiting the distribution of revenues from the sale of properties and fundraising. These entities are consolidated, as the substance of the relationship is that the entities are controlled by the Trust. Refer Note 21.

(c) Revenue Recognition Revenue is measured at the fair value of the consideration received or receivable. Amounts disclosed as revenue are net of returns and allowances.

(c) Revenue Recognition (continued) The group recognises revenue when the amount of revenue can be reliably measured, it is probable that the future economic benefit will flow to the entity and specific criteria have been met for each of the group’s activities as described below. The group bases its estimates on historical results, taking into consideration the type of customer/service, the type of transaction and the specifics of each arrangement. The specific accounting policies for the group’s main type of revenue are explained below. Sales Revenue: Sales revenue is recognised when the goods are provided, or when the fee in respect of services provided is receivable.

Revenue: Interest income and rent are recognised as they accrue. Donations/Bequests/Gifts: Donations/bequests/gifts are recognised when received. Membership Subscriptions: One year subscriptions are recognised when received. Three year subscriptions are treated as annual subscriptions paid in advance; the first annual subscription is recognised when due with the remainder in advance being deferred to be recognised on the subsequent anniversary of the membership due date until the deferred amount is fully utilised. Other Revenue: Revenue recognition policies for grants and investments are described in Accounting Policy notes (d) and (g) respectively.

(d) Grants Both specific and general purpose grants are recognised as revenue when due and receivable. If all funds received in respect of any grant that is refundable are not spent in the financial year of receipt, the unspent portion is carried forward as a liability until the grant is fully expended.

(e) Taxation The Trust has been granted exemption from: • Income tax; • Payroll tax; • Land tax; and • Stamp duty. The Trust is listed by name as a Deductible Gift Recipient covered by item 1 of the table in section 30-15 of the Income Tax Assessment Act 1997.

(f) Receivables Trade debtors and other receivables are carried at amounts due. The collectability of debts is assessed at balance date and a specific provision is made for any doubtful debts.

(g) Financial Assets at Fair Value through Profit or Loss Financial assets at fair value through profit or loss are initially recorded at cost, and subsequently carried at market value, with changes in value recorded in profit or loss. Dividends and Distributions are recognised as revenue when the right to receive revenue is established. (h) Land, Buildings and Collections Land and Buildings: Freehold land and buildings are recorded at cost, or at valuation when received by way of bequest. In certain instances, the Trust obtains an economic benefit from the use of land and buildings that are not owned by it but are held by it on behalf of the owner. Where a right to use such land and buildings vests, the Trust holds the land and buildings as custodian. Improvements to land and buildings are recorded at cost (including assets revalued prior to 1 July 2000 which are now deemed to be at cost in accordance with AASB 1041 Revaluation of Non-Current Assets, which was applied at that time). If land and/or buildings are sold, the effective date of sale for accounting purposes is the date on which the transaction is settled. Collections: Museum collections are carried at fair value. Independent valuations are undertaken from time to time and are considered by the Directors when determining fair value. (i) Depreciation Plant, Equipment and Furniture: Items of plant, equipment and furniture are depreciated on a straight line basis over their estimated useful lives. Assets are depreciated from the date of acquisition. The range of useful lives used is 3 to 20 years, represented by the following depreciation rates:

Computers and related technology based equipment 33.3% Plant and other general equipment – heavy use 33.3% Plant and other general equipment – moderate use 20.0% Plant and other general equipment – light use 6.6% Motor vehicles 20.0% Furniture & fittings 5.0% - 10.0% Non-heritage buildings 5.0%

Historic Buildings and Collections: Due to the historic nature of the Trust's buildings and collections, no depreciation expense is charged in respect of these assets. Operating Leases: Payments made under operating leases are expensed on a straight line basis over the term of the lease.

(j) Payables Liabilities are recognised for amounts to be paid in the future for goods and services received. Trade accounts payable are normally settled within the payment terms (k) Inventories Inventories are carried at the lower of cost and net realisable value. (l) Employee Entitlements Wages, Salaries and Annual Leave: Liabilities for employee entitlements to wages, salaries and annual leave represent present obligations resulting from employees’ services provided up to the reporting date, calculated at amounts based on expected future wage and salary rates including related on-costs. Long Service Leave: The liability for long service leave expected to be settled within 12 months of the reporting date is recognised and measured in accordance with “annual leave” above, including on-costs. The liability for long service leave expected to be settled more than 12 months from the reporting date, including on-costs, is recognised, and is measured based on remuneration rates current as at balance sheet date for all employees with five or more years of service. The Directors believe that this method provides an estimate of the liability that is not materially different from the estimate that would be obtained by using the present value basis of measurement.

NOTE 2: LONG TERM VIABILITY/GOING CONCERN The consolidated financial statements have been prepared on a going concern basis. The Trust’s consolidated financial statements show that at 30 June 2016 the group had consolidated net assets of $79.6 million (2015: $62.0 million), earned a surplus for the year of $17,603,443 (2015: $2,308,852), and at 30 June had Current Assets (excluding Cash – Restoration Appeals) of $1,466,899 (2015: $1,900,042) and Current Liabilities (excluding Restoration Appeals and Deferred income and unexpended grants of $1,480,957 (2015: $1,491,702). Included as Non-Current assets are “Other Financial Assets” of $12.1 million, which consists of highly liquid investments, which can be used in the management of cash flows of the group, should this be required. $7.76 million of that amount is restricted, as outlined in Note 7.

NOTE 7: OTHER FINANCIAL ASSETS (continued) Golden Vale The Golden Vale fund was established in November 2007 after the subdivision and sale of a parcel of land adjacent to the residence at Golden Vale, which was permitted under a Deed of Gift from The Honourable William Geoffrey Keighley and Karin Margot Spiegel-Keighley. The proceeds of the sale were to be invested for the purpose of funding the maintenance of the residue of Golden Vale. S. H. Ervin Fund The S. H. Ervin fund was established in July 1973 on receipt of a bequest from Samuel Henry Ervin. The funds were to be used to renovate, restore and maintain a Museum and Art Gallery for the preservation and display of works of art. Wirrimbirra (Dew Sisters) The Wirrimbirra (Dew Sisters) fund was established in June 2007 on receipt of a bequest from Alice Dew. These funds were to be spent on an accommodation building for students at Wirrimbirra named as a memorial to Barbara Dew. Hazel Porter’s House The Hazel Porter’s House fund was established in February 1998 on receipt of a bequest from Hazel Mildred Porter. The Will directed that the property at 434 Kings Street Newcastle be preserved for the benefit of the public. Butler Estate Motor Vehicle Fund The Butler Estate Motor Vehicle Fund was established in May 2009 on receipt of a bequest from Paul William Butler. These funds were to be used to make grants for the purpose of either: public exhibition of vintage and veteran cars or the preservation and restoration of vintage and veteran cars for the purpose of public exhibition, or education or research into vintage and veteran cars. Grants for both purposes are to be used within New South Wales. Heritage Foundation The proceeds or part thereof from the sale of Trust properties are placed in the Heritage Foundation in order to build a capital fund to support the work of the Trust. Havelberg Estate Havelberg Estate was established on the 14 November 2014 on the receipt of a bequest from Dean Donald Havelberg. The funds will be used to renovate, restore and maintain Cooma Cottage and Harper’s Mansion. Peter Crittenden The Peter Crittenden fund was established in September 2015 on receipt of a bequest of shares from Peter Crittenden. The Will directed that the funds must be spent on the maintenance of Old Government House. Bequest Fund This amount represents the funds received from bequests to the consolidated entity that are not designated for particular purposes. Unrestricted Other Financial Assets This amount represents the funds of the consolidated entity that are not designated for particular purposes.

NOTE 13: RESTORATION APPEALS

The consolidated entity conducts appeals in support of local organisations for the conservation of places and items classified by the consolidated entity to enable those organisations to achieve the objective of the consolidated entity. Though conducted by and through the consolidated entity these appeals are in support of heritage places and items owned by other parties. For this reason these monies are held separately by the consolidated entity.

RESTORATION APPEAL - DETAIL These amounts are set out below and are included in the Consolidated Statement of Financial Position. Administration fees are earned by the Trust from these appeals and any amount unspent in the appeal is retained by the Trust. The consolidated entity contributes to employee superannuation funds as required under the Commonwealth Government’s Superannuation Guarantee Legislation.

NOTE 15: CAPITAL MANANGEMENT

Capital available to the consolidated entity at the end of the financial year is represented by its total accumulated funds, being Retained Surplus and Reserves. The Board manages these funds through the use of budgets and regular forecasts and with the assistance of the Finance, Audit and Risk Management Committee with the objective of ensuring that there are always sufficient reserves to pay debts and to continue the growth of the consolidated entity.

NOTE 21: CONTROLLED ENTITITES As part of the long term funding strategy of the Trust, to preserve capital contributions received from third parties and to preserve part of the proceeds from the sale of Trust properties, a new structure was set up consisting of a trustee company and two trusts. The following entities became controlled entities of the Trust from 19 March 2013: • The National Trust of Australia (NSW) Heritage Foundation Ltd (“Trustee”); • National Trust of Australia (NSW) Heritage Foundation Trust (“Heritage Foundation”); • National Trust of Australia (NSW) Heritage Foundation Ancillary Trust (“Ancillary Trust”). The Heritage Foundation and The Ancillary Trust are referred to herein as “subsidiary trusts”. The Trustee is responsible for governing the day to day activities of the two subsidiary trusts, with a board of up to 7 members, a majority of whom must be directors of the Trust. The Chairman of the Trustee is to be independent of the Board of the Trust. The directors of the Trustee are appointed by the Board of the Trust. The objects of the subsidiary trusts are to pursue charitable purposes only and to apply the income and property of the subsidiary trusts however derived: (a) Solely to the Trust; or (b) Otherwise for the benefit or advancement of the objects of the Trust, if approved by a special resolution

of the Trustee.

NOTE 21: CONTROLLED ENTITITES (continued) As a consequence, these three entities are controlled entities of the Trust. The trust deeds of the Heritage Foundation and Ancillary Trust set out the day to day activities, including the investment activities of the subsidiary trusts as well as the amount of income and capital the subsidiary trusts can distribute. The amount of income that can be distributed each year is as follows: (i) The subsidiary trusts can automatically distribute 80% of income to the Trust to be used in accordance with their charitable objects; and (ii) The subsidiary trusts may either accumulate the remaining 20% so long as the capital base not has been augmented by an amount equal to the 20% or alternatively may (but is not required to) distribute all or part of the remaining 20% if the capital base has been augmented. Subject to the minimum annual distribution requirements for the ancillary fund, the trustee may distribute up to 5% of the capital base of the subsidiary trust in any one year. However, approval of any capital distribution requires approval from at least 75% of Directors of the Trustee of the relevant subsidiary trust and 75% of Directors of the Trust. NOTE 23: SUBSEQUENT EVENTS The following events occurred subsequent to balance date that the Trust considers material for disclosure in the financial statements. On 1 July 2016 The Trust settled granting of a 99 year lease on a Trust Property, Ludovic Blackwood Memorial Sanctuary, Pennant Hills. A surplus of $468,292 was recorded on this sale, and will be included in profit or loss of the 2017 financial year. Except as described above, there has not been any other matter or circumstance that have arisen since the end of the financial year that has significantly affected, or may significantly affect, the Trust.
