ADDENDUM NO. 2

QUESTIONS AND ANSWERS Q1. For Schedule of prices Form of Tender, Item 8: Milestone Husky Network Video Recorder (Installation and Programming). We need more detail about what Owner wants as to supply with this request i.e. type of equipment, specification of specific video recorder, location of installation and type of software/programming (Type of Milestone Husky etc.). If City has it’s own designated supplier and installer of this portion of work, please provide names for better coordination and pricing. A1. Husky specs: Milestone Husky M20, SKU #: HM20-4T-16, Description: 2 x 2TB, 16 Licenses, i3, 8 GB RAM. Video recorder should be placed in a secure electrical room and be placed in a lockable cabinet. Q2. On the drawing E-4 this is a note: “Contractor to provide conduit for CCTV & emergency call button…, CCTV camera by others…” We also have division 28 23 00 which request to supply and install video surveillance and intercom. Therefore, drawings contradict with provided section of specification. Please advise. The same for E-2 communication, pull boxes by others. Is this portion of work to be done by City? A2. Drawing E-4: Contractor shall supply and install all Security CCTV equipment and related cabling. Drawing E-2: Communication cables and pull boxes for these new empty conduits will be installed by Bell/360 Networks. Q3. There is a note on the drawing S-2, “Contractor to design and relocate existing Toronto hydro conduit and streetlights”. We are not designer, we are constructor. Please provide design and work procedure with scope of work, type of conduits, duct banks size, streetlight poles, wiring etc. We suggest to add this request to Cash Allowances and use this money when final solution to be made. A3. Contractor to retain Toronto Hydro Approved Designer and contractor to design and relocate the existing Toronto Hydro conduit and streetlights as required to construct the project. The Toronto Hydro's Approved Contractor List is attached with this addendum. Q4. Toronto usually stipulates that their forces (contractors) complete the water and sewers installation connections in the road allowance/ROW. For this contract the City owns the property also and normally GC can complete the water and sewer servicing. In this case can GC complete the connections on property and in ROW? A4. In this project, the General Contractor will complete the connections on City's property and in ROW. Q5. We request windows, glass schedule for this project. A5. Window and glass schedule for this project is in Drawing Nos: A-9 to A-14 and Specifications - Section 4B Technical Specifications: Section Nos. 08 42 13 – Aluminum Framed Storefronts, 08 44 13 – Glazed Aluminum Curtain Wall, and 08 80 00 – Glazing. Q6. As per DW E-1 Note#6 Disconnect Switch/Starters to Mech. Equipment by Mechanicals yet Spec. 262910 contradict. Please clarify.

A6. Note 6 on Drawing E-1 will be revised to read “Motor starters for exhaust fans shall be supplied and installed by Electrical Contractor. Disconnect switches shall be supplied and installed by electrical contractor where shown or where required by code for local power disconnect. Contractor shall coordinate the responsibility of the sub-trades to provide complete systems that meet the requirements of the design and all applicable codes.” Q7. Please provide route for power feed from Panel “A” and “B” to north side of the bridge. A7. Power conduits shall be routed along the piers and below the roof of the bridge, similar to the mechanical/pipe routing. Q8. Please clarify if power conduits should be imbedded in North and South Piers. A8. Conduits may be embedded in the concrete subject to the review and approval of the Structural Engineer and the City. Q9. According to specification glazing (GL-3) is 16mm Tinted Tempered glass. We spoke to glass suppliers, maximum 10mm Tinted Tempered glass available locally. Please advise. A9. 16mm tinted tempered glass is required. Q10. Please provide wall sectional details at curtain wall locations in north and south towers. A10. A21 and A22 have horizontal and vertical details of Glazed Frame /wall section. Q11. In specification section 084413 Glazed Aluminum Curtain Wall, section 2.4.2 exterior door type asked for Alumicor Insuldoor Entrance doors 400A. Whereas in door schedule (Arch. Dwg.: A-26) D100 & D105 are given as FIRE RATED doors. The products are different and FIRE RATED doors are more expensive. Please clarify. A11. In Door Schedule D100 & D105 should be aluminum doors and frames, and are non-fire rated. Q12. In the same context as above the CURTAIN WALL system also has to be FIRE RATED in fire rated doors location instead of regular Thermawall 2600 – Alumicor. Please advise. A12. Curtain Wall is non-fire rated. Q13. In the bridge section it is more convenient to install Flushglaze 800 from top of concrete curb to the top (without stainless steel angles at the middle and bottom) and the louvers can be installed later into the system. Please suggest. A13. It is acceptable to install Flushglaze 800 System on top of concrete curb. Stainless Steel angles indicated on drawing sheet A-20. Detail 3 are not required. Q14. There are what looks like glass screens, W101 at gridline D and W103 at Gridline L. They appear on ground, intermediate and bridge levels but no details provided. Please provide info/elevations, glass, frame types for these screens. When floor changes to brick wall is the brick supposed to be cladded with back painted glass? A14. Elevator shaft vestibules at both the north and south piers: Delete glazed screens W101 and W103 and replace with Wall type W1A (all levels);

At uppermost level (bridge level) delete glazed screens (unlabeled) and replace with wall type W1A; At uppermost level delete wall type W1 and replace with wall type W1A. Q15. There is a note on the drawing L-1: “Temporary access for construction / finishing of West wall or stairs to be negotiated with private owner” (Existing parking Lot). We understand, that it is impossible to complete North Site portion of work without occupying of existing parking lot and there is a cost associated with privet parking lot occupation for the duration of the work and we would like to know if City negotiates with Owner of this lot, gets permission and also negotiates and pays cost related to this occupation. A15. No. The City has no easement agreement with this property owner. The Contractor is not allowed to use this parking lot without the property owner's written permission. All areas used by the Contractor for access or storage shall be restored to their original condition at no extra cost to the City.

1. Conditions:

(a) The Contractor shall have finalized items (ii) and (iii) below and obtained acceptance from Metrolinx and Metrolinx’s engineering consultant from time to time (currently AECOM Canada Ltd.) (“Metrolinx’s Consultant”) of each of the following (collectively, the “Accepted Plans”):

(i) design drawings, plans and specifications relating to the Bridge ( prepared by City's consultant);

(ii) a detailed construction schedule for the Bridge (to be prepared by the Contractor); and

(iii) a construction staging plan for the Property (to be prepared by the Contractor).

(b) The Contractor shall provide, and shall arrange for all its subcontractors who

require access to Metrolinx's lands (Metrolinx's Property") to carry out the Work to provide, Metrolinx a signed copy of Metrolinx’s Work Permit and, subject to any legal limitations (including any applicable limitations under the Municipal Freedom of Information and Protection of Privacy Act (Ontario)), all other documentation and information reasonably required by Metrolinx in a timely manner so Metrolinx has a reasonable time to review and process such documentation and information.

(c) The right to enter Metrolinx's Property shall only be exercised in the accompaniment and under the direction of flagmen acceptable to Metrolinx and pursuant to such other safety protection as is deemed necessary by Metrolinx, in its absolute discretion, and the Contractor acknowledges that flagging services may be provided by more than one contractor;

The construction activities of the Contractor and its subcontractors on Metrolinx's Property shall be limited to the dates, times and locations specified in the construction schedule, staging plan and work plans to be approved by Metrolinx and Metrolinx’s Consultant. Notwithstanding the foregoing, in the event of an emergency or other unforeseen event that threatens or delays rail operations, safety and/or the scheduling or completion of construction activities being carried out on or for railway purposes by Metrolinx or others authorized by Metrolinx on or within the vicinity of Metrolinx's Property, the Contractor acknowledges that Metrolinx, acting reasonably, shall have the right to interrupt and/or postpone the Work of the Contractor and its subcontractors on Metrolinx's Property until the emergency or other unforeseen event has been rectified and rail service or construction activities has or have been returned to pre-event levels. Metrolinx shall take all reasonable

steps to avoid any such emergency situation and delay that negatively impacts the Work. Metrolinx shall use reasonable commercial efforts to rectify any such emergency situation that negatively impacts the Work. Metrolinx cannot guarantee that any scheduled work block can be extended after an emergency or unforeseen event; however, Metrolinx shall, in consultation with the Contractor, make arrangements to permit the Contractor and the subcontractor to enter onto Metrolinx's Property as soon as possible to complete the portion of the Work that the Contractor was unable to complete as a result of an emergency situation or other unforeseen event;

(d) The Contractor shall ensure that all its staff accessing Metrolinx's Property successfully complete the GO-Safe Railway Orientation Course and any other applicable training courses before accessing Metrolinx's Property. For clarity the Contractor shall contact Metrolinx’s Consultant directly to make inquiries in respect of training, and the GO safety course is available online at www.gotransitcontractor.com. The green GO-Safe Railway Corridors Orientation hard hat sticker shall be affixed to the hard hats of all the Contractor's staff when on Metrolinx's Property and such staff also shall have a current GO Transit contractor wallet ID card in their possession at all times while on Metrolinx's Property.

(e) The Contractor shall ensure that all its staff accessing Metrolinx's Property are sufficiently experienced and properly qualified, licenced and equipped to perform their duties in accordance with industry practices;

(f) The Contractor acknowledges that Metrolinx and its directors, officers, employees, permittees (including, for greater certainty, The Toronto Terminals Railway Company Limited (“TTR”)), licensees, contractors, consultants, engineers, planners, subcontractors and agents (collectively, “Metrolinx Permittees”) or others authorized by Metrolinx may also be working on or in the vicinity of Metrolinx's Property at the same time as the Contractor. Metrolinx, acting reasonably, shall be responsible for coordinating construction activities, provided that if both parties are working on or in the vicinity of Metrolinx's Property at the same time, Metrolinx shall be deemed to be the constructor for purposes of the Occupational Health and Safety Act (Ontario). Metrolinx shall not be responsible for any inconvenience, delays, cancellation fees, wages, equipment rentals or use, or any other costs of any kind whatsoever arising from or due to or incurred by the Contractor as a result of any work being done by others in the area interfering with or delaying or preventing the Contractor’s activities on Metrolinx's Property unless

the cause is due to Metrolinx's negligent coordination of work on or in the vinicity of Metrolinx's Property or its negligent coordination of resources for flagging.

2. Deliveries: The Contractor shall first deliver, or cause to be delivered, to Metrolinx, with a copy to the City, in addition to the Work Permit:

(a) at least 30 days’ prior written notice of the proposed date for commencement of the construction (the “Construction Start Date”) described in the scope of work in the Work Permit so Metrolinx’s Consultant can arrange a site meeting between the parties to discuss and review the Accepted Plans, determine the extent of work being completed off site, the work to be conducted on site, construction methods, the kind of equipment to be used and brought in, on or over the rail corridor, hours of permitted construction, any necessary flagging protection that will be required and any and all other matters pertinent to the construction;

(b) the insurance certificate;

(c) a site specific safety program which ensures the health and safety of all Contractor staff accessing Metrolinx's Property and allows for the safe movement and protection of trains in accordance with the Occupational Health and Safety Act (Ontario), in a form approved by Metrolinx;

(d) a Certificate of Clearance for Workplace Safety and Insurance Board;

(e) confirm the Construction Start Date at least 15 days prior to the Construction Start Date so flagmen and other safety measures and personnel and scheduling arrangements can be made with respect to each component of the construction by Metrolinx’s Consultant; and

(f) a status inventory of Metrolinx's Property and the structures and other improvements located on Metrolinx's Property (the “Pre-construction Inventory”). The Pre-construction Inventory shall detail, photograph, and specify the existing condition of the Property and the structures and other improvements located on the Property. Without limiting the generality of the foregoing, the Pre-construction Inventory shall include the following:

(i) documentation of the existing retaining walls, fences, hydro poles, signal poles, at grade structures and so on;

(ii) a track inspection completed by a qualified track inspector documenting the current state of the ballast, rails, ties and other track materials and infrastructure as well as the level of dirt, gravel, tar, concrete and other

materials in the ballast that could affect drainage and/or the integrity of the rail track bed; and

(iii) a signal inspection completed by a qualified signal inspector documenting the current state of the signal cables, signal structures, ducts/conduits and other signal infrastructure.

 For the track inspection, “qualified track inspector” means a track inspector (i) with at least 2 years of satisfactory related experience inspecting, constructing and maintaining track; (ii) who has track maintenance and training received from a qualified course in track inspection or from a college level education program related to track inspection; (iii) who has a valid TIG Inspector Card; and (iv) who is Canadian Rail Operating Rules (ROR) qualified, and for the signal inspection“qualified signal inspector” means a signal inspector with at least 3 years of satisfactory related experience inspecting, constructing and maintaining signals and special works who has a combination of experience in signals including construction, testing and applicable signaling standards and practices such as Canadian National Railway Company – General Instruction and Canadian National Railway Company – Signal and Communication Practices. An original copy of the Pre-construction Inventory shall be delivered by the Contractor to Metrolinx prior to the commencement of the construction of the Bridge.

The review and approval or acceptance, as applicable, of any of the foregoing by Metrolinx, Metrolinx’s Consultant or Metrolinx Permittees or of any other document, plan, report or record provided by the Contractor shall not have the effect of waiver or transfer of any liability or obligation whatsoever in respect of the design or adequacy of the Accepted Plans, the construction of the Bridge and/or any materials used in the construction of the Bridge notwithstanding the same may have been reviewed and/or approved or accepted, as applicable, by Metrolinx, the Metrolinx Consultant and/or the Metrolinx Permittees. No such review, approval and/or acceptance by Metrolinx, the Metrolinx Consultant and/or the Metrolinx Permittees shall be deemed to limit the Contractor’s full responsibility for the design and adequacy of the Accepted Plans, the construction of the Bridge and/or the materials used in the construction of the Bridge, except to the extent that the City or its consultant have prepared the design drawings, plans and specifications relating to the Bridge but subject to all other provisions in the Contract Documents.

3. Construction Obligations:

(1) The Contractor covenants and agrees that:

(a) the Contractor shall construct, or cause to be constructed, the Bridge in accordance with the Accepted Plans. All such work shall be completed in a good and workmanlike manner;

(b) changes or modifications to the design and construction of the Bridge, the construction schedule, construction staging plan and work plans on Metrolinx's Property, lateral and overhead physical clearances, signal sight line visibility clearances and/or any other matter that may impact rail corridor operations, safety and/or the scheduling or completion of construction activities being carried out by Metrolinx or by others authorized by Metrolinx on or within the vicinity of Metrolinx's Property shall require the prior written approval of Metrolinx and Metrolinx’s Consultant and the Contractor shall obtain that approval after obtaining acceptance from the City for that change or modification in the manner set out in the Contract Documents. The Contractor agrees to advise Metrolinx in writing of any other changes not requiring approval for information purposes.

(c) the Contractor shall procure and carry or shall cause to be procured and carried and paid for, full Workplace Safety and Insurance Board coverage for itself and all its staff;

(d) after commencement of construction, the Contractor shall conduct regularly scheduled site meetings with Metrolinx and Metrolinx’s Consultant. On at least 3 Business Days’ prior written notice from the Contractor, Metrolinx and Metrolinx Permittees shall attend site meetings as required to address issues which arise during construction related to or affecting rail corridor operations, safety (including lateral and overhead physical clearances and signal sight line visibility clearances) and/or the scheduling or completion of construction activities being carried out by Metrolinx or others on or within the vicinity of Metrolinx's Property. Minutes of such meetings shall be taken by the City's consultant and distributed to Metrolinx and Metrolinx’s Consultant within 5 days of any such meeting. Without limiting the generality of the foregoing, the Contractor acknowledges that Metrolinx must receive from the Contractor (with a copy to the City) at least 6 months’ prior written notice of the date the Contractor or its subcontractor wishes to install the Bridge, as Metrolinx will have to temporarily suspend rail operations on Metrolinx's Property during the installation process. The Bridge installation must be coordinated by the Contractor so rail service within Metrolinx's Property is not disrupted other than with Metrolinx's consent. The Contractor shall work with, and shall cause its

subcontractors to work with, Metrolinx, the Metrolinx Permittees and the Metrolinx Consultant to ensure no disruption occurs other than with Metrolinx's consent;

(e) throughout the duration and upon the completion of construction, the Contractor shall leave Metrolinx's Property in a clean and tidy condition, free of any debris and/or environmental contamination caused by the Contractor or any its subcontractors during construction (or released as a result of the construction) and any required remedial action resulting from the construction shall be at the sole cost of the Contractor;

(f) except as otherwise permitted by Metrolinx, throughout the duration of construction, Metrolinx shall have uninterrupted access to and from Metrolinx's Property;

(g) in addition to any other inspection required by the City in other parts of the Contract Documents, the Contractor shall notify Metrolinx and the City upon the completion of the construction to arrange final inspections by Metrolinx or Metrolinx’s Consultant. The Contractor shall rectify any deficiencies in the construction identified during these inspections by Metrolinx that could impact Metrolinx’s rail corridor operations and/or the safety of Metrolinx's Property, at the Contractor’s sole cost and expense, to the satisfaction of Metrolinx, acting reasonably;

(h) any work which may be required under the construction warranty or maintenance guarantee period shall be undertaken by the Contractor or its subcontractors, at the Contractor's sole expense;

(i) within 30 days following substantial performance (as that term is defined in the Construction Lien Act or the Construction Act (Ontario) using the definition that is applicable to the construction work at the time the certificate of substantial performance is published) of the work relating to the construction of the Bridge, the Contractor shall provide to Metrolinx an update of the Pre-construction Inventory to detail, photograph and specify the existing condition of Metrolinx's Property and the structures and improvements located on Metrolinx's Property. The Contractor shall be responsible for repairing any damage to Metrolinx's Property to the extent caused by the construction, including replacing any structures or other improvments, if required in Metrolinx’s opinion, acting reasonably, at the sole cost and expense of the Contractor, and to the satisfaction of Metrolinx, acting reasonably.

4. No Interference with Railway Operation: The Contractor agrees that it shall not take any steps that interfere with, obstruct or compromise any ongoing railway operations, maintenance and use of Metrolinx's Property, safety of Metrolinx, the Metrolinx Consultant and Metrolinx Permittees in or about Metrolinx's Property and/or the scheduling or completion of construction activities being carried out by Metrolinx or others

authorized by Metrolinx on or within the vicinity of Metrolinx's Property, unless the Contractor obtains the prior written consent of Metrolinx and ensures the provision of any required security, flagging or other protection and inspection, all at the Contractor’s cost.

5. Comply with Laws: Without limiting any other obligation in the Contract Documents, the Contractor covenants and agrees to ensure that it and its subcontractors and all others involved in the construction comply with all laws and all relevant provisions of the building by-laws of the City of Toronto, the relevant provisions of workplace safety and occupational health and safety legislation and all other statutes, by-laws and regulations lawfully in force and relating to this contract. Unless otherwise provided herein, the Contractor shall, at its sole cost, obtain and comply or arrange for its subcontractor to comply with all necessary permits, licences, consents, approvals, clearances, ordinances, registrations, filings or other authorizations as may be required from any applicable technical organization or governmental authority having jurisdiction in connection with the construction. Metrolinx shall not be responsible for monitoring the Contractor’s compliance with any of the foregoing. The Contractor shall provide to Metrolinx copies of all approvals and/or permits.

6. Safety: The Contractor covenants and agrees that:

(a) it shall take precautions as may be prudently required to effectively prevent persons, equipment or rail operations on or off of Metrolinx's Property from being endangered by activities being carried out with respect to the construction. The Contractor shall ensure that Metrolinx's Property is protected at all times from falling construction debris, equipment, sparks from welding or other escape of falling or dangerous substances onto Metrolinx's Property;

(b) the construction shall be performed in accordance with Canadian Railway Operating Rules, applicable Transport Canada guidelines and railway standards and practices;

(c) the costruction work shall be designed and constructed in such manner to satisfy Metrolinx and Metrolinx’s Consultant that appropriate lateral and overhead physical clearances and signal sight line visibility clearance requirements are maintained both during construction and as completed in accordance with Transport Canada requirements and AREMA 2014 and that the Bridge and its supporting foundations are constructed in accordance with or exceed the

requirements of the Canadian Highway Bridge Design Code and AREMA 2014, as appropriate;

(d) it shall maintain, strictly enforce and ensure that all Contractor staff are trained in respect of and comply in all regards with Metrolinx'se safety program;

(e) it shall take all steps reasonable in the circumstances to ensure the health and safety of all workers for which it has responsibility under the Occupational Health and Safety Act (Ontario); and

7. Rules and Safety Requirements: The Contractor shall and shall ensure that its staff comply with and conform to the rules and safety requirements set out in the Work Permit and all orders, rules and regulations of any governmental authority having jurisdiction respecting Metrolinx's Property, the equipment and installations located thereon and the use of Metrolinx's Property by it.

8. Notice of Emergencies or Damage: In addition to notifying the City, the Contractor shall immediately notify Metrolinx’s Construction Management Office at 416-601-3611, in the event of any emergency, incident or hazardous condition that involves damage or potential damage to persons or property or any other incident that might affect rail operations on and/or the scheduling or completion of construction activities being carried out by Metrolinx or others authorized by Metrolinx on or within the vicinity of Metrolinx's Property and immediately provide such details to Metrolinx as it may require or request. Metrolinx shall have the right to review and approve any necessary rectification, remedial or other work to be performed by the Contractor to protect Metrolinx's Property. The Contractor agrees that it shall not resume any work on Metrolinx's Property until such corrective action plan has been established and has been approved in writing by Metrolinx and the City. Any such resumption of work shall be in compliance with the approved corrective action plan.

9. Emergencies: The Contractor agrees that it shall reimburse Metrolinx and/or Metrolinx’s Consultant for work of an emergency nature to the extent caused by the Contractor, its subcontracors and all others involved in the Work for which the Contractor is responsible which Metrolinx deems reasonably necessary for the immediate restoration of rail operations, for the protection of persons or Metrolinx property and/or for the scheduling or completion of construction activities being carried out by Metrolinx or others authorized by Metrolinx on or within the vicinity of Metrolinx's Property. Notwithstanding anything to the contrary contained herein, in an emergency, such work may be performed by Metrolinx and/or Metrolinx’s Consultant without prior approval of the Contractor and the Contractor agrees to fully reimburse Metrolinx and/or Metrolinx’s Consultant for such emergency work, upon demand.

10. Crane work: The Contractor will install the Bridge using a mobile crane and agrees that the crane will not be placed on Metrolinx's Property. The Contractor will provide Metrolinx

and the City with at least 6 months’ prior written notice of the date the Contractor wishes to use the crane and shall execute and/or provide the following documentation to Metrolinx at least 15 days prior to the date the Contractor wishes to use the crane:

1. Specifications for the crane including, without limitation, weight load and general operating perameters;

2. Structural drawings for the crane pad with calculations – to be stamped and signed by a Professional Engineer, licensed in the Proving of Ontario;

3. Certification from a geotechnical engineer that the bearing capacity of the ground where the crane will be erected is adequate for the intended use/loads;

4. Current certificate from the crane manufacturer or the crane owner that is effective until after the Bridge has been installed, stating that the critical structural components of the crane have been inspected and tested – to be stamped and signed by a Professional Engineer, licensed in the Province of Ontario;

5. Work plan methodology (detailed step-by-step procedure) for crane installation, operations and removal, including, without limitation, the time frame within which the crane will be on Metrolinx's Property and when it will be removed;

6. Such other documentation as may be required as a result of the information provided above.

The Contractor shall work with, and shall cause its subcontractors to work with, Metrolinx, the Metrolinx Permittees and the Metrolinx Consultant to coordinate the Work, as the crane can only be operated when trains are not in operation on Metrolinx's Property and must be removed from Metrolinx's Property within the time frame set out in the work plan methodology described in subs. 10(5) above. Further, the Contractor covenants and agrees that the operator of the crane shall be Ontario-certified on the hoisting device used and will operate the crane in accordance with all applicable CSA Group standards
