    Dear Mr. Wilmoth: Terracon has completed a Modified Transaction Screen (MTS) of the above-referenced property performed in accordance with our proposal dated January 12, 2015, and American Society for Testing and Materials (ASTM) E1528-14, Standard Practice for Limited Environmental Due Diligence: Transaction Screen Process. This MTS is based on a visit to the property by Terracon personnel to only those parcels identified as accessible by the client, questionnaires completed by an the property owner and/or occupant of the facility (only to those owners and occupants identified to receive the questionnaires by the client), Terracons review of an environmental database report provided by Environmental Data Resources, Inc. (EDR), and Terracons review of historical Sanborn maps, aerial photographs and three prior reports for portions of the site that were provided to Terracon by the client. As noted above, the site visits and questionnaires were not completed for the private parcels, thus the scope is modified from the ASTM standard. In addition, other scope considerations that deviate the ASTM standard were utilized in the preparation of this MTS. Terracon globally recommends Phase I Environmental Site Assessment for each address/parcel with the site polygon prior to acquisition or development. Site Reconnaissance Celeste M. McCoy and Diana L. Carr of Terracon conducted the site visit on February 11, 2015. The property consists of approximately 300 acres of land developed with industrial, residential, and commercial facilities. Ron Rohr, Vice President of Administration, escorted Terracon to the facilities owned by the National Western Stock Show and provided information regarding current

    and historical site operations. The site is bisected by three railroads and mainly consists of stock yards, parking lots, and arenas. Terracon observed one gasoline aboveground storage tank (AST) and one diesel AST, located at both 1101 East 46th Avenue and 5012 Packing House Road (2 ASTs at each property). In addition, an automotive repair facility located in the northern portion of the site (5012 Packing House Road) services a fleet of tractors and maintenance vehicles. According to Mr. Rohr, the repair facility has no hydraulic lifts and performs standard repair operations including oil and hydraulic oil changes and parts replacements. PECs identified during the site reconnaissance and affirmative answers from the owner/occupant questionnaires are discussed in Table 1. A water recycling facility was observed at 4701 Packing House Road. According to Mr. Rohr, he does not have knowledge regarding operations at the facility, which is owned by McDonald Farms. Based on the readily available information, Terracon is unaware of the exact processes of the water recycling facility. Water recycling, in and of itself, is not a PEC, and it is unclear from where the water comes from at this time. Terracon recommends that if a Phase I Environmental Site Assessment is completed for this facility that a detailed synopsis of the processes of this facility is completed. Adjoining Properties The property is adjoined to the north by industrial facilities (5100, 5120, 5140, and 5150 Race, and 5151 Franklin Street), to the east by multiple industrial facilities (4901, 5001 Race Street, 4800 High Street, 4400, 4900, 4910, 4980, 5040 Brighton Boulevard), and residential homes, to the south by industrial facilities (2060 38th Street and 3801, 4101, 4301, 4303, 4375 Brighton Boulevard), and to the west by the South Platte River, followed by multiple industrial facilities. Vasquez Boulevard and I-70 Operable Units 1 and 2 The site is located within the boundaries of the Vasquez Boulevard and I-70 Superfund site, specifically within Operable Unit 1 (OU1) Residential Soils and Operable Unit 2 (OU2) Omaha and Grant Smelter. OU1 According to the United States Environmental Protection Agency (USEPA), soil samples have been collected and analyzed for arsenic and lead at 4,500 homes or approximately 99 percent of the homes within the National Priority Listing (NPL) OU1 polygon. The USEPA completed removing and replacing contaminated soils on approximately 18 percent of the 4,500 homes that had actionable levels of arsenic and/or lead. The USEPA placed institutional controls on one percent of those homes (or approximately 69 homes) where access for sampling was not feasible. The controls are in-place to provide protection to those individuals living in the area, both present residential tenants and future residential tenants.

    Terracon contacted Paula Schmittdiel, Remedial Project Manager, with the USEPA Region 8 regarding USEPA soil sampling for residential properties located within the site polygon. Terracon submitted 54 addresses to the USEPA for review. According to the USEPA, 12 of the addresses were included in the USEPA study, three of which required removal of arsenic and/or lead contaminated soils (4660 Baldwin Court, 4681 Baldwin Court, and 4727 Brighton Boulevard). None of the above-referenced 69 homes were located on the site.

Three of the addresses located on the property exceeded the action level for lead; however, none of the properties exceeded the action level for arsenic. The remaining addresses submitted to the USEPA were not zoned for residential purposes or the address was not in the USEPA database. According to the USEPAs second five-year review report (September 2014), the residential portion of Vasquez Boulevard and I-70 Superfund site (OU1), is protective for human health and the environment. However, official deletion from the Superfund NPL has not been completed.

    OU2 According the USPEA, the Omaha and Grant Smelter was located in the area outlined within the OU2 polygon and operated from 1882 until 1903. The facility was demolished in the early 20th century. The smoke stack remained and was used to incinerate municipal waste from 1933 to 1945. The smoke stack was demolished around 1950. The USPEA, State of Colorado, and the City and County of Denver (CCoD) are investigating OU2 for potential heavy metals in the facilitys environmental media as part of a proposed upgrade to the areas drainage. Terracon reviewed the Feasibility Summary for Redevelopment of the Denver Coliseum: Environmental Condition and Remediation Estimates report dated November 2013. In addition to the findings outlined below, the report summarizes the immediate surrounding areas known environmental concerns and projects that will impact the facility. Additionally, the potential remedial costs are discussed in the report.

    Superfund Site The Denver Coliseum facility has been studied extensively as it is part of OU2. The historical studies indicate that the facility has petroleum hydrocarbons in the

    soils, metals (arsenic and lead in the soil, and municipal solid waste and building debris/urban fill) in the soil.

    The Concept is to remove approximately 30,000 cubic yards (cy) from the areas impacted by arsenic and lead contaminated soil and urban fill

    The historical location of the smelter (the footprint of the historical structure) was partially located beneath the existing Denver Coliseum. The soils beneath the existing structure are potentially contaminated with arsenic and/or lead and may contain urban fill.

    Urban Fill Historical investigations in the coliseum parking lot have identified urban fill

    debris, including bricks, fly ash, wood and municipal solid waste. Historical investigations in the parking lot have identified asbestos in the soil,

    polyaromatic hydrocarbons (PAHs), and explosive levels of methane in soil vapor.

    Groundwater Five groundwater monitoring wells were installed to collect and analyze

    groundwater for contaminates. Additional wells may be installed in the future for quarterly sampling of the

    facilitys groundwater.

    Metals (arsenic and/or lead), chlorinated hydrocarbons, PAHs, and lubricating oils and greases were detected in the samples collected, some of which exceed the State of Colorado groundwater standards.

    Groundwater was encountered at nine feet to 12.5 feet below ground surface. Regulated Building Materials Regulated building materials are believed to exist in the Denver Coliseum

    structure. Asbestos Containing Building Materials (ACBMs) were identified during a 1998

    asbestos survey. Based on the review of the reports regarding OU1 and OU2, the facility listings pertaining to the Vasquez Boulevard and I-70 Superfund site is a PEC. Historical Review Terracon reviewed the historical Sanborn maps and historical aerial photographs to identify PECs associated with the site. Historical fire insurance maps produced by the Sanborn Map Company were requested from EDR to evaluate past uses and relevant characteristics of the site and surrounding properties. EDR provided Sanborn maps and the information obtained from the historical aerial photography is summarized in Table 1. Terracon reviewed the EDR reports Physical Setting Source Summary, for the presence of water wells in the Primary Study Area (PSA). Based on the information reviewed, approximately 60 monitoring wells were identified within PSA, excluding monitoring wells listed as abandoned. Additionally, six industrial wells are listed in the PSA. Domestic and commercial wells were excluded due to the nature of use. Injection wells were not specifically listed in the report, and were therefore not identified during the review. Terracon recommends contacting the USEPA Underground Injection Control (UIC) Division to obtain UIC permits issued for locations within the PSA. Domestic water well locations should also be evaluated if impacted groundwater (chemical of concern concentrations greater than regulatory standards) is identified during subsurface investigations. To assist the client with PECs identified during the historical review, Terracon has provided a discussion of the operations conducted on-site, and the significance of the related processes with respect to potential environmental impacts.

    Animal processing/rendering facilities: Rendering is a process in which waste animal tissue is converted to, or rendered into useful products, such as lard, tallow, and meat and bone meal. The rendering process can be done a number of ways, but consists of separating fatty materials from proteins and water. These processes generate a protein and water sludge, which can be further utilized for inedible rendering (not fit for human

    consumption), or sent to a wastewater treatment plant. Additional wastes generated by rendering include air emissions from volatile organic compounds (VOCs), such as organic sulfides. Depending on the animals rendered at the facility, other wastes, such as blood, carcasses, feathers, and particulate matter, may have been generated. There is the possibility that these wastes were not properly disposed, and may exist at the site. The potential for impacts associated with these processes include worker safety, such as contact with wastes, putrescence, and odors. The rendering facilities present a PEC.

    Railroads: Potential impacts from railroad uses include fuel spills, hazardous waste and/or materials, herbicide use around the rail spurs to prevent vegetative growth, heavy metals from coal spillage and railroad beds, and creosote leachate (toxic) from railroad ties.

    Building demolition: Based on the numerous facilities historically represent on the site,

    there is the possibility that demolition debris from the buildings exists in the sites soil. As such, asbestos-containing materials and lead-based paint products are a concern. An additional concern with ACBMs is the thermal system insulation (TSI), such as pipe wrapping for boiler systems. These materials are generally friable, and present a risk for inhalation of asbestos fibers, and for asbestos fibers in soils.

    Petroleum storage: Petroleum storage tanks, such as gasoline tanks, underground storage tanks (USTs) and oil sheds/houses present an environmental concern, due to the potential for leaks and spills to the surface and subsurface soils. Oil houses are related to railroads for fueling and maintenance purposes. Based on the readily available information, the contents, quantities and storage methods are unknown. The oil house presents a PEC. The USTs related to the residential and commercial facilities for fueling and/or heating purposes are typically given a GT designation or gasoline tanks on Sanborn maps. Heating oil tanks were not identified in the Sanborn maps reviewed, nor are they regulated with the Colorado Department of Labor and Employment Division of Oil and Public Safety (CDLE-OPS).

    Landfilling: Potential landfilling concerns include methane gas, hazardous materials and petroleum products, building demolition debris (asbestos and lead-based paint), and geotechnical concerns associated with the decay of matter relating to compression issues (see rendering discussion above).
