TCR’s territory now comprises: Arizona, California, Colorado, Idaho, Montana, Nevada, New Mexico, Oregon, Utah, Washington and Wyoming. Two months later, it was obliged to relinquish control of its German subsidiaries because it was unable to offer them adequate funding to tide them over a short-term cashflow problem. Tronox GmbH was declared insolvent and it then came under the control of an Administrator appointed by the Krefeld Insolvency Court. The Administrator, Mr Eberhard Stock (an independent lawyer) was charged with the twin responsibilities of running the business as a “going concern” and of negotiating with potentially interested purchasers of the company’s assets, notably a 107,000 tonnes/y sulfate-route TiO 2 pigment plant at the Uerdingen Chemiepark, formerly owned by Bayer AG. (See ‘Focus on Pigments’, Mar 2009, 6 & Sep 2009, 7). After a preliminary review of the business, Mr Stock announced in mid- June 2009 that the Uerdingen plant would continue to produce an unchanged portfolio of TiO 2 pigment grades, including six for the paint industry, four for the plastics industry, one for the paper industry and nine speciality grades. During the second half of 2009, the company recruited 40 new employees in order to cope with the growth in TiO 2 sales. For full- year 2009, TiO 2 pigment production was reported as 75,000 tonnes and total sales revenue was 120 M. The search continues for suitable investors to buy Tronox Pigments GmbH as a going concern. At least eight possible purchasers have been shortlisted, but clearly there will be no “fire sale” of assets. On 12 May 2010, the company announced a change of name “as a clear manifestation of its relaunch.” The new name is Crenox, chosen to connect the location (Krefeld) and the product name. Website: http://www.crenox.com (12 May 2010) Dow pays $7.2 M net to complete the sale of Ropaque pigment lines On 14 May 2010, Omnova Solutions (of Fairlawn, OH) completed the transaction to acquire some or all of Dow Chemical’s hollow-sphere plastic pigment business. The mainstay of this business is the range of Ropaque pigments that were developed by Rohm & Haas. The range includes Ropaque HP-1055; AF-1055; BC-643; HP-543P; and OP-4. All of these products are marketed primarily to papermakers for use in improving the gloss and opacity of paper coatings. Onwards from 2002, these Ropaque pigments had been marketed by Rohmnova, a 50:50 joint venture company created by Rohm & Haas and Omnova. Dow had also developed a range of hollow-sphere plastic pigments of its own, notably HS-2000NA and HS- 3000NA, suitable for use in the paper industry. Presumably these product lines were also included in the Omnova acquisition, though this is not absolutely clear from the statements released by the two companies. It is also worth noting that Ropaque Ultra- E is still in the overall Dow portfolio of products listed on its website. This product is described as a hollow- sphere pigment designed for use in the paint industry, with the advantages of being free from traces of ammonia or alkylphenol ethoxylates (APEOs). In a carefully worded statement, Omnova stated that it had agreed to pay Dow $2.5 M to acquire “the hollow-sphere plastic pigment products line.” Omnova also stated that it had agreed to terminate the joint venture agreement, effectively dissolving RohmNova. Under this termination agreement, Dow will pay Omnova $9.7 M. Thus, Dow has ended up paying a net sum of $7.2 M to divest some or all of its hollow- sphere plastic pigments business. These moves represent the fulfilment of one of the key conditions stipulated by the US anti-trust authority when it conditionally approved the $18.8 bn acquisition of Rohm & Haas by Dow Chemical, effective 1 April 2009. Dow retains ownership of its solid-sphere plastic pigment lines, notably PB- 6656; PB-6688; 722-HS; 755-A; 756- A; and 788-A. Omnova Solutions was created in 1999 as a spin-off from GenCorp Inc (formerly General Tire & Rubber Corp). At creation, it inherited a prominent position in the global supply of styrene butadiene latex for use in the paper industry. Omnova now has a worldwide workforce of 2300 people and it reported sales revenue for the year to end-February 2010 at $720 M. Dow pays $7.2 M net to complete thesale of Ropaque pigment lines

On 14 May 2010, Omnova Solutions(of Fairlawn, OH) completed thetransaction to acquire some or all ofDow Chemical’s hollow-sphere plasticpigment business. The mainstay ofthis business is the range of Ropaquepigments that were developed byRohm & Haas. The range includesRopaque HP-1055; AF-1055; BC-643;HP-543P; and OP-4. All of theseproducts are marketed primarily topapermakers for use in improving the
