The Parties to this agreement agree as follows:

The Lessee leases from the Lessor during the following period(s)

7:00am to 11:00 p.m. on Saturday, September 1st and Sunday September 2nd, 2018

At the Launch Golf Centre, 27 Director Court. Woodbridge ON.

Top Cat Entertainment Inc. grants to concessionaire the privilege to establish the space set out in schedule “A” attached to this document, for the purpose of operating, displaying and selling food for public consumption.

• The Lessee shall use the space provided by the Lessor to operate his/her business in a matterconsistent with all applicable Provincial and Municipal Regulations Bylaws and (Top Cat EntertainmentInc. rules and regulations.

CONCESSION PAYMENT

The lessee shall pay the Lessor a fee of $ ............... For Saturday. September 1st and Sunday September 2nd, 2018 to operate a food concession

Liability Insurance Coverage

As per city bylaws, liability insurance must be in place to cover any damages or liability outside of our control. Therefore there are two options to choose from.

1. Your business liability insurance must be transferred Launch Golf Centre

Saturday September 1st and Sunday September 2nd, 2018.

Your business Liability insurance certificate must be provided to Top Cat Entertainment Inc. together with contract or 2 weeks prior to event.

RULES AND REGULATIONS BINDING BOTH PARTIES TO CONTRACT (Keep this page for your records)

SECTION 1-VENDORS RESPONSIBILITIES

• The Lessee is required to provide current dated regulatory fire extinguisher for operation ofconcession stand.The Lessee is required to provide all equipment for food preparation.

• The Lessee is required to provide a space for patrons to practice hygiene as per the City ofToronto Health Department Standards.

• The Lessee is required to attend the Food Handlers seminar at a venue to be announced.• The Lessee is responsible to ensure all food that is prepared for public consumption as per

Health Dept. Standards, failing to do so will result in drastic actions by health Inspector.

Section 11- This concession is granted subject to the following conditions

• Concessionaire shall paid appropriate fee as noted. • Concessionaire shall be aware of and comply with all municipal and local health safety

regulations and ordinances. • Concessionaire shall be responsible for assigned area; all booth areas shall be enclosed

appropriately, all promotional signs must be in good taste. • Concessionaire shall be responsible for the area occupied and agrees to reimburse the

sponsor for any damage caused by loading, unloading and operation during the festival, (All oil/grease must be deposited in grey Tank provided Lessor)

• Concessionaire shall indemnify organizers against liability to third party for injuries suffered resulting from concessionaire’s equipment, operations, negligence, defective products or other legal reasons during this period of agreement (This means you cannot hold Top Cat Entertainment Inc. Responsible for any loss, damage or accident.)

• Concessionaire will be subject to property search during unloading of vehicle. • Concessionaire will be subjected to property search during the duration of the event for

sale of alcohol. SECTIONS 111- Please note the following: • This contract reserves outdoor space for 10x20 Tent, Vendor supplies own Tent,

tables, chairs, signs, etc. • Water will not be available, be sure to bring your own. • All vendors must be in place by 10:00 a.m. (vendors will not be allowed to enter

festival site for set up after 10:00a.m.) • Top Cat Entertainment Inc. reserves the right to revoke the concessionaire privileges or

any vendor who fails to comply with festival standards and Rules. • Vendors are allowed seven (7) additional persons to assist, names must be submitted at

Health Dept. Meeting. • Vendor will be allowed one Vehicle behind Tent. (Vehicle MUST be in place before

9:00 a.m.)

SUBLEASING: Subleasing of all or any of assigned booth/space by the Vendor is strictly prohibited. Vendor cannot permit another party to exhibit, promote in any manner,

CLEAN UP: Vendor’s Booths and all areas surrounding them must be kept clean and all refuse, garbage must be deposited in containers provided. CANCELLATION: Vendor shall notify Top Cat Entertainment Inc. in writing of intent to cancel this contract no later than Aug 8th, 2018. In order to be eligible for a refund of 50% only if the space is resold. No monies will be refunded due to inclement weather.

SECTION 111-VIOLATION The Lessee covenant and agrees not to sell, dispense, or otherwise have or hold alcoholic beverage on the grounds of Launch Golf Centre on Sat Sept. 1, and Sun. Sept 2, 2018. Sale of alcoholic beverage by lessee or staff will result in immediate removal of concession stand from premises without recourse. Top Cat Entertainment Inc. will not refund any cost incurred and is not responsible or liable for loss of goods or damages.

SECTION 1V-OTHER

• The Lessor shall not be liable for any damages or injury caused to the Lessee, employees or property during the event, and /or any losses, suffered by any member of the public by negligence of Lessee or employees.

• The Lessee acknowledges that he/she is one of many exhibitors and agrees to cooperate with the other exhibitors and not to interface with them or create any nuisance to them, the Lessor or people attending the celebration. Any dispute among or between exhibitors will be referred to a staff of Top Cat Entertainment Inc the Lessor or assigned security staff.

“I, the undersigned authorized agent, dutifully swear that I have thoroughly read the rules and regulations. By signing this contract, I acknowledge receipt of a copy of the Top Cat Entertainment Inc, terms and conditions of these rules and regulations.”
