As a Vi (UK) Ltd. (“Vi (UK)”) Independent Promoter (VIP) , I agree to uphold the integrity of Vi (UK) . I will be honest and fair in all of my dealings while acting as a VIP.

I will perform all of my professional activities in a manner that will enhance my personal reputation, as well as uphold the positive reputation established by Vi (UK) .

I will be respectful to every person contacted in the course of my Vi (UK) business. I understand that any harassment or improper treatment of individuals can be grounds for the deactivation and / or termination of my Promotership.

I will fulfil my leadership responsibilities as a sponsor, including the training and support of the Promoters in my organisation.

I will not misrepresent Vi (UK) products or VI Incentives Programme, nor will I engage in any other deceptive or illegal practice while representing Vi (UK) .

I will make only such claims for the products that are proven and are approved by Vi (UK) .

I will conduct my independent Vi (UK) business in such a manner as to respect the products and professionalism of other companies.

I will not pledge the credit of Vi (UK) , accept payment of any sum of money owing to Vi (UK) or release any obligation or liability owed or incurred by any third party to Vi (UK) .

I realise that network marketing is an exciting way of bringing a vast array of products and services to the marketplace, and that Vi (UK) seeks to further the cause of personal independence and true financial freedom.

I will remember, at all times, that only through service, to both Customers and Promoters, will real success truly manifest.

It is illegal for a Promoter or a participant in a trading scheme to persuade anyone to make a payment by promising benefits from getting others to join a scheme. Do not be misled by claims that high earnings are easily achievable.

I. REQUIREMENTS TO BECOME A Vi (UK) INDEPENDENT PROMOTER (VIP)

Legal Age: All persons applying to become a VIP must be eighteen (18) years of age or older and a resident of the UK.

VIP Agreement: All VIPs must submit a VIP Agreement to register with Vi (UK) and to receive commissions.

These policies and procedures, the VIP Agreement, and the Vi Incentives Programme constitute the terms and conditions between a VIP and Vi (UK) .

In the case of conflict or ambiguity between the documents, the order of procedure will be as follows:•first,thepoliciesandprocedures;

and then•second,theVIPAgreement,

and then• third,theViIncentivesProgramme

Identification Requirements: All VIPs will be given a unique Promoter Identification Number that will be used to track all transactions and communication with Vi (UK) .

A VIP must be a real person (this does not apply to VIPs that are a corporation or partnership) . Any attempt by a VIP to falsify documents or enrol as a fictitious person or enrol a fictitious VIP is grounds for disciplinary action including termination of Promotership.

Confidentiality:All VIPs must hold in strict confidence the business and affairs of Vi (UK) and shall not during the term of the VIP Agreement (and any renewals) or at any time thereafter directly or indirectly disclose to any third party or use for any other purpose than that of Vi (UK) , information which in the reasonable judgment of a person engaged in the industry would be considered to be confidential. Without limiting the generality of the foregoing, confidential information shall

include information in respect of the identity of customers/clients or prospective customers/clients, information with respect to the pricing or timing of any contracts, information relating to existing or potential suppliers, markets, marketing plans, programmes, requirements, strategies, concepts, ideas, products, apparatuses, devices, materials, technology, know-how, data, processes, inventions, developments, formulations, compounds, applications, methods of manufacture as well as the similar confidential information of third parties that Vi (UK) has agreed to keep confidential.

II. TYPES OF ENTITIES AS VIPS

Independent VIPsAn individual VIP is someone who solely operates his or her own position.

Corporations & Partnerships:To become a new VIP as a corporation or partnership or to change status, one must complete and submit the Corporation Enrolment Information document, along with their Independent Promoter Application. This includes, where applicable, providing copies of certificates of incorporation, articles of association, and all business names registrations, and the names and residential addresses of each partner and shareholder to Vi (UK). All National Insurance Numbers and names of each partner, principal, shareholder, officer and director (”Individuals”) must be provided. The person or partner who submits the form must be authorised to enter binding contracts on behalf of the partnership or corporation. It is not permissible for partners or shareholders applying as a partnership or corporation to have been or to currently be VIPs of another partnership or corporation within twelve (12) calendar months preceding the execution of the VIP agreement. If an active VIP desires to change status from an individual to that of a partnership or corporation, this policy does not apply, providing there is no request for change of sponsoring/referring

VIP. A partnership or corporation may become a VIP subject to review and approval by Vi (UK).

Number of positions:All legal entities as VIPs must adhere to the policy that no individual may participate in more than one (1) position in any form.

Marriages: Spouses may operate as VIPs jointly or separately. Each will maintaintheirindividualpositions;however, one must be in the other’s line of enrolment.

If it is established that spouses are enrolled in separate sales organisations, the second position enrolled will be moved under the first position. Any downline built under the second position will remain with that organisation.

•VIPshavingpositionsinseparateorganisations before they were married, who wish to maintain that position, will be “grandfathered” in.

•ForVIPswhohaveseparateorganisations and become married and wish to work as a single organisation, one of the VIPs will forfeit their position and join their spouse’s position.

•Shouldspousesdivorce,whoareworking a position jointly, Vi (UK) mustbenotifiedastohowthebusiness is to be managed.

All requests regarding changes of names or Identification Numbers of the VIP position must be submitted to [email protected] in writing and agreed to by both parties. Vi (UK) reserves the right to refuse to change a name or Identification Number at its sole and unfettered discretion and reserves the right to verify request and verify any information prior to making any changes.

Family Members:If a family member residing in the same household as an existing VIP enrols as a VIP, they must join within that existing VIP’s enrolment tree.

III. POSITION CANCELLATION

Cancellation:To cancel a VIP Agreement or resign as a VIP, you must email a signed and dated, notification of cancellation to [email protected] from the email we have on file. A position may be reactivated by submitting a new VIP Agreement, along with any outstanding PromoterAdministrationFees, to [email protected].

If a VIP would like to enrol in a new position they must wait for twelve months from the date of the cancellation of the other position.

VIPs who have been migrated to Customer accounts due to failure to comply with the annual PromoterAdministrationFeepolicy are not eligible to have theirpositionbereinstated;however, they can enrol as a new VIP following the twelve month sit-out period.

Transferring or Selling a VIP Position: Upon Vi (UK)’s approval at its sole discretion, a VIP may assign its VIP Agreement and position to another individual or corporation by sale or bequest. Upon request for assignment, a VIP must provide Vi (UK) with the following documents for its review: 1. Completed Sale of Promotership

Document;2. New VIP Agreement, signed by

thepurchaser;3. Copy of the purchaser’s registered

business name(s) (if applicable). If the purchaser is a partnership or corporation, all applicable documents pursuant to Section II ofthesePoliciesandProcedures;

4.Seventy-fivepoundssterling(£75)transfer fee (inclusive of VAT) payable to Vi (UK).

In addition, the VIP selling or transferring their position must be an active Regional Director or above for the last ninety (90) days. The selling VIP cannot enrol as a VIP for a period of twelve (12) months after the date of the sale. The VIP cannot be involved in the act of Cross-Line Recruiting

subsequent to the sale or transfer of the position. In the event that Vi (UK) determines that the seller is guilty of cross-line recruiting, Vi (UK) shall terminate the VIP Agreement. Any sale of a position is subject to approval by the Vi (UK) Compliance Committee. An existing Promoter cannot purchase another position. The sale of a VIP position cannot be advertised via any online centralised communities with classified advertisements;thisincludeswithout limitation Craigslist, Classified ads, SaleSpider, Gumtree, and Loot.

If a Promter account is on suspended, cancelled, or terminated, the sale of position will not be permitted.

IV. RIGHTS OF VIPS

Qualifications for Commissions and Bonuses:Formoredetailspleaseseethe Vi Incentives Programme.

NOTE: Vi (UK) reserves the right to promote and demote VIPs at any time.

Debits: VIPs are not required to subscribe to or purchase any product or service of any company with which Vi (UK) contracts, or to purchase or subscribe to any product or service that Vi (UK) itself provides in order to receive commissions. however, if a VIP chooses to do so, they will pay all billing when due. If a VIP becomes more than sixty (60) days past due on any bill for service or products provided by Vi (UK) or a company with which Vi (UK) contracts, the VIP may have their commissions debited in order to cover the past-due amount. The VIP’s position may also be subject to termination.

Cheque Minimums and Surcharge: All cheques issued by Vi (UK) are subject to a minimum of10poundssterling(£10) .Commissions and bonuses below 10poundssterling(£10)areheld in escrow. Additionally, all

cheques are subject to a 2 pounds sterling(£2)administrationfee(inclusive of VAT) .

Prosperity Card:The Prosperity Card is available to all active VIPs and can be used as a debit MasterCard at ATMs and at all locations that accept the debit MasterCard as a method of payment. Weekly and monthly payment cycles are loaded to the Prosperity Debit MasterCard if the VIP chooses this payment method. Card loads are available on the appropriate payday. A one-time feeof£4.50(inclusiveofVAT)willbe charged upon activating the Prosperity Card. Additional fees willbeappliedforservices;fulldetails will arrive with the card. You will be able to manage, track and take advantage of the many other benefits of your account online in the Vi Net.

Direct Deposit:Direct Deposit is available to all Promoters within the UK. Bonuses and commissions are transferred directly into the bank account of choice, allowing for easy access to bonuses and commissions.

Cheque Reissues: Should a VIP experience a delay in the receipt of their cheque and wish to be issued a new cheque, the VIP will be responsible for a stop---payment fee of 20 pounds sterling(£20inclusiveofVAT) for the cancellation of the original cheque and that fee will be deducted from the replacement cheque.

V. ORDERING, PAYMENT, AND RETURN POLICIES

Customers:A Customer must be a real person. Any attempt by a VIP to falsify documents or enrol a fictitious person as a Customer is grounds for disciplinary action against the VIP, including account suspension and termination.

Data Entry Procedures:VIPs and Customers can place orders or assist new VIPs to enter their data directly through the online system. Any orders placedby11:59pmGMTwillbe

counted towards that same day’s production. Methods of Payment/Delivery:

To process an order for products and materials, simply place an order via online shopping cart. All major credit cards are accepted. Debit cards with a Visa or MasterCard logo are also accepted. To pay for your order by money order, call our free phone number 00800 2639 2984 (0800 BODYBYVI) – mobile may rates may apply. Or send an email to [email protected].

When mailing the money order, simply supply the order number given at the time of the quote or reference the term “quote” and the order will be processed the day payment is received.

Vi (UK) will do all it reasonably can to dispatch products within a reasonable timeframe from the date of order. As soon as Vi (UK) has delivered the products, you will be responsible for them. If you delay a delivery, Vi (UK)’s responsibility for everything other than damage due to Vi (UK)’s negligence will end on the date on which Vi (UK) tried to deliver the products.

Wholesale: As a benefit of being a VIP with Vi (UK) , we have created a way for you to purchase all Vi (UK) products at wholesale price, providing you with an incredible opportunity to earn additional income when you retail products at the Suggested Retail Price. There are no requirements to receive the wholesale price other than being a registered VIP or Customer on Auto-Ship with Vi (UK) . Products purchased at wholesale price can be received monthly by placing them on Auto-Ship for convenience and efficiency.

A VIP is not permitted to purchase products that amount to more than £200(inclusiveofVAT)duringthefirst seven days from the date a VIP signs the VIP Agreement.

Preferred Customer Pricing: Preferred Pricing is offered to

all Vi (UK) Customers who would like to receive specific products from Vi (UK) on a monthly basis. Preferred Customers are instantly a part of the Auto-Ship programme and therefore count towardtheVIPrequirementof125PQV in monthly Auto-Ship volume.

Suggested Retail Pricing: Vi (UK) Suggested Retail Pricing is the designated value of each Vi (UK) product. VIPs who purchase products at wholesale price should use the Suggested Retail Price when selling products for a retail profit. All Customers who order through Vi (UK) directly, who are not enrolled as a VIP, or are not a Preferred Customer on Auto-Ship, will pay the Suggested Retail Price of each product. Any products purchased one time at the Suggested Retail Price will not count toward the VIP125Auto-Shipqualification, but will count towards the 200 PQV Qualification. See Vi (UK)’s Vi Incentives Programme for further details.

Suggested Retail Price is the price that must be used if selling Vi (UK) product on an online auction site. Any product sold on any market site, such as eBay or Amazon, must be sold at the Suggested Retail Price with standard postage and packing costs applied (See section VIII. Online Markets, Auctioning and Social Media) .

Changes on a Customer’s Account: To add or remove products on an Auto-Ship order, Customers and VIPs must log into their Vi-Net® online office and make the desired changes at least two (2) days prior to shipment. Changes may also be emailed to [email protected] two (2) days prior to the shipment date. Changes made during or after the two-day period may not take effect until the following month.

Customer Return Policy: Vi (UK) stands by the quality of its products. If a product is not to a Customer’s satisfaction, Vi (UK) will accept a return of the product, subject to the following guidelines:1. Products damaged in transit will

be exchanged at no additional cost to the Customer.

2. Products not meeting our Customer’s satisfaction may be returned within thirty (30) days of delivery for a full refund, less the cost of postage and packing. Refunds for the return of individual products within Challenge Kits will be based on the listed wholesale price of the individual product at the time of purchase.

4. Returns of all saleable products made more than thirty (30) days from the delivery date will be eligible for product credit towards other Vi (UK) products and are subject to a 10% restocking fee. Returns shall not be accepted beyond one (1) year from the purchase date.

5.Packagesreturnedafterthree (3) unsuccessful delivery attempts (i.e. due to Customer relocation, incomplete/incorrect address information, etc.) may be subject to additional postage and packing fees in order to have the product re-sent.

6. Commissions of any type that are paid to VIPs on products that are ultimately returned to Vi (UK) for refund will be deducted from future commission payments of the affected Promoter. Such deductions relating to the return of individual products within a Challenge Kit shall be based on the BV of those individual products at the time of purchase.

Vi (UK) Executive Product Pack / STAR Promoter System and Basic Kit Return Policy:A VIP who cancels their Promotership within thirty (30) days of enrolment may return the Basic Kit, Executive, or Star Product Pack (“Promoter Packs”) in saleable condition for a refund. Refunds for the return of individual products within Promoter Packs will be based on the listed wholesale price at the time of purchase. If Promoter returns product component(s) of a Promoter Pack which amount tomorethan50%ofthecombinedwholesale value of all individual products in the Promoter Pack, the corresponding commission of the entire Promoter Pack will be deducted from future commission payments.

If a VIP cancels their Promotership within thirty-one (31) to sixty (60) days of enrolment, the same basic terms apply, however, a product credit (subject to a 10% restocking fee) will be granted instead of a refund.

Return Procedure: A Return Pre-Authorisation Number is necessary for a return to be processed. The Customer or VIP is required to contact Vi (UK) to obtain a Pre-Authorisation Number. Refunds cannot be processed without this number. When returning an order, make sure the Vi (UK) invoice is included in the box. If a package is returned without a Return Pre-Authorisation Number, the information will be documented and the Customer or VIP will be required to call and provide further information as to why the package was returned. Unauthorised credits will not be issued when a package is returned.

Invalid Preferred Order Policy: Sending in Preferred Customer orders without the Customer’s consent is a serious offence. Invalid Preferred Customer orders are defined as orders sent in as Preferred Customer orders for any purpose without the written authorisation from the Customer. Sending in a preferred order when a Customer stated that they would like to try the product one time may be considered credit card fraud and/or forgery. Vi (UK) investigates all Customer allegations of this kind and takes appropriate action.

VI. OBLIGATIONS OF VIPS

Change of Personal Information: VIP address information must be current and accurate in the system. Vi (UK) is not responsible for mail delays due to inaccurate and non-current residence

information for VIPs. VIPs must report any change of address via Vi-Net.

Independent Contractors/ Expenses/ Indemnity: All VIPs are responsible for any and all expenses which result from their business operation. Miscellaneous expenses include, but are not limited to: licences or permits required to operate a business, legal fees, telephone expenses, product advertising, taxes, and fines for not complying with applicable laws, etc. No VIP may bind Vi (UK) in any contractual relationships with their business other than the VIP agreement. VIPs cannot and will not sign any contract, rent or lease office space or equipment, open any bank account, secure credit, cash any negotiable instrument, make any purchases or enter into agreements of any kind in the name of Vi (UK) . Such practices may result in VIP position termination. Each VIP shall hold Vi (UK) harmless from any claims, damages, expenses or liabilities arising out of said VIP’s business practices, including attorney fees arising out of actions or conduct in violation of this Agreement.

In the event VIPs enter into agreements or contracts with other VIPs or 3rd parties outside of Vi (UK) . Such agreements or contracts do not concern Vi (UK) and as such, Vi (UK) will not intervene to resolve conflicts arising out of said agreements or contracts.

Each VIP shall hold Vi (UK) harmless from any claims, damages, expenses or liabilities arising out of said independent agreements or contracts, including legal fees.

Vi (UK) reserves the right to intervene and/or demand the termination of a contract if it believes the contract is in violation of Vi (UK)’s Code of Ethics, Policies and Procedures, the Independent VIP Agreement or could potentially damage the Vi (UK) brand or business.

Claims and Representations:All VIPs begin with an equal opportunity for income. VIPs will not make any statements or representations regarding Vi (UK) services and/or products other than those provided in these Policies and Procedures and other printed material made available by Vi (UK) . Vi (UK) products are not intended for use in the diagnosis, treatment, mitigation, or prevention of disease. Any claims about a Vi (UK) product preventing, curing or diagnosing any disease are strictly prohibited.

1. When an Agreement is signed, VIPs will become self-employed, do not work for Vi (UK), they work with Vi (UK), and hence they are not employees or workers of Vi (UK). VIPs and Individuals shall not confuse or create a relationship of employee/employer, worker, partnership or joint venture between any participant, referring VIP and Vi (UK). Any implication or claim that a VIP or Individual or prospective VIP or Inidvidual is or will be employed by Vi (UK) is prohibited.

2. VIPs shall make no claim or inference as to what may be earned. No guarantees of any income or assurances of any profitsorsuccessaremadeby Vi(UK).Furthermore,anyprofitsor success resulting from activities as a VIP will only be from the sales volume, products, or services offered by Vi (UK), and any success achieved will be based solely upon the VIP’s efforts, commitment, and skill.

3. Each VIP acknowledges that no regulatory authority ever reviews, endorses or approves any marketing company, its product or service, or its Vi Incentives Programme, and will make no such claim to prospective Vi (UK) VIPs. In the event a question shall arise concerning the legal compliance by Vi (UK), such questions shall be submitted to the Vi (UK) Compliance Committee in writing at [email protected]. VIPs shall make no false or misleading statements concerning these relationships, and understand that if they do so, Vi (UK) may terminate this agreement immediately.

Reporting of Taxes: VIPs and Individuals are not considered employees of Vi (UK) for tax purposes. It is the responsibility of each VIP to pay income tax and National Insurance contributions (“NICs”) to hM Revenue & Customs as required by law. As such, Vi (UK) does not deduct any income taxes or NICs from commissions and/or bonuses. At the end of the year, Vi (UK) provides each VIP with their earnings summary.

IIf required to do so by law, it is the VIP’s responsibility to become VAT-registered with hM Revenue & Customs. If a VIP becomes VAT-registered it shall immediately notify Vi (UK) of its VAT-registration number. Vi (UK) shall issue all VAT-registered VIPs with a valid VAT invoice for the products and/or services that Vi (UK) supplies to them and the VIP shall pay Vi (UK) the amount of any VAT chargeable thereon. If a VIP becomes VAT-registered it undertakes and agrees: 1) to accept invoices raised by Vi

(UK) on the VIP’s behalf until expiryofthisVIPAgreement;

2) not to raise sales invoices on the VIP’s own behalf for the transactions covered by this VIPAgreement;

3) to immediately notify Vi (UK) if:a. its VAT-registration number

ischanged;b.itceasestobeVAT-registered;andc. sells its Promotership (or part

of it).

Returned Cheque Policy: Vi (UK) will deposit cheques once and any remaining unpaid will be subject to twelve pounds sterling(£12,inclusiveofVAT)returned cheque fee. The VIP will be deactivated until they have remitted, via credit card, money order or cashier’s cheque only, the total amount of the returned cheque plus the returned cheque fee. Only upon receipt of this payment will the VIP be reactivated. While a VIP is deactivated for a returned cheque, all commissions and/or bonuses will be held until Vi (UK) has received the total balance due. If a period of thirty (30) days has

passed since a deactivation for the non-sufficient funds cheque and the balance due has not been remitted, all commissions and bonuses payable will be permanently forfeited. Vi (UK) may require that a VIP who has previously had a cheque returned fornon-sufficientfunds(NSF)remit all payments for future transactions via credit card.

Commission Charge-Backs: Vi (UK) pays commissions to the VIP based on the previous month’s volume. In the event a product be returned, the VIP will be charged back for any commissions generated by the sale of that product. The process will retract commissions from the appropriate VIP and the respective upline. This charge--back will occur by debiting the VIP’s current monthly volume for the product amount. This will occasionally show a negative amount for volume. To remain qualified for their position, any volume debited must be made up through additional sales bringing the VIP’s volume back up to qualifications defined within the Vi Incentives Programme.

VII. PROHIBITED PRACTICES OF VIPS

Vi (UK) conducts business in an ethical and credible manner, and expects all VIPs to work ethically with their Customers, with each other, and withVi (UK) . Vi (UK) permits no unethical activity and Vi (UK) will intervene when unethical behaviour is evident. Vi (UK) reserves the right to use its best judgment in deciding whether certain VIP activities are unethical and if determined so, are grounds for terminating the VIP position. If for any reason a VIP violates any of the terms of the Agreement and/or these Policies and Procedures, Vi (UK) reserves the right to immediately terminate the VIP’s position. Such action by Vi (UK) will terminate any and all rights of the VIP and any further payments of any kind and is effective at the time of said violation. The Vi (UK) Compliance Committee will determine if a violation has been made and the appropriate action or response.

Examples of unethical activity include, but are not limited to:1. Providing false information

on paperwork, such as forgingsignatures;

2.Cross-LineRecruiting(seebelow);3. Making false or misleading

representations as to potential income,productbenefits,theactual use or effect of Vi (UK) forms, the Vi (UK) relationship with its suppliers, or any other untrue statement regarding the nature of Vi (UK) and its business operations andproducts;

4. Contacting any supplier or provider with whom Vi (UK) contracts without Vi (UK)’s writtenauthorisation;

5.Writingbadchequestoeither Vi(UK)oranotherVIP;

6. Depositing cheques made payable to Vi (UK) into personal accounts instead of immediately forwarding them to Vi (UK)

7.SpreadingrumoursaboutVi(UK)withmaliciousintent;and

8.Failuretoreportanyknownincidents of someone else violating the Policies & Procedures or other suspicious activity

Cross-Line Recruiting: Vi (UK) strictly prohibits “cross-line recruiting” which is the solicitation of any VIP who was already referred by another VIP. Directly or indirectly soliciting involvement of a referring VIP, or assisting in the solicitation of a referring VIP of any existing or pending VIP into another sales organisation of which they are not currently a VIP is also prohibited. The offending enroller OR enrollee will face disciplinary action, up to and including termination.

Right to Enrolment:Vi (UK) believes in supporting an “as one” community. Therefore, if a VIP from one business organisation extends an invitation to a potential new VIP to attend a Vi (UK) live event, and the person attends, it is strictly prohibited for a second VIP to enrol the potential new VIP.

The VIP, who first extended the invitation to the potential new VIP, has the right to enrol that person for a period of ninety (90) days from the date of the Vi (UK) live

event that the potential new VIP attended, at the invitation of the first VIP.

The potential new VIP attending the Vi (UK) live event must be fully aware that they are attending the event as a guest in order to learn about Vi (UK) products and Vi (UK) .

Examples of live Vi (UK) events are: Vitality, National Directors Day and events which are VIP-run, such as Challenge Parties (VIP and at least two invitees) , Local Success Trainings, Regional Success Trainings, National Success Trainings, etc.

One-on-one meetings where a VIP shows a video and serves a shake to a potential VIP do not meet this definition.

Any violation of this policy will result in immediate disciplinary action;thefollowingstepswill be used to resolve said violation:

1. The upline Ambassador of the offending enroller must contact the upline Ambassador of the person affected.Theyhaveseven(7) days to come to a resolution. Both Ambassadors should contact Vi (UK) Compliance with their resolution.

2. If the upline Ambassadors are unable to resolve:

•Tomaintaintheintegrityofthestructure, Vi (UK) will move the enrollee in question to the VIP who had brought the enrollee to the liveVi(UK)event;and

•Theenrollerinviolationwillreceive an official warning letter from Compliance informing them of their violation and will be placed on a 90-day probation.

3. If the same VIP has a 2nd violation:

•TheuplineAmbassadorshaveseven(7)daystocometoaresolution. If no resolution is agreed upon the enrollee will be moved to the VIP who had brought the enrollee to the live Vi (UK) event;and

•Theoffendingenrollerwillbeplaced on a mandatory 30-day suspension for this 2nd violation, regardless of the Ambassadors’ resolution. During this suspension

any commission generated will be forfeited.

4. If the same VIP has a 3rd violation:

•TheuplineAmbassadorshave the opportunity to come to a resolution. If both Ambassadors are unable to come to an agreement, the upline Ambassador of the offending VIP will relinquish 10% of their monthly commissions;and

•TheVIPinviolationwill be terminated.

The goal behind this policy is to ensure that the newly enrolled VIP is placed under the VIP who actually worked to enrol him/her.

There will be severe disciplinary action taken by the Compliance Committee, if in resolving the Right to Enrolment issue, evidence comes to light that the parties misrepresented the truth or lied regarding the sequence of events, extending an invitation to attend a live event, or date the new VIP attended his/her first Vi (UK) live event, etc.

Deceptive Enrolments:Any attempts of a VIP to redirect individuals to their own site for enrolment purposes, in lieu of the site of the VIP where the individual intended to enrol, are grounds for disciplinary action including possible termination of Promotership. Any positions created as a result of this activity will be moved to the correct enroller.

Switching Teams: It is strictly prohibited for a VIP to switch from one sponsor line to another. If a VIP enrols someone who is already in Vi (UK) , the 2nd position is deemed null and void and will be deactivated. Any VIPs enrolled under this 2nd position will remain as is. The offending enroller OR enrollee will face disciplinary action, up to and including termination.

Recruiting Vi (UK) VIPs into another business entity:IIt is strictly prohibited to contact, solicit or recruit any VIP, whether active or inactive, into any organisation that utilises a

multi-tiered Vi Incentives Programme (multi-level marketing company or “MLM”) . Promoting and/or recruiting via any type of social media is a violation of this policy. This is considered Tortious Interference and Promoters who engage in this activity will be subject to legal action. Vi (UK) reserves the right to seek appropriate remedies against Promoters who engage in this activity.

Where there is reasonable proof that a VIP is actively promoting another MLM and/or recruiting another VIP into another MLM opportunity, the offending VIP will be placed on immediate suspension, pending an investigation.

If two spouses own separate positions in Vi (UK) , and one of them begins to promote another MLM, both positions are subject to suspension and/or termination.

If the investigation confirms the allegations, the offending VIP will be immediately terminated from Vi (UK) .

Pre-existing income from another multi-tiered Vi Incentives Programme (multi-level marketing company):Once an Individual becomes a VIP, they can no longer actively promote another MLM company, regardless of whether the products are competing or not. VIPs are allowed to keep income from a previous MLM company, so long as Vi (UK)’s policy on recruiting into another business entity is followed (see above paragraph) .

Inventory Loading: Vi (UK) reserves the right to limit Promoter and Customer orders to amaximumof£4,000(inclusiveof VAT) in a one-month period regardless of payment method. We do not suggest or condone the practice of ordering large quantities of inventory for the sole purpose of qualifying for a position in the Vi Incentives Programme. To protect against this, we monitor all account activity on a monthly basis and

reserve the right to investigate or take disciplinary action should we believe such practices may be taking place. Should we find that this has occurred, the orders will be pulled and any position promotions will be put on hold until resolution is reached within a reasonable amount of time. Inventory consists of any products, Basic, Executive and Star Promoter Systems and sales tools. Not more than one Promoter System should be purchased by a VIP.

Spam:Spam is a message that advertises goods or services posted to a message board against stated policy, sent to someone without prior consent, or sent in the absence of a previous relationship.ForpurposeofVi(UK)’s Anti-Spam Policy, Spam includes:•Emailsenttopeopleyou

don’tknow;•Emailssenttopeopleyouknow,

but who aren’t expecting a solicitationfromyou;

•Off-topicorexcessivemessagesposted to Usenet news groups andmessageboards;and

•Solicitationspostedtochatrooms,or individuals via Internet Relay Chat or “Instant Messaging.”

Vi (UK) strictly prohibits its VIPs from spamming and all other forms of Internet abuse to seek referrals.

Tampering of Funds:Any VIP tampering with funds or operating a bank account in the name of Vi (UK) , or any similar name may have their VIP position terminated.

Contact with Suppliers:VIPs are strictly prohibited from having any direct contact with suppliers whom Vi (UK) contracts unless it is in specific relation to a personal account they have with the said provider. A VIP may contact a supplier in regard to a Vi (UK) Customer only if having received prior written authorisation from Vi (UK) . Please direct Customers to contact their appropriate provider of service directly to resolve any problem or issue that may incur. Vi (UK) has

contracted with companies that have trained staff available to handle such situations.

Sponsor/Enroller Changes & Structure Changes:Vi (UK) believes in and maintains the maximum protection of the sponsor/enroller or enrolling and sponsoring relationship. Vi (UK) has a significantly long “waiting room” in the industry at sixty (60) days. That being the case, there are no structure changes after sixty (60) days of enrolment. Changing of a sponsor or enroller is strictly prohibited unless the VIP has been resigned for one (1) full calendar year. The only method for changing relationship is to submit a written request of resignation or interest inaposition;andonlyafteraperiod of no less than one (1) full calendar year from the date of the resignation, will authorisation to re-join under another VIP be permitted.

NOTE: Vi (UK) will not mediate any disputes involving sponsorship. however, Vi (UK) does reserve the right to review sponsoring/enrolment practices.

Retail Sales Policy:Vi (UK) has chosen a Direct Sales/Network Marketing model rather than other retail models. Therefore, VIPs are expected to rely on networking to sell product and recruit new VIPs pursuant to the following policies.

Public Retail Venues:VIPs shall not advertise, store, or sell Vi (UK) products in public retail establishments, including but not limited to health food stores, drug stores, pharmacies, grocery stores, flea markets, chain stores, shopping malls, or any other similar establishments in which the primary function is the retail sale of products rather than professional services.

Private Retail Venues:Vi (UK) promotional materials and products may be displayed in the interior of private or restricted-access offices, businesses private associations, fitness clubs and other establishments into

which the general public is not allowed except by appointment or membership and in which the primary trade is the sale of professional services, not products.

This Policy does not apply to online retail store sales. (See the following section on Online Retail Store Certification.)

VIII. ONLINE STORES AND RETAIL SALES

Vi (UK) maintains a comprehensive suite of web services and tools to support its VIPs in their individual businesses. These are more than enough to support any VIP and any organisation in leveraging online retail sales as a tool to promote the brand, the products and the opportunity. however, VIPs are independent businesspersons and some may choose to host and maintain their own websites that are wholly or partially devoted to generating retail sales. Even if a personally maintained landing page is linked to the Vi (UK) back office in order to complete transactions, it is still considered a personally-hosted website and is subject to this section.

Vi (UK) requires advance registration of these proposed websites or web pages. The “VIP RetailWebsiteRegistrationForm”is available on request from the Compliance Department via email at [email protected]. On receipt of a completed registration form, Vi (UK) will provide guidelines for the proper construction and operation of the site in order to ensure full compliance with the Policies & Procedures. Vi (UK) will then review the site pre-launch and if it is deemed to be satisfactory, Vi (UK) will issue a letter of certification. There will bearegistrationfeeof£1,750(inclusive of VAT) and an annual auditfee£350(inclusiveofVAT) .

VIPs who are already operating personal websites should contact the Compliance Department immediately to complete this process retroactively. Those who do not will eventually be contacted and required to do so.

IX. ONLINE MARKETS, AUCTIONING AND SOCIAL MEDIA

Appearance of Corporate Sponsorship and/or Endorsement:It is strictly prohibited for VIPs to create marketing materials that may be mistakenly perceived to be created by Vi (UK) Corporate. “Vi (UK) Independent Promoter” should be prominently displayed, on all Online Markets, Auction and Social Media pages so as to avoid any confusion of Corporate sponsorship or endorsement.

Any use of Vi (UK) trademarks, logos, etc. without approval is also prohibited on social media pages.

Online Auction Sites and Internet Malls:Online auction sites, most notably eBay, can be valuable tools for building and promoting the Vi (UK) business. however, they can also be terribly damaging to the brand and the opportunity because they are oft-viewed as a place to “dump” cheap, flawed or unsatisfactory goods. In the public eye, a key indication of quality issues is a willingness to sell at a discount and needless to say, discounting occurs as a matter of routine on eBay. Even if quality is not called into question, these sales can generate severe issues between VIPs as retail customers are drawn away from the VIPs who actually cultivated them. In order to preserve and protect the Vi (UK) brand and business reputation for high quality and service, Vi (UK) will only permit sales on eBay (or any other auction site) at the Suggested Retail Price along with applicable posting and packaging fee (free shipping & handling is prohibited) . In addition, any VIP who lists the products on eBay or another auction site must include his or

her VIP# on the page where the products are being promoted so as to ensure that our sales are completely transparent and give no indication that we do not stand by our products both as individuals and as a company.

Some Internet sites or “malls,” such as Amazon, are not necessarily devoted to the auctioning of products, but may nevertheless become problematic for the reasons set forth above and for other reasons. Vi (UK) reserves the right, in its sole and absolute discretion, to require that VIPs discontinue or alter their usage on any internet site when it is our belief that its usage is damaging the Vi (UK) brand or our business reputation. Failuretocomplywiththeaboveparagraphs will result in serious disciplinary action up to and including deactivation of positions

Social Media Sites:Social media is a large part of the Vi (UK) culture, and VIPs should promote their business accordingly. Prohibited practices are any social media pages, links, blogs, etc. where the page is attempting to appear like a Vi (UK) corporate-sponsored page. Social media sites include but are notlimitedto:Facebook,Twitter,LinkedIn, Myspace, BranchOut and Spoke.

X. SALES TOOLS

Sales Tools & Merchandise:Vi (UK) strives to provide our VIPs with the tools they need to market and promote their business effectively. Vi (UK) shall periodically make sales literature and/or promotional materials available. You are under no obligation to purchase any materials or literature at any time. Vi (UK) encourages VIPs to use the pre-approved marketing tools that are available to VIPs in Vi-Net found under “marketing tools.” VIPs are also encouraged to use Vi-Net as their marketing

system. You may not photocopy, amend or duplicate any materials provided by or purchased from Vi (UK) without written authorisation and that the unauthorised use of any such material is a breach of your VIP Agreement, constituting grounds for termination of your Promotership.

At times, VIPs request permission to create their own marketing toolsandmaterials.Forthoseoccasions, we have created the following policies to protect both the Vi (UK) Brand and Trademarks, as well as ensure VIPs do not make claims that misrepresent Vi (UK) , the business and income, or Vi (UK) products.

Use of Trademarks, TradeNames and Logos:Vi (UK) is the sole owner of its trademarks. By signing their VIP Agreement, each VIP agrees they will not use the Vi (UK)’s trademarks, trade names, or logos or any variations thereof in any way without prior written consent by Vi (UK) . These belong exclusively to Vi (UK) , which endeavours to protect the name Vi (UK) , its trademarks, trade names and the designs of labels, to prevent unauthorised use. You shall not do anything which prejudices, dilutes or reduces the commercial value, reputation or goodwill Vi (UK)’s trademarks, trade names, or logos or any variations thereof.

A trademark or logo is a proprietary name or symbol that Vi (UK) has the exclusive right to use.

A trademark also includes the names used for Vi (UK) products. A trade name is a business name that Vi (UK) has the exclusive right to use.

Promotional Items:VIPs are allowed to create personal promotional items using the pre-approved marketing tools found in Vi-Net and the Vi-Store.

Any marketing materials outside the pre-approved marketing tools must include the words “Independent Promoter” to

make it clear that the item is not Corporate-sponsored or endorsed.

Apart from the pre-approved marketing tools available in Vi-Net, and the Vi-Store, it is not permissible for a VIP to use Vi (UK)’s trade name and/or trademark on promotional items including but not limited to: apparel (t-shirts, hats, other clothing) , promotional items (pens, decals, car window shields, etc.) , advertising (TV, radio, Internet) , print tools (flyers, postcards, banners, brochures, etc.) , website domains, website systems (replicable websites, training, etc.) , mobile applications and other forms of display that promote Vi (UK) , the products, or the opportunity. Any other such advertising material must be pre-approved in writing by Vi (UK) , can only be used in accordance with a non-exclusive licence pursuant to such written authorisation and may be subject to a licence fee.

Marketing and EducationalMaterials:Vi (UK) marketing tools and materials may not be duplicated or reproduced. This includes without limitation, manuals, Audio CDs, DVDs, brochures, business cards, websites, and web videos. Reproduction of unapproved Corporate-developed materials for personal use or re-sale profit will not be tolerated and can result in termination and financial ramifications.

Independent Marketing Tools and/or Services:The intent behind VIP-produced materials should be to support the building of their Vi (UK) business. VIPs should not be in the business of soliciting other VIPs to buy independent products or services. VIPs may not sell independent products or services on Vi (UK)-promoted websites, at Vi (UK) sponsoredevents,onFacebook,other social media sites or community forums where the Vi (UK) community has a presence. This includes marketing services that target VIPs. A VIP can market and/or use tools such as lead generation systems or similar

within its organisation, but cannot sell these tools to other VIPs. Marketing and/or use of such tools is restricted to within the VIP’s organisation only.

Ambassador Exceptions:Under certain conditions, 3-Star Ambassadors and above may be permitted to create additional marketing materials for personal and team use only. Such items should not be promoted across lines to other teams. Any item created outside those provided by Vi (UK) must use the “Independent Promoter” logos provided by Vi (UK) , and will not misrepresent the item or message as being a corporate-sponsored or endorsed item. Any supplemental materials created by the Ambassador must be approved in writing by the Vi (UK) Compliance Department before they can be used. Send the request and a copy of the proposed item or literature to [email protected]. Upon approval of the use of a logo, the logo MUST stay in the correct format and font type as provided by Vi (UK) . Any changes must be resubmitted for approval to Vi (UK) compliance at [email protected]

VIP income opportunity should revolve around the sale of Vi (UK) products.Nomorethan5%ofa3-Star (or above) Ambassador’s total income should be made from selling their own tools. Vi (UK) reserves the right to ask for an audit of sales, to ensure compliance with a focus on selling Vi (UK) products. Refusal of the audit is grounds for termination.

Advertising and Media:Advertising, including Radio, TV, and Affiliate (Internet lead generation) programmes, Internet banner ads, and other types of marketing tools that mention Vi (UK) products or opportunity, must follow the same policy and be approved by Vi (UK) before they are aired, to ensure compliance with the brand, and product and opportunity claims.

Directories:VIPS may feature Vi (UK) on personal websites, but must

seek approval by sending an email to [email protected] before uploading to the Internet and registering with any search engines. VIPs may list Promoter telephone or fax numbers in the white or yellow page section of a telephone book using the following format exactly: Smith, Bob Vi (UK) Independent Promoter xxxx-xxx-xxxx

Any violation of the above policies could result in the termination of your Promotership. A VIP who uses unapproved marketing materials assumes all liability for any claims that may violate applicable laws and regulations. VIPs who violate this policy can also be held responsible for any potential revenue loss, legal fees or other Vi (UK) losses that may result from their violation.

Implications of Policy Violations: Vi (UK) may undertake, at its sole discretion, with or without prior notice, the following actions upon a violation of any of the policies in this section.

Frozen Accounts/Suspension:Upon the receipt of a credible complaint Vi (UK) may immediately freeze the VIP account of the individual implicatedintheabuse.Frozenaccounts are intended to prevent the abuser from benefiting from their abusive activities by prohibiting the offender from registering referrals or receiving payments. After a thorough investigation, if the incident is verified but does not rise to the level of a terminable offense, Vi (UK) may, but is not obligated to, lift the freeze.

VIP Account Termination: Upon the receipt of a credible complaint, Vi (UK) may immediately terminate the VIP implicated in the abuse. Deactivating a VIP results in the immediate termination of the position, access to all reports, the forfeiture of any unpaid and/or future monies, and the prohibition against any future VIP position.

If a VIP is terminated, their personally enrolled frontline will roll up to the next direct upline still in good standing and be placed within sixty (60) days.

If a VIP is deactivated for any behaviour that Vi (UK) deems unethical or against the policies, Vi (UK) reserves the right to terminate the VIP’s spouse due to a conflict of interest.

Summary of Policies and Procedures:Vi (UK) has developed these Policies and Procedures in order to maintain the order and integrity in our programme and between our VIPs. Vi (UK) reserves the right to make any and all necessary changes to these policies and procedures, the Vi Incentives Programme, and sales tools or materials. All active VIPs will be made aware of any said changes via email notification. If for any reason a VIP violates any of the terms of the Agreement and/or these Policies and Procedures, Vi (UK) reserves the right to immediately terminate or deactivate the VIP position. Such action by Vi (UK) will terminate any and all rights of the VIP and any further payments of any kind, and is effective at the time of said violation.
