    NOTICE INVITING TENDER

    Tender No. MEC/01/Q6DH/NMDC-KIOP/PKG-II/TD Dt. 15.01.2010

    1.0 N M D C Limited is a profit making Govt. of India Enterpriseunder Ministry of Steel engaged in the mining activities of

    exploration and exploitation of various minerals other thancoal.

    2.0 N M D C Ltd. is proposing to open a new Iron Ore mine i.e.

    Kumaraswamy Iron Ore Project at Donimalai, Bellary District,Karnataka State.

    3.0 MECON Limited, Bangalore, Consultant for the project, invites

    sealed bids on behalf on NMDC under three bid system,

    (a) Part-I consisting of EMD, Letter of Undertaking, tender

    fee in the form of a demand draft as prescribed or the

    receipt for the payment made, in case the tenderdocument is purchased from MECON LIMITED and the

    tender fee is already paid, Integrity Pact and certificateregarding completeness of Integrity Pact.

    (b) Part-II consisting of techno-commercial bid

    (c) Part-III i.e., Price Bid.

    for the work of Design, Engineering, Supply, Storage,Handling at site, Erection, Testing, Commissioning & PG Tests

    along with Civil works etc for Downhill Conveying System onLump Sum Turn-key basis for NMDC Kumaraswamy Iron OreProject, Donimalai, Bellary District, Karnataka State as perspecification enclosed.

    4.0 TENDER SUBMISSION.

    4.1 The tenders shall be submitted to Senior Manager(Contracts), MECON Limited, 89, South End Road,

    Basavanagudi, Bangalore - 560 004 before 11.00 hrs on08.03.2010. In case the tender is being submitted by hand,

    the tender shall be handed over to Senior Manager(Contracts), MECON Limited, 89, South End Road,

    Basavanagudi, Bangalore - 560 004 before 11.00 hrs on08.03.2010.

    4.2 Part-I of tenders will be opened at 11:30 hrs on the sameday in the presence of Tenderers or their authorisedrepresentatives who may choose to be present. On opening

    Part-I of the tender, letter of undertaking, the EMD, tenderfee / tender document purchased receipt, Integrity pact will

    be checked. If the documents regarding Integrity Pactsubmitted by all the Tenderers are in order, then Part-II of

    the offer shall also be opened on the same day at 15.00hrs.In case any errors/deficiencies are noticed in the Integrity

    Pact of any of the Tenderers, opening of Part II of the offersof all the Tenderers shall be postponed to 15.03.2010 at15.30 hrs. Errors/ deficiencies noticed in the Integrity Pact ofthe offer shall be intimated to the concerned Tenderer on

    09.03.2010 and Tenderer will be allowed time upto 15.00hrson 15.03.2010 for rectifying errors/ deficiencies in the

    documents, and to submit the corrected documents.

    4.3 The offers submitted by Tenderers whose Part-I is not inorder even after the opportunity given to rectify errors/

    deficiencies as given above, shall be rejected and shall not beconsidered further.

    4.4 The Consultant/ Owner may extend the deadline forsubmission of bids by issuing an amendment in accordancewith Clause 29.0 of ITT, in which case all rights andobligations of the Owner/ Consultant, and the bidderspreviously subject to the original deadline will then be

    subject to the new dead line.

    5.0 PRE-BID CONFERNCE

    5.1 Pre bid Conference will be held on 20.02.2010at the office ofMECON LIMITED, Bangalore, from 11:00 hours onwardswhere intending Tenderers may obtain necessary

    clarifications to their queries, if any, from NMDC/MECONbefore submitting their offer.

    5.2 All such queries seeking clarification on the tender

    documents should be made in 4 hard copies so as to reachMECON LIMITED, Bangalore before 15.00 hrs on 18.02.2010.

    One additional copy shall be sent to General Manager(Engineering), NMDC Limited, Hyderabad. Queries receivedafter pre bid conference shall not be entertained.

    6.0 COMPLETION TIME

    6.1 The period of completion shall be

    i.) 21 months (up to Commissioning) from the date of issueof Letter of Award of Contract

    and

    ii.) Performance Guarantee tests shall be conducted within

    a maximum period of 6 months from the date ofcommissioning.

    6.2 The completion period is inclusive of monsoon period.

    7.0 EARNEST MONEY.

    7.1 The Tenderer is required to submit Earnest Money ofRs. 50,00,000/- (Rupees Fifty Lakhs only) along with the

    Tender in the form of Demand Draft or Bank Guaranteeinitially valid for a period of Nine (9) months from date of

    opening of Part-I of tender. Money Order, Postal order andCheques etc. are not acceptable towards EMD. Earnest

    Moneydeposited by the Tenderer will not carry anyinterest.Tenders received without EMD shall be considered

    unresponsive and rejected.

    8.0 PRE-QUALIFICATION CRITERIA

    1 Average annual financial turn over of Tenderer during the last 3

    years ending 31.03.2009 shall be at least Rs. 84.0Crores.

    To meet this criteria, the Tenderer shall submit last three years

    audited balance sheet.

    2 Tenderer should have commissioned Bulk Material Handling project(s) involving Belt Conveyors during the last 15 years as givenbelow. The scope shall also include Engineering and supply of the

    plant and erection (or erection supervision).

    (Projects commissioned earlier to 31.12.1994 shall not be

    considered for evaluation)

    a) One single work of order value not less thanRs. 112.0 Crores

    ORb) Two works of order value not less than Rs. 70.0 Crores each

    OR

    c) Three works of order value not less than Rs. 56.0 Croreseach

    Order values indicated above are present values as on the Bid

    submission date. An escalation factor of 1.05 per year or partthereof shall be used to arrive at the present value of ordersexecuted in the past with commissioning date as the basis.

    To meet this PQ criteria, Tenderers shall submit:

    a) Work order copies which should contain work order no.,date, value and broad technical & commercial scope of work.

    b) Completion / Commissioning certificate issued by Client /Clients Consultant which should include Work order

    reference no. & date and date of commissioning.

    3 The Tenderer should have engineered and associated inCommissioning the following in the last 15 years (Projectscommissioned earlier to 31.12.1994 shall not be considered for

    evaluation):

    a) At least one long distance troughed belt conveyor ofminimum 1500 tph capacity of at least 2.0 km length.

    b) At least one downhill re-generative troughed belt conveyorof minimum (-) 800 kW (re-generative power) with all drivestogether.

    c) At least one troughed belt conveyor with horizontalcurvature(s).

    Such systems should have been in satisfactory operation for a

    minimum period of 2 years (as on the due date of submission ofTender).

    To meet this PQ criteria, following documents shall be furnished:

    a) Satisfactory completion / Commissioning certificate of the

    above works issued by Client/ Clients consultant clearlyindicating the work order reference no. & date, name of the

    project/work & other relevant details.

    b) Certificate issued by client / clients establishing that such

    completed / commissioned system have been operatingsatisfactorily for a minimum period of two years. Crossreferences of work orders, its issue date & commissioning date

    shall be clearly indicated.

    4 The Tenderer should have engineered a conveyor gallery for

    carrying men & materials with triangular or rectangular crosssection with a self propelled maintenance trolley traveling along thegantry.

    Such a system should have been in satisfactory operation for aminimum period of 2 years (as on or before the due date of

    submission of tender).

    3. For PQ criteria under Sl. Nos. 3 & 4:

    In case the capacity & length of downhill conveyor, drive

    details, regenerative power details of the downhillconveyor, details of troughed conveyors with horizontalcurvatures & details of triangular or rectangular conveyor

    gallery with self propelled maintenance trolley are notincluded in the order copy or the commissioning or

    performance certificate, the Tenderer may submit a letterfrom the client stating the inclusion of the above features

    / facilities / work in the work order issued by them alongwith copies of the general arrangement drawing or data

    sheet pertaining to the above approved by the client /clients consultant indicating the clients name, name ofthe project & details of the project which shall beacceptable.

    9.0 Collaborations

    9.1 In case the Tenderer is associating with foreign or IndianCompany as he does not meet the minimum pre-qualificationrequirement given under Sl. Nos. 3 and 4 of the Pre-qualification requirement on his own, the Tenderer should

    submit the following additional information:

    9.1.1 Description of the nature of association with the

    Collaborator (s).

    9.1.2 Responsibility Matrix between the Tenderer and the

    Collaborator (s).

    9.1.3 Letter from theCollaborator

    (s) confirming the following:

    i) The system/equipment shall be designed toCollaborator(s)s latest designs.

    ii) The sourcing and manufacturing of critical

    equipment/components shall be monitored by theCollaborator (s) for quality standards.

    iii) The Collaborator (s) shall be associated during the

    assembly of critical equipment/ components.

    iv) The erection, commissioning and performance

    guarantee test of the system / equipment shall bedone under the supervision of the Collaborator (s).

    15.0 If the date for any activity indicated in the tender documenthappens to be a holiday or a non-working day, for anyreason, then the next working day will be automatically taken

    as the date for such activity.

    16.0 Late/delayed tenders shall not be accepted after the due dateand time of submission of tenders under any circumstances.

    17.0 Purchase Preference policies as per Government of Indiaguidelines will be applicable.

    18.0 This Notice Inviting Tender shall form part of the Tenderdocument. In case of any discrepancy between various parts

    of the tender document, the order of precedence shall be asgiven in the General Conditions of Contract.

    1.0 GENERAL INSTRUCTIONS.

    1.1 MECON LIMITED on behalf of The NMDC Ltd., hereinafter called"OWNER" will receive tender as set forth in the accompanyingSpecifications. All Tenders shall be prepared and submitted inaccordance with these instructions.

    1.2 Tenders submitted after the time and date fixed for receipt oftenders as set out in the Notice Inviting Tender (NIT) will notbe accepted.

    1.3 The Works' referred herein shall cover the entire scope of workof the contractor which includes Design, Engineering,Manufacture, Packing, Supply, Storage, Handling at site,Erection, Testing and Commissioning and performance testing.

    1.4 The Tenderer shall not be entitled to claim any costs, chargesexpenses of the tender incidental to or incurred by him through

    or in connection with his submission of tender, even if theOwner elects to withdraw the Notice Inviting Tender (NIT).

    1.5 The Tenderer shall submit his Tender as required in thecontract documents along with letter of undertaking in the pro-forma enclosed as Annexure-1 to this Instructions to Tenderer.The letter of undertaking shall be on non-judicial stamp paperof appropriate value.

    2.0 SCOPE OF THE WORK:

    2.1 The scope of work under this contract shall be on Lump SumTurn-key basis as specified in the accompanying TechnicalSpecification. It will include but not limited to the following:

    i.) The scope of the work covers the complete work ofengineering, design, manufacture, procurement, testing atWorks/Site , packing & delivery at site, site preparation(clearing of jungle where ever required) security, supervisionof handling, installation, erection, testing, commissioning andperformance guarantee of all equipments as per technicalspecification including associated Civil and Structural works,

    Electrical, Instrumentation, Automation, CommunicationSystem, AC and Ventilation facilities, Water Supply, Fire

    Fighting and all other accessories whether covered separatelyin this specification or not, required for the construction ofDownhill Conveying System for the Kumaraswamy Iron OreProject.

    ii.) It shall be the responsibility of the successful Tenderer toobtain necessary clearance/ approval of all concernedstatutory authorities and other State government authorities

    as required during the work. No deviation is acceptable inthis regard.

    iii.) While forest clearance, environmental clearance and treefelling permission shall be obtained by NMDC, any otherclearance required from local forest authority and relatedliaison work is the responsibility of the Tenderer.

    iv.) Although every required item for successful execution of jobmay not be explicitly described in the technical specifications,the contractor shall furnish all items/ services necessary for

    scope completion without any exception and shall confirm thecompleteness of the scope in the offer. No deviation on thisaccount shall be acceptable.

    v.) Tenders not covering the entire scope of works shall be treatedas incomplete and are liable for rejection.

    vi.) The Tenderer shall have the sole and single point responsibilityfor carrying out the entire scope of work covered in thiscontract.

    3.0 TIME SCHEDULE

    3.1 The basic consideration and the essence of the Contract shallbe strict adherence to the time schedule for performing thespecified works.

    3.2 The completion schedule for the works is 21 months from thedate of Letter of Award of Contract up to the Commissioning ofthe system. Performance Guarantee tests shall be conductedwithin a maximum of 6 months from the date ofcommissioning. The time for completion is inclusive ofmonsoon period.

    3.3 The completion schedule as stated shall be one of the majorfactors in considering the tenders. The Owner reserves theright to request for a change in the work schedule during pre-award discussions with Tenderer if held.

    4.0 EARNEST MONEY DEPOSIT (EMD)

    4.1 EMD as specified in NIT shall accompany the tender as tender

    guarantee. The Tender Guarantee offered should be in one ofthe following alternative forms:

    i.) A crossed bank draft in favour of NMDC Ltd., payable atHyderabad from any Nationalised Indian Bank/Scheduled Commercial Bank including a foreign bankhaving a branch in India, payable at Hyderabad;

    ii.) An irrevocable Bank Guarantee of any NationalisedIndian Bank/ Scheduled Commercial Bank including aforeign bank having a branch in India, payable atHyderabad in favour of NMDC Ltd., Hyderabad. Pro-

    forma of the Bank Guarantee is enclosed as Annexure-2to these Instructions to Tenderers.

    Note: Any other form of payment like Cheque, Money Order,Postal Order, Fixed Deposit, Call Deposit Receipt etc. willnot be accepted as EMD.

    4.2 The EMD will be forfeited if,

    a.) The Tenderer revokes the tender during its validity period.

    b.) The validity of the BG is not extended / kept valid for a period

    of 3 months beyond the extended validity of the offer.

    c.) The Tenderer increases the prices unilaterally after the openingand during the validity period of the tender

    d.) Subsequent to acceptance of the Letter of Award of Contractby the successful Tenderer, the Tenderer refuses to enter intoContract Agreement within the specified time or its authorisedextensions.

    e.) The successful Tenderer fails to submit the BG towards the

    security deposit / Contract Performance Guarantee within theperiod specified.

    4.8 If the successful Tenderer fails to submit Contract PerformanceGuarantee as specified within 30 days after the date of Letterof Award of Contract, or fails to sign the contract agreement inaccordance with clause 5.0 Sec. GCC, then the TenderGuarantee amount will be encashed by the Owner, without anynotice or proof of damages etc.

    4.9 The Tender Guarantee of those Tenderers whose offers arefound techno commercially acceptable after scrutiny but areunsuccessful after price bid opening, their EMD shall bereturned within fifteen (15) days after the Price bid opening.

    4.10 Any tender not accompanied by Tender Guarantee along withLetter of Undertaking in accordance with above said provisionsshall be considered as unresponsive and rejected.

    4.11 No interest will be payable by the Owner on the TenderGuarantee.

    5.0 SUBMISSION OF TENDER

    5.1 All the tenders shall be prepared by typing or printing withindelible black ink on white paper in sequentially numberedpages and be in solid binding. Each Tenderer shall submit hisproposal one in original together with four (4) copies thereof.In case of discrepancy between original and copy, original shallprevail.

    5.2 The Tenderer's tender and the documents attached thereto

    shall be considered for forming part of the contract documents.

    5.3 Tender shall be submitted in three (3) parts - Part-I, Part-IIand Part-III.

    a.) Part-I consisting of EMD, Letter of Undertaking, andtender fee in the form of a demand draft as prescribedor the receipt for the payment made, in case thetender fee is already paid, Integrity Pact and certificateregarding completeness of Integrity Pact.

    b.) Part-II shall include the technical offer and commercialconditions and blank formats of Price Schedule (withoutany rate or amount).

    c.) Part-III shall include the Price Schedule(s) duly filled in.

    Price schedule copy in Part-II must be identical of the priceschedule copy to be submitted in Part-III, except that the copy

    in Part-II should not contain any price figure.

    5.4 All commercial conditions shall be included in Part-II.

    5.5 The three parts shall be submitted in three separate sealedenvelopes super scribed on top as PART-I EMD, Letter ofUndertaking, Tender fee, Integrity Pact and certificateregarding completeness of Integrity Pact. PART IITECHNICAL & COMMERCIAL OFFER and PART-III- PRICEOFFER respectively. These sealed envelopes shall besubmitted in another sealed envelope, super scribing the

    Tender No., Name of the work, due date of submission andname and address of the Tenderers along with fax andtelephone no., on the envelope. Tender, as aforesaid must besubmitted in five copies (one original and four copies) at theaddress and by the time and date mentioned in the NoticeInviting Tender.

    5.6 The Tenderer has the option of sending the tender byregistered post / courier or by submitting the tender in person,so as to reach by the date and time indicated in the NoticeInviting Tender. Tenders submitted by telex/ telegram/ Fax/

    E-mail will not be accepted. Tenders received through anymode after the stipulated date and after the stipulated timewill not be accepted.

    6.0 LANGUAGE OF THE TENDER.

    6.1 All information in the tender shall be in English. Information inany other language shall be accompanied by its translation inEnglish. Failure to comply with this will disqualify a tender. Inthe event of discrepancy in meaning, the English languagecopy of all documents shall govern.

    7.0 SIGNATURE OF TENDERER

    7.1 The tender must be signed and sealed by the Tenderer with hisusual signature.

    7.2 Tender by a partnership firm must be signed by all partners orauthorised partner(s) or other authorised representative(s).

    7.3 Tenders by Corporation/Company must be signed with thelegal name of the Corporation/Company by the President,Managing Director or by the Secretary or other person orpersons authorised to Tender on behalf of such Corporation /Company in the matter.

    7.4 A tender by a person who affixes to his signature the word`President', Managing Director', 'Secretary', 'Agent' or otherdesignation without disclosing as principal will be rejected.

    7.5 Satisfactory evidence of authority of the person signing onbehalf of the Tenderer shall be furnished with the Tender.

    7.6 The Tenderer's name stated on the proposal shall be the exactlegal name of the firm.

    7.7 Erasures or other changes in the tender documents shall beinitialled by the person signing the tender.

    7.8 Tenders not conforming to the above requirements of signingare liable for disqualification.

    8.0 INFORMATION REQUIRED WITH THE TENDER

    8.1 GENERAL

    i.) The tender must clearly indicate the name of themanufacturer, the type of model of each principal item ofequipment proposed to be supplied. The tender shall alsocontain drawings and descriptive materials indicating generalarrangements and dimensions, materials of manufacture,principles of operation, and the extent of pre-assembly

    iii.) Tenderer to ensure that all Documents, Drawings and otherinformation requested vide Chapter M / Part 1 of 2:Drawings / Documents to be submitted along with the Tender,are submitted along with the Tender in five ( 5 ) copies.

    iv.) Tenderer to ensure that all columns under Chapter M / Part2 of 2 : Questionnaire to be filled in and submitted along withthe Tender, and submitted along with the Tender in five ( 5 )copies.

    v.) In addition to the hard copy, two soft copies of the filled in Chapter M / Part 2 of 2 : Questionnaire to be filled in andsubmitted along with the Tender.

    vi.) Any tender not containing sufficient descriptive materials to

    describe accurately the equipment proposed may be treated asincomplete and hence rejected. The Owner will retain suchdescriptive materials and drawings submitted by the Tenderer.Any major departure from these drawings and descriptivematerial submitted will not be permitted during the executionof the Contract without specific written permission of theOwner.

    vii.) Oral statements made by the Tenderer at any time regardingquality, quantity or arrangement of the equipment or any othermatter will not be considered.

    viii.) Standard catalogue pages and other documents of theTenderer may be used in the tender to provide additionalinformation and data as deemed necessary by the Tenderer.

    ix.) The Tenderer, along with his proposal (tender), shall submit alist of Plant and Machinery proposed to be mobilised for thepurpose of Civil works, erection, testing and commissioning ofequipment and the system supplied under the contract.

    x.) In case the Tender information contradicts specification

    requirements, the specification requirements will govern,

    xii.) Drawings and catalogues as are required to enable the Ownerto study the suitability of the plant, machinery and equipment

    offered.

    xiii.) Audited balance sheet and Profit & Loss statement for the lastthree years.

    xiv.) A list of similar orders executed by the Tenderer in the last fiveyears.

    xv.) Original/ notorised solvency certificate from any Indiannationalised bank for a value of Rs.2400.0 Lakhs only anddated not earlier than three months from the due date of

    submission of offer.

    xvi.) Copy of registration / P.F code number allotted by anyRegional Provident Fund Commissioner. In the case of foreignparties, he shall give an undertaking that the same shall beobtained before award of Contract, in case they become thesuccessful Tenderer.

    xvii.) Central Sales tax registration number. In the case of foreignparties, he shall give an undertaking that the same shall beobtained in case the work is awarded to him.

    xviii.) Sales tax registration number/ Taxpayers identificationnumber in the state of Karnataka. In the case the tendererdoes not possess such registration number, he shall give anundertaking that the same shall be obtained in case the workis awarded to him

    xix.) Permanent Account Number from the Income tax department.Foreign participants shall give an undertaking that the sameshall be obtained in case the work is awarded to him.

    xx.) Declaration to be given by tenderer in Tenderers letter headthat the firm is not black listed by any PSU/ Govt. Body. On

    verification if it is found that the Tenderer has givenmisleading/ false information, then his Tender will besummarily rejected and the EMD amount will be forfeited.

    8.2 Part-I

    The following shall be submitted as Part-I of the tenderproposal:

    i.) Earnest Money Deposit (EMD): This shall be in any one ofthe following forms for the value as specified in the NoticeInviting Tender.

    a.) A crossed demand draft in favour of M/s. NMDCLimited from any Nationalized Indian bank, payable atHyderabad.

    b.) A Bank Guarantee from a Nationalized Indian bankdrawn in favour of M/s. NMDC Limited in the pro-forma

    Note: Earnest Money deposited in any other form will not beaccepted and the tender will be rejected.

    ii.) Letter of Undertaking: This shall be submitted in theprescribed proforma as per Annexure 1 to the ITT.

    iii.) Tender fee in the form of demand draft as prescribed if thedocument is down loaded from website. In case thedocument has been purchased, the receipt for having madethe payment shall be enclosed.

    iv.) Integrity Pact duly signed in a separate sealed envelopesuperscribed with Integrity Pact.

    v.) Certificate regarding completeness of Integrity Pact as perAnnexure 10 to the ITT.

    8.3 Part II - Techno-Commercial Bid:

    The following documents duly filled in and signed with dateand seal on each page by the Tenderer shall be submitted asPART-II of the Tender proposal:

    i.) Pre-Qualification details as per formats enclosed atAnnexure-8 Form 1 along with supporting documentary

    evidence.

    ii.) Organization set up proposed at the site work: This shall befurnished in the prescribed proforma as per Annexure 3 tothe ITT indicating the field management proposed by theTenderer for executing the work including bio-data of keypersonnel, at site.

    iii.) One set of the tender document duly signed and stamped inall the pages shall be submitted in token of its acceptance.However, the tender documents available with MECON /

    NMDC shall be considered as authentic.

    iv.) Dummy PRICE sets to be submitted by the Tenderer withoutthe price duly signed on all pages for execution of all itemsas per the Specifications/Standards by successful bidder.

    v.) Statement of exception and deviation taken by the tenderer.This should be as per Annexure 6.

    vi.) Power of Attorney of the signatory of the tender in original instamp paper duly attested by a Notary Public.

    vii.) Valid certificate of registration of A class ElectricalContractor from the concerned Electrical Inspectorate.

    viii.) Tenderers proposed quality assurance programme.

    ix.) Time schedule in the form of BAR CHART/Network proposedby the Tenderer for completion of the work within the timespecified in Notice Inviting Tender (NIT).

    x.) Overall description of the method the Tenderer proposes to

    adopt for carrying out the work.

    8.4 PART-III: Price Bid.

    The following documents duly filled in and signed by theTenderer shall be submitted as PART-III of the Tenderproposal:

    i.) Summary of Tenderers Price in the prescribed proforma,FORM-AA, enclosed in Vol II of V of the tender document.

    ii.) Price quotation in Price Format enclosed in the Vol II of V ofthe tender document.

    9.0 UNDERSTANDING AND CLARIFICATION ON DOCUMENTSAND SPECIFICATIONS

    9.1 The Tenderer is required to carefully examine thespecifications and tender documents and fully inform himselfas to all the conditions and matters which may in any wayaffect the works and the cost thereof. If any Tenderer finds

    discrepancies or omissions in the specifications and tenderdocuments or is in doubt as to the true meaning of any part,he shall at once request in writing in triplicate for aninterpretation/ clarification from the Owner. The Owner, thenwill issue interpretation and clarifications in the Pre-BidConference. After receipt of such interpretations andclarifications, the Tenderer may submit his tender but withinthe time and date as specified in the Invitation to Tender. Allsuch interpretations and clarifications shall form a part of thespecifications and documents and accompany the Tenderer'sproposal. No extension of time for submission of tenders will

    be granted on account of Tenderer's request forinterpretation/ clarification.

    9.2 Verbal clarifications and information given by the Owner orhis employee(s) or his representative(s) shall not in any waybe binding on the Owner.

    9.3 No major modifications to the specifications and the termsand conditions of the tender documents which in any waylimit the responsibilities and liabilities of the successfulTenderer or any right of the Owners as required in these

    specifications and tender documents is permitted.

    10.0 LOCAL CONDITIONS

    10.1 It will be imperative on each Tenderer to fully inform himselfof all local conditions and factors which may have any effecton the execution of the works covered under these tenderdocuments and specifications. The Owner shall not entertainany request for clarifications from the Tenderers, regardingsuch local conditions.

    10.2 It must be understood and agreed that such factors havebeen properly investigated and considered while submittingthe proposal. No claim for financial adjustment to thecontract awarded will be entertained by the Owner on thisaccount. Neither any change in the time schedule of theContract nor any financial adjustments arising thereof shallbe permitted by the Owner, which are based on the lack ofsuch clear information or its effect on the cost of the Worksto the Tenderer.

    11.0 PRICE BASIS

    11.1 The Tenderers shall quote in their proposal firm and fixedprice for the entire scope of works as per the tenderdocuments. Tenderers quoting a system of pricing otherthan that specified are liable to be rejected.

    11.2 The Tenderer shall indicate tender prices in Indian Rupeesonly.

    11.3 The contract shall be executed on lump sum turn-key basis

    and the prices shall remain firm and binding without anyescalation whatsoever, irrespective of any variation inquantities. The Tenderers are requested to quote prices forthe entire scope of the work for which the tenders areinvited.

    11.4 TENDERERS SHOULD FOLLOW THE PRICE SCHEDULEFORMAT ENCLOSED.

    11.5 The Tenderer shall include in his price the following:

    a) The Tenderer shall submit the prices including basicprice, taxes, duties, charges towards packing, freight,

    insurance and also prices towards erection, Structuraland Civil works, testing, commissioning &performance guarantee tests as per Price Schedule ofSpecification.

    b) The Contract price shall include basic price, Exciseduty,Custom duty, sales tax/ VAT, octroi, turn overtax (TOT), Works Contract Tax , Service Tax and

    other duties, taxes and levies as may be applicableand prevailing on the last date of submission of finalprice bid as fixed by the NMDC/ Consultant. Thecontract price shall include all necessary insuranceand freight charges also.

    c) Erection and Commissioning: The erection prices shallinclude receipt, unloading, safe storage, handlingcharges at site, storage cum erection, insurance asper various clauses of the contract, interconnection onintegrated basis, testing, commissioning, supply of all

    required consumables such as Oils, Lubricants, Cableglands, Lugs, ties, termination kits, bolt and nuts,steel, Welding material etc. required for erection andcommissioning.

    d) Works contract tax as applicable in Karnataka Statewill be deducted at source while making paymentsand tax deduction certificate will be issued. Incometax as applicable shall be deducted at source.

    12.0 TAXES AND DUTIES

    12.1 If desired by the contractor, NMDC shall issue form-C to availconcessional rate.

    12.2 All custom duties, excise duties, sales taxes, and other leviespayable by the contractor in respect of the transactionbetween the contractor and his vendors/sub suppliers whileprocuring any components, sub-assemblies, raw materialsand equipments shall be included in the tender price and noclaim on this behalf will be entertained by the owner.

    12.3 Obligations of the Owner/Contractor towards reimbursementof statutory variations in taxes and duties are as follows:

    i.) The Contract Price for Equipment is inclusive of prevailingexcise duty/ custom duty for such Equipment. The rates ofexcise duty/ custom duty included in the Price are based onthe rates prevalent on base date. Reimbursement of exciseduty/custom duty in excess of prevailing rates on finishedEquipment arising out of statutory variation withinContractual delivery/ execution period based on agreed bar

    chart as per Contract after the base date will be made by theOwner.

    ii.) Similarly, if the excise duty/ custom duty on Equipment isreduced below the prevailing rates, the Owner shall beentitled to get refund from the Contractor.

    iii.) For claiming such statutory variation in excise duty theContractor shall provide the Owner original of gate pass dulycountersigned by Excise Authorities or excisable invoice alongwith the documentary evidence showing the rate of excise

    duty prevailing on the base date and date of claim. Relevantdocumentary evidence showing the rate of custom dutyprevailing on the base date and date of claim shall beprovided by the Contractor to the Owner for claiming suchstatutory variation in custom duty.

    iv.) In addition, the Contractor shall furnish his statutoryauditors certificate to the effect that no refund of excise duty/ custom duty has been obtained/ claimed by him and thatno reduction has taken place in the excise duty. In case, anyrefund is obtained in future by the Contractor, the same shall

    be passed on to the Owner.

    v.) The Owner shall reimburse statutory variation in excise duty/custom duty beyond the base date only in respect of finisheditems/equipment supplied to the Owner as per billingschedule submitted by the Contractor as per conditions of theContract approved by the Owner. The Owner shall not beliable to reimburse excise duty/ custom duty variation oncomponents, assemblies, intermediate products etc.

    12.4 The Contract Price shall be inclusive of Central sales tax at

    the applicable rate for supply of finished materials.Reimbursement of central sales tax in excess of specified rate

    on the aforesaid goods arising out of statutory variationswithin the Contractual delivery/execution period after thebase date will be made by the Owner, subject to Contractorsfurnishing documentary evidence. The Owner shall issuenecessary sales tax declaration form C for this purpose toContractor once in each financial year. Reimbursement ofCST above the specified rate due to statutory variation willbe limited to only finished materials supplied by the

    Contractor and his Sub-Contractors directly to the Owner.

    12.5 Reimbursement of additional amount of sales tax arising outof statutory variations within the Contractualdelivery/execution period as per agreed bar chart of theContract after the base date will be made by the Ownersubject to production of documentary evidence by theContractor.

    12.6 No variations in taxes and duties and other statutory leviesexcept excise duty, custom duty, sales tax and service tax is

    admissible. Statuatory variations in excise duty, custom duty,sales tax and service tax shall be reimbursed/ refunded atactuals based on statuatory documentary evidence.

    12.7 Contract Price shall also be inclusive of applicable service tax.

    12.8 Tenderer will be reimbursed exchange rate variations withreference to the date of Tenderers applicable price offer andthe date of bill of lading as per the exchange rates for USDollar TT selling rates published by State Bank of India.

    12.9 Statutory variations due to imposition of new taxes andduties by the Central or State Government as may beapplicable on the supplies and services shall be to theOwners account. The aforesaid variation shall be reimbursedby the Owner subject to production of relevant documentaryevidence and will be limited within the Contractual deliveryperiod/execution schedule.

    12.10 The Contractor shall bear and pay all liabilities in respect of(a) non-observance of all legal formalities as per variousstatutory provisions and (b) statutory variations in all taxes

    and duties and imposition of new taxes and duties that maybe imposed after the Contractual delivery/execution dates, as

    originally stipulated, in case the delivery dates are extendeddue to reasons attributable to the Contractor.

    13.0 POLICY FOR TENDERS UNDER CONSIDERATION

    13.1 Tenders shall be deemed to be under consideration after theyare submitted until such time official intimation of

    award/rejection is made by the Owner to the Tenderers. Whilethe Tenders are under consideration, Tenderers and/or theirrepresentatives or other interested parties are advised torefrain from contacting by any means, the Owner and/or hisemployees/representatives on matters related to the Tenderunder consideration. The Owner, if necessary, will obtainclarifications on the tenders by requesting for such informationfrom any or all the Tenderers, either in writing or throughpersonal contact as may be necessary. Tenderer will not bepermitted to change the substance of the tender after thetender has been submitted. Tenderers shall furnish such

    clarifications / confirmations/ documents in one original + 4copies

    14.0 EFFECT AND VALIDITY OF TENDER

    14.1 The submission of any tender in accordance with the tenderdocuments and specifications shall constitute an agreementthat the Tenderer shall have no cause of action or claim,against the Owner for rejection of his tender. The Owner shallalways be at liberty to reject or accept any tender or tenders athis sole discretion and any such action will not be called into

    question and the Tenderer shall have no claim in that regardagainst the OWNER.

    14.2 The tender shall be kept valid initially for a period of six (6)calendar months from the last date set for submission oftenders.

    14.3 In exceptional circumstances, prior to expiry of the originaltime limit, the owner may request that the bidders mayextend the period of validity for a specified additional period.The request will be made in writing. A bidder may refuse the

    request without forfeiting his bid security. A bidder agreeingto the request will not be required or permitted to modify his

    bid, but will be required to extend the validity of his offer andbid security suitably as per relevant provisions

    15.0 AWARD OF CONTRACT

    15.1 Notification of Award of Contract will be made in writing to thesuccessful Tenderer by the Owner within the validity period orextended period of validity through a Letter of Award of

    Contract.

    15.2 The Owner shall award a composite order covering the entirescope of work in line with the terms and conditions specifiedin the accompanying Technical Specifications if any.

    16.0 SPARE PARTS AND SPECIAL MAINTENANCE TOOLS

    16.1 Tenderers shall include in his price cost of supply of sufficientquantity of commissioning spares necessary for the successfulcommissioning of the system and equipment offered. The

    Tenderer shall consider quantity of such commissioning spares,based on his experience. In case of any shortfall in thecommissioning spares, additional spares as required shall besupplied by the successful Tenderer at his own cost and intime, so that commissioning till fulfilment of guarantee is in noway affected due to want of spares.

    16.2 Tenderer shall also supply special maintenance tools, tacklesand instruments along with each equipment required formaintenance and testing of equipment. List of such specialtools, tackles and instruments considered by the Tenderer shall

    be furnished along with the Tender.

    16.3 Tenderer based on his experience and critical nature of theequipment & system under the scope shall furnish a list ofInsurance spares and spares required for normal operation andmaintenance.

    16.4 Commissioning spares shall be despatched along with the plantand equipment.

    16.5 Spare parts for two years normal operation of the plant and

    special maintenance tools shall be despatched in the sequence

    that they arrive at site prior to commencement of start upoperations, but not prior to the supply plant and equipment.

    16.6 Tenderer shall furnish an itemised list with descriptions,quantities, etc. considered by him under Tools and tackles,instruments, Insurance spares and two year spares alongwith the tender.

    16.7 The final list of insurance and two year spares will be finalisedwith the successful Tenderer. The quoted price shall be valid tillthe expiry of warranty period.

    16.8 Delivery shall mean delivered at site duly packed.

    17.0 CONTRACT PERFORMANCE BANK GUARANTEE

    17.1 Within thirty (30) days of the date of letter of Award ofContract, the successful Tenderer, to whom the contract is

    awarded, shall furnish a Contract performance guarantee(security deposit) from a Nationalised Indian Bank, in the formattached as Annexure-4 to the Instructions to Tenderers infavour of the Owner. The guarantee amount shall be equal toten percent (10%) of the Total contract price and it shall be fordue and faithful performance of the contract in accordancewith the terms and conditions specified in these tenderdocuments. In case of collaborations / Associations, thecollaborator / associates shall submit an additional BankGuarantee equal to ten percent (10%) of the Associates shareof work. The guarantee shall be valid till 90 days beyond the

    expiry of the guarantee period.

    18.0 CONTRACT QUALITY ASSURANCE

    18.1 The Tenderer shall include in his proposal the QualityAssurance Programmes (QAP) containing the overall qualitymanagement and procedures, which he proposes to follow inthe performance of the Works during various phases.

    18.2 At the time of Award of Contract, the detailed QualityAssurance Programme to be followed for the execution of the

    Contract will be mutually discussed and agreed to and suchagreed QAP shall form a part of the Contract.

    19.0 INSURANCE

    19.1 The Tenderers insurance liabilities pertaining in his scope ofwork are detailed out in clauses titled "Insurance" in GeneralConditions of Contract"(GCC) and Erection conditions ofcontract. Tenderers attention is specifically invited to theseclauses. Tender price shall include all the costs in pursuance of

    fulfilling all the insurance liabilities under the contract.

    20.0 TERMS & CONDITIONS OF CONTRACT

    20.1 It must be clearly understood that any contract concludedpursuant to this Notice Inviting Tender shall be governed bythe General Conditions of Contracts, Special Conditions ofContract and Erection Conditions of Contract and all otherterms & conditions, clarifications, addendum, corrigenda, etc.,forming the part of the tender documents enclosed with Notice

    Inviting Tender.

    20.2 Tenderers must, therefore, take special care to go throughthese Conditions and in exceptional cases if any deviations areproposed, these must be clearly indicated in the Techno-commercial parts of the tender (PART II) as a separateAnnexure (For format refer Annexure 6 given in Instruction toTenderer). Tender made with many deviations from thetender documents is also liable to be rejected. It should berealised that failure to bring out deviations from the biddocuments will imply that the Tenderer is willing to execute the

    contract as per the Owner's tender documents.

    20.3 Further merely enclosing Tenderers printed conditions with theTender will make the Tender liable for rejection.

    21.0 CONTRACT AGREEMENT

    21.1 The CONTRACTOR shall enter into and execute an agreementin the prescribed pro-forma enclosed as Annexure-7 withthese conditions, within the time specified in the Letter ofAward of Contract. The cost of the stamp fee of the

    Agreement shall be borne and paid by the CONTRACTOR. Incase the CONTRACTOR fails to execute the Agreement within

    the time thus specified, the OWNER, at its sole discretion,may cancel the letter of acceptance and forfeit the EarnestMoney

    22.0 INTEGRITY PACT

    The Bidder must accept the Integrity Pact as per theproforma enclosed along with the tender document and shall

    submit the same duly signed along with the offer in aseparate sealed envelope superscribed with Integrity Pact.Offer of the Bidder received without duly signed IntegrityPact will not be considered.

    The procedure for submission of integrity pact would be asfollows:

    The Indian bidder should submit the integrity pact on anon-judicial stamp paper of Rs.100/- duly signed bythe authorised representative on all pages.

    In case of overseas bidder, the bidder shall submit theintegrity pact on his companys letter head duly signedby the authorised representative.

    If the bidder / contractor is a partnership firm or aconsortium, the integrity pact shall be signed by all thepartners or the consortium members.

    At the time of tender opening, the envelope containingthe integrity pact will be opened and signed by the

    tender issuing officer or his authorised nominee.

    All the pages of the integrity pact should be signed byboth, the Principal as well as the Bidder.

    The Bidder should not change the contents of theintegrity pact.

    The Principal or his representative will sign theIntegrity Pact after opening of the Tender.

    23.0 ONE TENDER PER TENDERER

    Each tenderer shall submit only one tender for one work. Atenderer who submits or participates in more than one tender(other than as a subcontractor or in cases of alternatives thathave been permitted or requested) will cause all the proposalswith the tenderers participation to be disqualified.

    24.0 MODIFICATION AND WITHDRAWAL

    24.1 Tenderer may modify or withdraw their bids after submission bygiving notice in writing before the deadline prescribed in NIT forsubmission of bids.

    24.2 Each tenderers modification or withdrawal notice shall beprepared, sealed, marked and delivered as follows:

    i) In case of modification to the bid by the tenderer, thetenderer shall provide one original plus 3(three) copies of

    any modifications to its bid, clearly identified as such, in twoinner envelopes duly marked BID COPIES. The innerenvelopes shall be sealed in an outer envelope, which shallbe duly marked BID MODIFICATIONS.

    ii) In case of withdrawal of bid by the tenderer, the bidder shallprovide one original plus 3(three) copies of withdrawalnotice of its bid, clearly identified as such, in two innerenvelopes duly marked BID WITHDRAWAL NOTICE Original and BID WITHDRAWAL NOTICE-Copies. The innerenvelopes shall be sealed in an outer envelope, which shallbe duly marked BID WITHDRAWAL NOTICE.

    iii) Other provisions concerning the marking and dispatch of bidmodifications or withdrawal shall be in accordance withClause 5.0 of ITT & Method of Submission of the Tender.

    24.3 No bid may be modified or withdrawn after the deadline forsubmission of bids.

    24.4 Withdrawal or modification of a bid between the deadline for

    submission of bids and the expiration of the original period of bidvalidity in Clause 13.0 of NIT may result in the forfeiture of thebid security pursuant to Clause 4.0 of ITT.

    24.5 Tenders together with any modification specified under the clauseshall be considered as final bid at the time of opening of bid.

    25.0 ALTERNATIVE PROPOSAL BY TENDERERS

    Tenderers shall submit offers that comply with the requirementsof the tender documents, including the basic technical design as

    indicated in the drawing and specifications. Alternatives will notbe considered.

    26.0 SUBMISSION OF BANK GUARANTEE

    If the tenderer intends to submit, the Earnest Money Deposit(EMD)/ Contract Performance Guarantee (CPG) in the form ofBank Guarantee, it shall be the responsibility of the tenderer,that the original bank guarantee to be submitted as EMD/CPGshould be sent by the bankers under Registered Post (A/D)directly to Tender Receiving Authority at the address indicated

    above. It is also the responsibility of the tenderer to co-ordinate with the bankers for dispatch of original bankguarantee so that the EMD reaches Tender Receiving Authorityon or before the stipulated date of opening of tender. However,a copy of the Bank Guarantee can also be submitted in Part I ofthe offer.

    In case, EMD BG is not reached within the stipulated date andtime of submission of tender or copy of bank guarantee is not inpart I of the tender, then the tender shall be summarilyrejected and part II of their offer shall not be opened.

    27.0 CORRUPT OR FRAUDULENT PRACTICES

    27.1 The owner requires that Bidders/Suppliers/Contractors underthis contract, observe the highest standard of ethics during theprocurement and execution of this contract. In pursuance ofthis policy, the owner.a. defines, for the purpose of these provisions, the terms set

    forth as follows:i) corrupt practice means the offering, giving, receiving or

    soliciting of any thing of value to influence the action of apublic official in the procurement process or in contractexecution; and

    ii) fraudulent practice means a misrepresentation of factsin order to influence a procurement process or theexecution of a contract to the detriment of the Employer,and includes collusive practice among Bidders (prior to orafter bid submission) designed to establish bid prices atartificial non-competitive levels and to deprive theEmployer of the benefits of free and open competition.

    b. will reject a proposal for award of work if he determines thatthe Bidder recommended for award has engaged in corruptor fraudulent practices in competing for the contract inquestion.

    c. will declare a Bidder in eligible, either indefinitely or for astated period of time, to be awarded a contract/contracts ifhe at any time determines that the Bidder has engaged incorrupt or fraudulent practices in competing for, or inexecuting, the contract.

    28.0 EXAMINATION OF BIDS AND DETERMINATION OFRESPONSIVENESS

    28.1 Prior to detailed evaluation of Bids, the Owner will determinewhether each Bid

    a. meets the Pre Qualification criteria as per clause 8.0 of NIT.

    b. has been properly signed by an authorized signatory(accredited representative) holding Power of Attorney in hisfavour. The Power of Attorney shall interalia include aprovision to bind the Bidder to settlement of disputes clause;

    c. is accompanied by the required EMD andd. is responsive to the requirements of the Bidding documents.

    28.2 A responsive Bid is one, which conforms to all the terms,

    conditions and specification of the Bidding documents, withoutmaterial deviation or reservation.A material deviation or reservation is one

    a) which affects in any substantial way the scope, quality orperformance of the Works

    b) Which limits in any substantial way, the owners rights or thetenderers obligations under the Contract; or

    c) Whose rectification would affect unfairly the competitiveposition of other tenderers presenting responsive Bids(Comment -considering the above Integrity Pact need not beincluded in 4.2 of ITT as a ground for rejection of Bid)

    28.3 If a Bid is not substantially responsive, it will be rejected by theowner, and may not subsequently be made responsive bycorrection or withdrawal of the non-conforming deviation orreservation.

    29.0 AMENDMENT OF BIDDING DOCUMENTS

    29.1 Before the deadline for submission of tender, the owner maymodify the bidding documents by using addenda.

    29.2 Any addendum thus issued shall be part of the biddingdocuments and shall be communicated in writing to all thepurchasers of the bidding documents and tenderers who havedownloaded the tender document from the website Prospectivetenderers shall acknowledge receipt of each addendum to theOwner.

    29.3 To give prospective bidders reasonable time in which to takean addendum into account in preparing their bids, the ownershall extend as necessary the deadline for submission oftender.

    30.0 CLARIFICATION OF BIDS

    30.1 To assist in the examination and comparison of tender theowner may, at his discretion, ask any tenderer for clarificationof his tender including breakdown of unit rates. The requestfor clarification and the response shall be in writing but nochange in the price or substance of the Bid shall be sought,offered, or permitted except as required to conform thecorrection of arithmetic errors discovered by the owner in the

    evaluation of the Bids.

    30.2 No tenderer shall contact the OWNER on any matter relating tohis bid from the time of the bid opening to the time thecontract is awarded. If the tenderer wishes to bring additionalinformation to the notice of the OWNER he should do so inwriting.

    30.3 Any effort by the tenderer to influence the owners bidevaluation, bid comparison or contract award decisions, mayresult in the rejection.

    31.0 COMMUNICATIONS

    31.1 Communications between parties which are referred to in theconditions are effective only when in writing. A notice shall beeffective only when it is delivered (in terms of Indian Contractact 1872).

    32.0 CORRECTION OF ERRORS (This is applicable for item rateTenders)

    32.1 Bids determined to be responsive will be checked by theOWNER/ Consultant for any arithmetic errors. Errors will becorrected by the Owner as follows:

    a) Where there is a discrepancy between the rates in figuresand in words, the rate in words will govern and

    b) Where there is discrepancy between the unit rate and theline item total resulting from multiplying the unit rate bythe quantity the unit rate as quoted will govern.

    32.2 The amount stated in the bid will be adjusted by the Owner/

    Consultant in accordance with the above procedure for thecorrection of errors and with the concurrence of the bidder ,

    shall be considered as binding upon the bidder. If the bidderdoes not accept the corrected amount the bid will be rejectedand the bid security may be forfeited.

    33.0 EVALUATION AND COMPARISON OF BIDS

    33.1 The Owner/ Consultant will evaluate and compare only the bidsdetermined to be responsive in accordance with Clause 28.0

    above.

    33.2 In evaluating the bids, the Owner/ Consultant will determinefor each bid the evaluated price bid by adjusting the bid priceas follows:

    a) making any correction for errors pursuant to clause 32.0above;

    b) making appropriate adjustments to reflect discounts orother price modifications if offered in the price bids.

    33.3 The Owner reserves the right to accept or reject anyalternative offer. Alternative offers and other factors which arein excess of the requirements of the bidding documents orotherwise result in unsolicited benefits for the Owner shall notbe taken into account in Bid Evaluation.
