WAIVER, RECEIPT AND QUITCLAIM

2. In connection with my former employment with the Company, for valuable

I therefore undertake not to do any act prejudicial to the interest of theCompany arising from my previous employment.

3. I acknowledge that I have no cause of action whatsoever, criminal, civil or

otherwise against the Company, its officers, directors, or representatives withrespect to any matter arising from or cessation from my employment with theCompany. I further warrant that I will institute no action and will not continue toprosecute pending actions, if any, against the Company, its officers, andrepresentatives.

4. I acknowledge that I have received all amounts that are now or in the future maybe due me from the Company. I also acknowledge that I am physically fit for workand therefore am not suffering from any disability.

5. I finally declare that I have read this entire document and the entire waiver,receipt, and quitclaims hereby given are made by me willingly and voluntarily andwith full knowledge of my rights under the law.
