MISSION STATEMENT

ACF HARRISBURG PA 181 CHAPTER

To create an alliance where area professionals can unite with the purpose of furthering the Culinary Profession and the skills of the individual.

To present a forum where the knowledge and experience of the region’s chefs and apprentices can be shared.

To develop a network of comrades who share our commitment to the craft.

To further education in both regional and international cookery techniques.

To assist in the pursuit of professional culinary certification.

To enhance the fixture of the profession by participating as a mentor for those who will one day represent us.

To break bread with friends.

As a proud member of the American Culinary Federation, I pledge to share my professional knowledge and skill with all culinarians. CONSTITUTIONFOUNDED 1996

~Article One~Name

The name of this association shall be known as the ACF Harrisburg Chapter, PA 181. For purposes of brevity in writing, it shall hereafter be referred to m "ACF-Harrisburg”

~Article Two~Purpose

The purpose for which ACF-Harrisburg was formed is set forth in the Certificate of Incorporation of the American Culinary Federation as follows:

To promote the interests and the welfare of those engaged in culinary, catering, and allied employments, and to that end to do all and everything necessary, suitable and proper for the attainment of any of the purposes, the accomplishment of any of the objects, or the furtherance of any of the powers hereinafter set forth, and to have, enjoy and exercise any and all rights, powers and privileges, and exemptions which are now or which may hereafter be conferred upon corporations organized as they now exist or may be amended or ”supplemented.

ACF-Harrisburg is a chapter of a national organization of chefs and cooks who have devoted a lifetime of endeavor to the science of cookery; to foster the best interests of the culinary professional and particularly the interests of its members in that profession by cooperation with members and others in any and all matters involving the art and practice of cookery; to foster good will toward the culinary profession; to advance ways and means `beneficial to the culinary profession with the ultimate aim of obtaining official recognition of cooks as a profession and discriminate through its official organ, Patriot-News, Sunday Patriot-News, Sentinel and all other Central Pennsylvania newspapers, comprehensive and dependable facts and news pertaining to and affecting the culinary profession.

ACF-Harrisburg is a non-profit, non-partisan and non-sectarian culinary association of professional chefs and cooks engaged in the planning, preparation, service, and supervision of foods and beverages in commercial kitchens, in hotels, clubs, restaurants, schools, hospitals, health care centers, contracted food operations and other establishments, as well as serving as research and development consultants, experimental chefs and food directors. There shall be no discrimination in regards to race, color, sex, disability, religion or politics. Its purpose is to provide a means by which persons engaged in culinary activities have the opportunity of mutual acquaintance and social companionship, to promote the exchange of ideas and information. Its purpose is also to provide the means to educate and aid individuals, regardless of age, who display a desire of becoming professional culinarians.

~Article Three~Membership

There shall be eight categories of ACF membership as follows: 1) Junior Culinarian2) Student Culinarian3) Culinarian4) Professional Culinarian5) Senior Professional Culinarian6) Associate Member7) Allied Member8) Culinary Enthusiast Member

Section 1- Membership Obligations:As a condition of membership, all ACF members shall be bound and abide by the ACF Bylaws, policies and procedures, as amended from time to time, including without limitation, the Culinarians Code and the ACF rules governing Unethical Conduct, the procedure for joining the ACF, and termination and suspension of membership.

~Article Four~Officers

Section 1- The elected officers of this association shall be:a) President

b) Vice President c) Secretary d) Treasurer

Section 2- The immediate past president shall, upon leaving the office of President, automatically assume the office of Chair of the Board and remain a member of the Executive Board until the next change of President The Chair shall preside at any and all meetings which the President is unable to attend or is indisposed.

Section 3- The Executive Committee shall consist of the elected officers and the Chair of the Board.

Section 4 - Elected officers shall not serve more than two consecutive terms within in the same office.

Section 5- The President shall appoint Committee Chairs with the advice and consent of the ExecutiveCommittee.

~Article Five~Elections

Section 1 - At the August meeting the President shall appoint the Officer Election Committee. The committee will consist of three members, none of whom are elected officers.

Section 2- The Election Committee will appoint its own Chair.

Section 3- At the October meeting, the Elections Chair will present a list of nominations, one nominee for each office. Nominations will then also be accepted from the Floor. All nominations, both those from the Election committee and from the Floor, must be accepted in person. In the event the person is not at this meeting a written acceptance in absent must be presented to the Secretary.

Section 4 - Ballots will handled electronically by the Election committee Chair to all Active members within five days of the October meeting, only ballots returned by the required date will be valid.

Section 5 - All officers elected will announced and installed at the end of the December meeting and will serve a two year term. If no one runs for an office, the incumbent officer may be reinstalled.

Section 6- In the event that the President resigns or for any reason is unable to perform the duties of the Presidency, the Vice President will assume the Presidency.

~Article Six~Annual Meeting

The official annual meeting, which is required by the Articles of Incorporation, will be in December, when annual reports will be available for review. Newly elected officers shall assume their duties at the close of the meeting.

~Article Seven~Amendment

This constitution may be amended at any regular meeting by a two-thirds vote of all members present and voting provided thirty days notice was given at a previous meeting. It also may be amended at a special meeting called for that purpose, with previous notice and a two thirds vote. All proposed amendments will be submitted in writing to the chair of the Bylaws Committee.

BY-LAWS~Article One~Membership

Section 1:

Membership Type and definition of each:

1) Junior Culinarian- A Junior Culinarian shall be a high school student between 16 and 18 years of age. Junior Culinarians shall have no vote.

2) Student Culinarian-

A Student Culinarian shall be a person that is involved in the culinary profession and have fewer than two years work experience at the time of joining.

A Student Culinarian shall be a student enrolled in a post-secondary culinary education program, or a registered apprentice as defined by the ACFEF apprenticeship training program.

A Student Culinarian shall have one half (1/2) vote in any electoral proceedings of the ACF. Student Culinarian membership shall be subject to a lifetime limit of four years and is not

available to a person who has previously been a Culinarian or Professional Culinarian. 3) Culinarian-

A Culinarian shall be individuals including line cooks, bakers, pastry cooks or other culinarian not involved in the management or supervision of the respective property with a minimum of 6 months full time employment.

A Culinarian shall be pursuing on-the-job training and experience necessary to advance to the membership level of Professional Culinarian.

A Culinarian shall have one-half (1/2) vote in the election of national officers and at-large directors of ACF.

A Culinarian membership shall be subject to a lifetime limit of five years.4) Professional Culinarian-

A Professional Culinarian shall be a person with at least three years full-time employment in the culinary profession.

A Professional Culinarian shall have one (1) vote in the election of officers and at-large directors.

5) Senior Professional Culinarian- A Senior Member shall be a person at least 65 years of age, retired from employment and

who shall have been an ACF Professional Culinarian member for a minimum of ten (10) consecutive years at the time of retirement. Regardless of age, a member with at least seven (7) years tenure in any category who is permanently and totally disabled from culinary employment shall be eligible for Life Senior Professional Culinarian membership.

Senior Professional Culinarians shall retain the rights and privileges of the membership category from which they retired, including the right (if any) to vote for officers and at-large directors.

Senior Culinarians cannot hold an elected office. This membership category shall include all Retired Disabled and Life Senior Chef Members.

6) Associate Member- An Associate Member shall be a representative of a group, company or corporation

providing products or services to the culinary profession. Associate Members shall have no voting rights and cannot hold an elected office.

7) Allied Member- An Allied Member shall be a person employed in a field related to the culinary profession

(such as dietetics, home economist, food stylist, etc.) who does not qualify at any level of professional membership of the ACF. Additionally, any person who wishes to support and promote the ACF and culinary profession may become an Allied Member.

Allied Members shall have no voting rights and cannot hold an elected office. 8) Culinary Enthusiast Member-

A Culinary Enthusiast Member shall be a person of the general non-food professional community that has a passion for the culinary arts.

A Culinary Enthusiast Member shall have no voting rights and cannot hold an elected office.

~Article Two~Membership Dues

Section 1:Billing will be direct billing from the ACF National Office. Membership types will determine the

associated dues. See the ACF National website: www.acfchefs.org

~Article Three~Meetings

Section 1- Regular meeting of the association will be held monthly on the third Monday of the month unless otherwise ordered by the President or Executive Board or the association.

Section 2- Special meetings may be called by the President or the executive board.

Section 3- Meetings are open to members in good standing at all levels. Any member may bring a guest to all meetings.

Section 4- Ten percent of the membership or six (6) persons other than the board, whichever is smaller, shall constitute a quorum for the transaction of business.Section 5 - In keeping with the policy at National and Regional ACF meetings, the dress policy for meetings is as follows:

a. Clean chef s or cook’s jacket with dress pants, skirt, cook pantsor

b. Male: Jacket, tie and slacksc. Female: Business attire

~Article Four~Executive Board

Section 1:The Executive Board shall consist of all the elected officers and the Chairperson of the Board (immediate past president). Section 2:The executive board shall attend to the affairs of ACF Harrisburg during the interim between meetings of the association, but its acts shall not conflict with the action taken by the association. Section 3Board meetings will be held at the discretion of the President.Section 4:Three members, two (2) of which must be elected officers, shall constitute a quorum for the board totransact business.Section 5:All officers shall perform the duties as prescribed in the adopted parliamentary authority. In addition to those specified in these By-Laws, they shall deliver to their successors all materials pertaining to their offices within ten days after the December meeting.Section 6:All officers shall assist the President in the accomplishment of the objectives of the association.Section 7: In the event of an elected vacancy on the executive committee, the position will be filled by the immediate past president.

~Article Five~Duties of Officers

Section 1: The President 1. Shall be elected by the chapter membership.2. ls the chief executive officer of the chapter.3. Shall preside at all meeting of the members and at all meetings of the board of directors.4. Shall have general and active management of the business of the chapter and shall see that all ordersand resolutions of the board are carried into effect.5. Shall effectively organize and head monthly member meeting’s using parliamentary procedures for motions (see Appendix D of ACF National Operations Manual)6. Shall appoint all committee chairs and keep the membership notified of appointees. 7. Shall have the power to remove any person or persons from any committee.8. Shall attend national conventions, regional conferences and board meetings. Shall be privileged andvested with the power to attend and represent the chapter at all business and social functions whenever and wherever chapter representation is required or desired.9. Shall be responsible for handling the removal of any member or members or guests who disturb theproper conduct of any meeting or who are persistently out of order.10. Shall have the authority to call special meetings of the members at any time deemed necessary.11. Shall be an ex·offcio member of standing committees. .12. Shall have the authority to sign checks if the account is cleared to cover the signature of the

President and the secretary.12. Shall update ACF mailings to personal address and give all correspondence needed to secretary and treasurer.13. Shall maintain close contact with the regional vice president and the executive vice president.14. Serves a two year term as Chapter President.

Section 2: The Vice PresidentI. Shall be elected by the chapter membership and is a member of the executive board.2. Shall act in the capacity of the president in the absence of the president, and shall perform otherduties as may be designated by the president.3. Shall be familiar with all of the duties of the president and other officers. 4. Shall have access to the chapter website to assist with uploading photos and job posting for the chapter.5. Serves a two year term as Chapter Vice-President.

Section 3: The Secretary I. Shall be elected by the chapter membership. 2. Shall attend all meetings of the chapter and the board of directors, is a member of the executive board.3. Shall be responsible for recording minutes of every meeting and maintaining a permanent record ofthose minutes. 4. Shall be the primary person to post all meeting info and posting of the Chapter Newsletter onto the chapter website.5. Shall be the custodian of the corporate seal and all related documents, certification documents andother permanent papers of the association, including all correspondence. 6. Shall keep a record of the current membership, send out notices of special meetings/events, keeps arecord of dues and certification levels and distributes reminder cards, as needed. 7. Shall send out a welcoming letter to new members to include: when meetings are, listing of the elected board and the committees within the membership.8. Introduces new and potential members at the monthly meetings to the membership.9. Reaches out to lapsed and non-active members, in attempt to keep them involved.10. Serves a two year term as the Chapter Secretary.

Section 4: The Treasurer1. Shall be elected by the chapter membership and is a member of the executive board.2. Shall be responsible for and keep full and accurate financial records for the chapter.3. Shall render to the president and the directors, at the meetings of the board or whenever theyrequire it, an account of chapter financial records.5. Shall be authorized to sign checks and is obliged to make a monthly financial reports to the membership at its meetings. 6. Shall make all deposits within two business days of receiving said funds and is responsible for holding all money in the name of the chapter.7. Shall release all financial records when so instructed by the board of directors of the chapter.8. Shall maintain close contact with the membership director of the national office.9. Make available up to date records for the Budgeting and Finance Committee for internal audit. 10. Serves a two year term as the Chapter Treasurer.

Section 5: The Sergeant-at-Arms l. Shall be appointed by the president one month after the new president is elected and is a member of the executive board.2. Shall be responsible for keeping order at all times at any gathering for the chapter.3. Shall be responsible for the care and safe keeping of the United States flag and the associationbanners, and shall be responsible for their display at all meetings and functions. -4. Shall be responsible for collecting and turning in to the treasurer all money collected during themeeting. This shall be done at the close of the meeting. No money or checks are to be held by the Sergeant-at-Arms after the meeting.5. Ensure that the meeting room is ready, be responsible for the banner and flag, and be in charge ofany voting and tabulation.6. Serves a two year term as the Chapter Sergeant-at-Arms.

~Article Six~Committees

WHAT IS EXPECTED OF A COMMITTEE CHAIRPERSON 1. Planning the committee meetings. Establishing or confirming objectives and methods by

which to accomplish those objectives.

2. Conducting committee meetings. The chair stimulates thinking and elicits participation while keeping the meeting on its agenda.

3. Making sure minutes are correct and up-to-date. Minutes are a part of the chapter‘s permanent record. They record the committee‘s decisions upon which other committees and staff act.

4. Report recommendation to the chapter board of directors and/or get started. Depending on the committee‘s charge, the chairperson is responsible for completing the task assigned to the committee.

5. Evaluation of committee‘s efforts is an important responsibility. The chair is to assess whether and to what extent the committee has achieved its goals; also, whether it’s continued commission is still viable for the Chapter and it’s needs.

Section 1: Certification Chairpersonl. Shall be appointed by the president.2. Shall forward certification applications to qualified candidates.3. Shall guide certification applicants through the process and be responsible, with thePresident, for the execution of the application with required documents making sure all are true and properly presented.4. Shall ensure that all information contained in the application is accompanied by appropriate documentation, such as photocopies of diplomas and letters verifying association. Notarized copies should be submitted if others are not available. 5. Maintain applications of members who have not yet attained required points and guide them inefforts to attain additional points.6. With the assistance of the chapter secretary, maintain copies of applications and documents keepingall such information in the strictest confidence.7. Place orders with the national office for certification applications and related material.8. Maintain close contact with the ACFEI staff at the national office and the national certification

chair.

Section2: Education Program Chairperson1. Shall be appointed by the president.2. Shall set up a year- long program calendar and arrange for presenters.3. Shall organize and manage the program portion of chapter meetings.4. Shall be responsible for pre-approval of programs by sending appropriate information on subjectand presenter{s) to the National Office in a timely manner to receive points for certified members. 5. Shall distribute and sign Continuing Education Unit approval sheets for recertification. 6. Shall set up and promote mandatory classes for certification and/or recertification with the localCollege’s, culinary schools or appropriate individuals these courses include sanitation, supervisory development and nutrition.7. Shall arrange for study teams to prepare for written examination for certification and advise the members regarding the place and protocol of the written examination.8. Maintain close contact with the ACFEI staff at the national office and staff at the Educational Institute of the national Restaurant Association.

Section 3: Junior Membership Chairperson1. Shall be appointed by the president.2. Shall appoint other members of the junior membership committee to help facilitate and monitor thejunior members.3. Shall guide the junior members and hold meetings at more convenient times for the junior members.4. Shall promote the apprenticeship STEP program when this program is in place.5. Shall maintain close contact with the ACFEI staff at the national office and the national apprenticeship office.

Section 4: Competition Chairperson l. Shall be appointed by the president.2. Shall guide interested members through the steps and types of competitions with one’s own knowledge.3.. Shall appoint others of the competition committee to assist in facilitating upcoming culinary competition’s.4. Coordinates all National correspondence for posting of competitions, obtaining needed amount of judges/ lead judges and completing necessary paperwork.5. Shall work closely in assisting host site with complete guidelines and responsibilities for the competition day.

Section 6: Chefs Move to Schools Chairperson1. Shall be appointed by the president. 2. Shall maintain close contact with the director of Chefs Move to Schools and Chef and Child at the national office.3. Shall make recommendations to the Executive Committee regarding specific projects for each year. No projects will be initiated without the express approval of the Executive Committee.4. Shall communicate and foster all relations within local community for the success and activity of this Committee.5. Announces any reports of happenings within the month to the membership at the monthly meeting.

Section 7: Elections Chairperson1. Committee shall be appointed by the president during the third week of August, every other year.This shall be a special committee and shall:

a.) Consist of three members, committee elects its chairperson withinb.)Select at least one candidate for each office, after conferring with this individual andhaving received his or her assurance of viability as a candidatec. ) Present the slate of candidates to the membership at the chapter’s October meeting.d.) Accept any nominations from the floor at this meeting, as long as the nominee is present andaccepts the nomination, or that the secretary has received in writing the acceptance of the nominee.e.) Conduct the election proceedings and shall provide voting to all paid members through an electronic ballot service. Said ballots shall be returned to the committee, through the ballot service, by the required date for announcement at the December meeting.

2. Expectations of Elected Officers and the Executive Board: Know the Federation‘s mission, purposes, goals, policies, programs, services, strengths and

needs. Maintain confidentiality of the Board‘s executive sessions and speak for the Board or

organization when authorized to do so. Maintain independence and objectivity, a sense of fairness, ethics, and personal integrity.

Prepare for and participate in Board and committee meetings, including appropriate organization activities.

Ask timely and substantive questions at Board and committee meetings consistent with their conscience and convictions, while supporting the majority decision on issues decided by the Board. Suggest agenda items periodically for Board and committee meetings to ensure that significant policy-related matters are addressed.

Serve the Federation as a whole rather than any special interest group or constituency. Avoid even the appearance of a conflict of interest that might embarrass the Board or the organization, and disclose any possible conflicts to the Board in a timely fashion.

Exercise prudence with the Board in the control and transfer of funds. Faithfully read and understand the organization‘s financial statements and otherwise help the Board fulfill its fiduciary responsibility. Maintain an efficient system of receipts and handling of chapter funds.

Section 8- Awards Chairperson 1. The Chairperson for the Award’s Committee, is the previous year’s ‘Chef of the Year’ Recipient.2. The members of the Award’s Committee are the previous year’s recipients of each category awarded.This shall be a special committee and shall:

a.) Select a candidate eligible for each award, after conferring with this individual andhaving received his or her assurance of viability as a candidate. If they do not feel they have a viable candidate that meets the requirements, a nominee for this category may be passed.b.) Recipients of the award may not be a candidate for the same award, for one year following.c.) Present the slate of candidates to the membership at the chapter’s October meeting.

d.) Accept any nominations from the floor at this meeting, as long as the nominee is present andaccepts the nomination, and the nominee meets all the criteria for the award.e.) Conduct the election proceedings and shall provide ballots to be mailed. Said ballots shall be returned to the committee by the last mail delivery prior to the December meeting.f.) Conduct the voting to all paid members through an electronic ballot service. Said ballots shall be returned to the committee, through the ballot service, by the required date for announcement at the December meeting.

2. Shall follow the following guidelines for Award NominationsA) Chef of the Year must meet the following:

Be an active member in good standing for the last calendar year Have served on or chaired a Committee . Have participated in a special event or program sponsored by the ACF or the local

chapter Have a 70% or greater attendance record at the general meetings in the last year,

He or she should demonstrate the highest culinary qualities and display leadership within the field and the chapter.

Meets the National description: "Chef of the Year Award recognizes an outstanding culinarian who works and cooks in a full-service dining facility. This person has demonstrated the highest standard of culinary skills, advanced the cuisine of America and given back to the profession through the development of students and apprentices."

B) Pastry Chef of the Year must meet the following: Be an active member in good standing for the last calendar year Have served on or chaired a Committee. Have participated in a special event or program sponsored by the ACF or the local

chapter Have a 70% or greater attendance record at the general meetings in the last year,

He or she should demonstrate the highest culinary qualities and display leadership within the field and the chapter.

Meets the National description: "Pastry Chef of the Year Award recognizes a pastry chef who has displayed a passion for the craft, has an accomplished reputation in the pastry field and has helped educate others by sharing skill and knowledge."

C) Chef Educator of the Year must meet the following: Be an active member in good standing for the last calendar year Have served on or chaired a Committee. Have participated in a special event or program sponsored by the ACF or the local

chapter Have a 70% or greater attendance record at the general meetings in the last year,

He or she should demonstrate the highest culinary qualities and display leadership within the field and the chapter.

He or she should demonstrate the highest culinary qualities and display leadership within the field and the chapter.

up-and-coming student who possesses a high degree ofprofessionalism, culinary skills, and passion for the culinary arts.

Section 9: Budget and Finance Chairpersonl. Shall be appointed by the president.2. Shall be responsible, in conjunction with the President and members of this committee, to prepare,review and recommend budget matters. 3. Shall be responsible, in conjunction with the President and members of this committee, to preparereview recommendations for general liability insurance.5. Shall periodically review (audit) the financial statements as presented by the Treasurer against the budget and suggest corrective action if necessary to stay on budget.

Section 10 - Academy of Chef Chairperson1. Shall be appointed by the president. 2. Shall maintain close contact with the Academy and report updates at each meeting.3. Shall guide eligible Academy applicants through the process and be responsiblefor the execution of the application with required documents making sure all are true and properly presented.

A) The American Academy of Chefs, which is an integral part of the American Culinary Federation, shall also be listed as an ACF-GLVPCA activity. This organization is governed by its own set of by-laws.

B) The American Academy of Chefs is the honor society of the American Culinary Federation. Members are chosen from applicants who are members of the ACF and are ACF certified who represent the highest standards and traditions of the culinary profession.

Section 11: Standing CommitteesStanding committees shall be: Executive, Awards, Certification, Competition, Education

Programs, Budget and Finance, Elections, Chefs Move to Schools, Academy of Chefs, and Junior Membership.

Section 12:Additional standing committees may be created if deemed necessary by the President.

Section 13:All standing committee chairs shall be appointed by the President after conferring with the executivecommittee.

Section 14:The President & Vice President shall be an ex-officio member of all committees except the Election Committee.

Section 15:Special committees may be formed by the President.

Section 16:All Chairs of standing committees will file minutes with the Secretary’s records.

Section 17:All chairs should submit a financial report to the Board with a written copy to the treasurer. All committee chairs should submit an annual budget to the Budget and Finance Committee each October.

Section 18:Chairs of all Committees are fully responsible for their organization, planning, standing and budgeting.

a. Any monies collected by committees must be turned over to the Treasurer within three (3)days of function’s end.b. In the absence of the Treasurer, the chain of responsibility for monies will be: President, Vice President and Secretary. These elected officers shall assume responsibility for allmonies to be delivered to the treasurer.c. All monies collected at monthly meetings shall follow the same procedure.

Section 19:a. In the event a project, event or committee program must be postponed, canceled orrescheduled, it must be voted upon by the executive board and the chair or co-chair of thatproject, event or committee program due cause must be shown to justify the change.b. The executive board reserves the right to question a committee on issues that would impede its stability.

Section 20:a. Approval from the executive committee must be granted in order for any Harrisburg

member to be an official spokesperson or representative of ACF for the purpose ofcommitting involvement or support of any kind from this chapter.

~Article Seven~Visitors

Any person may, upon invitation by a member in good standing, enjoy the privileges of the association as a visitor for all meetings in any calendar year. They must sign the visitor’s book.

~Article Eight~Amendment

The By-Laws may be initially approved or amended at any regular or special meeting by a majority vote of those members present and voting, provided 30 days prior written notice is given to the President by the By-Laws committee and such By-Laws or amendments are published and distributed to the chapter members.

~Article Nine~ Dissolution

Section 1:

The association shall not be dissolved while ten members in good standing are willing to abide by andsupport the By-Laws of this association.

Section 2:

ACF-Harrisburg may be dissolved by the affirmative vote of two thirds of all members in good standing aspecial meeting must be held for such a purpose with at least thirty (30) days notice in writing to all members.

Section 3:

In the event of the dissolution of ACF-Harrisburg, all funds remaining after payment of debts and obligations shall be disposed of in such a manner as may be directed by the executive board for educational purposes
