GENERAL TERMS AND CONDITIONS OF TENDER

Teletalk Bangladesh Limited (hereinafter referred to as "Teletalk") invites Restricted Tender proposals for Supply and Installation of Huawei data server virtualization. The following conditions shall compulsorily be applicable to all the bidders of this tender:1) Preparation of the Tender : The bidder shall bear all expenses for preparation &

submission of the tender and Teletalk shall not be held liable for any expenses, whatever be the result of the tender.

2) Amendment of the Tender : Teletalk may issue any amendment to this tender document, at its own discretion or requirement or in reply to any query from any bidder. All such amendment(s) (if any) will be informed, in writing, to all the bidders and such amendment(s) will be treated as integral part of the tender document.

3) Tender Submission : 3.1) The name and address of the bidder and the subject-matter of the proposal

shall have to be mentioned clearly on the envelope. The proposal should be one original and one copy of original in separate sealed envelope

3.2) Tenderers are solely and entirely responsible for pre-disclosure of Tender information if the envelope(s) are not properly sealed and marked

3.3) Any proposal submitted without duly filled up BoQ (Annexure-1), Commercial Specification (Annexure-2) and Declaration on observance of ethics (Annexure-3) shall be treated as “Substantially Non-Responsive”.

3.4) Any international organization not registered in Bangladesh must have a local representation/ counter-part. Such representation can be by either,a) Its own local office; orb) A separate local company owned by the main manufacturer/ supplier; orc) A local representative/ local agent

3.5) In such cases, the tender document will have to be purchased in the name of either local representation or foreign bidder and to be submitted in the name of foreign bidder.

3.6) In all of such cases, the copies of the deed of agreement / other relevant papers executed between the concerned foreign bidder and local counter-part organization shall also have to be submitted with the tender proposal.

4) Last date of submission of Tender Proposals : The tender proposals shall have to reach the address of this office on or before the last date and time of submission of tender, as mentioned in the tender notice/ schedule. Teletalk reserves the right to extend the date of receiving or opening the tender without showing any reason.

5) Late submission of Tender Proposals : No tender shall be accepted if submitted after the specified last date and time of submission. All late submissions shall be returned without opening.

6) Opening of Tender Proposals : The opening process of the tender proposals, submitted within the specified date and time (which may subsequently be extended in writing), will be as follows:6.1) The bids shall be opened by members of Tender Evaluation and Negotiation

Committee (TENC) on the date, time and place mentioned in the tender notice, or its amendment (if any).

6.2) A list, showing the total quoted price of submitted proposals and the documents submitted along with the proposal, shall be prepared as “Opening Statement”.

6.3) Bidder representative shall be duly authorized by the Tenderer or Bidder Representatives of bidders will be allowed to attend the opening process.

7) Scope of the Work :a. Supply and Installation of 4 nos of blade servers for existing Chassis Huawei

E9000.b. The bidder shall note that, the quantities mentioned for are tentative and

indicative only – it may vary by any degree during Negotiation and/or final work-order.

c. The bidder shall have to submit tender proposal for all of the Equipment/software.

8) Tender Proposal :8.1) Tender proposal must include the necessary documents as per the Tender

Schedule and duly & fully filled-up BoQ for the relevant items.8.2) Total price in the financial proposal of the tender shall have to be written both

in figure and in words. All price quotation (avoiding discount) shall be in BDT or USD.

8.3) The Tender proposals shall be on “Delivery up to Teletalk designated premises basis”. All quotations shall contain the payment of all types of duties, VAT and other taxes payable as per the government rule including insurance and transportation payable for the delivery and all prices will be treated as final.

8.4) No erasing, cutting or overwriting in the price quotation is desired. However, if any corrections are made, the bidder or his authorized representative shall have to place initial beside such corrections. If any difference is found in total price for any item in accordance to the relevant unit price, the unit price shall be considered as correct and final.

8.5) At the time of comparative evaluation of the proposals, the price of the alternate or optional offer shall not be taken into consideration.

8.6) The bidder or its authorized representative shall have to put its seal & sign in every pages of the financial and technical proposal.

9) Fluffiness of Technical Specification : Technical Specifications of Data Server Virtualization under this tender are stated in Chapter-2. Bidders have to submit a

complete technical specifications of the proposed hardware, software and related services in their bid proposal. In this regard, all necessary Brochures, catalogues etc. in Original/Copies shall be submitted by the bidder.

10) Requirement of Experience/Reputation : This is a Restricted Tender (RT) in nature in accordance with the procurement policy of the Teletalk. Only the existing equipment/software Suppliers, namely Huawei Technologies (Bangladesh) Limited or its legal subsidiaries/parents is allowed to participate in this Tender.

11) Tender Evaluation and Negotiation :11.1) An Evaluation and Negotiation Committee comprising of officials selected by

Teletalk shall evaluate all the submitted proposals and negotiate as deemed necessary.

11.2) During the said evaluation and negotiation, scrutiny would be made to see whether the submitted proposals have properly followed the specifications, other terms & conditions, cost effectiveness of the project, cost effectiveness of Operation and Maintenance and requirements mentioned in the schedule of this tender.

12) Validity of the Tender : The tender shall remain valid up to 90 (ninety) days from the date of opening. The bidder shall not withdraw its tender proposal within this period. The tender proposal shall remain valid, even after expiry of the said 90 (ninety) days period until it is withdrawn in writing.

13) Shipping Documents and Delivery: 13.1) The supplier shall deliver the Shipping Documents to TELETALK pertaining to

any consignment of imported equipment 13.2) 7 (seven) days prior to the arrival of the vessel at sea port (for the sea

transportation) and within 3 (three) days of the arrival of aircraft carrying each such consignment (for the air transportation).

a. 3 (three) originals and 3 (three) copies of commercial invoice.b. 3 (three) originals and 3 (three) copies of bill of lading/airway bill.c. 3 (three) originals and 3 (three) copies of packing lists.d. 1 (one) originals and 2 (two) copies of country of origin.

13.3) For the air transportation, the copies of above mentioned shipping documents shall be sent by fax within 1 (one) day or along with the aircraft carrying each such consignment.

13.4) In case of any delay in receipt of the Shipping Documents by TELETALK, supplier shall bear all consequences thereof including the demurrage and other costs directly attributable to such delay.

13.5) Each consignment shall include the following information:

13.6) The Equipment to be imported into Bangladesh shall be delivered in accordance with the CPT/CFR INCOTERM 2010 or latest version, subject to the following modifications of INCOTERM and additional conditions:

13.7) The risk of loss and/or damage to the equipment shall be applicable according to trade term.

13.8) Supplier shall bear the cost of unloading, loading and transportation to the site(s) of the equipment whenever and wherever is required.

13.9) During execution of the Works, both the parties shall ensure that Quantity of goods / equipment and services thereof do not exceed what have been included in the Bill of Quantity, or any adjustment agreed by both parties.

13.10)During the Project execution period, if any goods/equipment is found short shipped from the shipping documents, the shortage shall be adjusted by re-shipment of the short received item(s). The CD-VAT and other related cost incurred for the re-shipment shall be borne by the supplier.

13.11)The parties shall co-operate with each other in ensuring the most expeditious clearance of the equipment from the Custom. The supplier shall take delivery of the imported equipment from the port immediately after payment of the Custom duties and necessary fees and charges by TELETALK. Storage and transportation of the equipment shall be at the supplier risk and cost till PAC of equipment. Within 3 (three) months from the Completion Date, TELETALK shall be responsible for the storage of un-installed equipment & accessories.

13.12)Supplier will deliver the un-installed equipment and accessories to TELETALK designated warehouse/site(s) within 15 (fifteen) working days after expiry of 6 (six) months storage in supplier’s warehouse.

14) Import duties, Clearance, Permits and Customs Fees 14.1) TELETALK shall obtain all import permits, import clearance permits and

permits of custom as well as all other permits, licenses or privileges from the relevant authorities and pay all custom duties, taxes, surcharges and other charges to the relevant authorities applicable to the importation of the equipment and materials at the entry port under this tender to ensure clearance of each such consignment.

14.2) Suppliers Equipment may be on “import and re-export” basis for this Project, TELETALK shall assist in obtaining all necessary import permits and tax

exemption from the concerned authorities as per government rules.

15) Taxes and Levies

15.1) The supplier shall be entirely responsible for all taxes, stamp duties, license fees, and other such levies for all goods, materials and personnel to be imposed outside Bangladesh.

15.2) The imported project materials shall be subject to payment of Customs Duty (CD), Value Added Tax (VAT), Levies and any other taxes by TELETALK at customs clearance stage.

15.3) Tools, instruments and equipment imported for the Project on returnable basis may be allowed temporary importation facilities free of duty and taxes upon a request from the Administrative Ministry/Implementing Agency (TELETALK) to N.B.R. The administrative Ministry/Implementing Agency (TELETALK) will furnish such list of returnable article to N.B.R. for its approval.

15.4) The supplier shall be liable to pay all corporate, personnel taxes, withholding taxes as to be imposed under existing laws of Bangladesh. No exemption from such payment shall be entertained until such exemptions are already entitled under the existing laws of the country.

15.5) All Taxes, levies on the supplier or TELETALK shall be borne by either Party respectively in accordance with the applicable tax laws and/or regulations in the Territory.

15.6) In the event that a withholding tax or tax deduction is so required, TELETALK shall make the payment to the supplier net of the withholding tax or tax deduction, subject to the following requirements under this Section. TELETALK shall supply to the supplier evidence to the reasonable satisfaction of the supplier that the TELETALK has accounted to the appropriate governmental authorities for the tax withheld or deducted and shall provide all such assistance as may be requested by the supplier in recovering, or otherwise obtaining any benefits on account of, the tax withheld or deducted. In particular, LC issuing bank/TELETALK shall be responsible for obtaining a tax clearance certificate from appropriate governmental tax authorities and provide it to the supplier within 60 days after such taxes shall become due and payable.

16) Insurance:

16.1) TELETALK will obtain open cover marine insurance policy in amount equal to 110% of the C&F value of the goods from port of shipment up to the

installation sites against all risks for the total cost of equipment to be imported under this tender which will become the property of TELETALK.

16.2) The policy should such that in case of damage, short receipt or any other type of loss of equipment, the claim should be recoverable in the currency of the country of origin of equipment or any other freely convertible currency.

16.3) Supplier shall furnish a declaration of shipment containing full particulars of each consignment such as number of packages, description of cargo name of vessel sailing date, seaport of shipment, seaport of destination (For air freight: Flight No., Date, Port of Air Shipment & Destination) and the value of the consignment (C&F value) to the insurance company to be nominated by TELETALK so as to reach them within 14 (fourteen) days from the date of each shipment.

16.4) In case of delay the declaration of shipment shall be electronically communicated to the nominated insurance company who shall issue a specific insurance policy of certificate and forward it to TELETALK.

16.5) In case of any damage or short receipt of material, the report by the authorized surveyor of the insurance company shall be in consultation with representatives of both TELETALK and supplier. In case of supplier’s fault, the cost of repair of re-supply (including all relevant taxes) must be borne by the supplier.

17) Assignment and Sub-contracting: 17.1) Supplier shall not assign the work or any part thereof, or any benefit,

obligation or interest therein or thereunder (other than by an assignment or a charge in favour of supplier’ bankers of any money due or to become due to supplier) without the prior written consent of TELETALK.

17.2) Except where otherwise provided by supplier, supplier shall submit a list of the Sub-contractor to TELETALK when it is necessary to sublet the work. However such subletting shall not relieve supplier from any liability or obligation, and he shall be responsible for the acts, defaults and neglects of any sub-contractor, his agents, servants or workmen, provided always that the provision of labor on a piece work basis and procurement of miscellaneous materials shall not be deemed to be a subletting under this Clause. Should TELETALK have any comments or objections to the list of the sub-contractor provided by supplier, TELETALK shall inform supplier within 10 (ten) days on receipt of the said list. The said list shall be considered as approved and accepted by TELETALK if no notice is given by TELETALK to supplier within the said period.

18) Performance Guarantee: 18.1) The selected successful bidder shall have to deposit a Performance Guarantee

(PG) equivalent to 5% of the total work value in the form of Pay Order/Bank Guarantee, from any scheduled bank of Bangladesh, and in favour of “Teletalk

Bangladesh Limited”. In case of Bank Guarantee, the validity shall not be less than 6 (six) months (if required, the said validity should be extended for further periods). The original copy of Bank Guarantee shall have to be submitted, the photocopy shall not be acceptable under any circumstances.

18.2) Teletalk reserves the right to verify the authenticity of the said Bank Guarantee, if necessary. If the said Bank Guarantee is proved as not authentic at any time later on, Teletalk reserves the right to take any legal action against the supplier. The PG shall be returned, on written application for the same, to the supplier or its authorized representative, after issuance of the User Acceptance Certificate (UAC). The PG shall not be returned within the interim period, under any circumstances.

18.3) The Performance Security Deposit is subject to forfeiture under following conditions:a) Supplier fails to perform within the stipulated time.b) Supplier fails to maintain declaration of Code of Ethics (as per Annexure-3).

19) Process of Awarding : a. The “Notification of Award (NoA)” shall be issued for awarding work. b. Only after submission of its consent and the required Performance

Guarantee, Work/Purchase Order shall be issued.

20) Submission of Proforma Invoices (PI): Supplier shall have to submit 06 (six) copies of Proforma Invoice to Procurement Department within 7 (seven) days of receiving Work/Purchase Order

21) Time Limit for completion of work : The Supplier shall complete the supply of the items to be procured under this tender within items within 3 (three) months from the Date of opening L/C by Teletalk.

22) Fine for delays: 22.1) In case of failure of the supplier to complete the supply work within the time

limit mentioned in the work order, the delay fine shall be realized from the supplier against compensation at the rate of 0.5% (ZERO POINT FIVE PERCENT) of the price of the work order for each weeks of delay.

22.2) Maximum 05% (five percent) of total value of the work order shall be allowed to be deducted.

22.3) If the supply work is not completed after final extension, Teletalk shall have the authority to cancel the work order and no payment will be made for the work done Moreover, Teletalk reserves the right to forfeit the Performance Security Deposit.

22.4) If delay is caused for reasons of “Force Majeure”, no delay fine shall be deducted and if the supplier is unable to accomplish the supply work in time because of “Force Majeure”, the security deposit shall not be forfeited.

However, prior clearance of the “Force Majeure” shall have to be obtained from Teletalk by informing Teletalk in writing, with concerned proof, right after happening of the causes of “Force Majeure” or immediately after getting its forecast. Except prior approval, no issue shall be considered as the cause of “Force Majeure”.

23) Force Majeure:

23.1) “Force Majeure” shall mean any event beyond the reasonable control of TELETALK or of supplier, as the case may be, and which is unavoidable notwithstanding the reasonable care of the party affected, and which is unforeseeable by the affected Party and shall include, without limitation, the following:

a) war, hostilities or warlike operations (whether a state of war be declared or not), invasion, act of foreign enemy and civil war,

b) rebellion, revolution, insurrection, mutiny, usurpation of civil or military government, conspiracy, riot, civil commotion and terrorist acts,

c) confiscation, nationalization, mobilization, commandeering or requisition by or under the order of any government or de jure or de facto authority or ruler or any other act or failure to act of any local state or national government authority,

d) strike/hartal, sabotage, lockout, embargo, import restriction, port congestion, lack of usual means of public transportation and communication, industrial dispute, shipwreck, shortage or restriction of power supply, epidemics, quarantine and plague,

e) earthquake, landslide, volcanic activity, fire, flood or inundation, tidal wave, typhoon or cyclone, hurricane, storm, lightning, or other inclement weather condition, nuclear and pressure waves or other natural or physical disaster, Shortage of labor, materials or utilities where caused by circumstances that are themselves Force Majeure.

23.2) If either party is prevented, hindered or delayed from or in performing any of its obligations under the tender by an event of Force Majeure, then it shall notify the other in writing of the occurrence of such event and the circumstances thereof within fourteen (14) days after the occurrence of such event.

23.3) The party who has given such notice shall be excused from the performance or punctual performance of its obligations under the tender for so long as the relevant event of Force Majeure continues and to the extent that such party’s performance is prevented, hindered or delayed. The Time for Completion shall be extended.

23.4) The party or parties affected by the event of Force Majeure shall use

reasonable efforts to mitigate the effect thereof upon its or their performance of the tender and to fulfill its or their obligations under the tender, but without prejudice to either party’s right to terminate the Work under relevant Clause(s).

23.5) No delay or non-performance by either party hereto caused by the occurrence of any event of Force Majeure shall give rise to any claim for damages or additional cost or expense occasioned thereby

23.6) if and to the extent that such delay or nonperformance is caused by the occurrence of an event of Force Majeure.

23.7) If the performance of the supplier is substantially prevented, hindered or delayed for a single period of more than sixty (60) days or an aggregate period of more than one hundred and twenty (120) days on account of one or more events of Force Majeure during the currency of the total work, the parties will attempt to develop a mutually satisfactory solution, failing which either party may terminate the Work by giving a notice to the other.

23.8) In the event of termination pursuant to relevant Clause(s), the rights and obligations of TELETALK and supplier shall be:a) supplier shall either immediately or upon the date specified in the notice

of terminationb) cease all further work, except for such work as TELETALK may specify in

the notice of termination for the sole purpose of protecting that part of the Works already executed, or any work required to leave the Site in a clean and safe condition

c) terminate all subcontracts, except those to be assigned to TELETALK pursuant to paragraph (d) (ii) below

d) Remove all supplier’s Equipment from the Site, repatriate supplier’s and its Subcontractors’ personnel from the Site, remove from the Site any wreckage, rubbish and debris of any kind, and leave the whole of the Site in a clean and safe condition.

In addition, supplier shalli.) deliver to TELETALK the parts of the Works executed by supplier up to the

date of terminationii.) to the extent legally possible, assign to TELETALK all right, title and benefit

of supplier to the Works and to the Plant and Equipment as of the date of termination, and, as may be required by TELETALK, in any subcontracts concluded between supplier and its Subcontractors

iii.) deliver to TELETALK all non-proprietary drawings, specifications and other documents prepared by supplier or its Subcontractors as at the date of termination in connection with the Works.

24) Warranty of supplied equipment’s : The Supplier shall have to submit written 3 (three) years support warranty certificate with tender proposal on the following issues:

24.1) The warranty tenure will be counted from the date of issuance of User Acceptance Certificate (UAC). During the Warranty period, if any deterioration is found more than as estimated, then the Supplier will be bound to fix the issue at its own cost. Any defective equipment supplied, Supplier shall have to replace at no additional cost to Teletalk, including all incidental cost like transport costs, etc. the upgrades, new releases (Minor/Major) versions; bug fixes etc. for the hardware and system software will be supplied to Teletalk at no extra cost, with necessary documentation during warranty period. Otherwise, Teletalk will take necessary action against the Supplier including blacklisting it at Teletalk forever.

24.2) The original copy of the above mentioned warranty certificate shall have to be submitted with the tender proposal of the supplier.

25) Completion of User acceptance test of the installed Equipment and issuance of related certificates: 25.1) After full completion of the work, the supplier shall inform in writing to Teletalk

to start UAT. A team consisting of the representatives of Teletalk shall start conducting User Acceptance Test (UAT) of all concerned works. The UAT activities shall include, among others, verification of quality of works & services, compliance to specifications, drawing and designs, performance of the system, functionality of the solution etc. After the end of UAT, a UAT report shall be submitted by the said team. If the report recommends the concerned solution to be acceptable, a User Acceptance Certificate (UAC) for the said solution shall be issued to the supplier by Teletalk.

25.2) During conduction of the said UAT if any defect or fault is observed, then the supplier shall be compelled to rectify the problem fully, at its own cost.

25.3) For the sake of conducting UAT, one UAT manual shall be prepared by the supplier and the manual shall subsequently be approved by Teletalk with necessary modification (if any). No UAT shall be done without prior approval of the manual.

26) Payment of bills : The supplier’s request(s) for payment shall be made to TELETALK in writing, accompanied by 2 (two) copies of invoice describing the Equipment delivered and/or Services performed pursuant to the paragraphs below and upon fulfillment of other obligations stipulated in the tender document. All payment shall be made in USD/BDT through an irrevocable Letter of Credit (L/C) opened by TELETALK Mode of payment shall be made as follows:

26.1) Upon submission of invoice along with relevant shipping document by the supplier, 30% (thirty percent) of the amount of shipped equipment shall be paid.

26.2) Upon submission of invoice along with UAC to be issued by TELETALK, 70% (seventy percent) of the amount of shipped equipment shall be paid.

27) Applicable Law: The laws, rules and regulations of Bangladesh having jurisdiction over the project shall govern with the same force and effect as if written herein. Where such laws, rules and regulations conflict with the tender, the relevant laws, rules and regulations of Bangladesh shall prevail.

28) Cancellation of Tender: In case of any deviation to any or many clauses of this document, the Managing Director of Teletalk Bangladesh Limited shall have the right to cancel the tender process either partially or fully.

29) Work Termination Authority: Teletalk reserves the right to cancel the work with 30 (thirty) days prior notice without assigning any reason thereof.

30) Settlement of Disputes and Arbitration : TELETALK and the supplier shall make every effort to resolve amicably by direct informal negotiation any disagreement or dispute to be arisen between them under or in connection with tender document. If those efforts are ineffective, the dispute resolution mechanism to be applied shall be as follows:a) During the period of suspension, supplier shall not remove from the Site any Plant

and Equipment, any part of the Works or any supplier’s Equipment, without the prior written consent of TELETALK.

b) The dispute shall be referred to arbitrators, one each to be nominated by TELETALK and the supplier, or

c) In the case of disagreement between the arbitrators, an umpire shall be appointed by the arbitrators.

d) The decision of the arbitrators or the umpire shall confirm to the provisions of Arbitration Act. 2001, the statutory enactment governing Arbitration or like may be in force in Bangladesh at the time.

e) The assessment of costs incidental to the reference and award respectively shall be at the discretion of the arbitrators. Project implementation under the tender shall continue during the arbitration proceedings. The venue of the arbitration shall be Dhaka in Bangladesh.

Chapter-2Technical Specifications

Teletalk is looking for comprehensive and effective application for all Education Boards Result Data Management with Backup solution. The purpose of this assignment is to provide wider guidelines to design and implement a robust system. The system is expected to ensure sharing of digital information, improve e-services accessibility, facilitate and

interoperability under the service area for this job provided by Teletalk and Education Boards. This system needs to be robust, scalable, flexible and unified to establish an effective and fully functional for Result Data Management from every desired level of user. General BackgroundTeletalk Bangladesh has been providing all education board’s JSC, SSC, HSC result publication service since 2009. Considering the success of doing this job the education ministry and all the education board has decided to make Teletalk the sole agency to publish all the board result and to do its management along with the archiving of the total database. As the sole entity of this entire work, Teletalk is responsible to maintain a database containing data since 1995 and will have to be responsible till 2028. Teletalk reserves the right to provide different API’s to the different Corporates/ Organizations like; Universities, BPSC, Foreign Ministry, Embassies and others as a paid service. On the other hand the direct user’s like Students will get the services free of cost. Teletalk has to establish the entire system including the data management, infrastructure, application development, ensuring connectivity between the systems and many more.

SCOPE OF WORKThe Vendor is responsible to develop and Implement including infrastructure a comprehensive all Education Boards Results Data Management among the citizens of Bangladesh and different corporates for efficient management.

1. General Requirements 1.1 Vendor shall supply a complete and end to end Server including required HW, SW,

implementation and professional services to be implemented.

1.2 Vendor shall be the single point of contact for all the purchases, including HW, SW, and services related to this project.

1.3 Proposed H/W must be the latest released product in that point of time by the vendor. End of Service (EoS) must be at least minimum 07 (seven) years for both hardware and software. During EoS period, if support agreement is done, vendor will be able to give full hardware and software support.

1.4 Teletalk will provide necessary Rack/Chasis for Blade and Rack server.

1.5 Vendor has to provide a details solution architecture diagram.

1.6 Estimated Power usage for hardware must be submitted in a separate table. It should include – total wattage, heat dissipation rating and maximum input power required.

1.7 License documents: Vendor has to provide original license documents for all applicable items.

3. ImplementationImplementation3.1 Vendor shall supply a complete and end to end Server, Storage Expansion and virtual

solution including required HW, SW, implementation and professional services to be implemented. Teletalk will provide Chasis for Blade Server and Rack for Rack mounted server.

3.2 If any hardware/software is required to implement the solution but not mentioned in specification vendor will mention it in BoQ. But after getting awarded any hardware/software required will be supplied by the vendor with free of cost.
