InthisAgreementthefollowingdefinitionsareused:"Agreement"meansthesetermsandconditionsandincludestheUsageRestrictionsassetoutintheAnnex.ThePrivacyNoticealsoappliestotherelationshipbetweenus,butdoesnotformpartoftheAgreement;
“Authentication”:aprocedurewhichallowsWirecardtoverifyyouridentityorthevalidityoftheuseoftheWirecardCard,includingtheuseoftheCardholder’spersonalisedsecuritycredentials.
“Authenticationelements”meansknowledgeelement(somethingonlytheuserknows,e.g.password),possessionelement(somethingonlytheuserpossesses,e.g.mobiledevice)orinherenceelement(somethingtheuseris,e.g.fingerprint);
"Balance"meansthemoneyavailableinyourWirecardAccount;
"BusinessDay"meansanyday(otherthanaSaturdayorSunday),until7p.m.,onwhichbanksinMadrid,Spainareopenfornormalbankingbusiness;
"ContactMethods"meansthemethodsbywhichyoumaycontactusthroughDenizenCustomerSupport:

Thisisthephonenumberyoucallforallqueries,actionsandcomplaintsregardingyourWirecardAccountorWirecardCard.ItisavailableonanyBusinessDayfrom9:00to15:00(Germantime).CallsintheUSAwillbefreeofanyadditionalchargesbutyourtelephonecompany’snetworkaccessmaychargeyou.
IfyouareworriedaboutthesecurityofyourWirecardAccountorWirecardCard,youwillneedtofollowtheinstructionsinsection10;
"Denizen"means,forthepurposeofthisAgreement,DenizenGlobalFinancial,S.A.U.,acompanyregisteredinSpain,withcompanynumberA83439893andregisteredaddressatPlazaSantaBárbara1,28004,Madrid,Spain;
"DenizenApp"meansthemobilephoneapplicationofferedbyDenizenandDenizenFinancialInc.,acompanyregisteredinDelaware,withTaxID82-0634718,givingaccesstotheDenizenService;
"DenizenService"meanstheserviceprovidedtoyoubyDenizenandDenizenFinancialInc.,includingtheDenizenAppassetoutinthe"UserAgreementfortheDenizenService",acopyofwhichcanbefoundthroughyourDenizenApp;
“DenizenUnderlyingAccount”meansthebankaccountsthatyoumayopenthroughtheDenizenServiceindifferentjurisdictionsanddifferentcurrencies,otherthanyourWirecardAccount,providedthatyouareeligibletoopenthem,andwhicharelinkedtoyourDenizenApp.
“EEA”meanstheEuropeanEconomicAreawhichatthetimethisAgreementisconcludedconsistsofallmemberstatesoftheEuropeanUnion,Iceland,Liechtenstein,andNorway.
“Merchant”meansanybusinessorpersonacceptingMastercardasapaymentmethod;
"P2PTransaction"meansatransactioninvolvingthetransferof
fundsbetweenyourWirecardAccountandtheWirecardAccountofanotheruser,whereyouareeitherinitiatingtheP2PTransactionandpayingfundsoutofyourWirecardAccount,oryouarethebeneficiaryoftheP2PTransactionandreceivingfundsintoyourWirecardAccount;
"PrivacyNotice"meansWirecard’sprivacynoticewhich,togetherwiththisAgreement,describesthebasisuponwhichanypersonaldatawecollectfromyou,orthatyouprovidetous,willbeprocessed,handledandsharedbyus,asmaybeamendedfromtimetotimeinaccordancewithitstermsandasfurtherexplainedanddefinedinsection17ofthisAgreement;
"RedemptionRequest"meansarequestfromyoutoredeemyourBalanceinaccordancewithsection13ofthisAgreement;
"Transaction"meansanytransactionwhichcanbeexecutedfromyourWirecardAccountorbyusingyourWirecardCard;
"UsageRestrictions"meanstheusagerestrictionsapplicabletoyourWirecardAccountandWirecardCardfromtimetotimewhichformpartofthisAgreement.TheUsageRestrictionsapplyingatanytimecanbefoundthroughyourDenizenApp;
"User","you"or"your"meansthepersonwhoisidentifiedashavingappliedforandopenedtheWirecardAccountuponregistrationwiththeDenizenServicethroughprovisionofyourfullname,dateandplaceofbirth,residentialaddress,nationality,e-mailaddressandtaxidentificationandpassportnumber;
"Wirecard","we","us"or"our"meansWirecardBankAG,acompanyregisteredinGermanywithcompanynumberHRB161178withAmtsgerichtMünchenandauthorizedbytheFederalFinancialSupervisoryAuthority(BaFin).Wirecard'sregisteredofficeisatEinsteinring35,85609Aschheim,GermanyandregisteredwiththeBankofSpain(BancodeEspaña)asacreditentitywhichprovidesservicesinSpainwithoutpermanentestablishmentundersection39ofDirective2013/36/EUoftheEuropeanParliamentandoftheCouncilof26June2013onaccesstotheactivityofcreditinstitutionsandtheprudentialsupervisionofcreditinstitutionsandinvestmentfirms,amendingDirective2002/87/ECandrepealingDirectives2006/48/ECand2006/49/EC;
"WirecardAccount"meansanaccountdenominatedinEuro,openedthroughtheDenizenServiceandcreatedbyWirecardin
yournamewhichaccountislinkedtoyourDenizenApp,andtowhichaccountyourWirecardCard,ifprovided,islinked;and
“WirecardCard”meansthedebitMastercardwhichisissuedtoyoubyWirecardandwhich,ifprovided,islinkedtoyourWirecardAccount,aspartoftheDenizenService.
ApplyingforyourWirecardAccountandWirecardCardToapplyforyourWirecardAccountandyourWirecardCard,youmustbeatleast18yearsoldandhavesuccessfullyappliedfortheDenizenService,includinghavingdownloadedtheDenizenApp.Additionally,toapplyforyourWirecardCardyoumustbearesidentoftheEuropeanUnion.Duringtheapplicationprocess,youwillbeaskedto:
agreethatDenizenand/orDenizenFinancialInc.mayprovideuswithyourpersonaldetails(includingyourfullname,dateandplaceofbirth,residentialaddress,nationality,e-mailaddressandtaxidentificationandpassportnumber)sothatwemayverifyyouridentity;and
readandacceptthesetermsandconditions.
Ifyoudonotcompleteeitherofthestepssetoutin(a)to(b)above,youcannotcompletetheWirecardAccountandWirecardCardapplicationprocess.
WereservetherighttorefuseyourapplicationfortheWirecardAccountand/ortheWirecardCard.Reasonsforrefusingyourapplicationmightbeinteralia–withoutlimitingourrightsforrefusal–regulatory,AntiRiskorAntiMoneyLaunderinglimitations.Wedonotassumetheobligationtoinformyouabouttheparticularreasonsforrefusingifwerefuseyourapplication.
WhenenteringintothisAgreement,youconsentthat
Wirecard,actingdirectlyorthroughDenizenorDenizenFinancialInc.,maycollectallyourpersonaldetails,documentsandevidenceasrequiredtofullyidentifyyouaswellastorunalltheapplicableAntiMoneyLaunderingchecksinaccordancewiththeDirective(EU)2015/849oftheEuropeanParliamentandoftheCouncilof20May2015onthepreventionoftheuseofthefinancialsystemforthepurposesofmoneylaunderingorterroristfinancing,andanyotherapplicableinternationalandlocalregulationsinforcefromtimetotimeduringthetermofthisAgreement.
YouwillbeinformedthroughtheDenizenAppwhenyourWirecardAccounthasbeensuccessfullyopenedandisreadytouse.ThisalsoappliesincaseofasuccessfulapplicationfortheWirecardCard.
If,withinfourteen(14)calendardaysafterthenotificationprovidedintheprevioussubsection1.4,youwouldliketocanceltheDenizenService(whichimpliescancellationofyourWirecardCardandyourWirecardaccount),youmustnotifyusthroughtheContactMethodswithnoneedtoexplainthereasonswhyyouwishtocanceltheDenizenService.Shouldyouexercisethisrightofwithdrawalwewillnotchargeyouforthecancellation.IfyourWirecardAccountisincredit,wewillreturnyouthemoneybymeansofwire-transferlessthetransferapplicablefees,assoonaswearepermittedtodoso(andnormallywithinfive(5)BusinessDaysafteryouhavecontactedusinrelationtoyourterminationofthisAgreement).
However,therightofwithdrawalprovidedheretoshallnotapplywhereanycurrencyconversionorexecutionofapaymentorderhastakenplaceuponyourinstructionsunderthisAgreement.
ConsentsgrantedtoWirecardintherenderingoftheDenizenServiceByacceptingthisAgreement,andsubjecttothetermsstatedhereinandintheUserAgreementfortheDenizenService:
1. YougrantusconsentandauthorizationtoprovidetoDenizenandDenizenFinancial,Inc.,eveninrealtime,informationrelatedtoyourWirecardAccount,includinganyupdatedBalancefromtimetotime,aswellasinformationonanychange,update,payment,top-up,transfer,refundoranyothertransactionrelatedtoyourWirecardAccount,totheextentnecessarytotheadequateperformanceoftheDenizenService.Thecommunicationofthereferredinformationshallbemadebyusinasecuremanner,incompliancewiththeminimumstandardsenvisagedundertheapplicablelaw.
2. IncaseyouorderDenizenorDenizenFinancialInc.toinitiateapaymentfromtheWirecardAccounttoanyotheraccount,yougrantusconsentandauthorizationtoacceptthepaymentinitiationservicecarriedoutbyDenizenonyourbehalfinordertorealizetherequestedpaymentandtocarryoutthepaymentinitiatedthroughthisprocess,totheextentnecessarytotheadequateperformanceoftheDenizenServicepayment.ForthispurposesweshallcommunicatesecurelywithDenizenandDenizenFinancialInc.,incompliancewiththeminimumstandardsenvisagedundertheapplicablelaw.
3. Furthertotheabove,youadditionallygrantusconsentandauthorizationtoprovidetoDenizenandDenizenFinancialInc.yourinformationorpersonaldata(forexample,inordertoidentifyanytransactionrelatedtoyourWirecardAccount),totheextentnecessarytotheadequateperformanceoftheDenizenService,asdescribedinthisAgreement.
WirecardCardSubjecttosection1,wewillissuetoyouaMastercarddebitcardundertheWirecardlicense.YoumayusetheWirecardCardsubjecttothetermsandconditionsprovidedhereunder.
WirecardAccountWewillopenabankaccountinyournameatWirecarddenominatedinEuroandprovideyouwiththerelevantGermanIBANandthecorrespondentBIC.
ThepurposeoftheWirecardAccountistooperatetheDenizenService.ThereforeyouwillnotearnanyinterestonyourBalance.YoumaycreditanddebittheWirecardAccountasprovidedhereunder.
LoadingyourWirecardAccountSubjecttothesatisfactorycompletionofanyrequiredidentityandotherchecks,youcanloadyourWirecardAccountasdescribedinthissection.
TheBalanceonyourWirecardAccountcannotexceedanylimitsspecifiedintheUsageRestrictions.
DetailedinstructionsonhowtoloadyourWirecardAccountaresetoutintheDenizenApp.YoumayloadyourWirecardAccountby:
makingapaymentfromabankaccountusingtheIBANdisplayedintheDenizenApp,or
makingapaymentfromadebitorcreditcardasenabledintheDenizenApp,or
makingapaymentthroughDenizenServicefromyourDenizenUnderlyingAccountintheDenizenApp.
FundsloadedinthiswaywillbecreditedtoyourWirecardAccountwithoutdelayafterthereceiptoffundsbyus.
FundsmayalsobeloadedintoyourWirecardAccountifyouarethebeneficiaryofaP2P
Transaction.FundspaidtoyouthroughaP2PTransactionwillbecreditedtoyourWirecardAccountimmediately.
Wereservetherighttorefusetoacceptanyparticularloadtransactionortodisableanyparticularloadingmethodwithoutnoticeintheinterestsofpreventingfraud,moneylaunderingoranyothercriminalactivity.Ifso,wewillmakeallreasonableendeavorstopromptlyinformyouinthisregard.
TransactionswithyourWirecardAccountandWirecardCardWirecardshallmeetitsobligationsarisingfromthisAgreementbyenteringthecreditsanddebits(e.g.frombanktransfers,directdebits,paymentsinandout,withdrawalsusingtheWirecardCard)intheWirecardAccountadministeredasarunningaccountandbyissuingaperiodicbalancestatementfortheWirecardAccountasoftheendofacalendarquarter.
Inadditiontotheperiodicbalancestatements,youshall,onceeverymonth,receiveforyourWirecardAccountanotification(statementofaccount)concerningthetransactions,ifany,conductedontheWirecardAccount.Issuanceofperiodicbalancestatementsandnotificationofthetransactionsconductedshallbebroughtaboutbypostingtheperiodicbalancestatementsandthestatementsofaccountinpaperformtoyourpostaladdressand,whentechnicallyavailable,throughtheDenizenApp.
InthecaseofatransferbetweenWirecardaccounts,thetransfershallbedeemedperformedoncethebeneficiary'sbankaccounthasbeencredited,the
remitter'sidentitydetailsandauthenticationelementsasagreedwithWirecardhavebeenprovidedandthepaymenthavebeenreceived.TheUsermayonlycommissionWirecardtoexecuteSEPAtransfers.ThroughaSEPAtransfer,monetaryamountsinEurocanbetransferredelectronicallytothepaymentserviceproviderofthepayeewithintheSEPAregioninfavorofapayee.Theexecutionofothertypesoftransfers(e.g.foreigntransfersincurrenciesotherthanEuro)iscurrentlynotpossible.Expresstransfersarecurrentlynotpossible.
InorderforyoutobedeemedtohavegivenyourconsenttotheSEPAtransfersordered,youwillneedtopresentallthenecessaryelementsforcustomer’sauthentication(enhancedornotasapplicable).Inparticular,youwillneedtoregisterintheDenizenAppusingyourpersonalisedsecuritycredentialsandintroduceyourPINcodeorfingerprintscannertomakethespecifictransfer.WhenorderingSEPAtransferstotrustedbeneficiariesincludedinalistpreviouslycreatedbyyou,itmaynotbenecessarytoenterthePINcodeorfingerprintscanner.Wheninitiatingallsubsequentpaymenttransactionsincludedintheseriesofpaymenttransactionscreatedbyyou,itmaynotbenecessarytoenterthePINcodeorfingerprintscanner.WhereyouinitiateaSEPAtransferbetweenbankaccountsheldbyyouinWirecard,itmaynotbenecessarytoenterthePINcodeorfingerprintscanner.
TheWirecardCardmaybeusedformakingcashlesspaymentsandmakingwithdrawalsatATMs.Eachtransactionmustbeauthorisedbyyou.Wirecardwilltreatthetransactionsatthepointofsaleasauthorisedbyyouif:
yourWirecardCardistappedagainstaContactless-enabledreaderandacceptedbysuchreaderorbysigningasalesvoucher;yourWirecardCardPINorothersecuritycodepersonaltoyouisused.
WhenusingyourWirecardCardatpointofsaleterminals,itispossibletodispensewithenteringthePINforpaymentoftrafficfeesorparkingfeesatunattendedpointofsaleterminals.
Forsmallamounts,itmaynotbenecessarytoenteraPINorsignareceipt.
Inthecaseofe-commercetransactions,Wirecardwilltreatthetransactionsasauthorisedbyyouifyouusetheseparatelyagreedauthenticationelementsonrequest.Authenticationelementsare
-knowledgeelements(somethingyouknow,e.g.onlinepassword),
-possessionelements(somethingyouown,e.g.mobileterminalequipmentforgeneratingorreceivingone-timetransactionnumbers(TANs)aspossessionelement)or
-inherenceelements(somethingyouare,e.g.fingerprint).
Inorderforyoutobedeemedtohavegivenyourconsentassetoutintheforegoingpoints,youwillneedtopresentallthenecessaryelementsforcustomer’sauthentication(enhancedornotasapplicable):
inon-sitepayments:bypresentingtheWirecardCreditCardandenteringthePINcodeorsigningareceipt,whereapplicable,orinpaymentswithoutphysicalpresence:alternatively,byenteringtheWirecardCreditCarddetailsandtheOneTimePasswordSMS;byenteringtheWirecardCreditCarddetailstogetherwithaPINnumberpreviouslyestablishedbyyou;orbyenteringtheWirecardCreditCarddetailstogetherwithafingerprintscanningdependingontheauthenticationmethodagreedwithWirecard.
WewilldeductthevalueofyourTransactionsfromtheBalanceonyourWirecardAccount.
Subjecttotheremainderofthissubsection6.6,youcanwithdraworrevokeyourauthorizationforaTransactionatanytimebyusingoneoftheContact
Methodsuntilwehavereceivedyourauthorization.YourauthorizationforaTransactionmaynotbewithdrawn(orrevoked)byyouonceitisreceivedbyus.Wewilltypicallyreceiveyourauthorizationfor:
P2PTransactionsandSEPAtransfersatthetimewereceivetheinstructionmadethroughtheDenizenApp.Thiswillbealmostinstantaneousanditisunlikelyyouwillbeabletowithdrawyourauthorizationforthetransactionbeforethistime.
RedemptionRequests,atthetimewereceivetherequestfromyouinaccordancewithsection13.2ofthisAgreement.
WirecardCardtransactions,whenWirecardreceivesthepaymentorderfromtheMerchant’spaymentservicesprovider.
Youraccountshallnotbedebitedbeforewereceivethepaymentorder.
IfthetimeofreceiptisnotonaBusinessDay,thepaymentordershallbedeemedtohavebeenreceivedonthefollowingBusinessDay.
Subjecttosection7ofthisAgreement,whereaSEPAtransferoraloadTransaction:
istobemadeinEurowhollywithintheEEAornationallyinthecurrencyofaMemberStateoutsidetheeuroareawewillensurethatthepaymentiscreditedtoyourWirecardAccountbytheendoftheBusinessDayfollowingthepaymentinitiation;
istobemadewhollywithintheEEAbutinanothercurrencythanEuro,wewillensurethatthepaymentiscreditedtoyourWirecardAccountbytheendofthefourthBusinessDayfollowingthepaymentinitiation.
WhenpayingwithyourWirecardCard,thepaymentorderisdeemedtobereceivedbyusonthenext
BusinessDay,ifthedateonwhichthepaymentismadeisnotaBusinessDay,orifwereceiveapaymentorderafter4p.m.onaBusinessDay.Afterwehavereceivedyourpaymentorder,wewillensurethatthepayee’spaymentserviceproviderreceivestheamountwithinone(1)BusinessDayforpaymentprocesseswithintheEEAinEurooranotherEEAcurrency.WewillcompletepaymentprocessesoutsidetheEEAandpaymentprocessesincurrenciesotherthantheEurooranEEAcurrencyassoonaspossibleafterreceiptofthepaymentorder.
RestrictingAccessand/orRefusingTransactionsFromYourWirecardAccountorWirecardCardWemay,atanytime,suspendorrestrictaccesstoyourWirecardAccountortoblockyourWirecardCardforreasonsrelatingtothefollowing:
weareconcernedaboutthesecurityofyourWirecardAccountorWirecardCard;or
wesuspectyourWirecardAccountorWirecardCardisbeingusedinanunauthorized,illegalorfraudulentmanner;or
weneedtodosotocomplywiththelawofanyjurisdiction;or
ifthecontractbetweenyouandus(oryourcontractfortheDenizenService)hasbeenterminatedasfurtherdescribedinsection16.
Unlessinformingyouwouldcompromisereasonablesecuritymeasuresorotherwisebeunlawful,wherepracticalwewillinformyoubyphoneoremail,givingourreasons,beforesuspendingorrestrictingaccess
toyourWirecardAccountorWirecardCard.Ifitisnotpracticaltoinformyouinadvanceandunlessdoingsowouldcompromisereasonablesecuritymeasuresorotherwisebeunlawful,wewillinformyouimmediatelyafterwards,givingourreasons.
WewillallowyoutorecoveraccesstoyourWirecardAccountorunblockyourWirecardCard,replacingitwithanewWirecardCardwhereapplicable,assoonasreasonablypracticalafterthereasonsforsuspendinguseceasetoexistandwillinformyoubyphoneoremailatthistime.
Theforegoingiswithoutprejudicetoyourrighttorequesttheunblockinginsuchcircumstances.Theunblockingofthepaymentinstrumentoritsreplacementbyanewoneshallbecarriedoutatnocosttoyouwhereyouarenotresponsibleforthereasonsdeterminingtheapplicationoftherestrictions.
WemayrefusetocarryoutaTransactionif:
asaresultofsuchTransactiononeormoreofthelimitssetoutintheUsageRestrictionswillbeexceeded;or
theBalanceinyourWirecardAccountorthebalanceavailablethroughtheDenizenServiceatthetimeofaTransactionisinsufficienttocovertheamountoftheTransaction;or
wereasonablybelievethatyouareactinginbreachofthisAgreement;or
wereasonablybelievethataTransactionispotentiallysuspiciousorillegal;or
weareunabletocarryouttheTransactionduetoerrors,failures(whethermechanicalorotherwise)orrefusalscausedbypaymentprocessorsorotherthirdpartieswhoare
processingTransactions.
IfwerefusetocarryoutaTransaction,unlessinformingyouwouldcompromisereasonablesecuritymeasuresorbeotherwiseunlawful,wewillinformyouattheearliestopportunityandinanyeventbytheendoftheBusinessDayfollowingthedaywehavereceivedtheTransactionrequest.WewillalsoinformyouwithanerrormessageintheDenizenApp.YoucancontactususinganyoftheContactMethodstoaskforourreasonsforrefusingtocarryoutaspecificTransactionandforanexplanationofhowyoucancorrectanyinformationweholdthatledtoourrefusaltoapproveaTransaction.
YoumaycorrectanyinformationweholdandwhichmayhavecausedustorefuseaTransactionbycontactingusviaanyContactMethod.
PropertyandValidityoftheWirecardCardTheWirecardCardremainsourproperty.Itisnottransferableanditisvaliduntiltheexpirationdateprintedonthecard.Wewillsendyouanewcardingoodtimebeforetheexpirationdate.
However,whenanewWirecardCardisissuednolaterthantheexpirationdateofthecard’svalidityperiod,Wirecardhastherighttorequestthattheoldcardbereturnedtoit.IfauthorizationtousetheWirecardCardendsbeforethisdate(e.g.becausethecardagreementisended),youmustimmediatelyreturnyourWirecardCardtous.
WirecardreservestherighttoreplacetheWirecardCardwithanewcardduringthevalidityperiodofthecard;youwillnotincuranycostasaresultofthis.
YoumaycancelyourWirecardCardbynotifyingandreturningittous.UponWirecardCard’scancellation,expirationorinvalidationforwhateverreason,forsecurityreasonsyoumustcutitintoseveralpiecesandthroughthemagneticstripeandanychip.
KeepingYourWirecardAccountandWirecardCardSecureYoushouldtreatyourWirecardAccountandWirecardCard,fromthemomentofitsreception,andanyrelevantsecurityinformationwiththesamelevelofcareanddiligenceasiftheywerecash,andyouagreenottodisclosethemtoanythirdpartyexcepttoaMerchantinthecourseofmakingaTransaction,orallowthemtobeusedbyathirdparty.Inthisregard,youshalltakeallreasonablestepstoprotectyourauthenticationelements.
Toprotecttheindividualauthenticationelementsforonlinepayments,youmustpayparticularattentiontothefollowing:
knowledgeelements,suchastheonlinepassword,shallbekeptsecret;inparticular,theymaynotbe
-communicatedorally(e.g.bytelephoneorinperson),-passedonintextform(e.g.bye-mailorMessengerservice)outsideofonlinepaymenttransactions,-storedunsecuredelectronically(e.g.bye-mailorMessengerservice)writtendownonadeviceorkeptasacopytogetherwithadevicewhichservesasapossessionelement(e.g.mobileterminal)orforcheckingtheinherenceelement(e.g.mobileterminalwithapplicationforcreditcardpaymentandfingerprintsensor).

terminal(e.g.mobilephone),-ensurethatotherpersonscannotusetheDenizenApporanyotherapplicationwhereyouhaveintridcedyourWirecardCard(e.g.cardapp,authenticationapp)onthemobileterminal(e.g.mobilephone),
-theapplicationforonlinepaymenttransactions(e.g.cardapp,authenticationapp)onyourmobileterminalmustbedeactivatedbeforeyougiveuppossessionofthatmobileterminal(e.g.bysellingordisposingofthemobiletelephone);and
-possessionelements(e.g.TAN)maynotbepassedonorally(e.g.bytelephone)orintextform(e.g.bye-mail,messengerservice)outsidetheonlinepaymentprocesses.
Inherenceelements,suchasyourfingerprint,mayonlybeusedasanauthenticationelementonyourmobileterminalforonlinepaymenttransactionsifnootherperson'sinherenceelementsarestoredonthemobileterminal.Ifthemobileterminalusedforonlinepaymenttransactionsstorestheinherenceelementsofotherpersons,theknowledgeelementissuedbyWirecard(e.g.onlinepassword)shallbeusedforonlinepaymenttransactionsandnottheinherenceelementstoredonthemobileterminal.
Ifyouareprovidedwithdetailsofthepaymenttransaction(e.g.thenameofthecontractingcompanyandtheamountdrawnon)duringe-commercepaymenttransactions,youmustcheckthesedetailsforcorrectness.
IfyoususpectthatanybodyhaslearnedyourWirecardAccountand/orWirecardCarddetailsand/oryourrelevantsecurityinformationoranyauthenticationelement,pleasefollowtheinstructionssetoutinsection10below.NotethatifanybodyaccessesyourWirecardAccountorusesyourWirecardCardforTransactionsandyouhavefailedtonotifyusthatyourWirecardAccountdetailsand/orWirecardCarddetailshavebeencompromised,youmaylosesomeorallofyourBalanceinthesamewayasifyoulostcashinyourwalletorpurse.
WehavetherighttodisableanyusernameorpasswordrelevanttoyourWirecardAccountwhetherchosenbyyouorallocatedbyus,atanytime,ifinourreasonableopinionyouhavefailedtocomplywithanyoftheprovisionsofthisAgreement.
WerecommendthatyouchecktheTransactionhistoryinthestatementsprovidedthroughtheDenizenApp.WewillprovideyouthroughtheDenizenAppwithamonthlystatementoftheTransactionscarriedoutduringsuchperiodandyoumaywishtokeepascreenshotofthatstatementforyourrecords.Yourstatementwillshow:
identifyinginformationrelatingtoeachTransaction;
theamountofeachTransactionshowninthecurrencyinwhichthatTransactionwaspaidordebitedtotheWirecardAccountorWirecardCard;
theexchangerate(ifany)whichappliedtoeachTransaction;
whereapplicable,theamountofeachTransactionfollowingacurrencyconversion(ifany);and
foreachTransaction,thedateonwhichyourauthorizationwasreceivedbyusasdescribedinsection6.6ofthesetermsandconditions.
ReportingSecurityBreaches,UnauthorizedorIncorrectlyExecutedTransactions,andBlockingyourWirecardAccountorWirecardCardYoumustsigntheplasticcardinthesignaturefieldimmediatelyafterreceipt.Thecarddataandtheplasticcardmustbekeptsafeinordertopreventlossormisuse.Youmustensurethatnootherperson
obtainsknowledgeofyourPINandpasswordoranyauthenticationelement.
IfyouknoworsuspectthatyourWirecardAccountdetailsorWirecardCarddetailsoranyotherrelevantsecurityinformationorauthenticationelementsisknowntoanunauthorizedperson,youmustinformusimmediatelybycontactingusthroughtheContactMethods.
IfyouthinkaTransactionnotauthorizedbyyouhasbeenmadeorthataTransactionhasbeenincorrectlyexecuted,youmustcontactusthroughtheContactMethodsimmediatelysothatwecanblockyourWirecardAccountorWirecardCard.YoucanalsoblockyourWirecardAccountorWirecardCardthroughtheDenizenApp.WemayaskyoutocompleteadeclarationformandreturnittoDenizenorDenizenFinancialInc.promptly.
LOST,STOLENORDAMAGEDCARDSIntheeventofloss,theft,fraud,themisappropriationoftheWirecardCardtnePINortheagreedauthenticationelementsoranydeviceinwhichtheWirecardCarddetailsoryourcredentialstoaccessyourWirecardAccountortheDenizenAppareincluded,oranyothereventthatresultsintheriskofunauthoriseduseoftheWirecardCardoryourWirecardAccount,youmustcontactusthroughtheContactMethodsimmediatelysothatwecanblockyourWirecardAccountorWirecardCard.YoucanalsoblockyourWirecardAccountorWirecardCardthroughtheDenizenApp.WemayaskyoutocompleteadeclarationformandreturnittoDenizenorDenizenFinancialInc.promptly.Inthiscontext,weshallensurethatappropriatemeansareavailableatalltimestoenableyouasthecardholdertomake
suchnotificationfreeofcharge.
Providedthatyouhavefollowedoneofthestepsinaccordancewithparagraph11.1andthatparagraph11.3doesnotapply,youwillnotbeliableforlossesthattakeplaceafteryouhavelockedyourWirecardCardorWirecardAccountorinformedCustomerServicestodoso.
Ifwecanprovethatyouhaveactedfraudulentlyorwithgrossnegligenceorintent:(i)infailingtonotifyuswithunduedelayonbecomingawareofthelost,stolen,misappropriationorunauthoriseduseoftheWirecardCardorWirecardAccountorthePINortheagreedauthenticationelements;or(ii)whereyouhavefailedtoreasonablykeepyourWirecardCardorWirecardAccount,thePINortheagreedauthenticationelementsrelatedtotheWirecardCardorWirecardAccountsafeaccordingtothisagreementoranyothersecurityobligationinformedbyus,thenyoushallbeliableforallresultinglosses,exceptinthefollowingcases:
1. incaseswhereenhancedcustomer’sauthenticationisnotrequiredfortheuseoftheWirecardCardorWirecardAccount,youshallonlybearthepossibleeconomicconsequencesintheeventyouhaveactedfraudulently;
2. youshallonlybearthefinancialconsequencesfortheuseoftheWirecardCardorWirecardAccount,afternotificationoflossortheft,intheeventyouhaveactedfraudulently.
Inanyevent,youshallbeexemptfromallliabilityintheeventoftheft,misplacementormisappropriationoftheWirecardCardwherethetransactionswerecarriedoutinanon-presentmannerusingonlythepaymentdetailsprintedontheWirecardCarditself,providedthattherewasnofraudorgrossnegligenceonyourpartinthefulfilmentofyourcustodialobligationsoftheWirecardCardandauthentication
elementsandthatyouhadnotifiedthiscircumstancewithoutdelay.
Subjectto11.2,youmaybeliableuptoamaximumof50EURforanylossesincurredasaresultofunauthorisedpaymenttransactionscarriedoutusingyourWirecardCardorWirecardAccountpriortoyoulockingoryourequestingustolockyourWirecardCardorWirecardAccountwheretheWirecardCardorWirecardAccountortheirPINorotheragreedauthenticationelementshasbeenlostorstolen,orwhereyouhavefailedtokeepsuchauthenticationelementssafefrommisappropriation.
Thepreviousparagraphshallnotapplyif:
1. theloss,theftormisappropriationoftheWirecardCardorPINortheagreedauthenticationelementswasnotdetectabletoyoupriortoapayment,exceptwhereyouhaveactedfraudulently;or
2. thelosswascausedbyactsorlackofactionofanemployee,agentorbranchofWirecard,Denizen,DenizenFinancialInc.,orofanentitytowhichitsactivitieswereoutsourced.
Forthepurposesofthisclause,wewillconsiderthatyouactedfraudulently,deliberatelyorwithgrossnegligencewithrespecttothesecuritymeasuressetforthinsection9abovewhere(i)someoneelseusedtheWirecardCardanditsPINwithyouragreement;(ii)youhavedisclosedyourPINtosomeoneelse;or(iii)youhavefailedtoimmediatelynotifyasecuritybreachassoonasyouhavebecomeawareofit.
RefundingTransactionsProvidedthatyouhavetimelynotifiedusinaccordancewithsubsections10.2or10.3,asapplicable,ofanyunauthorizedorincorrectlyexecutedTransactionwithoutdelayandatthevery
latestwithin13monthsofthedebitdate,youmaybeentitledtoarefundofsuchTransactionamountinaccordancewiththefollowingprovisions.The13-month-periodshallonlycommence,ifwehavenotifiedyouofthedebitentryresultingfromthetransactionviatherelevantcommunicationchannelagreeduponfortransactioninformationatthelatestwithinonemonthofthedebitentry.Otherwise,theperiodshallbeginonthedayofnotification.Youmayalsoraiseclaimsaftertheendoftheperiodstatedinsentence1ifyouwereunabletomeetthedeadlinethroughnofault.
Refundintheeventofanunauthorizedcardtransaction.IntheeventofanunauthorizedWirecardCardtransaction,wedonothavetherighttoclaimrefundsofourexpensesandweareobligedtorefundthetransactionamounttoyouwithoutdelayandinfull.Inthecaseofanunauthorisedpaymenttransaction,weshallrefundtoyourWirecardAccounttheamountoftheunauthorisedpaymenttransactionimmediately,andinanyeventnolaterthanbytheendofthefollowingBusinessDay,afternotingorbeingnotifiedofthetransaction,exceptwherewehavereasonablegroundsforsuspectingfraudandcommunicatesthosegroundstotherelevantnationalauthorityinwriting.IftheamounthasbeendebitedfromyourWirecardAccount,wewillensurethatthebalanceofyourWirecardAccountisrestoredtothepositionitwouldhavebeenhadtheunauthorizedtransactionnotoccurred.ThisshallalsoensurethatthecreditvaluedatefortheWirecardAccountshallbenolaterthanthedatetheamounthadbeendebited.
Wherethepaymenttransactionisinitiatedthroughapaymentinitiationserviceprovider,weshallrefundimmediately,andinanyeventnolaterthanbythe
endofthefollowingBusinessDaytheamountoftheunauthorisedpaymenttransactionand,whereapplicable,restoretheWirecardAccounttothestateinwhichitwouldhavebeenhadtheunauthorisedpaymenttransactionnottakenplace.
Refundintheeventofanon-executedorincorrectlyexecutedauthorizedtransaction.WhereyouhaveorderedaTransactionpursuanttothisAgreement,wewillbeliableforthecorrectexecutionofsuchTransaction.IfyouarethebeneficiaryofanyTransactionorderedbyathirdpartyunderthisAgreement,wewillbeliabletoyouaslongaswehavereceivedtherelevantamount.Intheeventofanon-executedorincorrectlyexecutedTransaction,weshall,withoutunduedelay,refundtoyoutheamountofthenon-executedordefectivepaymenttransactionand,whereapplicable,restoretheWirecardAccounttothestateinwhichitwouldhavebeenhadtheincorrectlyexecutedTransactionnottakenplace.
ClaimsfordamagesbyyoubasedonanunauthorizedTransactionoranon-executedorincorrectlyexecutedauthorizedTransaction.Intheeventofanon-executedorincorrectlyexecutedTransaction,inadditiontotheremediesprovidedinsubsection12.3above,weshallbeliabletoyouforanychargesforwhichyouareresponsible,andforanyinteresttowhichyoumaybesubjectasaconsequenceofnon-executionoranincorrectlyexecutedTransaction.
Timelimitforraisingclaimsundersubsections11.2through11.4.Youarenotentitledtoanyclaimagainstusundersubsections12.2through12.4,ifyouhavefailedtoinformusassetoutinsubsection12.1,orifsubsection12.6applies.
Anyofyourclaimsagainstussetforthinsubsections
12.2through12.4areexcluded,ifthereasonsgivingrisetotheclaimareeitherbasedonanunusualorunforeseeableeventbeyondourinfluenceandtheconsequencesofwhichcouldnothavebeenavoidedbyusdespiteexercisingduecare,orwerecausedbyusduetoalegalobligationwithwhichwemustcomply.
RedeemingFundsinYourWirecardAccountYoucanredeemfundsheldinyourWirecardAccountatanytimeinwholeorinpart,bymakingatransfertoanyotherSEPAaccountinyourname.Todoso,pleasefollowtheinstructionsintheDenizenApporcontactususinganyoftheContactMethods,requestingredemptionandindicatingtheamounttoberedeemed.
InordertoprocessyourRedemptionRequest,wemayaskyoutoprovideuswithdocuments,evidenceandotherinformationtoverifyyouridentitytoenableustocomplywithapplicablelegalandregulatoryrequirements.
ForeignCurrencyConversionIfyouusetheWirecardCardforTransactionswhicharenotinEuro,theWirecardAccountwillneverthelessbedebitedinEuro.TheexchangerateforforeigncurrencytransactionsshallbedeterminedbyMastercardbasedonexistingmarketconditionsatthetimeoftheTransactionsettlement.Wedrawyourattentiontothefactthattheforexmarketmaybevolatileandthattheexchangeratesmaychangequickly.Therefore,itmaybehardtoaccuratelyestimatetheapplicableexchangerateinadvance.
ChargesandFeesWewillnotchargeyouafeeforyourWirecardAccountoryourWirecardCard,butyoumaybechargedafeebyDenizenorDenizenFinancialIncforyouruseoftheDenizenService.
IncaseweintroducefeesforyourWirecardAccountoryourWirecardCard,wewillnotifyyouinwriting(e.g.byemailorviaonlineaccountaccess)nolaterthantwomonthsbeforetheytakeeffect.Yourconsentisdeemedtohavebeengivenifyoufailtoraiseanyobjectionsbeforetheproposedeffectivedateofthechanges.Wewillspecificallyinformyouaboutyourdeemedconsentinournoticetoyou.
Incaseweintroduceanyfeesorchangeourfees,youhavetherighttoterminatethisAgreementimmediatelyandfreeofchargebeforetheproposeddatewhenthechangestakeeffect.Wewillspecificallyinformyouaboutthisterminationrightinournoticetoyou.
ATMcashwithdrawalmaybesubjecttoATMfeeschargedbytheownerofanATM.WewilldebityourWirecardAccountwiththefeesappliedbytheowneroftheATM.WithrespecttocashwithdrawalsfromATMslocatedinSpain,theamountofsuchfeeswillbedisplayedpriortothewithdrawalpursuanttotheSpanishapplicablelaw.
YouwillnotbechargedwiththeinformationcostsrelatedwiththeprovisionofservicesunderthisAgreement.
TerminatingyourWirecardAccountorWirecardCard
ThetermofthisAgreementwillcontinueuntiltheAgreementisterminatedinaccordancewiththissection.
YouhavetherighttoterminatethisAgreementatanytimebyusinganyoftheContactMethods.Section15.3shallremainunaffected.Weshallcomplywiththeordertoterminatetheframeworkcontractwithin24hoursofreceiptofyourrequest.
TerminationofthisAgreementisfreeofchargeforyouexceptwhereithasbeeninforceforlessthan6months.Charges,ifany,forterminationofthisAgreementshallbeappropriateandinlinewithcosts.
WemayterminatethisAgreementwithimmediateeffectbygivingwrittennotice,ifyouareinbreachofamaterialclauseofthisAgreement,including:
ifyourepeatedlybreachthisAgreementandfailtoresolvethebreachtooursatisfactioninatimelymanner;
ifyouactinamannerthatisthreateningorabusivetoourstafforanyoneactingonourbehalf;or
intheeventofyourdeathorincapacity.
WemayterminatethisAgreementforanyreasonbygivingyouatleasttwo(2)monthswrittennotice.
IfyouterminatetheagreementapplyingtoyouruseoftheDenizenService,thiswillalsobedeemedaterminationofthisAgreementsothatyouruseofyourWirecardAccountandWirecardCard,ifprovided,willterminateinaccordancewiththeterminationoftheDenizenService.
WemayalsoterminatethisAgreementwith
immediateeffectand/orsuspendyourWirecardAccountand/orWirecardCardimmediately,ifwebelieveyourWirecardAccountand/orWirecardCardisdeliberatelybeingusedbyyouoranyoneelsetocommitfraudorforotherillegalpurposes.Inthiscase,wewillnotifyyouassoonaswearepermittedtodosoandyoumuststopusingyourWirecardAccountand/orWirecardCardimmediatelyuponsuchnotice.
IfthisAgreementisterminated,assoonaswearepermittedtodoso(andnormallywithinfive(5)BusinessDaysafteryouhavecontactedusinrelationtoyourterminationofthisAgreement),wewillreturnanyBalanceremainingonyourWirecardAccountafterthedeductionofallpendingtransactions(alsotoyourDenizenUnderlyingAccount)ormadewithyourWirecardCard,ifprovided.Pleasenotethatinordertocomplywithapplicablelegalandregulatoryrequirements,includinganti-moneylaunderingandterroristfinancingrequirements,wemayneedtoverifyyouridentitypriortopayinganyBalancetoyou.
AfterterminationofthisAgreement,youwillnotbeentitledtoarefundofmoneyyouhavealreadyspentontransactionsauthorizedorpendingbeforetheAgreementwasterminated.
ChangesToThisAgreementWereservetherighttoamendthisAgreementatanytime.Wewilltakeintoaccountyourinterestsaffectedbytheintendedchangesandwillonlymakechangesthatweconsidertobereasonable.ChangestoexchangerateswilltakeeffectimmediatelywheretheymoveinyourfavororwheretheyresultfromachangetothereferencerateofMastercardfromtimetotime.Forallotherchanges,wewillgiveyouatleasttwo(2)months'priorwrittennoticeviae-mailordirectlywithinyourDenizenAppofanyintended
changetothesetermsandconditionsandwewillprovideyouwithanewversionofthisAgreement.Ifyoudonotagreewiththeproposednewterms,youmustnotifyusviaoneoftheContactMethodsbeforethenewtermstakeeffect,otherwiseyouwillbedeemedtohaveacceptedthenewtermsofthisAgreement.
UsageRestrictionsUsageRestrictionsapplyingfromtimetotimewillbenotifiedtoyouthroughtheDenizenApprequiringyoutoacceptthem.
YourInformationYouconfirmthatanyinformationyouprovideuswith,orwhichDenizenorDenizenFinancialInc.providestousonyourbehalf,istrue,accurateandup-to-date.Youagreetoinformusofanychangestoyourpersonaldetailswithoutdelay.YoumayalsoupdateyourresidentialaddressandemailaddressbyfollowingtheinstructionswithinyourDenizenApp.IfwecontactyouinrelationtoyourWirecardAccountorWirecardCard,wewillusethemostrecentcontactdetailsyouhaveprovidedtous.
DataProtectionandhowweuseyourinformationThepersonaldatathatyouprovidetous,orwhichDenizenorDenizenFinancialInc.providestousonyourbehalf(including,withoutlimitation,anemailaddressandanysecurityinformation),willbeprocessedbyWirecardinaccordancewiththisAgreementandourPrivacyNotice.PleasereadthePrivacyNoticecarefullyasitprovidesinformationabouthowweuse,share,storeandprocessyourpersonalinformation.ByusingyourWirecardAccountorWirecardCardyouconsenttoWirecardprocessingsuchinformationinthisway.
Ifwesuspectthatwehavebeengivenfalseor
inaccurateinformation,wemayrecordoursuspiciontogetherwithanyotherrelevantinformation.
LanguageoftheAgreementThelanguageforthisAgreementandanycommunicationswithyouduringthetermofthisAgreementwillbemadeinSpanish.
AssignmentWemayassignourrightsandobligationsunderthisAgreementtoanothercompanyatanytime,ongivingyoutwo(2)months'priorwrittennotice.Ifwedothis,yourrightsunderthisAgreementwillnotbeaffected.
Youmaynotassigntoanyoneelseanyoftherights,obligationsorinterestscreatedinthisAgreement.
DepositProtectionFundScopeofprotection.WirecardisamemberoftheDepositProtectionFundoftheAssociationofGermanBanks(EinlagensicherungsfondsdesBundesverbandesdeutscherBankene.V.).Inaccordancewithitsby-laws–subjecttotheexceptionsprovidedfortherein–theDepositProtectionFundprotectsdeposits,i.e.creditbalanceswhichresultfromfundsleftinanaccountorfromtemporarysituationsderivingfrombankingtransactionsandwhichWirecardisrequiredtorepayundertheconditionsapplicable.Notprotectedare,interalia,depositsformingpartofWirecard’sownfunds,liabilitiesfrombearerandorderbonds,aswellasdepositsofcreditinstitutionswithinthemeaningofArticle4(1),point(1)ofRegulation(EU)No.575/2013,financialinstitutionswithinthemeaningofArticle4(1),point(26)ofRegulation(EU)No.

ValidityoftheBy-lawsoftheDepositProtectionFund.Furtherdetailsofprotectionarecontainedinsection6oftheBy-lawsoftheDepositProtectionFund,whichareavailableonrequest.

EntireAgreementandSeveranceTheWirecardAccountandtheWirecardCardareregulatedsolelybythisAgreement.AnapplicensefortheDenizenAppandthetermsandconditionsfortheDenizenServicemayapplyinaddition.Incaseofadiscrepancyamonganyofthesedocuments,
thisAgreementshallprevailwithrespecttoyourWirecardAccountandyourWirecardCard.
IfanycourtorcompetentauthorityfindsthatanyprovisioninthisAgreement(oranypartofanyprovision)isinvalid,illegalorunenforceable,thatprovision(orpart)shall,totheextentrequired,bedeemedtobedeleted,andthevalidityandenforceabilityoftheotherprovisionsofthisAgreementshallnotbeaffected.
GoverningLawandJurisdictionThisAgreementisgovernedbySpanishlawandissubjecttotheexclusivejurisdictionoftheSpanishCourts.Inparticular,thisAgreementissubjecttotheprovisionssetforthbySpanishRoyalDecree-Law19/2018of23NovemberonpaymentservicesandotherurgentfinancialmeasuresandtheSpanishMinisterialOrderEHA/1608/2010,ofJune14,ontransparencyofconditionsandinformationrequirementsforpaymentservices,anditsdevelopingregulations.

WhenyouenterintoabankaccountagreementwithWirecardBankAG("Wirecard")withrespecttotheDenizenService,Wirecardcollectspersonaldataaboutyou.YouprovidedthispersonaldatatoDenizenGlobalFinancial,S.A.U.("DenizenSA")orDenizenFinancialInc.,theprovidersoftheDenizenService,andDenizenSAorDenizenFinancialInc.forwardsittoWirecard.ThepersonaldataincludesinformationforyourDenizenServiceaccount(fullname,dateofbirth,address,e-mailaddress,telephonenumber,taxidentificationnumber),yourpassport(fullname,number,expirationdate,picture,dateandplaceofbirth,dateofissue,nationality,gender)andanycredit/debitcardyoulinkthroughtheapp(primaryaccountnumber[PAN],verificationcode[CVC],expirationdate).Wirecardreviewsandusesthisinformationtosatisfycomplianceobligations(e.g.know-your-customerchecks,anti-moneylaundering,counteringthefinancingofterrorism)andtoestablishandcarryoutthebankaccountrelationshipwithyou.

Ifyouwishtoaccess,correct,updateorrequestdeletionofyourpersonaldata,ortoobjecttotheprocessingofyourpersonaldata,askustorestricttheprocessingofyourpersonaldataorrequestportabilityofyourpersonaldata,youcandosoatanytimebycontactingusonthee-mailaddresssupport@denizen.io.Ifwehaveobtainedyourconsentforprocessingyourdata,thenyoucanwithdrawyourconsentatanytimeviathesamee-mailaddress.Withdrawingyourconsentwillnotaffectthelawfulnessofanyprocessingweconductedpriortoyourwithdrawal,norwillitaffectprocessingofyourpersonaldataconductedinrelianceonlegalbasisotherthanconsent.Youhavetherighttocomplaintoadataprotectionsupervisoryauthorityaboutourprocessingofyourpersonaldata.
