About Yacht Share Mediterranean

Yacht Share Mediterranean Pty Ltd (YSM) trading as YSMGlobal is an Australian owned Yacht Syndication purchase and management company.

We currently have a successful Hanse 575 syndicate operating in the Mediterranean out of Turkey and are now looking to open up syndicates operating in the Whitsundays/Pittwater in Queensland/NSW Australia.

The Syndicate - YSMAUSASTREA42-01YSM is looking for expressions of interest in the formation of a Syndicate for ownership of a brand new Fountaine Pajot Astrea 42 catamaran. The Astrea 42 has heaps of performance yet is easily sailed short-handed.

This yacht will be ordered when the syndicate is 80% filled and it is planned to be ready for use in Airlie Beach/Pittwater/Sydney 12 to 16 months after order.The yacht is a “Maestro” 3 cabin version with a very high level specification to cater for all your needs. (See attached Annexure A)

Price of Syndicate Ownership of Astrea 42YSM have calculated a price for an Astrea 42 as detailed in the attached specification from Multihull Solutions plus extra non-factory items, with the Yacht being commissioned on the Gold Coast, Mooloolaba or in Sydney.It is intended to base the yacht in the Whitsundays May to September and in Sydney/Pittwater October to March to take advantage of the premium weather and cruising destinatiions in Australia. Ownership interests in the syndicate are be priced as follows:

The price for a 1/10th share is from AUD$139,500* for the recommended configuration*The final price will be subject to the final agreed specifications and subject to factory prices rises, exchange rates and other factors.

Value Statement per 1/10 ownership

Why is it better to own a share in a Syndicate than to charter a similar boat (age and specification) for the same period of time (4 weeks) each year.The following figures compare the daily usage cost for 7 days each year of a Astrea 42 (or similar) over the 3 year life of the syndicate assuming a 10% per annum depreciation on the capital cost and an estimated AUD$15,000 per share annual expenses.

Ownership Structure

This syndicate has a maximum ten ownership units on offer. The yacht is Queensland or NSW registered and legal title is via a syndicate agreement in which there are multiple tenants in common. The yacht may also be registered as an Australian ship if desired, or if it is intended to sail outside Australian waters.

An owner may purchase more than one unit. The term of the Syndicate Agreement is three years less 1 day, at the end of which the yacht is sold with the proceeds split amongst the owners, or the syndicate agreement is extended.

An owner may offer his or her unit(s) for sale at any time.Our syndicated yachts are not offered for charter at any time.The syndicate has a contract with Yacht Share Mediterranean Pty Ltd for the management of the yacht.

Sailing at Your Leisure

13 days plus standby days usage is allocated to each share when the vessel is in Sydney/Pittwa-ter and 2 weeks are allocated to each share when the vessel is in the Witsundays, with Whitsun-day bookings covering a minimum of one week at a time allowing decent usage of the boat. Each stay is expected to start on a particular evening with check out by 0900 on he following same day eg Check-in Monday 1600 with Check-out the following Monday at 0900. (Days to be confirmed).Owners may vote to base the yacht in different ports each year.

8 weeks per year will be allocated to major servicing, slipping and antifouling and and deliveries from Whitsundays to Pittwater and reverse in which it is hoped that some of the syndicate members will participate.

How the syndicate works

Service, Maintenance and Repairs

Our partners in the Whitsundays and Pittwater/Sydney will look after the boat and be responsible for turnaounds and maintenance. All of the expenses incurred in the service and maintenance of the yacht are billed at cost to the owners in Australian Dollars via YSM.

These costs include:• Berthing of the vessel in a full service marina• Comprehensive Insurance for the vessel• Cleaning of the vessel after use• Annual slipping• Annual antifouling and hull polishing• Engine services – as required• Sail-drive/leg service – one per year• Regular engine check-ups including top-ups on oil, batteries, water, etc• Vessel maintenance at approved facilitiesNote – repairs requested outside of the home base may attract a charge for the owner requestingthe repair• Laundry service at turnaround• Underwater hull scrubs – two per year• Travel and accommodation for technical maintenance supervisor to ports other than he homebase for the purposes of carrying out the maintenance works.

Actual maintenance fees are charged at cost to each unit holder – plus related bank charges.

Management Fees are charged in Australian dollars quarterly in advance to each unit holder.

Management fees include but are not limited to:• Administration• Accounting and reporting• Invoicing and receipting for all maintenance and management fees• Management Support• Management of the use of the vessel in accordance with the syndicate agreement and rule book• Coordination of all maintenance activities for the vessel• Coordination of vessel readiness for each unit holder• Coordination of vessel return by each unit holder• Coordination of delivery of the vessel to alternative cruising areas• Assistance with pre-departure planning• Assistance with itinerary changes during the cruise as requested• Annual inspection of the vessel
