A process of an enzymatic interesterification in a low water content condition, which comprises subjecting a reaction liquid containing (a) a fat or oil and (b) a member selected from the group consisting of(i) another fat or oil, (ii) a fatty acid ester with a lower alcohol and (iii) a fatty acid to the action of a lipase in the form of dried Rhizopus cells while maintaining the water con- centration between 5 and 1000 ppm in the reac- tion liquid during the reaction.
