THE UND ALUMNI ASSOCIATION AND FOUNDATION FOSTERS CONNECTIONS,INSPIRES GENEROSITY, AND ADVANCES THE UNIVERSITY OF NORTH DAKOTA. THEORGANIZATION SUPPORTS UNIVERSITY OF NORTH DAKOTA STUDENTS, FACULTY,ALUMNI AND THE GREATER COMMUNITY BY PROVIDING RESOURCES FOR GROWTH AND

University of North Dakota Foundation (the "Corporation"), a North Dakota nonprofit

corporation incorporated under North Dakota Century Code Chapter 10-33, acting through its

Secretary, hereby files these Articles of Amendment amending and restating its Articles of

Incorporation by replacing and superseding its original Articles of Incorporation and any

amendments thereto in their entirety with the following:

ARTICLE I

Name

The name of the Corporation is UND Alumni Association and Foundation.

ARTICLE II

Purposes and Activities

The Corporation is organized and shall be operated exclusively for charitable , scientific,

literary and educational purposes within the meaning of Sections 170(c)(2), 501(c)(3) and

2055(a) of the Internal Revenue Code of 1986, as amended ("the Code"), for the benefit of the

University of North Dakota. Within the limitations established by the preceding sentence, the

Corporation is organized and shall be operated primarily:

educational activities and to give and grant scholarships and make student loans to such persons

as the Board of Directors, at their discretion, may determine, without limitation;

(b) to provide for and make faculty awards at the discretion of the Board of Directors;

(c) to cooperate with and aid any other corporations, societies, or associations

organized and conducted exclusively for charitable, scientific, literary or educational purposes to

the end of promoting the mental, moral, physical and social improvement of those who may be

benefitted thereby, such corporations, societies or associations to qualify as exempt organizations

under the Code;

(d) to further education, and educational and scientific research;

(e) to receive, hold, administer and disburse any monies, securities, real estate or

other property which may be transferred to the corporation by gift, devise, bequest or otherwise,

for any of the uses or purposes herein set forth , and to invest, conserve , use and disburse such

monies, securities, real estate or other property, and the income derived therefrom, in accordance

with the requests or directions of the donor or donors thereof which are not inconsistent with the

purposes of this corporation, and, if no requests, directions, limitations or conditions be

expressed with reference to same, then to use and dispose of them exclusively for the uses and

purposes specified herein in accordance with the discretion of the Board of Directors;

(f) to conduct and participate in public relations projects which are important for the

development of the University of North Dakota;

(g) to encourage the alumni of the University of North Dakota, its friends and patrons,

to recognize, support and contribute to the purposes and objectives of this Corporation;

(h) to promote and cement friendships and goodwill among graduates and former

students of the University of North Dakota, to foster educational advantages of the University of

North Dakota and high ideals of education and citizenship among its students , and to endear,

conserve and perpetuate by organization of the Corporation the friendships formed among former

students of the University of North Dakota; and

(i) to do any and all other acts and things and exercise any and all other rights and

powers which may be reasonably necessary, incidental, desirable or expedient in the

accomplishment of such purposes.

ARTICLE III

Powers

The Corporation shall have those powers which are required by, and are consistent with,

the purposes enumerated in Article II above, subject to limitations provided in applicable federal

or state law or in its articles or bylaws. Within those limitations, the Corporation may act on its

own behalf or as the agent, trustee or representative of others; buy, lease, acquire, own, hold,

improve, use, and deal in and with, real or personal property, or an interest in property wherever

located; sell, convey, mortgage, create a security interest in, lease, exchange, transfer, or dispose

of all or a part of its real or personal property, or an interest in property, wherever located; and

exercise any other powers conferred on the Corporation by North Dakota Century Code Chapter

10-33 and by any future laws amendatory thereof and supplementary thereto.

ARTICLE IV

Restrictions

Notwithstanding any other provisions of these Articles of Incorporation ("Articles"), the

restrictions in this Article IV shall govern the activities of the Corporation.

The Corporation shall not engage in any activity which may not be carried on (a) by an

organization which is exempt from federal income taxation under Section 501(a) of the Code by

virtue of being described in Section 501(c)(3) of the Code or (b) by an organization contributions

to which are deductible under Sections 170(c)(2), 2055(a) and 2522(a) of the Code.

The Corporation shall not directly or indirectly afford pecuniary gain, dividends or other

pecuniary remuneration, incidentally or otherwise, to its directors or officers, and no part of the

net earnings of the Corporation shall inure directly or indirectly to the benefit of any private

individual, except that the Corporation shall be authorized and empowered to pay reasonable

compensation for services rendered and goods received, to provide indemnification and pay

premiums for insurance protection without reimbursement to the full extent permitted or required

by applicable law, and to make payments and distributions in furtherance of the purposes set

forth in Article II of these Articles.

The Corporation shall not attempt to influence legislation as a substantial part of its

activities and shall neither directly nor indirectly participate in or intervene in any political

campaign on behalf of, or in opposition to, any candidate for public office, whether by the

publishing or distributing of statements or otherwise.

ARTICLE V

Registered Agent and Office; Principal Executive Office

The Corporation' s registered agent shall be DeAnna Carlson Zink. The Corporation's

registered and principal executive office in the state shall be located at Gorecki Alumni Center,

3501 University Avenue, Grand Forks, North Dakota, 58202.

ARTICLE VI

Board of Directors

The business and affairs of the Corporation shall be managed by or under the direction of

a Board of Directors. The Board of Directors shall consist of a minimum of 25 individuals and a

maximum of 29 individuals. To the extent consistent with these Articles and permissible under

North Dakota Century Code Chapter 10-33, the Bylaws of the Corporation shall specify the

number or the manner for determining the number, term of office, method of selection, removal,

powers and duties of the directors of the Corporation, the time and place of their meetings, voting

rights and such other regulations relating to the Board of Directors as may be desired. An action

required or permitted to be taken at a Board meeting may be taken by written action signed by the

number of directors that would be required or permitted to take such action at a meeting of the

Board of Directors at which all directors were present.

ARTICLE VII

Membership

The Corporation shall have no members.

ARTICLE VIII

No Personal Liability

The officers and directors of the Corporation shall not be personally liable for the

payment of any debts or obligations of the Corporation, nor shall any property of any officer or

director be subject to the payment of the debts or obligations of the Corporation.

ARTICLE IX

No Capital Stock

The Corporation shall have no capital stock.

ARTICLE X

Amendments

These Articles may be amended as set forth in the Bylaws of the Corporation.

Dissolution

The Corporation may be dissolved in accordance with the laws of the State of North

Dakota. Upon dissolution of the Corporation, the Board or the officers acting under the direction

of the Board, shall distribute the assets of the corporation in the following order of priority: (1)

assets received and held for a special use or purpose in accordance with the uses and purposes for

which the assets have been received and held; (2) costs and expenses of the dissolution

proceedings, including attorney fees and disbursements; and (3) debts, obligations, and liabilities

of the Corporation. Any property remaining after these payments shall be transferred, in such

proportions as the Board of Directors of the Corporation shall determine, to one or more

organizations which are exempt from federal income taxation under Section 501(a) exclusively

for exempt purposes within the meaning of Code Section 501(c)(3) of the Code, or to the State of

North Dakota or any political subdivision or agency of the State for exclusively public purposes.

No provision of these Articles shall be construed to affect the disposition of property held by the

Corporation upon trust or other condition, and upon dissolution of the Corporation, such property

shall be transferred in accordance with the trust or condition imposed with respect to it.

The foregoing Articles of Amendment Amending and Restating the Articles of

Incorporation of UND Alumni Association and Foundation have been adopted by the

Corporation ' s Board of Directors pursuant to North Dakota Century Code Section 10-33-15, and

PLAN OF MERGER

FOR THE MERGER

OF

ALUMNI ASSOCIATION OF THE UNIVERSITY OF NORTH DAKOTA

INTO

UNIVERSITY OF NORTH DAKOTA FOUNDATION

PLAN OF MERGER (hereinafter referred to as the "Plan"), dated May 9, 2014 for the

merger of Alumni Association of the University of North Dakota, a North Dakota nonprofit

corporation (the "Alumni Association"), into University of North Dakota Foundation, a North

Dakota nonprofit corporation (the "Foundation"). (The Alumni Association and the Foundation

may be collectively referred to as "Constituent Corporations").

RECITALS

A. The Constituent Corporations are nonprofit corporations duly organized and

existing under the laws of the State of North Dakota and are both tax-exempt as organizations

described in Section 501(cX3) of the Internal Revenue Code of 1986, as amended.

B. The Constituent Corporations desire to merge their missions, entities and

operations to better fulfill their respective missions, to enhance their ability to serve the donors

and alumni of the University of North Dakota, and to fully realize the benefits of their long-

standing collaboration by achieving even greater efficiency in administration of gifts, including

solicitation, stewardship, asset management, and alumni engagement.

NOW, THEREFORE, the Alumni Association shall be merged into the Foundation and

the Foundation shall continue its corporate existence and be the corporation surviving the

merger. The terms and conditions of this merger (the "Merger") and the manner of carrying the

same into effect, are as follows:

ARTICLE 1

Effective Date of the Merger, Name

The Effective Date of the Merger shall be the date that the Articles of Merger are filed

with the North Dakota Secretary of State. Upon the Effective Date of the Merger, the separate

existence of the Alumni Association shall cease and shall be merged into the Foundation. The

Foundation shall be the surviving corporation and shall thereafter operate under the name UND

Alumni Association and Foundation.

ARTICLE 11Articles of Incorporation

The Articles of Incorporation of the surviving corporation shall be the Amended and

Restated Articles of Incorporation of the Foundation which are attached hereto.

ARTICLE IIIBylaws ; Registered Office

The Bylaws of the surviving corporation shall be the Amended and Restated Bylaws of

the Foundation which are attached hereto. The registered office of the Foundation after the

Merger shall be at Gorecki Alumni Center, 3501 University Avenue, Grand Forks, North

ARTICLE IV

Directors

The directors of the surviving corporation as of the Effective Date of the Merger shall bethe directors of the Foundation as of the Effective Date.

ARTICLE VConversion of Memberships in the Merger

The Alumni Association currently has members. As set forth in the Articles and Bylaws

of the surviving corporation, the surviving corporation shall have no members within themeaning of North Dakota Century Code Chapter 10-33. The surviving corporation may haveclasses of persons who are affiliated with the surviving corporation and who may be referred toas "members" and may receive "membership benefits" but such persons shall not be consideredmembers of the surviving corporation within the meaning of North Dakota Century CodeChapter 10-33 for any purpose.

ARTICLE VIEffect of the Merger

At the Effective Date of the Merger, the Foundation shall succeed to and shall possess

and enjoy all the rights, privileges, immunities, powers and franchises, both of a public and

private nature, of the Alumni Association, and all property, real, personal, and mixed, including

patents, trademarks, traderiames, and all debts due to the Alumni Association on whatever

account; and all said property, rights, privileges, immunities, powers and franchises, and all and

every other interest shall be thereafter the property of the Foundation as effectively as they were

of the Alumni Association, and the title of any real estate vested by deed or otherwise in the

Alumni Association shall not revert or be in any way impaired by reason of the Merger;

provided, however, that all rights of creditors and all liens upon any property of the Alumni

Association shall be preserved unimpaired, limited in lien to the property affected by such hens

prior to the Effective Date of the Merger, and all debts, liabilities, and duties of the Alumni

Association, shall thenceforth attach to the Foundation and may be enforced against it to the

same extent as if said debts, liabilities, and duties had been incur-red or contracted in the first

instance by the Foundation.

The assets and liabilities of the Alumni Association as of the Effective Date of the

Merger shall be taken up on the books of the Foundation at the amounts at which they were

carried at that time on the books of the Alumni Association. The surplus of the Foundation after

the Merger, including any surplus arising in the Merger, shall be available to be used for any

lawful purposes for which surplus may be used. Accounting procedures and depreciation

schedules and procedures of the Alumni Association may be converted to those procedures and

schedules selected by the Foundation.

ARTICLE VIIIFiling of Plan of Merger

Upon adoption and approval of the Plan of Merger by the Boards of Directors and

Members, as applicable, of the Constituent Corporations in accordance with Section 10-33-87 ofthe North Dakota Century Code, Articles of Merger shall be executed and delivered to the

Secretary of State of the State of North Dakota for filing as provided by the North Dakota

Nonprofit Corporations Act. The Constituent Corporations shall also cause to be performed all

necessary acts within the State of North Dakota and elsewhere to effectuate the Merger.
