The Division of Financial Institutions ("DFI") acknowledges receipt of your letterdated January 12, 2011 and filed January 18, 2011 notifying us that Hawaii CentralCredit Union's conversion to a federal charter was approved effective December 16,2010.

You enclosed a copy of the letter dated December 16, 2010 from Elizabeth A.Whitehead, Regional Director of the National Credit Union Administration Region V,approving the conversion of Hawaii Central Credit Union to a federal charter withinsurance coverage provided by the National Credit Union Share Insurance Fund. Asdirected by Ms. Whitehead, you returned to DFI the Organization Certificate that wasapproved on December 8, 1976 by the Commissioner of Credit Unions of the State ofHawaii regarding Hawaii Central Credit Union.

This fulfills all of the requirements imposed by Section 412:3-606, HawaiiRevised Statutes, with regard to the conversion of Hawaii Central Credit Union from astate charter to a federal charter. We will update our records to reflect the fact thatHawaii Central Credit Union ceased to be a state-chartered credit union regulated byDFI as of the effective date of its conversion to a federal credit union charter.
