Notice is hereby given that the 34” Annual General Meeting {4GM) of the members of Talbros Engineering Lim#ted (Company) will be heki on Monday, 28° September, 2020 at 10-30 a.m, through Video Conferenang (VCW Other Audio Visual Means (OAVM) in compiance with the applicable provisions of Companies Act, 2013 and the rules made thereunder and Securities

Exchange Board of India (SEB!) (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with General Circular No. 14/2020 dated Apri 08, 2020, General Circular No. 17/2020 dated April 13, 2020 and General Circular No. 20V2020 dated May 5, 2020, and other applicable circulars issued by the Ministry of Corporate Affairs (MCA) and SEB! to transact the ordinary and special businesses as set out in the notice of AGM.

Electronic copies of the notice of 34°Annual General Meeting and the Annual Report of the Company for the financial year 2019-20 will be sent to only those shareholders whose email

IDs are registered with Company/Deposilory Participant{s). These documents will also be available on the Company's website www. talbrosaxies.com, website of Stock Exchange at www bseindia.com.

Manner of registering/updating email addresses who have not registered / updated their email addresses with the Company:

- Members holding shares im physical form can register / update their email ID by writing to the RTA at investor@bectatfinancal com orto the Company at cs@talbrosaxles.com with details of folio number and attaching a self attested copy of PAN Card.

- Members holding shares in electronic mode are required to register/update their email

address with their respective Depository Participant (OPs) for receiving all communications from the Company electronically.

ee: of Casting vote(s) through e-voting: Members will have an opportunity to caste their vote{s) on the business as set out im the Notice of AGM through electronic voting system (voting).

- The manner of voting remotely (remote e-voting) by members holding shares in demat mode, physical form and for members who have not registered their email addresses has been provided in the Notice of the AGM.

- The faciity for voting through electronic voting system wall also be made available at the AGM and members attending the AGM who have not caste their vote(s} by remote e-voting will be able to vote af the AGM.

- The login credentials for casting votes through €voting shell be made available to the members through email. Members who have not received email or whose email

addresses are not registered with the Company/RTA/Depository Participantis), may generate login credentials by following instructions given in the Notes to Notice of AGM.

- The same login credentials may 2tso be used for attending the AGM through VC/OAVM.
