Antitrust Compliance Guidelines I. General It is NERC’s policy and practice to obey the antitrust laws and to avoid all conduct that unreasonably restrains competition. This policy requires the avoidance of any conduct that violates, or that might appear to violate, the antitrust laws. Among other things, the antitrust laws forbid any agreement between or among competitors regarding prices, availability of service, product design, terms of sale, division of markets, allocation of customers or any other activity that unreasonably restrains competition. It is the responsibility of every NERC participant and employee who may in any way affect NERC’s compliance with the antitrust laws to carry out this commitment. Antitrust laws are complex and subject to court interpretation that can vary over time and from one court to another. The purpose of these guidelines is to alert NERC participants and employees to potential antitrust problems and to set forth policies to be followed with respect to activities that may involve antitrust considerations. In some instances, the NERC policy contained in these guidelines is stricter than the applicable antitrust laws. Any NERC participant or employee who is uncertain about the legal ramifications of a particular course of conduct or who has doubts or concerns about whether NERC’s antitrust compliance policy is implicated in any situation should consult NERC’s General Counsel immediately. II. Prohibited Activities Participants in NERC activities (including those of its committees and subgroups) should refrain from the following when acting in their capacity as participants in NERC activities (e.g., at NERC meetings, conference calls and in informal discussions):

• Discussions involving pricing information, especially margin (profit) and internal cost information and participants’ expectations as to their future prices or internal costs.

• Discussions of a participant’s marketing strategies.

• Discussions regarding how customers and geographical areas are to be divided among competitors.

• Discussions concerning the exclusion of competitors from markets.

• Discussions concerning boycotting or group refusals to deal with competitors, vendors or suppliers.

• Any other matters that do not clearly fall within these guidelines should be reviewed with NERC’s General Counsel before being discussed.

III. Activities That Are Permitted From time to time decisions or actions of NERC (including those of its committees and subgroups) may have a negative impact on particular entities and thus in that sense adversely impact competition. Decisions and actions by NERC (including its committees and subgroups) should only be undertaken for the purpose of promoting and maintaining the reliability and adequacy of the bulk power system. If you do not have a legitimate purpose consistent with this objective for discussing a matter, please refrain from discussing the matter during NERC meetings and in other NERC-related communications. You should also ensure that NERC procedures, including those set forth in NERC’s Certificate of Incorporation, Bylaws, and Rules of Procedure are followed in conducting NERC business. In addition, all discussions in NERC meetings and other NERC-related communications should be within the scope of the mandate for or assignment to the particular NERC committee or subgroup, as well as within the scope of the published agenda for the meeting. No decisions should be made nor any actions taken in NERC activities for the purpose of giving an industry participant or group of participants a competitive advantage over other participants. In particular, decisions with respect to setting, revising, or assessing compliance with NERC reliability standards should not be influenced by anti-competitive motivations. Subject to the foregoing restrictions, participants in NERC activities may discuss:

• Reliability matters relating to the bulk power system, including operation and planning matters such as establishing or revising reliability standards, special operating procedures, operating transfer capabilities, and plans for new facilities.

• Matters relating to the impact of reliability standards for the bulk power system on electricity markets, and the impact of electricity market operations on the reliability of the bulk power system.

• Proposed filings or other communications with state or federal regulatory authorities or other governmental entities.

Matters relating to the internal governance, management and operation of NERC, such as nominations for vacant committee positions, budgeting and assessments, and employment matters; and procedural matters such as planning and scheduling meetings.

Administrative 1.   Introductions and Chair’s Remarks L. Lee brought the meeting to order on Tuesday, June 10, 2014 at 8:08 a.m. MT and thanked attendees for their participation. New members were welcomed: Brian Buckley, Ed Skiba, Randy Crissman, and Lorissa Jones.  2.   NERC Antitrust Compliance Guidelines and Public Announcement E. Chanzes reviewed the NERC Antitrust Compliance Guidelines and announced that the meeting was public.  3.  Approval of May 22, 2014 Meeting Notes  The meeting notes from the May 22, 2014 conference call were approved without modification or comment.  4.   Review Team Roster L. Lee reviewed the roster, noting that E. Chanzes had added the new members, as well as the terms for all members accordingly. Terms are for two calendar years. We will solicit for new membership at the end of each year, asking members whose terms have ended if they would like to continue, and if not, base the request for solicitation on the number of lost memberships.  5.   Review of Agenda and Objectives  Addition to Agenda J. Bussman asked for the agenda to get a status update of the Standards Balloting System (SBS) to include why CIP Physical Security was balloted in the original system and not the SBS. Prior to addressing the current agenda items, B. Nutter provided an update and noted that an announcement was sent to the industry on May 7, 2014 regarding the rollout of the SBS. Issues were discovered that need to be

addressed based on NERC and industry participation in the practice balloting, and those items will be resolved prior to new projects rolling out in the SBS. NERC is working with a vendor to address items and looking at the third or fourth quarter for projects to be posted in the SBS. In the meantime, B. Nutter recommended to continue registering in the new system in order to be able to ballot and submit comments in the SBS once it goes live. 

Agenda Items  1. SCPS Activities 

a. Consolidate SC Resource Documents – G. Zito and M. Benson 

M. Benson provided a status update. The Drafting Team Reference Manual and Drafting Team Resources (a companion to the Drafting Team Reference Manual) will be posted next week on the Standards Committee Process Subcommittee (SCPS) Related Files page (due to file size) for comments on the Resources document. Once the comments are reviewed/implemented, the updated documents will be posted on the Resources page and brought before the Standards Committee (SC) for endorsement. After SC endorsement, the Resource page will be cleaned up, removing documents that are included in the Drafting Team Resources. A cross‐check will be performed on the documents listed as footnotes in the Standards Process Manual to make sure they are either included in the Resources document or posted as standalone documents on the Resources webpage.  

b.   Cost Effectiveness Analysis Process (CEAP) – G. Zito  

G. Zito led an update on the CEAP project. A meeting was held the week prior to discuss criteria for identifying standards projects to which CEAP can be applied. It was brought up from NERC and the industry that there are limited resources to implement CEAP, so the goal is to allow more flexibility in the process with the same results for cost effectiveness. This “second generation” CEAP will be circulated to the CEAP team and then SCPS for review, along with input on whether this should be posted for industry comment prior to submitting to the SC for the August meeting. 

c.   Charter Revisions – S. Miller  S. Miller provided an update, noting his productive discussions with NERC committees to align subcommittee charters. The group discussed S. Miller’s proposed SCPS “scope,” which reflected changes to the charter to keep it consistent with how other NERC subcommittees approach their scopes. Changes were discussed and agreed‐upon. S. Miller will follow up with the Project Management and Oversight Subcommittee (PMOS) on their proposed scope and work to bring them into alignment. The SCPS will then have the opportunity to review the finalized document. A review by NERC Legal will also be conducted prior to submitting the scopes for endorsement by the SC.  

 d.    Modifications to Quality Review (QR) Process – K. Porterfield  As a recap for the new members present, K. Porterfield provided background on the need for modifications to the SC‐endorsed QR process developed by the SCPS in 2013. After a discussion of the

current SCPS and NERC staff concerns, it was decided that further discussion with the SC is necessary to clearly articulate expectations. In addition to a commitment from NERC staff to communicate the steps that were taken to perform QR before a standard’s initial posting, there should also be a commitment from the SC to help evaluate QR steps and offer feedback to NERC. As a next step, L. Lee will set up a conference call with the task group and B. Murphy. 

 e.    Review of Standards Processes and Procedures – P. Heidrich  P. Heidrich reported on this topic, noting that the SCPS will be asking for the SC to endorse the current scope with a deferred timeline (starting in 2015). P. Heidrich will also talk to B. Murphy about the need to provide a report to the Member Representatives Committee (MRC) and the NERC Board of Trustees (BOT) with the status. 

 f.    Consensus Building for SAR Development – B. Li  

  B. Li provided an update on the consensus building for SAR development task, noting that the scope for this project is on the June SC meeting agenda for endorsement. Once endorsed, the task team will begin dialogue to launch the effort.  

 g.    Process to Improve the Effectiveness of Managing Ballot Pools – L. Lee  

  L. Lee reported on the status of this effort, providing an overview of an informational report that will be given to the SC during the June SC meeting. The report explains NERC actions taken to date on ballots under the original balloting system that have had issues achieving quorum. The report also includes a list of planned enhancements with the new SBS that may help in achieving quorum, as well as a list of ideas the SCPS group initially put together of additional suggestions for improvements. The report also features a chart from NERC Standards Information showing ballots extended due to not meeting quorum. Moving forward, continued tracking will take place from NERC staff, and it will be necessary to see if the SBS enhancements will improve the quorum issues once new projects are rolled out. 

 4.   SCPS Work Plan – B. Li and L. Lee  

B. Li provided background information on the Work Plan and discussed how we can productively move forward. It was determined that the Work Plan will be a living document used as an informational item for the SCPS and SC meetings beginning in July 2014.  B. Li will work on the updates in this new format. 

5.   Communication with Industry – L. Lee    As the meeting was coming to a close, L. Lee requested that, as part of the summary of action items 

resulting from this meeting, members inform E. Chanzes of any specific items regarding SCPS‐activity communications with industry to be placed on the July 29 SCPS conference call agenda for discussion.

The CEAP team met in early June to discuss proposed project selection criteria, apply that criteria to the list of active projects to develop a potential list of projects to apply CEAP to, as well as alternate flexible approaches to apply CEAP moving forward. G. Zito is working on updating the current version of the CEAP Guideline document to reflect this discussion. This “second generation” CEAP will be circulated to the CEAP team and then SCPS for review, along with input on whether this should be posted for industry comment, prior to submitting to the SC for the August meeting.

In the interim, informal outreach will be conducted to continue to identify standard development process issues. A formal outreach plan to gather input on the standards development process will be formed during the first quarter of 2015 and implemented during the second quarter.

The purpose of the Standards Committee Process Subcommittee (SCPS) is to develop, maintain, and document processes and guidelines to aid the Standards Committee (SC), Standard Drafting Teams, NERC staff, and industry in developing clear, effective, and enforceable Reliability Standards. The SCPS also ensures that the documents provide transparency to the industry to facilitate understanding of the standard development process and promote the efficient use of industry technical subject matter expertise. The SCPS takes direction from the SC and collects information from all SC members to identify needed process improvements and modifications. Activities

The SCPS shall have, at a minimum, the following duties:

1. Ensure effectiveness of standard development process documents and references.

2. Maintain a list of all documents it has responsibility for and establish a review cycle for each of the

documents, conducting reviews at least once every three years.

3. Monitor the effectiveness of the standard development processes, and recommend additions,

modifications, and retirement of processes and associated documentation as appropriate.

4. Work with NERC staff and industry trade organizations to communicate standard development

processes to the NERC Regions and industry.

5. Provide technical support to NERC’s standard development training activities.

6. Establish and maintain a work plan, presenting individual tasks to the SC for acceptance prior to active

development.

7. Present consensus proposals and recommendations to the SC for information or approval. When the SCPS cannot reach a consensus, majority and minority opinions may be presented to the SC for it to make the final decision.

Membership

1. SCPS membership and participation is open to SC members and interested parties.

2. The need to add or replace members will be evaluated at least annually and nominations for new

members may be solicited as necessary. The SCPS officers will select the new SCPS members.

3. The SCPS size will be determined by the workload needs of the Subcommittee.

4. Members will serve staggered two-year terms with no term limits.

5. The SC Chair and Vice Chair may participate and support the SCPS as non-members.

6. A NERC staff member will be assigned as the non‐voting SCPS Coordinator.

Officers

1. The NERC SC Chair will appoint the SCPS officers (Chair and Vice Chair) for a specific term (generally two years).

2. The SCPS may recommend officer candidates for the SC Chair’s consideration following a supporting motion by the SCPS membership. This may be via a nominating committee and/or election.

3. The SCPS officer appointment will be made at the third quarter SC meeting.

4. At least one SCPS officer must also be a member of the SC.

5. The SCPS Chair or Vice Chair will set the agenda and preside over the meetings and calls.

6. SCPS officers will generally serve two-year terms with no limits on terms.

7. The SCPS Vice Chair should be available to succeed the SCPS Chair.

Reporting

1. The SCPS is accountable to the full SC and will report jointly with NERC staff on the status of all activities and any issues at regularly scheduled SC meetings and calls.

2. This Scope is subject to SC approval.

Meetings 1. The SCPS will generally follow the approach used by the SC.

2. Four to six open meetings per year, or as needed. Emphasis will be given to conference calls and web-based meetings.

3. Members of the SCPS may not send a proxy.

4. SCPS meetings are open to any and all interested parties.
