Anypersonwhohasmadeacontributionofmaterialbene ittothepestmanagementindustry may become an honorary member by three‐fourths (3/4) vote of the members of the Association in annualmeeting assembled. Such honorary member shall have no voting privileges and shall be required to pay no dues orassessments.Section6A.LIFEMEMBERS.AnindividualwhohasbeentheauthorizedrepresentativeofanActivememberforaperiodoftwenty(20) years or who has served honorably as President of the Association may, upon retirement from the pestmanagementindustry,beeligibleforlifemembershipinthisAssociation,undersuchtermsasmaybedeterminedbytheBoardofDirectors. Lifemembersshallnotbeeligibletovoteortoholdelectiveof iceandshallnotberequiredtopayduesorassessments.Section7.APPLICATIONFORMEMBERSHIP.AllapplicationsforActive,Af iliated,Limited,andAlliedmembershipinthisAssociation shall be in writing on the forms provided by this Association and iled with the Secretary/Treasurer orExecutive Director. Anymembermaybeterminatedforcauseatanytimebyatwothirds(2/3)majorityoftheBoardofDirectors. Causeshall includeanyoffensewhichaffectstheinterestorgoodgovernmentoftheAssociation,includinganyviolationofthecharter,by‐laws,rules,regulationsorpracticedulyadoptedbytheAssociation.CauseshallalsoincludeanyconductdeemedprejudicialtotheAssociationanditspurposes,including,butnotlimitedto,failure to pay dues, engaging in dishonest advertising, recognized unfair trade practices, adjudicated of defaming theservicesprovidedbyotherMissouriPestManagementAssociationmembersorbeingconvictedofanycriminalfelony.Membersmay expose to theAssociation any alleged illegal orunethical conduct of anyothermember irmsby iling awritten,signedcomplaintwiththeSecretary/TreasurerorExecutiveDirectoroftheAssociation.Anysuchcomplaintshalldetail the speci ic cause for review. Uponreceiptof thecomplaint, theSecretary/TreasurerorExecutiveDirector shallthereuponmailageneralstatementofcomplainttotheChairpersonoftheEthicscommittee.TheEthicscommitteeshallthenbe responsible for conductingan investigationof the complaint and thegrounds thereof, andpromptly report thecommittee’s indingstotheBoardofDirectors.IfitappearsfromsuchreportoftheEthicscommitteethatthereismerittothecomplaint,thentheSecretary/TreasurerorExecutive Director shall send a general statement by certi ied mail, return receipt, to the last known address of thememberagainstwhomthecomplainthasbeenmadeatleastten(10)daysbeforethedateofthemeetingoftheBoardofDirectorsatwhich thecomplaint is tobeconsidered. Suchstatementshallbeaccompaniedbyanoticeof the timeandplaceof themeetingof theBoardofDirectorsatwhich thecomplaintagainstsaidmember is tobeconsidered. At thismeeting,thechallengedmembershallhavetheopportunitytoappearandpresentanydefensetosuchcomplaintbeforeanyactionistakenonthatcomplaintbytheBoardofDirectors.TheBoardofDirectorsmayallownotmorethantwo(2)alternatemeetingdatestodiscussthecharges,butsuchmeetingbetweenBoardofDirectorsandchallengedmembermustbeheldwithinonehundredtwenty(120)daysfromdateofreceiptofnoticebysuchmember.Afterreviewingthecomplaint,theinformationsubmittedbytheEthicscommittee,andtheinformationsubmittedbythechallenged member, the Board of Directors shall then vote to suspend, expel, retain or take no action against thechallengedmember. Section5.EXECUTIVEDIRECTOR. ThePresident,withtheapprovalof theBoardofDirectorsmayappointanExecutiveDirector of this Association, whose compensation shall be a sum stipulated by the Board of Directors. The ExecutiveDirectorshallbeallowedallreasonableoutofpocketexpensesfortravel,food,andlodgingintheperformanceofhis/herof icialdutiesassuchof icer.ThepersonappointedtothispositionmayormaynotbeamemberoftheAssociationandmaybeanelectedOf icerorDirectorofthisAssociation.Section6.REGIONALVICEPRESIDENTS.TheRegionalVicePresidentsshallpresideoverregionalmeetings,attendBoardofDirectorsmeetings,andkeepregionalmembers informedregardingMissouriPestManagementAssociationactivitiesandreporttotheBoardofDirectorsregardingregionalactivities.Theyshallhavetheirprimaryplaceofbusinesswithintheboundsof theirrespectiveregionsandmayholdregionalmeetings intheirrespectiveregionswheneverconvenientandappropriate.RegionalVicePresidentsshallbeelectedforatermoftwo(2)years.Section 7. ALLIED REPRESENTATIVE: An Allied representative on theMPMA Board of Directorswill be elected at theannualmeetingoftheAssociationbyamajorityvoteofthealliedmembersinattendanceandwillserveatwo‐yearterm.Alliedmembersmaynotserveconsecutiveterms;however,mayservenonconsecutiveterms.TheAlliedrepresentativewill have full voting privileges. ArticleVIIPowersofDirectors

TheBoardofDirectorsshallhavethemanagementofthebusinessoftheAssociation,andinadditiontothepowersandauthority conferred by these by‐laws upon it,may exercise all such powers and do all such acts and things asmay beexercisedordoneby theAssociation, subject,nevertheless, to theprovisionsof the lawsof thestateofMissouri, to theCharteroftheAssociationandtotheregulationsmadefromtimetotimebythemembership,providedthatnoregulationshallinvalidateanyprioractoftheDirectorswhichwouldhavebeenvalidifsuchregulationshadnotbeenmade.
