Section1.ThechartermembersofthisAssociation,andanyperson, irmorcorporationwhoshallhereafterbeelectedtomembershipashereinafterprovidedshallconstitutethemembershipofthisAssociation.Thereshallbesix(6)classesofmembershereinafterde ined.Section2.ACTIVEMEMBERS.Anyperson, irmorcorporationengagedinpestmanagementservicework,forhiretothepublicatlargeshallbeeligibleformembershipinthisAssociationprovidedsuchapplicantformembershipshall(A)Beinsympathywith the purposes of this Association; (B)Have a business record consistentwith the Code of Ethics of thisAssociation; (C)Has either two (2) years experienceas anowneroroperator in thepestmanagementindustry; or (D)Holdsadegreefromarecognizedcollegeoruniversitywhichoffersadvancedtraininginentomologyorchemistryorothersciences related to the pest control industry and at least one (1) year’s experience as an owner or operator of a pestmanagementservicebusiness.Section3.AFFILIATEDMEMBERS. Anyactivemember thatoperatesorcontrolsanother irm,and/orbusiness locationactively engaged in the pest management service business may have the irm listed in the membership roster as anAf iliatedmemberpayinganannualfeeforeachAf iliatedmember irm.NoAf iliatedmembershallhavevotingprivileges,norshallhis/heremployeesholdelectiveof ice.Section4.LIMITEDMEMBERS. Applications formembership in thisAssociationmaybesubmittedbypersons, irmsorcorporations not fully conforming with the quali ications for Active members. An applicant accepted for LimitedmembershipshallenjoyalltheprivilegesofmembershipexceptthatsuchLimitedmembershallnothavevotingprivileges,nor shall he/shehold elective of ice, and shall notbepermitted to refer to suchmembership in any advertisingnor todisplay thesealof theAssociation. Anypersonwhohasmadeacontributionofmaterialbene ittothepestmanagementindustry may become an honorary member by three‐fourths (3/4) vote of the members of the Association in annualmeeting assembled. Causeshall includeanyoffensewhichaffectstheinterestorgoodgovernmentoftheAssociation,includinganyviolationofthecharter,by‐laws,rules,regulationsorpracticedulyadoptedbytheAssociation.CauseshallalsoincludeanyconductdeemedprejudicialtotheAssociationanditspurposes,including,butnotlimitedto,failure to pay dues, engaging in dishonest advertising, recognized unfair trade practices, adjudicated of defaming theservicesprovidedbyotherMissouriPestManagementAssociationmembersorbeingconvictedofanycriminalfelony.Membersmay expose to theAssociation any alleged illegal orunethical conduct of anyothermember irmsby iling awritten,signedcomplaintwiththeSecretary/TreasurerorExecutiveDirectoroftheAssociation.Anysuchcomplaintshalldetail the speci ic cause for review. Uponreceiptof thecomplaint, theSecretary/TreasurerorExecutiveDirector shallthereuponmailageneralstatementofcomplainttotheChairpersonoftheEthicscommittee.TheEthicscommitteeshallthenbe responsible for conductingan investigationof the complaint and thegrounds thereof, andpromptly report thecommittee’s indingstotheBoardofDirectors.IfitappearsfromsuchreportoftheEthicscommitteethatthereismerittothecomplaint,thentheSecretary/TreasurerorExecutive Director shall send a general statement by certi ied mail, return receipt, to the last known address of thememberagainstwhomthecomplainthasbeenmadeatleastten(10)daysbeforethedateofthemeetingoftheBoardofDirectorsatwhich thecomplaint is tobeconsidered. Suchstatementshallbeaccompaniedbyanoticeof the timeandplaceof themeetingof theBoardofDirectorsatwhich thecomplaintagainstsaidmember is tobeconsidered. Section5.EXECUTIVEDIRECTOR. ThePresident,withtheapprovalof theBoardofDirectorsmayappointanExecutiveDirector of this Association, whose compensation shall be a sum stipulated by the Board of Directors. The ExecutiveDirectorshallbeallowedallreasonableoutofpocketexpensesfortravel,food,andlodgingintheperformanceofhis/herof icialdutiesassuchof icer.ThepersonappointedtothispositionmayormaynotbeamemberoftheAssociationandmaybeanelectedOf icerorDirectorofthisAssociation.Section6.REGIONALVICEPRESIDENTS.TheRegionalVicePresidentsshallpresideoverregionalmeetings,attendBoardofDirectorsmeetings,andkeepregionalmembers informedregardingMissouriPestManagementAssociationactivitiesandreporttotheBoardofDirectorsregardingregionalactivities.Theyshallhavetheirprimaryplaceofbusinesswithintheboundsof theirrespectiveregionsandmayholdregionalmeetings intheirrespectiveregionswheneverconvenientandappropriate.RegionalVicePresidentsshallbeelectedforatermoftwo(2)years.Section 7.
