• The minimum number of voting members that must be in attendance at the Keller Fall Creek Annual Meeting to conduct business validly (either by proxy or in attendance is 63).

• If Quorum is not established the informational portion of the meeting will be held.

• A second meeting will then be scheduled within sixty (60) days, the quorum shall be one half (1/2) of the required quorum at the preceding meeting.

• A change of the Bylaws has been submitted and is being voted on during the annual meeting

• Proposed Wording:– The proposed change to the language of Section 5.01 of the Bylaws of

your Association consists of changing the number of directors to not less than three (3) but no more than five (5) directors. Wording of the Bylaws does not change except for the number of directors, as follow:

– The affairs of this Association shall be managed by a Board of not less than three (3) but no more than five (5) directors (herein, the “Board”), all of who, except for the members of the first Board, must be Owners or, where such Owner is not an individual person, an officer, director, shareholder, partner or representative of an owner. The number of directors may be changed by amendment of these Bylaws. The members of the initial Board or their successors, shall serve until the first annual meeting of the Members.

– if the amendment passes then we will fill up to 4 board positions with staggered terms.

– Up to 4 directors will be elected with 2-3 directors on a two-year term and 1 director on a one year term.

– If more than 2 directors elected, the director with the lowest number of votes will have a one-year term.

• What Needs Approval?– 10.02 Any”…building, structure, shed, fence, wall or

improvement of any kind or nature shall be erected, constructed, placed, altered, changed or modified on any Lot…” “…all aspects of dwelling construction, construction of other improvements and location, quality and quantity of landscaping on the Lots, and may disapprove aspects thereof which may, in the reasonable opinion of the committee, adversely affect the living enjoyment of on or more owners or general value of properties….”

• The PAIC continues to improve the Greenbelt– Working with City Of Keller to improve the bridge

• Irrigation at all four corners• Consideration of xeriscaping improvements• Staining of the bridge after repairs have been made

by the city.– Tying the landscaping leading to the walking path

with the landscaping at the bridge area– Work closely with the mowing and landscaping

contractor to ensure proper maintenance– Looking to initiate Community Work Days

• The PAIC currently has the Chair position open• The PAIC is looking for people who are willing to

spend time working on the development of the common areas. – Please know this is a very hands on committee

and volunteers need to be able to spend a considerable amount of time.

• Door Prizes:• Weekend Stay (pick either Friday or Saturday) with breakfast for two at Hyatt Regency DFW • $50 Gas Gift Card• $50 Gas Gift Card• The Door Prizes will be drawn as follows:

– The Hyatt Regency Weekend Stay will be drawn on 28 April only if we are able to meet the quorum requirements which is 63 proxies. If we are unable to achieve quorum at the meeting then the Door Prize will be held over until the special meeting can be called to complete the elections. This door prize will be drawn from the combined pool of all proxies received along with all homeowners in attendance in the meeting for which quorum is achieved (only one entry per address)

– One $50 Gas Card will be drawn from the homeowners in attendance at the April 28th meeting

– The second $50 Gas Card will be drawn from all the Proxies submitted prior to the April 28th meeting and all homeowners in attendance at the April 28th meeting. The winning address of the first gas card is not eligible for the second gas card drawing
