I am so pleased that you are interested in this important non-executive opportunity. We have put together this pack to give you a sense of who we are and what contribution this role has the potential to make to our business.

Fortis Property Care (FPC) is a subsidiary company within Fortis Living which owns and manages around 15,000 homes across Herefordshire and Worcestershire. The property care company leads on day to day responsive repairs and the planned improvement works that ensure that our properties are well maintained. We also provide property services to external customers, for example we have established a unique cost sharing vehicle with Rooftop Housing Association,

one of the first in the country – that enables us to deliver a quality and efficient service to a much wider group of residents. This makes FPC one of the largest in-house contractors in the UK. Our reach is immense; in 2014/15 we will deliver 80,000 repairs to more than 20,000 customers.

This is an exciting time at our company. Fortis Living was created as a result of a merger between two housing groups and since April 2014 we have working hard on various harmonisation plans for bringing together the different approaches to designing and delivering property maintenance services. This vacancy for a Board member would enable you to be at the heart of shaping our future. We are looking for a property professional with a senior track record to join our small Board. Your property experience may have been gained in a commercial setting or in the social housing sector. Above all it is your enthusiasm and engagement that interests us most. This is a proactive role, where visible leadership will be key - so you will be keen to get involved and make a lasting contribution.

One of the many advantages of our merger lies in the combining of our financial and asset strength. This means that we are well resourced and able to make ambitious plans for the future – including exploring how we can utilise new technology to further increase efficiency and improve customer services. Over the next five years we will be investing heavily in our property profile, as we build and develop new homes and further enhance the quality and life span of some of our existing housing stock. The overall business and financial acumen that you will bring to this role will stand you in good stead as you get involved in working with the rest of the Board team in making those important decisions.

Fortis Property Care

FPC is a subsidiary of Fortis Living and brings together the repairs and property service activities carried out by Festival Property Care and Worcester Community Housing. Our workforce of 262, including trade and office-based support staff, will maintain all properties owned by Festival Housing and Worcester Community Housing, as well as carrying out work for our external customers: Rooftop Housing, Marches Housing Association and Nexus Housing.

In 2014/15 FPC will deliver 80,000 repairs to more than 20,000 customers. We will also refurbish 2,000 void properties; fit 450 new kitchens; 260 bathrooms; 450 heating systems; and replace 70 roofs, as well as doing 120 rewires. With a current turnover of £20.8m, set to rise to over £24m in 2014/15, FPC is a substantial business and we expect to deliver VAT and efficiency savings of £1m per annum by 2019. This year, as well as continuing with our harmonisation programme of bringing together three organisations, we will also be exploring new growth opportunities – such as grounds maintenance; property maintenance for local homeowners and a handy service. Our people are key to our success. So we will be focusing on ensuring we are working to the highest governance standards, with clarity on the accountability and reporting lines between our non-executive and executive teams. We are now an important regional employer and FPC wants to be viewed as an employer of choice, so we will be exploring how we can further motivate staff with flexible terms and conditions to come together as a single team under the FPC brand. We will also be exploring and investing in new technology, to further ensure efficiency and improve connectivity between trade and office based staff. Our cost sharing vehicle with Rooftop is swell established, delivering VAT efficiencies and operational effectiveness and we have further ambition to extend our service offer to other housing association partners.

Experienced Company Director involved in both strategic and operational business issues. General management experience in addition to extensive financial skills. Former Chair of Festival Housing.

Denis Thompson, Vice Chair of Fortis Living

Denis has an excellent background and brings a huge amount of expertise to the Board, particularly in Finance. He is currently Managing Director of Lisgrove Limited, providing services to the social housing and residential care sectors having previously been Finance Director and Deputy Chief Executive of a local RP. Former Chair of WCH.

Fred Bentley, Chair of Fortis Property Care

A former Senior Official in the Banking Industry. Currently Head of Relationship Management with a national third sector consultancy specialising in employment and skills.

Andrew Milner, Chair Of Fortis Living Audit & Risk Committee

Although a financial background, most of his career has been spent in general management in the Steel Industry, having held several director level positions in manufacturing and distribution. Following early retirement started up a small mental health charity and also own business. Takes an active interest in the local community.

Steve Williams, Chair Of Fortis Living Remuneration & Governance Committee

Steve has 30 years extensive experience in HR management, including 5 years as HR Director for Powergen's UK business. A good team player and relationship builder, Steve has particular experience in change management and helping to develop organisational capacity. He also sits on the Personnel Committee at Worcester University and is a Justice of the Peace (JP) in the city of Worcester.

Caroline Dykes, FPC non-executive

Joined Rooftop in 2004 as Head of Finance, appointed Finance Director in 2010. Prior to Rooftop, Caroline had 10 years’ experience in the housing sector working for Housing 21 and Beacon Housing Association. Prior to that she worked in the Finance teams of oil, property investment, engineering and scaffolding companies.

John Waring, FPC non-executive

Worked as an Executive in 5 star hotels and retail. Focussed on HR, H&S and Property Management. Now retired, elected as a District Councillor (2007-2011) and for the latter three years he was on the Executive, politically responsible for HR, H&S, E&D, Customer Service and leading change management of the Council. John was also involved in the South Worcestershire Development Plan. From 2007-2012, he represented the MHDC on the Board of Elgar Housing Association, latterly as Vice-Chair.

The FPC Executive

Bill Tebay, Managing Director of FPC

Bill joined Worcester Community Housing as Property Services Director in October 2011. His role included building maintenance, asset management and new build development. Previously Bill worked for both national and regional housing associations mainly in a housing management capacity. Since April 2014, Bill has been the Managing Director of Fortis Property Care, focussing on expansion of the company and ensuring excellent maintenance services are being provided to customers. Bill is also a member of the Executive Management Team.

David Baddeley, Commercial Director, FPC

David has extensive experience in the building and maintenance industry covering both contracting and consultancy roles. Initially employed as Building Services Manager with Festival, he was soon promoted to General Manager. In 2011, following a Group reorganisation, he was appointed as Operations Director for Festival Property Care. David has seen turnover of the property care business within the organisation increase from a turnover of £2mn to £17mn. He was appointed to Commercial Director of FPC in May 2014.

Marc Mayall, General Manager at FPC

Responsible for operational section of the FPC business covering responsive and void repairs, gas service and maintenance and grounds maintenance contracts for Fortis Liiving and external clients Rooftop and Nexus Housing. Marc was appointed to General Manager in May 2014 following 6 years as Head of Building Maintenance Services at WCH. Prior to WCH Marc worked for over 10 years in the construction industry for Persimmon and Westbury Homes in a contracts manager position covering Southern England.

Role profile – Board Director

Overall purpose:

To determine the strategic direction of FPC ensuring effective control, accountability and high standards of conduct and probity.

Key responsibilities:

- Ensure compliance with the vision, values and goals of the company.

- Establish an ambitious and financially prudent strategic plan to achieve those goals.

- Approve each year’s business plan, budget and accounts.

- Establish and oversee robust frameworks and systems for delegation, risk management and mitigation, business assurance and control.

- Agree policies and make decisions on matters that might create significant financial or other risk to the company or which raise material issues of principle.

- Robustly monitor organisational performance in relation to such plans, budgets, controls and decisions.

- Contribute to on-going change as required in the interests of the company, including the harmonisation of service delivery following merger.

- Be satisfied that the company’s affairs are conducted lawfully and in accordance with regulatory requirements, & generally accepted standards of performance and propriety.

- Ensure that decisions taken by the Board are in the company’s best interests.

Principal terms and conditions (For information purposes only)

1. Position Board Director 2. Remuneration

Board Directors at FPC are remunerated at £4,500pa. The remuneration for the Chair of FPC is £9,200. We will be looking to appoint a new Chair in the near future, and there is the potential for the newly appointed Board Director to be considered for that Chair position. We will discuss this further with candidates at first interview.

3. Time commitment

We estimate that the Board Director post requires a commitment of around 12 days per year. These are not full days, and include time for preparing for the four FPC Board meetings, as well as other ad hoc events. There will be an induction programme for the newly appointed Board Director to ensure that you can settle into your role, and this will require some additional time commitment at the beginning of your appointment. Fortis Living are committed to ensuring that Board Directors have access to further training and development, and the opportunity to attend conferences and other events as a representative of FPC.

4. Location

Meetings are usually held at our main offices in Malvern and Worcester. Candidates will need to confirm their commitment to travel across our operating region as required, and show an appreciation of the needs of our region.
