Utility Construction and Rehabilitation Services

THIS ADDENDUM #3 TO AGREEMENT, is made and entered into by and between the COUNTY OF MANATEE, a political subdivision of the State of Florida, by and through its Board of County Commissioners, hereinafter referred to as the "County," with mailing address at 1112 Manatee Avenue West, Bradenton, Florida 34205, and Gator Grading and Paving, LLC, hereinafter referred to as the "Contractor," duly authorized to conduct business in the State of Florida, with offices located at 2704 1 05th Street East, Palmetto, Florida 34221 .

WHEREAS, on August 25, 2009, the parties hereto entered into an Agreement for Utility Construction and Rehabilitation Services as provided for in this Agreement, hereinafter "the Agreement;" and

WHEREAS, pursuant to Article 5 of the Agreement, the Agreement shall remain in effect for a period of one (1) year but may be renewed for FOUR (4) additional periods, each of one ( 1) year; and

WHEREAS, the County has determined a need for the services beyond the one (1 ) year period ending August 24, 2012.

NOW THEREFORE, for and in consideration of the mutual benefits to be derived, the parties hereto agree as follows:

Addendum #3

1. The duration of the Agreement shall be extended by one (1) year commencing August 25, 2012 and ending August 24, 2013.

2. All FEE RATES remain unchanged and as found in Exhibit "A" of the initial Agreement dated August 25, 2009.

3. All other terms and conditions of the Agreement shall remain in full force and effect during the term of the Agreement.

The parties hereto have caused this Addendum #3 to Agreement for Utility Construction and Rehabilitation Services (RFP# 08-1570BG) to be fully executed , in duplicate, by their authorized representatives.

The above referenced contracts with Gator Grading and Paving, Seavy and Associates, TLC Diversified, and Woodruff and Sons will expire on August 24, 2012.

Each of the noted firms has performed adequately; therefore, we wish to exercise the third option to renew their contracts for one year as described in the original contract. Two of the original firms, Bay to Bay Contracting and Steele & Associates, are no longer in business and have been omitted. We anticipate· that the total amount of any new work assignments generated within the renewal period wi!l be less than $1 million dollars.

• 08/25/09 the Board authorized the County Administrator, or Designee to execute the Agreements with the six (6) top ranked firms for Utility Construction and Rehabilitation Services. Two (2) of these six (6) firms have since changed their business status: Steele and Associates, Inc. of Bradenton, has ceased doing business in the local area as defined in "Local Business" under Manatee County Code of Law, 2-26-6, and Bay to Bay Contracting of Bradenton has merged with Gator Grading and Paving of Bradenton.

• 8/10/2010 Addendum #1 extended the agreement for one (1) year from the day following the original Agreement expiration date of August 24, 2010 for the four (4) remaining firms. The Unit Costs found in the original Agreement remained unchanged. The firms agreed to engage in a twelve (12) month renewal at the same fees. terms and conditions as the original Agreement.

• 712712012 Addend urn #2 extended the agreement for one ( 1) year from the day following the Addendum #1 expiration date of August 24, 2011. • The estimated expenditure for the Utility Construction and Rehabilitation Services for Addendum #3 is unchanged from that of Addendum #2, less than $1,000,000.00

• These Work Assignments will be managed by the Public Works Department I Project Management Division.
