Whereas:

(I) Party A is the real estate business company which is developing the Blooming Park located at Lot No.5, An Phu Ward, District 2, HCMC inclusive of high-class apartments designed according to international standards.

(II) Party B has already studied and verified the real status and the legal document of the Apartment (as described in Appendix 1 of this Agreement) of the Blooming Park.

(III) The Parties qualify their financial capacities and legal conditions as well to enter into this Agreement.

NOW, THEREFORE, THE PARTIES AGREE AS FOLLOWS:

ARTICLE 1. DEFINITION AND EXPLANATION

1.1 Unless otherwise required by the context, the following terms and expressions shall have meanings as follows:

(a) “Apartment” means the apartment no. ______ under the construction in the Blooming Park by Party A and will have been finished by October 31, 2010 with the technical details and specifications as specified in Appendix 1 attached to this Agreement.

(b) “Blooming Park” means the high-rise building located at Lot No.5, An Phu Ward, District 2, HCMC including high-class apartments for sale and lease.

(c) “Agreement” means the Apartment Long Term Lease Agreement and any appendix attached hereto as well as any written amendment of, addition to this Agreement made and entered into by Parties from time to time.

(d) “Apartment Long Term Lease Agreement” means the Apartment long term lease agreement in accordance with the form as per in Appendix 4 of this Agreement.

(e) “Technical Details and Specifications of the Apartment” means the technical

details and specifications of the Apartment as specified in Appendix 1 attached to this Agreement and any written relevant amendment, addition to made and decided by Party A or in accordance with Article 7.6 herein.

(f) “Lease Term” means the period from which the Apartment Long Term Lease Agreement becomes effective until the Investment Certificate of Party A expires (even if being extended) unless otherwise provided by the laws of Vietnam or agreed by the Parties.

(g) “Agreement Term” has the meaning as defined in Article 11 herein.

(h) “Rental” means the rental of the Lease Term per square meter of the Apartment as provided in Article 3 of this Agreement.

(i) “Apartment Value” means the total value of the Apartment by the Rental multiple the area of the Apartment as defined in the Appendix 1 attached hereto.

(j) “Expected Completion Date” means October 31, 2010 when the construction of the Apartment is expected to complete.

(k) “Apartment Handover Date” means any date when the Apartment is handed over actually as set out in Article 4.2 of this Contract.

(l) “Grace Period” means the period of ±6 months from the expected completion date.

(m) “Apartment Ownership Certificate” means the Apartment ownership certificate to be granted by a competent authority of Ho Chi Minh City to Party B in accordance with this Agreement and the laws of Vietnam.

(n) “Force Majeure” means either of events set out in Article 12 of this Agreement.

(o) “General Internal Rules” means the general internal rules of Blooming Park to be prepared by the Management Committee.

(p) “Management Committee” means the management committee to be set up or assigned by Party A for management of the Blooming Park during the time when it is put into operation.

1.2 Unless otherwise required by the context or provision of this Agreement:

(a) Any reference to Article and Appendix means reference to Article and Appendix of this Agreement;

(b) Singular terms also includes plural and vice versa; and

(c) References to Party or Parties shall be construed as references to such Party or Parties and its or their successors or replaced persons as well;

(d) References to a person, a third party shall be construed as references to an individual or a legal entity established in any form and its successors and replaced persons as well.

ARTICLE 2. OBJECT OF THE AGREEMENT

Subject to the construction and the completion of Blooming Park and the Apartment, Party A promises to grant the Apartment lease and Party B promises to lease the Apartment in accordance with the terms and conditions of this Agreement.

ARTICLE 3. APARTMENT VALUE - PAYMENT

3.1 The Rental is VND _____________________________________(in words: _____________________________________________________________________________________) and the Apartment Values will be VND ___________________________________(in words: ____________________________________________________________________________________________________) payable by Party B to Party A for the entire Lease Term in accordance with this Agreement and the Apartment Long Term Lease Agreement.

3.2 The Apartment Value is exclusive of:

(a) The value added tax (VAT)

(b) Registration fees, administrative fees, notarization fees or other fees or charges, taxes payable by Party B to the State of Vietnam and other payments relating to the sale and purchase of the Apartment between the Parties and other administration procedure to obtain of the Apartment Ownership Certificate in accordance with this Agreement and the laws of Vietnam from time to time

(c) Monthly management and maintenance fees in line with Article 7.4, common facility use fees, garbage charges, water charges, electricity charges etc…. to the Apartment as to be described in the General Internal Rules

(d) The price of Separate Contract Items not in Appendix 1 herein

3.3 The advances and payments for the Apartment Value shall follow the payment schedule described in Appendix 2 attached hereto. In order to secure Party B entering into the Apartment Long Term Lease Agreement with Party A and the performance of Party B’s obligations in accordance with this Agreement, Party B agrees to pay the Apartment Value in advance as scheduled in the Appendix 2 attached hereto provided that Party A and Party B shall enter into the Apartment Long Term Lease Agreement when Party B has advanced the Apartment Value completely.

3.4 All sums, payments payable by Party B to Party A in accordance with this Agreement shall be carried out by either of the following methods:

(a) In cash at the place where Party A designate. The valid receipt issued by Party A shall be fully signed and sealed by Party A’s legal representative or authorized representative.

(b) By transfer to the following bank account of Party A:

ARTICLE 4. APARTMENT HANDOVER

4.1 Unless otherwise agreed by the Parties, the Apartment may be handed over to Party B at any time falling into the Grace Period provided always that

(a) The Apartment Value has been paid to Party A completely by Party B (i.e. the 7th

installment of payment has been made completely); and

(b) Party B completes all taxable and financial obligations, and other relevant fees, charges arising from this Agreement and in accordance with the regulations, except any financial obligations arising additionally from Article 4.6 and Article 4.7 herein (if any)

4.2 At least 15 days prior to the Apartment handover, Party A shall notify in writing of the Apartment handover to Party B, specifying the date of handover. The Apartment unless otherwise agreed in writing by Party A and Party B will be handed over to Party B under the witnesses of Party B and the authorized person of Party A. This handover will be taken in minutes by Party B and the authorized person of Party A. The Apartment Handover Date shall be the date when the minutes are taken.

4.3 Unless otherwise accepted in writing by Party A, in case Party B regardless of any reason fails to take over the Apartment as required in the notification mentioned in Article 4.2 herein, the Apartment Handover Date will be the date of handover specified in this notification and Party B shall accept the status of the handed-over Apartment as it is without any claims or objections.

4.4 The Apartment with the Technical Details and Specifications shall be handed over in conformity of Article 4.1 herein or of a written agreement between the Parties hereafter. The Parties hereby agree that the actual area of the Apartment to be handed over to Party B may be different from the area of the Apartment as set out in Appendix 1 of this Agreement as long as the different ratio would be ±2% acceptably.

4.5 In case the different ratio of the actual area of the Apartment exceeds ±2% compared to the area described in Appendix 1 herein, Party B shall be entitled to refuse the Apartment handover in writing and to be refunded all sums received by Party A after deduction of any contractual penalties incurred by Party B. Party A will agree to pay Party B the interest to this sum refundable to Party B with the 12 month deposit rate to be quoted by Woori Bank at the refunding moment which is not later than 60 days from the Apartment Handover Date.

4.6 If there is any different ratio between the actual area of the Apartment and the area described in Appendix 1 herein to happen as set forth in Article 4.4 or 4.5 acceptably by the Parties, then the Apartment Value will be adjusted respectively in the below formulation based on the actual area.

Adjusted Apartment Value = the Rental * the actual area with the condition that the Rental will be computed based on Article 3.1 herein.

4.7 Any difference between the Apartment Value and the adjusted Apartment Value shall be settled by the Parties within 60 days prior to the execution of the Apartment Long Term Lease Agreement.

4.8 The Apartment Long Term Lease Agreement

(a) Upon the Apartment Handover Date, Party A shall carry out all necessary procedure with the competent authority as requested by the regulations to entering into the Apartment Long Term Lease Agreement with Party B, provided that all necessary documents are provided by Party B as required.

(b) The Apartment Long Term Lease Agreement shall be executed by Party A and Party B only after all financial obligations of Party B under this Agreement are finished.

ARTICLE 5. CONTRACTUAL PENALTY

5.1 If the Apartment is delayed intentionally by Party A to be handed over to Party B, Party A shall pay Party B an interest to the total sum paid by Party B at the rate of 0.015% per day on the calculation basis from the date upon the Grace Period expiry until the time on which the Apartment is handed over by Party A to Party B actually unless the delay is caused from a default of Party B or an Event of Force Majeure in accordance with Article 12 herein.

5.2 In case of defaulting payments, Party B shall incur the overdue interest rate of 0.015% per day for the overdue payment on the calculation basis from the due date until Party A receives the outstanding payments fully which Party B would have paid in accordance with the payment schedule.

5.3 Notwithstanding Article 5.2 above, if Party B fails to pay the deposit as due as mentioned in Appendix 2, Party A shall have the rights to terminate the Agreement.

ARTICLE 6. AGREEMENT TRANSFER AND MORTGAGE

6.1 Upon advancing the second installments of the Payment Schedule, Party B will be entitled to transfer its rights in respect of the Apartment in accordance with this Agreement to any person who is permitted to lease the Apartment on a long term basis or to own the Apartment in Vietnam in the manners that:

(a) Firstly, Party B must send Party A the written request for the Agreement transfer to a third party;

(b) Party A may refuse the transfer mentioned in paragraph (a) above if Party A has doubted reasonably that the relevant third party may not have necessary permission as may be required by the laws of Vietnam to lease the Apartment on a long term basis or to own the Apartment, or not afford to advance and pay Party A any remain of the Apartment Value in accordance with this Agreement (if any); and

(c) In the event that Party A agrees with such transfer, all rights and obligations of Party B shall be transferred to the relevant third party upon Party A, Party B and the relevant third party enter into an annex recording the acceptance of this transfer and this annex will become integral to this Agreement and/or the Long Term Lease Agreement as the case maybe. All advances that have been paid by Party B to Party A shall not be refunded to Party B, but forwarded to the title of the relevant third party.

(d) Party B shall incur the transfer fee of VND 8,000,000 plus other administrative fees/costs required by the laws of Vietnam from time to time for every transfer to a third party.

6.2 After the Apartment has been handed over to Party B and all financial obligations of Party B herein are finished, Party B may sub-lease the Apartment to the third party who is permitted to lease the Apartment in Vietnam and in accordance with the laws of Vietnam from time to time provided prior written notices hereof to the Management Committee and Party A. For avoidance of doubt, in case of sub-lease, Party B shall continue its responsibilities set forth in the Apartment Long Term Lease Agreement.

6.3 After the Apartment has been handed over to Party B and all financial obligations of Party B herein are finished, Party B shall be entitled to mortgage its right to lease the Apartment in accordance with the laws of Vietnam and this Agreement to a bank operating in Vietnam. In such an event, Party B shall deliver Party A for the consideration and acceptance of Party A the prior written notification hereof and the mortgage draft. For avoidance of doubt, Party A shall only approve such a mortgage if

(a) the mortgage drafted is, in any respect, not contravene the laws of Vietnam and this Agreement;

(b) the mortgage does not adversely affect Party A’s rights and benefits in accordance with this Agreement;

(c) Party A is not required to perform any action arising from or relating to the mortgage beyond possibilities of Party A; and

(d) Party B agrees to indemnify and pay Party A all accrued expenses of damages incurred by Party A due to its approval of such a mortgage.

ARTICLE 7. APARTMENT WARRANTY - MAINTENANCE

7.1 Party A shall, by its own expenses, carry out the Apartment warranty as follows:

(a) the period of 60 months from the Apartment Handover Date for structural items of the Apartment; and

(b) the period of 12 months from the Apartment Handover Date for interiors of the Apartment which are mentioned in the Appendix 1 herein.

7.2 During the warranty period as set out in Article 7.1 above, Party B must notify Party A within 10 days from the date on which Party B detects error, fail, shortcoming of the Apartment, concurrently Party B must perform any reasonable method to minimize loses, damages arising from such error, fail, shortcoming. If Party B notifies late or fails to perform the reasonable method to minimize the same, Party A has the right to shorten its warranty responsibility correspondingly.

7.3 The warranty scope shall exclude any damage or loss to the Apartment being resulted from the following reasons:

(a) the careless use or incorrect use of the Apartment of Party B; (b) any change of the Apartment use or function without acceptance in advance by

Party A; or

(c) other damages or losses which are not caused intentionally by Party A

7.4 The Apartment shall be maintained by Party A and the Management Committee in accordance with the laws of Vietnam and the General Internal Rules.

ARTICLE 8. RIGHTS AND OBLIGATIONS OF PARTY A

During the Term of the Agreement, Party A shall have the following rights and obligations:

8.1 Constructing Blooming Park and the Apartment together with the Common Facilities completely in accordance with the approved design and quality requirements and the terms and conditions of this Agreement;

8.2 Assigning authorised staff to follow up and deal with the issues occurred during the implementation of this Agreement by the Parties;

8.3 Being entitled to receive all advanced sums and other payments (if any) from Party B and all of its other rights and benefits in accordance with this Agreement and the General Internal Rules; and

8.4 Handing over the Apartment on time as set out in Article 4 of this Agreement;

8.5 Establishing the Management Committee, issuing the General Internal Rules and providing management services to Blooming Park; and

8.6 Having other rights and obligations as set forth herein

ARTICLE 9. RIGHT AND OBLIGATIONS OF PARTY B

During the Term of the Agreement, Party B shall have the following rights and obligations:

9.1 Ensuring the legal status to enter into this Agreement;

9.2 Making the payments to Party A promptly and fully as scheduled in the Appendix 2 herein;

9.3 Taking the handover of the Apartment in the way mentioned in Article 4 above;

9.4 Being fully responsible for the Apartment usage and strictly obeying and complying the General Internal Rules;

9.5 Being responsible for the obtaining and maintaining of necessary insurance for risks, damages for the Apartment and necessary insurance for civil liabilities as required by laws of Vietnam from time to time;

9.6 Being entitled to use the Apartment in accordance with the provisions of this Agreement, the Apartment Long Term Lease Agreement and the General Internal Rules;

9.7 Being entitled to propose Party A to change the Technical Details and Specifications. In such an event, the Parties hereby agree that:

(a) Changes to the Technical Details and Specifications as proposed by Party B shall be carried out only if agreed by Party A. Party A may refuse any change to the Technical Details and Specification proposed by Party B if such change, in Party A’s opinions, may adversely affect the Apartment, the Blooming Park or the construction and completion of the Blooming Park; and

(b) In the event that Party A agrees with the changes to the Technical Details and Specifications as proposed by Party B, the Parties shall enter into a new appendix to amend the relevant Appendix 1 of this Agreement and also set out:

(i) Increase or decrease difference of Apartment Value arising from the changes (if any) and methods to deal with such difference; and

(ii) Extension of Apartment Handover Time (if any).

9.8 Keeping Party A from any responsibility related to dispute or claim between Party B and a third party regarding Party B’s execution and performance of the Contract. During the exercise of this Contract, keeping Party A indemnified from damages to Party A caused by or arisen from such a claim and/or dispute; and

9.9 Being entitled to all of its other rights and benefits in accordance with this Agreement and the General Internal Rules.

ARTICLE 10. CONVERSION OF THE AGREEMENT – OWNERSHIP

10.1 Upon the execution of this Agreement if there is a change in the laws or the interpretation or application thereof which permits Party B to acquire the ownership of the Apartment, then Party B, at its discretion, shall enter into an apartment sale and purchase agreement or the like without any increase of the Apartment Value. Then, this Agreement shall terminate automatically; the Apartment Value will become the Selling Price of the Apartment and all the advances of the Apartment Value will become the advances of the Selling Price.

10.2 During the Lease Term, if there is a change in the laws or the interpretation or application thereof which permits Party B to own the Apartment, Party B shall have the Apartment ownership without further payments for the Apartment Value except administrative costs, fees or taxes imposable to acquire the Apartment ownership (including the pro-rata share of the land-related fees associated with the ownership of the Apartment and land use, if any). In such circumstances, Party A shall use all reasonable commercial endeavour to perform all compulsory formalities to support Party B the ownership acquisition to the Apartment. For avoidance of doubt, the Apartment ownership by Party B shall include only the Apartment and the common right to use the land on which the Blooming Park is located. All other areas shall remain under the ownership of Party A unless otherwise determined by Party A.

10.3 If the Investment Certificate of Party A is extended for another term and Party B has not yet converted the lease of the Apartment into the ownership for whatever reason, Party B may extend the Lease Term without further payments for the Apartment Value except administrative costs, fees or taxes imposable to acquire the Apartment ownership (including the pro-rata share of the land-related fees associated with the ownership of the Apartment and land use, if any) which may arise from such an extension of the Lease Term.

10.4 If the Investment Certificate of Party A expires and Party A cannot renew the Investment Certificate and Party B has not yet made the conversion as contemplated in Article 10.1 above, Party B shall handover the Apartment to the Landlord and if the Apartment is sold by Party A, or if Party A must handover the Apartment to the relevant authorities as required so by the laws of Vietnam and Party A receives payment for this handover, Party B shall receive the proceeds of such sale/handover on a pro-rata basis (minus any expenses incurred by Party A in connection with the sale/handover).

ARTICLE 11. TERM AND TERMINATION OF THE AGREEMENT

11.1 The Agreement Term shall commence from the signing date hereof and terminate on the date the Apartment Long Term Lease Agreement has been entered into by both Parties formally except cases mentioned in Article 11.2 herein. Upon the expiry of the Agreement Term, the rights and obligations of the Parties herefrom shall be continued and governed in the Apartment Long Term Lease Agreement.

11.2 This Agreement shall terminate prior to the Agreement Term in either of the following events:

(a) By mutual agreement in writing between the Parties;

(b) In events as set out in Article 5.3, Article 6.1 herein; or

(c) By a prior written notification sent by Party A to Party B in the event that Party B fails to secure necessary permission as required by the laws of Vietnam to acquire the Apartment or fails to pay wholly any installments of the Apartment Value within 45 days when and as due as set out in Appendix 2 of this Agreement.

In such an event, Party B in addition to the contractual penalty as imposed under Article 5 herein shall pay Party A for the fix indemnity of 20% of the Apartment Value and for any actual damages to Party A arising from or relating to the defaults of Party B. For avoidance of doubt, Party A may deduct the contractual penalty, the indemnity and other sums payable by Party B to Party A in accordance with this Agreement (if any) from the payments advanced by Party B to Party A, and refund Party B the remaining sum (if any).

(d) By a prior written notification sent by Party B to Party A if Party A fails to hand over the Apartment to Party B within 12 months after the Grace Period without any fault of Party B or any event of Force Majeure.

In such an event, Party A shall refund Party B the payments which Party B has advanced to Party A plus the interests at the 12 month deposit rate to be quoted by Woori Bank at the refunding moment which is not later than 60 days from the termination hereof.

11.3 All payment obligations of either Party to the other Party in accordance with this Agreement shall remain in effect and continue to bind the other Party even after the termination of this Agreement for whatever reason until the completion of the payment obligations.

ARTICLE 12. FORCE MAJEURE

12.1 Either of the following events beyond the control of either Party shall be considered as Force Majeure to that Party: prohibition or delay as stipulated by the laws or any competent authorities without fault of that Party, riots, war, national emergency (declared or undeclared), terrorism, public disturbance, strikes boycott, sanctions, embargo, failure or interruption of transportation or other utilities, epidemic, fire, flood, earthquake, storm, tidal waves or other natural disasters or other events beyond reasonable control of that Party.

12.2 If either Party fails its obligations in accordance with this Agreement due to direct result of a Force Majeure, such Party must notify to the other Party in writing within 07 days from happened Force Majeure and carries out all reasonable ways in order to minimize damages. In the event of Force Majeure, directly affected Party shall not bear responsibility for any damages, losses incurred by other Party due to its failed or delayed obligations. To avoid any dispute, losing and failing payment capacity shall not be considered as a Force Majeure.

12.3 In the event that Parties agree in writing, the obligation of directly affected Party shall be delayed during Force Majeure happening, provided that Parties must try their best to protect any relevant asset and legal benefit of the other Party and to repair result of Force Majeure.

ARTICLE 13. NOTICE AND CORRESPONDENCE

13.1 All notices, requests, claims or correspondence, etc. sent by one Party to the other Party shall be made in writing and sent to the following addresses:

13.2 All notices, requests, claims or correspondence etc. shall be deemed to be received by the other Party when they are sent (i) on sending date if delivered by hand to person of receiving Party; or (ii) on the date when usual evidence of transmission confirmation is received by the sender in the case of facsimile; or (iii) on the second day after posting date if sent by courier or registered mail. In such events, if the relevant days are Sunday or weekly day off, national holiday of Vietnam, all notices, requests, claims or correspondence, etc. shall be deemed to be received by the other Party on the following day.

13.3 If either of Parties changes the information as mentioned in clause 12.1 above shall notify to the other Party in writing.

ARTICLE 14. GOVERNING LAW AND DISPUTE RESOLUTION

14.1 This Agreement shall be construed, interpreted and governed by and in accordance with the laws of Vietnam.

14.2 Any dispute arising out of or in relation to this Agreement shall be resolved amicably through negotiations by the Parties. If the dispute fails to be resolved within thirty (30) days from the date one Party notifies in writing to the other Party of the arising dispute, either Party may submit the dispute to an authorized Court of Ho Chi Minh City for resolution.

ARTICLE 15. MISCELLANEOUS

15.1 This Agreement and its Appendices shall constitute an entire agreement between the Parties and supersede all previous agreements or memoranda, verbal or in writing, between the Parties in relation to the substance of this Agreement.

15.2 The Parties shall strictly obey and comply with this Agreement. All breaches to this Agreement shall cause the defaulting Party to be liable for compensation for damages to the other Party in accordance with the stipulations of the laws of Vietnam.

15.3 Any amendments of supplements to this Agreement and its Appendices shall be valid only if being made in writing and signed by both Parties.

15.4 If any provision of this Agreement is declared to be invalid by the relevant Vietnamese

authorities:

(a) the remaining provisions of this Agreement shall not be affected by such declaration of invalidity and shall remain in full force and binding the Parties; and

(b) the Parties shall discuss, negotiate and replace such invalid provision by another valid and suitable provision in accordance with the laws of Vietnam so that the benefits and rights of the Parties in accordance with this Agreement are secured.

15.5 This Agreement is made into three (03) original sets of English and Vietnamese with the equivalent validity. Party B shall retain one (01) original set and Party A shall retain the two (02) other original sets. In case of ambiguity or discrepancies, the English version shall take precedence.

(II) Party B has already studied and verified the real status and the legal document of the Apartment (as described in Appendix 1 of this Agreement) of the Blooming Park.

(III) The Parties qualify their financial capacities and legal conditions as well to enter into this Agreement.

NOW, THEREFORE, THE PARTIES AGREE AS FOLLOWS:

ARTICLE 1. DEFINITION AND EXPLANATION

1.1 Unless otherwise required by the context, the following terms and expressions shall have meanings as follows:

(a) “Apartment” means the apartment no. ________ under the construction in the Blooming Park by Party A and will have been finished by October 31, 2010 with the technical details and specifications as specified in Appendix 1 attached to this Agreement.

(b) “Blooming Park” means the high-rise building located at Lot No.5, An Phu Ward, District 2, HCMC including high-class apartments for sale and lease.

(c) “Agreement” means the Apartment Long Term Lease Agreement and any appendix attached hereto as well as any written amendment of, addition to this Agreement made and entered into by Parties from time to time.

(d) “Technical Details and Specifications of the Apartment” means the technical details and specifications of the Apartment as specified in Appendix 1 attached to this Agreement and any written relevant amendment, addition to made and decided by Party A or in accordance with Article 7.6 herein.

(e) “Lease Term” means the period from which the Apartment Long Term Lease Agreement becomes effective until the Investment Certificate of Party A expires (even if being extended) unless otherwise provided by the laws of Vietnam or agreed by the Parties.

(f) “Rental” means the rental of the Lease Term per square meter of the Apartment as provided in Article 3 of this Agreement.

(g) “Apartment Value” means the total value of the Apartment by the Rental multiple the area of the Apartment as defined in the Appendix 1 attached hereto.

(h) “Expected Completion Date” means October 31, 2010 when the construction of the Apartment is expected to complete.

(i) “Apartment Handover Date” means any date when the Apartment is handed over actually as set out in Article 4.2 of this Contract.

(j) “Grace Period” means the period of ±6 months from the expected completion date.

(k) “Apartment Ownership Certificate” means the Apartment ownership certificate to be granted by a competent authority of Ho Chi Minh City to Party B in accordance with this Agreement and the laws of Vietnam.

(l) “Force Majeure” means either of events set out in Article 12 of this Agreement.

(m) “General Internal Rules” means the general internal rules of Blooming Park to be prepared by the Management Committee.

(n) “Management Committee” means the management committee to be set up or assigned by Party A for management of the Blooming Park during the time when it is put into operation.

1.2 Unless otherwise required by the context or provision of this Agreement:

(a) Any reference to Article and Appendix means reference to Article and Appendix of this Agreement;

(b) Singular terms also includes plural and vice versa; and

(c) References to Party or Parties shall be construed as references to such Party or Parties and its or their successors or replaced persons as well;

(d) References to a person, a third party shall be construed as references to an individual or a legal entity established in any form and its successors and replaced persons as well.

ARTICLE 2. OBJECT OF THE AGREEMENT

Subject to the construction and the completion of Blooming Park and the Apartment, Party A promises to grant the Apartment lease and Party B promises to lease the Apartment in accordance with the terms and conditions of this Agreement.

ARTICLE 3. APARTMENT VALUE - PAYMENT

3.1 The Rental is VND _________________________________________(in words: _________________________________________________________________________________) and the Apartment Values will be VND __________________________________________

(in words: ______________________________________________________________________________________________________________________________________) payable by Party B to Party A for the entire Lease Term in accordance with this Agreement and the Apartment Long Term Lease Agreement.

3.2 The Apartment Value is exclusive of:

(a) The value added tax (VAT)

(b) Registration fees, administrative fees, notarization fees or other fees or charges, taxes payable by Party B to the State of Vietnam and other payments relating to the sale and purchase of the Apartment between the Parties and other administration procedure to obtain of the Apartment Ownership Certificate in accordance with this Agreement and the laws of Vietnam from time to time

(c) Monthly management and maintenance fees in line with Article 7.4, common facility use fees, garbage charges, water charges, electricity charges etc. to the Apartment as to be described in the General Internal Rules.

(d) The price of Separate Contract Items not in Appendix 1 herein

3.3 It is agreed by the Parties that prior to the execution of the Agreement, Party B has advanced the Apartment Value completely and finished all financial obligations of Party B arising herefrom.

ARTICLE 4. AGREEMENT TRANSFER AND MORTGAGE

4.1 In case Party B wishes to transfer its rights in respect of the Apartment in accordance with this Agreement to any person who is permitted to lease the Apartment on a long term basis or to own the Apartment in Vietnam, Party B must send Party A the written notification of the Agreement transfer.

4.2 Party A, Party B and the relevant third party will enter into an annex recording the acceptance of this transfer and this annex will become integral to this Agreement.

4.3 Rights and obligations of Party B under this Agreement will be carried forward to the relevant third party accordingly upon the annex signed.

4.4 Party B shall incur the transfer fee of VND 8,000,000 plus other administrative fees/costs required by the laws of Vietnam from time to time for every transfer to a third party.

4.5 Party B may sub-lease the Apartment to the third party who is permitted to lease the Apartment in Vietnam and in accordance with the laws of Vietnam from time to time provided prior written notices hereof to the Management Committee and Party A. For avoidance of doubt, in case of sub-lease, Party B shall continue its responsibilities set forth in the Apartment Long Term Lease Agreement.

4.6 Party B shall be entitled to mortgage its right to lease the Apartment in accordance with

the laws of Vietnam and this Agreement to a bank operating in Vietnam. In such an event, Party B shall deliver Party A for the consideration and acceptance of Party A the prior written notification hereof and the mortgage draft. For avoidance of doubt, Party A shall only approve such a mortgage if

(a) the mortgage drafted is, in any respect, not contravene the laws of Vietnam and this Agreement;

(b) the mortgage does not adversely affect Party A’s rights and benefits in accordance with this Agreement;

(c) Party A is not required to perform any action arising from or relating to the mortgage beyond possibilities of Party A; and

(d) Party B agrees to indemnify and pay Party A all accrued expenses of damages incurred by Party A due to its approval of such a mortgage.

ARTICLE 5. APARTMENT WARRANTY - MAINTENANCE

5.1 Party A shall, by its own expenses, carry out the Apartment warranty as follows:

(a) the period of 60 months from the Apartment Handover Date for structural items of the Apartment; and

(b) the period of 12 months from the Apartment Handover Date for interiors of the Apartment which are mentioned in the Appendix 1 herein.

5.2 During the warranty period as set out in Article 5.1 above, Party B must notify Party A within

10 days from the date on which Party B detects error, fail, shortcoming of the Apartment, concurrently Party B must perform any reasonable method to minimize loses, damages arising from such error, fail, shortcoming. If Party B notifies late or fails to perform the reasonable method to minimize the same, Party A has the right to shorten its warranty responsibility correspondingly.

5.3 The warranty scope shall exclude any damage or loss to the Apartment being resulted from the following reasons:

(a) the careless use or incorrect use of the Apartment of Party B; (b) any change of the Apartment use or function without acceptance in advance by

Party A; or

(c) other damages or losses which are not caused intentionally by Party A.

5.4 The Apartment shall be maintained by Party A and the Management Committee in accordance with the laws of Vietnam and the General Internal Rules.

ARTICLE 6. RIGHTS AND OBLIGATIONS OF PARTY A

During the Term of the Agreement, Party A shall have the following rights and obligations:

6.1 Assigning authorised staff to follow up and deal with the issues occurred during the implementation of this Agreement by the Parties;

6.2 Establishing the Management Committee, issuing the General Internal Rules, providing management services of the Blooming Park;

6.3 Doing the maintenance for the Apartment and conducting the warranty from the Apartment Handover Date. Party A’s maintenance obligations in respect of the Apartment and all relevant issues shall be specified in the General Internal Rules;

6.4 Being entitled to receive all advanced sums and other payments (if any) from Party B and all of its other rights and benefits in accordance with this Agreement and the General Internal Rules of the Blooming Park; and

6.5 Having other rights and obligations as set forth herein

ARTICLE 7. RIGHT AND OBLIGATIONS OF PARTY B

During the Term of the Agreement, Party B shall have the following rights and obligations:

7.1 Being fully responsible for the Apartment usage and strictly obeying and complying the General Internal Rules;

7.2 Being responsible for the obtaining and maintaining of necessary insurance for risks, damages for the Apartment and necessary insurance for civil liabilities as required by laws of Vietnam from time to time.

7.3 Being entitled to use the Apartment in accordance with the provisions of this Agreement, the Apartment Long Term Lease Agreement and the General Internal Rules;

7.4 Being entitled to propose Party A to change the Technical Details and Specifications. In such an event, the Parties hereby agree that:

(a) Changes to the Technical Details and Specifications as proposed by Party B shall be carried out only if agreed by Party A. Party A may refuse any change to the Technical Details and Specification proposed by Party B if such change, in Party A’s opinions, may adversely affect the Apartment, the Blooming Park or the construction and completion of the Blooming Park; and

(b) In the event that Party A agrees with the changes to the Technical Details and Specifications as proposed by Party B, the changes will be carried out at the account of Party B

7.5 Being entitled to all of its other rights and benefits in accordance with this Agreement and the General Internal Rules.

ARTICLE 8. CONVERSION OF THE AGREEMENT – OWNERSHIP

8.1 During the Lease Term, if there is a change in the laws or the interpretation or application thereof which permits Party B to own the Apartment, Party B shall have the Apartment ownership without further payments for the Apartment Value except administrative costs, fees or taxes imposable to acquire the Apartment ownership (including the pro-rata share of the land-related fees associated with the ownership of the Apartment and land use, if any). In such circumstances, Party A shall use all reasonable commercial endeavour to perform all compulsory formalities to support Party B the ownership acquisition to the Apartment. For avoidance of doubt, the Apartment ownership by Party B shall include only the Apartment and the common right to use the land on which the Blooming Park is located. All other areas shall remain under the ownership of Party A unless otherwise determined by Party A.

8.2 If the Investment Certificate of Party A is extended for another term and Party B has not yet converted the lease of the Apartment into the ownership for whatever reason, Party B may extend the Lease Term without further payments for the Apartment Value except administrative costs, fees or taxes imposable to acquire the Apartment ownership (including the pro-rata share of the land-related fees associated with the ownership of the Apartment and land use, if any) which may arise from such an extension of the Lease Term.

8.3 If the Investment Certificate of Party A expires and Party A cannot renew the Investment Certificate and Party B has not yet made the conversion as contemplated in Article 8.1 above, Party B shall handover the Apartment to the Landlord and if the Apartment is sold by Party A, or if Party A must handover the Apartment to the relevant authorities as required so by the laws of Vietnam and Party A receives payment for this handover, Party B shall receive the proceeds of such sale/handover on a pro-rata basis (minus any expenses incurred by Party A in connection with the sale/handover).

ARTICLE 9. FORCE MAJEURE

9.1 Either of the following events beyond the control of either Party shall be considered as Force Majeure to that Party: prohibition or delay as stipulated by the laws or any competent authorities without fault of that Party, riots, war, national emergency (declared or undeclared), terrorism, public disturbance, strikes boycott, sanctions, embargo, failure or interruption of transportation or other utilities, epidemic, fire, flood, earthquake, storm, tidal waves or other natural disasters or other events beyond reasonable control of that Party.

9.2 If either Party fails its obligations in accordance with this Agreement due to direct result of a Force Majeure, such Party must notify to the other Party in writing within 07 days from happened Force Majeure and carries out all reasonable ways in order to minimize damages. In the event of Force Majeure, directly affected Party shall not bear responsibility for any damages, losses incurred by other Party due to its failed or delayed obligations. To avoid any dispute, losing and failing payment capacity shall not be considered as a Force Majeure.

9.3 In the event that Parties agree in writing, the obligation of directly affected Party shall be delayed during Force Majeure happening, provided that Parties must try their best to protect any relevant asset and legal benefit of the other Party and to repair result of Force Majeure.

ARTICLE 10. NOTICE AND CORRESPONDENCE

10.1 All notices, requests, claims or correspondence, etc. sent by one Party to the other Party shall be made in writing and sent to the following addresses:

10.2 All notices, requests, claims or correspondence etc. shall be deemed to be received by the other Party when they are sent (i) on sending date if delivered by hand to person of receiving Party; or (ii) on the date when usual evidence of transmission confirmation is received by the sender in the case of facsimile; or (iii) on the second day after posting date if sent by courier or registered mail. In such events, if the relevant days are Sunday or weekly day off, national holiday of Vietnam, all notices, requests, claims or correspondence, etc. shall be deemed to be received by the other Party on the following day.

10.3 If either of Parties changes the information as mentioned in clause 10.1 above shall notify to the other Party in writing.

ARTICLE 11. GOVERNING LAW AND DISPUTE RESOLUTION

11.1 This Agreement shall be construed, interpreted and governed by and in accordance with the laws of Vietnam.

11.2 Any dispute arising out of or in relation to this Agreement shall be resolved amicably through negotiations by the Parties. If the dispute fails to be resolved within thirty (30) days from the date one Party notifies in writing to the other Party of the arising dispute, either Party may submit the dispute to an authorized Court of Ho Chi Minh City for resolution.

ARTICLE 12. MISCELLANEOUS

12.1 This Agreement and its Appendices shall constitute an entire agreement between the Parties and supersede all previous agreements or memoranda, verbal or in writing, between the Parties in relation to the substance of this Agreement.

12.2 The Parties shall strictly obey and comply with this Agreement. All breaches to this Agreement shall cause the defaulting Party to be liable for compensation for damages to the other Party in accordance with the stipulations of the laws of Vietnam.

As a subsequence, the Transferee shall assume all rights, obligations and liabilities of Party B under the Agreement from the signatories of this Acknowledgment.

1.2 From the signing date of this Acknowledgement, all rights and obligations of Party B in respect of the Apartment in accordance with the Agreement shall be transferred from Party B to the Transferee entirely.

1.3 From the signing date of this Acknowledgement, except the undertakings and provisions of this Acknowledgement, Party B shall no longer be a party to the Agreement.

ARTICLE 2. UNDERTAKINGS

The Parties hereby expressly undertake that:

2.1 Upon this Acknowledgement is signed, Party B shall pay Party A the fee of VND 8,000,000 for the transfer formalities to be carried out.

2.2 Party B shall transfer any and all originals as well as duplicates of contractual documents and receipts to the Transferee, including but not limited to:

(a) The Agreement and its Appendix;

(b) All receipts and/or invoices issued by Party A to Party B evidencing the fulfillment of _____ payment installments in accordance with Appendix 2 of the Agreement; and

(c) Any other contractual documents, writings, notices between Party A and Party B.

2.3 Party B shall, at its own expenses, pay for taxes, fees and charges arisen (if any) incurred from such a transfer.

2.4 All advanced sums that have been paid by Party B to Party A under the Agreement shall not be refunded to Party B, but shall be carried forward to the Transferee.

2.5 Save for the payments in Article 2.2, Article 2.3 and Article 2.4 herein, Party A will be free from any liabilities and financial obligations arising from the transfer between Party B and the Transferee.

2.6 Upon signing of this Acknowledgement, Party A and the Transferee shall enter into a new agreement on future property sales which will supersede the Agreement entirely.

2.7 The parties shall strictly comply with all provisions of this Acknowledgement.

ARTICLE 3. GENERAL PROVISIONS

3.1 This Acknowledgement shall be incorporated into the Agreement.

3.2 This Acknowledgement shall come into force and effect from its signing date as set out at the beginning of the Acknowledgement.

3.3 This Acknowledgement is made into four (04) original sets of Vietnamese and English originals. Each of Party B and the Transferee shall retain one (01) set, and Party A shall retain two (02) sets. In case of discrepancies between the two versions, the English version shall prevail.

NAY, CAÙC BEÂN THEO ÑAÂY THOÛA THUAÄN NHÖ SAU:

ÑIEÀU 1. ÑÒNH NGHÓA VAØ GIAÛI THÍCH

1.1 Tröø khi ngöõ caûnh coù yeâu caàu khaùc ñi, nhöõng ñieàu kieän vaø cuïm töø döôùi ñaây seõ coù nghóa nhö sau:

(a) “Caên ho ä” nghóa laø caên hoä soá _____________ ñöôïc beân A xaây döïng thuoäc Blooming Park vaø seõ ñöôïc hoaøn thaønh vaøo ngaøy 31/10/2010, vôùi nhöõng chi tieát kyõ thuaät vaø ñaëc ñieåm theo nhö Phuï luïc I keøm theo Hôïp ñoàng naøy.

(b) “Blooming Park” nghóa laø cao oác cao taàng toïa laïc taïi Loâ soá 5, phöôøng An Phuù,

quaän 2, Tp. Hoà Chí Minh, goàm nhöõng caên hoä cao caáp ñeå baùn vaø cho thueâ. (c) “Hôïp ñoàng” nghóa laø Hôïp ñoàng Höùa Thueâ Daøi haïn vaø baát kyø phuï luïc naøo ñính keøm

Hôïp ñoàng naøy cuõng nhö baát kyø söûa ñoåi, boå sung naøo ñoái vôùi Hôïp ñoàng naøy ñöôïc caùc Beân laäp thaønh vaên baûn vaø kyù keát tuøy töøng thôøi ñieåm.

(d) “Hôïp ñoàng Thueâ Caên hoä Daøi haïn” nghóa laø hôïp ñoàng thueâ Caên hoä daøi haïn phuø

hôïp hình thöùc nhö taïi Phuï luïc 4 cuûa Hôïp ñoàng naøy.

(e) “Chi tieát Kyõ thuaät vaø Ñaëc ñieåm cuûa Caên ho ä” nghóa laø nhöõng chi tieát kyõ thuaät vaø ñaëc ñieåm cuûa Caên hoä nhö ñöôïc xaùc ñònh taïi Phuï luïc 1 keøm theo Hôïp ñoàng naøy vaø baát kyø söûa ñoåi, boå sung coù lieân quan ñöôïc Beân A laäp vaø quyeát ñònh hoaëc theo Ñieàu 7.6 Hôïp ñoàng naøy.

(f) “Thôøi haïn Thueâ” nghóa laø thôøi haïn töø khi Hôïp ñoàng Thueâ Caên hoä Daøi haïn coù hieäu löïc cho ñeán khi heát thôøi haïn trong Giaáy Chöùng nhaän Ñaàu tö cuûa Beân A (keå caû khi ñöôïc gia haïn) tröø khi luaät phaùp Vieät Nam coù quy ñònh khaùc hoaëc caùc Beân coù thoûa thuaän khaùc.

(g) “Thôøi haïn Hôïp ñoàng” coù nghóa nhö ñöôïc quy ñònh taïi Ñieàu 11 Hôïp ñoàng naøy.

(h) “Tieàn thueâ” nghóa laø tieàn thueâ moãi meùt vuoâng cuûa Caên hoä trong Thôøi haïn Thueâ nhö quy ñònh taïi Ñieàu 3 Hôïp ñoàng naøy.

(i) “Giaù trò Caên ho ä” nghóa laø toång giaù trò Caên hoä baèng Tieàn thueâ nhaân dieän tích Caên hoä, nhö ñöôïc quy ñònh taïi Phuï luïc 1 keøm theo Hôïp ñoàng naøy.

(j) “Ngaøy Hoaøn thaønh Döï kieán“ nghóa laø ngaøy 31 thaùng 10 naêm 2010, ngaøy maø vieäc xaây döïng Caên hoä seõ hoaøn thaønh nhö döï kieán.

(k) “Ngaøy Baøn giao Caên ho ä” nghóa laø ngaøy Caên hoä ñöôïc baøn giao treân thöïc teá nhö quy ñònh taïi Ñieàu 4.2 Hôïp ñoàng naøy.

(l) “Thôøi gian AÂn haïn” nghóa laø thôøi gian ±6 thaùng keå töø ngaøy hoaøn thaønh döï kieán.

(m) “Giaáy Chöùng nhaän Quyeàn sôû höõu Caên hoä” nghóa laø giaáy chöùng nhaän quyeàn söû duïng caên hoä ñöôïc cô quan coù thaåm quyeàn höõu quan cuûa Tp. Hoà Chí Minh caáp cho Beân B, phuø hôïp Hôïp ñoàng naøy vaø phaùp luaät Vieät Nam.

(n) “Baát khaû khaùng” nghóa laø moät trong caùc söï kieän ñöôïc quy ñònh taïi Ñieàu 12 Hôïp ñoàng naøy.

(o) “Noäi quy Noäi boä Chung” nghóa laø nhöõng noäi quy noäi boä chung cuûa Blooming Park

seõ ñöôïc Ban Quaûn lyù soaïn thaûo. (p) “Ban Quaûn ly ù” nghóa laø ban quaûn lyù seõ ñöôïc Beân A thaønh laäp ñeå quaûn lyù Blooming

Park trong suoát thôøi gian ñöôïc ñöa vaøo söû duïng.

1.2 Tröø khi ngöõ caûnh hoaëc quy ñònh cuûa Hôïp ñoàng naøy yeâu caàu khaùc ñi:

(a) Baát kyø tham chieáu ñeán Ñieàu vaø Phuï luïc nghóa laø tham chieáu ñeán Ñieàu vaø Phuï luïc cuûa Hôïp ñoàng naøy.

(b) Caùc cuïm töø soá ít cuõng haøm nghóa soá nhieàu vaø ngöôïc laïi;

(c) Nhöõng tham chieáu ñeán Beân hoaëc caùc Beân ñöôïc hieåu laø nhöõng tham chieáu ñeán Beân hoaëc caùc Beân trong Hôïp ñoàng cuõng nhö nhöõng ngöôøi thöøa keá hoaëc ñöôïc thay theá cuûa Beân hoaëc caùc Beân naøy; vaø

(d) Nhöõng tham chieáu ñeán moät ngöôøi, moät beân thöù ba ñöôïc hieåu laø nhöõng tham chieáu ñeán

moät caù nhaân hoaëc moät phaùp nhaân ñöôïc thaønh laäp döôùi baát kyø hình thöùc naøo cuõng nhö nhöõng ngöôøi thöøa keá hoaëc ñöôïc thay theá cuûa caù nhaân hoaëc phaùp nhaân naøy.

ÑIEÀU 2. ÑOÁI TÖÔÏNG HÔÏP ÑOÀNG

Tuøy thuoäc vaøo vieäc xaây döïng vaø hoaøn thaønh Blooming Park vaø Caên hoä, Beân A cam keát cho thueâ Caên hoä vaø Beân B cam keát thueâ Caên hoä theo caùc ñieàu khoaûn vaø ñieàu kieän cuûa Hôïp ñoàng naøy.

ÑIEÀU 3. GIAÙ TRÒ CAÊN HOÄ - THANH TOAÙN

3.1 Tieàn thueâ laø _____________________________________________VND (baèng chöõ: ________________________________________________________________________________) vaø Giaù trò Caên hoä seõ laø _____________________________________VND (baèng chöõ: _________________________________________________________________________________________________________________________________________) ñöôïc Beân B traû cho Beân A cho caû Thôøi haïn Thueâ theo Hôïp ñoàng naøy vaø Hôïp ñoàng Thueâ Caên hoä Daøi haïn.

3.2 Giaù trò Caên hoä khoâng bao goàm:

(a) Thueá giaù trò gia taêng (VAT);

(b) Leä phí tröôùc baï, phí haønh chính, phí coâng chöùng hoaëc caùc loaïi phí hoaëc phí khaùc hoaëc leä phí, thueá Beân B phaûi traû cho Nhaø nöôùc Vieät Nam vaø nhöõng khoaûn thanh toaùn khaùc lieân quan ñeán vieäc mua vaø baùn Caên hoä giöõa caùc Beân vaø thuû tuïc haønh chính ñeå nhaän ñöôïc Giaáy Chöùng nhaän Quyeàn sôû höõu Caên hoä, theo nhö Hôïp ñoàng naøy vaø phaùp luaät Vieät Nam tuøy töøng thôøi ñieåm.

(c) Phí quaûn lyù vaø baûo trì moãi thaùng quy ñònh phuø hôïp Ñieàu 7.4 phí söû duïng tieän ích chung, tieàn ñieän, tieàn nöôùc, tieàn raùc thaûi, v.v ñoái vôùi Caên hoä nhö quy ñònh trong Noäi quy Noäi boä Chung.

(d) Giaù cuûa Caùc Khoaûn Hôïp Ñoàng Rieâng Bieät khoâng coù trong Phuï Luïc 1.

3.3 Khoaûn tieàn öùng tröôùc vaø thanh toaùn cho Giaù trò Caên hoä seõ ñöôïc thöïc hieän theo keá hoaïch thanh toaùn nhö quy ñònh taïi Phuï luïc 2 keøm theo Hôïp ñoàng naøy. Ñeå baûo ñaûm Beân B seõ kyù keát Hôïp ñoàng Thueâ Caên hoä Daøi haïn vôùi Beân A ñoàng thôøi thöïc hieän caùc nghóa vuï theo ñuùng Hôïp ñoàng naøy, Beân B ñoàng yù traû tröôùc Giaù trò Caên hoä theo keá hoaïch taïi Phuï luïc 2 keøm theo Hôïp ñoàng naøy, vôùi ñieàu kieän laø Beân A vaø Beân B seõ kyù keát Hôïp ñoàng Thueâ Caên hoä Daøi haïn khi Beân B ñaõ thanh toaùn toaøn boä tieàn öùng tröôùc cuûa Giaù trò Caên hoä.

3.4 Taát caû soá tieàn, khoaûn thanh toaùn Beân B phaûi traû cho Beân A theo nhö Hôïp ñoàng naøy seõ ñöôïc thöïc hieän theo moät trong hai phöông thöùc sau:

(a) Baèng tieàn maët taïi ñòa ñieåm do Beân A chæ ñònh. Beân A seõ phaùt haønh hoùa ñôn hôïp leä vôùi ñaày ñuû chöõ kyù cuûa ñaïi dieän theo phaùp luaät vaø ñaïi dieän theo uûy quyeàn cuûa Beân A cuõng nhö con daáu cuûa Beân A.

(b) Baèng chuyeån tieàn vaøo taøi khoaûn ngaân haøng cuûa Beân A, nhö sau:

ÑIEÀU 4. BAØN GIAO CAÊN HOÄ

4.1 Tröø khi caùc Beân coù thoûa thuaän khaùc, Beân B ñöôïc quyeàn baøn giao Caên hoä vaøo baát cöù thôøi gian naøo trong Thôøi gian AÂn haïn, vôùi ñieàu kieän laø:

(a) Giaù trò Caên hoä ñaõ ñöôïc Beân B thanh toaùn toaøn boä cho Beân A (nghóa laø khoaûn thanh toaùn ñôït thöù baûy ñaõ ñöôïc thöïc hieän xong); vaø

(b) Beân B hoaøn thaønh taát caû nghóa vuï thueá vaø taøi chính vaø caùc loaïi phí, leä phí coù lieân quan phaùt sinh töø Hôïp ñoàng naøy vaø phuø hôïp nhöõng quy ñònh, tröø baát kyø nghóa vuï taøi chính naøo phaùt sinh theâm theo nhö Ñieàu 4.6 vaø Ñieàu 4.7 Hôïp ñoàng naøy (neáu coù)

4.2 Chaäm nhaát 15 ngaøy tröôùc khi baøn giao Caên hoä, Beân A seõ thoâng baùo vieäc baøn giao Caên hoä cho Beân B baèng vaên baûn ñeå xaùc ñònh ngaøy baøn giao. Caên hoä, tröø khi coù thoûa thuaän khaùc baèng vaên baûn cuûa Beân A vaø Beân B, seõ ñöôïc baøn giao cho Beân B döôùi söï chöùng kieán cuûa Beân B vaø ngöôøi ñaïi dieän ñöôïc uûy quyeàn cuûa Beân A. Vieäc baøn giao naøy seõ ñöôïc laäp thaønh bieân baûn bôûi Beân B vaø ngöôøi ñaïi dieän ñöôïc uûy quyeàn cuûa Beân A. Ngaøy Baøn giao Caên hoä laø ngaøy laäp bieân baûn naøy.

4.3 Tröø tröôøng hôïp coù söï ñoàng yù baèng vaên baûn cuûa Beân A, trong tröôøng hôïp Beân B vì baát keå lyù do gì, khoâng nhaän Caên Hoä nhö quy ñònh trong thoâng baùo taïi Ñieàu 4.2, Ngaøy Baøn Giao Caên Hoä seõ laø ngaøy baøn giao ñöôïc neâu cuï theå trong thoâng baùo vaø Beân B seõ chaáp nhaän tình traïng Caên Hoä ñaõ ñöôïc baøn giao nhö theá maø khoâng ñöôïc töø choái hoaëc khieáu naïi gì.

4.4 Caên hoä coù Chi tieát Kyõ thuaät vaø Ñaëc ñieåm seõ ñöôïc baøn giao theo ñuùng Ñieàu 4.1 Hôïp ñoàng naøy hoaëc moät thoûa thuaän baèng vaên baûn giöõa caùc Beân sau naøy. Caùc Beân theo ñaây ñoàng yù raèng dieän tích thöïc teá cuûa Caên hoä seõ ñöôïc baøn giao cho Beân B coù theå khaùc so vôùi dieän tích Caên hoä ñöôïc quy ñònh taïi Phuï luïc 1 Hôïp ñoàng naøy vôùi ñieàu kieän laø tæ leä sai bieät chaáp nhaän ñöôïc laø ±2%.

4.5 Trong tröôøng hôïp möùc cheânh leäch cuûa dieän tích Caên Hoä vöôït quaù ±2% so vôùi dieän tích ñöôïc quy ñònh trong Phuï Luïc 1, Beân B coù quyeàn töø choái nhaän Caên Hoä baèng vaên baûn vaø ñöôïc hoaøn traû laïi toaøn boä soá tieàn Beân A ñaõ nhaän sau khi caán tröø caùc khoaûn phaït hôïp ñoàng maø Beân B phaûi chòu. Beân A ñoàng yù traû cho Beân B tieàn laõi ñoái vôùi soá tieàn hoaøn traû cho Beân B vôùi tyû leä laõi suaát göûi kyø haïn 12 thaùng cuûa Ngaân haøng Woori taïi thôøi ñieåm hoaøn traû tieàn vaø khoâng muoän hôn 60 ngaøy keå töø Ngaøy Baøn Giao Caên Hoä..

4.6 Tröôøng hôïp möùc cheânh leäch giöõa dieän tích thöïc teá cuûa Caên Hoä vaø dieän tích quy ñònh taïi Phuï Luïc 1 nhö Ñieàu 4.4 hoaëc Ñieàu 4.5 ñöôïc Caùc Beân chaáp thuaän, khi ñoù Giaù Trò Caên Hoä seõ ñöôïc hieäu chænh treân cô sôû dieän tích thöïc teá theo coâng thöùc sau:

Giaù Trò Caên hoä Ñöôïc ñieàu chænh = Tieàn thueâ * dieän tích thöïc teá Vôùi ñieàu kieän laø Tieàn thueâ seõ ñöôïc tính caên cöù vaøo Ñieàu 3.1 Hôïp ñoàng naøy.

4.7 Baát kyø söï khaùc nhau naøo giöõa Giaù trò Caên hoä vaø Giaù trò Caên hoä Ñöôïc ñieàu chænh seõ ñöôïc caùc Beân giaûi quyeát trong voøng 60 ngaøy tröôùc khi kyù keát Hôïp ñoàng Thueâ Caên hoä Daøi haïn.

4.8 Hôïp ñoàng Thueâ Caên hoä Daøi haïn

(a) Vaøo Ngaøy Baøn giao Caên hoä, Beân A seõ thöïc hieän taát caû thuû tuïc caàn thieát, vôùi cô quan coù thaåm quyeàn, theo quy ñònh cuûa phaùp luaät ñeå kyù keát Hôïp ñoàng Thueâ Caên hoä Daøi haïn vôùi Beân B vôùi ñieàu kieän laø Beân B phaûi cung caáp taát caû nhöõng vaên baûn theo yeâu caàu.

(b) Hôïp ñoàng Thueâ Caên hoä Daøi haïn chæ ñöôïc Beân A vaø Beân B kyù keát sau khi Beân B ñaõ hoaøn thaønh taát caû nghóa vuï taøi chính theo Hôïp ñoàng naøy.

ÑIEÀU 5. PHAÏT HÔÏP ÑOÀNG

5.1 Neáu Beân A coá yù chaäm baøn giao Caên hoä cho Beân B, Beân A seõ traû cho Beân B tieàn laõi treân toång soá tieàn maø Beân B ñaõ traû, vôùi möùc laõi suaát 0,015% moãi ngaøy tính töø ngaøy heát haïn cuûa Thôøi gian AÂn haïn cho ñeán khi Caên hoä ñöôïc Beân A baøn giao cho Beân B treân thöïc teá, tröø khi chaäm treã laø keát quaû töø söï vi phaïm cuûa Beân B hoaëc Söï kieän Baát Khaû khaùng theo nhö quy ñònh taïi Ñieàu 12 Hôïp ñoàng naøy.

5.2 Tröôøng hôïp vi phaïm keá hoaïch thanh toaùn, Beân B seõ phaûi traû cho Beân A tieàn laõi 0,015%/ngaøy cuûa soá tieàn ñeán haïn bò chaäm traû tính töø ngaøy ñeán haïn cho ñeán ngaøy Beân A nhaän ñöôïc ñaày ñuû soá tieàn coøn thieáu maø ñaùng ra Beân B phaûi traû theo keá hoaïch thanh toaùn.

5.3 Baát keå Ñieàu 5.2 neâu treân, tröôøng hôïp Beân B khoâng thanh toaùn tieàn ñaët coïc theo Phuï Luïc 2, Beân A coù quyeàn chaám döùt Hôïp Ñoàng.

ÑIEÀU 6. THOÛA THUAÄN CHUYEÅN NHÖÔÏNG VAØ THEÁ CHAÁP

6.1 Sau khoaûn taïm öùng laàn hai theo Keá hoaïch Thanh toaùn, Beân B ñöôïc quyeàn chuyeån nhöôïng caùc quyeàn cuûa mình ñoái vôùi Caên hoä theo nhö Hôïp ñoàng naøy cho baát kyø ngöôøi naøo khaùc ñöôïc pheùp thueâ Caên hoä treân cô sôû daøi haïn hoaëc ñöôïc quyeàn sôû höõu Caên hoä taïi Vieät Nam, theo nhöõng caùch thöùc sau ñaây:

(a) Tröôùc heát, Beân B phaûi göûi vaên baûn cho Beân A ñeà nghò chuyeån nhöôïng hôïp ñoàng cho moät beân thöù ba;

(b) Beân A coù quyeàn töø choái vieäc chuyeån nhöôïng ñaõ noùi ñeán taïi ñoaïn (a) treân ñaây neáu Beân A coù cô sôû nghi ngôø raèng beân thöù ba naøy khoâng coù ñöôïc söï cho pheùp caàn thieát ñeå thueâ Caên hoä treân cô sôû daøi haïn hoaëc sôû höõu Caên hoä, neáu phaùp luaät Vieät Nam coù quy ñònh nhö vaäy, hoaëc khoâng ñuû khaû naêng ñeå öùng tröôùc vaø thanh toaùn cho Beân A baát kyø phaàn coøn laïi naøo cuûa Giaù trò Caên hoä theo ñuùng Hôïp ñoàng naøy (neáu coù);

(c) Tröôøng hôïp beân A ñoàng yù ñoái vôùi chuyeån nhöôïng naøy, taát caû quyeàn vaø nghóa vuï cuûa Beân B seõ ñöôïc chuyeån sang beân thöù ba lieân quan sau khi Beân A, Beân B vaø beân thöù ba naøy kyù keát moät phuï luïc ñeå ghi nhaän chaáp thuaän vieäc chuyeån nhöôïng vaø phuï luïc naøy seõ laø moät phaàn khoâng taùch rôøi cuûa Hôïp ñoàng naøy vaø/hoaëc Hôïp ñoàng Thueâ Caên hoä Daøi haïn khi coù theå. Taát caû nhöõng khoaûn öùng tröôùc do Beân B ñaõ thanh toaùn cho Beân A seõ khoâng ñöôïc hoaøn laïi cho Beân B, maø ñöôïc chuyeån sang döôùi teân cuûa beân thöù ba lieân quan; vaø

(d) Beân B seõ chòu phí chuyeån nhöôïng 8.000.000VND coäng theâm leä phí/chi phí haønh chính ñoái vôùi moãi laàn chuyeån nhöôïng cho moät beân thöù ba, neáu phaùp luaät Vieät Nam coù quy ñònh nhö vaäy tuøy töøng thôøi ñieåm.

6.2 Sau khi Caên hoä ñaõ ñöôïc baøn giao cho Beân B vaø Beân B hoaøn thaønh taát caû nghóa vuï taøi chính theo Hôïp ñoàng naøy, Beân B coù quyeàn cho beân thöù ba, ñöôïc pheùp thueâ Caên hoä taïi Vieät Nam phuø hôïp ñoái vôùi phaùp luaät Vieät Nam tuøy töøng thôøi ñieåm, thueâ laïi Caên hoä vôùi ñieàu kieän phaûi thoâng baùo baèng vaên baûn veà vieäc chuyeån nhöôïng naøy ñeán Ban Quaûn lyù cuõng nhö Beân A. Ñeå traùnh hieåu laàm, trong tröôøng hôïp cho thueâ laïi, Beân B seõ tieáp tuïc chòu nhöõng traùch nhieäm ñöôïc quy ñònh trong Hôïp ñoàng Thueâ Caên hoä Daøi haïn.

6.3 Sau khi Caên hoä ñaõ ñöôïc baøn giao cho Beân B vaø Beân B hoaøn thaønh taát caû nghóa vuï taøi chính theo Hôïp ñoàng naøy, Beân B ñöôïc quyeàn theá chaáp quyeàn thueâ Caên hoä cuûa mình phuø hôïp vôùi phaùp luaät Vieät Nam vaø Hôïp ñoàng naøy taïi moät ngaân haøng hoaït ñoäng taïi Vieät Nam. Trong tröôøng hôïp naøy, Beân B seõ chuyeån giao cho Beân A thoâng baùo baèng vaên baûn veà vieäc theá chaáp naøy vaø baûn thaûo cuûa vaên töï theá chaáp ñeå Beân A xem xeùt vaø chaáp thuaän. Ñeå traùnh hieåu laàm, Beân A chæ chaáp thuaän vieäc theá chaáp naøy neáu:

(a) vaên töï theá chaáp ñöôïc döï thaûo, döôùi baát kyø khía caïnh naøo, khoâng ñöôïc vi phaïm phaùp luaät Vieät Nam vaø Hôïp ñoàng naøy;

(b) vaên töï theá chaáp khoâng ñöôïc aûnh höôûng baát lôïi ñeán quyeàn vaø lôïi ích cuûa Beân A, theo nhö Hôïp ñoàng naøy;

(c) Beân A khoâng bò yeâu caàu thöïc hieän baát kyø haønh vi naøo phaùt sinh töø hoaëc coù lieân quan ñeán vieäc theá chaáp vöôït quaù traùch nhieäm cuûa Beân A; vaø

(d) Beân B ñoàng yù hoaøn traû vaø thanh toaùn cho Beân A taát caû phí toån tích luõy töø nhöõng thieät haïi maø Beân A phaûi gaùnh chòu vì ñaõ chaáp thuaän vieäc theá chaáp naøy.

ÑIEÀU 7. BAÛO HAØNH - BAÛO TRÌ CAÊN HOÄ

7.1 Beân A seõ, baèng chi phí cuûa mình, thöïc hieän baûo haønh Caên hoä nhö sau:

(a) thôøi haïn 60 thaùng keå töø Ngaøy Baøn giao Caên hoä, ñoái vôùi caùc haïng muïc thuoäc veà keát caáu Caên hoä; vaø

(b) thôøi haïn 12 thaùng keå töø Ngaøy Baøn giao Caên hoä, ñoái vôùi noäi thaát cuûa Caên hoä ñöôïc quy ñònh taïi Phuï luïc 1 Hôïp ñoàng naøy.

7.2 Trong thôøi haïn baûo haønh nhö ñöôïc quy ñònh taïi Ñieàu 7.1 treân ñaây, Beân B phaûi thoâng baùo cho Beân A trong voøng 10 ngaøy keå töø ngaøy Beân B phaùt hieän caùc sai soùt, hö hoûng hoaëc khieám khuyeát cuûa Caên hoä, ñoàng thôøi Beân B phaûi thöïc hieän baát kyø caùch thöùc thích hôïp naøo ñeå giaûm thieåu nhöõng maát maùt, thieät haïi phaùt sinh töø sai soùt, hö hoûng hoaëc khieám khuyeát naøy. Neáu Beân B chaäm thoâng baùo hoaëc khoâng thöïc hieän theo caùch thöùc thích hôïp ñeå giaûm thieåu nhöõng maát maùt, thieät haïi naøy, Beân A ñöôïc quyeàn giaûm töông öùng traùch nhieäm baûo haønh.

7.3 Phaïm vi baûo haønh loaïi tröø baát kyø thieät haïi hoaëc maát maùt naøo ñoái vôùi Caên hoä, do nhöõng nguyeân nhaân sau:

(a) Beân B söû duïng Caên hoä caåu thaû hoaëc khoâng ñuùng caùch; (b) baát kyø thay ñoåi naøo veà chöùc naêng vaø coâng duïng cuûa Caên hoä maø khoâng ñöôïc söï chaáp

thuaän cuûa Beân A; hoaëc

(c) nhöõng hö hoûng vaø thieät haïi khoâng phaûi do Beân A coá tình gaây neân

7.4 Beân A vaø Ban Quaûn lyù seõ baûo trì Caên hoä theo quy ñònh cuûa phaùp luaät Vieät Nam vaø Noäi quy Noäi boä Chung.

ÑIEÀU 8. QUYEÀN VAØ NGHÓA VUÏ CUÛA BEÂN A

Trong Thôøi haïn Hôïp ñoàng, Beân A coù nhöõng quyeàn vaø nghóa vuï sau:

8.1 Xaây döïng hoaøn chænh Blooming Park vaø Caên hoä cuøng vôùi caùc Coâng trình Tieän ích theo ñuùng thieát keá vaø yeâu caàu veà chaát löôïng ñaõ ñöôïc pheâ duyeät vaø theo ñuùng caùc ñieàu khoaûn vaø ñieàu kieän cuûa Hôïp ñoàng naøy;

8.2 Cöû nhaân vieân coù thaåm quyeàn theo doõi vaø giaûi quyeát caùc vaán ñeà phaùt sinh trong quaù trình caùc Beân thöïc hieän Hôïp ñoàng naøy;

8.3 Ñöôïc nhaän moïi khoaûn tieàn traû tröôùc vaø caùc khoaûn thanh toaùn khaùc (neáu coù) töø Beân B vaø taát caû caùc quyeàn vaø lôïi ích khaùc cuûa mình theo Hôïp ñoàng naøy vaø Noäi quy Noäi boä Chung;

8.4 Baøn giao Caên hoä ñuùng thôøi gian ñöôïc quy ñònh taïi Ñieàu 4 Hôïp ñoàng naøy.

8.5 Thaønh laäp Ban Quaûn lyù, ban haønh Quy cheá Noäi boä Chung, cung caáp dòch vuï quaûn lyù ñoái vôùi Blooming Park; vaø

8.6 Coù quyeàn vaø nghóa vuï khaùc theo Hôïp ñoàng naøy.

ÑIEÀU 9. QUYEÀN VAØ NGHÓA VUÏ CUÛA BEÂN B

Trong Thôøi haïn Hôïp ñoàng, Beân B coù quyeàn vaø nghóa vuï sau ñaây:

9.1 Ñaûm baûo veà tö caùch phaùp lyù ñeå kyù keát Hôïp ñoàng naøy;

9.2 Thöïc hieän thanh toaùn cho Beân A ñaày ñuû vaø nhanh choùng theo keá hoaïch taïi Phuï luïc 2 Hôïp ñoàng naøy;

9.3 Nhaän baøn giao Caên hoä theo caùch thöùc quy ñònh taïi Ñieàu 4 neâu treân;

9.4 Hoaøn toaøn chòu traùch nhieäm ñoái vôùi vieäc söû duïng Caên hoä, trieät ñeå tuaân thuû vaø thöïc hieän ñuùng Noäi quy Noäi boä Chung;

9.5 Chòu traùch nhieäm cho vieäc mua vaø duy trì baûo hieåm caàn thieát veà ruûi ro, thieät haïi cho Caên hoä vaø baûo hieåm traùch nhieäm daân söï caàn thieát theo quy ñònh cuûa phaùp luaät Vieät Nam tuøy töøng thôøi ñieåm.

9.6 Chòu traùch nhieäm cho vieäc söû duïng Caên hoä theo ñuùng nhöõng quy ñònh cuûa Hôïp ñoàng naøy, Hôïp ñoàng Thueâ Caên hoä Daøi haïn vaø Noäi quy Noäi boä Chung;

9.7 Ñöôïc quyeàn ñeà xuaát vôùi Beân A nhöõng thay ñoåi veà Chi Tieát Kyõ Thuaät vaø Ñaëc Ñieåm. Trong tröôøng hôïp naøy, caùc Beân theo ñaây ñoàng yù raèng:

(a) Nhöõng thay ñoåi ñoái vôùi Chi Tieát Kyõ Thuaät vaø Ñaëc Ñieåm maø Beân B ñeà xuaát chæ ñöôïc thöïc hieän neáu ñöôïc Beân A ñoàng yù. Beân A coù quyeàn töø choái baát kyø thay ñoåi naøo veà Chi Tieát Kyõ Thuaät vaø Ñaëc Ñieåm maø Beân B ñeà xuaát neáu nhöõng thay ñoåi ñoù, theo nhaän xeùt rieâng cuûa Beân A, laø coù theå gaây aûnh höôûng baát lôïi cho Caên hoä, Blooming Park hoaëc vieäc xaây döïng vaø hoaøn thaønh Blooming Park; vaø

(b) Trong tröôøng hôïp Beân A ñoàng yù vôùi nhöõng thay ñoåi veà Chi Tieát Kyõ Thuaät vaø Ñaëc Ñieåm maø Beân B ñeà xuaát, Caùc Beân seõ kyù moät phuï luïc môùi söûa ñoåi töông öùng ñoái vôùi Phuï Luïc 1 cuûa Hôïp Ñoàng naøy vaø cuõng quy ñònh raèng:

(i) Khoaûn cheânh leäch taêng hoaëc giaûm cuûa Tieàn thueâ Caên hoä phaùt sinh do nhöõng thay ñoåi (neáu coù) vaø caùch thöùc giaûi quyeát khoaûn cheânh leäch naøy; vaø

(ii) Gia haïn Thôøi gian Baøn giao Caên hoä (neáu coù)

9.8 Ñaûm baûo cho Beân A ñöôïc mieãn tröø traùch nhieäm ñoái vôùi caùc tranh chaáp, khieáu kieän cuûa beân thöù ba baát kyø lieân quan ñeán vieäc kyù keát vaø thöïc hieän Hôïp Ñoàng naøy cuûa Beân B. Trong quaù trình thöïc hieän Hôïp Ñoàng naøy, ñaûm baûo cho Beân A khoâng bò thieät haïi töø nhöõng tranh chaáp, khieáu kieän nhö vaäy; vaø

9.10 Ñöôïc höôûng taát caû caùc quyeàn vaø lôïi ích khaùc cuûa mình theo Hôïp ñoàng naøy vaø Noäi quy Noäi boä Chung.

ÑIEÀU 10. CHUYEÅN ÑOÅI HÔÏP ÑOÀNG - QUYEÀN SÔÛ HÖÕU

10.1 Sau khi Hôïp ñoàng ñöôïc kyù keát, neáu coù söï thay ñoåi naøo cuûa phaùp luaät, giaûi thích hoaëc aùp duïng phaùp luaät cho pheùp Beân B ñöôïc quyeàn sôû höõu Caên hoä thì Beân B seõ, tuøy theo quyeát ñònh cuûa mình, kyù keát moät hôïp ñoàng mua vaø baùn caên hoä hoaëc thoûa thuaän töông töï nhöng khoâng taêng Giaù trò Caên hoä. Khi ñoù, Hôïp ñoàng naøy seõ töï ñoäng ñöôïc chaám döùt; Giaù trò Caên hoä seõ trôû thaønh Giaù Baùn cuûa Caên hoä vaø taát caû nhöõng khoaûn tieàn öùng tröôùc cuûa Giaù trò Caên hoä seõ trôû thaønh nhöõng khoaûn tieàn öùng tröôùc cuûa Giaù Baùn.

10.2 Trong Thôøi haïn Thueâ, neáu coù söï thay ñoåi naøo cuûa phaùp luaät, giaûi thích hoaëc aùp duïng phaùp luaät cho pheùp Beân B ñöôïc quyeàn sôû höõu Caên hoä thì Beân B seõ coù quyeàn sôû höõu Caên hoä maø khoâng phaûi traû theâm khoaûn naøo cho Giaù trò Caên hoä tröø chi phí haønh chính, phí hoaëc thueá ñoái vôùi quyeàn sôû höõu Caên hoä (keå caû phaàn ñöôïc chia theo tæ leä ñoái vôùi chi phí lieân quan ñeán ñaát gaén vôùi quyeàn sôû höõu Caên hoä vaø söû duïng ñaát, neáu coù). Trong tröôøng hôïp ñoù, Beân A seõ noã löïc moät caùch hôïp lyù, treân phöông dieän thöông maïi, thöïc hieän taát caû nhöõng thuû tuïc baét buoäc ñeå hoã trôï Beân B coù ñöôïc quyeàn sôû höõu Caên hoä. Ñeå traùnh hieåu nhaàm, quyeàn sôû höõu Caên hoä cuûa Beân B chæ bao goàm Caên hoä vaø quyeàn söû duïng ñaát chung ñoái vôùi Blooming Park. Taát caû phaàn dieän tích coøn laïi thuoäc quyeàn sôû höõu cuûa Beân A tröø khi Beân A coù quy ñònh khaùc.

10.3 Tröôøng hôïp Giaáy Chöùng nhaän Ñaàu tö cuûa Beân A ñöôïc gia haïn theâm thôøi haïn vaø Beân B, vì baát kyø lí do gì, vaãn chöa chuyeån ñoåi töø thueâ Caên hoä thaønh sôû höõu, Beân B ñöôïc quyeàn gia haïn Thôøi haïn Thueâ maø khoâng phaûi traû theâm khoaûn naøo cho Giaù trò Caên hoä tröø chi phí haønh chính, phí hoaëc thueá ñoái vôùi quyeàn sôû höõu Caên hoä (goàm caû phaàn ñöôïc chia theo tæ leä ñoái vôùi chi phí lieân quan ñeán ñaát gaén vôùi quyeàn sôû höõu Caên hoä vaø söû duïng ñaát, neáu coù) coù theå phaùt sinh bôûi vieäc gia haïn Thôøi haïn Thueâ naøy.

10.4 Tröôøng hôïp Giaáy Chöùng nhaän Ñaàu tö cuûa Beân A heát haïn vaø Beân A khoâng ñöôïc caáp môùi Giaáy Chöùng nhaän Ñaàu tö vaø Beân B vaãn chöa thöïc hieän xong vieäc chuyeån ñoåi nhö quy ñònh taïi Ñieàu 10.1 treân ñaây, Beân B seõ baøn giao Caên hoä cho Chuû ñaát; vaø neáu Beân A ñaõ baùn Caên hoä hoaëc neáu Beân A phaûi baøn giao Caên hoä cho cô quan coù thaåm quyeàn neáu phaùp luaät Vieät Nam coù quy ñònh nhö vaäy vaø Beân A nhaän ñöôïc phaàn thanh toaùn cho vieäc baøn giao naøy, Beân B seõ nhaän ñöôïc soá tieàn töø vieäc baùn/baøn giao naøy treân cô sôû chia theo tæ leä (tröø ñi baát kyø khoaûn chi phí naøo lieân quan ñeán vieäc baùn/baøn giao naøy maø Beân A gaùnh chòu).

ÑIEÀU 11. THÔØI HAÏN VAØ CHAÁM DÖÙT HÔÏP ÑOÀNG

11.1 Thôøi haïn Hôïp ñoàng naøy ñöôïc baét ñaàu töø ngaøy kyù Hôïp ñoàng vaø chaám döùt vaøo ngaøy Hôïp ñoàng Thueâ Caên hoä Daøi haïn ñöôïc caùc Beân kyù keát chính thöùc, tröø tröôøng hôïp quy ñònh taïi Ñieàu 11.2. Khi heát Thôøi haïn Hôïp ñoàng, quyeàn vaø nghóa vuï cuûa caùc Beân, keå töø thôøi ñieåm naøy, seõ ñöôïc tieáp tuïc vaø ñieàu chænh bôûi Hôïp ñoàng Thueâ Caên hoä Daøi haïn.

11.2 Hôïp ñoàng naøy seõ chaám döùt tröôùc Thôøi haïn Hôïp ñoàng theo moät trong nhöõng tröôøng hôïp sau:

(a) Thoûa thuaän ñoàng yù baèng vaên baûn cuûa caùc Beân;

(b) Nhöõng tröôøng hôïp quy ñònh taïi Ñieàu 5.3, Ñieàu 6.1 Hôïp ñoàng naøy; hoaëc

(c) Baèng moät vaên baûn thoâng baùo tröôùc cuûa Beân A göûi cho Beân B trong tröôøng hôïp Beân B khoâng ñaûm baûo ñöôïc nhöõng ñieàu kieän caàn thieát nhö yeâu caàu cuûa phaùp luaät Vieät Nam trong vieäc mua Caên Hoä hoaëc khoâng thanh toaùn duø toaøn boä hay moät phaàn khoaûn tieàn cuûa ñôït thanh toaùn baát kyø naøo cuûa Giaù Trò Caên Hoä trong voøng 45 ngaøy keå töø ngaøy ñaùo haïn nhö quy ñònh taïi Phuï Luïc 2 cuûa Hôïp Ñoàng naøy.

Trong tröôøng hôïp naøy, ngoaøi khoaûn phaït hôïp ñoàng theo Ñieàu 5, Beân B coøn phaûi traû

cho Beân A khoaûn boài thöôøng coá ñònh ít nhaát baèng 20% Giaù Trò Caên Hoä vaø cho baát kyø thieät haïi naøo cuûa Beân A phaùt sinh do vieäc vi phaïm cuûa Beân B. Ñeå traùnh söï nghi ngôø, Beân A coù theå caán tröø khoaûn phaït hôïp ñoàng, boài thöôøng thieät haïi hay nhöõng khoaûn tieàn khaùc maø Beân B phaûi traû cho Beân A theo Hôïp Ñoàng naøy (neáu coù) töø caùc khoaûn Beân B ñaõ traû tröôùc cho Beân A vaø traû laïi cho Beân B soá tieàn coøn laïi (neáu coù).

(d) Baèng moät vaên baûn thoâng baùo tröôùc cuûa Beân B göûi cho Beân A neáu Beân A khoâng baøn giao Caên Hoä cho Beân B trong voøng 12 thaùng sau Thôøi Gian AÂn Haïn maø khoâng do loãi naøo cuûa Beân B hoaëc khoâng do Söï Kieän Baát Khaû Khaùng.

Trong tröôøng hôïp naøy, Beân A phaûi hoaøn traû laïi cho Beân B toaøn boä soá tieàn Beân B ñaõ

thanh toaùn tröôùc cho Beân A coäng theâm tieàn laõi vôùi laõi suaát tieàn göûi kyø haïn 12 thaùng cuûa Ngaân haøng Woori taïi thôøi ñieåm hoaøn traû tieàn vaø khoâng muoän hôn 60 ngaøy keå töø ngaøy chaám döùt.

11.3 Taát caû nghóa vuï thanh toaùn cuûa moät Beân ñoái vôùi Beân kia theo Hôïp ñoàng naøy vaãn tieáp tuïc coù hieäu löïc vaø raøng buoäc Beân naøy ngay caû sau khi Hôïp ñoàng naøy chaám döùt vì baát kyø lyù do naøo cho ñeán khi nghóa vuï thanh toaùn ñöôïc hoaøn thaønh.

ÑIEÀU 12. BAÁT KHAÛ KHAÙNG

12.1 Moät trong nhöõng söï kieän naøo sau ñaây vöôït quaù söï kieåm soaùt cuûa moät trong caùc Beân seõ ñöôïc xem nhö Söï kieän Baát khaû khaùng ñoái vôùi Beân ñoù: ngaên caám hoaëc trì hoaõn bôûi quy ñònh cuûa phaùp luaät hoaëc baát kyø cô quan coù thaåm quyeàn naøo maø khoâng do loãi cuûa Beân naøy, noåi loaïn, chieán tranh, tình traïng khaån caáp quoác gia (duø ñöôïc tuyeân boá hay khoâng ñöôïc tuyeân boá), khuûng boá, phaù roái traät töï coâng coäng, ñình coâng, taåy chay, tröøng phaït, caám vaän, giao thoâng hoaëc caùc tieän ích coâng coäng khaùc bò ñình treä hoaëc bò giaùn ñoaïn, dòch beänh, hoûa hoaïn, luõ luït, ñoäng ñaát, baõo, thuûy trieàu hoaëc caùc tröôøng hôïp thieân tai khaùc hay söï kieän khaùc naèm ngoaøi khaû naêng kieåm soaùt hôïp lyù cuûa Beân naøy.

12.2 Tröôøng hôïp moät Beân khoâng thöïc hieän nghóa vuï cuûa mình theo ñuùng Hôïp ñoàng naøy vì haäu quaû tröïc tieáp cuûa Söï kieän Baát khaû khaùng, Beân naøy phaûi thoâng baùo baèng vaên baûn cho Beân kia trong voøng 7 (baûy) ngaøy keå töø ngaøy xaûy ra Söï kieän Baát khaû khaùng, vaø thöïc hieän theo baát cöù caùch naøo moät caùch hôïp lyù ñeå giaûm thieåu nhöõng thieät haïi. Tröôøng hôïp xaûy ra Söï kieän Baát khaû khaùng, Beân bò aûnh höôûng tröïc tieáp seõ khoâng phaûi chòu traùch nhieäm, vì khoâng hoaëc chaäm thöïc hieän nghóa vuï cuûa mình, ñoái vôùi nhöõng thieät haïi, hö hoûng cuûa Beân kia. 12.3 Tröôøng hôïp caùc Beân coù vaên baûn ñoàng yù, nghóa vuï cuûa Beân tröïc tieáp bò aûnh höôûng seõ ñöôïc hoaõn laïi trong thôøi gian xaûy ra Söï kieän Baát khaû khaùng vôùi ñieàu kieän caùc Beân phaûi noã löïc heát möùc trong vieäc baûo veä baát kyø taøi saûn lieân quan vaø lôïi ích phaùp lyù cuûa Beân kia vaø khaéc phuïc haäu quaû cuûa Söï kieän Baát khaû khaùng.

ÑIEÀU 13. THOÂNG BAÙO VAØ THÖ TÖØ GIAO DÒCH

13.1 Moïi thoâng baùo, yeâu caàu, khieáu naïi hoaëc thö töø giao dòch, v.v… maø moät Beân göûi cho Beân kia theo Hôïp Ñoàng naøy phaûi ñöôïc laäp baèng vaên baûn vaø göûi ñeán ñòa chæ caùc Beân nhö sau:

13.2 Taát caû thoâng baùo, yeâu caàu, khieáu naïi hoaëc thö töø giao dòch, v.v… maø moät Beân göûi theo Hôïp Ñoàng naøy ñöôïc xem laø ñöôïc Beân kia nhaän ñöôïc (i) vaøo ngaøy göûi trong tröôøng hôïp thö giao taän tay coù kyù bieân nhaän; hoaëc (ii) vaøo ngaøy ngöôøi göûi nhaän ñöôïc baùo chuyeån fax thaønh coâng trong tröôøng hôïp göûi baèng fax; hoaëc (iii) vaøo ngaøy thöù hai keå töø ngaøy ñoùng daáu böu ñieän trong tröôøng hôïp thö chuyeån phaùt nhanh hoaëc thö baûo ñaûm. Trong caùc tröôøng hôïp naøy, neáu ngaøy lieân quan laø Chuû nhaät hoaëc ngaøy nghæ haèng tuaàn, nghæ leã cuûa Vieät Nam, taát caû thoâng baùo yeâu caàu, hoaëc khieáu naïi thö töø giao dòch, v.v ... ñoù ñöôïc xem laø ñöôïc Beân kia nhaän ñöôïc vaøo ngaøy tieáp theo.

13.3 Tröôøng hôïp moät trong caùc Beân coù thay ñoåi thoâng tin nhö noùi ñeán taïi khoaûn 12.1 treân ñaây, seõ phaûi thoâng baùo baèng vaên baûn ñeán Beân kia.

ÑIEÀU 14. LUAÄT ÑIEÀU CHÆNH VAØ GIAÛI QUYEÁT TRANH CHAÁP

14.1 Hôïp ñoàng naøy ñöôïc dieãn giaûi, giaûi thích vaø ñieàu chænh bôûi vaø theo phaùp luaät Vieät Nam.

14.2 Trong tröôøng hôïp coù baát kyø tranh chaáp naøo phaùt sinh töø hoaëc lieân quan ñeán Hôïp ñoàng naøy, caùc Beân seõ giaûi quyeát tranh chaáp tröôùc tieân thoâng qua thöông löôïng vaø hoøa giaûi thieän chí. Neáu trong voøng ba möôi (30) ngaøy keå töø ngaøy moät Beân thoâng baùo baèng vaên baûn cho Beân kia veà tranh chaáp phaùt sinh maø tranh chaáp vaãn khoâng ñöôïc giaûi quyeát, moãi beân ñöôïc quyeàn ñöa tranh chaáp naøy ra Toøa aùn coù thaåm quyeàn taïi thaønh phoá Hoà Chí Minh ñeå giaûi quyeát.

ÑIEÀU 15. CAÙC ÑIEÀU KHOAÛN CHUNG

15.1 Hôïp ñoàng naøy vaø taát caû Phuï luïc caáu thaønh toaøn boä thoûa thuaän giöõa caùc Beân vaø thay theá moïi thoûa thuaän hoaëc ghi nhôù tröôùc ñaây, duø baèng lôøi noùi hay baèng vaên baûn giöõa caùc Beân lieân quan ñeán noäi dung cuûa Hôïp ñoàng naøy.

15.2 Caùc Beân seõ tuaân thuû nghieâm tuùc vaø thöïc hieän ñuùng Hôïp ñoàng naøy. Moïi vi phaïm ñoái vôùi Hôïp ñoàng naøy seõ khieán Beân vi phaïm phaûi chòu traùch nhieäm boài thöôøng thieät haïi cho Beân kia theo quy ñònh cuûa luaät phaùp Vieät Nam.

15.3 Baát kyø söûa ñoåi hoaëc boå sung ñoái vôùi Hôïp Ñoàng naøy vaø caùc Phuï luïc ñính keøm chæ coù hieäu löïc thi haønh neáu ñöôïc laäp thaønh vaên baûn vaø ñöôïc hai Beân kyù.

15.4 Tröôøng hôïp coù baát kyø ñieàu khoaûn naøo cuûa Hôïp ñoàng naøy bò caùc cô quan coù thaåm quyeàn

höõu quan cuûa Vieät Nam tuyeân boá laø voâ hieäu thì:

(a) Caùc ñieàu khoaûn khaùc cuûa Hôïp ñoàng naøy seõ khoâng bò aûnh höôûng bôûi vieäc tuyeân boá voâ hieäu ñoù vaø vaãn giöõ nguyeân hieäu löïc vaø raøng buoäc caùc Beân; vaø

(b) Caùc Beân seõ thaûo luaän, thoûa thuaän vaø thay theá ñieàu khoaûn voâ hieäu ñoù baèng ñieàu khoaûn môùi coù hieäu löïc theo phaùp luaät Vieät Nam vaø phuø hôïp ñeå caùc quyeàn vaø lôïi ích cuûa caùc Beân theo Hôïp ñoàng naøy ñöôïc ñaûm baûo.

15.5 Hôïp ñoàng naøy ñöôïc laäp thaønh 3 (ba) boä goác baèng tieáng Anh vaø tieáng Vieät coù giaù trò nhö

nhau. Beân B seõ giöõ 1 (moät) boä goác vaø Beân A seõ giöõ 2 (hai) boä goác. Trong tröôøng hôïp coù söï maâu thuaãn giöõa hai baûn, thì baûn tieáng Anh seõ ñöôïc öu tieân hôn.

HÔÏP ÑOÀNG NAØY ñöôïc caùc Beân kyù keát vaøo ngaøy, thaùng vaø naêm ñöôïc ñeà caäp ôû treân.

NAY, CAÙC BEÂN THEO ÑAÂY THOÛA THUAÄN NHÖ SAU:

ÑIEÀU 1. ÑÒNH NGHÓA VAØ GIAÛI THÍCH

1.1 Tröø khi ngöõ caûnh coù yeâu caàu khaùc ñi, nhöõng ñieàu kieän vaø cuïm töø döôùi ñaây seõ coù nghóa nhö sau:

(a) “Caên hoä” nghóa laø caên hoä soá _______________ ñöôïc beân A xaây döïng thuoäc Blooming Park vaø seõ ñöôïc hoaøn thaønh vaøo ngaøy 31/10/2010, vôùi nhöõng chi tieát kyõ thuaät vaø ñaëc ñieåm theo nhö Phuï luïc 1 keøm theo Hôïp ñoàng naøy.

(b) “Blooming Park” nghóa laø cao oác cao taàng toïa laïc taïi Loâ soá 5, phöôøng An Phuù, quaän

2, Tp. Hoà Chí Minh, goàm nhöõng caên hoä cao caáp ñeå baùn vaø cho thueâ.

(c) “Hôïp ñoàng” nghóa laø Hôïp ñoàng Thueâ Caên hoä Daøi haïn vaø baát kyø phuï luïc naøo ñính keøm Hôïp ñoàng naøy cuõng nhö baát kyø söûa ñoåi, boå sung naøo ñoái vôùi Hôïp ñoàng naøy ñöôïc caùc Beân laäp thaønh vaên baûn vaø kyù keát tuøy töøng thôøi ñieåm.

(d) “Chi tieát Kyõ thuaät vaø Ñaëc ñieåm cuûa Caên hoä” nghóa laø nhöõng chi tieát kyõ thuaät vaø ñaëc ñieåm cuûa Caên hoä nhö ñöôïc xaùc ñònh taïi Phuï luïc 1 keøm theo Hôïp ñoàng naøy vaø baát kyø söûa ñoåi, boå sung baèng vaên baûn coù lieân quan ñöôïc Beân A laäp hoaëc theo phuø hôïp Ñieàu 7.6 Hôïp ñoàng naøy.

(e) “Thôøi haïn Thueâ” nghóa laø thôøi haïn töø khi Hôïp ñoàng Thueâ Caên hoä Daøi haïn coù hieäu löïc cho ñeán khi heát thôøi haïn trong Giaáy Chöùng nhaän Ñaàu tö cuûa Beân A (keå caû khi ñöôïc gia haïn) tröø khi luaät phaùp Vieät Nam coù quy ñònh khaùc hoaëc caùc Beân coù thoûa thuaän khaùc.

(f) “Tieàn thueâ” nghóa laø tieàn thueâ moãi meùt vuoâng cuûa Caên hoä trong Thôøi haïn Thueâ nhö quy ñònh taïi Ñieàu 3 Hôïp ñoàng naøy.

(g) “Giaù trò Caên hoä” nghóa laø toång giaù trò Caên hoä baèng Tieàn thueâ nhaân dieän tích Caên hoä, nhö ñöôïc quy ñònh taïi Phuï luïc 1 keøm theo Hôïp ñoàng naøy.

(h) Ngaøy Hoaøn thaønh Döï kieán“ nghóa laø ngaøy 31 thaùng 10 naêm 2010, ngaøy maø vieäc xaây döïng Caên hoä seõ hoaøn thaønh nhö döï kieán.

(i) “Ngaøy Baøn giao Caên hoä” nghóa laø ngaøy Caên hoä ñöôïc baøn giao treân thöïc teá nhö quy ñònh taïi Ñieàu 4.2 Hôïp ñoàng naøy.

(j) “Thôøi gian AÂn haïn” nghóa laø thôøi gian ±6 thaùng keå töø ngaøy hoaøn thaønh döï kieán.

(k) “Giaáy Chöùng nhaän Quyeàn sôû höõu Caên hoä” nghóa laø giaáy chöùng nhaän quyeàn söû duïng caên hoä ñöôïc cô quan coù thaåm quyeàn höõu quan cuûa Tp. Hoà Chí Minh caáp cho Beân B, phuø hôïp Hôïp ñoàng naøy vaø phaùp luaät Vieät Nam.

(l) “Baát khaû khaùng” nghóa laø moät trong caùc söï kieän ñöôïc quy ñònh taïi Ñieàu 12 Hôïp

ñoàng naøy.

(m) “Noäi quy Noäi boä Chung” nghóa laø nhöõng noäi quy noäi boä chung cuûa Blooming Park seõ ñöôïc Ban Quaûn lyù soaïn thaûo.

(n) “Ban Quaûn lyù” nghóa laø ban quaûn lyù seõ ñöôïc Beân A thaønh laäp hoaëc chæ ñònh ñeå quaûn

lyù Blooming Park trong suoát thôøi gian ñöôïc ñöa vaøo söû duïng.

1.2 Tröø khi ngöõ caûnh hoaëc quy ñònh cuûa Hôïp ñoàng naøy yeâu caàu khaùc ñi:

(a) Baát kyø tham chieáu ñeán Ñieàu vaø Phuï luïc nghóa laø tham chieáu ñeán Ñieàu vaø Phuï luïc cuûa Hôïp ñoàng naøy;

(b) Caùc thuaät ngöõ soá ít cuõng haøm nghóa soá nhieàu vaø ngöôïc laïi

(c) Nhöõng tham chieáu ñeán Beân hoaëc caùc Beân ñöôïc hieåu laø nhöõng tham chieáu ñeán Beân hoaëc caùc Beân cuõng nhö nhöõng ngöôøi thöøa keá hoaëc ñöôïc thay theá cuûa Beân hoaëc caùc Beân naøy; vaø

(d) Nhöõng tham chieáu ñeán moät ngöôøi, moät beân thöù ba ñöôïc hieåu laø nhöõng tham chieáu ñeán moät caù nhaân hoaëc moät phaùp nhaân ñöôïc thaønh laäp döôùi baát kyø hình thöùc naøo cuõng nhö nhöõng ngöôøi thöøa keá hoaëc ñöôïc thay theá cuûa caù nhaân hoaëc phaùp nhaân naøy.

ÑIEÀU 2. ÑOÁI TÖÔÏNG HÔÏP ÑOÀNG

Tuøy thuoäc vaøo vieäc xaây döïng vaø hoaøn thaønh Blooming Park vaø Caên hoä, Beân A cam keát cho thueâ Caên hoä vaø Beân B cam keát thueâ Caên hoä theo caùc ñieàu khoaûn vaø ñieàu kieän cuûa Hôïp ñoàng naøy.

ÑIEÀU 3. GIAÙ TRÒ CAÊN HOÄ - THANH TOAÙN

3.2 Giaù trò Caên hoä khoâng bao goàm:

(a) Thueá giaù trò gia taêng (VAT);

(b) Leä phí tröôùc baï, phí haønh chính, phí coâng chöùng hoaëc caùc loaïi phí hoaëc phí khaùc hoaëc leä phí, thueá Beân B phaûi traû cho Nhaø nöôùcVieät Nam vaø nhöõng khoaûn thanh toaùn khaùc lieân quan ñeán vieäc mua vaø baùn Caên hoä giöõa caùc Beân vaø thuû tuïc haønh chính ñeå nhaän ñöôïc Giaáy Chöùng nhaän Quyeàn sôû höõu Caên hoä, theo nhö Hôïp ñoàng naøy vaø phaùp luaät Vieät Nam tuøy töøng thôøi ñieåm.

(c) Phí quaûn lyù vaø baûo trì moãi thaùng quy ñònh phuø hôïp Ñieàu 7.4 phí söû duïng tieän ích chung, tieàn ñieän, tieàn nöôùc, tieàn raùc thaûi, v.v ñoái vôùi Caên hoä nhö quy ñònh trong Noäi quy Noäi boä Chung.

(d) Giaù cuûa nhöõng Hôïp ñoàng vôùi nhöõng Haïng muïc Ñoäc laäp khoâng coù trong Phuï luïc 1 Hôïp ñoàng naøy.

3.3 Caùc Beân theo ñaây ñoàng yù raèng tröôùc khi kyù keát Hôïp ñoàng naøy, Beân B ñaõ thanh toaùn ñaày ñuû caùc khoaûn öùng tröôùc cuûa Giaù trò Caên hoä vaø ñaõ hoaøn thaønh taát caû nghóa vuï taøi chính töø Hôïp ñoàng cuûa Beân B.

ÑIEÀU 4. THOÛA THUAÄN CHUYEÅN NHÖÔÏNG VAØ THEÁ CHAÁP

4.1 Tröôøng hôïp Beân B muoán chuyeån nhöôïng quyeàn cuûa mình ñoái vôùi Caên hoä theo nhö Hôïp ñoàng naøy cho baát kyø beân thöù ba naøo khaùc ñöôïc pheùp thueâ Caên hoä treân cô sôû daøi haïn hoaëc ñöôïc quyeàn sôû höõu Caên hoä taïi Vieät Nam, Beân B phaûi göûi vaên baûn thoâng baùo cho Beân A veà vieäc chuyeån nhöôïng Hôïp ñoàng naøy.

4.2 Beân A, Beân B vaø beân thöù ba lieân quan seõ kyù moät phuï luïc ghi nhaän söï chaáp thuaän chuyeån nhöôïng naøy vaø phuï luïc naøy laø moät phaàn khoâng taùch rôøi cuûa Hôïp ñoàng naøy.

4.3 Beân B seõ thöïc hieän caùc quyeàn vaø nghóa vuï cuûa mình theo Hôïp ñoàng naøy ñoái vôùi beân thöù ba coù lieân quan theo nhö phuï ñaõ ñöôïc kyù.

4.4 Beân B seõ chòu phí chuyeån nhöôïng 8.000.000VND coäng theâm leä phí/chi phí haønh chính ñoái vôùi moãi laàn chuyeån nhöôïng cho moät beân thöù ba, neáu phaùp luaät Vieät Nam coù quy ñònh nhö vaäy tuøy töøng thôøi ñieåm.

4.5 Beân B coù quyeàn cho beân thöù ba, ñöôïc pheùp thueâ Caên hoä taïi Vieät Nam phuø hôïp phaùp luaät Vieät Nam tuøy töøng thôøi ñieåm, thueâ laïi Caên hoä vôùi ñieàu kieän phaûi thoâng baùo baèng vaên baûn veà vieäc chuyeån nhöôïng naøy ñeán Ban Quaûn lyù cuõng nhö Beân A. Ñeå traùnh hieåu laàm, trong tröôøng hôïp cho thueâ laïi, Beân B seõ tieáp tuïc chòu nhöõng traùch nhieäm ñöôïc quy ñònh trong Hôïp ñoàng Thueâ Caên hoä Daøi haïn.

4.6 Beân B ñöôïc quyeàn theá chaáp quyeàn thueâ Caên hoä cuûa mình phuø hôïp phaùp luaät Vieät Nam vaø Hôïp ñoàng naøy taïi moät ngaân haøng hoaït ñoäng taïi Vieät Nam. Trong tröôøng hôïp naøy, Beân B seõ chuyeån giao cho Beân A thoâng baùo baèng vaên baûn veà vieäc theá chaáp naøy vaø baûn thaûo cuûa vaên töï theá chaáp ñeå Beân A xem xeùt vaø chaáp thuaän. Ñeå traùnh hieåu laàm, Beân A chæ chaáp thuaän vieäc theá chaáp naøy neáu:

(a) vaên töï theá chaáp ñöôïc döï thaûo, döôùi baát kyø khía caïnh naøo, khoâng ñöôïc vi phaïm phaùp luaät Vieät Nam vaø Hôïp ñoàng naøy;

(b) vaên töï theá chaáp khoâng ñöôïc aûnh höôûng baát lôïi ñeán quyeàn vaø lôïi ích cuûa Beân A, theo nhö Hôïp ñoàng naøy;

(c) Beân A khoâng bò yeâu caàu thöïc hieän baát kyø haønh vi naøo phaùt sinh töø hoaëc coù lieân quan ñeán vieäc theá chaáp vöôït quaù traùch nhieäm cuûa Beân A; vaø

(d) Beân B ñoàng yù hoaøn traû vaø thanh toaùn cho Beân A taát caû phí toån tích luõy töø nhöõng thieät haïi maø Beân A phaûi gaùnh chòu vì ñaõ chaáp thuaän vieäc theá chaáp naøy

ÑIEÀU 5 BAÛO HAØNH - BAÛO TRÌ CAÊN HOÄ

5.1 Beân A seõ, baèng chi phí cuûa mình, thöïc hieän baûo haønh Caên hoä nhö sau:

(a) thôøi haïn 60 thaùng keå töø Ngaøy Baøn giao Caên hoä, ñoái vôùi caùc haïng muïc thuoäc veà keát caáu Caên hoä; vaø

(b) thôøi haïn 12 thaùng keå töø Ngaøy Baøn giao Caên hoä, ñoái vôùi noäi thaát cuûa Caên hoä ñöôïc quy ñònh taïi Phuï luïc 1 Hôïp ñoàng naøy.

5.2 Trong thôøi haïn baûo haønh nhö ñöôïc quy ñònh taïi Ñieàu 5.1 treân ñaây, Beân B phaûi thoâng baùo cho Beân A trong voøng 10 ngaøy keå töø ngaøy Beân B phaùt hieän caùc sai soùt, hö hoûng hoaëc khieám khuyeát cuûa Caên hoä, ñoàng thôøi Beân B phaûi thöïc hieän baát kyø caùch thöùc thích hôïp naøo ñeå giaûm thieåu nhöõng maát maùt, thieät haïi phaùt sinh töø sai soùt, hö hoûng hoaëc khieám khuyeát naøy. Neáu Beân B chaäm thoâng baùo hoaëc khoâng thöïc hieän theo caùch thöùc thích hôïp ñeå giaûm thieåu nhöõng maát maùt, thieät haïi naøy, Beân A ñöôïc quyeàn giaûm töông öùng traùch nhieäm baûo haønh.

5.3 Phaïm vi baûo haønh loaïi tröø baát kyø thieät haïi hoaëc maát maùt naøo ñoái vôùi Caên hoä, do nhöõng nguyeân nhaân sau:

(a) Beân B söû duïng Caên hoä caåu thaû hoaëc khoâng ñuùng caùch; (b) baát kyø thay ñoåi naøo veà chöùc naêng vaø coâng duïng cuûa Caên hoä maø khoâng ñöôïc söï chaáp

thuaän cuûa Beân A; hoaëc

(c) nhöõng hö hoûng vaø thieät haïi khoâng phaûi do Beân A coá tình gaây neân

5.4 Beân A vaø Ban Quaûn lyù seõ baûo trì Caên hoä theo quy ñònh cuûa phaùp luaät Vieät Nam vaø Noäi quy Noäi boä Chung.

ÑIEÀU 6 QUYEÀN VAØ NGHÓA VUÏ CUÛA BEÂN A

Trong Thôøi haïn Hôïp ñoàng, Beân A coù nhöõng quyeàn vaø nghóa vuï sau:

6.1 Cöû nhaân vieân coù thaåm quyeàn theo doõi vaø giaûi quyeát caùc vaán ñeà phaùt sinh trong quaù trình caùc Beân thöïc hieän Hôïp ñoàng naøy.

6.2 Thaønh laäp Ban Quaûn lyù, ban haønh Quy cheá Noäi boä Chung, cung caáp dòch vuï quaûn lyù ñoái vôùi Blooming Park.

6.3 Thöïc hieän baûo trì Caên hoä vaø tieán haønh vieäc baûo haønh keå töø Ngaøy Baøn giao Caên hoä. Nghóa vuï baûo trì ñoái vôùi Caên hoä vaø taát caû vaán ñeà phaùt sinh lieân quan seõ ñöôïc xaùc ñònh trong Noäi quy Noäi boä Chung;

6.4 Ñöôïc quyeàn nhaän taát caû nhöõng khoaûn tieàn traû tröôùc vaø caùc khoaûn thanh toaùn khaùc (neáu coù) töø Beân B vaø taát caû caùc quyeàn vaø lôïi ích khaùc cuûa mình theo Hôïp ñoàng naøy vaø Noäi quy Noäi boä Chung cuûa Blooming Park; vaø

6.5 Coù quyeàn vaø nghóa vuï khaùc theo Hôïp ñoàng naøy.

ÑIEÀU 7 QUYEÀN VAØ NGHÓA VUÏ CUÛA BEÂN B

Trong Thôøi haïn Hôïp ñoàng, Beân B coù quyeàn vaø nghóa vuï sau ñaây:

7.1 Hoaøn toaøn chòu traùch nhieäm ñoái vôùi vieäc söû duïng Caên hoä, trieät ñeå tuaân thuû vaø thöïc hieän ñuùng Noäi quy Noäi boä Chung;

7.2 Chòu traùch nhieäm ñoái vôùi vieäc mua vaø duy trì baûo hieåm caàn thieát veà ruûi ro, thieät haïi cho Caên hoä vaø baûo hieåm traùch nhieäm daân söï caàn thieát theo quy ñònh cuûa phaùp luaät Vieät Nam tuøy töøng thôøi ñieåm;

7.3 Ñöôïc quyeàn söû duïng Caên hoä theo ñuùng nhöõng quy ñònh cuûa Hôïp ñoàng naøy, Hôïp ñoàng Thueâ Caên hoä Daøi haïn vaø Noäi quy Noäi boä Chung;

7.4 Ñöôïc quyeàn ñeà xuaát vôùi Beân A nhöõng thay ñoåi veà Chi Tieát Kyõ Thuaät vaø Ñaëc Ñieåm. Trong tröôøng hôïp naøy, caùc Beân theo ñaây ñoàng yù raèng:

(a) Nhöõng thay ñoåi veà Caùc Chi Tieát Kyõ Thuaät vaø Ñaëc Ñieåm maø Beân B ñeà xuaát chæ ñöôïc thöïc hieän neáu ñöôïc Beân A ñoàng yù. Beân A coù quyeàn töø choái baát kyø thay ñoåi naøo veà Caùc Chi Tieát Kyõ Thuaät vaø Ñaëc Ñieåm maø Beân B ñeà xuaát neáu nhöõng thay ñoåi ñoù, theo nhaän xeùt rieâng cuûa Beân A, laø coù theå gaây aûnh höôûng baát lôïi cho Caên hoä, Blooming Park hoaëc vieäc xaây döïng vaø hoaøn thaønh Blooming Park; vaø

(b) Trong tröôøng hôïp Beân A ñoàng yù vôùi nhöõng thay ñoåi veà Caùc Chi Tieát Kyõ Thuaät vaø Ñaëc Ñieåm maø Beân B ñeà xuaát, Beân B seõ thöïc hieän söûa ñoåi baèng chi phí cuûa mình

7.5 Ñöôïc höôûng taát caû caùc quyeàn vaø lôïi ích khaùc cuûa mình theo Hôïp ñoàng naøy vaø Noäi quy Noäi boä Chung.

ÑIEÀU 8. CHUYEÅN ÑOÅI HÔÏP ÑOÀNG - QUYEÀN SÔÛ HÖÕU

8.1 Trong Thôøi haïn Thueâ, neáu coù söï thay ñoåi naøo cuûa phaùp luaät, giaûi thích hoaëc aùp duïng phaùp luaät cho pheùp Beân B ñöôïc quyeàn sôû höõu Caên hoä thì Beân B seõ coù quyeàn sôû höõu Caên hoä maø khoâng phaûi traû theâm khoaûn naøo cho Giaù trò Caên hoä tröø chi phí haønh chính, phí hoaëc thueá ñoái vôùi quyeàn sôû höõu Caên hoä (keå caû phaàn ñöôïc chia theo tæ leä ñoái vôùi chi phí lieân quan ñeán ñaát gaén vôùi quyeàn sôû höõu Caên hoä vaø söû duïng ñaát, neáu coù). Trong tröôøng hôïp ñoù, Beân A seõ noã löïc moät caùch hôïp lyù, treân phöông dieän thöông maïi, thöïc hieän taát caû nhöõng thuû tuïc baét buoäc ñeå hoã trôï beân B coù ñöôïc quyeàn sôû höõu Caên hoä. Ñeå traùnh hieåu nhaàm, quyeàn sôû höõu Caên hoä cuûa Beân B chæ bao goàm Caên hoä vaø quyeàn söû duïng ñaát chung ñoái vôùi Blooming Park. Taát caû phaàn dieän tích coøn laïi thuoäc quyeàn sôû höõu cuûa Beân A tröø khi Beân A coù quy ñònh khaùc.

8.2 Tröôøng hôïp Giaáy Chöùng nhaän Ñaàu tö cuûa Beân A ñöôïc gia haïn theâm moät thôøi haïn nöõa vaø Beân B, vì baát kyø lí do gì, vaãn chöa chuyeån ñoåi töø thueâ Caên hoä thaønh quyeàn sôû höõu, Beân B ñöôïc quyeàn gia haïn Thôøi haïn Thueâ maø khoâng phaûi traû theâm khoaûn naøo cho Giaù trò Caên hoä tröø chi phí haønh chính, phí hoaëc thueá ñoái vôùi quyeàn sôû höõu Caên hoä (goàm caû phaàn ñöôïc chia theo tæ leä ñoái vôùi chi phí lieân quan ñeán ñaát gaén vôùi quyeàn sôû höõu Caên hoä vaø söû duïng ñaát, neáu coù) coù theå phaùt sinh bôûi vieäc gia haïn Thôøi haïn Thueâ naøy.

8.3 Tröôøng hôïp Giaáy Chöùng nhaän Ñaàu tö cuûa Beân A heát haïn vaø Beân A maø khoâng ñöôïc caáp môùi Giaáy Chöùng nhaän Ñaàu tö vaø Beân B vaãn chöa thöïc hieän xong vieäc chuyeån ñoåi nhö quy ñònh taïi Ñieàu 8.1 treân ñaây, Beân B seõ baøn giao Caên hoä cho Chuû ñaát; vaø neáu Beân A ñaõ baùn Caên hoä hoaëc neáu Beân A phaûi baøn giao Caên hoä cho cô quan coù thaåm quyeàn höõu quan neáu phaùp luaät Vieät Nam coù quy ñònh nhö vaäy vaø Beân A nhaän ñöôïc phaàn thanh toaùn cho vieäc baøn giao naøy, Beân B seõ nhaän ñöôïc soá tieàn töø vieäc baùn/baøn giao naøy treân cô sôû chia theo tæ leä (tröø ñi baát kyø khoaûn chi phí naøo lieân quan ñeán vieäc baùn/baøn giao naøy maø Beân A phaûi chòu).

ÑIEÀU 9. BAÁT KHAÛ KHAÙNG

9.1 Moät trong nhöõng söï kieän naøo sau ñaây vöôït quaù söï kieåm soaùt cuûa moät trong caùc Beân seõ ñöôïc xem nhö Söï kieän Baát khaû khaùng ñoái vôùi Beân ñoù: ngaên caám hoaëc trì hoaõn bôûi quy ñònh cuûa phaùp luaät hoaëc baát kyø cô quan coù thaåm quyeàn naøo maø khoâng do loãi cuûa Beân naøy, noåi loaïn, chieán tranh, tình traïng khaån caáp quoác gia (duø ñöôïc tuyeân boá hay khoâng ñöôïc tuyeân boá), khuûng boá, phaù roái traät töï coâng coäng, ñình coâng, taåy chay, tröøng phaït, caám vaän, giao thoâng hoaëc caùc tieän ích coâng coäng khaùc bò ñình treä hoaëc bò giaùn ñoaïn, dòch beänh, hoûa hoaïn, luõ luït, ñoäng ñaát, baõo, thuûy trieàu hoaëc caùc tröôøng hôïp thieân tai khaùc hay söï kieän khaùc naèm ngoaøi khaû naêng kieåm soaùt hôïp lyù cuûa Beân naøy.

9.2 Tröôøng hôïp moät Beân khoâng thöïc hieän nghóa vuï cuûa mình theo ñuùng Hôïp ñoàng naøy vì haäu quaû tröïc tieáp cuûa Söï kieän Baát khaû khaùng, Beân naøy phaûi thoâng baùo baèng vaên baûn cho Beân kia trong voøng baûy (7) ngaøy keå töø ngaøy xaûy ra Söï kieän Baát khaû khaùng, vaø thöïc hieän theo baát cöù caùch naøo moät caùch hôïp lyù ñeå giaûm thieåu nhöõng thieät haïi. Tröôøng hôïp xaûy ra Söï kieän Baát khaû khaùng, Beân bò aûnh höôûng tröïc tieáp seõ khoâng phaûi chòu traùch nhieäm, vì khoâng hoaëc chaäm thöïc hieän nghóa vuï cuûa mình, ñoái vôùi nhöõng thieät haïi, hö hoûng cuûa Beân kia. Ñeå traùnh xaûy ra baát kyø tranh chaáp naøo, vieäc maát vaø khoâng coù khaû naêng thanh toaùn khoâng ñöôïc xem laø moät Söï kieän Baát khaû khaùng.

9.3 Tröôøng hôïp caùc Beân coù vaên baûn ñoàng yù, nghóa vuï cuûa Beân tröïc tieáp bò aûnh höôûng seõ ñöôïc hoaõn laïi trong thôøi gian xaûy ra Söï kieän Baát khaû khaùng vôùi ñieàu kieän caùc Beân phaûi noã löïc heát möùc trong vieäc baûo veä baát kyø taøi saûn lieân quan vaø lôïi ích phaùp lyù cuûa Beân kia vaø khaéc phuï haäu quaû cuûa Söï kieän Baát khaû khaùng.

ÑIEÀU 10. THOÂNG BAÙO VAØ THÖ TÖØ GIAO DÒCH

10.1 Moïi thoâng baùo, yeâu caàu, khieáu naïi hoaëc thö töø giao dòch, v.v… maø moät Beân göûi cho Beân kia theo Hôïp Ñoàng naøy phaûi ñöôïc laäp baèng vaên baûn vaø göûi ñeán ñòa chæ caùc Beân nhö sau:

10.2 Taát caû thoâng baùo, yeâu caàu, khieáu naïi hoaëc thö töø giao dòch, v.v… maø moät Beân göûi theo Hôïp Ñoàng naøy ñöôïc xem laø ñöôïc Beân kia nhaän ñöôïc (i) vaøo ngaøy göûi trong tröôøng hôïp thö giao taän tay coù kyù bieân nhaän; hoaëc (ii) vaøo ngaøy ngöôøi göûi nhaän ñöôïc baùo chuyeån fax thaønh coâng trong tröôøng hôïp göûi baèng fax; hoaëc (iii) vaøo ngaøy thöù hai keå töø ngaøy ñoùng daáu böu ñieän trong tröôøng hôïp thö chuyeån phaùt nhanh hoaëc thö baûo ñaûm. Trong caùc tröôøng hôïp naøy, neáu ngaøy lieân quan laø Chuû nhaät hoaëc ngaøy nghæ haèng tuaàn, nghæ leã cuûa Vieät Nam, taát caû thoâng baùo yeâu caàu, hoaëc khieáu naïi thö töø giao dòch, v.v ñoù ñöôïc xem laø ñöôïc Beân kia nhaän ñöôïc vaøo ngaøy tieáp theo.

10.3 Tröôøng hôïp moät trong caùc Beân coù thay ñoåi thoâng tin nhö noùi ñeán taïi khoaûn 12.1 treân ñaây, seõ phaûi thoâng baùo baèng vaên baûn ñeán Beân kia.

ÑIEÀU 11. LUAÄT ÑIEÀU CHÆNH VAØ GIAÛI QUYEÁT TRANH CHAÁP

11.1 Hôïp ñoàng naøy ñöôïc dieãn giaûi, giaûi thích vaø ñieàu chænh bôûi vaø theo phaùp luaät Vieät Nam.

11.2 Baát kyø tranh chaáp naøo phaùt sinh töø hoaëc lieân quan ñeán Hôïp ñoàng naøy, caùc Beân seõ giaûi quyeát tranh chaáp tröôùc tieân thoâng qua thöông löôïng vaø hoøa giaûi thieän chí. Neáu trong voøng ba möôi (30) ngaøy keå töø ngaøy moät Beân thoâng baùo baèng vaên baûn cho Beân kia veà tranh chaáp phaùt sinh maø tranh chaáp vaãn khoâng ñöôïc giaûi quyeát, moãi beân ñöôïc quyeàn ñöa tranh chaáp naøy ra Toøa aùn coù thaåm quyeàn taïi thaønh phoá Hoà Chí Minh ñeå giaûi quyeát.

ÑIEÀU 12. CAÙC ÑIEÀU KHOAÛN CHUNG

12.1 Hôïp ñoàng naøy vaø taát caû Phuï luïc caáu thaønh toaøn boä thoûa thuaän giöõa caùc Beân vaø thay theá moïi thoûa thuaän hoaëc ghi nhôù tröôùc ñaây, duø baèng lôøi noùi hay baèng vaên baûn giöõa caùc Beân lieân quan ñeán noäi dung cuûa Hôïp ñoàng naøy.

12.2 Caùc Beân seõ tuaân thuû nghieâm tuùc vaø thöïc hieän ñuùng Hôïp ñoàng naøy. Moïi vi phaïm ñoái vôùi Hôïp ñoàng naøy seõ khieán Beân vi phaïm phaûi chòu traùch nhieäm boài thöôøng thieät haïi cho Beân kia theo quy ñònh cuûa luaät phaùp Vieät Nam.

12.3 Baát kyø söûa ñoåi hoaëc boå sung ñoái vôùi Hôïp Ñoàng naøy vaø caùc Phuï luïc ñính keøm chæ coù hieäu löïc thi haønh neáu ñöôïc laäp thaønh vaên baûn vaø ñöôïc hai Beân kyù.

12.4 Tröôøng hôïp coù baát kyø ñieàu khoaûn naøo cuûa Hôïp ñoàng naøy bò caùc cô quan coù thaåm quyeàn höõu quan cuûa Vieät Nam tuyeân boá laø voâ hieäu thì:

(a) Caùc ñieàu khoaûn khaùc cuûa Hôïp ñoàng naøy seõ khoâng bò aûnh höôûng bôûi vieäc tuyeân boá voâ hieäu ñoù vaø vaãn giöõ nguyeân hieäu löïc vaø raøng buoäc caùc Beân; vaø

(b) Caùc Beân seõ thaûo luaän, thoûa thuaän vaø thay theá ñieàu khoaûn voâ hieäu ñoù baèng ñieàu khoaûn môùi coù hieäu löïc theo phaùp luaät Vieät Nam vaø phuø hôïp ñeå caùc quyeàn vaø lôïi ích cuûa caùc Beân theo Hôïp ñoàng naøy ñöôïc ñaûm baûo.

12.5 Hôïp ñoàng naøy ñöôïc laäp thaønh 3 (ba) boä goác baèng tieáng Anh vaø tieáng Vieät coù giaù trò nhö

nhau. Beân B seõ giöõ 1 (moät) boä goác vaø Beân A seõ giöõ 2 (hai) boä goác. Trong tröôøng hôïp coù söï maâu thuaãn giöõa hai baûn, thì baûn tieáng Anh seõ ñöôïc öu tieân hôn.

HÔÏP ÑOÀNG NAØY ñöôïc caùc Beân kyù keát vaøo ngaøy, thaùng vaø naêm ñöôïc ñeà caäp ôû treân.

ÑIEÀU 1. CHUYEÅN NHÖÔÏNG HÔÏP ÑOÀNG

1.1 Beân A theo ñaây chaáp thuaän vieäc Beân B chuyeån nhöôïng toaøn boä cho Beân Nhaän Chuyeån Nhöôïng Hôïp Ñoàng ______________ soá _________ngaøy________ñoái vôùi Caên Hoä soá ____________thuoäc Blooming Park (“Hôïp Ñoàng”). Theo ñoù, Beân Nhaän Chuyeån Nhöôïng seõ nhaän taát caû quyeàn cuõng nhö nghóa vuï vaø traùch nhieäm cuûa Beân B theo Hôïp Ñoàng keå töø khi kyù keát Vaên Baûn Chaáp Thuaän naøy.

1.2 Keå töø khi kyù Vaên Baûn Chaáp Thuaän naøy, taát caû caùc quyeàn vaø nghóa vuï cuûa Beân B ñoái vôùi Caên Hoä theo Hôïp Ñoàng seõ ñöôïc chuyeån toøan boä töø Beân B sang cho Beân Nhaän Chuyeån Nhöôïng.

1.3 Keå töø ngaøy kyù Vaên Baûn Chaáp Thuaän naøy, tröø nhöõng cam keát vaø quy ñònh trong Vaên Baûn Chaáp Thuaän naøy, Beân B seõ khoâng coøn laø moät beân cuûa Hôïp Ñoàng.

ÑIEÀU 2. CAM KEÁT

Caùc Beân theo ñaây cam keát roõ raèng:

2.1 Khi Vaên Baûn Chaáp Thuaän ñöôïc kyù, Beân B seõ traû cho Beân A phí laø 8.000.000 VND ñeå hoaøn taát caùc thuû tuïc chuyeån nhöôïng.

2.2 Beân B seõ chuyeån taát caû caùc baûn goác cuõng nhö baûn sao cuûa caùc vaên kieän lieân quan hôïp ñoàng vaø caùc bieân nhaän cho Beân Nhaän Chuyeån Nhöôïng, bao goàm vaø chæ giôùi haïn:

(a) Hôïp Ñoàng vaø caùc Phuï Luïc cuûa Hôïp Ñoàng;

(b) Taát caû giaáy bieân nhaän vaø/hoaëc hoùa ñôn do Beân A phaùt haønh cho Beân B chöùng minh ñaõ thöïc hieän xong khoaûn thanh toaùn Ñôït ________, theo nhö Phuï Luïc 2 cuûa Hôïp Ñoàng; vaø

(c) Baát kyø taøi lieäu, vaên baûn, thoâng baùo naøo khaùc lieân quan ñeán Hôïp Ñoàng giöõa Beân A vaø Beân B.

2.3 Beân B, baèng chi phí cuûa mình, thanh toaùn thueá, phí vaø caùc leä phí phaùt sinh (neáu coù) ñoái vôùi vieäc chuyeån nhöôïng naøy.

2.4 Taát caû caùc khoaûn tieàn Beân B ñaõ thanh toaùn tröôùc cho Beân A theo Hôïp Ñoàng seõ khoâng ñöôïc hoaøn traû cho Beân B nhöng seõ ñöôïc chuyeån sang tính cho Beân Nhaän Chuyeån Nhöôïng.

2.5 Tröø nhöõng thanh toaùn theo nhö Ñieàu 2.2, Ñieàu 2.3 vaø Ñieàu 2.4 naøy, Beân A hoaøn toaøn khoâng phaûi chòu traùch nhieäm hay nghóa vuï taøi chính naøo phaùt sinh töø vieäc chuyeån nhöôïng giöõa Beân B vaø Beân Nhaän Chuyeån Nhöôïng.

2.6 Khi kyù Vaên Baûn Chaáp Thuaän naøy, Beân A vaø Beân Nhaän Chuyeån Nhöôïng seõ kyù keát moät hôïp ñoàng môùi veà baùn taøi saûn trong töông lai, thay theá toaøn boä cho Hôïp Ñoàng.

2.7 Caùc Beân seõ nghieâm tuùc tuaân thuû taát caû caùc quy ñònh cuûa Vaên Baûn Chaáp Thuaän naøy.

ÑIEÀU 3. CAÙC ÑIEÀU KHOAÛN CHUNG

3.1 Vaên Baûn Chaáp Thuaän naøy seõ laø moät boä phaän caáu thaønh Hôïp Ñoàng.

3.2 Vaên Baûn Chaáp Thuaän naøy seõ coù hieäu löïc ñaày ñuû keå töø ngaøy kyù ñöôïc neâu taïi phaàn ñaàu cuûa Vaên Baûn Chaáp Thuaän.

3.3 Vaên Baûn Chaáp Thuaän naøy ñöôïc laäp thaønh boán (04) boä goác baèng tieáng Vieät vaø tieáng Anh. Beân B seõ giöõ moät (01) boä, Beân Nhaän Chuyeån Nhöôïng seõ giöõ moät (01) boä, Beân A seõ giöõ hai (02) boä. Tröôøng hôïp coù maâu thuaãn giöõa baûn tieáng Anh vaø tieáng Vieät, baûn tieáng Anh seõ ñöôïc öu tieân hôn.

DÖÔÙI SÖÏ CHÖÙNG KIEÁN CUÛA, VAÊN BAÛN CHAÁP THUAÄN CUÛA HÔÏP ÑOÀNG CHUYEÅN NHÖÔÏNG naøy ñöôïc Caùc Beân kyù vaøo ngaøy ñöôïc neâu ôû treân.
