transferred between institutions, but, often the complexities and confusion outnumber what would appear to be a straight-forward transaction. An overview will be provided to shed further light on the world of transfer credits and agreements and how BTC is moving forward with a plan that has our students’ best interest in mind.

c. Early College Program (Information – Dr. Tracy Pierner) In February, Blackhawk Technical College and the School District of Beloit

announced a very special opportunity for Beloit Memorial High School (BMHS) students beginning in fall 2020. The opportunity, called Collegiate Academy, is an early college model that allows college-ready BMHS students to pursue post-secondary training in the following areas: Automotive Technician, Business Management, Culinary Arts, Early Childhood Education, Foundations of Education, Pre-Nursing, and Welding.

Early college allows high school students to pursue a high school diploma and up

to two years of college credit by taking dual credit courses. During the Collegiate Academy students, college coursework will take place on one of three Blackhawk Technical College locations: Central Campus (Janesville), Advanced Manufacturing Training Center (Milton), and Center for Transportation Studies (Janesville). Dual credit courses can be taken either at the high school or on the college campus and students are awarded both high school and college credit for their work.

Although early and middle colleges are not a new concept, this is the first program

of its type in the region. Many early college models focus on transfer opportunities whereas the Blackhawk/School District of Beloit model will have a dual purpose: prepare students for the workforce and for further studies.

Dr. Pierner will provide additional information on the program and answer

questions.

d. Update on Public Safety & Transportation Training Center Project (Information/Discussion – Dr. Tracy Pierner)

Planning continues on the proposed Public Safety & Transportation Training

Center project. School Perceptions has released the community survey, via USPS and electronically, with responses requested by March 31, 2020. A representative from School Perceptions will provide survey results at the May Board meeting and a recommendation with regard to pursuit of a referendum for project funding.

Dr Pierner will provide additional information on work done over the past month

related to the proposed project.

Minutes

The regular meeting of the Blackhawk Technical College Board was held on Wednesday, February 19, 2020, at the BTC Advanced Manufacturing Training Center, 15 Plumb Street, Milton, in Room 118. The following members were present: Barbara Tillman, Chairperson; Eric Thornton, Vice Chairperson (arrived 5:02 p.m.); Laverne Hays, Secretary; Rick Richard, Treasurer; Rachel Andres (departed 6:20 p.m.); Traci Davis (arrived 5:02 p.m.); Rich Deprez; and Steve Pophal (arrived 5:16 p.m.). Board members absent: Amy Kenyon. Staff present: Dr. Tracy Pierner; Brian Gohlke; Renea Ranguette; Jackie Pins; Jennifer Thompson; Dr. Jon Tysse. Guests: Layla Merrifield.

Chairperson Tillman called the meeting to order at 5:00 p.m.

Chairperson Tillman called for public comment. There was none.

BTC retiree Kevin Manhart was recognized for 12 years of service to the District.

The Student Spotlight highlighted Quinton Scoville and Gabriel Christiansen, two (2) high school students taking dual credit opportunities at the College.

Student Representative to the Board James Henry provided the student government report.

Layla Merrifield, Executive Director of the District Boards Association, provided an update on the Association.

Chairperson Tillman called for District Board Professional Development.

An overview was provided on District bonding authority and capital borrowing.

The January financial statement was reviewed.

Blackhawk Technical College District Board Minutes February 19, 2020 Page 2 Dr. Pierner presented the President’s monthly report. Community engagement included local and state meetings attended. Presentations to provide an update on the College and the proposed Public Safety complex have been made within the community. Rock County Jumpstart will locate their program on Central Campus. A signing event was held at Beloit Memorial High School to announce the Beloit Collegiate Academy starting in Fall 2020. BTC hosted a table at the Latino Service Providers Coalition awards luncheon. Internal communications included multiple meetings held regarding the Public Safety project. College events included hosting a Junior Achievement event, holding the environmental impact hearing on Feb. 18, and hosting a WACADA group meeting. Upcoming events include: interviews for the Vice President-Academic Affairs position, meeting with the Wisconsin Farmers Hemp Association, participating as a panelist at the Rockford Area Realtors Association luncheon, and presenting on the Public Safety training complex project at the March 9 Janesville City Council meeting. Other communications: Rock Valley College visited the AMTC to learn about flexible education opportunities in Advanced Manufacturing. An update was provided on the Public Safety & Transportation Training Center project. Input was sought on the draft community survey developed by School Perceptions. Consensus was to provide more clarity in the language regarding the property tax impact. Several Board members suggested testing the question with a pilot group prior to releasing the survey to the community. Preliminary information was also reviewed regarding a proposed capital plan for the project. Chairperson Tillman called for the Consent Agenda. It was moved by Mr. Richard and seconded by Mr. Thornton to approve the consent agenda, which included the minutes of the Regular Meeting held on January 15, 2020; current bills from the month of January – Voucher #00272556 to and including #00273177 and direct deposit expense reimbursements in the total amount of $969,929.71 (includes student related payments), a payroll total for the month of January of $890,384.00, payroll tax wire transfers for the month of January of $445,613.30, other wire transfers for the month of January of $66,633.11, WRS wire transfers for the month of January of $191,992.99, P-card disbursements for the month of January of $144,593.76, a bond payment for the month of January of $0, and a health insurance wire transfer for the month of January of $292,759.62, for a grand total of $2,993,906.49; 25 training contracts negotiated since the last meeting totaling $103,533; acceptance of an intent to retire for Joseph Wollinger, Culinary Arts Instructor, effective May 16, 2020; acceptance of the resignation of Sean Fahey, Engineering Technology Instructor, effective January 31, 2020; confirmation of an instructional employment contract issued for the position of Electro-Mechanical Technology Instructor at a salary of $64,000, effective February 10, 2020; confirmation of an instructional employment contract issued for the position of Electro-Mechanical Technology Instructor at a salary of $68,000, effective February 3, 2020; and confirmation of an administrative employment contract issued to Lisa Hurda for the position of Interim Foundation Director at a salary of $75,000, effective January 27, 2020.

Chairperson Tillman called for Action Items. Administration presented information related to the Level 1 environmental review, also

known as an Environmental Impact Study (EIS), conducted by Batterman Engineering on the proposed site of the Public Safety and Transportation Center. Chapter TCS 12 of the Wisconsin Administrative Code requires such a review on previously undeveloped land to determine the project impact on the quality of the human environment. The EIS process also provides an opportunity for public input in the decision-making process and may consider developing alternatives where proposed actions involve unresolved conflicts. The project scope was introduced at a public meeting on 12/10/19. The Draft Environmental Impact Statement was developed and released on 1/16/20 and provided for a 45-day comment period. A public hearing on the report was scheduled for 2/18/20; no one from the public attended. The WTCS Office requires the District Board to take action to accept the draft and final EIS and to request that the WTCS Board approve the same prior to the WTCS Board consideration of the DEIS at their March 2020 meeting and the Final Environmental Impact Statement (FEIS) at their May 2020 meeting.

It was moved by Ms. Davis and seconded by Mr. Thornton to approve the Public Safety

and Transportation Center Draft and Final Environmental Impact Statements contingent upon Wisconsin Technical College System Board (WTCSB) approval and to request WTCSB approval of these statements.

Motion carried unanimously.

District Board action was requested to purchase a used color commercial printer for the

Print Center. The current unit was originally acquired in 2010. Plans were in development to replace the equipment in the near future as parts are no longer available. The printer is now failing. As this item is not included within the FY20 capital budget, District Board action is required to move forward with obtaining a replacement as the cost exceeds $50,000. Funding is available within the capital budget to support the emergency need. Administration recommends approval of the request to purchase a used Color Canon imagePRESS C8000VP with accessories from Gordon Flesch Company, Inc., Madison.

It was moved by Mr. Pophal and seconded by Mr. Deprez to approve the purchase of a

commercial color printer from Gordon Flesch Company, Inc., Madison, at a total cost of $113,944.60.

Motion carried unanimously.

The annual report on Tax Incremental Districts located within the Blackhawk Technical College District was reviewed. Chairperson Tillman called for Other Business. A brief report was provided on the District Boards Association Winter Meeting held in La Crosse in January and initial information shared on the Association’s Spring Meeting scheduled for April 3-4 in Milwaukee. There was no Board member interest in DBA officer positions for 2020-21. Chairperson Tillman called for Future Agenda Items. Attendance at the 2020 ACCT Leadership Congress in October will be placed on a future agenda for discussion. It was moved by Ms. Davis and seconded by Mr. Richard to adjourn the meeting at 7:57 p.m.

e. Confirmation of Administrative Employment Contract Issued for the Position of Financial Aid Manager (Craig Schultz) (Action – Brian Gohlke)

Craig Schultz has been issued an administrative employment contract for the

position of Financial Aid Manager at a salary of $75,000, effective approximately April 20, 2020.

Mr. Schultz holds a Bachelor’s degree in Music from the University of Wisconsin-

Oshkosh and an Associate of Arts degree in Ethnic Studies from University of Wisconsin-Washington County. For the past five (5) years he has held the position of Financial Services Manager at SAE Institute of Technology, Nashville, Tennessee. Prior occupational experience includes positions of Senior Financial Aid Advisor at Lincoln College of Technology; Student Services Representative at National College of Business and Technology; Financial Aid Director at Southeastern Institute; and Financial Aid Coordinator at ITT Technical Institute – all located in Nashville, Tennessee.

Confirmation of Mr. Schultz’s employment contract is requested.

a. Approval of New Board Policy #C-250 – Reimbursement of Relocation Expenses (Action – Brian Gohlke)

Administration occasionally receives requests for reimbursement of relocation

expenses when employment offers are made for new hire employees. Approval has been on a case-by-case basis dependent upon circumstances at the time. A standardized process would be more appropriate for consistency, ease of communication to new hires, and for budget proposal funding determination.

Reimbursement of expenses will require relocation to within College District boundaries from a distance of greater than fifty (50) miles from the current place of residence for exempt new hire employees. An agreement will be developed including a repayment provision if the employee resigns within twenty-four (24) months of the employment start date. All relocation expenses must be incurred and submitted for reimbursement within 180 days of when agreement is signed. The maximum expense allowance is capped at five percent (5%) of the first year’s annual wage amount. Administration recommends District Board approval of Policy #C-250 as proposed. Brian Gohlke, Executive Director/CHRO - Human Resources and Organizational Development, will be present to address questions on the recommendation.

REIMBURSEMENT OF RELOCATION EXPENSES BP C-250 The purpose of this policy is to provide a standard procedure for the relocation of newly hired exempt level staff to within the District boundaries of Blackhawk Technical College (College). Under the general provisions of this policy, a written relocation and repayment agreement for relocations will be entered into with the new hire employee. The provisions of this policy will apply only to work assignments and relocations planned to exceed 12 months. The College will reimburse reasonable amounts or provide advance assistance of expenses incurred because of the relocation of newly hired exempt staff for distances that exceed fifty (50) miles from their current place of residence to the District boundaries of the College. The College will audit expenses against relocation agreements, and employees must document receipted expenses claimed for reimbursement. Any request to exceed the provisions of the standard relocation policy (outlined below) must be approved by the Executive Director/CHRO and the College President. All relocation expenses must be incurred and submitted for reimbursement within 180 days of the date the written relocation and repayment agreement is signed. Expenses incurred after this period will not be reimbursed. Some expenses will be paid directly by the College to the vendor. For all other reimbursement expenses, the employee must obtain receipts for incurred expenses and submit them along with college reimbursement request forms. Approved Expenses – Standard Agreement A. Per Diem and Lodging The College will reimburse costs for per diem living expenses to include temporary lodging for eligible employees and dependents for a period not to exceed 30 days. B. Site Visit An employee and spouse will be reimbursed for travel costs, per diem and lodging costs to the planned relocation area to look for appropriate housing. The maximum site visit period permitted is three (3) days. C. Transportation – Employee/Dependents Costs for relocation travel of the employee and dependents to the new location will be reimbursed. Travel noted above will be by means of the most cost-effective common transport carrier using coach fare; however, in many cases, personal vehicles may be the preferred means of travel. Mileage reimbursement will be reimbursed at the standard IRS mileage rate.

D. Household Goods The College will pay actual costs for the packing, movement, and insuring of household goods and personal effects for such goods up to a maximum of 14,000 pounds from point of departure to point of arrival. If storage of goods is required at either point, the College will pay for up to 30 days of storage. Any property of special value, i.e., art objects, paintings, jewelry, firearms, precious metals, and antiques should be separately insured or transported by the employee. The College will not pay the transportation of boats, recreational vehicles, firearms, special machinery, outdoor playground equipment, hot tubs, and other specialty items of a similar nature. The transportation and boarding of small domestic pets, dogs, cats, etc. is permitted. The College will reimburse costs associated with movement and boarding of such pets for a period not to exceed 30 days. E. Miscellaneous Household Fees The College will pay the cost of appliance installation, fees for utilities installations, re-registration of personal vehicles and driver's licenses to a maximum of $1,000. Repayment Provision If the employee resigns due to circumstances within his or her control, as determined by the College, within 24 months of the employment start date, the employee agrees to and will be subject to repayment of costs associated with the move. Tax Considerations Prior to or at the time the written relocation and repayment agreement is signed, the employee will meet with accounting staff to review the federal and state tax implications of all costs reimbursed by the College and its impact on the employee's W-2 taxable income. The employee will be given a written estimate of costs for tax planning purposes. Reimbursement Maximums As a College, we look to provide financial assistance to offset the expense of moving for a new employment opportunity. Relocation reimbursement allowance is capped at 5% of the first year’s annual wage amount. The maximum reimbursable amount will be outlined within the written relocation and repayment agreement. The COVID-19 Coronavirus has brought many changes in every avenue of business

and life in the recent past. As containment efforts to prevent the disease’s spread continue to evolve, it is very difficult to plan for business decisions that may be on the horizon regarding College operations and student learning.

As a result, the District Board is requested to consider adoption of a resolution

which would grant emergency decision-making authority to the President, District Board Chairperson, and District Board Vice Chairperson during this State of Emergency.

In all likelihood, as quickly as some decisions may be needed, time may not be afforded to us to allow for a special District Board meeting to be held to take action. Granting emergency decision-making authority to the aforementioned group would facilitate decisions that may be needed within an extremely short span of time. The attached resolution is presented to the District Board for review and is recommended for approval during these unprecedented times. Dr. Tracy Pierner will be available to address any questions.

RESOLUTION WHEREAS, in December 2019, a novel coronavirus was detected, now named COVID 19, and it has spread throughout numerous countries including the United States; and WHEREAS, international organizations, the federal government, state government, and local governments are all working together to contain the further spread of the disease and treat exiting cases; and WHEREAS, on March 11, 2020, the World Health Organization declared COVID-19 to be a worldwide pandemic; and WHEREAS, on March 12, 2020, the Governor of the State of Wisconsin issued Executive Order 72 declaring a State Health Emergency in response to the COVID-19 Coronavirus; and WHEREAS, Blackhawk Technical College (College) has taken precautions to protect all students and employees from the spread of this disease, and to prepare for the impacts it may have on learning and operations; and WHEREAS, the Blackhawk Technical College District Board (District Board) wishes to ensure the College is adequately supported and able to continue providing educational services to students during this COVID-19 crisis; and WHEREAS, the District Board has full authority to adopt rules and regulations necessary and proper to execute the functions the Board is authorized by law to perform; and WHEREAS, the District Board wishes to provide sufficient flexibility to the President’s Office to meet the challenges presented by the COVID-19 crisis, by directing the President to take appropriate actions to allow the continued education of the College’s students. THEREFORE, BE IT RESOLVED, that the Blackhawk Technical College District Board: 1. Finds that the proposed emergency action is necessary for the immediate preservation of the

public peace, health and safety, and for the general welfare; and 2. Grants the President, District Board Chairperson, and District Board Vice Chairperson

emergency decision-making authority until the Governor’s ordered State of Wisconsin Emergency to address the COVID-19 epidemic has ended.

Services (Finance Committee Recommendation - Action)

Blackhawk Technical College contracts with an independent certified public accountant to perform an annual audit of the District’s financial records. The WTCS administrative regulations require that the District solicit bids from qualified firms for these professional services at least every seven years. The College has historically limited the term of the contract to three years with the option to renew for two additional one-year terms (five-year maximum). The most recent proposal solicitation process was concluded in 2019 with three firms submitting proposals. Firm 3-Year 5-Year Clifton Larson Allen, Milwaukee $94,210 $161,660 WIPFLI, Eau Claire $99,500 $171,400 Sikich, Brookfield $165,084 $282,133 Board Policy D-440 Audits requires the District Board to award the contract for audit services. The proposal results were presented to the Finance Committee last March. The District Board approved the Finance Committee recommendation to award the contract for audit services to Clifton, Larson, Allen (CLA). CLA performed the College’s financial audit for the fiscal year ended June 30, 2019. While there were no disagreements regarding generally accepted accounting principles, administration was disappointed with CLA’s management of the engagement. Key performance delivery milestones were outlined early in the engagement. From early September through mid-January, college administration was managing the auditor’s performance delivery to ensure internal and external reporting deadlines were met. In addition, the timing of key activities contributed to the impression the activity was a check list function rather contribution to a quality audit. The contract allows for termination with 90 days written notice before the fiscal year end. Administration recommends termination of CLA’s contract. Administration has contacted Wipfli (the second lowest bid) regarding their proposal. Wipfli confirmed they will honor the proposal as submitted. Administration recommends awarding the contract for audit services to Wipfli, at the proposed rate of $94,210 for three years with the option to extend for two additional years at the rate of $33,280 and $34,710, respectively for years four and five. The Finance Committee will present its recommendations regarding termination of the contract with CLA and award of a new contract to Wipfli.

ENCLOSURE #14 9. New Business a. Strategic Plan Board Feedback (Facilitated Session with Walter Jankowski)

Administration is currently in the process of reassessing the Fiscal Year 2020 Strategic Plan. Obtaining feedback from stakeholders is currently underway to gather thoughts about the College, its direction, and how BTC could strengthen its role within our community. Walter Jankowski, Better Dash Faster LLC, is assisting with the strategic plan reassessment process. He will be present at the meeting to facilitate a session with the District Board to gather members’ feedback on the Fiscal Year 2020 Strategic Plan (attached). Board members are asked to review the current year’s Plan and be prepared to share thoughts at the meeting.
