Editor’s note: The Salinas Valley Chamber supports Measure G (the City of Salinas one-cent sales tax) and is neutral on Measure H (explained below). Following is an article by the City that explains these tax measures and what they would be used for. The City is committed to providing residents with the safer, better Salinas that we all deserve. This means building up public safety services along with services that improve the overall quality of life in our City. Currently, funding is simply inadequate to provide for these services.That’s why the City Council has voted to place two measures on the upcoming November ballot that would secure locally- controlled revenue to support essential City services. What is Measure G? The City has placed Measure G (a one-cent sales tax) on the November ballot. It would generate about $20 million per year to support public safety and other high-priority city services for Salinas: • Improve current levels of public safety and police services, including efforts to fight gangs and drug houses • Maintain youth programs and youth violence prevention efforts • Fix potholes, streets and sidewalks • Provide secure police facilities • Upgrade neighborhood recreational centers, parks, playgrounds and sports fields This measure would provide a stable and reliable source of funding for these services that the City can depend on. All funds would remain under local control and would be entirely dedicated to services here in Salinas. Nothing could be diverted, cut or redirected for other purposes. What is Measure H? Measure H would modernize the existing Utility Users Tax by extending the tax to cover video users, wireless users and other technologies, while also decreasing the tax rate from 6 to 5 percent. While the tax rate would go down, it would apply to a broader base. This is needed because more and more citizens have discontinued their home phone lines in favor of cell phones (which are not currently taxed), resulting in lost tax revenue. What has the City done to cut costs? The City has taken every available step to reduce costs and protect vital services. In recent years, the City has adopted long-term pension reform and greatly reduced the size of city government by consolidating departments and cutting 135 positions — 20% of all city staff. The City has also implemented cuts to pay and benefits, securing over $30 million in concessions from employees. Furthermore, the City has exhaustively sought out and obtained grant funding, totaling over $40 million. Despite all of these efforts, City revenue remains inadequate to provide the level of services that our residents deserve. What are the accountability safeguards? The SalinasValley Chamber has announced its endorsements for the November 2014 election. Following its process, the Salinas Valley Chamber’s Candidate Review Committee solicited information from candidates and held a series of panel interviews with candidates to discuss their ideas. The committee and Board found these individuals to be most supportive of the Salinas Valley Chamber’s public policy positions and friendly to the interests of the business community and the community at large. Salinas City Mayor: Joe Gunter Mayor Gunter has shown strong leadership of our City. The City has been working hard to resolve many concerns and we see significant progress with the City’s economic outlook. The mayor has articulated a clear plan for the future by leading major initiatives including long- term solutions to our water needs, downtown revitalization and overall economic development. He has also demonstrated he has the ability to lead the team to realize this vision. He deserves re-election to a second term. Salinas City Council, District 2: Tony Barrera Barrera understands the inner workings of the City through his active participation on the City Council. He works tirelessly to represent his district and to build relationships with his constituents as well as with other elected officials and decision makers. Councilmember Barrera is a straight-talker with the conviction and courage to stand up for what he thinks is right. Salinas City Council, District 3: Steve McShane McShane has proven his love for the City of Salinas by putting his ample energy and creativity to work on behalf of the city.     OnAugust26,theBoardofSupervisorsvotedtoacquiretheCapitalOneproperty.TheChamberandothershadworkeddiligently(somesaid“valiantly”)toopposethatformonths.Intheend,wedidn’tgettheoutcomewewanted.However,wehavedecidednottopursueactionstoattempttosubvertordelaytheCounty’sacquisitionoftheCapitalOneproperty.Instead,wearelookingforhowwecanuseourinputforthebettermentofall. AsItoldtheSupervisorsinaletter,“Let’stakethelessonslearnedfromourrecentexperienceandturnitintoapositive.Together,wecan.”Thecontentofthatletter,datedSeptember18,follows: Subject:County’sAcquisitionof

    CapitalOneProperty-FuturePlansandRequestforCommunityAdvisoryBoardDear Supervisors: Recently,theSaveOurLocalEconomyCoalitionmettodiscussournextstepsfollowingtheBoard’svotetoacquiretheCapitalOneproperty.IwritetosharewithyoutheresultsofthatmeetingandtomakeaformalrequestthatwecooperateastheCountyproceedswiththisacquisition. WhiletherewassomediscussionandgroundworklaidtowardlodgingaCEQAlegalchallenge,thecoalitionhasdecidedthatthisisnotaproductivepursuit–neitherforusnortheCounty.Atthistime,wedonotintendtopursueanyotherlegalremediesrelatedtotheacquisition. WereachedouttotheSalinasMayorandCityManagertodiscusscurrentpossibleemployers,aswellastheviabilityofourpursuinganother

    employertobringlocaljobs.Wedon’tbelievethatourorganizationofvolunteerscanbeeffectiveinsucheffortssowewillnotpursuethisavenue. Whatwewilldoisworktotranslateourcoalition’smomentumintoapositiveforceforrealizingsolutionsinourcommunity.Eventhoughwedidnotgetourdesiredoutcomeinthiscase,thisisoneofmanyissuesthatconcernusall.Itistheresponsibilityofallinvolvedthatthe2012GovernmentCenterMOUwasnotpursuedmoreaggressively.Toadvocatemoreproactivelytowardsuchends,wearechannelingtheenergyandparticipationofSOLEmembersintotheChamber’sBusinessDevelopmentTaskForce.Thiscommittee’spurposeistocollaboratewithgovernmentauthoritiestobuildamorebusiness-friendlyenvironmentandagrowingeconomy.

    Givenitsimportancetoourcommunity,wewouldliketorequestthattheCountycreateaCommunityAdvisoryBoardincludingrepresentativesoftheSOLEcoalition,relatedtotheCapitalOnepropertyacquisition,realizingthe2012GovernmentCenterMOUandotherimportantplanningdecisionsthatmayaffectCountyresidents.WecandiscusstheroleofsuchanAdvisoryBoard,butweexpectitwouldincludeengagingthecommunityandallowingforinputinmakingsomeofthedecisions.Withourthanksforyourconsideration,PaulFarmer,onbehalfoftheSOLECoalition Sincesendingthisletter,IhavehadpositivediscussionswithSupervisorJaneParker,CountyCAOLewBaumanandtheCityofSalinastowardbuildingthebettercollaborationthatwillbenefitusall.

Notwithstandingthisendorsement,wewerethoroughlyimpressedwithCarmenGil.Wecommendherandencouragehertocontinueherworkinthecommunity.Sheissomeonetowatch.Monterey County Sheriff: Scott Miller MillerhasprovenhimselftobeacapableadministratoroftheSheriff’soffice.Hisresponsestoourquestionsdisplayedhisdetailedknowledgeandproficiencywithunderstandingtheissuesandsolutions.TheSheriffoverseesalargedepartmentwithover400employeesandabudgetof$85M.SheriffMillerhasprovenhehasthe

    educationandskillstomanagethisimportantagencyandwebelieveheisdeservingofre-electiontoasecondfour-yearterm.Monterey County Supervisor District 2: John Phillips PhillipsdemonstratesathoroughunderstandingoftheissuesandcomplexitiesconfrontingMontereyCountyaswellasabalancedapproachtowardsolutions.Hisbackgroundincludesexperienceinthepublicsectorasarespectedjudgeandnon-profitexperienceasthedrivingvoicebehindRanchoCielo.HiseffortsatviolencepreventionthroughRanchoCieloenabledhimtobuildstrongpartnershipswiththebusinesscommunityandanunderstandingoftheirimportanceindevelopingsolutionstoourcommunity’schallenges.WebelieveJohnPhillipswillofferthoughtfulandfairleadershipasaSupervisor.

    Strictaccountabilitymeasuresarerequiredtoensurethatallfundsarespentonlyforvoter-approvedpurposes.AnindependentCitizens’OversightCommitteeandannualauditswouldmakesurethatfundingisspentaspromised.Bylaw,nomoneygeneratedbythemeasurecouldbetakenorredirectedbytheState.How would local revenue measures make Salinas safer? OurpoliceandfiredepartmentslacktheresourcesneededtoperformavarietyofservicesvitaltothesafetyofourCity.Stablesourcesoflocally-controlledrevenuewouldprovidefundingtoimprovecurrentlevelsofpublicsafetyandpoliceservices,includingneighborhoodpatrolsandschoolsafety,quickeremergencyresponsetopolice,fireandparamedicemergencycalls,increasedcodeenforcementforneighborhoodsafety,andexpandedanti-gangefforts,includingprogramstoidentifyandshutdowndrugandganghouses.What about prevention and other youth programs? TheCityrecognizesthevalueandsuccessofprogramsthatengageouryouthandkeepthemoutoftrouble.Supportingtheseprogramsisacriticalcomponenttoasafer,betterSalinas.Thesemeasureswouldnotonlysupportsuccessfulprogramsthatareinplacetokeepkidsoffthestreetsandontherighttrack,butalsosupport

    thepublicresourcessuchasparksandrecreationcentersthatchildrenandteensrelyonforactivities.What about our public safety facilities? ThreeoftheCity’sfirestationsareover50yearsoldandneedseismicretrofits,repairsandimprovementstoensurethattheyareopenandoperationalafteranearthquakeornaturaldisaster.Astablesourceoflocally-controlledrevenuewouldallowtheCitytomakeupgradestofirefacilitiesandalsomaintainemergencyandearthquakepreparednessandresponseprogramscitywide.TheSalinasPoliceStationisalsoover50yearsold.Newfundingcouldalsoprovidesecurepolicefacilitiesthatprotectthesafetyofofficers,allowforthesafedetentionandprosecutionofcriminalsandprovidenecessarytoolstofightcrime,gangsanddrugs.Why aren’t we dedicating these measures entirely to public safety? OverthelastninemonthstheCityhasheardinputonsolutionsforSalinasfromthousandsofresidentsthrougharangeofcommunityoutreachefforts.TheCityhassentoutsurveysinthemailandmadethemavailableonline,heldcommunitymeetings,conductedmultipleworkshopsthroughouttheCityandreachedouttorespectedlocalbusiness,faithandcommunityleaders.Themessagefromthiswidespreadoutreachhasbeenclear:Salinasneeds

    toinvestinabroadrangeofservicestoprovideresidentswiththesafer,betterSalinastheydeserve.Publicsafetyservicesaretheprimarycomponentof

    thesesolutions,butourresidentsalsowantsaferroads,programsforyouthandseniors,accesstosafeparksandpublicfacilitiesandmore.

TheFerriniproperty870acresboundedbyHwy68tothenorthwest,SanBenancioRoadtothesouthwestandRiverRoadtothenortheast.Forafullmapofwhereresidential,openspaceandwinerydevelopmentisproposedwithinthisfootprint,pleasevisitwww.FerriniRanch.com.How many of these 870 acres would be developed? Theoriginalapplicationsubmittedin2005setaside600acres(nearly70%ofthetotalarea)aspermanentopenspace.Theplanalsocalledfordevelopmentof

    212newresidencesinareasthathavelittleornovisibilityfromHwy68.Sincesubmissionoftheproposedplan,aDraftEnvironmentalImpactReport(DEIR)andaRecirculatedDEIRhavebeenpreparedbytheCountyandincludeReducedImpactAlternatives(5A/B),whichincreaseopenspacefrom70%to80%oftheprojectarea.ThisDEIRalsoreducesthenumberofresidentialunitsfrom212to185,andreducesthesizeofthewine-related/visitor-servingfacilityatRiverRoadfrom110,000to28,500squarefeet.5A/BincorporateswideningasegmentofHighway68andincludesanewsignalizedintersectiononHwy68thatcanassisttrafficinandoutoftheprojectareaandToroParkEstatesandhelpreducedtrafficcuttingthroughtheToroParkEstatesneighborhoods. ThoseconcernedaboutimpacttotheviewshednotethatalthoughtheToroAreaPlanrequiresbuildingsitestobeoutsidethecriticalviewshed,theDEIRappearstopermitthemaslongastheyarenotvisiblefromscenicroadways.Where would this new development get its water? TheFerriniRanchlieswithinwaterzones2Aand2CsowaterwouldbedrawnentirelyfromtheSalinasValleyaquifer,nottheToroAquifer,withCalWaterservingthearea.TheownersofFerriniRanchhavebeenpayingannual“standby”feestofund

    zone2Aand2Csysteminfrastructureandimprovementsthroughoutthearea. ThoseconcernedabouttheenvironmentalimpactofthisprojecthavenotedthattheSalinasValleyaquiferwouldnotbenefitfromanotherlargeuser.InlettersrespondingtotheEIR,mitigationmeasuresaresuggestedsuchaslow-water-useindoorappliances(toilets,dishwashers,showers,etc.),outdoorirrigationwithrecycledwater,SmartControllerirrigationsystems,aprohibitionoflawns,andmore.Proposedbenefits&concernsofHighway68widening TheReducedImpactAlternativesdocument(5A/B)incorporateswideningasegmentofHighway68andincludesanewsignalizedintersectiononHwy68thatcanassisttrafficinandoutoftheprojectareaandToroParkEstatesandhelpreducedtrafficcuttingthroughtheToroParkEstatesneighborhoods.Anewsignalizedintersection,ifadopted,wouldeliminateprojectentrythroughasectionofToroRegionalParkandalsoeliminateafrontageroadparallelingHighway68.WideningasegmentofHighway68canhelpmaintaintrafficflowinthisarea.     Muchtooursatisfaction,theCityofSalinasisreviewingitsLocalPreferencepolicy.Theyunderstandthattheintentofthepolicyhasn’treallybeenborneoutbythedesiredresults. ThereasoncitiescreateandhonorLocalPreferencepoliciesissimplytosupportlocalbusinesses.SincetheCitygeneratesitsrevenuesfromlocalsources,itmakessensetokeepthosedollarslocal.WhentheCityspendsmoneywithanout-of-the-areafirm,thosedollarsleaveforgood.Localsarenotabletosharethewealthcreatedbyre-spendingthatmoneywithinourownenvironment(avirtuousphenomenoncalled“themultipliereffect.”)[Seeimageadjacenttothisarticle.] Tomore-effectivelymeettheCity’soriginalintentinadoptingalocalpurchasingordinance-toencourageandsupportlocalbusinessactivity-CitystaffisworkingonvariousrecommendationsforupdatingtheCity’spurchasingregulations.

    Theseincluderevisitingthedefinitionof“localbusinessenterprises.”Amongotherproposedrequirements,alocalbusinesswouldbeonehavingitsprincipalbusinessofficeinSalinas,orthatemploysatleastonefull-timeemployeeinSalinas.ItmustalsohavebegundoingbusinesswithintheCityatleastoneyearpriortotheCity’sinvitingbidsorquotationsforaparticularpurchase. Withregardtotheprocurementofgoods,supplies,equipment,materials,andserviceswherepriceisthedeterminingfactor,theCityisproposingtooffera10%preferencetolocalbusinessenterprises. Withregardtotheprocurementofserviceswherepriceisnotthedeterminingfactor(LittleBrooksAct,engineers,architects,otherprofessionalservices,etc.),thelocalbusinesswouldreceiveacreditof10%ofthetotalpointsusedtoselectthevendor. ForPublicWorkscontracts,Citystaffisproposinga5%preferencetolocalbusinessproviders.Forthesecontracts,

    alocalbusinesswouldbedefinedashavingaprincipalplaceofbusinessandemployingatleastonefull-timeemployeewithinthetri-countyarea(Monterey,SanBenito,SantaCruzcounties).Italsomusthavebeenestablishedinthetri-countyareaforatleastoneyear. ThisisasummaryofsomeofthedetailstheCityhasproposed.However,wearepleasedtosharethattheCityinvitedtheSalinasValleyChamberofCommerceandotherstakeholderstothetabletoofferinputinwhatwillbecomethefinalrecommendationspresented

Thestandardbuy-sellagreementestablishesarightoffirstrefusalinfavorofeachshareholder.(AlthoughIwillrefertoshareholders,thisdiscussionisthesameforownersofalltypesofbusinessentities).Theagreementstatesthatnoshareholdershallsell,transfer,pledgeorotherwisedisposeoftheirsharesinthecompanywithoutfirstofferingthosesharestotheothershareholdersonthesametermsandconditionsoftheproposedsale.Thesellingshareholderprovideswrittennoticetotheothershareholdersofthetermsandconditionsoftheproposedsale.Theremainingshareholdersthen
