City and the Consultant are collectively referred to as the "Parties." RECITALS WHEREAS on July 18, 20 II City and Contractor entered into an agreement, DA-4628, ("Agreement") pursuant to which Consultant provides professional, expert, special, and technical maintenance and support services for the Aircraft Noise and Monitoring Systems (hereinafter referred to as "ANOMS") at the Los Angeles International, Van Nuys and LA/Ontario International airports; and WHEREAS, the original term of the Agreement was for three (3) years, commencing on July 1,2011 with a stated expiration date of June 30, 2014; and WHEREAS, Contractor is the sole supporter of the ANOMS for the required services for LAW A. These units, and equipment for repairs and their parts, are only available through the manufacturer, which is Contractor; and WHEREAS, only the Contractor has the specific skills or knowledge and necessary replacement parts to timely and efficiently perform the required repair, maintenance and support work needed in order to ensure that the ANOMS is operational; and WHEREAS, the Parties desire to revise the scope of work and compensation and extend the term of the Agreement for a period of three (3) additional years (i.e., from July 1, 2014 to June 30, 2017), with LAWA also having the option to further extend the term of the Agreement for an additional three (3) years (i.e., from July 1,2017 to June 30, 2020). AIRPORT AND LA/ONTARIO INTERNATIONAL AIRPORT

This First Amendment to Agreement ("Amendment") is made and entered into as of-;::-~:-----,~_-:::-:-' 2014 by and between Bruel and Kjaer Environment ManagementSolutions, Ine., a Delaware corporation with its principal place of business in Sacramento,California, ("Contractor") and City of Los Angeles, acting by and through the Board of AirportCommissioners ("Board") of the Los Angeles World Airports ("LAWN'), a department of theCity of Los Angeles (collectively, "City"). City and the Consultant are collectively referred to asthe "Parties."

RECITALS

WHEREAS on July 18, 20IICity and Contractor entered into an agreement, DA-4628,("Agreement") pursuant to which Consultant provides professional, expert, special, and technicalmaintenance and support services for the Aircraft Noise and Monitoring Systems (hereinafterreferred to as "ANOMS") at the Los Angeles International, Van Nuys and LA/OntarioInternational airports; and

WHEREAS, the original term of the Agreement was for three (3) years, commencing onJuly 1,2011 with a stated expiration date of June 30, 2014; and

WHEREAS, Contractor is the sole supporter of the ANOMS for the required services forLAW A. These units, and equipment for repairs and their parts, are only available through themanufacturer, which is Contractor; and

WHEREAS, only the Contractor has the specific skills or knowledge and necessaryreplacement parts to timely and efficiently perform the required repair, maintenance and supportwork needed in order to ensure that the ANOMS is operational; and

WHEREAS, the Parties desire to revise the scope of work and compensation and extendthe term of the Agreement for a period of three (3) additional years (i.e., from July 1, 2014 toJune 30, 2017), with LAWA also having the option to further extend the term of the Agreementfor an additional three (3) years (i.e., from July 1,2017 to June 30, 2020).

NOW, THEREFORE, in consideration of the promises and the mutual covenants andagreements set forth herein, and for other good and valuable consideration, the receipt andsufficiency of which are hereby acknowledged, the Parties agree to amend the Agreement asfollows:

1) Section 1 is amended and restated in its entirety to read:

"Section 1. Tenn of Contract. The term of this A~f~~X!l~ntcOl'Wll,ene,edon July I" ,2011 andpursuant to a First Amendment was extended'effectiv:e'July I, 2()Hlf~r an additional three(3) years (i.e., from July 1,2014 to June 30, 2017), with LAWA also' Having the option in itssole discretion to extend the term of this Agreement for an additional three (3) years (i.e.,from July I, 2017 to June 30, 2020) which period or periods is referred to herein as the"Extended Tenn." Said option, if exercised, shall be exercised in writing by LAW A'sExecutive Director (or his or her designee) on or before June 1, 2017. This Agreement, asextended, shall expire in any event not later than June 30, 2020 ("Expiration Date"), subjecthowever to earlier termination as provided herein."

2) Section 3, Contractor's Services is revised so that during the Extended Term the Scope ofWork attached as Exhibit A to the original 20 II Maintenance and Support Services Contractis replaced by the "NoiseOffice Services Scope of Work .... " dated July 2014 attached heretoas Exhibit A. (The Parties agree that the phrase "Initial Term" as used in Exhibit A SectionsFI and F4 is deemed to be referring to the Extended Term as specified above.)"

3) Section 5.1 is amended and restated in its entirety to read:

"Section 5.1. Base Service Fees.

During the Extended Term the Base Service Fees shall be paid quarterly in advance. Thequarterly/annual fees for Base Services for three airports are as follows: LAX:$83,445/$333,780; VNY: $24,437/$97,748; ONT: $24,746/$98,984.

The stated amount for Base Service Fees is deemed to include all prOVISIOns forcompensation for services, including, without limitation, travel costs, fringe benefits, all outof pocket expenses, and overhead costs."

4) Section 5.2 is amended and restated in its entirety to read:

"Section 5.2 Additional/Contingency Services.

During the Extended Term services and expenses not included as Base Services("Additional/Contingency Services") shall be payable only as per Exhibit A, Sections 8 andF5.

As to the hourly rate for labor; at the conclusion ofthe fourth, fifth, sixth, seventh, eighth andninth years of this Agreement (i.e., years one, two, three, four and five of the ExtendedTerm), LAW A and the Contractor may review the hourly rates. Any rate increase must bemutually agreed upon and shall never exceed three percent (3%) per year.

The total amount payable under this Agreement for Additional/Contingency Services duringthe Extended Term shall not exceed $300,000."

5) A new Section 30 is added to read:

"30. Compliance with Los Angeles City Charter Section 470(c)(12)

Contractor, Subcontractors and their Principals1l!:.\1.p~ligatcc;!\0: fully comply with City ofLos Angeles City Charter Section 470(c)(12) and relilte:d'ordinance~j,i~!lardinglimitations oncampaign contributions and fundraising for certain elected-City officials or candidates forelected City office because, the contract is valued at $100,000 or more and requires approvalof a City elected official, Additionally, Contractor is required to provide and update certaininformation to the City as specified by law. Contractor shall complete, sign and submit theCEC Form 55 document attached hereto as Exhibit J. Any Contractor subject to City CharterSection 470(c)(12), shall include the following notice in any contract with a subcontractorexpected to receive at least $100,000 for performance under this contract:

"Notice Regarding Los Angeles Campaign Contribution and Fundraising Restrictions

As provided in Charter Section 470(c)(12) and related ordinances, you are subcontractoron City of Los Angeles contract # . Pursuant to City CharterSection 470(c)(12), subcontractor and its principals are prohibited from making campaigncontributions and fundraising for certain elected City officiais or candidates for elected Cityoffice for 12 months after the City contract is signed. Subcontractor is required to provide tocontractor names and addresses of the subcontractor's principals and contact information andshall update that information it changes during the 12 month time period. Subcontractor'sinformation included must be provided to contractor within 10 business days. Failure tocomply may result in termination of contract or any other available legal remedies includingfines. Information about the restrictions may be found at the City Ethics Connnission'swebsite at http://ethics.lacity.org! or by calling 213-978-1960."

Contractor, Subcontractors, and their Principals shall comply with these requirements andlimitations. Violation of this provision shall entitle the City to terminate this Agreement andpursue any and all legal remedies that may be available."

6) A new Section 31 is added to read:

"Section 31 Iran Contracting Act of 2010.In accordance with California Public Contracting Code Sections 2200-2208, all personsentering into or renewing contracts with LAWA for goods or services estimated at onemillion ($1,000,000) or more are required to complete, sign and submit the Iran ContractingAct of 20 10 Compliance Affidavit attached as Exhibit K. Contractor's compliance with thetenus of the Iran Contracting Act of 2010 is made a requirement and condition of thisAgreement. "

7) A new Section 32 is added to read:

"Section 32 Small Bnsiness Enterprises.

32.1. Contractor hereby agrees and obligates itself to utilize the services of the SmallBusiness Enterprise ("SBE") firms designated in its proposal on the level designated in itsproposal (specifically, not less than Eight Percent (8%) SBE Subconsultant level ofparticipation for the required Program designated services) in the provision of services under

this Contract. Copies of Contractor's SBE A!fld!l~.i~;::f~Qs'(p!l~es~r2) and SubcontractorParticipation Plan (pages 1-4) are attachedhereto colleyuvelyas E~~i,~'L,.... . ,..;

32.2, Contractor hereby further agrees and obligates itself to strictly comply with all of theRules and Regulations ("Rules") of LAWA' s Small Business Enterprise Pilot Program("Program"),

32.3, Failure to comply with any of the Program's requirements shall subject the Contractorto the Penalties set forth in the Program's Rules.

32.4. Contractor shall submit on a monthly basis the SBE Utilization Form listing the SBESubcontractors utilized during the reporting period. Contractor shall cooperate with LAWApersonnel in providing such information as shall be requested by LAWA in order to ensurecompliance with the provisions of this section. LAWA will not process or pay Contractor'ssubsequent invoices if the SBE Utilization Forms are not timely submitted or if theContractor fails to cooperate with LAWA personnel by promptly providing any and allinformation related to SBE participation requested by LAWA.

32.5. Failure to comply with any of the terms of this Section (or the terms of this Contract)shall constitute a material breach of Contract and may result in the Contractor being deemed"Non-Responsible." (§10.40 et seq. of the Los Angeles Administrative Code.)

8) In the event of a conflict between the First Amendment and Agreement, on the one hand, andExhibit A, on the other hand, the First Amendment and Agreement shall control. All otherterms and 'conditions of the Agreement not expressly amended herein shall remain in fullforce and effect.

IN WITNESS WHEREOF, the Parties have caused this Amendment to be executed, bytheir respective authorized signatories, all as ofthe day and year first hereinabove written.

2 Scope of Worka The Services described in Clauses 3 through 9 shall be provided according to the applicable Service

Levels defined In Schedule E.b The Services apply only to the System. Correct operation of the System may depend on correct

operation of other systems (inoluding data feeds, power supplies, and communication links), which arethe responsibilities of CUstomer. Supplier's obligations under this Agreement shall be excused If, andto the extent that, the System does not work correctly as a result of the failure of these other systems.

c When Customer or Supplier becomes aware of an interruption to a system or service which Is likely tocause interruption to the System or Services which are the subject of this Agreement, Customer orSupplier shall notify the other party where reasonably practical to do so:

(I) Seven (7) calendar days in advance of any planned outage; and(II) Within four (4) working hours of an unplanned outage.

d Supplier's obligations under this agreement shall be excused if, and to the extent that, Customer failsto deliver the obligations listed in Clause 11 below.

3 ServiceManagement

8. 1 Service Repot1ing:a Supplier has assigned an SDM as shown in Schedule B and Customer shall be notified in writing prior

to any changes to the assigned SDM in the future.b Supplier shall provide a quarterly report on the utilization of The Services provided under this

agreement and the performance against the Service Levels.

8:2 System Suppot1a Supplier shall provide support.in the form of advlce by telephone or email in response to a telephone

call or email from Customer In relation to the operation of the System.b Supplier's telephone/email support services shall operate during Working Hours,c Support requests shall be advised to Supplier by email to the contact details for Customer Support

listed in Schedule B:. When advising requests by email, the following information shall be provided:(i) Request titie, which will be used as the "Title" of the request for subsequent tracking.(Ii) Customer reference number (if any)(iii) Customer contact details, including email address, phone number etc.(Iv) The Airport and location of items which are the suoject of the request(v) Date and time of the request(vi) A desorlptlon of the request Including, as attachments, any screenshots, error logs, etc, as

may be useful to assist In Supplier response.(vii) An indication of the urgenoy or severity of the request; for example; 1= Urgent- Data Loss, 2=

Major Loss of Function, 3= Loss of Function, 4= Minor Anomaly, 5=Request for Assistance.d Supplier will enter this information into the Supplier's ticket management system and a reply will be

sent, aocording to the response times in Schedule E.1, acknowledging the request and identifying theunique tloket number that is to be used in all future communication concerning this request.

8.3 Customer Visitsa The SDM or a delegated alternate shall meet with Customer at least as often as specilied in Schedule

0.1. Such meetings shall be at a location and have an agenda and duration mutually agreed upon andpredetermined by Customer and Supplier. Each day of such meetings shall be for a maximum of eight(8) hours per day.

3.4 User Forum

a On request from Customer. Supplier will provide the number oftl~kets specmed in Schedule D.2 eachyear of this Agreement to any User Forum.

b Customer shall be responsible for the travel expenses (transportation. lodging etc.) and meal expenses(except for meals provided as part of the official User Forum activities) of its attendees at User Forums.

4 Maintenance Services

4.1 Fault Managementa Supplier will rectify faults in the System during the term of this agreement and as required to return the

System to operating within substantial conformity with tlhe Specifications.b If a fault is detected or suspected. Customer shall perform Initial fault finding prior to contacting

Supplier. Such fault finding may require Customer staff to travel to remote equipment sites to assesslocal conditions and to reboollrestart equipment as necessary.

c All faults shall be advised to Supplier by email 10the contact details for Customer Support listed inSchedule B: and In the form described In Clause 3.

d Supplier will enter this information into the Suppller's ticket management system and a reply will besent. according to the response times in Schedule E.1. Identifying the unique ticket number that is tobe used in all future communication concerning this fault report.

e Customer shall assist Supplier in diagnosing the fault by. if requested. supplying evldence of the faultsuch as listings of output. photographs, or other data. Such evidence may also include Informationabout and frorri equipment other than the System.If requested. Customer shall explain how the fault prevents substantial confomnity of the System withthe Specifications.

9 Supplier shall carry out remedial work either remotely or on Customer locations at SUpplier'sdiscretionand In line with the Service Levels defined in Schedule E.

h Supplier will use best elforts to resolve all faults and requests in a fast and elficient manner that meetor exceed response and resolution times defined in Schedule E.1. with a minimum disruption toCustomer's operation.Supplier will document all remedial work perfomnedon noise monitors at Customer locations by fillingout site visit log sheets provided at each noise monitor location, and by providing the detailedInformation (Including actions taken. list of parts replaced or repaired, detailed calibration values(levels. offsets, etc.) if performed) In the Supplier's ticket management system.Supplier will not be required to carry out remedial work or to carry out remedial work In accordancewith the Service Levels if:

(i) It has not received a Support Request;(Ii) Customer has changed the configuration of the System and this has caused. or contributed to

the cause .of. the fault;(ill) The fault Is caused by incorrect Customer operation' of the System or by a failure in

consumable equipment. such as bird spikes. foam windscreens. and batteries.(iv) The fault Is caused by power and communications outages. except for components within the

Hosted System.

4.2 Software Upgrades and Patchesa Customer shall be entitled. at no additional license fee. to patches and upgrades to the Supplier

Software that Supplier shall. from time to lime, develop and make available where such patches andupgrades relate to features of the Supplier Software currently supplied and/or licensed to Customer.

(I) Faults In power connections to equipment, except Hosted Systems.(i1) Faults In communications between components of the System, e.g. telephone lines, network

connections etc .. except between components 01 Hosted Systems;(iii) Faults caused by abnormal events e.g. vandalism, lightning strikes, damage outside of

Supplier's control, except components of Hosted Systems.

5 System Management Services

5.1 System Monitoringa Supplier shall monitor the System for abnormal conditions, Including remote equipment power and

operation status, incomplete data downloads and out-of-band calibration results, and shall advise theResponsible Party of any detected abnormal conditions.

b Customer shall advise Supplier of the Responsible Party for various abnormal conditions whereSupplier will not be the Responsible Party.

5.2 System Administrationa Supplier shall provide system administration services as defined In, and at the frequency stated in,

Schedule DA System Administration Services.

b Supplier shall be responsible for providing and Installing the OS and Enterprise software patchesand/or updates to the ANOMS servers. Software Includes but not limited to backup, SAN, antivirus, etc.

c Customer shall be responsible for providing and installing the OS softWare patches and/or updates tothe ANOMS clients. !

d Supplier shall assist Customer with testing, approving and addressing Issues that may occur to theapplication's functionality due to the OS and Enterprise software patches and/or updates installed onthe ANOMS server or clients.

e Other than System recovery functions, Supplier may carry out system administration services at anytime outside the normal business hours of Customer. Supplier may carry out system administrationtasks durtng Customer normal business hours by mutual agreement and provide Customer with 7-dayadvanced notice when possible.

Supplier will comply with Customer's latest Infonnation technology standards and guidelines forInformation System Securlfy (see Appendix A), Intel Server Standards (see Appendix B), and MicrosoftWindows Update Guidelines (see Appendix C), which are subject to change.

5.3 Periodic Hardware Servicesa Supplier shall provide qualified, trained service personnel for performing system maintenance, and

provide repair and replacement services in the event of ANOMS or computer failure.

o Periodic hardware service shall beinspections.Supplier shall immediately report "Major Faults" discovered during Periodic Hardware Services to theCustomer and shall work to resolve major faults in accordance with Schedule E.1.Within 30 days of the completion of each penoolo hardware service, Supplier shall present amaintenance report to Customer for each noise monitor to proVide documentation, includingappropriate pictures, calibration and site inspection results that comply with Title 21 and LAWA's NoiseMonitoring Plans. In addition to a report for each monitor, the Supplier will also provide a summarypage(s) listing each monitor, the oallbration results showing compliance at the time of inspection, andwhether any site maintenance Is required to keep obstructions from the sound field. The report willalso note any issues needing to be addressed and propose a plan to correol/resolve the issues.

5.4 SupplierSpares Servicea Supplier shall provide the Supplier Spare Parts at Suppliers expense, to be located on Customer

premises and available to be used In fault reotification as required.b Supplier shall inspect the Supplier Spare Parts during visits to Customer site to ensure that they can be

utilized when required. Supplier shall repair or replace any Supplier Spare Parts found to be faulty.c On termination of this Agreement, Customer shall return the Supplier Spare Parts.

5.5 System Hostinga Supplier shall, in Its own facilities, maintain, administer, and operate the Hosted Systems consistent

with the applicable Service Levels as defined in Schedule E.1.b Supplier shall report performance against the Service Levels according to Clause 3.1 and shall also

make recommendations on any actions or upgrades whloh might be neoessary to improve or secureperformance of the Hosted Systems.

c Supplier shall take all necessary precautions to safeguard Customer data and Customer networksecurity; Hosted System shall meet or exceed Customer network security protocols per Appendix A.

d Supplier shall notify Customer within two Working Days of any confirmed securify or data breach of theHosted Systems.

5.6 Backup and Restorationa The responsibility and frequency of system baokup Is stated in Schedule 0.8 System Backup. !

b In the event of complete system failure, Supplier will restore the system from the latest availablesystem backup.

c Data (noise events, noise statlstlos, operations, etc.) will be arohlved and purged from the System Insuch a manner that the Supplier will be able to retrieve and reload at least 12 months of said data tothe System as requested by the Customer. The tlmeframe to complete such requests will be mutuallyagreed upon by Customer and Supplier.

6 Information Management Services

6. 1 Data Processing Servicesa Supplier shall provide data processing services as delined In, and at the frequency stated in, Sohedule

0.6 Data Processing Services.b Supplier will maintain a log of data processing services tasks undertaken and make that log available

to Customer as part of regular service reporting.

7 Subscription Services

7. 1 Application Subscriptiona Supplier will provide the Subscribed Applications 10 Customer according to the Specifications and

according to the Service Levels defined in Schedule E.b For the term of this Agreement, Customer will have a non-exclusive right to use the Subscribed

Applications subject to any limitation on user numbers or locations specified in Schedule C.5Application Subscriptions..

c Subscribed Applications remain the exclusive property of Supplier.d Customer will not use, or cause others to use, the Subscribed Applications or the information derived

from the Subscribed Applications for the real-time control or navigation of aircraft, or for any purposerelated to the real-nme control or navigation of aircraft.

e The information contained within the Subscribed Application is a combination of data from a variety ofsources, and may Include information derived from Customer and from third party sources. Supplierdoes not warrant the accuracy or availability of the information within the Subscribed Applications.Supplier and Customer agree to abide by the terms of any third party data agreements that arerequired in order to provide the Subscribed Applications.

g Due to the highly visual nature of the user interfaces, Subscribed Applications may not be accessible toindividuals with certain disabilities. Customer hereby indemnifies CUstomer against any liability oradditional expense ariSing directly or indirectly from a complaint, allegation or claim by a third party(including employees of the Customer) alleging that a Subscribed Application discriminates against anIndividual on the grounds of that Individual's disability.

7.2 Data Subscription

a Supplier will provide the Subscribed Data to Customer according to the Specifications and according tothe Service Levels defined In Schedule E.

b For the term of this Agreement, Supplier will have a non-exclusive right to use the Subscribed Datasubject to any limitation on use specified in Schedule CA. '

c Subscribed Data remains the exclusive property of Customer.d Customer has exclusive rights to System data including fields populatedwith Subscribed Data.e Customer will not use, or cause others to use, the Subscribed Data or Information derived from the

Subscribed Data for the real-time control or navigation of aircraft, or for any purpose related to the real-time control or navigation of aircraft.Supplier and Customer agree to abide by the terms of any third party data agreements that arerequired In order to provide the Subscribed Data.

7.3 Reference Dataa Supplier shall provide updates to the Reference Data at the frequency as shown in ScheduleC.G.b Supplier and Customer agree to abide by the terms of any third party data agreements that are

required in order to provide the Reference Data.o Customer has exclusive rights 10 System data including fields populatedwith ReferenceData.

8 ProfessionalServices

a No additional services shall be perlormed unless Supplier provides a written quotation, which Isapproved in writing by Customer prior to Supplier providing such services.

b On request from Customer for additional services, Supplier shall provide a quotation for the additionalservices. Where applicable, the quotation shall be based on the rates shown In Schedule F.5.

9 New Modulesa Supplier shall notify Customer of new module(s) applicable to the System when they are made

available for general distribution along with the applicable additional license fees, Installation fees,and/or additional Service Fees applicable to such new module(s).

b The installation fees and/or any Increase in Service Fees applicable to the new module(s) Shall,whereapplicable, be based on the rates shown in Schedule F.5.

c The new module(s) will only be made available to Customer following Customer's written acceptanceof the additional license fees, installation fees, and or additional Service Fees applicable to the newmodule(s).

10 Obsolescencea Supplier may undertake a review of the System 3 years after the effective date of this Agreement and

annually thereafter and may recommend the replacement of obsolete customer-owned equipment orcustomer-owned equipment not meeting specHications. Any such replacement recommendation shallbe reasonable and justified.

b If Customer dces not accept the recommendations within 6 months, Supplier may cease to provideServices for the System or may only offer such support at Increased service fees.

11 Customer Obligations

11. 1 Compliance with License Terms

a Customer's use of the System shall, at ali times, be consistent with any license terms which apply tothe System or any System Component which shall Include, without limitation, the standard licenseterms applicable to the Supplier Software.

11.2 Storage of Equipment

a If requested by Supplier, Customer shall provide secure and adequate facilities adjaoent to or inreasonable proximity to the System for the storage by Supplier of tools, dooumentation, and otherItems necessary to provide the Services.

b Customer shall provide Supplier with access to such storage facilities at all times during Customer'snormal business hours, and, If necessary, at a prearranged time it outside normal Customer's businesshours.

11.3 Physical and Electronic Access:

a Customer shall maintain a secure means (such as a virtual private network) to connect Customerworkstations to Supplier's Hosted System. Supplier shall aSSistwith Information where necessary toestablish this link.

b On request from Supplier and In a timely manner, Customer shall provide all user IDs and passwordsto Supplier prior as shall be reasonably required by Supplier to perlorm the Services.

c Customer shall provide Supplier's service personnel with full and safe access to the System, and tospare parts storage areas, at all reasonable times for the purpose of providing the services required bythis Agreement. Customer shall also provide suitable vehicle parking areas.

0.2 Compliance with CALTRANS Title 21 and Airport Noise Monitoring Plansa Supplier shall use Its best endeavors in supplying the Services to ensure that the System remains in

compliance with CALTAANS Title 21 requirements and continues to meet all applicable noisemonitoring requirements assoolated with the LAX, ONT, and VNY Noise Monitoring Plans.

0.3 Wireless Communicationa Supplier will establish, pay for and manage wireless communioation services with Verizon Wireless for

thirty (30) wireless modems.

0.4 Contingency

a. Total Contingencies such as EMU and/or solar panel batteries, hardware, software, field equipment,raster images, geographic Information system (GIS) data, environmental monitoring or measuringdevioes, and any non-covered maintenance due to vandalism, hardware upgrades, etc.•• Issued underthis Agreement shall not exceed Three Hundred Thousand Dollars ($300,000.00) over the term of thecontract. Additional Services, additional or replacement Goods including taxes, or expenses withrespect thereto, may be authorized in the sole discretion of the Customer, as provided in G.4.

b Before any additional Services, or additional or replacement Goods are oommenced pursuant to aContingency, Supplier shall supply the Contract Administrator with a written estimate for all chargesexpected to be incurred, which estimate shall be reviewed by the Contract Administrator and a finalamount for Supplier's compensation shall be approved.

c Subsequent to Customer Issuing a Contingency pursuant to this article, Contract Administrator willissue a Notice to Proceed for those authorized tasks under the Contingency. Supplier shall notcommence any work until after receipt of the Contract Administrator's Notice to Prooeed.

d All Contingencies shall contain, as a minimum, the following Information and requirements:

(i.) A description of the work to be undertaken, expenses to be Incurred, and/or Goods to beacquired and a statement of the method of compensation. '

A time established for completion of the Services undertaken by Supplier or for thesubmission to Supplier of documents, reports, and other Information.

Any other additional instruotions or provisions.

Contingenoles shall be dated, serially numbered, and signed.
